December 2, 2015 Greetings: Colorado is poised to be a global partner to the world’s economy through our diverse business landscape that includes 14 key industries, a strong entrepreneurial community, high-ranking educational institutions, federally-funded research and development laboratories, year-round tourism offerings, and geographic connectivity. Having a vibrant World Trade Center Denver is an important component of bringing these different global players together by serving as the convener and hub of international initiatives. Having served as Mayor of Denver from 2003-2011, and now serving as Governor of Colorado since 2012, I have been a part of the evolution of Denver and Colorado’s global landscape and recognize the importance of having a local World Trade Center chapter. As Governor, I have been a frequent attendee in the annual World Trade Day conference and present an annual award to the top exporters in our state during this conference. We participate in the World Economic Forum annually in Davos and lead business-focused trade missions engaging with Colorado’s top business partners. Recognizing the importance of global connectivity, shared innovation and trade, we see a value in having a highly dynamic hub of international activities and believe that the vision of the future World Trade Center Denver campus is the right solution to meeting this need. Our strategic location, diverse industry mix and fast-growing international airport make it a highly strategic location for international trade. Denver is centrally located on the 105th meridian at the midpoint between Tokyo and Frankfurt, and is the largest U.S. city offering one-bounce satellite uplinks to world satellite networks and real-time connections to six out of seven continents in one business day. Denver International Airport currently offers 20 nonstop international flights in nine countries; metro Denver is home to 35 Foreign Consulates and Denver maintains robust Sister City relationships with communities in 10 countries around the globe. A dynamic World Trade Center Denver is a significant asset in Denver’s quest to become a more internationally competitive and welcoming city, as well as serve as the umbrella trade association that unites all things global. The Brookings Institution named Denver as one of the Global Cities to Watch, and as Mayor of Denver, I recognize the value, credibility and publicity of having a local World Trade Center chapter in our city and state.. As part of the Global Cities Initiative, we have partnered with the Brookings Institution, Chase and other major cities to explore opportunities for increased economic growth and job creation through global trade and investment. The World Trade Center is a great partner in this endeavor and we look forward to continuing to work with them and support their efforts to expand global trade and enhance Denver’s economic prosperity. From my initial conversations with the World Trade Center president Karen Gerwitz and her real estate team, I can envision that this facility would be a significant draw for our community, similar to Larimer Square and Union Station. The World Trade Center would have an added advantage: international businesses and visitors alike would be able to be welcomed to Denver at a central point to check in, receive concierge services, engage in business “matchmaking”, attend conferences and make connections in our city. The World Trade Center Denver will have the ability to attract the international business community as well as additional small international expositions in an all-encompassing global center that complements VISIT DENVER’s vision and city brand. Denver is having its best year ever, with visitors, hotel room bookings and conventions to the city up 15 percent over last year with an estimated economic impact of $736.2 million to the city. Some of the largest growth we are seeing is due to visits from international destinations, which this facility would support. I am optimistic about Denver’s future as a truly global city and believe the World Trade Center brand is a solid indication that our city is already well on its way. Sincerely,

Introduction

PROCESS OF ENGAGEMENT.The World Trade Center Denver (WTCD) seeks a developer with a shared vision, appropriate site, and adequate capital to advance this collaboration and partnership. The selected developer will recognize the opportunity to leverage a world-class brand and the strong reputation of the WTCD as a convener of the international business community to activate the center. The selected developer will help ensure that this World Trade Center brand is leveraged in perpetuity and will continue to serve the international community’s interests for decades to come.

For the past year, the WTCD has engaged in discussions and outreach with prospective users, tenants, and collaborators to formulate a vision to re-conceptualize a WTCD. At this point in our process, we seek the opportunity to work exclusively with a selected developer for 90 days to formulate a joint development partnership that would form the basis of a

Letter of Intent. The Letter of Intent will cover business terms for use of the WTCD license in exchange for services, space, and revenues as to be determined by both parties. Following a LOI, non-disclosures will be signed and joint vision presentations will be made to begin to attract interest in the campus from potential tenants.

We have set an ambitious timeline to select a developer and site by the end of 2015, and begin joint planning in the first quarter of 2016. We will jointly start recruiting tenants and request letters of intent from them when the joint plan is complete.

If you have an interest in proceeding with us on this basis, we ask you to contact us to arrange a meeting with our committee with the purpose to further discuss this plan and vision and proceed forward. We have no doubt this project will come to fruition and are

thrilled by the excitement generated by it in our community. It will be the boldest of the bold who make it possible. We welcome the right developer to create this legacy project for the City of Denver, the State of Colorado, and the global communities that we serve.

HISTORY.In 1939, the World Trade Center brand was born when the World’s Fair in Queens, NY named its grounds “World Trade Center.” Twenty years later, David Rockefeller envisioned the construction of a permanent gathering place in New York for international trade. In 1961, the Port Authority of New York and New Jersey approved the World Trade Center real estate project and subsequently named founder Guy Tozzoli to oversee the project. In 1969, Mr. Tozzoli established the non-profit trade association of the World Trade Centers. Since the early 1970s, the World Trade Centers Association has granted licenses for the use of the brand to developers, trade associations, chambers and universities across the world, each member receiving rights to operate in a distinct territory. Each year a different WTCA member hosts a General Assembly in an international location, and the Association hosts a Member Seminar in New York City for all WTCA members to attend.

The impact of September 11th, 2001 obviously hit our organization hard worldwide. The attacks on the World Trade Center in New York were due to the fact that the towers represented the center of global economic activity in our nation. Ironically, the power of our brand has only strengthened since that tragic day, and the growth of the organization has grown more rapidly post-2001 than before with on the average 18 new members every year since 2001 with the fastest growth rates in China and India.

The World Trade Centers Association is not a franchise, where all centers offer identical services. We are a license-based organization, which values serving our local communities as needed. It is our network that makes us special. No other chamber of commerce or trade association can claim such a broad footprint. One thing that holds true among our network is that World Trade Center organizations boost the local economy wherever they are located, and send a clear message that the host city is global in nature, and companies with a global scope are sure to be located there. Different WTC models and services include mixed-use residential, retail, hotel, expo centers, conference rooms, restaurants and business clubs. Depending upon the economic landscape of a community, each WTC organization provides services and amenities that resonate with the local needs.

Historic WTC Denver TowersIntroducing the

WORLD TRADE CENTER DENVER.As a result of agreements among the International Business Association of the Rockies and other members of the international business steering community—including the Denver Metro Chamber of Commerce, the Metro Denver Economic Development Corporation, the Governor’s Office of International Trade, and the Department of Commerce—a permanent entity was established in 1987 to convene, train, and foster international business to and from the Rocky Mountain Region. That entity is now the World Trade Center Denver (WTCD).

The WTCD stands out in the Association’s global network for the following reasons:

• Since its inception in 1987, the WTCD has trained over 25,000 international trade specialists.

• The WTCD hosts at least 60 seminars and workshops annually. The organization currently serves around 3,000 people per year, which accounts for nearly 90,000 clients served since its inception.

• The WTCD has been certified as Best

Practices in Trade Education by the WTCA.

• The WTCD is a recipient of the United States’ President’s E-Award for Excellence in Exporting Services as well as the NASBITE Export Service and International Trade Trainers of the Year for two years in a row.

While the majority of the WTCD’s active membership comes from within the greater Denver metropolitan area and around the state of Colorado, this organization also enrolls members from Wyoming, New Mexico, and Nebraska, where there is not an active World Trade Center supporting those markets. WTCD continues to serve these markets from its regional base, largely through its online training offerings.

Space Constraints Limit Service and Revenue.

However our brand mandate and recognized quality of services have been hamstrung by inadequate facilities. In the former towers carrying the “World Trade Center” name on 16th and Broadway, our association had access to only one conference room that held a maximum of 50 people. Therefore, most programming hosted by the World Trade Center and our partners had to be held outside of the World Trade Center. For a brand that found its purpose by convening the international business community, we were and continue to be able to achieve our potential. Attaching our brand and programming to a mixed-use campus with sufficient density and scale and visionary architecture can make a new WTCD project unique in the city and a business destination. With additional space, it will be possible for the WTCD to continue and even expand upon its tradition of co-locating as many organizations as possible that are either engaged in international trade, or in support of international

trade. These partners and corporations that could surpass 150,000 square feet of rented office space will support the project or co-locate with us once again:

Vision for Re-Conceptualizing the WTCD.

The WTCD’s goal is to create an internationally focused place-making center symbolizing Denver’s growth as a global city. The center will house the WTCD trade association, the Rocky Mountain World Trade Center Institute and will include the following:

• Headquarters or local offices for established global companies

• Training and resource facilities for companies growing internationally

• Incubator and accelerator programs for entrepreneurs becoming—or aspiring to become—global

• Gathering space for international events, festivals and trade shows

• Lodging and multi-use housing for international students, visitors and residents

The World Trade Center brand will be the name by which this facility is identified in perpetuity, thus leveraging a world-class recognizable brand of the World Trade Centers Association (WTCA), and the strong reputation of the WTCD, which

has actively convened this community for nearly 30 years, educating, connecting, informing and advocating to grow economic development and jobs through international trade to and from the Rocky Mountain Region.

Ideal Campus Site and Design Elements.

Current plans call for the establishment of the branded WTCD campus on up to one square city block in or on the outskirts of the downtown area of Denver, Colorado. Ideally, the site will be near the Transit A Line to DIA as well as alternative transportation, and will be adjacent to or in close proximity to at least one business-savvy hotel, as well as a variety of dining accommodations. Further, the facility will maintain concierge transportation services to facilitate the movement of tenants and visitors to other desired sites in the greater Denver metropolitan area, as well as seasonal site-seeing tours to popular diversions throughout the Rocky Mountain region.

The exact location of the site remains to be determined, as are specific details related to the design of the campus. This site doesn’t require placement in downtown Denver, but should be close enough to the heart of the city to assure visitors of easy access to housing, dining, and entertainment options that can be found there.

The final design of the campus will be a critical factor in what is intended to become an iconic landmark in the State of Colorado, as well as a featured tourist attraction for local, national, and international visitors to the Mile High City. As part of a larger effort to build awareness of and support for the new campus, we would encourage our developer partner to consider hosting a local, national, or even global contest to elicit design proposals that will leverage not only the development, but attract attention for the project to build awareness and momentum.

WTCD Related Programming.

As a trade association/global chamber of commerce whose primary purpose is to convene and connect the international business community locally to our global network of 330 locations in 100 countries, the WTCD plans weekly events, and our network also gathers in smaller settings on their own. The World Trade Center brand is leveraged internationally to attract global trade shows or globalize existing local shows. With the opportunity to host larger events and trade shows in a World Trade Center branded facility, Denver’s image as a global city will improve and convention traffic will increase, leading to stronger economic impact for the city.

• The Rocky Mountain World Trade Center Institute of WTCD (referred to by many as the “Institute”), will need a large flexible conference/training facility that can be readily divided into smaller group meeting rooms or classrooms. Maximum capacity would be 1,000 participants at a formal seated function, with reception and expo space as well.

• A large storage area on Level 1 with access to a loading dock.

• Expo Center capabilities with multi-media video conferencing and state-of-the-art exhibit space for companies.

• Sound and lighting equipment to handle turnkey corporate events or larger shows.

• A Business Center with print and electronic media production capabilities that can also outsource services, including a green room, videoconferencing and radio broadcasting services, to other tenants or WTCD affiliates and the public at large.

Training/Conference Center Co-Working/Incubator SpaceThe success rate and increasing demand of co-working spaces with a specialized focus is more than a trend in Denver – specialty buildings are well-researched models of real estate optimization meeting that increased demand. A direct benefit of co-working with other international organizations will be the breadth and diversity of programs and international visitors that they attract to the campus. One of the indirect benefits of co-working spaces is the opportunity to create meaningful “collisions” that help multiple parties. When we create a space to allow companies to learn best trade practices from other companies—which has been our model for nearly 30 years—we foster innovation, the sharing of ideas, camaraderie and increased sales that boost the economic development and job creation within our service area.

The WTCD, which will be the hub of the co-working space should be devoted to:

• An open lobby at the main entrance, staffed with receptionists, security guards, and greeters to assist visitors.

• The administrative offices of WTCD, including a Trade Help Desk to assist with daily trade questions or chamber authorization for export documents.

• A library and data research center that will also serve as the source for economic and trade reports derived from such resources as WISERTrade, AtoZ World Trade, Business Monitor International, Panjiva and various other trade databases that we subscribe to on behalf of corporate members.

• At least 50,000 square feet of co-working space for partnering organizations, small to medium-sized enterprises, incubator tenants and visiting international companies.

• Several small conference rooms and shared gathering spaces for all tenants’ usage.

WTCD Related Programming.

Within this facility, space will be allocated to qualified public- and private-sector tenants under the terms and conditions of their respective leases. It will be important to curate a mix of firms with direct international business interests, or that directly support such firms. As part of our commitment to the success of this project, and to attempt to minimize the risk taken by the selected developer, we have already reached out to approximately 1,000 possibly interested parties to secure an estimated 100,000 square feet for future tenants by 2017. That survey was followed up with phone calls to further assess interest and discuss space needs. The WTCD has already secured interest from several offices, such as Denver Sister Cities International, international chambers of commerce, one full consulate, and other tenants willing to co-locate in the temporary facilities of the WTCD until the new campus is complete.

Corporate Offices Hotel/HousingIdeally, at least limited, on premise housing, such as a boutique hotel and mixed use housing for use by long- and short-term staff, visitors, and enrollees at the Institute would be developed on or very near the site, thus further assuring a constant flow of visitors to the site. It has already been determined that the City of Denver and the Denver-based universities are currently experiencing a housing deficit, especially for international students. The director of the City and County of Denver’s Economic Development Office also expressed a need to create housing options for this growing population of international students. With the well-known and highly regarded global brand of the World Trade Center, students and their parents will welcome the central location with globally-centric activities as an ideal residence for the growing number of international students coming to Colorado mainly from China, Saudi Arabia, and India. The Executive Order signed by Governor Hickenlooper to create StudyColorado, the initiative of recruiting additional international students, will only continue to increase the number of international students and the demand for housing.

WTCD Related Programming.Retail, Restaurants, Outdoor and Indoor Event SpacesIn order to make this campus a true global gem of a place where international visitors wish to stay, work and visit, as well as create a special place where Coloradans come for a unique, cross-cultural destination point, it will be paramount to have quality entertainment showcasing the “best of the best the world has to offer” here in Denver. Accordingly, this site will eventually feature easy access to:

• Globally-recognized chefs creating cuisine that is internationally-inspired at various cafes, restaurants, and pubs, such as a quality Asian fusion dim sum experience or a German or Austrian-inspired outdoor beer garden for gathering in a more casual setting.

• Globally-inspired retail establishments, including boutiques showcasing imports into Colorado, such as an international wine shop, and open markets of specialty foods items or various fair traded artifacts.

• Outdoor event space or amphitheater for hosting international film festivals, cultural concerts or dance presentations and other cultural gatherings, such as Denver’s popular Chriskindlmarkt (German Christmas Market), now held downtown.

• An art gallery with permanent exhibits dedicated to featuring Native American artist Frank Howell that will attract international visitors. Our chairman’s father, Jerry Popiel, has the largest collection of his art in North America. Visiting exhibits from our Denver Sister Cities could also be hosted as well.

• Various Independence Day celebrations of international groups.

Potential WTCD Revenue Generators

The expectation is that the WTCD, in the conduct of its own activities, will generate the following revenues:

• WTCD membership dues from over 300 corporate members and growing.

• Various grants from public and private sources that are intended to help finance special initiatives in the area of international trade.

• Income from advertising sales and promotional sponsorships from large, global companies.

• Bookings or service fees for use of conference/training center by both member tenants and the general public.

• Tuition from various training courses and other educational activities.

• Fees for a range of service offerings, including: Certificates of Origin and Free

Sale; gap analyses; trade consultations; gate fees for special events; and fees for support of trade missions (both domestic and international).

• Solicit anchor and smaller tenants for the co-working space as well as the corporate office space.

• Recruit rentals of the conferencing/event spaces from other international organizations and corporations.

• Public participation in events, retail, restaurants, housing and hotel.

• Promote major corporate sponsorships for naming rights of various rooms or sections of the campus.

• Boost relationships with city and state economic development offices, consulate offices and trade associations to secure TIF funding or other incentives.

Conclusion

THE RIGHT TIME FOR DENVER.Denver is poised to become a renowned global city brimming with numerous international initiatives that attract foreign business people, students, tourists, entrepreneurs and investors. The one piece missing is a globally recognized organization to convene these various global groups and showcase from one central location, all that Denver has to offer. No other brand than the World Trade Center can accomplish that.Together with the right development partner(s), the World Trade Center Denver (WTCD) trade association, and current license holder of the World Trade Center brand’s use in Denver, is positioned to establish an innovative place-making, global destination point for international and Colorado businesses and visitors alike. The development of a global business campus in close proximity to Denver’s FasTracks A Line from Union Station to DIA

will bring together a mix of globally-focused businesses, hospitality, retail, academia and restaurants that will shape this diverse center for decades to come. With nearly 30 years of experience convening the international business community, the WTC brand attracts large and small global firms, government offices, academia and non-profit associations with an international focus. Our goal is to engage the next generation to re-define the word “trade” to encompass innovative exchanges of global ideas and collaboration across borders and incorporate that new definition into every aspect of the new WTCD campus. The WTCD will stand out in our global network of 330 World Trade Centers in 100 countries, not necessarily because of the height of our buildings, but because of Denver’s local urban fabric blended with a truly global experience, a focus on global innovation, the setting of new green

standards, and the creation of a dynamic place where people want to work, live and experience global diversity in the middle of the United States. The timing could not be better for Denver to embrace a global community by demonstrating its willingness to welcome international visitors and entrepreneurs, support local businesses in becoming global firms, and to encourage students and business owners/operators to view global business as a viable option for growing our local economy. Mayor Michael Hancock has just created an International Advisory Committee to make the City and County of Denver a more globally competitive, connected, and welcoming city for the benefit of residents and international stakeholders. There is no other brand worldwide that symbolizes this initiative better than the World Trade Center. The timing is right for Denver.
