    Functions and Powers

    Article 42

    The General Meeting shall consider and approve the planned activities of

    the Organisation presented by the Executive Committee. It shall also

    consider and approve the previous year Annual Report and Audited

    Financial Report.

    Article 43

    The General Meeting shall choose at an annual interval of not more than one

    calendar year a new Executive Committee which will consist of the

    positions stipulated under Article 26. The new Executive Committee shall

    come into power immediately after the conclusion of the General Meeting .

    Article 44

    Resolutions, Declarations, and/or new Policies may be passed in the General

    Meeting. The Vice-Chairman (Information) shall inform all Members of the

    Resolutions, Declarations, and/or new Policies passed two (2)weeks after

    the General Meeting had been adjourned.

    Article 45

    The decision of the General Meeting being on such matters present under

    the Constitution, the Patron duly notified of such decisions, will be binding

    upon the Members.

    CHAPTER VIII

    ELECTION

    Procedures

    Article 46

    1. An election of the Executive Committee shall be held once a year at theGeneral Meeting of the Organisation. The Election shall be on a first-

    past-the-post basis.

    2. The positions which shall be contested are those contained underParagraph 1 and Paragraph 2 of Article 26 of Chapter VI and any such

    position which the current Executive Committee deem necessary to be

    put up for election.

    3. A by-election shall be held if there is a vacancy of the Chairmanship.The by-election shall be waived if the difference between the period of

    vacancy is less than one month to the Annual General Meeting and if

    this so occurs the Deputy Chairman will assume the position of

    Chairman.

    Article 47

    1. The Election shall be run by an Election Commissioner which is asubsidiary organ in the meanings of Article 11 of Chapter IV.

    2. The Election Commissioner shall be appointed by the ExecutiveCommittee. He in turn shall appoint the staff of the Election

    Commissioner. The number of staff shall be decided by the Election

    Commissioner as are appropriate and necessary at the time.

    The Election shall be held by secret ballot where all delegates representing

    the Members, the incumbent Executive Committee and the incumbent

    Council of Regents shall have one(1) vote each

    Article 57

    In the event that there may arise a suspicion or accusation of a

    misappropriation of the Organisation's assets the Supreme Council may call

    upon the Council of Regents to create a Regents Commission to investigate

    such suspicion or accusation. The Regents Commission shall be responsible

    to make a report of the investigation which shall be given to the Executive

    Committee, the Supreme Council and to any person or organ so

    investigated. Action shall be taken where necessary and appropriate by the

    Council of Regents upon recommendation to and with the consent of the

    Supreme Council.

    CHAPTER X

    AMENDMENTS

    Article 58

    Amendments to the present Constitution shall come into force for all

    Members of the Organisation when they have been passed on a two third

    majority vote of the members of the Supreme Council present and voting,the Patron having been given due notification.

    BOARD OF TRUSTEES

    Article 62

    The Patron will appoint a Board of Trustees of the Organisation which willexercise the functions of a trusteeship, with the Vice Chairman (Finance) as

    its beneficiary

    Article 63

    The Board of Trustees shall carry out its functions in accordance with the

    principles and purposes of this organisation

    CHAPTER XIII

    MISCELLANEOUS

    Article 64

    Wherever and whenever it is necessary the Members shall lend their

    assistance to the Organisation as may be necessary for the exercise of its

    function subject to the Members' limited resources.

    Article 65

    Any member of the Executive Committee shall not vote in any motion thataffects or touches upon his position within the Organisation.

    Article 66

    Any confusion or conflict which may arise regarding any part of the

    Constitution, the Chairman of the Organisation has absolute power to

    interpret any part of the Constitution and his interpretation shall prevail as

    the meaning of the Constitution.

    Article 67

    There shall be Patrons of the Organisation who shall be invited to that post

    by the Executive Committee. A Patron shall hold office for life except

    where he chooses to resign by a formal letter of notice to that effect

    addressed to the Chairman of the Organisation.

    Article 68

    The Organisation accepts the exclusive rules and jurisdiction of the English

    Court .

    CHAPTER XIV

    (Amended April 2004)

    REGIONAL COUNCIL OF UKEC

    Article 69

    There shall be established 5 regional councils as listed below; London,

    Midlands, North England, South West and South East.

    Article 70

    Each member will at the same be a member of the respective regional

    council, according to the geographical location of the respective member.

    Article 71

    1. Each Regional Council shall be consist of at least two offices: RegionalChair and Regional Secretary

    2. Regional Chair2.1 Regional Chair is rotated amongst members of the region and will

    take office for a year. The regional chair is conferred to a member

    society of the region, and not to any particular individual.

    2.2 The role of the Regional Chair is to preside over discussions onmatters of concern in the region and to set and receive agendafrom members of the region.

    3. Regional Secretary

    3.1 Regional Secretary is to be appointed by the Chairman of UKEC

    3.2 The role of Regional Secretary is to act as executive for decisions

    made by the Regional Council and serve as the link between the

    Regional Councils and UKEC

    Article 72

    Regional Council should concern itself as a forum for discussion on issues

    of regional concern and to foster closer cooperation between members of the

    region. Its objective and role is the same as UKEC. To this end, the

    Regional Council may decide on their own agenda and activities, as long as

    it agrees with this Constitution.
