In these turbulent times, many institutions are looking to put their real estate and other loan problems behind them. This can be accomplished through a variety of means, including foreclosure, sale of REO, discounted pay-offs, and increasingly through the sale of the debt into the secondary market. From the secondary market’s nascent start in the late 1980s, it has burgeoned into a multi-billion, highly efficient market. The principals of DebtX, of which Goodwin is a co-founder, have been active in the secondary market since its inception, at Fleet Bank, and for the last 10 years at DebtX. The market has evolved from one with only a handful of participants, principally Wall Street and related entities, to a highly fragmented market place with literally thousands of buyers. Goodwin will discuss the evolution of the market, its participants, their motivations, and practices, as well as recent trends and developments. SPEAKER INFORMATIONTimothy L. Amos is senior vice president and general counsel of the Ten-nessee Bankers Association in Nashville. He joined the TBA in 1985 as general counsel and was promoted to senior vice president in 2001. Amos is responsible for the association’s legislative programs on both the state and national levels. He provides regulatory information to TBA members and assists bank attorneys with legal questions or problems related to the financial industry. Prior to joining the TBA, Amos was an attorney for

the Tennessee General Assembly, working with both the Senate and House Commerce committees and the Senate Finance, Ways, and Means Committee. He

received his BS degree in business administration in 1974 from the University of Tennes-see, Knoxville; his JD degree from the UT College of Law in 1977; and his LLM degree in international law in 1983 from the University of Cambridge, Downing College, Cambridge, England. Amos is a member of the American, Tennessee, and Nashville Bar associations, the American Society of International Law, and Phi Delta Phi legal fraternity.

Kathryn R. Edge is a member of the regional law firm of Miller & Mar-tin, PLLC, where she concentrates her practice in the area of financial institutions corporate, regulatory, and securities law. Over the past few years, she has focused on the formation of new banks and in mergers and acquisitions, but in today’s environment, she is assisting more banks with regulatory issues. Edge is the former general counsel and former deputy commissioner of the Tennessee Department of Financial Institutions. She

heads Miller & Martin’s Commercial Department, overseeing the practice activities and professional development of more than 50 lawyers and paralegals. Edge

is a member of the Financial Institutions Practice Group. She is a graduate of Peabody College of Vanderbilt University and holds her JD from the Nashville School of Law where she is an instructor in banking law. Edge is a former president of the Tennessee Bar As-sociation and has served as president of the Legal Aid Society of Middle Tennessee and the Cumberlands. In April, 2009, she was appointed by the Tennessee Supreme Court

as a commissioner of the Access to Justice Commission through which she chairs the Education Advisory Committee. She is chairman of the board of the Center for Nonprofit Management and a member of the editorial board of the Tennessee Bar Journal. Edge is a member of the American Bar Association’s Banking Law Committee and serves on the Tennessee Bankers Association’s Government Relations Committee. She also chairs the TBA’s Bank Lawyers Committee.

Greg Gonzales was sworn in as the 18th commissioner of the Tennessee Department of Financial Institutions in January, 2007, by Governor Phil Bredesen and has served in the department since 1986. In this position, Gonzales isTennessee’s chief regulatory officer of all state-chartered deposi-tory and licensed nondepository financial institutions. The department supervises approximately 5,600 financial institutions doing business in Tennessee. Prior to being named commissioner, Gonzales was Acting

Commissioner beginning in December 2005. He previously served as as-sistant commissioner and general counsel, with responsiblity for coordinating the

provision of legal advice to the Commissioner and the department. Gonzales serves on the board of directors of the Conference of State Bank Supervisors, the professional organiza-tion of state banking commissioners, and is serving on national working groups tasked with providing guidance on regulatory restructuring issues under review by Congress. Gonzales is a member of the board of directors of the Money Transmitter Regulators Association (MTRA). He chaired the MTRA Legislative Committee, which drafted a national model legislative outline. Gonzales graduated Cum Laude in Cursu Honorum with a bachelor’s degree from Tennessee Technological University in 1980. He earned a law degree from the University of Tennessee in 1984.

Tom Goodwin is one of the founders of DebtX, the largest and most ac-tive loan sale advisor in the country, and is the senior sales person at the company. He has coordinated more than $5 billion of commercial debt trades over the past 18 years. Clients include investment banks; major insurance companies; national, regional, and community banks; pension funds; and the FDIC. Loans sold have been collateralized by properties located across the country, represented all property types and performance

levels, and ranged from large multi-asset portfolios to single loans. Goodwin works with clients to help them understand the likely market clearing price for their

assets and coordinates all aspects of the trade, from marketing the offerings, bidding, to closing the sale. DebtX has closed over $25 billion in transactions for more than 400 institutions and is working with the FDIC to handle sales from institutions the agency takes into receivership and with HUD for all of its multi-family and health care debt sales. Additionally, given the historical and current view on transaction pricing trends, DebtX prices over $1 trillion in loans each month for the Federal Home Loan Banks, Freddie Mac, and the entire securitized loan universe. DebtX now employs over 120 people focusing strictly on the secondary market for whole loans. Goodwin has been active in real estate finance for over 25 years as a loan trader, workout officer, and construction lender for major banks in Boston. He received his MBA degree from Northeastern University and BA degree from St Lawrence University. He is Series 24, 7, and 63 licensed by the NASD and has his Massachusetts real estate license.

Robert Hawkins is an assistant vice president in the supervision and regulation division with the Federal Reserve Bank of Atlanta. He shares responsibility for domestic safety and soundness, which includes oversight of the community risk team. Hawkins has over 27 years of banking and supervisory experience, including 19 years with the Atlanta Fed where he has held positions of increasing responsibility within supervision and regulation. Before joining the Atlanta Fed, Hawkins was a small busi-

ness lender for a large banking organization and a senior credit officer for an Atlanta-area community bank. He earned a BA degree in economics from

Morehouse College.

SPEAKER INFORMATION CONTINUEDDickie Heathcott has over 25 years of experience in public account-ing. He is an assurance executive with Crowe Horwath, LLP, in the firm’s Financial Institutions Group. Prior to joining Crowe, he was a founding partner with Heathcott & Mullaly, PC, which merged with Crowe, effective April, 2002. Heathcott’s experience has provided him with special accounting knowledge in various industries, but primarily financial institutions. He has served well over 100 financial institutions

in his public accounting career, including many SEC registrants. Heathcott currently serves as audit partner on approximately 30 financial institutions, including

eight that are SEC registrants. He also is concurring partner on six other public clients. Heathcott is a member of the American Institute of Certified Public Accountants and various other state societies. He is licensed to practice in Tennessee, Alabama, Kentucky, Georgia, Arkansas, and Virginia. He is a graduate of Bethel College, in McKenzie, TN, with a Bachelor of Science degree in business administration and accounting.

Janice McQuary is the assistant deputy comptroller for specialties and operations for the Office of the Comptroller of the Currency’s Southern District. In this role, she works with subject matter experts in the areas of commercial credit, retail credit, capital markets, compliance, informa-tion technology, asset management, and fraud to identify significant risks. The Southern District, headquartered in Dallas, TX, has 15 field offices spanning nine southern states. The district is responsible for supervising

more than 500 community banks, 50 technology service providers, and 120 asset management providers. McQuary joined the OCC in 1981 as an assistant

national bank examiner in the Tulsa, Oklahoma, duty station. She is a graduate of the University of North Texas.

Wayne A. Nichols is currently an assistant regional director with the Federal Deposit Insurance Corporation’s Memphis Area Office, which includes field offices in Memphis, Nashville, Knoxville, TN, and Jackson, MS. He supervises a staff of approximately 100 direct and indirect reports including case managers and field supervisors overseeing the examination of approximately 210 financial institutions and primary federal regulatory backup authority for another 110 institutions. He carries both adminis-

trative and operational responsibilities in the Memphis Area Office, with regional specialty areas of capital markets and internal control and audit functions.

Nichols began his career with the FDIC in 1975 and resigned in 1981 to work in the private sector. After eight years as a lender, department head, and president of a de novo commercial bank, he returned to the FDIC. Nichols has 27 years’ experience in the regulatory environment, working in or with six of the eight states and 10 of the 15 field offices in the region. Nichols is a graduate of The University of Central Oklahoma, with a bachelor’s degree in business administration, management. He graduated with distinc-tion from ABA’s Stonier Graduate School of Banking, and authored a leadership thesis titled “Credit File Imaging,” which was admitted to ABA’s library. Nichols has been an instructor and speaker in many classes, seminars, and meetings in groups up to 400.

William F. Plyler was born in North Carolina, where his parents were school teachers. After graduating from high school in Asheville, NC, he attended the US Merchant Marine Academy and graduated from UNC-Asheville. Plyler went to work for Wachovia Bank in 1966, and while there, developed a strong sense of sound credit and duty to borrowers. In 1993, he joined Southern National Bank and in 1995 became the chief credit officer for East Carolina Bank. By the time he retired in 2007, the

bank had grown more than 500 percent while becoming an acknowledged leader in sound credit and profitability. Education always has been the key point

of Plyler’s life, and he acquired training and certificates through AIB, UNC School of Banking at Chapel Hill, RMA, and Omega, becoming certified as an instructor in many classes. In 2006, he became credit risk certified by RMA. During his banking career, he developed a number of training classes for his employees. In 2007, Plyler established his own company and began to work with both banks and individual privately owned businesses. Sound Consulting’s Private Business Performance Review©, a comprehensive review product for small business owners, was introduced in 2009.

Mary Neil Price practices corporate and banking law with Miller & Martin, PLLC, representing a wide range of financial institutions, includ-ing regional and community banks, trust companies, and community development financial institutions. She is the former general counsel for an NYSE bank holding company and provides expertise in corporate, mergers and acquisitions, regulatory, and securities issues, including the TARP program and the Emergency Economic Stabilization Act of

2008. Price is a frequent speaker and writer on subjects related to cor-porate governance and banking. She currently chairs Miller & Martin’s Financial

Institutions Practice Group.

James Rieniets, Jr (Jim) has been with InsBank, a Nashville-based com-mercial bank, since its inception. He first served as chief lending officer and became the bank’s president in 2007 with responsibility for the day-to-day operations for the $135 million bank. Rieniets serves on the bank’s board of directors and other bank committees. He is also chief manager of the bank’s mortgage subsidiary, Finworth Mortgage, LLC. Prior to InsBank, Rieniets held several positions at National Commerce Bancorp in Memphis

including branch manager, credit analyst, commercial loan officer, business banking department manager, and division head of correspondent banking. Rieniets

has been a member of the Tennessee Bankers Association Credit Committee for three years, one of which he served as chairman. He is an advisory board member for South-east Community Capital’s Nashville Opportunity Fund. Rieniets earned his BA degree in Latin American studies at Vanderbilt University and his MBA degree with a finance concentration at the University of Memphis.

Reagan R. Schwarzlose is a real estate appraiser, consultant, coun-selor, and expert witness with over 24 years’ experience in both fee appraisal and institutional environments. He has extensive experience with investment-grade properties with expertise in the areas of market and feasibility analysis, as well as a strong background in development and implementation of risk management/regulatory compliant business plans. Currently, as senior vice president/chief appraiser for First Horizon

National Corporation/First Tennessee Bank, Schwarzlose is responsible for management of the bank’s appraisal risk management, environmental risk manage-

ment, and flood compliance areas. Primary responsibilities include the administration and supervision of all activities to ensure accurate collateral review and reporting in compliance with all federal, state, corporate, and departmental regulations and require-ments. He is responsible also for the development of policies and procedures for real estate appraisals and environmental risk, to ensure compliance with current regulations of the OCC, FDIC, and FRB. Schwarzlose provides daily consultation on real estate

He is involved in the evaluation of potential portfolio purchasing, par-ticipation agreements, and all property decisions of all bank-owned properties. Prior to joining FHNC, Schwarzlose owned his own consulting firm, assisting clients with real estate and appraisal related challenges, expert witness services, general consulting services, appraisal policy management & compliance, third-party report reviews, port-folio analysis or reviews, highest and best use studies, discounted cash flow modeling, feasibility studies, and commercial appraisals. He was hired by Michigan National Corporation (later LaSalle Bank/ ABNAMRO) under the direction of the OCC to establish an appraisal/appraisal-review function for Michigan National Bank and it’s subsidiaries. He was responsible, also, for management of the bank’s appraisal risk management, environmental risk management, and collateral review areas, as well as assisting in the development of policies and procedures for all LaSalle Bank Corporation. His professional experience includes working as a review appraiser for the Resolution Trust Corporation where he helped draft the original guidelines and implementation of FIRREA. He served as a technical authority and expert on policies, procedures, and guidelines of FIRREA and the Appraisal Foundation regarding evaluation, analysis, and appraisal of real estate assets. He is a licensed Certified General Appraiser in the states of Tennessee and Michigan.

Brent Scott is the founder of Scott Consulting, PLLC. The firm is based in Jackson, TN, and provides consulting services to financial institutions across the state of Tennessee. Services include outsourced internal audits, loan reviews, IT examinations, BSA compliance engagements, independent validation of an institution’s interest-rate risk measurement methodology, and other consulting services as requested. Scott has worked with financial institutions for over 14 years and is a Certified Public Accountant and

a Certified Internal Auditor. He is a member of the American Institute of Certified Public Accountants, the Tennessee Society of Certified Public Accountants,

the Institute of Internal Auditors, the Information Systems Audit and Control Associa-tion, and an associate member of the Tennessee Bankers Association. He is a graduate of Freed-Hardeman University in Henderson, TN.

Brian Wesbury is chief economist at First Trust Advisors LP, a financial ser-vices firm based in Wheaton, IL. The Wall Street Journal ranked Wesbury the nation’s number one US economic forecaster in 2001, and USA Today ranked him as one of the nation’s top 10 forecasters in 2004. Wesbury writes frequently for the editorial page of The Wall Street Journal and is the economics editor of “The American Spectator.” He is also a frequent guest on Fox, Bloomberg, CNBC-TV, and BNN Canada TV. Wesbury is

a member of the academic advisory council of the Federal Reserve Bank of Chicago and also an adjunct professor of economics at Wheaton College in Wheaton,

IL. He sits on the board of managers of Three-Sixty Advisory Group, a Pasadena, CA based consulting and private-equity firm. Wesbury began his career in 1982 at the Harris Bank in Chicago. Former positions include vice president and economist for the Chicago corporation and senior vice president and chief economist for Griffin, Kubik, Stephens, & Thompson. In 1995 and 1996, he served as chief economist for the Joint Economic Committee of the US Congress. Wesbury received an MBA degree from Northwestern University’s Kellogg Graduate School of Management and a BA degree in economics from the University of Montana. McGraw-Hill published his first book, The New Era of Wealth, in October, 1999. He currently is working on a new book, scheduled to be published in 2009 by John Wiley & Sons.

GENERAL INFORMATIONAttire: Business casual attire is appropriate for all TBA programs. Because of temperature variations in meeting rooms, please bring a sweater or jacket for your comfort.

Program Availability: Due to hotel guarantees and material production, reserva-tions received less than 7 days before the program will be subject to space and material availability.

Cancellation Policy: Cancellations received in the TBA office 7 business days prior to the scheduled program will be refunded in full. Due to commit-ments with hotels, cancellations received less than 7 business days prior to the scheduled program are not refundable. Substitutions are welcome. Registrants who do not attend the program or send a substitute will be responsible for the entire registration fee.

Inclement Weather Policy: Cancellations due to inclement weather are refundable, minus a late cancellation fee of $50 for a one-day program and $75 for a two-day program. HOTEL INFORMATIONThe Renaissance Nashville Hotel, 611 Commerce Street, Nashville, is holding a block of rooms on a first-come, first-served basis at a special group rate of $169 single/double per night. The deadline for making hotel reservations at the conference rate is Friday, January 22, 2010. When the allotted room block is sold, room rates will return to standard prices on a space-available basis, even if it is before the January 22 deadline.

To make reservations, contact the hotel directly at 615/255-8400 and ask for the Tennessee Bankers Association Credit Conference block of rooms to receive the special group rate.

Team Discount: A discount of $25 per person is available for multiple registrations from the same institution, after the initial registration.
