• Section 135 applicable to companies with – NET WORTH Rs.500 crores or more– TURNOVER: Rs.1000 crores or more – NET PROFIT: Rs.5 crore or moreDuring any financial year

Companies Act 2013: CSR Committee Composition

• At least 3 Directors, one of whom should be an independent Director.

• CSR Committee of a private company having only 2 Directors can have only two members

• CSR Committee would be a Committee of the Board

• In a Foreign company/MNC, CSR Committee shall have at least 2 members, one of whom should be person resident in India, authorised to receive documents, notice, etc.

CSR Activities

• The following activities do not qualify for CSR: – One of events, such as marathons, awards,

charitable contributions, advertisements, sponsorships on television;

– Statutory payments– Normal course of business – Activities for the benefits of employees and/or

their families

• Approved CSR Activities: – As per approved CSR policy of the company– Ongoing activities falling within the ambit of

Schedule VII– Approved CSR activities undertaken by a

Registered Trust / Registered Society – Contribution to corpus of Trust / Society /

Section 8 Companies formed exclusively for CSR activities;

– Corpus for activities under Schedule VII

• SCHEDULE VII– Eradicating Hunger, Poverty and Malnutrition– Promoting preventive health care– Sanitation including contribution to Swach

Bharat Kosh setup by the Central Government

– Making available safe drinking water(Notification No: GSR 741(E) dated 24 October 2014)

– Promoting Education including special education and employment enhancing vocational skills especially among children, women, elderly and differently abled.

CSR Activities

• SCHEDULE VII– Promoting gender equality, women

empowerment;– Setting up homes/hostels for women and

orphans; – Setting up old age homes/day care

centres/senior citizen facilities – Ensuring environment sustainability,

conservation of natural resources– Protection of national heritage, art and

culture including setting up libraries, promotion and development of traditional arts and handicrafts
