Turkish Petroleum International Company (TPIC), founded as %100 state owned company in 1988, is an international company conducting activities such as exploration & production, drilling & workover services, petroleum & products trade and distribution in a wide geography, such as Middle East, North Africa, Caucasus, Middle and South Asia and South America countries.

“TPIC continues its operations by engaging public reliability and prerogatives together with private sector competences”.

TPIC comprises two distinguishing characteristics, being structural and functional. First and foremost, although it is a state-owned company, TPIC is capable of operating as a private company and has the capacity of engaging public reliability and prerogatives together with private sector competences. Besides, TPIC is apt to grow as an integrated oil company from exploration to drilling, production to distribution, with its quick, flexible and result-oriented decision-making mechanisms and has the ability to employ qualified and experienced personnel.

“TPIC, with its unique structure, is almost like a medium-scaled holding company operating in the areas of exploration&production, f ield services and oil trade, from Iraq and Colombia to Libya and Kazakhstan”.

Thanks to these features, through the realization of its domestic and international projects which are carefully subjected to feasibility

studies without any state budget support, TPIC is continuing to create value on the basis of efficiency and effectiveness in the domestic market and international arena, namely from Colombia and Libya to TRNC, Iraq and Kazakhstan.

“TPIC plays an effective role in the implementation of foreign policy strategies of our country”.

Besides, acting in close coordination primarily with the Ministry of Energy and Natural Resources (MENR) as well as other ministries, TPIC is taking on effective, concrete and result-oriented roles in the implementation of Turkey’s foreign policy strategies. The most notable example of this is the delivery of 30.000 tons of diesel cargo that TPIC provided for the Libyan people under compelling circumstances during the most critical times of the civil war in Libya. Being in the center of great efforts for the development of ‘energy for infrastructure and construction’ projects in Venezuela and Iraq, TPIC provided a significant contribution to the formation of this concept in the public opinion. It is obvious that such economic and commercial relations with different countries would create significant added values for our country.

“TPIC realizes all of its domestic and international trade activities within the basis of ‘win-win’ concept”.

TPIC realizes all of its domestic and international trade activities with countries like Iraq, Libya, Northern Cyprus and Bangladesh on the basis of ‘win-win’ concept. Within the scope of TRNC activity, since 2009, TPIC has shipped more than one million tons of fuel-oil to KIB-TEK (Electricity Authority of Northern Cyprus) Teknecik Terminal via maritime transport. Besides, 62.460 tons of gasoil was shipped successfully to Bangladesh Petroleum Corporation (BPC) in 2015. Apart from Bangladesh, TPIC aims at increasing its activities in Southeast Asia countries, such as Sri Lanka, Pakistan within the context of business development.

“Within the scope of oil trade conducted with Iraq in 2000s, TPIC created highly considerable trade volume and as a result of the employment opportunities created in the region, millions of dollars of tax was paid to our state”.

In addition, TPIC distinguishes itself from the like, with its extensive experience it gained in different regions and under challenging conditions. In this context, TPIC successfully carried out trade of approximately 9.5 million tons of crude oil and petroleum products since the early 2000s so far in the Iraqi market. The project created billions of dollars in revenue to our company and indirectly to Turkey; millions of dollars of tax was paid to our state while creating thousands of employment opportunities in the region and contributing to the socio-economic structure of two countries.

MESSAGE FROM THE CEO ANNUAL REPORT, 2015

“TPIC is the single company in Turkey awarded with an internationally recognized ISO 9001: 2008 Quality Management System Certificate in the areas of petroleum and petroleum products trade and oilf ield services. Besides, it holds the TS 18001:2014 Occupational Health and Safety Management Certificate in the same areas”.

To gain a competitive advantage in our areas of activity, we concentrated on re-organizing our company. Within the integrity of the structural and functional characteristics outlined above, we focused on corporate restructuring through the examination of each and every departmental unit in the company. We aimed to transform our company into a more effective and preferred one in the international markets through the establishment of a “Quality Management System” while strictly complying with industrial standards and guidelines. As a result of our highly committed efforts, TPIC was awarded with an internationally recognized ISO 9001: 2008 Quality Management System Certificate. TPIC is the single Turkish Standards Institute (TSE) certified company in Turkey, covering the scope of Drilling Field Services and Petroleum and Petroleum Products Trade. Moreover, adopting “occupational health and safety” issue as a cultural attitude and course of action, TPIC managed to obtain TS 18001:2014 Occupational Health and Safety Certificate.

“TPIC, which performs more than half of drilling operations of TP, leads the field in geothermal drilling operations in Turkey”.

On the other hand, our activities have increased conspicuously in the last five years. Within this context, we’ve been continuing the drilling and workover services provided for Turkish Petroleum (TP) since 2006. TPIC has achieved the highest amount of services in 2014; 130.713 m were drilled with 62 wells and 581 well completion&workover services were performed successfully. Besides, in 2015, 794 well completion and workover operations were conducted.

Besides, in the domestic market, we maintained our leadership in geothermal field services also in 2015. Since 2007, TPIC has drilled 260.000 meters in total with 116 geothermal wells. Providing additional field services resulted in considerable increase in profitability of the company.

“In the Rumalia Field of Iraq which is called as one of the “Supergiants” in the literature, the greatest turnkey drilling contract in TPIC’s and TP’s history was signed and within this context, drilling operations are ongoing”.

TPIC realized successful projects at also overseas drilling in different regions of the world. After the drilling of 20 wells in the Khurmala Field/Iraq in 2001, our insistent efforts to penetrate the Iraqi market yielded an IPM contract worth of $338 million regarding the drilling of 45 wells in the Rumaila Field. The contract signed between TPIC and SOC (South Oil Company) in 2010, is not only the largest in its field

in Basra, but is also among the largest IPM contracts ever signed in the Supergiant Rumaila Oilfield, one of the world’s largest production fields in Iraq. The contract was amended in 2012. In the project, BP is the operator as the main contractor of the consortium of BP-CNPC-SOC.

After the completion of the drilling of the first 5 wells in 2011, we passed to the second phase. As of May 2015, drilling of the remaining 40 wells has been started. Within the context of the second phase that started off in May, 14 wells were drilled and completed successfully as of 2015-2016. Among these, R-591 vertical and R-590 directional wells have the best performances of Rumaila Field/Basra with 24 and 29 days respectively. Currently, TPIC is one of the two companies drilling in the Rumaila Field. In this regard, TPIC takes firm steps to be a medium-scaled service company in Iraqi market.

When this project is completed, it will increase Iraq’s daily production by at least 300.000 barrels and contribute to Iraq’s welfare. TPIC targeting an active role in Iraqi market, carries out new project initiatives by itself or via its subsidiaries.

“TPIC is recorded as the first Turkish State-Owned Company investing in E&P projects abroad”.

By realizing exploration-production projects in Australia, Indonesia, Pakistan and Egypt in 1990’s, TPIC is recorded as the first Turkish State-Owned Company investing in E&P projects abroad. Following these projects, exploration-production activities initiated through some partnerships on Maria Conchita and Gonzalez Blocks in Colombia, have been continuing with the coordination and cooperation of our well talented team.

“TPIC holds 11 exploration-production licenses in various regions of Turkey”.

Thus, TPIC holds 11 exploration-production licenses in various regions of Turkey. TPIC increased its oil production from 200 bopd in 2009 to 800 bopd in 2015. Since 2009, TPIC has produced over 1.4 million barrels of oil in total. According to the current data, it can be said that the contribution of TPIC to the country’s oil production has increased in the last five years, considering Turkey’s daily production is 47.000 barrels on average.

“As a result of its successful performance lately, TPIC was able to create added-value; and both increased its capital and profitability”.

Thanks to all of our employees and executives, TPIC’s demonstrated high performance primarily at home and abroad and the resultant profitability are honored with its ranking as 81 in the List of Top 100 Tax Payers of Ankara 2011, occurring for the first time in its 23 years

MESSAGE FROM THE CEO ANNUAL REPORT, 2015

of history. Hence, in 2012, our company managed to enter for the same list with a higher ranking as 55.

Our paid capital has increased 11 times, from 150 million USD to 1.65 billion USD in the last 5 years. Besides, the net profit has increased 13 times whereas profit per employee has increased 11 times compared to 2009.

Moreover, 69.4 million USD was paid to our state as tax, public securities, etc. The net profit about 100 million USD that TPIC has reached in the last five years is a major motive driving us to realize our future goals.

“Together with an increased amount of capital after the demerger from TP in 2013, TPIC continues its operations as being a subsidiary of Petroleum Pipeline Corporation / BOTAŞ”. With the support of MENR, for the coordination and execution of some projects vital to our country’s interests, TPIC was transferred to Petroleum Pipeline Corporation (BOTAŞ) by means of a Council of Ministers Decree No. 2012/4152 together with a capital increase in 22 January 2013. Through this increase in capital that will provide a strategic contribution to our goal of becoming “Global Energy Vision of Turkey”, both our areas of activity has increased and we gained a more advantageous position in terms of direct access to nearby oil and natural gas resources hosting approximately 70% of total world reserves. Within this context, TPIC is able to function more actively in representing our country abroad, and successfully performing projects that would reduce Turkey’s dependency on oil, gas and related products by working under the umbrella of BOTAŞ.

“TPIC renewed its corporate identity in order to better create awareness at home and in the international arena”.

Soon after being transferred to BOTAŞ, in order to emphasize its new corporate vision and strategy, to create sectoral awareness for domestic and international activities of TPIC and to reflect TPIC’s real image in the international markets, TPIC renewed its company logo and corporate identity in 2014. Within this direction, all intercorporate components were revised and “Corporate Identity Work” was finalized. Through its modernist and dynamic character and qualified personnel, TPIC continues its activities on the way of being among Turkey’s global companies whereas aiming to represent our country successfully.

“TPIC published “Osmanlı’da Petrol (Petroleum In the Ottoman Era)” book in the memory of its 25th anniversary and aimed at presenting a work that suits its reputable, broad- visioned, leader and contemporary character”.

As a national energy company, due to the fact that we have responsibility towards contributing to our history, there is not a corresponding book that has been published so far and we desired to present a valuable work in the memory of our company’s 25th anniversary, we published the book “Osmanlı’da Petrol”.

This book compiled among hundreds of Ottoman Archive documentary, includes many important topics that sets light to history, such as petroleum’s place and importance in the Ottoman territories, in which manners our ancestry followed the oil sector developments especially after 19th century, the initiatives of the Western States in the petroleum regions belonged to Ottoman territory.

While publishing this book, TPIC targeted to remove the related bias, impertfect or incorrect information towards this subject, and aimed at providing exact and useful knowledge based on Ottoman Archive documentary to researchers, academics or sector employees.

“Being in the close pursuit of global trends of change, TPIC adapts itself to the changing conditions and takes firm steps towards its goals”.

Pursuant to our vision of becoming a regional and global brand for the future, TPIC is committed to create value for our country to the maximum extent possible, through bringing our corporate re-structuring to an end in a manner that would set an example to the domestic industry and continuously improving our Quality Management System. This new period through which we are planning to more

actively operate especially in Iraq in addition to our existing projects, TPIC aims to serve the national interests of Turkey also by utilizing its logistic advantages and become a company constantly seeking new horizons, while creating more and more value. We acknowledge that the success we have achieved would only be possible through the valuable contributions of our employees and other stakeholders. I would like to thank all our stakeholders for their devoted efforts and contributions.

Within the scope of a tender related to the drilling of 45 wells in the Supergiant Rumaila Field of Iraq, an IPM (Integrated Project Management) contract was signed with Iraq’s South Oil Company(SOC) on 14 March 2010. The first 5 wells were drilled and delivered successfully in 14 August 2011. In the ongoing process, SOC transferred its operating rights to “Rumaila Operating Organization (ROO)”, the consortium of BP-CNPC-SOC.

An amended version of the contract entered into force on 15 November 2012, where profitability and business volume of TPIC were reserved. According to the text of amendment to the main contract, the remaining 40 wells were agreed to be drilled at new unit prices in line with BP’s minimum requirements. In the amended contract, the value of the remaining 40 wells was increased to 305 Million USD. As a result, total contract value of 45 wells reached to 338 Million USD.

Pursuant to the contract on technical terms and SOC’s related letter of credit, preparations were started in October 2014 for the second phase. On 20 May 2015, second drilling phase was started. As of 5 July 2016, 14 wells were drilled in the scope of the second phase and 19 wells were drilled in total. Among these, R-591 vertical and R-590 directional wells have the best performances in Rumaila Field/Basra’s history with 24 and 29 days respectively. Currently, TPIC is one of the two companies drilling in the Rumaila Field whereas Halliburton is the other.

8-10 thousand bopd is produced from these wells, which are at a depth of 3500 meters. When this project completed, the daily production amount of Iraq is expected to increase approximately 300.000 barrels.

OCCUPATIONAL SAFETY & ENVIRONMENTAL PROTECTION

Quality management system is used for increasing service or product quality of the institutions. The firms, which desire

to prove that they maintain the quality, make their established quality system supervised and certified. Commonly

used worldwide, ISO 9001 Quality Management System determines how the firms rely on specified requirements.

TPIC conducted significant quality practices within the company and consequently, it was awarded with the ISO 9001

Quality Management System Certificate as the single company operating in the areas of oilfield, geothermal field

services and petroleum and petroleum products trade. The positive outcomes of this system is proved by the TOPSIS

(Technique for Order Preference by Similarity to Ideal Solution) Technique. According to TOPSIS technique results,

there is a considerable improvement in the company’s performance compared to 2012 and ensuing years.

Being one of the leading players of the drilling sector and adopting “occupational health and safety” concept as a cultural attitude and course of action, TPIC was awarded with “TS 18001 (OHSAS 18001) Certificate” by the Turkish Standards Institute (TSE).

Because of the employment-industrial accidents and their negative outcomes lately, occupational health and safety issue has become more important while creating awareness in the society. This concept, OHSAS, is the case of which practices and investigations for employees are protected by regulations and law.

The risk analyses realized by TPIC within the scope of OHSAS 18001 Occupational Health and Safety studies, have proved the importance of occupational health and safety issue. For the prevention of workplace injuries and occupational illnesses, awareness was created among the personnel. On the basis of relevant studies, TPIC personnel were also included in these practices.

Relevant practices both reduce the risk of emerging accidents and occupational illnesses and create awareness among the personnel in terms of occupational health and safety.

ANNUAL REPORT, 2015 STORY OF THE NEW LOGO

Keeping up with the dynamics in the globalized world, TPIC renewed its corporate vision and strategy. After this renewal, TPIC also changed its

company logo in 2014. There are certain reasons causing companies to change their logos: globalization of relevant companies or companies’ aim

to become more active in foreign markets, companies’ aim to increase their brands perception, companies’ merger, acquisition or partnership.

Soon after being transferred to BOTAS, in order to strengthen its sectoral brand perception related to its domestic and foreign acitivities and to

reflect TPIC’s real image in the international markets, TPIC changed its logo. Within this direction, in order to ensure that TPIC carries its logo to

the future and continues as a brand maintaining its corporate structure, “Corporate Identity Work” was finalized. TPIC aims to be an integrated

company, which creates value in the energy sector through its domestic and foregin projects realized together with its brand value.

ANNUAL REPORT, 2015

The uniquely designed form of “T” and “P” characters were inspired by “sucker rod” symbol.

The typography of TP characters decribes a target oriented, assertive and dynamic figure.

“I” character was inspired by a “drilling rig”, which directly emphasizes the petroleum industry.

The form of the rig and lines in the logo emphasize TPIC’s progressive structure and experience in its 28th year in the energy sector.

Turquoise , which is the universal color of Turks, was used in order to create the “Turkish Company” perception in the international arena.

The “T” and “C” characters seen in the white area are associated with the abbreviation of Turkish Republic’s (T.C.).

The line below the logo symbolizes TPIC’s continuous improvement.

ANNUAL REPORT, 2015 THE BOOK “PETROLEUM IN THE OTTOMAN ERA”

The Book“Petroleum in the Ottoman Era”

States draw their strength from history. The culture and civilization

that they pass on to humanity underpin this strength. The preservation

of this strength would only be possible through adopting, improving

their own culture and bringing it to the future. One of the subjects that

leaves its mark on societies is petroleum. Petroleum, which has gone

through different periods through the human history and influenced

interstate relations, is expected to increase its importance within the

next years. Within this context, as an energy company that has the

responsibility towards contributing to our history, TPIC published the

book “Petroleum In the Ottoman Era” in memory of its 25th anniversary.

Compiled among hundreds of Ottoman Archive documentary, this

book includes many topics, such as petroleum’s place and importance

in the Ottoman territories, our ancestors’ attitudes in following the oil

sector developments particularly after 19th century, and initiatives of

Western States in the petroleum regions that were within the borders

of Ottoman territory.

While publishing this book, TPIC targeted to remove relative bias,

impertfect or incorrect information towards this subject, and aimed

at providing exact and useful information based on Ottoman Archive

documentary to sector employees and relevant readers as well as

researchers, academics and students.
