Dear Sir or Madam

I am writing this letter as a customer and a shareholder of Terasen Gasto oppose the buyout by the firm Kinder Morgan.

Apart from the short term benefit to shareholders I see little benefitin this sale.

Recent experience with the CN takeover of BC Rail shows that whemdecisions are made by a far away CEO concerned only with short termprofit it is of no benefit to customers , the general public andstakeholders alike. In my present work I deal with CN,it is of nosurprise to me of their recent troubles, never did BC Rail deliver atank car to the wrong destination, then be unable to produce anypaperwork to determine what was in it.They have cost Canfor $3,000,000 bytheir negligence and bad service so far this year.

I have also had the misfortune in my career to work for Americancompanies branches in Canada, morale was at the absolute bottom as therewas never any interest in maintaining the asset, just pillaging it foras much profit as possible before reselling it.

Just remember these are the same people who brought you Enron, Worldcomand the softwood lumber rip off.

Natural gas futures are climbing rapidly and we aren't going to get a goodvalue for the sale anyway.They are borrowing alot of money for thisaquisition and will have to pillage it to make up for their poor leverage.

It is time to remember the National Anthem, Please "Stand on guard forThee!"

Please veto this sale.

Why do we do this ? Giving the Americans everything they want and we'll soon see not too far down the road they will own our nation totally. That business of them handling our medical records is the most absurd thing I've ever heard of. The softwood lumber export to them is just another example of our lack of vision.Any resource we deem too much work for us to do to put products into the market, we sell to Uncle Sam. We have some smart men in Canada, and I do so wish more of them were making the big decisions that affect our nations sovereignty. Surely we have enough industrious , intelligent persons to keep what is our in our own hands. Like the message I received, "we'll sell to the Americans, then we'll buy it back at double "what we are paying now. Keep the Americans out of our business. This is scandalous! While Canadians not only lose control of our resources (NAFTA will not allow the amount of gas/oil to be curtailed even if we have to do with less, our resource will run out sooner. Instead of developing alternate sources of energy and making fossil fuels last longer to bridge the gap to new sources, this sale avoids the very serious responsibility to seek out and develop solar, wind, hydro, cold fusion and others. Obviously the two levels of government and the BCUC are acting on behalf of the oil industry. Hi all, Apparently the BC govt has an agreement with Terasen that runs until 2011 giving generous royalty rebates which cost at least $20 million a year. How do you feel about BC giving $20 million a year to a Texas company so that they can (1) control your energy, and (2) make a profit off your provincial government?

Canada losing control of energy resources with sale of Terasen Inc. What is it? On August 1, 2005, Houston-based Kinder Morgan Inc. (KMI) purchased Terasen Inc., a Vancouver-based petroleum transporter and gas distributor, for US$5.6 billion. This deal gives the new combined companycontrol of about 70,000 km of oil and gas pipelines in Canada and the United States. According to Richard Kinder, CEO and Chairman of KMI, it allows his company “to dramatically broaden ourfootprint into Canada… There is a definite need for additional pipeline infrastructure from the Alberta oil sandsand we have a great opportunity to use the capital strength of the combined company – along with ourexpertise in building and operating pipelines – to increase capacity on Terasen’s existing pipeline system and help meet the growing demand of an oil-starved world.” This acquisition marks the second time in recent years that a major takeover turned control of a BC-based energy company over to a U.S. company. In 2002, Duke Energy Corp. acquired Vancouver-based WestCoastEnergy Inc. for US$8.5 billion. How did this happen? Terasen Inc. was once, in part, a public utility. Founded in the 1950s as Inland Gas Co., it was a private utility.In 1988, it bought the Lower Mainland Gas Division when that utility was separated from BC Hydro andprivatized under Bill Vander Zalm’s Social Credit government. The new entity became BC Gas Inc. However, thisprivatization was accompanied with the provisions that the number of shares owned by foreign investorscouldn’t exceed 20 per cent, the head office would remain in BC and the company couldn’t be sold or merged. In 2003, Gordon Campbell’s B.C. Liberal government removed these provisions by passing the BC Hydro PublicPower Legacy and Heritage Act. In the same year, BC Gas Inc. was renamed Terasen Inc. Why should we be concerned? This is the latest example of how Canada is losing control of its natural resources (including their transportationand distribution). While Terasen doesn’t own any oil or gas patches, it currently delivers most of the natural gas consumed inBritish Columbia, and its pipelines transport 20% of Alberta's total oil production. The pipelines acquired by Kinder Morgan give the Texas company direct access to the oil sands. Following the transaction, Terasen announced that it is moving ahead with its plan to double the current capacity of itsCorridor pipeline, which links Shell’s Edmonton terminals to the oil sands of Muskeg River. Its crude oil TransMountain pipeline links Edmonton to the state of Washington, while its crude oil Express pipeline links Hardisty (near Edmonton) to Wood River, Illinois, while passing through Montana, Wyoming, Nebraska, Kansas, and Missouri. This deal not only transfers control of the natural gas distributor for 95% of B.C. households to a U.S.corporation, it also puts a strain on consumer price regulation in B.C. Increased natural gas demand in the U.S.will likely make it more profitable for Terasen to export rather than to supply domestic demand. This saleconstitutes another step toward the harmonization of natural gas prices at North American rates. If ratified, this deal would increase U.S. energy security at the expense of Canadian energy security. What’s next? The sale of Terasen still has to be approved by three separate bodies. A Terasen shareholders’ meeting has to be scheduled prior to October 31, 2005 where 75 per cent of the shareholders will have to vote in favour of thesale to approve it. The sale also has to be approved by the British Columbia Utilities Commission (BCUC), as well as by Investment

Thesale of WestCoast Energy Inc. to Duke Energy Corp. was ratified by both bodies and set a precedent. What can you do? The deal can be stopped if 25%+1 of shareholders votesagainst it. Half of Terasen’s shareholders are individuals, but the other half is comprised of public pension plan boards,mutual funds, and shares helds by officers and employees of the company through stock options and stockpurchase plans. The Canadian Pension Plan Investment Board is a good place to start, as it holds 7.3%. Other public investmentbodies include the B.C. Investment Management Corporation (2.8%) and the Caisse de dépôt et placement du Québec (0.2%). Below is a sample letter that we urge you to send both to the BC Utilities Commission and to the InvestmentReview Branch of Industry Canada: Dear Sir/Madam, I am writing in order to share my deepest concern regarding the sale of Terasen Inc. to Kinder Morgan Inc.,which you will soon be asked to approve. Since the implementation of the Canada-U.S. Free Trade Agreement, I have witnessed the increasing loss ofcontrol over the country’s energy resources and its infrastructures. From the elimination of the 25-year contingency reserve provision, to the implementation of the proportional sharing provision, most of Canada’s energy decisions have resulted in our country losing sovereignty over our resources. This sale will undoubtedly rob B.C. communities of the power to influence future energy decisions in theprovince. It will also reinforce the view that Canadians are, in effect, becoming tenants in their own land. I urge you to prevent this deal by refusing to ratify it until such time as an exhaustive evaluation of Canada’s energy situation is completed and provincial – and national – energy strategies are drafted and adopted. As the U.S. Administration is keen to highlight, control of energy resources will be the struggle of the future. Canadaneeds to start preparing for this struggle and defending infrastructures built and paid for by the Canadian

Hello, my name is Jared Jones, I am a young first time home buyer, I purchased a home approx. one year ago. I am very concerned on the sale of Terasen gas to an american company. I feel that one of Canadas most prize possesions is it's natural resources, and it pains me to see the distribution of these resources turned over to an american group. Especially at a time when trade tension between Canada and the US is so high, in regards to the softwood lumber dispute.

My concerns lie in two areas:1) a personal concern for the cost I will incur to continue my current living situation.2) the revenues we are shipping into American coporations.

Please, please stop selling our country, piece by piece to the United States! The short sightedness of this folly astounds me. The future of our young Canadians is being traded for short term financial gain. You need just look at the way Canada is being treated over the soft wood lumber dispute to clearly see how the USA abides by the law or it's agreements. Why would any country, treated so, continue to do business with them? This is stupidity in the grandest form. I would like it to be explained to me just what long term benefits the sale of Terasen Gas to the USA would be to Canada and British Columbia in particular. To whom it may concern, As a BC resident and consumer, i oppose the Terasen Gas sale to an American company as they have been swallowing up BC's natural resources any way the can. Why are we giving up control of our resources ? Are we selling the whole farm and country? Canada can survive just fine on it's own resources without selling it to US then having to buy it back from overseas. Dear Sir/Madam,

I am writing in order to share my deepest concern regarding the sale of Terasen Inc. to Kinder Morgan Inc., which you will soon be asked to approve.

Since the implementation of the Canada-U.S. Free Trade Agreement, I have witnessed the increasing loss of control over the country's energy resources and its infrastructures. From the elimination of the 25-year contingency reserve provision, to the implementation of the proportional sharing provision, most of Canada's energy decisions have resulted in our country losing sovereignty over our resources.

This sale will undoubtedly rob B.C. communities of the power to influence future energy decisions in the province. It will also reinforce the view that Canadians are, in effect, becoming tenants in their own land.

I urge you to prevent this deal by refusing to ratify it until such time as an exhaustive evaluation of Canada's energy situation is completed and provincial * and national * energy strategies are drafted and adopted. As the U.S. Administration is keen to highlight, control of energy resources will be the struggle of the future. Canada needs tostart preparing for this struggle and defending infrastructures built and paid for by the Canadian public.

DON’T SELL TERASEN GAS TO KINDER MORGAN

I am writing this letter to ask that Campbell Riverites call on the provincial government to stop the sale of Terasen Gas to a U.S. power corporation Kinder Morgan. Terasen Gas, formerly a Crown corporation called B.C. Gas, is a natural gas utility and oil pipeline company that supplies gas to 875,000 B.C. customers. The proposed sale has to be approved by the B.C. Utilities Commission and hearings on this matter are pending. I can think of three good reasons why we should be concerned about this enough to urge a halt to this sale: 1. When Canada signed the North American Free Trade Agreement, we signed away our energy security. We now sell almost 60% of our natural gas to the U.S.A. When we face inevitable shortages in the future as gas reserves decline, our Canadian energy needs will take a backseat to the provisions in the NAFTA that we have to keep selling at least this percentage to the U.S.A. Once they have control of our natural gas distribution, Kinder Morgan will build more pipelines to the U.S.A. and the percentage we have to sell to the U.S. under NAFTA rules will climb even higher! 2. Kinder Morgan already has a history of bad environmental and safety standards. They have had deaths & pollution in California due to their failure to upgrade old pipelines. Some of the B.C. pipelines are over 50 years old. Will Kinder Morgan’s priority be replacing corroded pipelines in B.C. or will it be to lay new pipeline to the U.S. markets? I think this corporation’s prime goal of maximizing profits reveals what the answer will be. 3. Profits from natural gas sales will now go to Kinder Morgan’s Texas headquarters rather than remain in B.C.

Also, it’s time that we should be sending a strong message to the U.S.A. objecting to their stance that, despite NAFTA rulings in Canada’s favour, they will continue to support softwood lumber duties and refuse to return the 5 billion dollars owed to the lumber companies in Canada. It’s beyond negotiation time…and is a wakeup call to the average Canadian that we should pull out of NAFTA …but, in the meantime, one good avenue of retaliation would be to kill the sale of Terasen Gas to Kinder Morgan as Carol James and Pat Carney have recommended! I am sending a copy of this letter to the B.C. Utilities Commission Secretary [email: [email protected]] and I urge people to write their own letters to the B.C.U.C. demanding that the sale of Terasen to Kinder Morgan NOT be approved. Hobbs Chair British Columbia Utilities Commission Mr. Hobbs, I cannot find strong enough terms to convey to you the dismay I feel when I hear that the BCUC is even considering an application from KMI to acquire Terasen Gas. If recent events that include the softwood lumber dispute, which has cost Canadian lumber producers in excess of % billion dollars and countless jobs, the ban on Canadian beef which has done much the same damage and now the blatant profiteering being engineered by US based oil companies at the expense of lives in Louisiana, Mississippi and Alabama are not enough to convince the Commission that this is one of the worst ideas in history then my single voice may not make any difference. What will you and the other members of the BCUC say to fixed income earners when KMI increases the price 10 fold because "demand" has increased and/or "supply" has decreased? (Don't believe it could happen? Take a look out your window at the local ESSO station sign and remember what the number was on it on Monday!) How do you intend to answer critics who say that it was the BCUC decision that set the precedent that lead to our loss of sovereignty over our resources, most specifically water? What do you say to the fact that the CEO of KMI, Richard Kinder, oversaw Enron Corporation shortly before it sunk into the abyss taking with it thousands of investors and billions of dollars and now the BCUC is considering giving him control over a commodity that can mean life or death in this country. As a Canadian I ask that the BCUC make the right decision by rejecting the KMI application. Canada and BC should be energy exporters to the world not a nation and a province dependent on the vagaries of air conditioning requirements in California or watering restrictions in Arizona. As a Terasen Gas customer, I wish to voice my dismay with the sale of Terasen to a U.S. Company. As wellI understand that Terasen has applied to your commission for a 5-10% increase in the price they charge residential customers for natural gas, because of the increase in the cost at the well head. My question to you is this. When the price at the well head does drop, does the price to residential customers drop as well? My experience has been that it dosen't.
