EBiponon.com Terms and Conditions For Merchants:

• Merchant / Vendor will provide stock details of the mentioned product

• Merchant / Vendor will provide product images at least 2-4 clear picture

• Merchant will not disclose the price and negotiation terms to any other online store without prior permission

• Merchant will keep eBiponon.com updated with the product stock and new arrivals on regular basis.

• Merchant will bear the Warranty of the product (if any) as per products package and manufacturer disclosure

• Merchant / vendor cannot withdraw any product without concerning with eBiponon.com until the product has dispute or manufacturer withdrawal of the same mentioned product.

• If any product has a dispute or faulty the Merchant will replace the product within 7 days after receiving the dispute complain.

• Merchant will provide the best pricing to eBiponon having at least 20-25% ratio based on products type and category.

• Merchant can provide Video of the product in addition for more authenticity of the mentioned product display and selling at eBiponon.com (Optional)

• Merchant will deliver the product to eBiponon.com’s office premises for delivery.

• If the product size is too big / weighty to handle then Merchant will not bring that to eBiponon.com Office and deliver the product on behalf of eBiponon.com to the respective customer based on shipping address provided by eBiponon.com. eBiponon.com will pay the shipping cost to the Vendor / Merchant for this delivery on behalf of eBiponon.com

• Merchant will ensure product quality, QA check before the delivery and Final Quality check at eBiponon.com premises.

eBiponon.com Responsibilities:

A. eBiponon.com will use Merchant materials including copy, content, images and Intellectual Property to present and promote the product.

B. eBiponon.com will perform the following marketing activities as below:

• eBiponon.com will promote the product through its website

• eBiponon.com will send email news-letters to all its registered members.

• eBiponon.com will go through the wall post of eBiponon.com fan page on facebook.

C. eBiponon.com is responsible for all customer service issues related to the purchase and delivery of the product. (** based on the product type)

Merchant’s Responsibilities

From the effective date of the offer under this Agreement Merchant becomes a regular supplier of products that they sell to market.

1. General

This Agreement will be effective from the date the agreement is acknowledged until each Party’s obligations regarding any product / dispute. As between the parties,

• Merchant owns all material provided to eBiponon.com in connection with the product; and

• eBiponon.com owns all other material used to present Offer to Customers, including the technology and web pages related to, and all Intellectual Property Rights incorporated in or to, the Product.

Merchant will hold eBiponon.com harmless against any and all claims, losses or costs (including court costs and reasonable attorneys’ fees), arising out of or resulting from any claim by a Customer that

This Agreement sets forth the entire understanding of the parties as to its subject matter and may not be modified except in a writing signed by both parties. This Agreement is government by the laws of Bangladesh without regard to any provisions of its choice of law rules that would result in a different outcome. Each party irrevocably consents to the exclusive jurisdiction of and venue in Bangladesh.
