1 Introduction Thisbookletsetsoutthestandardtermsand

conditionsapplyingtotheacceptanceofCardsundervarioustypesofMerchantFacilitiesprovidedbyus.Ifyouacceptouroffer,asdescribedbelowyourlegallybindingcontractwithuswillcompriseoftheinformationwegiveyouwhenwemaketheoffer,ina letterorinsomeotherway,including:

• thisbooklet;

• theMerchantOperatingGuide;

• thebooklet“YourGuidetoMerchantFeesandCharges”(whichsetsoutstandardmerchantfeesandcharges);

• thebooklet“FraudPreventionforMerchants”;and

• thebooklet“YourGuidetothePaymentCardIndustryDataSecurityStandards”(Agreement).

PleasenotewehaveanumberofMerchantFacilityproducts.SomeoftheseproductsrequireyoutoenterintoanMSAContract.Ifweagreetoprovideyouwithoneormoreoftheseproducts,yourlegallybindingcontractwillconsistoftheMSAContract,thisbookletandtheinformationwegiveyouwhenwemaketheofferandanyotherdocumentswhichwenotifyyouwillgovernyouruseofthatproduct(s)(suchas,butnotlimitedto,aProductModule).

UnderthisAgreement,youalsomustcomplywithanyManualsorguidesweprovidetoyoufromtimetotimeinaccordancewiththeirterms.(Wemayprovidesuchdocumentstoyouelectronically.)

ThisAgreementwillbecomebindinginanyofthefollowingways:

(a) bycommencingtoprocessTransactionsthroughtheMerchantFacility;

(b) takingdelivery,eitherofanyEquipmentenablingtheprocessingofTransactionsundertheMerchantFacility,orofanymaterialstobeusedbyyouduringthecurrencyofthefacility;or

(c) ifyouareaneCommerceMerchant,bycontactingourMerchantHelpdesktoobtainaMIDandMerchantCategoryCode.

Ifyouacceptourofferinamanneroutlinedabove,youundertaketous:

(i) toobserveatalltimesyourobligationssetoutintheAgreementandanyManualsorguidesweprovidetoyou;

(ii) toexecuteanydirectionsandauthoritieswerequiretogiveeffecttoanyofyourobligationsundertheAgreement;and

(iii) nottoimplementanyagreementsimilartotheAgreementwithanyotherfinancialinstitutionwhiletheAgreementisinoperation.

IfyoudonotwishtoacceptourofferofaMerchantFacility,youmustimmediatelycontactustowithdrawyourapplicationwhereuponwewillcancelyourMID.Evenifyouhavenotdoneanyofthethingssetoutinclauses1(a),(b)or(c),youwillbedeemedtohaveacceptedourofferifyouhavenotcontactedustowithdrawyourapplicationwithinfourteen(14)BusinessDaysafterthedateoftheoffer,whetherina letterorinsomeotherway.

IfweapproveasubsequentapplicationfromyouforanothertypeofMerchantFacility,thetermsandconditionssetoutinourletterforthatMerchantFacilitywillapplynottheAgreement.

2 DefinitionsandInterpretation2.1 Inthisbookletthefollowingwordshavethese

meaningsunlessthecontraryintentionappears:

“Account”meansanyaccountnominatedbyyouforthepurposesofthisAgreement(includingsettlement,Chargebackorbillingpurposes);

“Accredited Gateway Provider/Data Processor” meansagatewayprovider/dataprocessorwhorepresentstoBankSAthattheyarecompliantandwillcontinuetobecompliantwithPCIDSSstandardsandagreestocomplywithourrequirementsincludingsecurityandtechnicalstandardsandcan be identifiedthroughappearingonthelistingat banksa.com.au;

“ADC”(beinganAccountDataCompromise)meansanyeventwherebytheBankoryou(oranyofyourofficersoremployees),oranyServiceProviderfacilitatingthestorage,transmissionorprocessingofcardpaymentsfororonyourbehalf,suspectorhaveconfirmationofunauthorisedaccesstoCard Information;

“Agreement”hasthemeaninggiventoitinclause1asamendedfromtimetotimeunderclause18;

“Authorisation”meanstheresponsetoyourequestingourapprovalforaCardtobeusedfora particularTransaction,whetherthroughoperationoftheTerminalorbytelephoneifthereisaserviceinterruption,seeclause4.3;

“BankSA”, “we”, “us” or “our”meansBankSA−a DivisionofWestpacBankingCorporationABN 33 007 457 141;

“Business Day”meansanyday(otherthanaSaturday,Sundayorpublicholiday)betweenthehoursof9.00amand5.00pmonwhichbanksareopenforbusinessinNewSouthWales.

“Card”means:

• avalidpaymentcardissuedbyamemberoraffiliateofMastercard®onwhichtheMastercardmarksappear;

• avalidpaymentcardissuedbyamemberoraffiliateofVisaonwhichtheVisamarksappear;

• avalidpaymentcardissuedbyamemberoraffiliateofAmericanExpressonwhichtheAmericanExpress®marksappear;

• avalidpaymentcardissuedbyamemberoraffiliateofUnionPayonwhichtheUnionPaymarks appear;

• avalidpaymentcardcapableofacceptanceunder themarkissuedbyanAustralianbankorfinancialinstitution;

• aChargeCard;

• anyothervalidpaymentcardissuedunderanyloyaltyprogramme;or

• anyothervalidpaymentcardissuedbyanotherentitywhichwerequestyouhonourandyouagreetohonour,andincludesaVirtualCard;

“Card Scheme”meanstheMastercard,Visa,AmericanExpress,UnionPay,DinersClub,Discover,JCBandePALcardschemesandanyothersimilarschemesprovidedthatweareamemberoforparticipateinthatscheme;

“Cardholder”meansapersontowhomaCardhasbeenissued;

“Card Information”meansinformationaboutorrelatingtoanaccountorcredit,debitorotherformof paymentcardofaCardholder;

"Cash Out"meansaservicewhereaCardTransactionisusedbytheCardholdertoobtaincash;

“Chargeback”meansadebitentrytoyourAccountprocessedbyuswhichisthereversalofacreditpreviouslysettledtoyou,asaresultofaninvalidTransaction(asdescribedinclause7);

“Charge Card”meansaCardissuedunderanyoneofthefollowingCardSchemes:AmericanExpress,DinersClub,DiscoverorJCB.

“Credit Transaction”meansatransactionprocessedthroughaCardSchemeotherthanePAL.

“Debit Transaction”meansatransactionprocessedthroughtheePALCardScheme.

“Dynamic Currency Conversion”(DCC)meansafacilitywhichenablesCardholderswhohaveCards issuedbyanon-AustralianfinancialinstitutiontoelecttopayforgoodsorservicesinAustraliandollarsortheirlocalcurrencyatthetimeofthepurchase.DCCisonlyavailableinanumberofselectednon-AustraliancurrenciesandoneligibleMerchantFacilities;

“eCommerce Merchant”meansaMerchantwhohasbeenauthorisedbyustoacceptCreditCardTransactionswhilstconductingthesaleofgoodsorserviceswithaCardholderusingafixedlineorwirelessconnectionovertheinternetorother network;

“eCommerce Merchant Facility”meansanymethodand/ordeviceutilisedbyyou,orbyanyServiceProviderthatmaybeusedtoengageintheacceptanceortransmissionofCreditCard

TransactionsorstorageofCreditCardpaymentdetails.Thisdefinitionincludesbutisnotlimitedto allsoftware,hardware,databases,digitalimageandphysicalrecordsusedand/ormaintainedbyyouand/ortheServiceProvider(s);

“eCommerce Transaction”meansaCreditCardTransactionbetweenyouandaCardholderwherethe CardholdersendsCardInformationtoyouovertheinternetorothernetwork(includingviaaWebsite),regardlessofhowtheinformationistransmittedfromyoutous;

“EFTPOS”meanstheElectronicFundsTransferatPointofSalesystem;

“EFTPOS Trade Mark”meansallregistrationsfortheeftposlogothatareownedbyePALoranyothertrademarkdevelopedoracquiredbyePALthatarecontainedinyourMerchantOperatingGuidefromtimetotime;

“Electronically”means:

electroniccommunicationtoyournominatedelectronicaddress;or

makingparticularsofchangesavailableatourwebsitebanksa.com.auandnotifyingyoubyelectroniccommunicationtoyournominatedelectronicaddress;

“ePAL”meansPaymentsAustraliaLimited;

“ePAL Scheme Rules”meanstheePALSchemeRulespublishedbyePALonitswebsitefromtimetotime;

“Equipment”includesanyTerminal,powercords,caradapters,dockingcradles,theuserandtechnicalmanualsandanyothermaterialsoritemssuppliedbyusfromtimetotimeorsuppliedbyathirdpartyandapprovedbyusforuseasEquipment;

"First Data"meansFirstDataResourcesAustraliaLimitedABN88002603830

“Floor Limit”meansthetotalvalueofsalesorcashoutwhichyouareauthorisedfromtimetotimetomaketoaCardholderonanyoneoccasioninrespectofanyoneCardwithoutobtaininganauthorisationnumberfromus.Wemaychangeyourauthorisedfloorlimitatanytimebygivingnoticetoyou;

“GST”hasthemeaninggivenbytheGSTLaw;

“GST Law”hasthemeaninggiventothatterminA New Tax System (Goods and Services Tax) Act(Cth)1999,or,ifthatActdoesnotexistforanyreason,meansanyActorregulationimposingorrelatingtotheimpositionoradministrationofagoodsandservicestaxinAustralia;

“Law”includesanylaw,statute,regulation,ordinance,proclamation,by-law,statutoryinstrumentororder,Rulesorcodesofconductissuedbyregulatorybodies;

“Manual”includestheQuickReferenceGuide,UserGuide,MerchantOperatingGuideandanyotherpracticaloperatinginstructionsweprovide;

“Mastercard”meansMastercardInternationalIncorporated;

“Merchant Facility”meanstheBankSAapprovedfacilitymadeavailabletoyoutoenableyoutoacceptpaymentsusingCards;

“MID”meansmerchantidentificationnumber;

“Multi Merchant”meansoneofanumberofmerchantswhohaveindividualmerchantagreementswithBankSAandtransacttheirbusinessthroughonesharedTerminal;

“Multi Merchant Facility”providesameanswherebyoneofanumberofmerchantsmayprocessTransactionsfortheirindividualbusinessesthroughonesharedTerminal;

“PAN”meansthePrimaryAccountNumberorCardholderaccountnumbercommonlylocatedonthefrontofaCard;

“Payment Gateway”providesasecuremethodforauthorisingCreditCardTransactionsovertheinternetthroughasystemaccreditedbyBankSA;

“PA-QSA”meansPaymentApplicationQualifiedSecurityAssessor;

“PCI PA-DSS”meansPaymentCardIndustryPaymentApplicationDataSecurityStandards,developedandupdatedbythePCISSCfromtimetotime,andapplyingtosoftwarevendorsandother

vendorsdevelopingpaymentapplicationsthatstore,processortransmitCardInformation,aspartofanauthorisationorsettlementprocess,wherethesepaymentapplicationsaresold,distributed,orlicensedtothirdparties;

“PCI PTS”meansPaymentCardIndustryPINTransactionSecurity;

“PCIDSS”meansPaymentCardIndustryDataSecurityStandardswhicharedevelopedandupdatedbythePCISSCfromtimetotime,withtheaimoffacilitatingprotectionofCardInformationfromunauthorisedaccess,andwhichisapplicabletoanypersonwhostores,processesortransmitsCardInformation.Toavoiddoubt,obligationsinrelationtoPCIDSSapplytoCardswhetherornottherelevantCardSchemeismentionedinPCIDSS;

“PCISSC”meansthePaymentCardIndustrySecurityStandardsCouncil,beinganot-for-profitorganisationresponsibleforthedevelopmentofthePCIDSS,thePCIPTSandthePCIPA-DSSstandards;

“PIN”meanspersonalidentificationnumber;

“PINpad”meansthedevicedesignedaspartof,orforattachmentto,aTerminalandwhichcontainsanalpha/numberfunctionkeyboardbywhichtheusernominatesanaccountandentersaPIN;

“PPSA”meansthePersonal Property Securities Act 2009(Cth);

“PrepaidSale”meansthemerchantreceivespaymentfromaCardholderbeforethemerchanthasprovidedgoodsorservicestotheCardholder;

“Primary Merchant”meansthemerchantofa MultiMerchantfacilitywhoagreestotakefullresponsibilityforthephysicalterminalinaccordancewithclause3ofthisbooklet;

“Privacy Laws”meansthePrivacy Act 1988(Cth)andanyotherapplicableprivacyordataprotectionlawswhichmaybeamendedandinforcefromtime to time;

“Quasi-Cash Merchant”isamerchantwhocarriesoutaQuasi-CashTransaction;

“Quasi-Cash Transaction”meansaTransactionbetweenyouandaCardholderwhereyousellitemsthataredirectlyconvertibletocash.Examplesinclude(butarenotlimitedto)moneyorders,traveller’scheques,preciousmetalsandforeigncurrency;

“Recurring Transaction”meanswhenyouareauthorisedtomakeregulardrawingsonaCardatpredeterminedintervals(nottoexceedoneyearbetweenCardTransactions)withtheCardholder’swrittenauthority;

“RelatedBodyCorporate”hasthesamemeaningasintheCorporationsAct2001(Cth);

“Rules”meanstheCardSchemerulessetbyCard SchemesfromtimetotimeincludingtheePAL SchemeRules;

“Secure Socket Layer (SSL)”meanstheencryptiontechnologyusedonaserverthatencryptsimportantdatasuchascreditcardnumbersandotherinformationwhenitisbeingstoredorpassedfromonedigitaldevice(suchasacomputer)toanother;

“Security Interest”includesanysecurityinterestunderthePPSA,mortgage,pledge,Iien,charge,hypothecation,trustarrangement,titleretentionarrangementorothersecurityinterestor encumbrance;

“Sensitive Authentication Data”includesanyfullmagneticstripe,PINverificationorcodeotherwiseknownasCAV,CVC,CVC2,CVV,CVV2,PVV,PINandPINBlockdataandexcludestheinformationlistedin clause4.12;

“Service Provider”meansanyentityorthird partythatstores,processesortransmitsCardInformationonyourbehalforyouutilisetoassist withtheacceptanceofcardpaymentsincludingbutnotlimitedtoPaymentGatewaysand Web Hosting Providers;

“ShoppingCartVendorSystem”meansthedata processingsystemcomprisingthehardware,softwareandtelecommunicationnetworkutilisedby ashoppingcartvendortoprovideservicesincludinganythirdpartysystemsconnectedtoashoppingcartvendor’shardware,softwareandtelecommunicationsnetwork;

“Small Business”meansabusinesshavinglessthan100fulltime(orequivalent)peopleifthebusinessisorincludesthemanufactureofgoods,or,inanyothercase,lessthan20fulltime(orequivalent)people;

“St.GeorgeGroup”meansSt.GeorgeandanyRelatedBodyCorporateofWestpac;

“Subsequent Merchant”meansamerchantwhoisamemberofaMultiMerchantfacilityandtransactsbusinessthroughasharedTerminalforwhichthePrimaryMerchanthasfullresponsibilityforthephysicalTerminal;

“Terminal”meansthehardwareusedtoacceptCardpaymentsandthesoftwarethatisinstalledonthathardware,andincludesanyreplacementhardware.“Software”includestheoperatingsystem,applicationsoftwareandtheterminalmanagementsoftware,andanyupdatesissuedfromtimetotime;

“Terminal Access Services”meansaccesstoBankSA’sTransactionnetwork;servicesthatfacilitateTransactions,includingtheprovisionoftheinstallation,maintenance,repair,trainingandotherservices,andtheprovisionofaTerminal(includingtherighttousethesoftware)ofthetypeandconfigurationorderedbyyou;

“Trade Mark”meansanylogo,symbol,trademark,tradename,servicemark,brandname,domainname,companyortradingname,tradinggetupandsimilarright,whetherregisteredorunregistered,belongingtousoranyRelatedBodyCorporate;

“Transaction”includesaDebitCardTransactionandCreditCardTransactionaswellasSaleRefundsasdefinedinclause6;

"UnionPay"meansChinaUnionPayCo.,Ltd.;

"VirtualCard"meansaCardSchemepaymentinstrumentvalidlyissuedundertheauthorityofaCardScheme,suchasa'virtualcard'havingavalidlyissuedcardnumberwithassociatedexpirydatewithnophysicalcardissued,oradeviceusing'nearfieldcommunication'orsimilartechnologyundertheauthorisationofaCardSchemetoemulateavalidlyissuedpaymentcard;

“Visa”meansVisaInc.;

“Website”meansaninterfaceorportalpublishedby amerchanttofacilitateaneCommerceTransactionwhichincludesbutisnotlimitedtoawebpage,web portalorsmartphoneapplication;

“WebApplication”meansthesoftwarethatyourbusinessutilisestoadvertisethesaleofgoodsand/orservicesovertheInternet;

“You”meansthepersontowhomtheLetteris addressed.

Ifthereismorethanone,itincludesanyoneormoreofYouandeachofyouisjointlyandseverallyliableunderthisAgreement.Thisliabilitywillcontinueevenwhereoneormoreofyouisnotliableorisno longer liable.

2.2 ForthepurposesofthisAgreement:

(a) TransactioninformationispresentedbythecompletionanddeliveryofavoucherrecordingtheTransactionorbyanyotherformwe approve;

(b) asaleincludesthesupplyofgoodsorthesupplyofservicesorboth;

(c) thewords“include”,“including”,“forexample”or“suchas”arenotusedas,noraretheytobeinterpretedaswordsoflimitationand,whenintroducinganexample,donotlimitthemeaningofthewordstowhichtheexamplerelates;

(d) thesingularincludesthepluralandvice-versa;

(e) thefailurebyeitherpartytoexerciseanyrightunderthisAgreementdoesnotmeanthatpartyhaswaivedthatright;

(f) theword“person”includesanindividual,afirm,abodycorporate,apartnership,ajointventure,anunincorporatedbodyorassociation,oranygovernmentagency;

(g) areferencetoadocument(includingthisAgreement)istothatdocumentasvaried,novatedratifiedorreplacedfromtimetotime; and

(h) areferenceinthisAgreementtoanyLaw,legislationorlegislativeprovisionincludesanystatutorymodification,amendmentorre-enactment,andanysubordinatelegislationorregulationsissuedunderthatlegislationorlegislativeprovision(howeverdescribed).

3 Equipment3.1 Youmustatyourexpense,prepare(andkeep

prepared)atyourpremisesasitewhichmeetsourspecificationsfortheinstallationofTerminalsasoutlinedintheMerchantOperatingGuide(suchasapowersupplyortelephonelineifapplicable)fortheuseofyourEquipmentinaccordancewiththeManualsandanytechnicaldocumentationfromthemanufacturerorsupplieroftheEquipment.

3.2 Youwillallow(andwhereapplicableensureyouhavetherighttopermit)atalltimesourrepresentativestoenteryourpremisesandaccesstheEquipmenttoinstall,move,maintain,repair,replaceorremovetheEquipmentortoensurethatyouarecomplyingwiththeAgreement,duringbusinesshoursoratanyotherreasonabletime.Wemaydothisevenifitdisruptsyourbusinessactivities,providedweareactingforareasonablepurpose.

3.3 UponinitialinstallationofaTerminalwewillprovidetrainingeitherface-to-face,onlineorviathephone,ontheuseoftheTerminaltotheindividual(s)youdesignate.Thesepeoplemustbeavailableatthetimeofinstallation.Youareresponsible,atyourcost,totrainallemployees,contractorsoragentswhoaccesstheTerminal.YoumustnotpermitanyuntrainedorunauthorisedpersonstooperateorotherwiseusetheTerminal.

3.4 IfaTerminalmalfunctions,orforanyreasonisnotabletoprocessTransactions,youshouldreportitimmediatelytous.WewillendeavourtoremedytheproblemandmayarrangefortheTerminaltoberepairedorreplacedatourdiscretion.YoumustnotcarryoutaTransactionusingamalfunctioningTerminal.ItisyourresponsibilitytoensurethatothermeansareavailableatshortnoticetoenableyoutocontinuetoprocessTransactions.Thismayincludeidentifyingtoyourcustomersthelocationoftheclosestautomatictellermachine.

3.5 IfyouuseTerminalssuppliedbysomeoneotherthanus,youmust:

(a) onlyuseTerminalswhichwehaveapprovedastechnicallycompatiblewiththesystems,EquipmentandsoftwareusedbyusforthepurposesofourCardTransactionfacilities,andinusinganysuchTerminalsyouwillcomplywith

anyconditionsastoitsusewhichwespecifyinourapproval.WemaychargeyouareasonablefeefortestingandassessingthesuitabilityofTerminalssuppliedbypersonsotherthanus;

(b) payallcostsandexpensesrelatingtotheinstallationofthoseTerminals;

(c) payallcostsandexpenseswheredevelopmentisrequiredbyustosupporttheTerminals,whereweagreetoundertakethiswork;

(d) payallcostsandexpensesrelatingtothemaintenanceofcompliancefortheTerminals;

(e) informuspriortoyourdispossessionofanyoftheTerminals;

(f) complywiththetermsofanyagreementinrelationtotheTerminals;and

(g) upgradetheTerminalsintheeventofanindustryorsecuritystandardchange.Wewillprovidenoticewherethisisrequired.

3.6 WemaysupplyyouwithEquipment,Manuals,Carddecalsandpromotionalmaterialonagreedtermsandconditionsfromtimetotime.Youagreetodisplayprominentlyateachofyourpremisesallsigns,advertisingandpromotionalmaterialwesupplytoyou.YoumustnotuseanyadvertisingorpromotionalmaterialinrelationtotheCards,exceptasauthorisedbyus.

3.7 ForthedurationoftheAgreementyoumust:

(a) useandoperatetheEquipmentwithreasonablecareonlyinaccordancewiththeuserandtechnicalmanualsandanyotherinstructionsprovidedtoyoubyusandallowonlyyourfullytrainedstafftooperatetheEquipment;

(b) allowonlyusorourrepresentativestomaintain,replace(includinganyupgradesperformedbyusfromtimetotime)orremovetheEquipment;

(c) allowustoupgradetheEquipmentasrequiredincludingwhenindustryorsecuritystandardschange.IfyouuseaTerminalprovidedbysomeoneelseyoumustupgradeitwhenwe tell you;

(d) keeptheEquipmentsecureandunderyourcontrol,and(unlessitisamobileTerminal)atthepremisesatwhichitwasinstalled(oratsuchotherlocationasisagreedbyus);

(e) insuretheEquipmentagainsttheft,loss,damage,vandalism,fire,flood,earthquake,misuseorneglect,foritsfullreplacementvalue;

(f) takepropercareoftheEquipment.YouareresponsibleforanycostsincurredinthereplacementorrepairoftheEquipmentdue totheft,lossordamage(fairwearandtear excepted);

(g) notprocessaCardTransactionwithoutpresentationofaCard,unlesswehavegivenyou authoritytoacceptmailandtelephoneordersfromCardholdersoryouareaneCommerceMerchant;

(h) notprocessaTransactionbymanuallykeyingdetailsintotheTerminalunlesspreviouslyagreedbyus;

(i) usereasonablecaretodetectforgedorunauthorisedsignaturesortheunauthoriseduse ofaCard;

(j) immediatelyalertusandyourServiceProvider,iftheEquipmenthasbeendamaged,stolenormislaidorifyoususpectthattheEquipmenthasbeentamperedwith;

(k) notmodifytheEquipmentinanyway;

(l) youmustensureyourTerminalreceivesallsoftwareupdatesinatimelymannerbyleavingyourTerminalpoweredonandconnectedovernightatleastonceevery30days.

3.8 YouacknowledgeandagreethattitleintheEquipment,Manuals,Carddecalsandpromotionalmaterialweprovideyouremainswithusoroursuppliersatalltimes,andisnottransferredtoyou.Youmustnotsell,assignorencumberthem,norprovidethemtoanythirdparty.Youmustnotremoveanyplates,stickersormarkerswhichareusedtoidentifytheEquipmentand/ortheowneroftheEquipment.Wemay,withoutyourconsent,giveathirdpartyanyformofinterestin,orsecurityover,theEquipmentorallorpartofyouragreementwithus.

3.9 WemayatanytimereplaceanyEquipmentwithnewEquipment.IfwereplaceanyEquipmentwewillnotifyyoupromptlyofanyadditionalamountspayablebyyoutous.Whenrequested,youmustdiscontinueuseofanyEquipmentthathasbeenreplaced.YoumustalsofollowourreasonabledirectionsregardingthereturnordisposalofanyEquipmentwhichhasbeenreplaced.

3.10 TheTerminalissuppliedstrictlytoenableyoutoprocessCardTransactionsundertheAgreement,andanyotherkindsofTransactionswhichmaysubsequentlyberegulatedbytheAgreement.

3.11 YourrightsintheEquipmentdonotextendbeyondanon-transferrable,non-exclusivelicencetousetheEquipmentsolelyforyourlawfulTransactionsin Australia.

4 Processing Transactions4.1 YoumustprocessallTransactionsinaccordancewith

allapplicableLaws,anyobligationsintheAgreementandanydirectionofBankSAincarryingoutactivitiesrelatedtoyourMerchantFacility.

4.2 YoumustprocessallTransactionsinAustraliandollarsexceptwhereyouhavebeenapprovedforDynamicCurrencyConversion(DCC).YoumayearncommissionsoncurrencyconversionTransactionsattheratespecifiedfromtimetotime.

4.3 YoumustobtainpriorAuthorisationforthetotalamountofthesaleifitexceedstheapplicableFloorLimitwhenprocessingTransactionsviaaTerminal.Foralltelephone,facsimileoronlineTransactionsprocessedthroughaTerminalyoumustobtainpriorauthorisation.YouareresponsibleforverifyingtheidentityoftheCardholder(forexamplebyensuringthatthesignatureoranyotherCardholderauthorisationonthevoucherisnotforged,obtainedbyfraudordeception,orunauthorised)andthattheTransactionisnototherwiseinvalid(refertoclause 7).

4.4 ThroughoutCardholdercontact,youmustprominentlyandunequivocallyinformtheCardholderofyouridentitysothattheCardholdercanreadilydistinguishyoufromanysupplierofgoodsorservicestoyouorotherthirdparties.

You mustalsoprovidenoticetotheCardholderthatyouareresponsiblefortheTransaction,includingthegoodsorservicesacquiredbyuseoftheCard,aswellasforrelatedcustomerservice,disputeresolutionandperformanceofthetermsandconditionsofthe Transaction.

4.5 YouareresponsibleforensuringthataTransactionisapprovedordeclinedbeforeprovidingaCardholderwithgoodsand/orservices.Wetakenoresponsibilityandwillnotprovidecompensationwheregoodsorservices(includingCashOutTransactions,wherepermitted)areprovidedfordeclinedTransactions.

4.6 YoumustonlyprocessTransactionsandpresentvoucherstousincircumstanceswhereyouhaveactuallysuppliedtherelevantgoodsorservicestoaCardholderforwhichtheCardwasusedforpayment,unlesswehavespecificallyagreedthatyoumayprocesspre-paymentTransactionsandtheCardholderhasexpresslyauthorisedtheTransactionbeingprocessedearlier.

4.7 Whereyouhaverequested,andwehaveagreed,toprocessoff-lineTransactionswithoutreal-timeauthorisationfromtheCardissuerandoutsidetheparameterssetwithintheCardthatdefinetherulesandlimitswithinwhichtheCardcanperformTransactions,youwillbeliableforanyresultingfraudulentTransactionsorchargebacks.

4.8 YoumustnotsplitaTransactionintotwoormoreTransactionsonthesameCardtoavoidhavingtoobtainanAuthorisation.Youwillnotbeinbreachof thisclausebysplittingaTransactioninthefollowinginstances:

(a) whentheCardholderbillsaportionoftheTransactiontoaCardandpaystheremainingbalancebycashorchequeonly;or

(b) whenthegoodsorserviceswillbedeliveredorperformedaftertheTransactiondate,andonevoucherrepresentsadeposit,andthesecondvoucherrepresentspaymentoftheremainingbalanceandthesecondvoucherisconditionaluponthedeliveryorperformanceofthegoodsorservices.

4.9 YouwillnotundertakeanyTransaction:

(a) representingarefinanceortransferofanexistingCardholder’sfinancialobligationtoyou(whetherornotyouconsiderthattheobligationisnotcollectable);or

(b) asanalternatewayofacceptingpaymentduetothedishonourofaCardholder’spersonal cheque.

4.10 Ifrequiredbylaw,wewillforwardtoyoumonthlystatements.StatementswilltaketheformofTaxInvoices.Thismaybeinelectronicformat.

4.11 UndernocircumstancesshouldyourequestorallowanyCardholdertodisclosetheirpersonalidentificationnumber(PIN),passwordorothercodeorinformationthatcanbeusedtoaccessacustomer’saccount,foryoutoretain.YoushouldonlyretainaCardifweaskyoutodoso.Withoutlimitingyourotherobligationsinthisclause4.11,youwillnotdisclose,give(otherthantousorunlessrequiredbylaw),buy,sellorexchangeaCardholder’snameorCarddetailstoanyperson.

4.12 Subjecttoclause4.13,youmaystoreonlythefollowingCardInformation,andineachcaseonlyifthereisagenuinebusinessneedtodoso:

(a) PANswhichhavebeenrenderedunreadableincompliancewiththePCIDSS;

(b) Cardholdername;

(c) Cardexpirydate;and

(d) extendedservicecode(used for Smart Card processing).

Ifthegenuinebusinessneednolongerexists,therelevantCardInformationmustbedeletedordestroyedinaccordancewiththePCIDSS.YoumuststoreCardInformationsecurelysuchthattheinformationcannotbereasonablycompromised.

4.13 UndernocircumstanceswillyoustoreSensitiveAuthenticationDataafterobtaininganAuthorisation.AllCardInformationelementsnotlistedinclause4.12areconsideredtobeSensitiveAuthenticationDataandarenottobestoredunderanycircumstancesafterAuthorisation.

4.14 UndernocircumstancesshouldyourequestoruseCreditCarddetailsprovidedviaemailforpaymentoftheprovisionofgoodsorservices.Ifprovided,youmustnotusethemforanypurposeandmustimmediatelysecurelydestroythesedetails.

4.15 YoumustnotprocessorencourageTransactionsthroughtheMerchantFacilitythatrelateto,orareinconnectionwith,thesaleofgoodsorservicesthatareincontraventionofthelawsofAustralia,thelawsofyourjurisdictionorthelawsoftheCardholder’sjurisdiction(includingbutnotlimitedtotheviolationofexportcontrols,obscenitylawsorgamblinglaws).Youmustnotofferforsalegoodsorservices,oruseordisplaymaterials,thatareillegal,obscene,vulgar,offensive,dangerousorareotherwiseinappropriate.YouarerequiredtocomplywithanyindustrycodeofconductspecificallyregulatingorprohibitingtheretentionbyyouofCardholder’spersonalidentificationnumbers,passwordsorothercodesor informationthatcanbeusedtoaccessaCardholder’saccount.

4.16 WewillnotberesponsibleorliableforanydelaythatmightoccurintheprocessingofpaymentsoranylostTransactionsthatmightoccurwheretheMerchantFacilityisnotavailableforanyreason.This includesinstanceswhereCashOutTransactionsarenot available.

4.17 WearenotliableforanylosswhichyoumaysufferresultingfromourfailuretocreditanAccountduetotechnicaloradministrativedifficultiesrelatingtothebankingsystemusedforthetransferoffunds.ThisalsoincludesinstanceswhereyourMerchantFacilityisunabletosettleforanyreason.

4.18 YouacknowledgethatFirstDataisengagedbyustoprovideAuthorisationservicesandtherelationshipbetweenusandFirstDataisnotanemploymentorfiduciaryrelationship.OnlyCreditCardTransactionscanbeauthorisedbyFirstData.YouacknowledgeandagreethatifaDebitCardTransactionusingavalidTransactionCardcapableofacceptanceunderisdeclinedbytheissuingAustralianbankorfinancialinstitution,thenwewillbeunabletorecoverthevalueoftheDebitCardTransactionforyouandwewillhavenoliabilitytoyouoranythirdpartyinrespectofthatDebitCardTransaction.

4.19 WemaynotifyyouifyouhaveexcessiveChargebacksand/orfraudulentTransactionsinanyparticularcategoryorifaparticularcategoryis atriskofexceedingthethreshold.Youmusttakeimmediateactiontorectifythesituation.Failuretoresolvethecauseoftheproblem,inaccordancewithourinstructionsmayresultinChargebacksornon-complianceCardSchemefineswhichmaybe passedontoyou.

4.20 IfwedeterminethatyourconductinprocessingTransactionsmaycauselosstoyouorBankSA,wemaywithdraworimposefurtherconditionsonanyauthorisationwehavegivenforcard-not-presentTransactions.Youmustcomplywithanysuchcondition.

4.21 YouarerequiredtoobtainandholdCardholderauthorisationforallRecurringTransactionsandensurethenominatedcardiswithincurrentvalidityatalltimes.

4.22 WemayauthoriseyouinwritingtoofferCashOutTransactionsonanyconditionswespecify.YoumustnotofferCashOutTransactionsunlesswehaveauthorisedyoutodoso,howeveryouneednotofferthemifwehavegiventhatauthorisation.

4.23 IfwehaveauthorisedyoutoofferCashOutTransactions,thenunlessweagreeotherwisein writing:

(a) youmustofferthemonlyinAustraliandollars;

(b) youmustofferthemonlyinthecaseofaTransactionwheretheCardholderandCardare present;

(c) youmaynotoffertheminrelationtoaCreditCardTransaction;

(d) youmustprocessCashOutTransactionsonlyusingtheCashOutmenuorfacilityonyour Equipment;

(e) youmustprovidethewholeoftheCashOutTransactionamounttotheCardholderinlegaltender(thatis,validbanknotesandcoins),andmustnotwithholdanyofthevalueoftheCashOuttransaction,otherthanasurchargepermittedunderclause5.

5 Surcharging5.1 Youagreeto:

(a) chargeaCardholderapriceforgoodsandservicescomparabletothepriceyouchargefor cashforthosegoodsandservices;and

(b) honouraCardtenderedbyaCardholderfor the paymentofgoodsorservicestobesuppliedbyyoutotheCardholderinaccordancewiththeAgreement.

5.2 IfyouchargeafeeforTransactions,youmustclearlydiscloseanysurchargesthatmightapplybeforeprocessingtheTransaction.Anysurchargemustbeincludedintherelevanttransactionandnotprocessedasaseparatetransaction.Forexample,whereasurchargeappliestoapurchaseTransaction,thesurchargemustbeaddedtotheamountofthepurchaseTransactionandmustnotbeprocessedasa separateCashOutTransaction.

5.3 WhenyouareprovidingaSalesRefundonaTransactionthatincludedasurcharge,theSalesRefundforthatTransactionmustincludethefullor proratedsurchargeamount.

5.4 YoumustlimittheamountofanysurchargetothepermittedamountforthatTransactionasprovidedbytheReserveBankofAustraliainastandardorotherinstrumentasupdatedfromtimetotime.

5.5 BeforeaTransactioniscompleted,youmustallowtheTransactiontobecancelled,withouttheCardholderincurringanycostafteradvisingtheCardholderofthetotalTransactionamount.

5.6 YouacknowledgethatCardissuersmayfromtimetotimechangetheclassificationofaCard(i.e.standardorpremium)and,asaresultwhenapplyingasurchargeratetoaCardholder,itcannotbeguaranteedthattheclassificationoftheCardonwhichyouhavebasedthesurchargewillbethesameastheclassificationonwhichyouarechargedyourmerchantservicefeeinrelationtothesameTransaction.

5.7 YouwillpayanyfinesassociatedwithyournoncompliancewithCardSchemesurchargingrules.

6 Sale Refunds6.1 Youmustestablishafairpolicyfortheexchange

orreturnofgoodsandforthere-performanceofservices,andforthehandlingofrefundsanddisputedamounts,whichcomplieswithallapplicableLawsincludingtheAustralianConsumerLaw.Subjecttoclauses6.2and6.3,youagreetogivecredittoCardholdersinrespectofanyrefundsforgoodsandservicesordisputedamounts(asapplicable)bymeansofasalesrefundTransaction(SaleRefunds)assetoutintheManualsandnotincashorbycheque.

6.2 Subjecttoclauses6.3to6.6,youmayprocessSaleRefundsbytransferringtheamountoftherefundfromyourAccounttoaCardaccount.SaleRefundsmayonlybeprocessedtoaCardwheretherewasaninitialvalidTransactiononthatCard.ASaleRefundmustnotbeprovidedtoadifferentCard,incashorbycheque.IfyourTerminalallowsSaleRefunds,theSaleRefundshouldberefundedtotheCardholderthroughyourTerminal.Theprovisionsinclauses6.3to6.6inclusivedonotapplywheretheTerminalhasbeensuppliedbysomebodyotherthanBankSA.YoushouldrefertotheagreementwithwhoeversuppliestheTerminaltoyoufortheirrequirements(ifany).

6.3 InordertoutiliseSaleRefundsviaaTerminal:

(a) youmustinitiateapassword;or

(b) forsomeproducts,wewillprovideyouwithapasswordwhichyoumustchangeimmediatelyonreceiptbytelephoningourHelpdesk.

YoumaynotprocessaSaleRefundusingaTerminal unlessyouenterthepasswordpriorto each Transaction.

6.4 Wherewehaveissuedyouwithapassword,wewillnotberesponsibleforanyunauthorisedSaleRefundprocessedthroughyourTerminalusingthepasswordwehaveissued.

6.5 YouwillcontrolandberesponsibleforaccesstotheTerminalSaleRefundpassword.YoushouldchangeyourpasswordifforanyreasonyouthinkithasbecomeknowntopersonsotherthanthosewhoyouhaveauthorisedtocompleteSaleRefunds.

6.6 WearenotresponsibleforanyunauthorisedSaleRefundsprocessedthroughyourTerminal,evenifthoseSaleRefundsmaycauseyourAccounttobedebitedbytheamountoftheTransaction.

6.7 IfwedonotsupplyelectronicTerminalstoyouwewillnotberesponsibleforanyunauthorisedSaleRefundsprocessedthroughyourTerminal.

7 Invalid Transactions7.1 ATransactionisinvalidif:

(a) theunderlyingsupplyofgoodsand/orservicesisillegaloryoudonothaveavalidregulatorylicenceorauthorisationtoprocessthatsupply;

(b) itwasprocessedbyyouafteryourMerchantFacilityortheAgreementwasterminatedinaccordancewithclause24orwhilstitwassuspendedinaccordancewithclause30;

(c) theTransactionissplitintotwoormoreTransactionsonthesameCardorovertwoormorecardstoavoidhavingtoobtainanauthorisationforthetotalamountofthesale(eachTransactionwillbeinvalid);

(d) thesignatureonthevoucheroranyotherCardholderauthorisationonthevoucherisforged,obtainedbyfraudordeception,unauthorisedorotherwiseinvalid;

(e) theparticularsonthevoucherarenotidenticalwiththeparticularsontheCardholder’scopy;

(f) theCardrelatingtotheTransactionisnotvalidat thetimeoftheTransaction;

(g) thevoucherpresentedtousisincompleteor illegible;

(h) theCardwasusedwithouttheCardholder’s authority;

(i) theTransactiondidnotoriginatefromanactbetweenyouandtheCardholder;

(j) youhavenotretainedyourcopyofthereceiptorvouchersignedbytheCardholderfor18monthsfromthedateoftheTransactionoryoudonotproducetousthetallyrollreceiptorvoucherwithinfiveBusinessDaysofarequestbyusforproductionofthatreceipt;

(k) itisaCreditCardTransactionand:

(i) itisnotforthesupplyofgoodsorservicetoagenuinecustomer;or

(ii) itrelatestoatransferoffunds,notsupplyofgoodsorservices;

(l) itwassubmittedasaTransactionauthorisedbyus,whereanauthorisationwasneverobtainedfromorgivenbyus;

(m) itisaSalesRefundand:

(i) nocorrespondingsalesTransactionexistsfortheCardonwhichtheSalesRefundismadeorpurportedtobemade;

(ii) itrepresentsthepaymentofwages/salary;

(iii) itrepresentsthetransferoffunds;or

(iv) insufficientfundsareavailableintheAccounttocovertherefundamount;

(n) youfailtocomplywithallmessagesdisplayedontheTerminalinrelationtotheTransaction;

(o) wheretheTransactionisnotprocessedbya Terminal:

(i) thevoucherusedisincompleteorillegible;

(ii) youimprintedavoucherfortheTransactioncontrarytoapriormessagedisplayedona TerminalinrelationtotheCardholderortheTransaction;or

(iii) thevoucherdoesnotbeartheCardimprint;

(p) youareunabletodemonstratethevalidityoftheTransactiontooursatisfaction;

(q) youdonototherwisecomplywithyourobligationsundertheAgreementinrelationtotheTransaction;or

(r) youdonotrespondtovoucherrequestsorothersupportinginformationrequiredbyuswithinthetimeframesspecifiedbytheapplicableRules.

7.2 Atelephone,InternetormailorderTransactionisalsoinvalidiftheTransactionisnotauthorisedbytheCardholder,orinthecaseofastandingauthority,theauthorityhasexpiredorwascancelledpriortotheTransaction.Youacknowledgethatauthorisations

obtainedprovidenoguaranteethatthepersonprovidingtheCarddetailsistheCardholder.

7.3 Wemayrefusetoaccept,ormayChargeback,anyTransactionif:

(a) theTransactionisinvalidorweconsiderit to be invalid;

(b) theCardholderclaimstheTransactionisinvalidordisputesliabilityforanyreason;

(c) youprocessacancelledRecurringTransaction;

(d) theCardholderassertsaclaimforset-offor a counterclaim.

7.4 YouundertaketoabidebyindustrybestpracticestominimisefraudandchargebacksassetoutintheManualsfromtimetotime.

8 Your Account8.1 Ifyourequestandweagree,youmayuseone

accountforsettlingtransactionsyouprocessandoneforpayingyourfeesandotheramountsyouoweus(forexampleChargebacks).YoumustadviseusofthedetailsoftheAccount.WewillcredityourAccountwiththeamountoftheTransactionsprocessed.YoumustnotifyusimmediatelyifyourAccountdetailschange.Ifyouraccountiswithanotherfinancialinstitution,youwillneedtogiveusanewDirectDebitAuthority.Insomecircumstances(e.g. eCommerceMerchantFacilities)itwillbenecessaryforTransactionstosettletoaBankSAaccount.Youwillbeadvisedofthisrequirementat thetimeofapplication.

8.2 Youauthoriseus,fromtimetotime,todebityourAccountinrespectof:

(a) allservicecharges,feesandotherchargessetbyusandwhicharenotifiedtoyoufromtime to time;

(b) allgovernmentcharges,dutiesandtaxes(includingGST)thatapplyinrelationtothe Agreement;

(c) thefullamountofallSalesRefundsyouprocess,lessanychargeswehavealreadydebitedtoyourAccountrelatingtotherelevantTransaction;

(d) anyoverpaymentsorcreditswehavemadeinrespectofTransactionsduetoerrorsor omissions;

(e) anyChargeback;

(f) anymoneyspaidbyustoyouforCardTransactionswhereweareinvestigatingthe validityoftheTransactionorasuspected Chargeback;

(g) anyfees,finesorpenaltiesthatwearerequiredtopaytoCardSchemespursuanttotheRulesasadirectorindirectresultofyourfailuretoobserveyourobligationsundertheAgreementincludinganyproceduressetoutintheManuals;

(h) aCardTransactionnotbeingavalidTransactionorbeingchargedbacktous;

(i) ourmaintenanceofthefacilitieswesupplyyouundertheAgreement;

(j) anydeficiencyinapaymentmadebyyoufollowinganauditoracheckbyusofyourMerchantFacilityorAccount;

(k) allpenaltiesandcostsincurredbyusasaresultofanADCoryournon-compliancetothePCIDSS(includingyourServiceProviders)includingbutnotlimitedtothecostofallforensicinvestigationsasrequiredbyusortheCard Schemes;

(l) anyothermoneyyouoweusundertheAgreement;and

(m) reasonableenforcementexpensesundertheAgreement,includinganyamountreasonablyincurredbytheuseofourstaffandfacilities,intheeventofabreachoftheAgreement.

IfwedebittheAccountandtheAccountcontainsinsufficientfunds,thenthepaymentmaybereversedandyouwillberegardedasnothavingmadethepaymentinwhichcaseyoumustmakethepaymenttousassoonaspossibleuponnotificationbyus

toyouthatpaymentisrequired,althoughsuchnotificationdoesnotpreventusfromattemptingthedebitagainunderthisclause.

8.3 YouwillpayondemandtheamountofanydebtyouoweusundertheAgreementwhichremainsunpaid.Shouldyoufailtopayanydebtwhichyouoweuswemaycommenceenforcementactionandreportyourdefaulttoacredit-reportingagency,whichmayaffectyourcreditratingandyourabilitytoobtaincommercialfinanceinthefuture.Wemayalsoset-offanyamountdueforpaymentbyyoutousagainstanyamountdueforpaymentbyustoyou.

8.4 WecanalsodebitorcredityourAccountwiththeamountofanydeficienciesorchargesweestablisharepayablefollowinganauditorcheckof your Account.

8.5 (a) If:

(i) wehaveconcernsaboutyoursolvency;

(ii) youareinvolvedinanunusualnumberofChargebacksorinvalidtransactionsasdeterminedbyusinoursolediscretion;

(iii) wehavecommencedbutnotyetconcludedreasonableinvestigationsintoanyclaimedChargebacksorintothevalidityofanytransactionsprocessedbyyou;or

(iv) wehaveconcernsaboutyouoryourbusiness,wemaywithholdreleaseofthefundsintheAccount,orwithholdorsuspendpaymentofanymoneythatwouldotherwisebeowingtoyouundertheAgreement,untilfurthernotice.WemayalsoestablishanAccountinyournameforthepurposeofretainingfundsforprocessingTransactionsorChargebacks.

(b) WemayappropriatemoneyyouholdinyourAccount,oranyotherrelatedAccountwithus,towardsanyandallamountsyouoweusundertheAgreement.Ifwedothis,thebalanceofyourAccountwillreducebytheamountusedforthispurpose.WewillnotifyyoupromptlyafterexercisingourrighttoappropriatemoneyinyourAccount.

8.6 YouareresponsibleforreconcilingyoursalesandsettlementsforallTransactions.Ifyouhaveanyconcerns,youmustcontactuswithin7daysfromthedateoftheTransactionandrequestthatitbereviewedbyus.Anydisputesraisedafterthistimewillnotbereprocessedorotherwisereviewedbyus.

8.7 YoumustreconcilethestatementsthatwesendyouundertheAgreementtoensurethatpaymentstoandfromyourAccounthaveoccurredinaccordancewiththeAgreement.Itisyourobligationtochecktheaccuracyofthestatements.If you fail to notify us within 3 months of an incorrect fee being processed,andthusanincorrectamountwasdebitedfromyouraccountorapaymentshouldhave been made to you, then you will have no claim against us and the account with us will be deemed settled. This includes but is not limited to Terminal rental fees, minimum merchant service fees, termination fees and transaction fees.

9 Online access to information about your merchant facilities

9.1 Youagreethatifwegrantyoualogon/stoanyonlineserviceforthepurposesof,butnotlimitedto,accessingelectroniccopiesofstatementsandsubmittingservicerequeststoBankSAinrelationtoyourMerchantfacilities,thatyouareresponsibleforadministeringandmanagingaccesstothatservice.

9.2 Wewillnotbeliableforanyunauthoriseduseofyourlogon/sorforanyinaccuracy,error,delayorlossthatanyUserincursasaresultofconnectingto,downloadingoraccessingdetailsaboutyourMerchantfacilityonline,thereforeyoushouldkeepyourlogondetailssecureandconfidential.Youmustnotifyusofanychangestoyourauthorisedusersofanonlineaccessservice.Ifauserceasestobeemployedbyyou,wemustbenotifiedimmediatelytocancelthatuser’saccess.

9.3 Wereservetherighttosuspendauser’saccesstoanonlineservicerelatingtothemerchantfacilityifwesuspectthattheyareusingthatserviceinappropriatelyornotinaccordancewithanyinstructionsissuedfromtimetotime.

9.4 Wemakenoguaranteethatinformationavailableonanyonlineservicerelatingtothemerchantfacilityisaccurateorcorrectatthetimeofviewing.MerchantOnlineissubjecttosystemmaintenanceandavailabilityandtosubsequentadjustmentofinformationtoreflectthetruelegalposition,thereforeusersshouldindependentlydownloadorrecordinformationfortheirownrecordkeeping purposes.

10 Hotel/Motel/Car Rental Reservation GuaranteeandAdvanceDeposit

10.1 Thisclause10onlyapplieswhereyouhavebeenauthorisedtoacceptCreditCardTransactionstoguaranteehotel/motel/carrentalreservationsand/oradvanceaccommodationdeposits.

10.2 Mastercard,VisaandUnionPayhaveeacharrangedfortheirmembersaprogramthatpermitstheirCardholderstoguaranteereservationsofhotel/motelaccommodationorcarrentalbytelephoneandmakedepositsinadvancetowardsaccommodationorrentalreservationsbyusingtheirnominatedMastercardorVisacard.

10.3 Youagreeto:

(a) handlethereservationsinaccordancewiththe Rules;

(b) providedetailsofthechargesupfront(e.g. room orrentalrateinc.tax)

(c) honourthesereservationsinallcircumstances;

(d) cancelthereservationand,wherenecessary,issueaSalesRefundtotheCardholderiftheCardholdercancelsthereservation.

10.4 Ifthereisadispute,youagreetoacceptaChargebackwheretheCardholderclaimshe/shecancelledtheguaranteedreservation.

10.5 WhenyouprocessTransactionstoguaranteehotel/motelorcarrentalreservations:

(a) Youagreetoprovideaconfirmationcodeand(if applicable)acancellationcode,andadvisetheCardholdertoretaintheseinthecaseofa dispute;

(b) Youmust:

(i) acceptallcancellationspriortothespecified time;

(ii) notrequirecancellationnotificationmorethan72 hourspriortothescheduledorpick-uparrivaldate;

(iii) iftheCardholdermakesthereservationwithin72 hourspriortothescheduledarrivalorpick-up,ensurethatthecancellationdeadlineisnoearlierthan6.00pmmerchantoutlettimeonthearrivalorpick-update;

(iv) ifyourequirethataCardholdercancelbefore6.00pmmerchantoutlettimeonthearrivalorpick-update,mailoremailthecancellationpolicy,includingthedateandtimethatcancellationprivilegesexpire,totheCardholder

(v) iftheCardholderhasnotclaimedorcancelledthehotelorcarrentalreservationbythespecifiedtime,youmustholdtheroomsorcarreservationavailableaccordingtothereservationuntilcheck-outtimethefollowingdayorinthecaseofcarrental,24 hours.Youmaythencompletea Transactionreceiptthatmustcontainthe following:

• Amountofonenight’slodgingoroneday'scarrentalplusapplicabletax;

• Cardholder’sname,accountnumberandexpirationdate;and

• Thewords“NoShow”onthesignaturelineoftheTransactionreceipt.

YouarenotrequiredtocontinuetoholdtheroomorcarforsubsequentperiodswheretheCardholderhasfailedtoshowbythecheck-outtimethefollowingdayorinthecaseofcarrental,after24 hours.

10.6 YouagreetohavetheguaranteedroomavailableorguaranteedcarforthearrivaloftheCardholder.Ifforanyreasonyouareunabletoprovidetheroomorcaryoumustprovideatnochargeacomparableroomorcarofatleastequalquality.Ifthecardholderhastochangehotel/motelorpick-uplocation

youmustprovidetransportationtothealternateestablishmentandathreeminutelocalorlongdistancetelephone call.

11 ExpressCheckout11.1 Thisclause11onlyapplieswhereyouhavebeen

authorisedtoacceptCreditCardTransactionstopermitexpresscheckoutfromhotelsormotels.

11.2 MastercardandVisahaveeacharrangedfortheirmembersaprogramthatpermitstheirCardholderstocheckoutofyourestablishmentattheendoftheirstaywithoutconductingtheusual“checkout”processinperson.

11.3 YouagreetohandletheexpresscheckoutTransactionsasoutlinedintheRules.Youmustretainandmakeavailabletoustheitemisedhotel/motelbill.AlldisputeswillberesolvedinaccordancewiththeRulesasappropriate.

12 VehicleandEquipmentRentalTransactions

Thisclause 12onlyappliestomerchantsthatproviderentalforvehiclesandotherequipmentincludingbutnotlimitedtocars,boats,tractors,trucks,ride-onmowersandplanes.

12.1 VehicleandequipmentrentalmerchantsmaynotincludechargesintherentalTransactionthatrepresentanyofthefollowing:

(a) thevehicle/equipmentinsurancedeductibleamount;or

(b) anamounttocover;

(i) potentialoractualdamageswhentheCardholderwaivesinsurancecoverageatthetimeoftherental;

(ii) additionalcostswhichincludesbutisnotlimitedto,parkingtickets,trafficviolationsorvehicle/equipmentrepairs.

12.2 Achargeforloss,theftordamagemustbeprocessedasaseparatetransactionfromtheunderlyingrentalTransaction.TheCardholdermustauthorisethechargeafterbeinginformedoftheloss,theftor damage.

12.3 AchargeforadditionalcostsmustbeprocessedasaseparateTransactionfromtheunderlyingrentalTransaction.Foradditionalcostsrelatingtoparkingticketsortrafficviolationsyoumustsupportthechargewithdocumentationfromtheappropriateauthorityincludingthelicensenumberoftherentalvehicle,date,time,andlocationoftheviolation,statuteviolated,andamountofthepenalty.

12.4 Foradditionalcostsrelatingtovehicle/equipmentrepairsyoumustprovidetheCardholderwithwrittenconfirmationofthedamageuponreturnofthevehicle/equipment,orforvehicles/equipmentreturnedusinganexpressdropofffacilityawrittenconfirmationreceiptmustbesentwithin5BusinessDays.YoumustprovideareasonableestimateofthecostofrepairsandobtainagreementfromtheCardholderpriortoprocessingtheTransaction.WerecommendthattheTransactionbecardpresentandthatyouverifytheidentityofthecardholdertominimisethelikelihoodofChargebacks.Thetransactionreceiptmustincludeastatementindicatingthattheestimatedamountchargedforrepairswillbeadjusteduponcompletionoftherepairsandsubmissionoftheinvoiceforsuchrepairs.ThefinalamountoftheTransactionrelatingtotherepairsmaynotexceedtheMerchant’sestimatedamountbymorethan15percent.Iftheactualcostof repairsislessthantheestimatedamount,youmustcreditthedifferencetotheCardholderbyprocessingarefundTransactiontothesameCardaccountwithin30days.

13 eCommerce Merchants13.1 ThisclauseappliestoeCommerceMerchants

conductingeCommerceTransactions.TotheextentthatthereisanyinconsistencybetweenthisclauseandtheotherprovisionsoftheAgreement,thisclausewillapply,exceptwheretherelevantprovisionoftheManualorguidespecificallymentionsthisclause13.

13.2 YouagreetoberesponsibleforallgoodsandservicesofferedthroughyourWebsite,allmaterialsusedordisplayedattheWebsite,andallactsoromissionsthatoccurattheWebsiteorinconnectionwithyour Website.

13.3 TheURLofyourWebsitemustbesubstantiallysimilartoyourtradingnameandyourWebsitemustbedesignedinsuchawaythatareasonableCardholderisabletoreadilyidentifyitasyourWebsitewithoutanyconfusion.

13.4 YouwilldisplaythefollowingonyourWebsite:

(a) contactinformation,includingyourtradingname,AustralianBusinessNumber(whererequired),tradingaddress,telephonenumber,faxnumber,e-mailaddressandyourcountryofdomicile;

(b) acompletedescriptionofallgoodsandservicesyouofferonyourWebsite;

(c) aclearexplanationofshippingpracticesanddeliverypolicy;

(d) Transactioncurrency;

(e) totalcostsofthegoodsorservicesofferedincludingallappropriateshipping/handlingchargesandtaxes.WherethetotalcostoftheTransactioncannotbeascertainedadvanceyoumustincludeastatementtothateffectandprovideadescriptionofthemethodthatwillbeusedtocalculateit;

(f) customerservicepolicies,includingusualdeliverytimeframes,andtheprocessifyoucannotfilltheorderforanyreason.YoumustadviseyourcustomerswithintwoBusinessDaysifgoodsarenotavailable;

(g) whereveryoupresentpaymentoptions,display imagesofCardSchemelogosthatwe supplyto you;

(h) exportrestrictions(ifknown);

(i) refund/returnpolicy;

(j) consumerdatapolicy;

(k) privacypolicy(whichmustbecompliantwith PrivacyLaws);

(l) securitycapabilitiesandpolicyfortransmissionofpaymentCarddetails;

(m) ifyouprovideacurrencyconverter,adisclaimerprovidingadvicetocardholdersthattheconverterprovidesanapproximationofthecurrencyonly.

Youmustonrequestbyusprovideuswithreasonableaccesstoview,monitorandauditthepagesofyourWebsite.

13.5 YouwillmeetthepaymentanddeliveryofgoodsorservicesasspecifiedonyourWebsite.Eachmerchantdomainmustutiliseseparatepaymentpages.

13.6 IfyouuseaPaymentGatewaysolutionotherthanaBankSAhostedsolution:

(a) wearenotresponsibleforthefunctioningofthePaymentGateway;

(b) youwillobservetheconditionsofanyagreementinrelationtothePaymentGateway;

(c) youmustuseaBankSA‘Accredited’GatewayProvider/DataProcessor.FailuretodosowillresultinterminationofyourMerchantFacility.

13.7 Youwillrespondpromptlytoallcustomerinquiries,includingcancellationsandorderchanges.

13.8 YoumustprovideacompletedcopyoftheTransactionreceipttotheCardholderatthetimethepurchasedgoodsaredeliveredorservicesperformed,andadvisetheCardholdertoretainthereceiptasproofthatpaymenthasbeenmade.YoumaydelivertheTransactionreceiptineitherofthefollowingformats:

(a) electronic(e.g.emailorfax);or

(b) paper(e.g.handwritten).

13.9 ATransactionreceiptmustcontainthefollowing information:

(a) themerchantnamemostrecognisabletotheCardholder,suchas:

(i) merchant“doingbusinessas”nameasusedonyourWebsite;

(ii) merchant“universalresourcelocator”(URL)ifpossible.

(b) Transactiontype(purchaseorcredit);

(c) Transactionamount,indicatedinTransaction currency;

(d) Transactiondate;

(e) uniqueTransactionidentificationnumber;

13.10YoumustnotreturntheCardholder’sCardnumbertotheCardholdereitheronlineoron the Transaction receipt.

13.11Youmust:

(a) notsubstantiallychangeyourgoodsorservicesbeingsoldonyourWebsiteorothermaterialaspectsofyourWebsitefromthetimeitwasacceptedbyus;

(b) keepallinformationontheWebsitetrue,accurate,currentandcomplete;

(c) notchangeyourdomainnamewithoutfirstobtainingourconsenttothechangeof name; and

(d) fulfilcustomerordersinatimelymannerandadequatelydealwithcustomer’swarrantyorservicerequirements.

13.12Youareresponsiblefor:

(a) ensuringthattheconnectionbetweenyourWebsiteandusisoperational.Wedonotwarrantthattheprovisionoftheserviceswillbecontinuous,uninterruptedorwithouterrors;

(b) ensuringthatyourWebsiteissecureandthatCardInformationisencryptedduringtheexchangeofCardInformationbetweenyourWebsiteandyourPaymentGateway.Thelevelofencryptionistobetooursatisfactionasdetailedinourdocumententitled“WebSiteRequirements”;and

(c) ensuringthatanyServiceProvideryouengagetoparticipateinthepaymentprocessisaBankSAAccreditedGatewayProvider/DataProcessor(detailsofaccreditedprovidersareavailableonrequestoratbanksa.com.au.Inclusionofagatewayproviderordataprocessorasaccreditedisnotarepresentationorwarranty

AccreditedGatewayProvider/DataProcessor,andmustadheretooursecurityrequirements.

13.13WhenapprovedforaneCommerceMerchantFacility,anyTransactionsreceivedfromCardholdersrelatingtotheinternetbusinessforwhichitwasapprovedmustbeprocessedusingyourapprovedeCommerceMerchantFacility.

13.14IfyouareapprovedasaBankSAmerchantyoumustwillingly,uponrequest,supplyuswithfulldetailsofyourServiceProviders,includingbutnotlimitedtoWebHostingProvider,ShoppingCartVendorSystem,SSLproviderandexpirationdateofSSLcertificate.

13.15YoumustpresentalleCommerceTransactionstouswithaneCommerceindicatorusinganAccreditedGatewayProvider.

14 Quasi-Cash Transactions14.1 ThisclauseappliestoQuasi-CashMerchants

conductingQuasi-CashTransactions.TotheextentthatthereisanyinconsistencybetweenthisclauseandtheotherprovisionsoftheAgreement,thisclausewillapply,exceptwheretherelevantprovisionofaManualorguidespecificallymentionsthisclause 14.

14.2 YoumustidentifytheCardholderasfollows:

(a) wheretheCarddoesnotbearaphotographoftheCardholder,youmustsightpositiveidentificationoftheCardholder,andindicatethetypeofidentificationsighted,includinganyserialnumber,ontheTransactionreceipt;or

(b) wheretheCardbearsaphotographoftheCardholder,youmustnoteontheTransactionreceiptthatyouverifiedtheCardholder’sidentitybythephotographontheCard.

14.3 Whereapplicable,youmustverifythefollowing:

(a) thesignatureontheCardmatchesthesignatureontheTransactionreceiptand,where clause 14.2applies,ontheidentificationpresented;and

(b) whereclause14.2(b)applies,theCardholderresemblesthepersondepictedinanyphotographintendedtobeusedasidentification ontheCard.

14.4 Youmustdothefollowingbeforecompletingthe Transaction:

(a) comparethefirstfourdigitsoftheembossedCardaccountnumbertothefirstfourdigitsprintedbelowtheCardaccountnumber;and

(b) recordtheprintedfirstfourdigitsonthefrontoftheTransactionreceipt.

14.5 YoumustclearlydisclosetotheCardholderanycommissionyouchargeforacceptingaQuasi-CashTransactionandincludethisinthetotalTransactionamount,beforecompletingtheTransaction.

15 Trustees15.1 Thisclauseapplieswhereyouenterintothis

Agreementinthecapacityastrusteeofatrust.

15.2 Youconfirmthateachofthefollowingstatementsis correct:

(a) thetrustisvalidlyformed.Anyrelevanttrustdocumentisvalidandcomplieswiththelaw;

(b) anycopyofthetrustdocumentyouhavegivenusisatrueandcompletecopyanddiscloseseverythingaboutthetrust;

(c) youareproperlyappointedassoletrusteeofthe trust(andifmorethanonepersonhassignedtheapplicationformastrustee,eachofyouhavebeenproperlyappointedastrusteesofthetrustandtherearenoothertrustees);

(d) youhavealwaysfullycompliedwiththetermsofthetrust,andyourdutiesandpowers;

(e) youhaveafullrightofindemnityfromthetrustassetsinrespectoftheAgreement;

(f) youhaveproperlysignedtheapplicationformunderthetermsofthetrustandinaccordancewithyourdutiesandpowersastrustee,orifthereisanydoubtandallbeneficiarieshavefulllegalcapacity,youhaveobtainedtheirconsent;

(g) theAgreementandtheTransactionsenteredintounderitareforpropertrustpurposes;

(h) youhavedoneeverythingrequiredunderthetrustdocumenttoenterintotheAgreementandtheTransactionsitcontemplates;

(i) noneofthetrustassetshavebeenresettledorsetaside;

(j) thetrusthasnotterminatednorhasanyeventforthevestingoftheassetsoccurred.

15.3 Youpromisethefollowing:

(a) youwillcomplywiththetermsofthetrustandyourdutiesastrusteeofthetrust;

(b) youwilluseallequipmentandcarryoutallTransactionsinaccordancewiththeAgreementexclusivelyforpropertrustpurposes;

(c) youwillnotdoanythingwhichmayresultinthelossofyourrightofindemnityfromthetrustassetsortheterminationofthetrust;

(d) youwillremainsoletrusteeofthetrust(andifmorethanonepersonhassignedtheapplicationformastrustee,eachofyouwillremainastrusteesofthetrustandyouwillcollectivelycontinueasallofthetrusteesofthetrust);

(e) if,despitetheabove,youarereplacedorjoinedastrustee,youwillmakesurethenewtrusteebecomesboundtooursatisfactionbytheAgreementoradocumentandarrangementofidenticaleffect;

(f) youwillnotre-settle,setasideordistributeanyoftheassetsofthetrustwithoutourconsentunlesscompelledtodosobythecurrenttermsofthetrustdocument.

16 Records16.1 Youmust:

(a) maintainandretaininyourpossession(whilecomplyingwithallapplicablesecurityrequirements)yourbooksofaccountandrecords(includingallTransactioninformation,vouchersandtallyrollsandotherinformationthisAgreementrequiresyoutoretain)relatingtoaTransactionforatleast18monthsafterthe Transaction;

(b) permitustoinspectandexaminethebooksofaccountandrecordsreferredtoinparagraph(a);

(c) notdisclose,give(otherthantousorunlessrequiredbylaw),buy,sellorexchangeaCardholder’snameorCarddetailstoanyperson(includingintheformofmailinglists,tapes,computerdataoranyothermediaobtainedbyreasonofaCardTransaction.)ThisclausedoesnotprohibityoufromprovidingCardnumberinformationtoyouragentsolelytoallowyouragenttoprocessCardTransactionstousonyour behalf;

(d) keepallsystemsandmediacontainingaCardnumber,CardholderorTransactioninformationinasecuremannertopreventaccessbyordisclosuretoanyoneotherthanyourauthorisedpersonneloragentprocessingCardTransactions.Iftheitemneedstobediscarded,youmustdestroyitinamannerwhichmakestheinformationunreadable;

(e) provideuswithallclearandlegibledocumentationrelatingtoaTransactionwhenrequested.OtherwisewemayChargebacktheTransactiontoyourAccount;and

(f) provideuswithallfinancialinformationinrelationtoyourbusiness,includingbutnotlimitedto,annualbalancesheetsandtradingresults,endofquarterresultsand12monthcashflowprojections,inaformacceptabletous,whenrequested.

16.2 YoumustalsokeepreasonablerecordsaboutyourcompliancewiththisAgreement,includingrecordsaboutwhenyouimplementedavariationthatwenotifyunderclause18,yourPCIDSScompliance,andthestafftrainingthatisrequiredunderclause3.3.Youmustretaintheserecordsforatleast6years,andprovideuswithreasonableaccesstotherecordswhenweask.Yourobligationsunderthisclause16surviveterminationofthisagreementforanyreason.

16.3 Youundertake:

(a) nottostoreCardInformation,eitherwrittenorelectronically,withoutexpresspermissionfrom us;

(b) todestroyallphysicalrecordscontainingCardInformation18monthsfromthecompletionofthetransaction,includingthefinalprovisionofgoodsandservicesboughtforbythetransactioninquestion,exceptwhereandtotheextentthatthoserecordsarerequiredbylawtoberetained.

17 Creditworthiness of the Cardholder Youacknowledgethatwedonotguaranteeany

Cardholder’screditworthinessortheiridentity.YouwaiveanyrightyoumayhaveagainstusbyreasonofanyinferencefromthefactthataCardholderhasbeenissuedwithaCardorthataTransactionhasbeenprocessed.

18 Variations WemayvarythisAgreementatanytimeandwill

19 Notices19.1 Wemayprovideyounoticesinwriting,includingin

yourstatementofaccount,byfacsimile,newspaperadvertisementorElectronicallydependingonthenatureofthenotice.

19.2 Youcangiveusanoticebyphoneorbypostingitinaprepaidenvelopetotheaddressinthisbookletorbytransmittingbyfacsimiletothenumberinthisbooklet,orbyanyothermethodwespecify(forexample,anauthorisedUserloggingontoanonlineserviceforaccessinginformationaboutyourmerchantfacilitythatisdescribedinclause9andenteringinformationtoawebform).

Wereservetherighttoseekconfirmationfromyoubeforeactinguponanyfacsimileorothercommunicationreceived,althoughyouagreethatwehavenoobligationtodoso.

19.3 YouagreethatatalltimesduringthetermofthisAgreementyouwillmaintainavalidemailaddressabletoreceivemessageswithafilesizeupto8 megabytesincludingattachmentsandcapabilityto downloadfilesfrombanksa.com.au.Youmustgiveusatleast4BusinessDays’noticeiftheemailaddresswillbechangedforanyreason.

19.4 Itisyourresponsibilitytomakesurethatthisemail addresswillbecheckedregularlyonBusinessDays,becauseyouwillbetakentoknowaboutanyemailthatisdeliveredtotheemailaddressunderclause 19.5.

19.5 Noticesgivenbyuswillbedeemedtobereceivedby you:

(a) ifbystandardpost,theearlierofwhenitisleftattherelevantaddressor5BusinessDaysafterbeingdepositedinthepost;

(b) ifbyregisteredpost,whenrecordedasbeingdelivered;or

(d) ifbyemail,includingwhereanemailspecifiesanexternaladdressforaccessinginformation,whentheemailenterstheemailserverassociatedwithyouremailaddress.

However,wherereceiptoccursafter5.00pmoronadaythatisnotaBusinessDay,itwillbedeemedreceived10.00amonthefollowingBusinessDay.

20 Warranties and Indemnities20.1 Youmustnotmakeanywarrantyorrepresentation

whatsoeverinrelationtoanyofyourgoodsorserviceswhichmaycreatetheimpressionthatweareinanywayboundbythewarrantyorrepresentation.

20.2 YouacknowledgethatbyprocessingaTransaction,orpresentingtousavoucher(orauditlog),youwarranttousthat:

(a) allparticularsrelatingtotheTransactionaretrueandcorrect;

(b) theTransactionandanyvoucher(auditlog)isvalid;and

(c) thesaleisnotsubjecttoanydispute,setoffor counterclaim.

20.3 Youindemnifyandkeepusindemnifiedagainst,andmustpayusondemandagainstallclaims,actions,suits,losses,defaults,liabilities,expenses,costs(includinglegalcosts)anddamageswemayincurorsufferarisingoutoforinconnectionwith:

(a) yourfailuretocomplywithanyofyourobligationsunderthisAgreement(includingunderaManualorguideweprovidetoyou),whethercausedbyyouoranyofyourofficers,employees,servants,agentsorcontractors,includinganyproceduressetoutintheManuals;

(b) anyfailuretopayanychargesorfeespayableby youundertheAgreement;

(c) anydisputebetweenyouandaCardholder;

(d) anyliabilityarisingfromaPrepaidSaleand/orChargeback;

(e) anyerror,negligenceorfraudrelatingtoaTransactionbyyou,yourofficers,employees,servants,agentsorcontractors;

(f) anydamageto,orlossoftheTerminalsduetoneglectormisusebyyou,oranyofyourofficers,employees,servants,agentsorcontractors;or

(g) anyfees,finesorpenalties(includingbutnotlimitedtoCardSchemefines)thatwearerequiredtopayasadirectorindirectresultofyourfailuretoobserveanyoftheprocedures,requirementsorobligationsrequiredtobecompliedwithbyyouundertheAgreement.

20.4 EachindemnitygivenbyyouundertheAgreementisacontinuingobligationandcontinuesaftertheAgreementends.Itisnotnecessaryforustoincurexpenseormakepaymentbeforeenforcingtherelevantindemnity.

20.5 Withtheexceptionofanyguarantees,conditions,rightsorwarrantiesthatareimpliedorimposedbylawinrelationtotheAgreementandmaynotlegallybeexcluded,wegivenoguarantee,warrantyorrepresentationinrespectofanyTransactionorTerminalsandallotherterms,conditionsorwarrantieswhetherexpressedorimpliedareexpresslyexcluded.

20.6 AnypaymentsdueormadebyyouunderthisclausewillbeautomaticallyincreasedbytheamountofanyGSTliabilityincurredbyusinrespectofthosepayments,andyoumustalsopayusthatamountwhenweask.

21 Fraud Prevention21.1 PCIDSSandPCIPA-DSSCompliance:

(a) YoumustensureyourbusinessandanyServiceProvideractingonyourbehalfiscomplianttothePCIDSSand(totheextentapplicable)PCIPA-DSSatalltimes.

(b) YourmerchantclassificationaccordingtothePCIDSSwillbedeterminedatthediscretionof BankSA.

(c) Allcostsinrelationtocomplyingwiththisclause21willbebornebyyou.

(d) IntheeventthatyourbusinesssuffersorissuspectedtohavesufferedanADC,wemaypassanypenaltiesleviedbytheCardSchemesontoyouandreservetherighttopassonanychargesthatrelatetotheinvestigationofanADC.

21.2 PCIDSSValidation:

(a) IfwedeterminethatyouareaLevel1,2or3merchantunderthePCIDSS,youmust,uponourrequest,validateyourcompliancewiththePCIDSSonanongoingbasis.

(b) ValidationofcompliancetothePCIDSSmustbecompletedwithin3monthsofnotificationtoyou.21.3Ifyouuseany‘offtheshelf’softwarethatstores,processesortransmitsCardInformationduringAuthorisationorsettlement,youmustensurethatithasbeencertifiedbyaPA-QSAasbeingcompliantwiththePCIPA-DSS.

21.4 Youmustensurethatanysoftwareorhardwareyoupurchase,createorotherwiseutiliseforthepurposeofsellinggoodsorservicesdoesnotretainitsoriginalpasswordbeforeemployingitfortheacceptanceofTransactions.Youmustalsoensurethatallsystemand/orsoftwarepasswordsarechangedonaregularbasis.Youmustensurethatdigitaldevices(suchascomputers)thatallowachoiceof'administrator'andlimitedusersystemprivilegesarenotusedwith'administrator'systemprivilegesexceptduringsystemmaintenancethatrequires'administrator'systemprivileges.

21.5 AccountDataCompromise(ADC)Events:

YoumustkeepCardInformationconfidentialandcomplywiththeADCproceduressetoutinthisclause21anddetailedinthebooklet“YourGuidetothePaymentCardIndustryDataSecurityStandards”thatweprovidetoyou,immediatelyuponbecomingawarethatanactualorsuspectedADCorbreachofconfidentialCardInformationhasoccurred,whetherthroughyourServiceProviderorotherwise.

IfthereisanactualorsuspectedADCoriftherehasbeenanyactualorsuspectedTerminalmanipulation:

(a) Youmustgiveusandouragentsfullaccesstoyoursystemsanddatabasestofacilitateaforensicanalysistoascertain:

(i) whatCardInformationhasbeen compromised;

(ii) whatweaknessesinthesystempermittedtheADCorTerminalmanipulation;and

(iii) whetherCardInformationwascreated,deleted,altered,copiedormanipulatedinanymanner.

(b) IfyouusetheservicesofanexternalServiceProvider,youmustensurethatBankSAanditsagentsaregivenfullaccesstonecessaryoutsourcedcomponentssuchasdatabases,web hostingsystems,etc.

(c) Youmustpayallcostsinconnectionwithouranalysis,investigationandresolutionoftheADCorTerminalmanipulation,andmustalsopayanyfinesimposedbyaCardSchemeunderclause 8.2(k).

(d) InordertocontinueprocessingTransactions,youwillvalidatetooursatisfactionthatyouarefullycompliantwiththePCIDSSasaLevel1Merchantwithin3monthsoftheADCortheevent(s)givingrisetotheTerminalmanipulation.Allcostsincurredbyyouasaresultofyourcompliancewiththisclause21willbebornebyyou.

21.6 Youagree:

(a) thatwemayreportallADCeventstoCardSchemesandtheirmembersandmayberequiredtoreportADCeventstolawenforcementagenciesand/orAustralianregulators.YougrantanirrevocableandenduringconsenttoustodisclosedetailsofanysuchADC(includinginformationaboutyouandyour customers)toanysuchpersons,agenciesor regulators.

(b) toirrevocablyconferuponustheenduringrighttocontactanyServiceProvidersthatenableyoutoacquireCreditCardTransactions,DebitCardTransactionsandTransactionsrelatingtoChargeCardsforthepurposesofdeterminingtheextentofanyactualorsuspectedADC,assessingremediesforthatADCandassessingyourlevelofcompliancewiththePCIDSS.

23 Financial Crime Monitoring and Anti‑Money Laundering

23.1 InorderforBankSAtomeetitsregulatoryandcomplianceobligationsforanti-moneylaunderingandcounter-financingofterrorism,wewillbeincreasingthelevelsofcontrolandmonitoringwe perform.

23.2 Youshouldbeawarethat:

(a) Transactionsmaybedelayed,blocked,frozenorrefusedwherewehavereasonablegroundstobelievethattheybreachAustralianlaworsanctions(orthelawsorsanctionsofanyothercountry).WhereTransactionsaredelayed,blocked,frozenorrefused,weandouraccreditedprocessorsarenotliableforanylosssufferedbyyou(includingconsequentialandindirectloss)whatsoeverasaresult;

(b) wemayfromtimetotimerequireadditionalinformationfromyoutoassistusinordertomeetouranti-moneylaunderingandcounter-financingofterrorismobligations.Thisinformationmayinclude“personalinformation”asdefinedbythePrivacyAct1988(Cth).Ifwerequestsuchinformationyoumustprovideuswiththeinformationimmediately,oratleastwithin24hoursofsucharequest;

(c) wherelegallyobligedtodosoortootherwiseassistinpreventingunlawfulactivities,wemaydisclosetheinformationgatheredtoregulatoryand/orlawenforcementagencies,otherbanks,othermembersoftheWestpacGroup,serviceproviderswhodothingsonourbehalfortootherthirdparties;and

(d) wherewehavereasonablegroundstobelievethatasuspiciousmatterhasariseninrelationtotheMerchantFacility,weareobligedtocompleteandrenderareporttotheFederalGovernment(AUSTRAC).AsuspiciousmatterincludesanyTransactionthatwebelievemaybeofrelevancetotheinvestigationorprosecutionofanybreachorattemptedbreachofanAustralianlaw(includinglawsrelatedtomoneylaundering,taxevasion,financingofterrorismortheproceedsof crime).

23.3 Youprovideuswiththefollowingundertakingsandindemnifyusagainstanypotentiallossesarisingfromanybreachbyyouofsuchundertakings;

(a) youwillnotinitiate,engagein,oreffectaTransactionthatmaybeinbreachofAustralianlaworsanctions(orthelaworsanctionsofanyothercountry);and

(b) theunderlyingactivity/productforwhichtheServiceisbeingprovideddoesnotbreachanyAustralianlaworsanctions(orthelaworsanctionsofanyothercountry).

24 Termination24.1 TheAgreementcommenceswhenyouacceptour

offerinaccordancewithclause1andwillcontinueuntilsuchtimeasitisterminatedinaccordancewiththisclause24.

24.2 YoumayterminatethisAgreementoruseofanunderlyingMerchantFacilitybyprovidinguswith7 dayswrittennoticetotheaddressinthisbooklet.Unlesssuchnoticeisprovided,yourAgreement(includingfeesandcharges)willcontinuetoapply,notwithstandingthatyoumayhavereturnedEquipmenttousorsecurelydiscontinueditsuse.

24.3 ItisyourobligationtoreconcileyourAccountafterterminationofthisAgreementandnotifyusofany discrepancies.

24.4 IfforanyreasontherearediscrepanciesinyourAccountthenourmaximumaggregateliabilitytoyouforreimbursementwillbelimitedtothreemonths’worthofthemonthlyapplicablecharges.

24.5 WemayterminatetheAgreementoruseofanunderlyingMerchantFacilityatanytimeandforanyreason,including,butnotlimitedtothefollowing:

(a) aMerchantFacilitydoesnotcomplywiththe Rules;

(b) weconsideryourratioofChargebackstosales,whetherbynumberordollarvalueofChargebacks,tobeunusualorexcessive;

(c) youhavesubstantiallychangedyourlineofbusiness,orthetypesofgoodsorservicesthatyousupplytoyourcustomersorclientswithoutfirstnotifyingusandreceivingconsent;

(d) wehaveconcernsaboutyoursolvency,orthesolvencyofyourbusiness;

(e) wehaveconcernsaboutyourabilitytomeetorrepaytheamountsofanyChargebacksthathavebeenreceived,orthatarelikelytobereceivedinthefutureconductofyourbusiness;

(f) youhaveasignificantadversecrediteventrecordedagainstyou;

(g) wehavereasonablegroundstosuspectthatyouhavefraudulentlyprocessedTransactions,orhaveknowinglyallowedfraudulentTransactionstobeprocessedthroughyourMerchantFacility;

(h) youoranyofyourServicesProvidersarenotcompliantwiththePCIDSSor(totheextentapplicable),PCIPADSS;

(i) youoranyServiceProviderthatyouusehassufferedanADC;

(j) youhave,orwesuspectonreasonablegroundsthatyouhave,breachedtheAgreement.

24.6 WewillendeavourtogiveyouverbalorwrittennoticebeforeweterminatetheAgreementorfacility.Ifweareunsuccessfulincontactingyou,wecanchoosetocontinuetoterminatetheAgreementorMerchantFacility.However,wewillgiveyousubsequentwrittenconfirmationthattheMerchantFacilityhasbeenterminated.

24.7 WemayterminateorsuspendtheAgreementonthegroundsthatyouhavenotprocessedTransactionsthroughyourMerchantFacilityforaperiodofsix(6)months.Underthesecircumstanceswewilladviseyou,inwriting,ofourintentiontoterminateorsuspendandwillallowyouaperiodof14daysfromthedateofourletterinwhichtocontactus.Afterthattime,wemayterminateorsuspendtheAgreementorMerchantFacilitywithoutfurthernotice.

24.8 TerminationwillbeeffectiveimmediatelyandwearenotobligedtoacceptanyTransactionsyouprocessaftertheAgreementorfacilityisterminated.

24.9 YouwarranttoceasetousetheTerminalAccessServicesimmediatelyifthisAgreementisterminated,wewillbeentitledtoterminatetheavailabilityoftheTerminalAccessServicestoyouifthatoccurs.

24.10Forclarity,terminationorsuspensionofaMerchantFacilityortheAgreementdoesnotaffectanyobligationsincurredpriortotermination.Clauses6,7,8,16,20,24,25,29,32and34survivetermination.

24.11OnterminationoftheMerchantFacilityortheAgreementyouwillimmediatelyreturnallrelevantEquipment,includingguides,stationeryandpromotionalmaterialsuppliedbyus.FeesandchargeswillcontinuetobeincurredbyyouuntiltheEquipmentisreturnedtous.YouauthoriseustoenterthepremiseswheretheEquipmentiskeptandtakepossessionoftheEquipmentwithoutnoticetoyouintheeventtheEquipmentisnotreturnedtousimmediatelyinaccordancewiththisclause24.11.

24.12Youacknowledgethata“combinedterminatedmerchantfile”isalistcontainingthebusinessnameandthenamesandidentificationofprincipalsofmerchantsthathavebeenterminatedbyacquiringfinancialinstitutions.YouconsenttousprovidinginformationaboutyouandanypersonsnamedinyourapplicationforaMerchantFacilitytoMastercard,VisaoranyotherCardSchemeforadditiontothefileiftheAgreementisterminated(thismayincludesendinginformationoverseas).YouacknowledgethatthisinformationwillbeavailabletoanymemberoftheCardScheme(s)andmaybeusedtoassesssubsequentapplicationsforMerchantFacilities.

Youindemnifyusagainstallclaims,actions,suits,losses,defaults,damagesandliabilitiesresultingfromtheinclusionofyouoryourprincipalsonthisfile.

24.13Withoutprejudicetoanyrightorremedyofours,weareentitledtochargeyouaterminationfeeforterminationoftheAgreement,atourdiscretion.Youmustpromptlypayanysuchterminationfeeafterwenotifyyouofit.

25 Privacy Law and Use of Information25.1 Youagreetocomplywith:

(a) anyPrivacyLawsbywhichyouarebound;and

(b) anyotherprivacyrequirementsnotifiedby us to you.

25.2 Youacknowledgethatyoudonotrelyonanyinformationorrepresentationsuppliedbyustoyou asadviceregardingcompliancewiththe Privacy Laws.

25.3 YouwarrantthatyouareawareofthePrivacyLawswhichapplytoyouinrespectofthisAgreement,andalsowarrantthat,aftertheenquiry,youarenotawareofhavingbreachedanyofthosePrivacyLaws.

25.4 YouagreethatwemayobtainfromanddiscloseinformationtoanypersonwhoissuesaCardorCardSchemeforanypurposerelatingtotheoperationofyourMerchantFacilitythatwedeemnecessary.OurrightsunderthisclausecontinueaftertheAgreementisterminated.

25.5 YouauthoriseustoobtainfromanyCardSchemeinformation(“yourhistory”)relatingtofacilitiesyouobtainedorareobtainingfromothersuppliers.

25.6 Wemayuseinformationabout(orrelatingto)you,suchasinformationfromyourapplication,orrelatingtoyourhistoryorconductofthefacilitiesortransactioninformationprocessedusingfacilitieswesupplytoyouundertheAgreementto:

(a) helpusrunourbusiness(forexample,tohelpimprovetheperformanceofthebusinessfunctionsandactivitiesofanymembersoftheWestpacGroup);or

(b) conductdataanalyticsactivitiestoassisttheWestpacGroupand/oritscustomers.

25.7 Wemayalsocollectinformationabout(orrelatingto)youfromotherpartiesforpurposesdescribedinclause25.6.

25.8 Wemaydiscloseinformationabout(orrelatingto)youthatwecollectfromyourapplication,orrelatingtoyourhistoryorconductofthefacilitiesortransactioninformationprocessedusingfacilitieswesupplyyouundertheAgreementtootherpartiesonaconfidentialbasisforthepurposeof:

(b) conductingdataanalyticsactivitiestoassisttheWestpacGroupand/oritscustomers(that assistancemayincludeprovidingcustomers withtheresultsofdataanalysisbut onlyonananonymisedbasis);or

(c) enablingotherpartiestoassistuswiththeprovision,promotion,enhancementorimprovementofgoodsorservices.

25.9 Wemaydiscloseinformationabout(orrelatingto)youthatwecollectfromyourapplication,orrelatingtoyourhistoryorconductofthefacilitiesor transactioninformationprocessedusingfacilitieswesupplyyouundertheAgreementtootherpartiesonaconfidentialandanonymisedbasisforthepurposeofenablingtheprovision,promotion,enhancementorimprovementofgoodsorservicesofferedbyotherparties.

25.10 These“otherparties”referredtoinclauses25.7,25.8and25.9maybelocatedoverseasandinclude:

(a) ouragents,contractorsandexternalserviceproviders(forexample,mailinghousesanddataanalyticsproviders);

(b) anypersonwhoisacardissuer,CardSchemeoperatororotherwiseinvolvedinanyCardSchemeorpaymentnetwork,foranypurposerelatingtotheoperationofthoseschemesorpaymentnetworks(forexample,Visa,Mastercard,ChinaUnionPay,ePALandcardfrauddetectionagencies).ThisinformationmayincludeinformationaboutterminatingaMerchantFacilityandthereasonsforthattermination.Anotherserviceprovidermayusethisinformation(amongstotherthings)to determinewhetherornottomakefacilitiesavailabletothemerchant;

(c) personswhoyouinformussupplyservicesrelatedtoyourMerchantFacility(includingIngenico,Hypercom,VeriFone,GlobalBlue,AmericanExpressorDinersClub);

26 Notifying us of changes26.1 Youmustnotifyuswithin14daysofanychanges

inyourcompany,tradingnameoraddress.Youcandothisbywritingtousattheaddressinthisbookletorbytransmittingbyfacsimiletothenumberinthisbooklet.Youmustcontinuetonotifyusofanychangesforaperiodof12monthsaftertheAgreementisterminatedforanyreason.Wewillnotberesponsibleforanyerrorsorlosseswherewehavenotreceivedadequatepriornotice.Yourobligationtonotifyachangedemailaddressisunderclause19.3.

26.2 Youmustnotsubstantiallychangeyourlineofbusiness,orthetypesofgoodsorservicesthatyousupplytoyourcustomersorclients,withoutfirstnotifyingusandreceivingourwrittenconsent.Inaddition,youmustnotifyusimmediatelyiftheownershiporcontrolofyourbusiness(includinganydelegationbywayofpowerofattorney)oryourabilitytomeetliabilitiesasandwhentheyfalldue changes.

ThenewownerwillneedtoapplyforanewMerchantFacilitywithusiftheywishtocontinueusingourmerchantservices.

27 Charge Cards27.1 WemayprogramtheTerminalstoacceptTransactions

byaChargeCardissuedunderaChargeCardSchemeinwhichyouparticipate,providedyouinformusinwritingofyourmerchantnumberforthatChargeCard Scheme.

27.2 OuronlyobligationtoyouinrelationtoanyChargeCardTransactionconductedthroughaMerchantFacilityistotransmittheparticularsoftheTransactiontotheperson,bodycorporateorassociationconductingtheSchemeunderwhichtheChargeCardwasissued.

27.3 Wemakenorepresentationsandgivenoassuranceswhatsoeverinrelationto:

(a) thecreditworthinessofanypersonpresentinga Charge Card;

(b) theperformanceofanyagreementorarrangementbetweenyouandanyperson,bodycorporateorassociationconductingaChargeCardScheme;or

(c) settlingthefundsinrelationtothoseChargeCardstoyouraccount.

28 Thirdparties28.1 YouwillnotpresenttousanyTransactiononbehalf

ofanythirdpartywithoutourpriorapproval.

28.2 Wemaypayafeeorcommissiontoathirdpartywhointroducesyoutous.

29 GST29.1 Wemayincreasetheamount(“originalamount”)

ofanyfeeorotherconsiderationpayablebyyouundertheAgreementwhichhasnotbeenspecifiedtoincludeGSTbyanadditionalamountsothatthetotalamountpayablebyyouisequaltotheoriginalamountplustheamountofanyGSTliabilitypayablebyusonthetotalamount.

29.2 YoumustpayatanytimeandinanymannerrequestedbyusanyamountwhichwedecidetobenecessarytoreimburseusforanydirectorindirectincreaseresultingfromanyGSTinthecosttousof:

(a) making,maintainingoradministering;

(b) anyactionrelatingtoanypropertyconnectedwith;or

(c) carryingonanybusinessconnectedwiththesupplyofanyfacilitiesorpropertyundertheAgreementoranyfacilitiesprovidedunderthe Agreement.

30 Suspension30.1 Wemaysuspendthefacilitieswesupplytoyou

undertheAgreementwithoutnoticetoyouifwe:

(a) considerthatwecouldsufferalossasaresultof yourMerchantFacilitycontinuingtooperate;

(b) thinkwecouldbesubjecttofraudifwecontinuetosupplythefacilities;

(c) becomeawareofaneventlistedinclause24.5;

(d) areunabletocontactyoutodiscussamatterrelatingtotheuseofyourMerchantFacility.

Wewillinformyouassoonaspracticableafterwesuspendyourfacilitiesunderthisclause.

30.2 Whilstthefacilitiesaresuspended,youwillnotsubmitCardTransactionsforprocessingandwewillnotprocessanyCardTransactionsyousubmit.

31 Use of Trade Marks31.1 Youagree:

(a) toobtainourpriorwrittenconsentbeforeusinganyTradeMark(whichconsentmaybegrantedorwithheldbyusinoursolediscretion);

(b) tocomplywithanyTradeMarkuseguidelinesordirectionsprovidedbyustoyoufromtimeto time;

(c) nottotakeanyactionwhichwilladverselyaffectthevalueofthegoodwillattachedtotheTradeMarksand/orourbusiness.

31.2 IfyouhavebeenapprovedtoacceptDebitTransactions:

(a) Wegrantyouarevocablenon-exclusive,non-transferablesub-licencetousetheTradeMarksinconnectionwiththeoperationandpromotionofTransactions,Cards,Terminals(asthosewordsaredefinedintheePALSchemeRules)andaccountsand/orotherservicesassociatedwith themsubjecttoyourcompliancewiththetermsoftheAgreementandtheMerchantOperatingGuide;

(b) YouacknowledgethatePAListheowneroftheTradeMarksandthatit’srighttousetheTradeMarksdoesnotconferanyproprietaryorotherinterestintheTradeMarksduringoraftertheterminationoftheAgreement;

(c) YouagreetocomplywithanyTradeMarkrequirementsasmaybecontainedintheManualsorMerchantOperatingGuidefromtimetotimeandnottousetheTradeMarksinamatterthatisinconsistentwithordetractsfromanybranding,TradeMarkrequirementsormarketingmessagesofePAL.

Thissub-licencetouseTradeMarks:

(a) willberevokedimmediatelyonterminationofyourAgreementwithus;or

(b) mayberevokedimmediatelyuponwrittennoticebyus,uponwhichyouagreeto

immediatelyceaseusingTrademarksanddestroyallmaterialsandparaphernaliathatincludetheTradeMarks.YouindemnifyusforclaimsanddemandsmadeagainstorsufferedorincurredbyusarisingdirectlyorindirectlyoutofyouruseofePAL’sbrandingand/orTradeMarkswheresuchuseisinbreachoftheePALSchemeRules.

32 PersonalPropertySecuritiesAct32.1 IfwedeterminethatthisAgreement(oraTransaction

inconnectionwithit)is,containsorcreatesaSecurityInterestforthepurposesofthePPSA,youagreetodoanything(suchasobtainingconsents,signingandproducingdocuments,arrangingfordocumentstobecompletedandsignedandsupplyinginformation)whichweaskandconsidernecessaryto:

(a) perfectanysuchSecurityInterestorotherwisetoprovidemoreeffectivesecurityovertheEquipmentoranyotherpersonalpropertyoverwhichwehaveaSecurityInterest;

(b) toensurethataSecurityInterestcreatedunder orconnectedwiththisAgreementisenforceable,perfected(including,wherepossible,bycontrolinadditiontoregistration)andotherwiseeffective;

(d) toenableustoexerciseourrightsinconnectionwithanyEquipmentoranyotherpersonalpropertyoverwhichwehaveaSecurityInterest;

(e) tobindyouandanyotherpersonintendedtobeboundunderthisAgreement;or

(f) demonstrateyourcompliancewiththis Agreement.

32.2 Youagree:

(a) thatwemaycompleteanydocumentonyourbehalfrelatingtothisAgreement(suchasCorporationsActforms,financingstatementsorfinancingchangestatements);

(b) thatwemay,atyourexpense,applyforanyregistration,orgiveanynotification,inconnectionwithanySecurityInterestcreatedunderorconnectedwiththisAgreementandforwhateverclassofcollateralwethinkfit.Youconsenttoanyregistrationornotificationbyus,andagreenottomakeanamendmentdemand;

(c) nottoregisterafinancingchangestatementinrespectofaSecurityInterestcreatedunderorconnectedwiththisAgreementwithoutourpriorwrittenconsent;

(d) nottoregister,orpermittoberegistered,afinancingstatementorafinancingchangestatementinrelationtoanyEquipmentinfavourofathirdpartywithoutourpriorwrittenconsent;

(e) thatweneednotcomplywithsections95,118,121(4),125,130,132(3)(d)and132(4)ofthePPSA,oranyotherprovisionofthePPSAnotifiedtoyoubyusafterthedateofthisAgreement;

(f) thatyoumaynotexerciseanyrightsundersections142and143(reinstatementofsecurity)ofthePPSA;

(g) thatneitherwenoranyreceiver(orreceiverandmanager)appointedbyusneedgiveanynoticerequiredunderthePPSA(includinganoticeofaverificationstatement);and

(h) thatyouwillnotdiscloseorpermitanypartytodiscloseanyinformationofthekindreferredtoinsection275(1)ofthePPSAunlesssection275(7)(b)or(e)ofthePPSAapplies.

32.3 Inthisclause32,termsinitalicshavethemeaninggiventotheminthePPSA.

33 Assignment33.1 ThisAgreementisbindingontheparties,their

executors,administrators,successorsandassignees.Whereyouaretwoormorepersons,yourObligationsunderthisAgreementwillbejointandseveral.

33.2 YoumaynotassignthisAgreementtoanyotherpersonwithoutourwrittenconsent.Wemayatanytimebynotlessthan14days'priornoticetoyouassignourrightsornovateourrightsandobligationsundertheAgreement.WemayalsotransferourinterestintheAgreement,orgiveanotherpersonaninterestorsecurityintheAgreementwithoutgettingyourconsent.Youappointusandanypersonauthorisedbyustobeyourattorneytosignanydocumentordoanythingnecessarytogiveeffecttotheassignment,novationortransfercontemplatedinthisclause33.2.

34 Our liability is limitedYouacknowledgethatourliabilityforbreachofanycondition,rightorwarrantythatcannotbeexcludedfromtheAgreementbylawislimitedatourdiscretiontothereplacementortherepairoftheTerminals,orthere-performanceoftheTerminalAccessService.TotheextentpermittedbyLawandnotwithstandingthatweoranyofourofficers,employees,contractorsoragentsmaybeawareofthelikelihoodofsuchlossordamage,wewillnotbeliablewhetherincontract,tort(includingnegligence)orotherwisetoyouorpersonsclaimingthroughyoufor;

(a) special,consequentialorindirectorincidentallossordamageofanykind(includingexemplaryorpunitivedamages);

(b) lossofbusiness,profitsorincomewhetheractualoranticipated;

(c) anydisruptioncausedby:

(i) amalfunctionofaMerchantFacility;or

(ii) anyperiodwhentheMerchantFacilityisunavailableoryouarewaitingforareplacementTerminal;

(d) anydelaybyusincreditingyourAccount.

(e) ourfailuretocredityourAccountduetotechnicaloradministrativedifficultiesrelatingtothebankingsystemusedforthetransferoffunds;or

(f) terminationoftheTerminalAccessServicesforanyreason.

Thisclause34appliesnotwithstandingthatweoranyofouremployees,contractorsoragentsareawareofthelikelihoodofsuchlossordamage.

35 Governing LawTheAgreementwillbegovernedbyandinterpretedinaccordancewiththelawsofNewSouthWales.

36 ReasonablenessWewillactfairlyandreasonablyinaccordancewithourlegitimatebusinessinterestsinexercisingourrightsanddiscretionsundertheAgreement.

9. Ifthedayonwhichyoumustmakeanypaymenttousisnotabusinessday,wedrawonyouraccountunderyourDirectDebitRequestonthenextavailablebusinessday.

10. IfyourfinancialinstitutionrejectsanyofourattemptstodrawanamountinaccordancewithyourDirectDebitRequest,wereservetherighttokeepseekingthatpaymentandadditionalamountsthatareoutstandinginaccordancewithyouragreement.

11. WewillnotdisclosetoanypersonanyinformationyougiveusonyourDirectDebitRequest,whichisnotgenerallyavailable,unless:

• youdisputeanyamountwedrawunderyourDirectDebitRequestandweneedtodiscloseanyinformationrelatingtoyourDirectDebitRequestortoanyamountwedrawunderittothefinancialinstitutionatwhichyouraccountisheldorthefinancialinstitutionwhichsponsorsouruseoftheDirectDebitSystemorbothofthem;

13. BeforeyoucompleteyourDirectDebitRequest,itisbesttocheckaccountdetailsagainstarecentstatementfromyourfinancialinstitutiontoensurethedetailsonyourDirectDebitRequestarecompletedcorrectly.

14. Pleaseenquireofyourfinancialinstitution,ifyouareuncertainwhenyourfinancialinstitutionprocessesanamountwedrawunderyourDirectDebitRequestonadaywhichisnotabusinessday.

15. Itisyourresponsibilitytoensuretherearesufficientclearfundsavailableinyouraccount,bytheduedateonwhichwedrawanyamountunderyourDirectDebitRequest,toenableustoobtainpaymentinaccordancewithyourDirectDebitRequest.

16. Werequestyoutodirect:

• allrequeststostoporcancelyourDirectDebitRequesttousoryourfinancialinstitution;and

• allenquiriesrelatingtoanydisputeunderClause6ofthisagreementtousoryourfinancial institution.
