The Transformation of Alphatec Spine

Founded in �990 as a contract medical device manufacturer, Alphatec Spine has transformed itself into a leading

independent medical device company in both North America and Japan. The change began in March of �00� when

Alphatec was acquired by a group of investors led by the New York private equity firm HealthpointCapital, LLC. The

acquisition brought an infusion of capital and a heightened commitment to physician relationships and services.

Alphatec evolved into a spinal specialist by first recruiting a highly motivated and experienced management team and

then assembling a Scientific Advisory Board of clinical experts. The name Alphatec Spine was adopted to reflect this

evolution from contract medical device manufacturer to a vertically-integrated spinal device company.

Later in �00�, the company enhanced its product line by acquiring Cortek, a developer and seller of allograft implants

for spinal fusion. In June of �006, Alphatec Holdings, Inc., the parent corporation of Alphatec Spine, completed the

initial public offering and the company stock shares currently trade on the NASDAQ Global Market under the symbol

“ATEC.”

John H. FosterExecutive Chairman and Chief Executive Officer

John H. Foster has served as Chairman of the Board of Directors of Alphatec Spine since �00� and is Chief Executive Officer. Mr. Foster is a successful �� year veteran of private equity investing with a healthcare IRR in excess of 90 percent. As a successful entrepreneur and executive, Mr. Foster founded two private equity firms: Foster Management Company in �9�� and HealthpointCapital in �00�. From �980 to �99�, he served as Chairman and CEO of Novacare, Inc. of Foster Medical Corporation. He is currently a Member of the Board of Directors of Scient’x S.A., DTI, Inc., BioHorizons and Nexa Orthopedics. Mr. Foster is on the Dean’s Council at the Harvard School of Public Health, a Trustee of the Burke Rehabilitation Hospital, and formerly a Board Member of Avon, Inc. and Corning Incorporated. Mr. Foster received a B.A. from Williams College and an M.B.A. from Amos Tuck School at Dartmouth.

M. Ross SimmondsChief Operating Officer and Senior Vice President

M. Ross Simmonds has held the position of Chief Operating Officer and Senior Vice President since December �006 after originally joining Alphatec Spine as Senior Vice President of Sales and Marketing. Previously, Mr. Simmonds was Chief Operating Officer and Senior Vice President at Long Beach Memorial Medical Center (Long Beach Memorial Hospital and Miller Children’s Hospital). From �989 to �00�, he held various senior level positions with Interpore Cross International, a biotech bone graft and spinal implant company that was acquired by Biomet. Mr. Simmonds is a medical device industry expert with a proven track record in implementing strategic plans, launching new products globally and building long-term business relationships. Mr. Simmonds is fluent in Spanish and has served on the Industry Advisory Council for “Orthopaedics Today.” He received a B.S. from Louisiana State University.

Steven M. YasbekVice President, Chief Financial Officer

Steven M. Yasbek has served as Chief Financial Officer and Vice President since October �006 after originally joining Alphatec Spine as Vice President, Finance and Corporate Controller. Prior to Alphatec, Mr. Yasbek was Vice President, Corporate Controller of REMEC, Inc., a publicly held international manufacturer of RF microwave products; and Vice President, Corporate Controller, and Chief Information Officer for Paradigm Wireless Systems, a privately held, international manufacturer of RF power amplifiers. He also held the positions of Corporate Controller of Intellisys Group, Inc. and Vice President, Corporate Controller, and Chief Information Officer for Pacific Scientific Company, which was acquired by Danaher Corporation. From �989 to �99�, Mr. Yasbek held several senior level financial, IT, and operations positions with Symbol Technologies, Inc., and from �9�� to �988, he held several senior level finance positions with TRW, Inc. Mr. Yasbek is a Certified Public Accountant and received a B.S. and an M.B.A. from Loyola Marymount University.

Steven M. ReineckeVice President, Chief Technology Officer

Steven M. Reinecke has served as Chief Technology Officer and Vice President since August �006 after originally joining Alphatec Spine in �00� as Vice President of Research and Development. Prior to Alphatec, he was Vice President of R&D for Orthofix, Inc. He was also associated with Kinesis Medical as Vice President of R&D and was Co-Founder and Vice President of Ergomedics. From �98� to �99�, Mr. Reinecke held several positions within the Department of Orthopedics at the University of Vermont focusing on back pain. He received a B.S. and an M.S. from the University of Vermont.

Daniel J. BernardeVice President, Corporate Development

Daniel J. Bernarde has held the position of Vice President, Corporate Development since January �00� after originally joining Alphatec Spine in �00� as Midwest Regional Vice President. He has �� years of spinal product experience in sales management and leadership. Prior to joining Alphatec, Mr. Bernarde was owner of BioVantage, an independent distributorship. He started his agency in �000 and was successful in representing emerging medical technologies for companies such as Interpore Cross International. Previous to his distributorship, Mr. Bernarde held management positions at Interpore Cross International, Surgical Dynamics, and Cross Medical Products. He earned a B.S. from Marquette University in Milwaukee, Wisconsin.

Herbert J. BellucciVice President, Manufacturing and International

Herbert J. Bellucci has held the position of Vice President, Manufacturing and International of Alphatec Spine since August �00�. Prior to Alphatec, Mr. Bellucci was Senior Vice President of Operations for Digirad Corp., a medical imaging company; Vice President of Manufacturing for Omnicell, Inc., a healthcare supply chain solution provider; and Vice President of Operations for Vidamed, Inc. From �98� to �99�, Mr. Bellucci worked in various positions including Senior Vice President of Operations at Laserscope. Mr. Bellucci received a B.S. from Brown University and an M.B.A. from the Stanford Graduate School of Business.

Kimberly L. BradshawVice President, Physician Services and Fulfillment

Kimberly L. Bradshaw has served as Vice President, Physician Services and Fulfillment for Alphatec Spine since October �00�. Ms. Bradshaw has over �� years of customer service, sales support, warehouse management, and logistics experience, primarily in the medical device industry. Prior to joining Alphatec, Ms. Bradshaw worked at CardioDynamics, Inc. (CDIC), a medical device company. As Director of Customer Service, she managed customer service and support operations and led an ERP implementation program, acquisition integration, Sarbanes-Oxley compliance, and field automation. From �000 to �00�, she was CDIC’s Associate Director of Customer Service. Ms. Bradshaw completed programs in business administration and travel operations from Dapto and Wollongong Technical Colleges in New South Wales, Australia.

R. Park CarmonVice President, Marketing

R. Park Carmon has held the position of Vice President, Marketing since January �00�. Mr. Carmon has over �6 years of healthcare industry experience building companies with dynamic growth in both the spinal products and cardiovascular services markets. Prior to joining Alphatec, he was Director of Planning and Analysis at Long Beach Memorial Medical Center and Miller Children’s Hospital. Mr. Carmon has held positions as Vice President, Operations and Corporate Officer for Interpore International, Inc., Director of Materials and Director of Logistics for Perfusion Services of Baxter International and Edwards Lifesciences, respectively. From �98� to �996, he held positions of successive responsibility with PSICOR, Inc., including Division President and Vice President of Materials. Mr. Carmon received a diploma from the Texas Heart Institute School of Perfusion Technology and earned both a B.M. and an M.M. from the University of Michigan.

Charles O. BoylesVice President, Finance and Corporate Controller

Charles O. Boyles joined Alphatec Spine as Vice President, Finance and Corporate Controller in January �00�. Prior to Alphatec, Mr. Boyles was Vice President, Controller of the Medical Products Division of Teleflex Medical, Inc., a publicly held international manufacturer of airway management, catheters and humidification medical products and Corporate Controller of Hudson RCI, a privately held international manufacturer of airway management and humidification medical devices that was acquired by Teleflex Medical, Inc. He also held the positions of Corporate Controller of �� Fitness, Inc. and Director of Internal Audit for Fortune Brands. Mr. Boyles is a Certified Public Accountant and received a B.B.A. from James Madison University.

Susan L. JohnsonVice President, Human Resources

Susan L. Johnson has held the position of Vice President, Human Resources at Alphatec Spine since November �006. Previously, Ms. Johnson was Vice President of Human Resources for FFF Enterprises, a wholesale distributor of biopharmaceutical products; Vice President of Human Resources for Dimension One Spas, a manufacturer of luxury portable hot tubs; and Vice President of Human Resources for Sulzer Dental, a manufacturer of Class III FDA regulated implantable medical and dental devices. In total, Ms. Johnson has more than �0 years of human resources experience, much of which at the senior leadership level. She holds the designation of Senior Professional in Human Resources (S.P.H.R.) from The Human Resources Certification Institute, the leading independent, internationally recognized certifying body for the human resources profession. Ms. Johnson earned a B.S. (Cum Laude) from California State University at San Marcos and an M.A. from the California School of Professional Psychology.

R. Jeffrey GreenVice President, Quality Assurance and Regulatory Affairs

R. Jeffrey Green has served as Vice President, Quality Assurance and Regulatory Affairs for Alphatec Spine since September �006. Previously, he was an independent consultant to medical device, diagnostic, and biotech companies in the field of quality and regulatory compliance. Mr. Green has held executive management positions in quality and regulatory affairs with Baxter Health Care, Smith & Nephew, Squibb and Dade Diagnostics. His experience includes both the US and international markets. In addition, he has also been involved with small and start-up medical device and biotech companies where he provided the quality and regulatory guidance for FDA and ISO compliance. Mr. Green received a B.S. from the University of South Carolina.

Ebun S. Garner, Esq.General Counsel and Vice President, Compliance

Ebun S. Garner, Esq. has served as General Counsel and Vice President, Compliance since August �006 after originally joining Alphatec Spine in �00� as Vice President of Legal Affairs. Prior to Alphatec, Mr. Garner was a corporate associate in the New York office of the law firm of Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C. While at Mintz Levin, Mr. Garner provided counsel to a variety of orthopedic device and drug discovery companies, and prior to Mintz Levin, he was a corporate associate in the New York office of the law firm of Squadron, Ellenoff, Plesent and Sheinfeld, LLP. Mr. Garner is admitted to practice law in the State of New York. He received a B.A. from University of Pennsylvania and a J.D. from New York University School of Law.

Stephen A. LubischerVice President, Sales

Stephen A. Lubischer has served as Vice President, Sales for the U.S. since November �006. He originally joined Alphatec Spine in �00� as Regional Vice President for the Northeast/Mid-Atlantic and led the territory through seven consecutive quarters of significant growth. Prior to Alphatec, Mr. Lubischer’s background includes �� years of experience in senior sales management at Interpore Cross International, including Eastern Vice President of Sales and National Sales Manager of Distribution. He began working for Interpore Orthopaedics when the orthopaedic division was first established in �990 and was instrumental in building the division. In addition, Mr. Lubischer’s experience includes six years as Vice President of Sales at Immedica, Inc. and at Bionx Implants, both east coast orthopedic companies. Mr. Lubischer received his B.A. from Boston College.

Michael M. SolowayVice President, Medical Education

Michael M. Soloway joined Alphatec Spine in January �00� as Vice President, Medical Education. Previous to joining Alphatec, he was Director of Sales Training at IsoTis OrthoBiologics for two years and Medical Education Director at Interpore Cross International for �� years, where he developed a highly respected sales training program. He has conducted educational sessions domestically and internationally for over �,000 sales representatives and has coordinated innovative national and international sales meetings. Mr. Soloway’s orthopaedic career began in �98� as a sales representative for Osteonics and Ace Medical. During the �9�0’s, Mr. Soloway worked in the Santa Monica Unified School District training teachers, helping to integrate exceptional children into the regular classroom environment and assisting with the design and implementation of the California Master Plan for Special Education. He received B.A., M.A., and Ed.D. degrees from University of California, Los Angeles.

Brian J. PlotkinVice President, Information Technology

Brian J. Plotkin has held the position of Vice President, Information Technology at Alphatec Spine since October �00�. Prior to joining Alphatec, Mr. Plotkin was Information Services Director at Kyphon, Inc., a minimally invasive spinal products company and Chief Operations Officer for Team Play USA, an organization development and corporate recreational activities company. From �99� to �00�, he worked for Tyco Healthcare, a medical device company, filling various roles including Western Region IT Director and Corporate IS Support Manager. Mr. Plotkin received a B.A from San Diego State University and an M.B.A. from San Francisco State University Graduate School of Business.

Stephen J. Hochschuler, M.D. Chairman

Dr. Hochschuler is a board certified orthopedic surgeon with outstanding credentials and expertise in the treatment of the spine. Co-Founder of the Texas Back Institute and a Founding Member of the Board of Directors of the Spine Arthroplasty Society, Dr. Hochschuler has been published in a number of prestigious international spine journals, as well as authoring two books for the lay reader, Back in Shape and Treat Your Back Without Surgery. A graduate of Columbia University in New York, Dr. Hochschuler received a medical degree from Harvard Medical School. He completed an internship and general residency at Harvard Surgical Service, Boston City Hospital, Boston, Massachusetts, and an orthopedic surgery residency at the University of Texas Southwestern Medical School and Parkland Memorial Hospital, both in Dallas, Texas.

Bret B. Abshire, M.D.Dr. Abshire is a member of the neurosurgical faculty at the University of California, San Diego serving as Assistant Clinical Professor of Surgery. He is Vice Chair of the Surgery Department at the Southwest Healthcare System in Southern California. In addition, he maintains a private, general neurological practice performing surgery for brain tumors and cerebrovascular disease. Dr. Abshire’s area of special expertise includes disorders of the cervical, thoracic, and lumbar spine, and he is skilled in complex re-operative spine surgeries with spinal instrumentation. He has participated in several clinical studies involving the treatment of spinal disorders and has had a number of papers published in scientific journals. Dr. Abshire received a medical degree from the University of Health Sciences at The Chicago Medical School. He completed a surgical internship and neurosurgery residency at The Cleveland Clinic Foundation and a spine fellowship at the University of South Florida/Tampa General Hospital. Dr. Abshire is a member of the American Association of Neurological Surgeons.

Frank J. Eismont, M.D.Dr. Eismont has been affiliated with the Miller School of Medicine at the University of Miami since �980. He is currently a Professor and Co-Chairman of the Department of Orthopedics and Rehabilitation and is Program Director for the orthopedic residency training program as well as the spine surgery fellowship training program. Dr. Eismont has co-authored over �0 research articles and has served �0 years as a Director of the American Board of Orthopedic Surgery. A graduate of the University of Rochester School of Medicine in New York, Dr. Eismont completed both internship and orthopedic fellowship programs at the Case-Western Reserve University in Cleveland and at Pennsylvania Hospital in Philadelphia. He is also an active member of numerous organizations including the Scoliosis Research Society, the International Society for the Study of the Lumbar Spine, the North American Spine Society, the American Academy of Orthopedic Surgery, and the Cervical Spine Research Society of which he is a past President.

Steven R. Garfin, M.D.Dr. Garfin is Professor and Chairman of the Department of Orthopedic Surgery at the University of California, San Diego. He has authored or co-authored more than ��0 research articles in peer-reviewed journals and is a contributor to spine surgery textbooks. A graduate of the University of Minnesota School of Medicine, he completed an internship and orthopedic residency at the University of California, San Diego, and a spine surgery fellowship at Pennsylvania Hospital in Philadelphia. Dr. Garfin served for many years on the boards of the North American Spine Society and the Cervical Spine Research Society and has been the proud recipient of a number of clinical research awards at NASS, CSRS and ISSLS.

J. Patrick Johnson, M.D.Dr. Johnson practices and is a Director at Cedars-Sinai Institute for Spinal Disorders and Co-Director at the Cedars-Sinai Hyperhidrosis Center in Los Angeles, California. He served as Co-Director of the UCLA Comprehensive Spine Center for �0 years prior to his current position. Dr. Johnson’s research activities include minimally invasive and endoscopic spinal surgery, stem cell research for regeneration of spinal disorders, spinal biomechanics, and spinal implant technology design. He is an active member of many neurological organizations, academic committees and editorial review boards. He has lectured widely and published in numerous peer-reviewed journals and books. Dr. Johnson received a medical degree from Oregon Health Sciences University. He completed a surgical internship and neurosurgical residency at the University of California, Los Angeles and a neurology/neurosurgical fellowship at the National Hospital for Nervous Diseases at Queen Square in London, England. He completed a second fellowship in spinal surgery at the University of Tennessee in Memphis, Tennessee.

Frank M. Phillips, M.D.Dr. Phillips is a spine surgeon at Midwest Orthopedics and is a Professor of Orthopedic Surgery at Rush University Medical Center in Chicago. Dr. Phillips has authored over �0 peer-reviewed publications on his spine research and has received research awards from both NASS and the Cervical Spine Research Society. He has lectured widely both in the U.S and internationally on various spinal topics. A graduate of the Medical School in South Africa, he went on to complete an orthopedic surgery residency at The University of Chicago Hospitals. He completed a spine surgery fellowship under the direction of Dr. Henry Bohlman at University Hospitals in Cleveland.

James J. Yue, M.D.Dr. Yue is an Assistant Professor of Orthopedics and Rehabilitation at the Yale University School of Medicine, Co-Director of the Yale Spine Center, and Director of the Combined Yale Spine Fellowship. Dr. Yue has focused his recent clinical and basic science research in the area of non-fusion spinal technology. He has authored numerous peer-reviewed articles and book chapters examining the use of total disc arthroplasty in the lumbar and cervical spine. After completing an internship and residency in orthopedic surgery at Case Western Reserve University Hospitals in Cleveland, he completed a trauma and spine fellowship at the University of Maryland/RA Cowley Shock Trauma Hospital and an additional spine fellowship at Queen’s Medical Centre in Nottingham and London, England.
