SMART Awarded $12.5 Million

A key regional transportation com-mittee has approved $12.5 millionforSonoma-MarinAreaRailTransitto rebuild the line as far north asAirportBoulevardandpossiblyaddanewstationthere.

The funds were approved by theMetropolitan Transportation Com-mission’sprogrammingandalloca-tions committee. On Jan. 23, thecommittee’sactionwillgotothefullMTC board, which usually followsthoserecommendations.

“Theupgraded track increasesouroperations for north Santa Rosaand gets the trains back and forthto theoperationsandmaintenancefacility in a timely manner,” saidSMART Director Debora Fudge,a Windsor councilwoman. “It alsogetsusclosertotheworkersattheairportandhalfwaytoWindsor.”

The MTC committee allocated$750,000todesigntheprojectand$11.7millionforconstructionofthetrackandstation.ThemoneycomesfromBayAreatollbridgerevenue.

SMART is now rebuilding track,building stations and buying railcars,atacostofabout$360million,tostartservicebetweenGuernevilleRoadinSantaRosaanddowntownSan Rafael in late 2015 or early2016.

The additional funds will allowSMART to rebuild the line fromGuernevilleRoad toAirport Boule-vard, where SMART is planning a$20millionoperationsandmainte-nancefacility.

TheMilpitasCityCouncilhasvotedtoapproveaconditionalusepermitfora474-unit,multi-story rentalprojectnearGreatMall.Theapprovalpavesthe way for Newport Beach-basedLyonCommunitiestobuildthedevel-opment,tobecalled450Montague,

on7.98acresat450MontagueEx-pressway.Theprojectwill includeasix-story,865-spaceparkinggarage;the completion and dedication of a2.5acrepublicpark; improvementsto the streetscape of existing adja-cent roads and the construction oftwoaccessstreets;completionofaportion of a public trail along Peni-tenciaCreek;andwillfeatureprivateamenitiessuchasaroofdeckrecre-ationalspaceand threecourtyards,cityreportsstate.Theprojectalsoin-cludesconductingafeasibilitystudyfor a future $9-million pedestrianbridge over Montague Expresswaylikelytobefundedthroughdeveloperimpactfees.

Pismo Beach Will Get Seawall

The California Coastal Commis-sion has voted to approve a pro-posed 147-foot, tie-back seawalltopreventasewerliftstationfromfalling into thesea.Thesewer liftstationsitsabout12feetfromthebluff’sedge.

Officials said if the bluffswere tocrumbleintotheoceanduringanysignificant storm, the entire St.Andrews neighborhood would beleftwithoutsewerservice,andrawsewagewouldbedumpedintotheseabelow.

ThepartnershipbetweentheArmyCorps and Pismo Beach reducesthe city’s expenses for the sea-wall’sconstruction,as the federalagencywillpay35percentof theproject’stotalcost.Constructionisestimatedat$2.7million,withde-sign and other elements bringingthetotalcostto$4.1million.

Sonoma Roundabout Work To Bid This Month

TomO’Kane,interimco-directoroftheSonomaCountyPublicWorksand Transportation Departmentsaid, “The bid should go out inFebruarysothatwecanstartcon-struction in latespring–probablyJune,”

The $2.1 million roundabout isdesigned to accommodate truck-turning movements by includingrounded, or ‘traversable,” curbson the edge of the center islandandtruckapron.Nativevegetationwouldbeincludedinthecenteris-land, roadside treeswould be re-tainedwherefeasible,andtreestobe removedwill be replacedwith

nativeoak treesandshrubswith-in the public right-of-way wherespaceallows.

The existing road shoulder ofAr-noldDriveandAguaCalientewillconnect to the roundaboutwith anew 10-foot-wide paved bike/pe-destrian pathway. The new bike/pedestrian pathway is separatedfromthevehiculartravellanesthatform the roundabout with 6-inchhighcurbs.

Matsui Pushes For Natomas Levee Work

CongresswomanDorisMatsuihasre-introduced the Natomas BasinFlood Protection ImprovementsActandtheFloodProtectionPub-lic SafetyAct, both key pieces oflegislation that would authorizethe Natomas Levee ImprovementProject(NLIP).

“Authorizing the Natomas leveeproject is crucial toSacramento’sflood protection effort and is mynumberonepriority inCongress,”saidCongresswomanMatsui.“Aswe saw last year with HurricaneSandy,floodprotectioncannotwaitandthatiswhyIamreintroducingthis important legislation on DayOne of the new Congress. TheNLIP iscritical toprotecting thou-sands of Sacramento residentsand billions of dollars of propertyandinfrastructure.Congresscan-notdragitsfeetanylonger; lives,homes and businesses remain atrisk and we must authorize thiscrucialproject.”

TheNatomasBasinFloodProtec-tion Improvement Act would au-thorize full federal participation inthe NLIP, which will restore 100-yearfloodprotectionandultimatelyachieve 200-year level flood pro-

tection. This legislation, whichwasauthoredin2009andin2011,hasinthepastbeencaughtintheHouse Republican earmark ban,an overly broad ban that blocksany legislation that authorizes orfundsaspecificproject.

Bank Awards $18.5 Million for Construction Projects

Thirty-eighthousingprojectsintheValley were awarded grants fromthe Federal Home Loan Bank ofSan Francisco to provide morethan 60 living units to lower-in-come individuals.The38projectsweregranteda totalof$18.5mil-lioninthebank’s2012RoundBofAffordableHousingGrantstopro-duceorpreserve2,018livingunitstolow-incomeindividualsandfam-iliesineightstates.

One grant of $360,000 will helpdevelop the Palmer Villas projectintheFresnoCountycommunityofHuron.Thedevelopmentwillcon-sistof24affordablerentalunitsforseniors.

The Central Valley Coalition forAffordable Housing sponsoringthe development will seek LEED(Leadership in Energy and En-vironmental Design) Silver certi-fication for its drought-resistanttrees and vegetation along walk-ingpathsandsittingareas,amongothersustainablefeatures.

In Madera, the Corporation forBetter Housing got a $400,000granttoprovide40unitsofafford-able housing for families, seniorsand the homeless in the MaderaFamilyApartments.Theconstruc-tion project will use sustainabledesign and building materials inaccordancewithstandardsofBayAreanonprofitBuildItGreen.

South Lake Tahoe Project Could Get Back On Track

Work on a stalled $420 milliondevelopment near the state linecouldbeginassoonasthisspring,according tostatementsbySouthLake Tahoe City Manager NancyKerry.As originally designed, theproject includes a condominiumhotel, conference center, spa,park,shopsandrestaurants.

Bill Owens, the president andCEO of Owens Financial Group,hasclosedescrowon20ofthe29parcelsthatmakeupthedevelop-mentandhasapproachedthecityaboutbuildingsomeoftheproject,Kerrysaid.

Last weekthe City Council ap-pointed Mayor Tom Davis to joinCity Councilman Hal Cole on asub-committee to be involved indiscussions surrounding an ex-pectedpermitapplication.

Moscone Center Expansion Planned

San Francisco is moving aheadwith plans for a half-billion-dollarexpansion of the Moscone Con-vention Center, with an openingdate of 2018. The city would liketobeginconstructionin2013.

Plans call for construction of amulti-story building near ThirdandHowardstreets, retaining theexisting Esplanade Ballroom butadding meeting rooms and officespace.The city alsowouldwidenthe underground concourse be-neathHowardStreetthatconnectsthe two original buildings, chang-ing the two separate exhibition

halls into a single, much larger,space.Thewide driveways alongbothsidesofHowardStreetwoulddisappear, with building lobbiesextendingtothesidewalk.

“Tourismisourcity’sNo.1 indus-tryandbringingMoscone into the21st century will boost our city’seconomy,” Mayor Ed Lee saidwhen he announced the masterplanfortheexpansion.TheBoardof Supervisors gave unanimoussupport to the project in a pre-liminary vote in November. Tour-ism bringsmore than $8.4 billiona year into the city, with a majorpieceofthatcomingfromthevari-ousconventionsand tradeshowscenteredontheSoMaconventioncenter.

In 2011, more than 650,000 con-vention-goers visited the city,pouringabout$1.8billionintoSanFrancisco’seconomy,accordingtoa study by San FranciscoTravel,whichrepresentsthecity’stourismindustry.

Business Boom In Sanger

A movie theater, medical clinicand grocery store are just a fewexamples of nearly a dozen newdevelopmentsplannedforthecityofSanger.Hundredsofhomesarealso being built.Work is in prog-ressonthefirst30homesinphaseoneofa187unitsubdivisionnearChurchandIndianola.

According to city records, build-ing permits for residential hous-ing were up 300% in 2012. Thedemandissogreat,CityManager,Brian Haddix, is recruiting for afulltimebuildingofficial to replacethe part-time building inspectornowundercontract.

In addition to housing, Haddixadded, the city has five new of-fice buildings under construction,

including the Lucido Office Com-plexonthesoutheastcornerof7thand P Streets. The four building,52officecomplexisthefirstdown-towndevelopmenttotakeplaceindecades. He said several com-mercial and retail developmentsaregettingreadytobreakground,andconstructionofanew81-unitgatedapartmentcommunityisex-pectedtobeapproved.

474-Unit Rentalproject Gets Green Light

The Milpitas City Council hasvoted to approve a conditionaluse permit for a 474-unit, multi-story rental project near GreatMall. The approval paves theway for Newport Beach-basedLyon Communities to build thedevelopment, to be called 450Montague, on 7.98 acres at450 Montague Expressway. Theproject will include a six-story,865-space parking garage; thecompletion and dedication of a2.5 acre public park; improve-mentstothestreetscapeofexist-ing adjacent roads and the con-struction of two access streets;completionofaportionofapub-lic trail along Penitencia Creek;andwillfeatureprivateamenitiessuchasa roofdeck recreationalspaceand three courtyards, cityreports state. The project alsoincludes conducting a feasibilitystudy for a future $9-million pe-destrian bridge over MontagueExpressway likely to be fundedthroughdeveloperimpactfees.

Thecouncil saidLyon’sproject isconsistent with the Transit AreaSpecific Plan, which proposesmore than 7,100 new dwellingunits and nearly 1 million squarefeetofofficespacecenterednearthe pending Milpitas Bay AreaRapidTransitStationandexistinglightrail.


3. Marriage Penalty Relief - Getting married can cause a couple’s combined federal income tax bill to be higher than when they were single. The Bush tax cut legislation eased the so-called marriage penalty by tweaking the lowest two tax brackets for married couples and by giving them bigger standard deductions. These fixes were scheduled to disap-pear after 2012, but the new law makes them permanent.

4. Larger Child Tax Credit - The $1,000 maximum credit for each eligible under-age-17 child was made permanent. Without the new law, the maximum credit would have dropped to only $500 for 2013 and beyond. In addition, pro-visions that allow the child credit to be refundable for more households were extended through 2017.

5. Favorable Child and Dependent Care Tax Credit Rules - Under the Bush tax cut legislation, most working parents have been able to claim a credit of up to $600 for costs to care for one under-age-13 child, or up to $1,200 for costs to care for two or more under-age-13 kids. Lower-in-come parents have been able to claim larger credits of up to $1,050 and $2,100, respectively. The new law makes these credit amounts permanent for 2013 and beyond (without the new law, they would have dropped to $480 and $960 for most parents; $720 and $1,440 for lower-income parents).

6. Favorable Student Loan Interest Deduction Rules - This write-off, which can be as much as $2,500 (whether you itemize or not) was scheduled to fall under less-favor-able rules in 2013 and beyond. There would have been a 60-month limit on deductible interest, and a stricter phase-out provision would have reduced or eliminated the deduc-tion for many middle-income taxpayers. The new law per-manently extends the favorable rules that have applied in recent years.

The American Taxpayer Relief Act Of 2012 Signed

The American Taxpayer Relief Act of 2012, also known as the “fiscal cliff legislation,” was signed into law by President Barack Obama on January 2, 2013. Despite the name of the law, all workers will pay higher federal taxes this year due to the demise of the so-called “payroll tax holiday.” The good news: The new law cancels income tax increases that would have resulted in added misery. It also makes several provi-sions permanent, which will result in less uncertainty (see below box).

Several Tax Breaks Made PermanentOne of the most confusing and frustrating aspects of the tax code is lawmakers’ practice of making tax breaks avail-able for a year or two -- and then deciding whether or not to extend them. Thankfully, the new law makes several pro-visions “permanent.” This doesn’t mean that Congress will never discontinue these tax breaks but we now have some certainty that the following will stick around for awhile:

1. Relatively Favorable Gift and Estate Tax Rules - For 2013 and beyond, the new law permanently installs a uni-fied federal estate and gift tax exemption of $5 million -- adjusted annually for inflation -- and a 40 percent maxi-mum tax rate (up from last year’s 35 percent rate). For 2012, the exemption amount was $5.12 million after be-ing adjusted for inflation. For 2013, the inflation-adjusted exemption amount is expected to be approximately $5.25 million. The new law also makes permanent the right to leave your unused federal estate and gift tax exemption to your surviving spouse (the so-called “exemption portabil-ity” feature).

2. Alternative Minimum Tax Patch - It had become an annual ritual for Congress to “patch” the AMT rules to pre-vent millions more households from getting hit with this add-on tax. The patch consisted of allowing larger infla-tion-indexed AMT exemption amounts and allowing vari-ous personal tax credits to offset the AMT. Thankfully, the new law makes the patch permanent, starting with 2012. As a result, about 30 million households a year will be kept out of the AMT zone.

The new law increases AMT exemption amounts for 2012 to $50,600 for single taxpayers; $78,750 for married joint filers; and $39,375 for married taxpayers filing separate-ly. (For 2013, these amounts are projected to be $51,900, $80,750 and $40,375, respectively.)

Both undergraduate and graduate school costs could be covered and the education did not need to be job-related. This taxpayer-friendly deal was scheduled to expire at the end of 2012, but the new law makes it permanent.

9. Tax Breaks for Adoptive Parents -The Bush tax cut package included a major liberalization of the adoption tax credit and also established tax-free employer adoption as-sistance payments. These taxpayer-friendly provisions were scheduled to expire at the end of 2012. The credit for up to $10,000 of expenses (indexed for inflation) would have been halved and limited to special needs children only. The bad news: Higher-income folks will face higher tax rates, starting this year. And there are a couple other new taxes kicking in this year (not part of the new law), which may take you by surprise.

This article summarizes the most impor-tant changes for individual taxpayers, including favorable new estate and gift tax provisions.

The Payroll Tax Holiday Is Over

For 2011 and 2012, the Social Security tax withholding rate on an employee’s salary was temporarily reduced from the normal 6.2 to 4.2 percent. If you’re self-employed, the Social Security tax com-ponent of the self-employment tax was reduced from the normal 12.4 to 10.4 percent. Last year, this payroll tax holi-day could have saved one person up to $2,202 (up to $4,404 for a married cou-ple with two incomes). Unfortunately for working folks, the new law does not extend the payroll tax cut through 2013.Key Point: For this year, the Social Security tax can hit up to $113,700 of salary at a 6.2 percent rate and up to $113,700 of self-employment income at a 12.4 percent rate.

Tax Increases for Higher-Income In-dividuals

Rates on Ordinary Income: For most individuals, the federal income tax rates for 2013 will be the same as they were for 2012: 10, 15, 25, 28, 33, and 35 percent. However, the maximum rate for higher-income folks increases to 39.6 percent (up from 35 percent). This change only affects:

Rates on Long-Term Gains and Divi-dends: The tax rates on long-term capi-tal gains and dividends will also remain the same as last year for most individu-als. However, the maximum rate for higher-income folks increases to 20 per-cent (up from 15 percent). This change only affects singles with taxable income above $400,000, married joint-filing couples with income above $450,000, heads of households with income above $425,000, and married individuals who file separate returns with income above $225,000. These changes are permanent (until further notice).

Important: These higher-income folks can also get whacked by the new 3.8 percent Medicare surtax on investment income, which can result in a maximum 23.8 percent federal tax rate on 2013 long-term gains and dividends.

The 3.8 percent Medicare surtax on net investment income and a new 0.9 per-cent Medicare tax on wages and self-employment income both affect higher income taxpayers and became effective on January 1, 2013. They were not part of the new fiscal cliff law.

Phase-Out Rules Are Back

Before 2010, higher-income taxpay-ers had their itemized deductions and personal exemption write-offs “phased out.” This means that they didn’t get the full benefit of the most popular tax breaks.

The phase-out rules were deactivated for 2010 through 2012. Regrettably, the new law brings them back on a permanent basis.

Personal and Dependent Exemp-tion Deductions: Your personal and dependent exemption write-offs can be reduced or even eliminated.

Itemized Deductions: You can po-tentially lose up to 80 percent of your write-offs for mortgage interest, state and local income and property taxes, and charitable contributions if your adjusted gross income (AGI) ex-ceeds the applicable threshold.

Specifically, the total amount of your affected itemized deductions is re-duced by 3 percent of the amount by which your AGI exceeds the thresh-old. However, the reduction cannot exceed 80 percent of the total affect-ed deductions you started off with.

For both personal/ dependent ex-emptions and itemized deductions, the AGI thresholds are $250,000 for singles, $300,000 for married joint-filing couples, $275,000 for heads of households, and $150,000 for mar-ried individuals filing separately.


Earned Income Tax Credit

Legislation enacted in previous years increased the earned income credit for families with three or more qualifying children and allowed married joint-fil-ing couples to earn more without hav-ing their credits reduced. These changes, which help lower-income families, were extended through 2017.

American Opportunity Higher Edu-cation Credit

The American Opportunity credit, which can be worth up to $2,500 and can be claimed for up to four years of undergraduate education, was extended through 2017. The full credit is avail-able to single individuals whose modi-fied adjusted gross income (MAGI) is $80,000 or less ($160,000 for married couples filing jointly). Single taxpayers cannot claim the credit if MAGI is more than $90,000 ($180,000 for married fil-ing jointly).

Higher Education Tuition Deduction

This tuition write-off, which can be $4,000 or $2,000 depending on income, expired at the end of 2011. The new law retroactively restores it for 2012 and ex-tends it through 2013.

Note: You cannot claim this deduction and the American Opportunity credit for the same student in the same tax year.Option to Deduct State and Local Sales Taxes

In past years, individuals who paid little or no state income taxes were given the option of instead claiming an itemized deduction for state and local sales taxes. The option expired at the end of 2011, but the new law retroactively restores it for 2012 and extends it through 2013.

Charitable Donations from IRAs

In past years, IRA owners who had

reached age 70 1/2, were allowed to make tax-free charitable donations of up to $100,000 directly out of their IRAs. The donations counted as IRA required mini-mum distributions. So charitably inclined seniors with more IRA money than they needed could reduce their income taxes by arranging for tax-free IRA donations to take the place of taxable IRA required minimum distributions.

This break expired at the end of 2011, but the new law retroactively restores it for 2012 and extends it through 2013. To take advantage of the retroactive deal, you can treat donations made in January of this year as having been made in 2012. You can also donate IRA distributions taken in December of last year to charities and treat them as 2012 IRA donations. You must transfer such amounts to qualified charities by Janu-ary 31, 2013.

Parity for Employer-Provided Park-ing and Transit Benefits

For 2012, employer-provided parking allowances are tax-free up to a monthly limit of $240. For 2013, the monthly limit is $245. Thanks to the new law, you can be given up to these same amounts last year and this year for tax-free transit passes or vanpooling. For example, you could get up to $245 per month this year to pay for the park and ride plus up to another $245 to pay for the train.

Without the new law, there would have been only a $125 monthly limit on em-ployer-provided transit passes and van-pooling for 2012 and 2013.

Key Point: If your company doesn’t pay for these fringes, it might offer a sal-ary reduction arrangement instead. Say you set aside $245 per month for the train plus another $245 for the park and ride. If you’re in the 25 percent federal income tax bracket this year, you could save up to $1,920 in federal income and employment taxes.

Tax-Free Treatment for Forgiven Principal Residence Mortgage Debt

For federal income tax purposes, a forgiven debt generally counts as taxable cancel-lation of debt (COD) income. However a temporary exception applied to COD in-come from cancelled mortgage debt that was used to acquire a principal residence. Under the temporary rule, up to $2 million of COD income from principal residence acquisition debt that was cancelled in 2007-2012 was treated as a tax-free item. The new law extends this break to cover eligible debt cancellations that occur in 2013.

Deduction for K-12 Educators’ Ex-penses

The $250 deduction for teachers and other K-12 educators for school-related expenses paid out of their own pockets was retroactively restored for 2012 and extended through 2013.

Energy-Efficient Home Improvement Credit

In past years, taxpayers could claim a tax credit of up to $500 for certain energy-sav-ing improvements to a principal residence. This break expired at the end of 2011, but the new law retroactively restores it for 2012 and extends it through 2013.

Mortgage Insurance Premium Write-offPremiums for qualified mortgage insur-ance on debt to acquire, construct, or improve a first or second residence can potentially be treated as deductible quali-fied residence interest. Before the new law, this break was only available for pre-miums paid through 2011. The new law retroactively restores the break for premi-ums paid in 2012 and extends it to cover premiums paid in 2013. However, the deduction is only available for premiums for qualifying policies issued after De-cember 31, 2006 and premium amounts allocable to periods before 2014 and it is phased out for higher-income taxpayers.

For an individual who is a qualified farmer or rancher, the qualified conservation contribution write-off for donated farm or ranch real property can be as much as 100 percent of the donor’s AGI. How-ever, the donation must include a usage restriction stating that the property must remain available for agricultural or live-stock production.

Should You Run Your Business As A Corporation Or LLC?

Whether you are a full-time or part-time business owner, everyone in the field of construction can benefit from forming a corporation or an LLC. There are two reasons why: one has to do with lower-ing your personal taxes and the other one with growing your busi-ness.

First, no matter what type of way you make your living, you are going to make income and pay taxes. If you are a business owner, your goal is to have the money you make taxed at the low-est rate allowed by law. If you are doing your business as a sole proprietor, you are going to pay more taxes than if you operated your business as a corporation or an LLC. Period.

Second, you are in business. Part-time or full-time, every business owner wants their business to grow and become more successful. However, if you are a sole proprietor, your business cannot grow to its full financial potential because it is limited by you. Look at the facts:

Sole Proprietorship vs. Corporation or LLC TAXES

If you are doing business as a sole pro-prietor, you will make money through-out the New Year and report that income at the end of the year. You will claim all expenses and deductions that you are eli-gible for, and the remainder will be your taxable net income. All of this income is now subject to self-employment tax. This is because there are only four ways in which income can come to the own-er of a sole proprietorship: cash, fringe

benefits, rent, and royalties. Therefore, almost every dollar of income is going to be taxed at the highest possible tax rate.

If you operated your business as a cor-poration or an LLC, even though you would make the same amount of in-come, the end result would be very dif-ferent. The tax code provides additional income reduction tools to the owners of corporations and LLC’s. It allows you to take income out of the business in six different ways: wages, fringe ben-efits, dividends and distributions, loans, rent, and royalties. As a result, you can change the character of the money that comes to you, and reduce your personal taxes!

Let’s look at the four most important ways your corporation or LLC can help reduce your personal taxes.

1. Wages

Wages consist of the income you take out of your business that pays you for your efforts. Wages are taxed at the same rates as a sole proprietor example. So at first there appears to be no difference between a sole proprietor and our entity. However, the owner of a corporation or LLC can regulate this income. So our owner here can have some of their life-style money taxed as wages, but can also take it out in a variety of other ways.

For instance, he could take some income out as wages, or he could flow the in-come into one of the other six categories mentioned above, so it can be taxed at a lower rate (if it is taxed at all). This

is called regulating income. The owner basically has the ability to change the character of money—an option the sole proprietor does not have because he or she has to declare their income as cash subject to self-employment tax.

2. Fringe Benefits

Fringe benefits are legislative tax rules that benefit business. They allow busi-nesses to write off non-traditional busi-ness expenses, such as health insurance and retirement plans. Corporations and LLC owners can claim and take these fringe benefits for themselves. Handled this way, the cost becomes a business expense. If you are a sole proprietor and you claimed the same fringe benefit, it would almost always be considered tax-able income to the owner for the exact same benefit!

3. Dividends and Distributions

A dividend or distribution is considered profit. This profit can be given to an owner throughout the year, or at the end of the year. The key with this type of in-come is the classification. Since it is not classified as wages, it is not subject to employment tax. Therefore, every dol-lar paid out as dividend saves the owner 15.3 percent—the going U.S. employ-ment tax rate.

4. Loans

A corporation or LLC is considered a separate legal person. Even though you are the owner, you can still interact with it like a separate person. Therefore, you can borrow money from your corpora-


tion or LLC. The obvious benefit is that any money you borrow is not considered taxable income. Sole proprietors cannot enjoy this benefit because they are not considered separate from their business.

Summary of Tax Benefits

The reality of business taxation is that there are just more opportunities to low-er your taxes for corporations and LLCs than there are for sole proprietorships. So it’s simply good business to learn the rules and take advantage of them. As a sole proprietor, you will always pay more in personal taxes. Period. Sole Proprietorship vs. Corporation

We all want our businesses to grow and become more successful. However, suc-cess and growth can be two different things. As we learned above, we can make the exact same amount of money as we made last year, but end up paying less in taxes if our business is structured

differently. Therefore, we could be more successful simply by keeping more of the money we make.

But growth is not simply expansion of the business. We can have our business grow independent of our efforts in our trade. Let me explain. Because your corporation or LLC is considered a separate legal person in the eyes of the law, it has the ability to grow independent of you. It can develop and expand its own financial identity. For example, it can establish credit for it-self, which is independent of the owner. That means your business has unlimited growth potential. The sole proprietor and their business are one and the same person. Therefore, a sole proprietor can-not create their own independence and grow financially without the owner.

Another interesting aspect of this sepa-ration concept is that any credit you have, as an individual, is considered a debt. Any credit the business establishes

for itself is an asset. If the business was ever sold, the credit it established would be added to the value of the business. This again is not available to the sole proprietor. This is one more of the many ways you can grow your business with-out making any more money!

Sole Proprietorship vs. Corporation or LLC Summary

If you want to make extra money and be-come more successful, you are better off operating your business as a corporation or LLC. Remember, part-time or full-time, this is a business. No matter how much time you spend in it, you always want to make sound business decisions.

Applying Title 24 Building Energy Efficiency Standards

As a PCCA member and architect spe-cializing in building performance, my primary role is helping contractors un-derstand and apply the Title 24 Build-ing Energy Efficiency Standards, in this case to a specific project.

A contractor recently asked for help in preparing a bid proposal for a new resi-dence based on drawings from the late 1990s. Drawings were limited to plans, elevations and sections for a 2,300 SF single story with a slab-on-grade foun-dation. Notes and specifications were minimal with no HVAC information other than a condenser pad for a stan-dard split system. He wanted to know the changes that would be needed to meet the 2008 Standards with the mini-mum number of HERS tests.

Despite three code cycles, we modeled the house based on the original draw-ings, suggested some design changes

and achieved compliance with only two HERS tests, refrigerant charge and duct leakage. In this case, the major change was a reduction in total glazed area to the maximum allowed without pen-alty (20% total and 5% west elevation of total conditioned floor area, Package D, Climate Zone 12). For example, we reduced window height from six feet to five feet (3060 to 3050) and an ex-ternal French door (modeled as a win-dow) from eight feet to seven feet (2680 to 2670). An alternative would be to maintain the original window areas with high performance Low-E, and more ex-pensive, glazing (a U-factor/SHGC from .38/.37 to say .34/.19).

In addition to the T-24 Report (CF-1R) meeting his requirements, we provided a summary of results, recommendations, alternatives, and tools that allowed him to modify the design and window sched-ule consistent with T-24 compliance.

This approach allowed the contractor flexibility in resolving the final design

and cost with the owner without the cost and time of referring back to us for a compliance check until the design is fi-nalized. Once we receive the final docu-ments, we can revise the model and is-sue the final T-24 Report. In the absence of any major design change we expect minimal revision. We will also be able to check compliance for any construc-tion changes, manage rebate applica-tions, and minimize the potential risk of cost and delay of HERS testing.

With each code cycle, the complexity of energy efficiency standards will increas-ingly affect building design, construction cost and project delivery. For example, according to the CEC (CA Energy Com-mission) the new 2013 Standards due out in 2014 will require 25% less energy for new residential (30% less for new non-residential). Since the CEC relies primar-ily on the construction industry to achieve their energy efficiency goals, contractors should select their project teams carefully to minimize the risks of non-compliance throughout the project cycle.

A Word To The Wise About Construction Defect

Possibly no two words strike more fear in the hearts of architects, engineers and contractors than “construction defect.” A claim for construction defect can cost astronomical amounts to correct and de-fend.

And then there’s the damage to your reputation and its impact on your future opportunities for work. It’s enough to break a business.

Construction Defect Risks

New technology, materials and applica-tions have changed the way commercial buildings, homes and condominiums are constructed.

Advances are enabling the design and construction of buildings that are more attractive and less costly. Yet, many of these advances have yet to be tested in real application over time, where prob-lems may be uncovered that were neveranticipated in the lab.

At the same time, new applications re-quire new skills from contractors, whomay overlook important requirements for installation or take shortcuts that cause devastating consequences.

When problems occur, it’s hard to know the cause without investigation, and everyone on the project is forced to be-come involved.

What new building materials are you using in your projects? Have you done your research? How confident are you in the manufacturer and the testing? Are you comfortable with the risk?

Types of Construction Defects

Generally, courts categorize construc-tion defects in one of four categories:

1. Design deficiencies typically relate tobuilding designs that do not meet code or perform to standard.

2. Material deficiencies occur when use of inferior materials causes significantproblems, such as when windows leak or fail to perform even when properly installed.

3. Construction deficiencies are prob-lems created by poor quality workman-ship.

4. Subsurface deficiencies usually in-volve cracked foundations or other structural damage caused when soil is not properly compacted and prepared for adequate drainage.

The goal of the court is to determine fault and damages, and require the party responsible for the defect to remedy the situation.

InsuranceUnder the standard commercial general liability (CGL) policy, your insurance company has a duty to defend you for

construction defect claims if any dam-ages are potentially covered under the policy. Coverage for construction defect only exists if there is an “occurrence” under the policy.

If the court finds against you and you are a subcontractor, the policy will fre-quently pay for property damage caused by the occurrence.

It does not, however, cover the costs to remedy your work – the faulty work-manship or material that led to the dam-age. In many cases, the cost to correct the construction defect will be greater than the actual property damages in-curred. Keep in mind that if you are a general contractor, the whole project is your work.

What You Can Do to Manage Your Risk

Many risks you face are not typically covered by insurance. In addition to insurance, you can reduce your risk through:

Risk ControlThe best way to avoid a construction de-fect claim is through quality construction. Work only with architects, engineers and contractors who have good reputations and a track record of performance. Don’t cut corners. Plan and perform work in the correct sequence and with proper super-vision. Be sure to document any and all plan changes. Organized records are criti-cal to your defense.

Another CSLB-sponsored billstrengthens enforcement authorityover contractors who violate statecontractinglaws.AB2554amendsBusiness and Professions Codesections 7011.4 and 7106.5 to en-abletheCSLBEnforcementdivisionand its representatives to issueno-ticestoappearincourtrelatedtodis-ciplinaryactionsagainstalicense.

Several other laws affecting con-sumers, contractors, and the con-struction industry tookeffectas thenewcalendararrived:

AB 2219 indefinitely extends the re-quirement that all C-39 Roofing con-tractors obtain workers’ compensa-tion insurance coverage, even if they certify that they have no employees. The bill also extends, indefinitely, the requirement that insurers con-duct annual audits, and requires that these audits be conducted in person to verify the accuracy of the reported number of employees.

AB 2114 enacts new construction permit requirements for swim-ming pools, spas, or public wading pools.

AB 2339 requires state regulators and those involved in the heat pump and geothermal heating and cooling industries to evaluate policies and develop infrastructure for wider use of these technologies.

SB 1576 allows the CSLB to take administrative action if a licensee files a false complaint again another licensee.

The Placer County Contractors Association (PCCA) weekly newspaper is published 52 times a year and distributed free of charge to building & construction firms in the greater Placer and Sacramento county area. PCCA reserves the right to determine position and placement of all advertising. Special positioning may be purchased for an additional 20% if space is available. Rates above are for full color ads per insertion. Flash animation (.swf files), animations (.gif format) and video clips can be added to any ad. There is no extra charge for video clips or multi-media in ads unless “assembly” of the ad is required. Some file size limitations apply. Reading the price chart: Each column shows the price per run based on the number of times the ad is run. For example, a 1/4 page ad, run 13 times (which is every week for 3 months or every other week for 6 months) is $81 per run. That same ad, run every week for a year, would only cost $47 per run. Ads are invoiced monthly after the last ad run of the month. Net 30 days is offered. Take 15% off the rates shown below if you are a member of the Placer County Contractors Asociation. Take another 3% off if you prepay your ad contract entirely. Multiple ads can be run on a rotation basis under one advertising contract.
