AGB

I. Allgemeine Bestimmungen1. Sämtliche Lieferungen und Leistungen basieren maßgeblich auf unseren

allgemeinen Geschäftsbedingungen sofern diesen nicht binnen 8 Tagen nach Vertragsabschluss schriftlich widersprochen wird. Sondervereinba-rungen werden erst durch schriftliche Bestätigung unserer im Handelsre-gister eingetragenen Bevollmächtigten rechtsverbindlich.

2. Angebote sind unverbindlich3. An Unterlagen aller Art, auch in elektronischer Form, behält sich der

Auftragnehmer / Lieferer, seine Eigentums- und Urheberrechte uneinge-schränkt vor. Die Unterlagen dürfen nur nach vorheriger Zustimmung des Auftragnehmers / Lieferers Dritten zugänglich gemacht werden. Sie müs-sen dem Auftragnehmer / Lieferer zurückgegeben werden, wenn kein Vertragsabschluss erreicht wird.

II. Preise und Zahlungsbedingungen1. Die Preise gelten ab Werk, ausschließlich Verpackung, Versicherung und

Mehrwertsteuer, diese werden in der jeweils entsprechenden gesetz-lichen Höhe separat berechnet.

2. Angemessene Preisanpassung bei außergewöhnlicher Veränderung der Kostenfaktoren (Energie, Rohmaterial, Löhne), für Lieferungen die 4 Mo-nate oder später nach Vertragsabschluss erfolgen, bleiben vorbehalten.

3. Wird ein vereinbartes Auftragsvolumen nachträglich verringert, können die Preise / Rabatte entsprechend der veränderten Rüstkosten nachträg-lich angepasst werden.

4. Die Rechnungen des Lieferanten sind ohne Abzug innerhalb von 30 Ta-gen nach Rechnungsdatum zahlbar. Ist die Zahlungsfrist überschritten, so ist der Lieferant ohne weitere Mahnungen berechtigt, vom Zeitpunkt der Fälligkeit an, Zinsen in Höhe von 8 % jährlich über den jeweiligen Basiszinssatz der Europäischen Zentralbank zu verlangen. § 288 BGB bleibt unberührt

5. Gerät der Auftraggeber/Käufer in Verzug, löst er einen Wechsel bei Fäl-ligkeit nicht ein oder werden uns nachträglich Umstände bekannt, aus denen sich eine Verschlechterung seiner Zahlungsfähigkeit ergeben, werden unsere gesamten Forderungen abweichend von den obigen Zahlungsbedingungen sofort fällig. Zur weiteren Lieferung sind wir in diesem Fall nur verpflichtet, wenn uns der Auftraggeber/Käufer Voraus-zahlung anbietet. Werden keine Barzahlungen Zug um Zug gegen eine Lieferung angeboten, so sind wir berechtigt, Schadensersatz wegen Nichterfüllung zu verlangen oder vom Vertrag zurückzutreten.

III. Lieferung1. Leistungsort für die Lieferung ist der Firmensitz des Lieferers2. Zugesagte Lieferzeiten werden erst mit der jeweiligen schriftlichen Auf-

tragsbestätigung verbindlich. Von der vorgegebenen Lieferzeit kann ab-gewichen werden, wenn dies 8 Tage vor dem vereinbarten Liefertermin schriftlich mitgeteilt wird. Mahnung zu ausstehenden Lieferungen müs-sen schriftlich erfolgen.

3. Die Lieferzeit gilt als eingehalten, wenn der Gegenstand das Werk ver-lassen hat, bzw. wenn die Ware als versandfertig gemeldet wird. Höhere Gewalt, Arbeitskämpfe und unvorhersehbare Umstände, die die Liefe-rung wesentlich erschweren oder vorübergehend unmöglich machen (z. B. Feuer, Maschinendefekte, Rohstoff- oder Energiemangel, währungs- und handelspolitische oder sonstige hoheitliche Maßnahmen, Behinde-rung der Verkehrswege, etc.), wobei es unerheblich ist, ob diese Behin-derung primär uns oder unsere Zulieferer treffen, geben uns das Recht die Lieferung um die Dauer der Behinderung und einer angemessenen Anlaufzeit zu verlängern. Für den Fall des Eintritts dieser unvorherge-sehenen Ereignisse wird, sofern sie die wirtschaftliche Bedeutung oder den Inhalt der Leistung erheblich verändern, der Vertrag entsprechend angepasst. Soweit dies wirtschaftlich nicht vertretbar ist, steht uns das Recht zu ganz oder teilweise vom Vertrag zurückzutreten. Wird durch die vorgenannten Ereignisse die Lieferung oder Leistung unmöglich, so werden wir von der Lieferverpflichtung frei, ohne dass der Auftraggeber/Käufer Schadenersatz verlangen kann.

4. Abgesehen der in Regelung Ziffer III. 4. beschriebenen Umstände, kann der Auftraggeber/Käufer im Rahmen der gesetzlichen Bestimmungen vom Verkauf nur zurücktreten, wenn die Verzögerung der Lieferung oder Leistung vom Auftragnehmer/Verkäufer zu verantworten ist. Eine Ände-rung der Beweislast zum Nachteil des Auftraggebers/ Käufers entsteht mit den vorstehenden Regelungen nicht. Bei Lieferverzug, der nicht auf Ziffer III. 4. beruht, hat der Auftraggeber/Käufer dem Auftragnehmer/Verkäufer eine angemessene Nachfrist, die im Regelfall nicht unter zwei Wochen liegen soll, zu setzen. Die Fristsetzung hat schriftlich zu erfolgen. Nach fruchtlosem Fristablauf kann der Auftraggeber/Käufer von denjeni-gen Lieferungen und Leistungen zurücktreten. Der Auftraggeber/Käufer ist verpflichtet, auf Verlangen des Auftragnehmers/Verkäufers innerhalb angemessener Frist zu erklären, ob er wegen der Verzögerung der Lie-ferung oder Leistung vom Vertrag zurücktritt oder auf der Lieferung oder Leistung besteht. Teillieferungen der Gesamtauftragsmenge oder Teillei-stungen sind zulässig soweit sie dem Auftraggeber/Käufer zumutbar sind.

5. Kommt der Auftragnehmer/Verkäufer schuldhaft in Verzug, kann der Auf-traggeber/Käufer, sofern er glaubhaft macht, dass ihm hieraus ein Scha-den entstanden ist, eine Entschädigung für jede vollendete Woche des Verzuges von je 0,5 %, insgesamt jedoch höchstens 5 % des Preises für den Teil der Lieferungen oder Leistungen verlangen, mit deren Erbringung sich der Auftragnehmer/Verkäufer in Verzug befindet. Sowohl

Schadenersatzansprüche des Auftraggebers/Käufers wegen Verzögerung der Lieferung oder Leistung als auch Schadenersatzansprüche statt der Leistung, die über die vorgenannten Grenzen hinausgehen, sind in allen Fällen verzögerter Lieferung oder Leistung, auch nach Ablauf einer dem Auftragnehmer/Verkäufer gesetzten Frist zur Lieferung oder Leistung aus-geschlossen. Dies gilt nicht, soweit in Fällen des Vorsatzes, der groben Fahrlässigkeit oder wegen der Verletzung des Lebens, des Körpers oder der Gesundheit zwingend gehaftet wird.

IV. Gefahrenübergang1. Die Gefahr geht, auch bei frachtfreier Lieferung, wie folgt auf den Besteller

über:a) bei Lieferungen ohne Aufstellung oder Montage, bei Versandbereitstel-

lung oder Abholung. Auf Wunsch und Kosten des Bestellers werden Lie-ferungen vom Lieferanten gegen die üblichen Transportrisiken versichert

b) mit Übergabe der Ware an die Transportfirma2. Vertragsgemäße versandfertig gemeldete Ware muss unverzüglich

abgerufen werden, da wir anderenfalls berechtigt sind, sie auf Kosten und Gefahr des Auftraggeber/Käufer zu versenden oder sie gegen den marktüblichen Preis zu lagern.

3. Wenn der Versand, die Zustellung, aus vom Besteller zu vertretenden Gründen verzögert wird oder der Besteller aus sonstigen Gründen in An-nahmeverzug kommt, so geht die Gefahr auf den Besteller über.

V. Eigentumsvorbehalt1. Die Gegenstände der Lieferungen ( Vorbehaltsware ) bleiben Eigentum

des Lieferers bis zur Erfüllung sämtlicher ihm gegen den Besteller aus der Geschäftsverbindung zustehenden Ansprüche.

2. Während des Bestehens des Eigentumsvorbehaltes ist dem Besteller eine Verpfändung oder Sicherungsübereignung untersagt. Der Besteller ist jederzeit widerruflich berechtigt, die gelieferten Gegenstände im ord-nungsgemäßen Geschäftsverkehr zu verarbeiten oder mit anderen zu verbinden. Die Verarbeitung oder die Verbindung erfolgt für den Lieferer, wodurch er Eigentum an den durch die Verarbeitung oder Verbindung entstehenden Gegenständen erwirbt. Soweit durch die Verarbeitung das Eigentum des Lieferers an der Ware untergeht, überträgt ihm der Bestel-ler bereits heute das Eigentum an dem durch die Verarbeitung entstehen-den neuen Gegenstand.

3. Der Besteller ist jederzeit widerruflich berechtigt, die Ware im ordnungs-gemäßen Geschäftsverkehr zu veräußern. Er tritt bereits heute seine For-derungen aus den Weiterveräußerungen an den Lieferer ab. Steht die Ware im Eigentum des Lieferers oder im Eigentum dritter Personen, so tritt uns der Besteller die Forderungen aus dem Verkauf zu demjenigen Bruchteil ab, der unserem Miteigentumsanteil entspricht.

4. Der Besteller ist solange berechtigt und verpflichtet an den Lieferer abge-tretene Forderungen einzuziehen, als er diese Ermächtigung nicht aus-drücklich widerrufen hat.

5. Der Besteller hat die Ware sorgfältig zu verwahren und auf seine Kosten ausreichend gegen Diebstahl und Feuer zu versichern.

6. Bei Pfändungen, Beschlagnahmen oder sonstigen Verfügungen oder Eingriffen Dritter hat der Besteller den Lieferer unverzüglich zu benach-richtigen.

7. Soweit Einzelheiten über die Gestaltung einschließlich der einzuhaltenden Toleranzen durch DIN-Normen festgelegt sind, sind diese DIN-Normen

in der größten Toleranzgruppe einzuhalten, Abweichungen von den Be-stimmungen der DIN-Normen sind besonders schriftlich zu vereinbaren.

8. Im Übrigen behalten wir uns Abweichungen im handelsüblichen Umfang vor.

VI. Sachmängel1. Offensichtliche Mängel müssen innerhalb von 14 Tagen nach Abliefe-

rung schriftlich gerügt werden. Dabei sind begonnene Be- oder Ver-arbeitungen unverzüglich einzustellen. Verdeckte Mängel, die auch bei sorgfältigster Prüfung nicht entdeckt werden können, müssen unverzüg-lich schriftlich nach Auftreten gerügt werden. Unvollständige Lieferungen müssen innerhalb von 8 Tagen nach der Anlieferung angezeigt werden.

2. Wird ein berechtigter Mangel zum Zeitpunkt des Gefahrenübergangs schriftlich und fristgerecht angezeigt, beseitigt der Auftragnehmer diese unentgeltlich nach seiner Wahl durch Ersatzlieferung oder Nachbesse-rung.

3. Bei Nichterfüllung kann der Auftraggeber den Vertrag rückgängig ma-chen, bzw. Minderung verlangen. Mängelansprüche bestehen nicht wenn die Funktion, Benutzbarkeit oder die Lebensdauer des Produktes nicht beeinträchtigt ist.

4. Keine Gewährleistung wird in folgenden Fällen übernommen: a) Unsachgemäße Verwendung, fehlerhafte Montage bzw. Inbetrieb-

setzung durch den Auftraggeber oder Dritteb) normale Abnutzung, insbesondere von Verschleißteilenc) fehlerhafte oder nachlässige Behandlungd) ungeeignete Betriebsmittel, Austauschwerkstoffe) mangelhafte Bauarbeiten, ungeeigneter Baugrundf) chemische, elektronische oder elektrische Einflüsse, sofern sie nicht

auf das Verschulden des Auftragnehmers zurückzuführen sind.5. Durch etwa seitens des Auftraggebers oder Dritter unsachgemäß ohne

vorherige Genehmigung des Auftragnehmers vorgenommene Ände-rungen oder Instandsetzungsarbeiten wird die Haftung für daraus ent-standene Folgen aufgehoben.

6. Zur Mängelbeseitigung muß dem Auftragnehmer eine angemessene Frist gesetzt werden, wird diese verweigert, ist der Auftragnehmer von der Mangelhaftung befreit.

7. Bei Gefährdung der Betriebssicherheit und zur Abwehr unverhältnismä-ßig großer Schäden sowie bei Verzug des Auftragnehmers in der Man-gelbeseitigung, hat der Auftraggeber das Recht den Mangel selbst oder durch Dritte beseitigen zu lassen und vom Auftragnehmer entstandene Kosten einzufordern. Hierbei muss der Auftragnehmer vorher schriftlich in Kenntnis gesetzt werden.

VII. Gewährleistung1. Die Gewährleistung beträgt 12 Monate, gerechnet vom Tag der Annah-

me, danach sind etwaige Ansprüche verjährt.2. Dies gilt nicht in Fällen, soweit das Gesetz gemäß § 634 a I Nr. 2 BGB

längere Fristen vorschreibt sowie in Fällen der Verletzung des Lebens, des Körpers oder der Gesundheit bei einer vorsätzlichen oder grob fahr-lässigen Pflichtverletzung des Auftragnehmers und bei arglistigem Ver-schweigen des Mangels.

3. Gesetzlichen Regelungen über Ablaufhemmung, Hemmung und Neube-ginn der Fristen bleiben unberührt.

4. Zur Mängelgewährleistung muss dem Auftragnehmer die mangelhafte Ware auf Verlangen unverzüglich zur Verfügung gestellt werden.

5. Kosten für die Demontage, Instandsetzung sowie etwaige Folgeschäden werden nur dann übernommen, wenn diese vorher schriftlich mitgeteilt wurden, und dem Auftragnehmer angemessen Zeit zur Nachbesserung gewährt wurde.

6. Die Gewährleistung erstreckt sich nicht auf Fremdteile die ohne unser Einverständnis selbst oder durch Dritte gefertigt und in Umlauf gebracht wurden. Beziehungsweise auf Originalteile unserer Firma die ohne unser Einverständnis selbst oder durch Dritte baulich verändert oder modifiziert wurden.

7. Bei unsachgemäßer Anwendung und Nutzung wird jede Verantwortung seitens des Auftragnehmers/Verkäufers abgelehnt.

8. Die Geräte unterliegen der Gerätekategorie 3 und müssen somit jährlich durch den Hersteller oder vom Hersteller autorisierte Firmen revidiert wer-den.

9. Ergänzend dazu gelten die gesetzlichen Bestimmungen am Verwen-dungsort

10. Sollten bei einem Geschäft abweichend Konditionen vereinbart sein, so sind sie nur dann gültig, wenn der Auftragnehmer/Verkäufer diesen schriftlich zugestimmt hat. Im Gewährleistungsfall ist eine Kopie der schriftlichen Zustimmung vorzulegen.

VIII. Haftungsausschluß, Haftpflicht1. Die Haftung des Auftragnehmers gegenüber des Auftraggebers besteht

grundsätzlich nur bei Vorsatz und grober Fahrlässigkeit gemäß den ge-setzlichen Bestimmungen.

2. Haftung obliegt ebenfalls bei wesentlicher Verletzung des Vertrages und abweichender Produkteigenschaft.

3. Haftung bei abweichenden Produkteigenschaften gilt ausschließlich zur Absicherung gegen Mängelfolgeschäden.

4. Bei fahrlässiger Verletzung vertragswesentlicher Pflichten des Auftrag-nehmers gegenüber dem Auftraggeber ist eine Ersatzpflicht, nur auf den vertragstypischen, vernünftigerweise vorhersehbaren Schaden begrenzt. In allen anderen Fällen ist die Haftung des Auftragnehmers gegenüber dem Auftraggeber, gleich aus welchem Rechtsgrund – ausgeschlossen.

5. Bei Ansprüchen auf Ersatz von Schäden, die nicht an der Ware selbst entstanden sind – sogenannte Mangelfolgeschäden – haftet der Auftrag-nehmer/Verkäufer ebenfalls nur bei Vorsatz und grober Fahrlässigkeit.

6. Für nicht vorhersehbare Schäden haftet der er nicht. Dies gilt nicht, wenn der Auftraggeber/Käufer gegen diese Schäden üblicherweise versichert werden kann oder versichert ist. Im Übrigen wird die Haftung auf den Deckungsumfang unserer Betriebshaftpflichtversicherung begrenzt.

IX. Erfüllungsort, Gerichtsstand, anzuwendendes Recht1. Alleiniger Gerichtsstand ist, wenn der Besteller Kaufmann ist, bei allen

aus dem Vertragsverhältnis unmittelbar oder mittelbar sich ergebenden Streitigkeiten der Sitz des Lieferanten. Der Lieferer ist jedoch auch be-rechtigt, am Sitz des Bestellers zu klagen.

2. Für die Rechtsbeziehungen im Zusammenhang mit diesem Vertrag gilt deutsches materielles Recht unter Ausschluss des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf.

X. Datenspeicherung; Benachrichtigunggemäß § 33 Abs. 1 BDatSchG1. Die zur Ausführung des Vertragsverhältnisses erforderlichen Daten wer-

den vom Lieferer gespeichert.

XI. Salvatorische Klausel1. Die Vertragspartner sind sich darin einig, dass im Falle der Teilnichtigkeit

dieser Vereinbarung der nicht nichtige Teil Geltung behält und durch die gesetzliche Bestimmung eine Ergänzung findet
