Please state your name, employer and business address.

My name is James (Jim) William Shields Jr. I am employed by AES US Services, LLC,

("the Service Company") which is a wholly owned subsidiary of The AES Corporation.

The Service Company is located at the headquarters of Indianapolis Power & Light

Company ("IPL" or the "Applicant") at One Monument Circle, Indianapolis, Indiana

46204. The Service Company provides accounting, finance, legal, human resources,

information technology and other corporate services to the businesses owned by The AES

Corporation in the United States of America, including IPL.

What is your position with the Service Company?

I am Director of TDSIC Plan Development. In this role, my principal responsibilities

include the development of transmission and distribution ("T&D") capital infrastructure

plan investments in IPL's service territory, including the development of project scope and

engineering. I currently lead the Project Management team executing the IPL TDSIC Plan.

Please briefly describe your educational and professional background.

I am a graduate of Purdue University- Indianapolis where I received a Bachelor of Science

in Electrical Engineering Technology. I am also a graduate of the University of

Indianapolis where I received a master's degree in Business Administration. I am currently

a Licensed Professional Engineer in the states oflndiana, Ohio and Wisconsin. I have over

30 years of electric utility and other industry experience, including prior positions with

Wisconsin Public Service Co, Johnson County REMC, Eli Lilly & Co, Duke Energy

Indiana and Northern Indiana Public Service Company.

My experience includes various leadership roles in T&D engineering over the last 30 years.

This experience includes electric distribution planning, field operations management,

scope development and estimation of T&D capital projects, and system reliability and

integrity program development and execution. I also have experience in distribution

operation control center management, including experience with distribution management

systems.

What is the purpose of your testimony in this proceeding?

The purpose of my testimony is to provide an overview ofIPL's approved TDSIC Plan,

report on the progress of the approved Projects, present the TDSIC capital investments as

of March 31, 2020, describe the capital investments, identify cost variances and justify the

variance for specific projects that have an actual cost greater than the previously approved

estimate.

1. TDSIC PLAN OVERVIEW

Please provide an overview of the TDSIC Plan Projects approved in Cause No. 45264?

The IPL TDSIC Plan is comprised of two project types: Age & Condition and

Deliverability. As shown below, the Age & Condition project type has eleven overall

Projects, and the Deliverability project type has two overall Projects.

■ Age & Condition:

1) Circuit Rebuilds - Rebuilding 3-phase, mainline circuit sections to standard

13.2 kV construction.

2) Substation Assets Replacement - Replacing substation power transformers,

breakers and batteries.

3) XLPE Cable Replacement - Replacing or extending the life of existing Cross­

Linked Polyethylene (XLPE) type cable.

4) 4 kV Conversion - Converting IPL's remaining 4 kV general distribution

circuits to 13.2 kV operation.

5) Tap Reliability Improvement Projects ("TRIP") - Improving reliability on

distribution overhead fused tap lines that are underperforming. Improved

performance will be achieved through various methods, including conversion

to underground, equipment replacement, and reconfiguration of circuits.

6) Meter Replacement - Replacing residential and small commercial single and

three phase meters with AMI meters.

7) Central Business District ("CBD") Secondary Network Upgrades -

Relocating manhole and duct bank facilities, replacing feeder cables, network

protectors and network transformers and installing vault monitoring

technology.

8) Static Wire Performance Improvement - Replacing static wire on IPL's 138

kV transmission system with standard Optical Ground Wire (OPGW).

9) Remote End - Breaker Relay/Upgrades - Replacing oil circuit breakers

and/or electromechanical relays on the remote end of transmission lines

opposite a modernized breaker.

10) Pole Replacements - Replacing wood poles based on inspection results of a

ground line inspection and treatment program.

11) Steel Tower Life Extension - Excavating and applying an anticorrosive

protective coating to direct-buried steel transmission structures. The life­

extending coating is designed to last up to 20 years.

■ Deliverability:

12) Distribution Automation - Installing new reclosers and a new central control

system.

13) Substation Design Upgrades - Reconfiguring and/or adding capacity at

existing substations and constructing new substations for additional distribution

system capacity.

2 AlO. The "Age and Condition" project type includes Projects that address the risks posed by

3 aging assets. These Projects address the replacement and rebuilding of substations and

4 overhead circuits, the rehabilitation and repair of underground residential circuits, and

5 rebuilding portions of the Indianapolis central business district. The Age & Condition

6 project type covers approximately 83.3% of the Plan's estimated cost. Additionally, most

7 of the Age and Condition assets are subject to an asset management-based risk assessment

8 and quantification.

The "Deliverability" project type includes the two remaining Projects listed in Q/A 9

above, and comprises approximately 16.7% of the Plan's estimated cost:

■ Distribution Automation enables:

o distribution system self-healing networks; and

o distribution system voltage management technology for efficient energy

delivery.

■ New substation equipment and design configurations for improved ability to deliver

energy.

2. TDSIC PLAN CONSTRUCTION PROGRESS

Please describe the overall progress on the TDSIC Plan to date?

In August of 2019, IPL started ramping up work on selected Circuit Rebuilds, 4 kV

Conversion, Pole Replacements, Distribution Automation Recloser Installations and TRIP

projects. This facilitated the Company's ability to secure the overhead distribution

construction contract resources that are in high demand. Lastly, pre-construction activities

(such as material orders, permit acquisitions and project planning) have been underway

since the middle of 2019, as well. By the end ofJune 2020, construction on all 13 Projects

is scheduled to be underway.

In Cause No. 45264, IPL indicated it would update the TDSIC Plan cost estimates.

What is the status of those updates?

IPL developed Class 2 estimates for the first two years of the TD SIC Plan for most Projects.

The exceptions were XLPE Cable Replacement, Pole Replacements, Steel Tower Life

Extension and Distribution Automation. For these Project categories, a Class 3 estimate

was developed because these Projects are low complexity and high-volume. Also, the Tap

Reliability Improvement Projects (TRIPs) had Class 2 estimates prepared for Year 1 only,

due to the nature of defining the scope of these projects. Class 4 estimates were used for

TRIP Years 2 through 7. We have started engineering for Year 3 of the Plan. As described

in the TD SIC Plan filing, our goal is to create and maintain a two-year "runway" of projects

that have been engineered throughout the life of the Plan to produce flexibility in project

planning and execution. Advancing the engineering by 2 years allows for improved ability

to secure both material and labor resources in the market through competitive bids, in

advance of construction. The 2 year "runway" also allows for the development of annual

work plans that identify the needed construction resource types, provides time to acquire

needed permits and schedule necessary Regional Transmission Organization ("RTO")

outage approvals, along with being able to annually update the IURC on the Plan costs. In

the calendar year 2020 we are engineering Year 2 (TRIP projects) and Year 3 projects to

convert Class 4 estimates to Class 2 estimates. These project cost estimates will be updated

in our TDSIC-2 Plan Update filing in December 2020.

3 A14. Yes. However, the COVID-19 pandemic is causing increased risk to complete the

necessary engineering work to convert all Year 3 Class 3 and 4 cost estimates to Class 2

estimates for our December 2020 Plan Update filing. As mentioned above, IPL is scheduled

to complete detailed engineering on 2022 projects and some 2021 projects in 2020, so that

Class 4 estimates can be converted to Class 2 estimates. As a result of local and state

government "stay-at-home" orders, IPL and its consultants are subject to restrictions on air

travel, overnight stays in hotels, and in-person meetings. These restrictions have limited

the engineering consulting firm's availability to make field visits to assess the engineering

needed to complete the Class 2 estimates. As discussed by IPL Witness Rogers, IPL will

file TDSIC 2 as scheduled in December 2020 and proposes to file supplemental

information that will include the remaining Class 2 cost estimates for Year 3 projects when

complete.

3. ACTUAL COSTS INCURRED

Please describe the data presented in IPL Confidential Attachment JWS - 1.

IPL Confidential Attachment JWS -1 is the original "sortable list" of approved individual

projects in IPL's TDSIC case. We have added columns to the original sortable list to

present in-service amount (column L), construction work in process ("CWIP") amount

( column M), total capital costs ( column N) and variances from estimated costs in terms of

dollars (column 0) and percentage (column P). Also, column F identifies the current plan

year the individual project is scheduled for construction and can be compared to the

previous planned year ( column E) the project was scheduled for construction. Additionally,

column B was added to indicate whether the project is a distribution (D), transmission (T)

or both (T/D). In some cases, substation projects have both Transmission and Distribution

assets. Also, a short project description is provided in column G, and column Q provides

positive estimate variance commentary. Column R indicates which projects have in-service

amounts associated with them and column S indicates which projects construction is

completed. Trailing charges can still be recognized on projects after its in-service date and

construction completed date. Expanded comments for individual projects that have costs

greater than the estimated costs are found below. The in service, CWIP and total capital

costs are actual costs as of March 31, 2020. The convention for variances from estimated

cost for both dollars and percentage are that negative values indicate actual costs are below

estimated costs and positive values indicate actual costs are above estimated costs.

Where any projects moved from one Plan year to another Plan year?

Yes. Some projects in Plan year 1 and Plan year 2 were re-sequenced due to construction

constraints. For Circuit Rebuilds, projects were pulled into Plan year 1 from Plan year 2 to

have enough work available to secure scarce construction contractor resources. For TRIP,

ten projects were pushed from 2020 to 2021 due to the time needed to acquire easement.

Static Wire Performance Improvement projects were re-sequenced to take advantage of the

corresponding substation clearances to reduce the number line clearances on the system at

one time. Lastly, four CBD Secondary Network Upgrades were pushed to 2021 due to

contractor availability and timing of coinciding city planned events this fall. While there

has been some movement between the years of the Plan, the overall scope and intent of the

Plan has not changed.

What are the total actual capital expenditures associated with IPL's TDSIC Plan as

of the March 31, 2020 cut-off date for this filing?

The total actual capital expenditure associated with IPL's TDSIC Plan as of March 31,2020

is $45,920,451.

Has IPL provided in-service costs for the TDSIC projects placed into service by

March 31, 2020?

Yes, the in-service project costs are included in IPL Confidential Attachment JWS - 1.

Please describe the projects that were placed into service by the cutoff date.

In many cases, TDSIC projects are made up of several different work orders. These work

orders comprise the specific TDSIC project. As each work order is completed, it is placed

in-service. The in-service amounts shown in IPL Confidential Attachment JWS-1 represent

the accumulated in-service amount of the work orders under each specific project that has

been placed in service as of March 31, 2020. Most of the work orders that have been placed

in-service are Circuit Rebuild projects. The total in-service amount for Circuit Rebuild

projects as of March 31, 2020 is $16,271,678. Other Projects with work orders in service

are Pole Replacements, Distribution Automation Recloser Installations, XLPE Cable

Replacement, 4 kV Conversions and TRIP's. The total in-service amount for these Projects

as ofMarch 31, 2020 is $1,233,129. This produces a total in-service amount of$17,504,807

as of March 31, 2020. IPL Confidential Attachment JWS-1 (p. 1) summarizes the total

TDSIC capital amounts as of March 31, 2020.

Does IPL have any individual TDSIC projects completed as of the March 31, 2020

cutoff date that have a cost greater than the Class 2 expected accuracy range?

As I explained in the TDSIC Plan case, each Project consists of individual projects. IPL

presented cost estimates for the individual projects in the Plan case. The AACE Cost

Estimate Classification System assigns an expected accuracy range for each estimates

class. The accuracy range for Class 2 estimates is + 20% and -15%. Thus, when we

developed project cost estimates, we reasonably expected that some projects would have

actual costs below the estimate while others would come in above the estimated cost. Such

variances are expected and arise for various reasons, which I expand on below.

Attachment, IPL Confidential Attachment JWS-1, identifies the cost variances between the

approved project costs and the actual costs as of March 31, 2020. As shown in that

attachment, one individual Circuit Rebuild projects, (1) Center #7, has costs outside the

accuracy range of the Class 2 estimate range. Two individual Circuit Rebuild projects (1)

Northwest #9 and (2) Northwest 1 have costs above the Class 2 estimated costs, yet inside

the accuracy range of the Class 2 estimate. I justify these cost variances below.

Are there general cost factors that are driving individual project cost variances?

At the Project type level, the effect of positive cost variances at the individual project level

is absorbed by negative cost variances from other projects. For example, of the 13 Circuit

Rebuild projects that were completed by March 31, 2020, just three have actual cost greater

than the estimated cost. The 13 Circuit Rebuild projects have an aggregated estimated cost

of $13,518,672 compared to an aggregated actual cost of $11,975,571. This results in

$1,543,101 under estimated cost. For the Circuit Rebuild projects that have been completed

the general factors that are driving cost variances are construction labor costs, hydro-vac

cost, line clearing and indirect costs.

Construction cost are higher on some projects due to variations in contractor unit pricing.

The Class 2 estimates, for overhead distribution construction projects, were based on

average unit pricing. At the time of the filing, IPL did not have individual projects assigned

to specific vendors. After the IPL TDSIC order was issued and we understood the approved

scope of the TDSIC Plan we were able to then assign specific projects to specific vendors.

Also, average unit pricing was used due to uncertainty of which vendors would have

resources available for IPL projects at the time of actual implementation. In some cases,

the specific vendor pricing was higher than the average, causing a cost variance. The effect

of vendor pricing greater than the average unit pricing is greater on larger projects. Field

design changes have increased the number of construction units from estimated

construction units. Field design changes can be caused for several reasons. Some of the

reasons we have experienced thus far have been, field conditions changing between the

time engineering was completed to the time of construction, changes in designs that

improve safe constructability and design standard changes. Also, construction cost

variances can be experienced by afterhours constructions. For example, many of our

facilities are located along streets and sidewalks and performing overhead construction

during the day when vehicle and pedestrian traffic is high increases public safety risk.

Therefore, in some cases, IPL performed this work at night to reduce public safety risk.

Additionally, to complete the construction, outages are required at customer locations. IPL

works with our customers to arrange the least impactful outage time for them. In some

cases, these times are outside normal working hours.

Please describe the hydro-vac costs that are driving cost variances.

Hydrovac costs are a function of how close buried facilities are located to the required

excavation associated with a project. In most cases, a digger derrick truck is able to

excavate holes using the auger. However, when existing buried facilities are located and

found to be too close to the excavation site, a hydro-vac truck is used to excavate the hole

to eliminate the safety hazard of the auger hitting the existing buried facilities. Our

experience to date has been that the required use of hydro-vac to excavate has been more

than estimated on several projects.

Please describe the line clearing cost that are driving cost variances.

To meet the construction schedules for the Circuit Rebuild projects, out of state line

clearing crews were needed since the on property, production crews did not have the

capacity to do production trimming and TDSIC project trimming. More hours than

estimated were required to meet the start construction date in the schedules. Additionally,

more customers requested to remove entire trees, after understanding the required trimming

associated with circuit rebuild projects, which drove cost variances.

Please describe the indirect costs that are driving cost variances.

Indirect cost allocations are higher than estimated in the Plan across all projects. This

variance is due to a change in IPL's administrative and general (A&G) cost allocation

methodology. This change was implemented after the initial cost estimates were prepared

for the TDSIC Plan filing. IPL Witness Coklow further discusses this change in cost

allocation methodology.

Please describe the cost variances for Center #7 Circuit Rebuild project.

Confidential Attachment JWS -2. There are three main drivers for the cost variance on this

project:

1) The Overhead Construction labor costs variances of- were driven by

differences in average unit labor costs used in the estimates versus the specific

vendor unit labor cost used on the project (see Q/A 22), additional mobilization and

demobilization costs associated with permits limiting work hours along streets

1) Construction labor variance of- was driven by differences in average unit

labor costs used in the estimates versus the specific vendor unit labor cost used on

the project ( see Q/ A 22). Mobilization and demobilization cost were incurred due

a local elementary school requesting no overhead construction take place during

delivery and pick up of students. Also, a local university requested that no overhead

construction take place during a large school event. Also, a local sporting event

organizer requested that construction equipment and material be removed during

the event. IPL accommodated these customer requests to reduce the potential safety

risk associated with performing overhead construction with increased pedestrian

and vehicular traffic from the events. Additionally, after hour costs for pulling

conductor over I-65 and customer requests for required outages to complete the

work drove the cost variance. The additional construction labor units required was

driven mainly from a distribution construction standard change requiring more dead

ending of conductors and the use of easement rigs to set poles in private easements

to reduce right of way restoration cost.

Project Management cost represents the effort associated with standing up the Project

Management Organization and the system and processes needed to launch the execution of

the TDSIC projects. The CWIP Material cost represents the purchase of materials (both

stock and long lead time) for projects that are under construction and for projects that have

long lead time material. The CWIP Construction Labor and Indirect Cost represent the
