The deal has a break-up fee that represents 3.6% of the deal value, above the3% hurdle we are usually comfortable with, although the termination fee lowers to 1.6% if shareholders vote down the deal and the company does not do a deal with a third party within 12 months after the termination of the proposed SD deal
