For all wooden frames, a minimum order of 20 pieces of any onemodel is required for us to polish and upholster in COM. Customer’sown wood tints are accepted by prior arrangement at an extra cost.
Our models are normally upholstered plain back with an antique goldstudding surround provided it is suited for the style of frame. If you areunsure, please contact us. A number of our wooden frames are suitable for both contract anddomestic use. Please specify on your order what purpose the framesare required for, contract or domestic use. Reinforcements arenecessary on models destined for a contract environment. You will berequired to complete a disclaimer form if you choose not to have anyreinforcements on domestic models used for contract use.

The abuse some table tops have to put up with is simply intolerable - especially in the catering business, where tables in bars,
bistros, cafés and beer halls take a lot of wear and tear. Werzalit takes it all in its stride, thanks to a patented production method
in which finely machined wood is pressed with special duraplastic resins to form a single solid unit. Because this makes them
weatherproof, they are ideal for outdoor use. Our tabletops are also scratch and abrasion-resistant as well as impervious to
burning cigarettes. All in all, they are both hygienic and easy to clean. Even if you don’t see what you want here, there are
many more designs and colours to view on request.

1. DEFINITIONSa) “Sellers” means FURNITAL LIMITED company no. 01894767 and any company whichis a subsidiary thereof as defined by s. 736 of the Companies Act 1985.(b) “Buyer” means the person who buys or agrees to buy the Goods from the Sellers.(c) “Conditions” means the terms and conditions of sale set out in this document and anyspecial terms and conditions agreed by the Sellers.(d) “Delivery date” means the date determined by reference to clause 5 or, as the casemay be, clause 6 of these terms and conditions.(e) “Goods” means the goods which the Buyer agrees to buy from the Sellers.(f) “Price” means the price determined by reference to clause 3 below.
2. CONTRACTS(a) Contracts are made and orders are accepted only upon and subject to theseConditions of Sale. All other conditions are hereby excluded unless expressly acceptedin writing by the Sellers.(b) In entering into a contract with the Sellers, the Buyer acknowledges that the contracthas not been induced by any representations orally or in writing made by the Sellers, theirservants or agents.(c) No quotation, estimate or tender given or made by the Sellers shall form an offercapable of acceptance buy the Buyer. A binding contract for sale shall only be createdupon the acceptance in writing by the Sellers of the Buyer’s order or other offer topurchase.(d) Any typographical, clerical or other error or omission in any sales literature, quotation,price list, acceptance of offer, invoice or other document or information issued by theSellers shall be subject to correction without any liability on the part of the Sellers.(e) Acceptance of the Goods shall be deemed conclusive evidence of the Buyer’sacceptance of the Conditions.(f) Any variation of the Conditions (including any special terms and conditions agreedbetween the parties) shall be inapplicable unless agreed in writing by the Sellers.
3. PRICES(a) Unless expressly stated otherwise in any quotation issued by the Sellers to the Buyer,all prices quoted are ex-works. Any applicable value added tax or any other sales tax orexcise duties paid or payable by the Sellers shall be added to the price and shall bepayable by the Buyer.(b) Firm price quotations are valid for a period of one month only from the date ofquotation or proforma invoice. The Sellers may, at their absolute discretion, accept orreject any order placed by the Buyer.(c) In the event of the Buyer cancelling a part of the order in accordance with theprovisions of Clause 14, the Sellers reserve the right to revise the price or prices quotedfor goods already delivered.(d) The Sellers reserve the right to review and contract price(s) in the event ofdevaluation of the pound sterling or fluctuation in the rates of foreign exchange.
4. WARRANTIES AND LIABILITIES(a) Where samples of goods or colour charts are provided, these are submitted only asindicative of the class, size or colour of goods quoted for and sales of Goods shall not beby reference to any such samples or colour charts.(b) Where the Buyer supplies its own materials to be used within the manufacturingprocess of the order, the materials must comply with the necessary governing lawsrelating to fire regulations. The Sellers exclude any liability arising where such materialsare not suitable for such use.(c) Where the Buyer supplies lengths of fabrics to be used within the manufacturingprocess they must only be guided by lengths specified in catalogues and price lists. Allfabric length guides shown are based on a fabric being of 140cms in width and do not takeinto account any pattern repeats.(d) Where the Buyer supplies wood colour samples, such samples are submitted only asindicative of the stain colour. Finished colours of Goods may vary slightly depending onnatural grains. The Sellers will match to as near as possible in colour only.(e) Whilst all description and illustrations of the goods in (inter alia) catalogues,brochures and price lists provided by the Sellers have been carefully prepared, they areintended nevertheless for general guidance only and do not form part of any contract forsale of goods and no responsibility is accepted for any errors or omissions therein or forany loss or damage resulting from reliance on such descriptions and illustrations.(f) All conditions, warranties, terms and obligations, whether expressed or implied bystatute, common law, custom or otherwise (including, without prejudice to the generality ofthe foregoing, any warranty or condition as to the satisfactory quality or fitness for anyparticular purpose of the goods) are excluded to the fullest effect permitted by law. Inparticular the Sellers make no representations, conditions or warranties as to the extentthat timber and/or timber products supplied by the Sellers to the Buyer are suitable or fitfor the purpose or purposes for which the Buyer intends to use them and the Sellersexclude all liability arising where such timber and/or timber products are not suitable forsuch use.(g) Where the Sellers agree to provide a specially designed plan, the Buyer agrees thatthe Buyer is obliged to check the accuracy and suitability of the plan and that the Sellers
shall not be liable for any omissions or inaccuracies in the measurements given. Any plandrawn up by the Sellers is, and remains, their property and may not be reproduced inwhole or in part without their written consent.(h) If the Buyer claims or detects a defect in the goods, the Buyer will either return thosegoods to the Sellers or, if the goods are retained by the Buyer, indemnify and keep theSellers, indemnified against all liability and claims which may arise out of or incidental tothe defect.
5. DELIVERY BY THE SELLERS(a) Any dates quoted for delivery of the Goods are approximate only and the Sellers shallnot be liable for any delay in delivery of the Goods howsoever caused. Time for deliveryshall not be of the essence unless previously and expressly agreed by the Sellers inwriting.(b) Where Goods are offered for delivery to a site, the Sellers’ obligation is to deliver asnear to the site as safe hard roads permit. The Buyer is to provide at its own expense thelabour required for unloading and stacking. The Buyer is to ensure there is a safe andadequate area for the goods to be left. If the Sellers have agreed to install on site, theBuyer must ensure the site is prepared and ready for the Seller to commence installationand be free of any obstacles. Any additional costs incurred by the Sellers due to delaysin installation or motor expenses are for the Buyer’s account.(c) The Sellers reserve the right to deliver Goods by installments and in such event eachinstallment shall be treated as a separate contract save that the delivery of furtherinstallments may be withheld until Goods contained in earlier installments have been paidfor in full.(d) Where Goods are held by the Sellers awaiting delivery instructions, they may besubject to a storage charge of £3.50 per cubic metre per week or part thereof. For non-account holding customers, payment must be at the time of ordering.(e) Due delivery of the Goods shall be deemed to have been made when the Sellerssupply to the Buyer their delivery note for the Goods.
6. DELIVERY BY THE BUYER(a) Delivery of the Goods shall be made by the Buyer collecting the Goods at the Sellers’premises at any time after the Sellers have notified the Buyer that the Goods are ready forcollection or, if some other place for delivery is agreed by the Sellers, by the Sellersdelivering the Goods to that place.(b) On being given notice of delivery to some place other than the Sellers’ premises asprovided in Clause 6(a) above, the Buyer is responsible for arranging prompt unloading ofthe motor transport at the final destination. Any additional costs incurred due to delays indischarging motor transport are for the Buyer’s account provided such delays occur duringthe accepted working hours applicable to the area of destination.(c) If the Buyer fails to take delivery of the Goods, then, without prejudice to any otherright or remedy available to the Sellers, the Sellers may:(i) store the Goods until actual delivery and charge the Buyer for the reasonable costs(including insurance) of storage; or(ii) sell the Goods at the best price readily obtainable and (after deducting all reasonablestorage and selling expenses) account to the Buyer for the excess over the price underthe contract or charge the buyer for any shortfall below the price under the contract.
7. DAMAGE, LOSS, SHORT DELIVERY(a) On delivery, the Buyer shall examine the Goods for defects and completeness.Thereafter no claim for damage in transit, or shortage in delivery or for loss of Goods willbe entertained unless, in the case of damage, a separate notice in writing is given to thedelivery driver upon delivery of the Goods or to the Sellers within 7 days of the date of thedelivery note by a complete claim in writing; or, in case of loss of goods, notice in writingis given to the delivery driver upon delivery of the Good or a separate notice in writing anda claim is given to the Sellers within 7 days of the date of the delivery note. (b) The Sellers shall not in any circumstances be liable, whether in contract or tort, to theBuyer for any indirect or consequential loss or damage (including, without limitation, lossof profits, loss of contracts or damage to property) or for any claim against the Buyer byany third party and the guarantee given by the Sellers hereunder shall not be transferableto any person.(c) The Sellers’ liability for damage or non-delivery of goods duly notified in accordancewith 7(a) above shall in any event be limited to replacement of the goods within areasonable time (or, at the Sellers option, refunding the price thereof) whether the damageor non-delivery is attributable to the Sellers’ negligence or otherwise.
8. SALES ‘TO ‘ARRIVE’(a) Sales made ‘to arrive’ are subject to shipment and the safe arrival of goods at thedesignated port. Any variation in the total of the war risk insurance rate or of any charge,tax, levy, duty or import on the goods shall be for the Buyer’s account.(b) Instructions for delivery shall be given in time for them to be carried out upon arrival.In the absence of such instructions or if delivery is through collection by the Buyer and theBuyer fails to collect the Goods when they become available for collection the provisionsof clause 6(c) hereof apply.(c ) The cost of sea freight is excluded in all prices.

9. DEFECTIVE GOODS, LIMITATION OF LIABILITY(a) The Sellers warrant that the Goods will conform in all material respects to thespecification and will be free from defects in design, material and workmanship undernormal conditions of use for periods of 12 months from the date of their initial use or 12months from delivery, whichever is the first to expire, provided that the defect is notattributable to fair wear and tear or any fault or damage arising from impact,modification, accident, neglect, abnormal working conditions, inappropriate workingconditions, inappropriate use or treatment, incorrect handling or exposure to such othersubstances as may be injurious to such materials.b) The Sellers shall not be liable for a breach of the warranty or any other warrantycondition or guarantee if:(i) the total price for the Goods has not been paid by the due date for payment;(ii) the Buyer makes any further use of such Goods after giving such notice of the defectto the Sellers;(iii) the defect arises because the Buyer failed to follow the Sellers’ oral or writteninstructions as to the storage, installation, commissioning, use or maintenance of theGoods; or (iv) the Buyer alters or repairs the Goods without the prior written consent of the Sellers.(c) If delivery is not refused, and the Buyer does not notify the Sellers in writing within 7days from receipt of the Goods the Buyer shall not be entitled to reject the Goods andthe Sellers shall have no liability for such defect or failure, and the Buyer shall be boundto pay the price as if the Goods had been delivered in accordance with the contract. Inno event shall the Buyer be entitled to reject the Goods on the heals of any defect orfailure, which is so slight that it would be unreasonable for the Buyer to reject them.(d) The Sellers’ sole liability for breach of the warranty set out shall be at the Sellers’option to repair or replace defective Goods, or to refund the contract price. If the Sellerscomply with this condition they shall have no further liability for a breach of the warrantyin respect of the Goods.(e) Any Goods replaced by the Sellers will belong to the Sellers and any repaired orreplacement Goods shall be guaranteed on these terms for the unexpired portion of the12 month period.(f) Nothing in these Conditions excludes or limits the liability of the Sellers for death orpersonal injury caused by the Sellers’ negligence or fraudulent misrepresentation.
10. TERMS OF PAYMENT(a) Unless credit facilities have been granted to the Buyer or unless otherwisespecifically provided in writing, the price for the Goods shall be paid by the Buyer in cashon delivery and in default the Sellers shall be entitled to withhold delivery until payment.In the case of non-cash sales, unpaid cheques or accounts not settled by due dates, theSellers shall be entitled to charge and recover interest from the Buyer on the price of theGoods calculated at the rate of five per cent per annum above the Barclays Bank Plcbase rate from time to time from the due date until date of full payment.b) The discounts allowable to the Buyer are those shown on the Sellers’ quotation ororder acknowledgement only, and, unless expressly agreed in writing, no otherdiscounts or commissions are to become due or allowable to the Buyer (any previouscourse of dealing between the parties notwithstanding).
11. LATE PAYMENT(a) When payment of any of the Sellers’ invoices is overdue or in the case of an unpaidcheque (dishonoured cheque), the Sellers may suspend their performance of thecontract or contracts to which the invoice relates and/or of any other contract thensubsisting between the Sellers and the Buyer.(b) In the event of legal action being taken by the Sellers against the Buyer for breachof payment obligations hereunder, the Buyer shall be responsible for all costs (includingbut not limited to solicitors’ costs and counsel’s fees) and disbursements incurred by theSellers on a full indemnity basis.
12. RISK AND LIABILITY(a) Risk of damage to or loss of the goods shall pass to the Buyer at the time of deliveryor, if the Buyer wrongfully fails to take delivery of the goods, the time when the Sellershave tendered delivery of the goods. For the purposes of this Clause, ‘delivery’ shallmean the arrival of the goods at the place of delivery of the Buyer where delivery is bythe Sellers, or the safe loading of the goods into the Buyer’s vehicles at the Sellers’premises where delivery is through collection by the Buyer.
13. RETENTION OF TITLE(a) Notwithstanding delivery and the passing of risk in the Goods or any other provisionof these conditions, the property in the Goods shall not pass to the Buyer until theSellers have received in cash (or cleared funds) payment in full of the price of the Goodsand all other Goods agreed to be sold by the Sellers to the Buyer for which payment isthen due.(b) Until such time as the property in the Goods passes to the Buyer, the Buyer shallhold the Goods as the Sellers fiduciary agent and bailee, and shall keep the goodsseparate from those of the Buyer and third parties and properly stored, protected andinsured and identified as the Sellers’ property. Until that time the Buyer shall not beentitled to resell or use the Goods in the ordinary course of its business, but if sold theBuyer must account to the Sellers for the proceeds of sale or otherwise of the Goods,whether tangible or intangible, including insurance proceeds, and shall keep all suchproceeds separate from any monies or property of the Buyer and third parties and, in acase of tangible proceeds, properly stored, protected and insured.(c) Until such time as the property in the Goods passes to the Buyer (and provided theGoods are still in existence and have not been resold), the Sellers shall be entitled atany time to require the Buyer to deliver up the Goods to the Sellers and, if the Buyer failsto do so forthwith, to enter upon any premises of the Buyer or any third party where theGoods are stored and repossess the Goods or goods to the same value.
(d) The Buyer shall not be entitled to pledge or in any way charge by way of securityfor any indebtedness any of the goods which remain the property of the Sellers, but if the Buyer does so, all monies owing by the Buyer to the Sellers shall(without prejudice to any other right or remedy of the Sellers) forthwith become due andpayable.
14. CUSTOMER CANCELLATION OF ORDERSContracts and orders and parts thereof may be cancelled only by the Sellers’ writtenacceptance of such cancellation. Where the Sellers accept such cancellation, theSellers reserve the right to charge the Buyer with the amount of any losses or expensesdirectly or indirectly resulting from such cancellation. Where the Sellers do not acceptsuch cancellation, they, the Sellers, reserve the right to recover the invoice price fromthe Buyer and to charge the Buyer with additional losses both direct and indirectresulting from such cancellation. In any case, where the Sellers were required to placea deposit with a manufacturer or supplier in respect of an order, the Sellers may requirethe Buyer to reimburse such sum in the event of cancellation.
15. LENGTHS(a) The Sellers reserve the right to make a cutting charge in respect of all cutting to sizeand if the Sellers are unable to meet exact length specifications for fabric, they reservethe right to supply and charge for the nearest available length up.(b) Measurements of size, weight or finish of goods are nominal in accordance withnormal trade usage and the Sellers do not accept liability for variation due to normalmanufacturing processes or the cutting to size of the goods.
16. CONSENTSThe obtaining of any necessary consents for the installation of the Goods, whether fromlocal or other authorities or for ensuring that the installation of the Goods is inaccordance with the provisions of any by-laws, regulations or statues shall not be theresponsibility of the Sellers.
17. FORCE MAEJEUREThe Sellers shall not be liable to the Buyer or be deemed in breach of contract by reasonof any delay in performing, or any failure to perform, any of the Sellers’ obligations inrelation to the Goods, if the delay or failure was due to any cause beyond the Sellers’reasonable control. Without prejudice to the generality of the foregoing, the followingshall be regarding as causes beyond the Sellers’ control;(a) act of God, explosion, flood, tempest, fire or accident;(b) war or threat of war, sabotage, insurrection, civil disturbance or requisition;(c) acts, restrictions, regulations, by-laws, prohibitations or measures of any kind on thepart of any governmental, parliamentary or local authority;(d) import or export regulations or embargoes;(e) strikes, lockouts or other industrial actions or trade disputes (whether involvingemployees of the Sellers or of a third party);(f) difficulties in obtaining raw materials, labour, fuel, parts or machinery;(g) power failure or breakdown in machinery.
18. INSOLVENCY, BANKRUPTCYThe Sellers shall have the right to terminate the contract forthwith where the Buyerbecomes insolvent or bankrupt or makes arrangements with the Buyer’s creditors orsuffers a receiver to be appointed or being a body corporate enters into liquidation (otherthan in connection with a reconstruction or amalgamation) in any of which cases theSellers shall have no further obligation hereunder and the price for all Goods deliveredand work done shall become immediately due and payable.
19. LAWThese conditions shall be governed and construed in accordance with English law andall disputes arising in connection therewith shall be submitted to the jurisdiction of theEnglish courts.
