II. Determination of a Quorum: There was a quorum for the meeting.

III. Citizen Comment: Chairman Hall opened the meeting to citizen comment, seeing none,

the citizen comment period was closed.

IV. Approval of Minutes

2296: Approval of Minutes - March 15, 2017

On motion of Mr. Slone, and seconded by Ms. Wysong, which carried by a 6-0 vote,

the Authority approved the Minutes of March 15, 2017 as presented.

V. Treasurer's Report

2295: Treasurer's Report

Treasurer Ben Slone gave an overview of the financial report of the Authority noting

an ending balance of $193,999.97 in Certificates of Deposit and an ending balance of

$222,399.62 in the checking account, for a total balance of $419,399.59. Recent

deposits of Lickinghole Creek, Capital One and Aw Shucks/PT Land are not

shown/included (due to deposit timing) along with a $1,000 difference due County

from PT Land.

Treasurer Slone spoke to two documents presented; namely a listing of information

from the County Code of Ordinances and proposed changes to the Bylaws of the

Economic Development Authority. Mr. Slone stated our thoughts being the Authority

would go through proposed changes noting any comments/questions/additional

changes, we would then forward to the EDA's counsel for their concurrence and any

suggested changes, and bring back to the Authority for approval.

Treasurer Slone gave a brief overview of the proposed changes, a reference to bolded

text under Section 701, page 10, "Economic Development Authority" VA Code and

County Code - is questioning whether that should be included, may be worthwhile to

create a matrix of code to bylaw and bylaw to ordinance (cross reference). Because the

Code of Virginia changes on a similar regular basis it may be advantageous to drop

that whole section out.

Mr. Slone noted those are our proposed draft changes. Chairman Hall asked the

Authority to read over the draft and provide any comments to Ben Slone/Lisa

Dearden/Rick Hall and by next meeting, hopefully, we incorporate a consensus of the

input and if time permits, could be June, vote and get to the outside attorney.

VIII. New Business - Economic Development Director

A. Economic Strategic Plan with County Management

Matt Ryan, Director of Economic Development spoke to the Strategic Planning

process, that the Board of Supervisors adopted the County budget last evening, of

several constituent meetings held thus far and a couple more on the calendar. Mr.

Ryan stated over the course of May, we hope to conduct the rest of the meetings, of

the decision to slow the aggressiveness of the project, of a joint meeting with the

Board in July. Once the SWOT is completed, we will consolidate and circulate to all

for a master SWOT list, and spoke of data collected. Mr. Ryan noted the Authority has

been provided a Community Profile of Goochland County by VEDP, an Economic

Overview of Goochland County by Jobs EQ and a First Quarter 2017 Richmond, VA

Industrial Market Report by CoStar. The Authority's homework would be to go

through the data and let us know what we are missing. Mr. Ryan gave a brief overview

of data sets, of data to be provided at the May meeting, that the online business survey

is now on the Economic Development website and asked the Authority to complete

the survey, to circulate to anybody in your contact list that may be willing to complete

the survey, we are hoping for good response.

Mr. Donnelly spoke to feeding off of others' thoughts and for him, it would be

beneficial for members of the Authority to discuss some of the salient points of both

the 2035 Comprehensive Plan and the Economic Development Strategic Plan in a

group type discussion. The May meeting would include a more indepth conversation

of and if the need for further conversation, a workshop can be scheduled for June in

place of the June EDA meeting.

B. Update on possible bond financing

Mr. Ryan stated a large hospital project is looking to construct a rehab hospital in the

County and is exploring the possibility of bond financing, that he was contacted by their

counsel last week and he put them in touch with EDA's counsel...so more to come on that.

The project is looking at different opportunities for capital, and are considering that as an

option for at least part of the financing. Mr. Ryan referenced Resource Housing Group (of

the 90-day process), that things can happen relatively quickly. While the RHG did not

come to fruition, the Authority has an understanding of process and timing.

Mr. Ryan stated there was a question if there is willingness to forgive the administrative

fee. Mr. Ryan stated while he did not answer the question it is his recommendation to not

waive the administrative fee, thinks it would be a good idea to go a basis point or two

below market to be the most competitive option, if they go the tax exempt that is really the

only recurring revenue stream the County will get. Mr. Ryan spoke to an estimated

administrative fee dollar amount, referring back to RHG, that he has not been asked by the

potential applicant for forgiveness - only by their counsel. Mr. Ryan stated this would be a

decision of the Authority and suggested they reach out to their Board of Supervisor to get

their thoughts as they are a part of the process as well.

Regular Meeting of May 17, 2017, 5:30 PM.
