Chapter I

BRIEF INTRODUCTION: 1. GMDC:

Gujarat Mineral Development Corporation Limited (GMDC), a Government of Gujarat Enterprise, is a pioneer institution in the field of mining for more than three decades, catering to the needs of the minerals and solid fuel for the industries based in and outside Gujarat. GMDC’s mining activities are spread over in Kutch, Jamnagar, Bhavanagar, Bharuch, Baroda and Banaskantha districts of the State. It is currently dealing in minerals like Bauxite, Fluorspar, Ball Clay, Silica sand and Lignite. The Corporation has also set up a 250 MW lignite based Thermal Power Station at Nani Chher in Kutch. The Corporation is operating Lignite mines, Panandhro and Mata-No-Madh in Kutch, Rajpardi in Bharuch district, Tadkeshwar in Surat District and Bhavnagar in Bhavnagar District.

2. LOCATION

i) The lignite mining lease area is located in villages Panandhro, Khanot and Fulra villages of Lakhpat Taluka in Kutch District of the State. The project is located about 15 kms from village Gaduli on the Bhuj - Narayan Sarover State Highway. It is 22 kms from Dayapar, which is a small town nearby. The nearest Railway Station and Airport are at Bhuj, located 135 kms away from the lease area.

ii) Akrimota Thermal Power Project located at Village Chher Nani, Taluka Lakhpat, Dist. Kutch, Gujarat. is about 30 KM away from Lignite mine, Panandhro working area.

iii) L5-L6 Reclaimer area, stack-yard of KLTPS is in the mining Lease area of Panandhro mines, and is about 4 KM away from Lignite mine, panandhro working area.

3. THE PROJECT:

The area is characterized by gently flat terrain with alluvial cover. The maximum and minimum reduced levels (RLs) of the lease area are 40 and 25 meters. The General topography of the Southern and eastern side of the lease area is higher compare to Northern & western part.

Rivers Kali and Korawadi flows through the lease hold area.

The climate of area is warm, humid and sub-tropical in the nature. The average rainfall is about 300 mm. The temperature in winter is about 8oC while in summer it goes up-to 45oC.


4. EXPLORATION AND INTERPRETATION:

The Commissionerate of Geology and Mining carried out detailed exploration in this area. GMDC also carried out additional drilling.

5. CURRENT STATUS

This mine is in operation since last over 30 years. The average lignite production planned is about 45 Lac tonnes of lignite per year, About 10 Lac MT exposed Lignite benches will hand over to new turnkey contract at time of fixing of new contract.

6 METHOD OF MINING It is proposed to work the mine by opencast mining method, using conventional mining machinery like hydraulic excavators/hydraulic shovels and dumpers for OB/IB removal, and excavation & loading of lignite, lime stone and Ash. Entire mining operations, inclusive of ancillary operations, are proposed to be outsourced. The entire topsoil excavated from the mining area will have to be stacked separately within the lease area and shall be re-spread over the stabilized dumps and reclaimed area. No extra payment will be made for such activities.

7 LIGNITE & LIMESTONE TRANSPORTATION

The Bidder shall be solely responsible for transporting minimum requirement of Lignite and Limestone as specified in schedule target from mines to Akrimota Thermal Power Station, Chher and L5-L6 Reclaimer area, KLTPS-Panandhro as well as unloading of the same in hoppers by dumpers at Akrimota Thermal Power Station area and at KLTPS, Panandhro.

8 ASH TRANSPORTATION The Bidder shall also be responsible for transporting ash from Akrimota Thermal

Power Station, Chher to the Panandhro mines voids in the return trip after unloading of lignite at Akrimota Thermal Power Station, Chher.

9 LIMESTONE MINE FIELD

The Corporation will provide the contractor a face/field or dump/stack-yard of limestone areas for excavation and loading on to the dumpers. The areas will be allocated in Panandhro mines. The bidder shall deploy his machinery and manpower according to the guidance of GM (Project) of Panandhro for excavation of limestone and loading the same on to the dumpers. The payment for excavation and loading of lime stone shall be done only when lime stone shall excavate and loaded from the dump/stack yard. No payment shall be done if lime stone excavated and loaded from in situ working bench.


10 DESCRIPTION OF THE WORK:

The Corporation proposes to award the contract for Overburden / inter burden Removal, Excavation & loading of Lignite & Lime stone and transportation of Lignite, lime stone & ash from experienced and reputed contractors at Panandhro, Lignite Project. The successful bidder will carry out entire mining operations including Overburden / inter burden Removal, Excavation & loading of Lignite & Lime stone and transportation of Lignite, lime stone & ash and related ancillary activities like maintenance of haul roads & dumps, dust suppression, dewatering of workings (ground water as well as monsoon water), dealing with suppression of fires, if any and Drilling and Blasting if necessary etc. For details, please refer to the clause 1 on the Scope of Work under Chapter No.5 in ‘General Terms and Conditions”. Total Estimated quantity of OB/IB removal & Lignite of the proposed working area (as shown in plate no-1) is 665 Lac M3 & 144 Lac M.T. respectively as on Date-31/12/09. OB removal & Lignite mining will continue in the proposed working area till new turnkey contract work will be fixed, so quantity of OB removed & Lignite mined out from the said area will be deducted at the time of fixing of new contract solely by the management of GMDC Ltd. About 10 Lac MT exposed Lignite in benches will be handed over to successful bidder of turnkey contract which is included in total quantity of lignite 144 Lac MT.

(1) The Corporation proposes to outsource the entire over burden / Inter burden

removal, excavation and/or loading of Lignite & Lime stone and transportation of lignite, limestone & ash and related ancillary activities to experienced and reputed contractor(s). The successful bidder will carry out:

a) Over burden / inter burden removal, Excavation and Loading of

Lignite to be dispatched.

Total Quantity of OB/IB removal = 665 Lac M3 Total Quantity of Lignite = 144 Lac MT

b) Loading of limestone

Total Qty. of Limestone = 5.60 Lac MT

c) Transportation of Lignite and Lime stone from Panandhro mines to

i) Akrimota thermal power station of GMDC, Chher (approx. distance

30 km.)

Total Quantity of Lignite = 46.85 Lac MT

Qty. of Lignite/Year = (13.5 ± 10 % lac tonnes / year)


and Total Qty. of Limestone = 3.50 Lac MT

Qty. of Limestone/year = (1 ± 10 % lac tonnes / year)

ii) Panandhro mine lease area at L5-L6 reclaimer area stack yard

(approx. distance 4 km.)

Total Quantity of Lignite = 97.15 Lac MT

Qty. of Lignite/Year = (28.0 ± 10 % lac tonnes / year)

and Total Qty. of Limestone = 2.10 Lac MT

Qty. of Limestone/year = (0.6 ± 10 % lac tonnes / year).

d) Loading and transportation of Ash from ATPS, Chher.

Total Qty. of Ash = 13.81 Lac MT Qty. of Ash = (3.98 ± 10 % lac tonnes /year) from Akrimota TPS to Panandhro mines in return trip.

e) Related ancillary activities like:

i) Construction and maintenance of haul roads, ramps & footpaths. ii) Maintenance of separate dumps for OB, top soil and other economic

minerals, Dumping shall be carried out in such a sequence so that diversion channel of korawadi river forms as shown in the drawing (plate no-2). For the preparation of diversion channel of Korawadi river, dumping shall be carried out in top priority and as per design shown in plate no-4.

iii) Dust suppression at all working places, haul roads and dumps,

iv) Pre monsoon preparation and dewatering works for monsoon water,

inclusive of arrangements for preventing inrush of surface water into the working pit / areas. For the purpose, the Contractor shall make its own arrangements for pumps, pipeline and other related accessories and shall also make adequate arrangements. The required power will be made available free of cost at the nearest point by GMDC to operate pumps to dewater the pit of seepage or monsoon water. Further distribution / transmission of power will have


to be arranged by the successful bidder at its own cost and risk. Further shifting of the location of power supply point will not be more than once in a year. This power shall not be used for any purpose other than pumping operation and mine illumination...

v) Dealing with and suppression of fires, if any, in the area under its

control,

vi) Illumination of all working areas, haul roads, truck roads, footpaths, OB dumps, other stack yards and any other places where persons are employed in the mine etc as per the standard specified by the Director General of Mines Safety.

vii) Drilling shall be carried out by contractor at his cost. However

blasting shall be done on chargeable basis under supervision of GMDC. The Explosive cost shall be recovered on the basis of actual cost of Explosive material used and transportation cost.

f) Limestone, or Clay or any other economic mineral, if found in the mining

area, will have to be mined out separately and shall either be stacked at places as may be advised by the Mine Manager or may have to be loaded into consumers’ trucks for which no extra payment will be made.

11 DIESEL SUPPLY

a) The contractor will make suitable arrangement, at his own cost and risk,

for procurement and storage of diesel, oil, lubricants etc. for the consumption at works site. GMDC may provide space for diesel storage within lease and acquired area if available. It will be the responsibility of the contractor to obtain and maintain validity of diesel storage license form the competent authority.

b) To carry out the work described in the scope work, in the initial contract

rate the diesel component is consider as per clause no-a.7 (a to j) of chapter-II for all item/work. In case of any increase / decrease in price of diesel with respect to the frozen rate of diesel (as on the date of opening of preliminary bid), the contract rate shall be increased / decrease on pro rata basis as per the following formula. No escalation on any other account will be paid or considered by GMDC.

Price Variation on Diesel for Transportation of Lignite, Lime stone & ash are calculated from diesel consumption given for each item/work by successful bidder at the time of tender offer.

c) For the above purposes the landed diesel price at the nearest outlet as

on the date of opening of the technical bid of this tender will be taken as base price and will be frozen for the entire currency of the contract. The bidder should consider this price for computing their tender rate for each item/work separately. The variation in diesel rate will be in respect of this base price for each item/work.

d) The escalation in rate will be calculated on every revision in landed price

of diesel at nearest outlet which is considered as bench mark and its effect will be passed on to the contractor with effect from the date of such a change / revision. The contractor shall submit the copies of invoices of diesel purchased during the period along with the monthly RA bills and GMDC at any time may require original copies of such invoices for verification while considering escalation in rate.

e) If available, a diesel storage unit may be emptied and given for exclusive

use by the bidder for storage convenience which will be handed back to the employer after the contract period.

12 DURATION AND QUANTITY OF WORK

(a) The period of the contract will be 3.25 years (39 months) from the date of commencement of the work which may be extended up to total 5 years for completion of tender target. The Contractor shall have to excavate & load lignite 144 Lac MT , Lime stone 5.60 Lac MT and Ash 13.81 Lac MT after removal of over burden / inter burden about 665 Lac M3

(b) The regular OB/IB removal, Excavation, Loading & Transportation of

Lignite, Lime stone & Ash, minimum quantity specified in the monthly schedule to be provided by the project office and fulfillment of the total monthly as well as yearly targeted quantity also, are fundamental obligations of the bidder and the bidder is required to strictly adhere to the obligation of regular OB/IB removal, Excavation, Loading & Transportation of Lignite, Lime stone & Ash, monthly schedule as well as yearly schedule provided and monitored by the Project Office of GMDC.

(c) The monthly schedule for over burden / inter burden removal, Excavation

& Loading of Lignite, Lime stone & Ash and transportation of Lignite, lime stone & ash shall be provided by the Project Office. The Bidder will, however, have to remove the over burden quantities in such a way that adequate quantity of lignite about 10 lac tonnes is always exposed in


benches so that the production of lignite by GMDC is not suffered and un-interrupted supply continue to both power plant. The terms “Monthly Schedule” means the schedules which will be provided to the bidder as per the provisions of the contract and shall contain the details as to the month and specified quantity of OB/IB, Loading of Lignite and transportation of Lignite, limestone & ash to be carried out by the bidder as minimum quantity in the respective month. Successful bidder will build up a stock equivalent to at least 1 month’s consumption of plants at plant side stack yard, before the on set of monsoon and will compact it so as to prevent spontaneous combustion.

However, end of the each year the removal of overburden, Excavation, Loading and transportation of Lignite, Lime stone & Ash quantities should be as per production schedule enumerated at Table-1 (chapter-V part-II) for the purpose of the contract.

13 COST OF TENDER DOCUMENT

The cost of tender documents is to be submitted at the time of submission of supporting document of technical bid in the form of demand draft of Rs. 5000/- as mentioned in tender notice, in the sealed technical bid cover . If the amount mentioned in the DD is found short, the tender will not be considered for scrutiny and will be out rightly rejected.


Chapter II

INSTRUCTIONS to the BIDDERS: 1. The bidders are advised to read the instruction, evaluation norms and other

terms and conditions described in these documents under different Chapters carefully before rendering their offer. In case of any doubt they may seek clarification from General Manager (Lignite Projects) available at Corporation’s head office at Ahmedabad.

2. SITE VISIT:

Bidders are advised to visit the site to study the actual working conditions, before submitting their offer. There shall be no excuse from bidder side if bidder does not make site visit. The information/details given in the tender document are only to describe magnitude of work and are for mere guidance to the bidders. The project works are under the charge of Shri C.R. PATEL, General Manager (Project) and his contact numbers is Office : (02839) – 264411

Any neglect or failure on the part of the tenderer in obtaining necessary and reliable information upon the foregoing or any other matters affecting the contract shall not relieve him from any risks or liabilities or the entire responsibility from completion of the works at the scheduled rates and time in strict accordance with the contract documents.

3. MINING SCHEME:

The detailed scope of work is described in the Chapter titled “TERMS & CONDITIONS OF THE TENDER” and also in the Chapter “MINING SCHEME” of the document. Major quantity of mining work will be within the area shown in the enclosed drawings/maps (Plate No-1). However, in the case of Corporation’s urgent requirement or any unforeseen cause, a little work may be required to be carried out at other locations within the mine lease area for which no extra claim shall be entertained. The successful bidder will be required to excavate and remove all types of strata overlying the main Lignite seam as well as the strata found between different seams of lignite. Bidder shall excavate and Load of lignite seam of minimum thickness up to 0.30 mt. Time is and will remain the essence of the contract. The compliance with monthly and yearly schedules and specified quantities-durations therein are the fundamental requirement of the contract.


4. THE TENDER & THE OFFER: a) It is a three-bid system. The bids are required to be submitted on-line at

Part – I Preliminary Bid

- To be submitted online about the details of document fee and EMD.

Part - II Technical bid

- Technical bid documents i.e. forms A,B,C etc. are to be submitted on-line. However, the documents required to be submitted in support of experience, financial position, status of the bidder, machinery and equipment owned by the bidders etc. as well as tender fee and EMD in the desired form shall be placed in sealed cover super-scribed “TECHNICAL BID, Tender No. LP-06 /09-10 and Name of work ”, should be submitted separately at Corporate Office, Ahmedabad before stipulated time.

- To be submitted on-line before the stipulated time.

b) If the EMD and tender fee are not found in the sealed technical bid

document cover or if the amount thereof is found short, the tender will not be considered for scrutiny and will be out rightly rejected.

c) The Corporation reserves the right to reject any or all the tenders or

split the work between more than one bidder without assigning any reason thereof.

d) The technical bid cover should contain an affidavit in original in the

prescribed performa as given in tender document, duly sworn before a Magistrate/Notary Public to the effect that all the supporting documents submitted with the tender are genuine and correct. If it is found at any point of time that the said documents were not genuine then in that event the tender will be rejected or contract will be terminated, earnest money will be forfeited and the tenderer may be debarred from participating in further/future tender of this organisation / Company.


5. OPENING OF BIDS

a. E-tendering procedure is explained in detail in Chapter – III.

b. Preliminary bids will be opened after verification of receipt of payment towards document fee and EMD. The bidders will be able to view it on their computers on date and time notified in tender notice.

c. On verification of the supporting documents, technical qualification of the

bidders will be assessed. The successful bidders will be communicated the date and time of on-line opening of price bids by fax or telephone or email or SMS. However, all the bidders will be able view the price bids on-line on their computers as well.

6. SERVICE TAX:

Service Tax, if applicable and payable by the contractor, shall be reimbursed by GMDC to the extent directly related to the services rendered by the contractor under the contract.


7. Rate:

a) Since the Corporation proposes to outsource works of (i)Overburden/ Inter burden removal and ancillary activities at Lignite project, Panandhro. (ii)Excavation and/or Loading of Lignite, Lime Stone and transportation of same to Akrimota TPS, Chher and Loading and transportation of Ash from ATPS to Panandhro mines. (iii) Excavation and/or Loading and transportation of lignite and limestone from Panandhro lignite mines to Stack Yard KLTPS, Panandhro.

The bidders have to carry out all these works together and will quote firm rate for Over burden / inter burden removal, Lignite excavation and loading and ancillary activities in terms of Rupees per tonne of lignite Dispatched for the item no-1 and firm unit rate for the below mentioned other items in terms of Rupees. b) The payment shall be based on the quantity of each item/work

separately. No separate payments shall be made for other ancillary work carried out by the contractor.

c) The management reserves the right to accept or overlook or reject any

lower rate offered by the bidder without assigning any reason thereof. The evaluation of offers will be made on the basis of the lowest offer received.

d) The bidders are required to quote the rates strictly as per the terms and

conditions mentioned above. The conditional tender will not be entertained and will be summarily rejected.

e) Rate quoted shall remain valid for 90 days from the date of opening of the

technical bid, which shall have to be extended unconditionally for further maximum of period 60 days, as deemed fit by Corporation.

f) Service Tax and any other fresh imposition or variation in taxes or

payable by the bidder, shall be reimbursed by GMDC to the extent levies during the currency of the contract by the Govt., if applicable


and directly related to the services rendered by the bidder under this contract.

g) The agreed rate shall be valid for the entire currency of the contract

including any extension thereon. No escalation in the rates will be allowed on any account except variation in market rate of diesel as per formula mention in the clause no- 11.b of chapter-I.

8. ACCEPTANCE OF LOI AND PAYMENT OF SECURITY DEPOSIT:

The management, on acceptance of the offer, will issue Letter of Intent to the successful bidder; who will be required to confirm its acceptance of the LOI within one week of its receipt. If it does not accept the LOI within stipulated time period, the amount of the EMD paid will be forfeited and necessary further actions may be initiated as may be deemed fit by the EMPLOYER. Within 15 days of submission of its acceptance of LOI, the successful bidder will make payment of Security deposit in the manner prescribed in clause no. 2 of chapter No. VI. The failure shall be deemed to be refusal by the bidder to accept the LOI and the amount of EMD will be forfeited and necessary further actions may be initiated as may be deemed fit by the EMPLOYER.

9. CONTRACT AGREEMENT AND COMMENCEMENT OF WORK:

a) The successful bidder, along with the payment of Security Deposit, will

also enter into agreement with the Corporation on appropriate Stamp Paper (to be provided by the Bidder) in token of acceptance of the terms and conditions of the contract, with in 15 days of submission of its acceptance of LOI. A letter authorizing successful bidder to commence the work will then be issued by GMDC. The successful bidder will have to start the actual excavation work within 20 days from the date of letter of intent. In case of failure to commence the work within the above-mentioned period the contract may be terminated, at the discretion of GMDC.

b) The successful bidder(s) will also organize training of their manpower, to be deployed in the mine, after receipt of the LOI and before commencement of the work, under the provisions of Mines VT Rules, at GMDC’s own or other recognized VT Centre approved by DGMS.

c) The agreement should be signed by the below mentioned signatories: Proprietary firm - Proprietor Partnership firm - Senior managing partner Limited Company - Managing Director duly authorized

Joint Venture/Consortium - Authorised signatories of legal entities constituted the Joint Venture.


10. GENERAL:

a) GMDC will not be responsible for any postal delay whatsoever. b) If the tender documents and forms referred to in the tender are not submitted

or are submitted but not found duly filled in and unsigned, will result in rejection of the tender.

c) In the event of space being insufficient for furnishing required information,

additional sheets may be used and signed. d) Canvassing in any form may lead to rejection of the offer.

e) Bids once submitted shall not be returned and shall remain the property of

the purchaser.

f) The tenderer who have earlier been awarded contract by the company for any job which they either did not accept or have abandoned or contract has been terminated by the company for breach of conditions, shall not be eligible to participate in this tender.

g) To assist in the scrutiny, evaluation and comparison of bids, the Corporation

may, at its discretion, seek from any or all bidders, clarification(s) on his/their Bids, including technical information, documents and materials after the Technical Bid Opening but before opening of the Price Bid (part-II). The request for clarification and response shall be in writing or by fax, but no change in the final price or substance of the bid shall be permissible.

11. CORRIGENDUM: Some times issue of corrigendum may be necessary to clarify doubts raised or

to make some corrections. All such corrigendum shall be displayed on web site https://gmdc.nprocure.com only. The bidders are therefore advised to refer to these sites from time to time to keep them updated.

Chapter IV

CRITERIA FOR EVALUATION OF TECHNICAL BIDS 1. EXPERIENCE

i. a) The bidders should have experience in any type of earth excavation, overburden removal or mining of minerals using hydraulic shovels/excavators with matching dumpers or any other types of opencast mining machinery or heavy earth moving machinery for a minimum 70 Lac M3 (or equivalent tonnage) quantity, during a period of continuous twelve months in any of the last three years.

b) The bidder should directly own and should readily have adequate number of earth moving machinery and service equipments, as per norms given below in clause No. 3, for annual earth excavation / OB removal / mining of at least 70 lac M3 (or equivalent tonnage) while submitting the offer.

c) The bidder must have sound financial position so as to buy and deploy additional machinery so as to meet the targets as per the given schedule. In support of this, the bidder should submit a Solvency Certificate for amount of Rs. 1.5 Crores issued on or after 01/04/2009. Non-submission of Solvency Certificate will attract disqualification.

d) The bidder should clearly state its status and submit duly attested supporting documents. The status should not change during the entire currency of the contract.

ii. The bidders shall furnish necessary documentary evidences such as Order

Copies, Performance Certificates, Balance Sheet, Organisation details, list of dumpers and excavators with RTO certificates, excavators and dumpers working hours certificate etc., duly attested.

a) The bidder should directly own and should readily have adequate number of earth moving machinery and service equipments, as per norms given below in clause No. 3, for annual earth excavation / OB removal / mining of at least 70 lac M3 while submitting the offer.

b) Bidders should have a net worth of 10 Crores minimum as on 31/03/2009 and average Turn Over of Rs. 60 Crore for last three Financial years.

2. CONSORTIUM / JOINT VENTURE:

a) A Joint Venture may be formed for the purpose of under taking the tendered

work. However, as prescribed in the condition 1(d) above, the JVC partners should jointly own, possess and be able to deploy heavy earthmoving machinery worth 70 Lac M3 capacities.


b) The online tender can be submitted by using digital signature of any of the partners or the Joint Venture Company. On successful bidding, the contract will be awarded in the name of the JVC. However each entity of JVC would be jointly responsible for fulfillment of all the terms and conditions of the tender including completing the job as per the contract.

c) The JVC/Consortium should have proper and legally enforceable working

arrangements as a part of the agreement. d) The contract agreement should be signed by each Joint Venture partners. e) The bid may be rejected in case the documents in support of the status of

bidder are not clear or if the supporting documents are not enclosed with the technical bid.

3. OWNERSHIP OF MACHINERY / EQUIPMENT:

a) The bidders should directly own, possess and shall have spare capacity to be in a position to readily deploy following heavy earthmoving machinery (crawler mounted hydraulic excavator as per norms given below) for annual OB removal of at least 70 lac M3 while submitting the offer for removal of Overburden, Inter burden, Excavation and Loading of Lignite.

i. Hydraulic excavators of not less than 1.7 M3 bucket capacity for

overburden removal and not older than 5 years. ii. Dumpers not less than 17 tonne carrying capacity with a total

capacity of 1000 M.T and equipments not older than 5 years in case of plain gearbox type mechanism & 5 years in case of Hydraulic mechanism. The maximum working hours of the machine shall not exceed 4500 hr. A certificate from Chartered Accountant or proof of purchase from OEM should be submitted

iii. At least Two Dozer – not less than 165 HP

iv. At least one Motor/Road Grader

v. At least two Pressurized water sprinklers / tankers

b) The intending bidder shall possess the following minimum Qualifying requirement for transportation of Lignite, Lime stone and ash.

The Bidder must have minimum 45 nos. of 17 T Hydraulic

Tippers/Dumpers/Trucks. In case the Bidder has Dumpers in higher carrying capacity (more than 17T), it will be assessed pro-rata. The dumpers/ Tippers/Trucks which are older than 5 years will not be considered in evaluation. Bidder should submit a certificate from Chartered Accountant about authenticity of copies of RTO Registration certificate.


4. SOLVENCY CERTIFICATE

The bidder should submit a Solvency Certificate for a value of Rs. 1.50 (one Crore fifty lac only) issued from any Nationalised Bank or IDBI, HDFC, ICICI, Axis Banks issued on or after 01/04/2009 along with the technical bid.

5. ACCEPTANCE OF GENERAL TERMS AND CONDITIONS:

The bidder should unconditionally accept all the terms and conditions of the contract by signing on each page of the technical bid document of the tender including annexure.

6. EMD

The bidder should enclose a crossed demand draft worth Rs. 100 (one Hundred) lac, drawn in favour of GMDC Ltd., payable at Ahmedabad from any nationalized or IDBI, ICICI, Axis, HDFC or any other scheduled bank (not being a cooperative bank) or other acceptable document towards Earnest Money Deposit along with the technical bid in the cover so super-scribed. In absence of the DD or other acceptable document for EMD or inadequate amount of EMD, the offer will be rejected. Other acceptable documents for the purpose of EMD (and also SD) are: 1. Fixed Deposit Receipts issued by a nationalized bank or IDBI, ICICI, AXIS,

HDFC duly endorsed in favour of GMDC Ltd valid for Six months from the date of opening of preliminary bid.

3. Bank Guarantee, issued by a nationalized or IDBI, ICICI, AXIS, HDFC

valid for a period of not less than 6 (six) months from the date of opening of preliminary bid

7. DECLARATION

The bidder should give a declaration along with the technical bid that it has not enclosed any conditional offer.

8. BLACK-LISTING OF THE BIDDER:

The Bidder or its directors or partners of JVC should not have been black listed by any Government Organisation, nor should any litigation should be pending against any of them. The bidder will submit declaration to this effect along with the technical bid. If at any time such declaration is found false, the bid will be rejected or if the contract work is already awarded, it will be terminated forthwith without payment of any compensation and the EMD/SD will be forfeited.


Chapter V

MINING SCHEME

Part I GEOLOGY OF THE DEPOSIT

1. LOCATION: The Mine is located about 132 Kms North west of the district head quarters Bhuj.

2. PHYSIOGRAPHY & DRAINAGE PATTERN:

The area is characterized by gently flat terrain with alluvial cover. The average reduced level (RLs) of the lease area is about 40 meters. The General topography of the field is dipping to wards North west along the direction of drainage flowing in the area which is river Kali from south to north and Korawadi flowing from east to west.

3. CLIMATE:

The climate of the area is warm, humid and sub-tropical in the nature. Monsoon starts late in June and continues up to middle of September with an annual rainfall of 350 mm average. The winter is pleasant and temperature goes down up to 80 C, while in summer, the temperature goes high up to 450 C.

4. GROUND WATER:

The Ground water level is generally ranging below lignite strata. Little slien amount of water is available within the strata, is at the depth of 50 to 90 mtr. in this region.

5. DEMOGRAPHY:

Village Panandhro & Fulra of Lakhpat taluka are the two nearest village of Panandhro lignite mine having population of 2000 & 1000 respectively. Most of the male member of the family are directly or indirectly associated with mining activity of Panandhro.

6. EXPLORATION AND INTERPITATION:

The Commissionerate of Geology and Mining carried out detailed exploration in this area. GMDC also carried out additional drilling. The detail Litho logs of various bore hole of the proposed working area are available in tender document.

7. LOCAL GEOLOGY:

Lignite is associated with the Laki shale of Eocene age, which is a part of Tertiary sequence deposited in North Western parts of Kutch. Hence it would be necessary to describe here the regional stratigraphy to have an idea of the


geological set up. ‘Regional Geology, during the end of cretaceous period and in the early Tertiary times, due to large scale organic movements, uplift and subsidence of the crust took place connected with Deccan trap igneous activity. The tertiary sea transgressed and submerged the sinking basins bordered by elevated lands presently covered by trap rock. Basins thus formed were the points of loci for the deposition of complete tertiary sequence ranging in age from paleocene to pleistocene. The accurate configuration of the Tertiary sequence shows close parallelism to the present sea coast. Tertiary sequence deposited in western Kutch plays an important part in the stratigraphy of Indian geology and was considered as a type area in the Indian continent. The entire geological sequence of formations ranging from Jurassic to recent period could be seen in and around the area on a regional scale and the same has been presented in the table ‘Stratigraphic sequence of rock’ given below: General Stratigraphic Sequence of Rocks in the area

Structure:- No structural disturbances are noticed in the field except minor undulations and rolling dips. In general, Tertiary sediments are horizontally bedded.


PART- II

MINING 1. SCOPE OF WORK:

i) The successful bidder will carry out removal of overburden; inter burden, Excavation & Loading of Lignite, Lime stone and ash by mechanized opencast mining method by deploying Hydraulic Shovels/excavators – dumper combination only.

ii) The equipment deployed by the successful bidder and its organization for

carrying out the work shall be such as to ensure minimum yearly quantities of all items/works carried out as per monthly and yearly schedule target. The annual quantities of all items/works are given in the table-1 & 2. The monthly schedule will also be provided by the project office. Further, the work should be executed strictly in conformity with the provisions of Mines Act 1952, Regulations, Rules, Environmental & Labour laws, Factory act and other applicable statutes and all other relevant bye laws and statutory provisions / amendments / orders made there under and instruction given by the GMDC and/or Mines Manager from time to time.

iii) The successful bidder shall carry out removal of Overburden (OB) / Inter burden (IB), which includes all types of strata, up to all depths from surface and with all leads and lifts, so as to expose, excavate & load all minor and major lignite seams for transportation to the both power plants, up to the final depth.

iv) The bidder shall give full information to the EMPLOYER in advance as to

his plans for carrying out the works. If any time before the commencement or during the progress of work, any part of Bidder’s plant, equipment or facilities, or any of his method of execution of the work, appears to EMPLOYER to be unsafe or inadequate or his organization is insufficient to ensure the required quality and rate of progress of work, the Mines Manger may order the bidder to improve the same for, and the bidder shall promptly comply with such orders. Failure of the EMPLOYER to issue such orders shall not relieve the bidder of his obligation to secure the degree of safety, the quality of work and the rate of progress required by the bidder for execution of his works under the contract. The bidder shall ensure safe operation and maintenance of his machinery.

v) On award of the work, the bidder shall before the start of work, submit a

detailed program of work for the first six months of his working for approval of Mines Manger. Thereafter, the bidder shall submit quarterly plans at least two weeks in advance for approval of Mines Manger. The monthly target quantity will be issued by the Mines Manager and achieved under the direction and supervision of the Project manager stationed locally.


vi) The bidder shall submit a daily report of work on the following day in a Performa provided by the Mines Manager.

vii) If any economic mineral like limestone etc other than lignite is found in

overburden / inter-burden, the bidder shall excavate it separately and stack it in a separate dump to be earmarked by GMDC for this purpose. The quantities shall be accounted towards OB quantity for the purpose of assessment and no extra payments shall be made on this account.

viii) Garland drains of adequate size shall be cut all around mine excavation

to collect runt-off rain water and prevent entry of the same into the mine workings.

ix) Top edge of the opencast workings shall be kept fenced as per the

design provided by the Mines Manager.

x) Necessary and Effective arrangements shall be made for dewatering if required in monsoon period. If at all float pumps required for dewatering is used must be designed by competent agency in such a way so as to prevent risk of over turning.

x) Any hard strata encountered has to be reported to the project authorities

and under their supervision, the explosives are to be used. Any advance planning required for drilling the blast hole in a mine face is the obligation of the contractor. Only judicious use of explosives is permitted with strict supervision. Since the mining area also have a hard strata, explosives required for blasting operations will be provided by the EMPLOYER. The actual cost of Explosive and its transportation cost shall be recovered. The bidder has to organize drilling for the blast holes required in the area of working. Drilling shall be carried out by contractor and blasting shall be done under the supervision of GMDC. The successful bidder shall not raise any dispute on the type, charge density, yield, fragmentation and frequency of blasting. In such cases the decision of the General Manager (P) shall be final.

xi) Dealing with and suppression of fires, if any, in the area under its control, xii) Power plant is covered under Essential Services and the successful

bidder shall have to meet with relevant requirements invariably on day to day basis.

xiii) The Power plant is situated in sensitive area as such all security norms

shall have to be followed. The entries in the power plant area shall be restricted. Contractor shall have to solicit advance approval for equipments as well as manpower. Regarding operations / helper / mechanics / supervisors advance approval shall be solicited, for police verification. The contractor shall provide all necessary data for deploying his manpower in advance to take care of above requirement.


xiv) The dumpers deployed for transportation of Lignite, Ash and Lime stone

shall be covered suitably with Tarpaulins and the covers shall also be tied in such a way to avoid spillages on the road or during transit.

xv) In the power plant, the contractor shall have to manage an office for

round the clock co-ordination of all the activities with sufficient manpower, as well as he will have to manage workshop facility for his equipments and maintain all equipments in service. Alternatively, he shall have to manage for immediate replacement.

xvi) The successful bidder shall have to follow all safety norms. He shall be

responsible for safety of power plant equipments and structures and if any damages occur he shall be responsible for making good the damages made to the Power plant equipments and structures and compensate for the cost of damages.

xvii) The successful bidder shall have to follow the RTO rules for overloading

etc. and other provision of motor vehicle Act and Rules. No overloading will be permitted.

xviii) Excavation, Loading & Transportation of lignite, lime stone and ash shall

be carried out as clause no-10.1.b & c of chapter-I and then its unloading there of.

xix) Loading of Ash from power plant it weighment and transportation of the same to mine void as per clause no-10.1.b & d of chapter-II

xx) Contractor shall not uncover and keep the lignite faces exposed for a long time to prevent spontaneous heating of lignite. A thin layer of sand / soil shall be left over the exposed lignite benches. This sand / soil / layer should be removed at the time of extraction and loading of lignite. Spontaneous heating and fires in lignite stack should be controlled by proper stacking. Heating spots and fire sites should be watered regularly / continuously as necessary.

xxi) In case, the design parameter of mine as stipulated in the plans and

document which may required to be changed on account of safety reasons and/or as per the directions of the statutory authority and/or by management, the contractor shall have to undertake the same without any claim whatsoever on account of such changes.

xxii) While loading and transporting lignite, lime stone and ash, the successful bidder has to ensure that there shall not be any contamination to lignite, lime stone and ash. For this porpoise bidder should either identify separate fleet of dumpers/trucks to handle lignite, lime stone and ash. Or take other suitable measures to avoid contamination.

xxiii) The stock of lignite, Lime stone at the designated place at the power plant

will be calculated on the basis of the weighment record of trucks received


from weighbridge established at out-plant lignite handing system on daily basis.

xxiv) During the planned shutdown of power plants if power producer suspend

the intake of lignite, than GMDC may also suspend loading and transportation of lignite by the bidder. Similarly during breakdown of power plant, supply of lignite can be suspended by GMDC, However, other works like removal of OB/IB may be kept continued.

xxv) GMDC shall not be made liable for any damage and /or compensation for idling of any of the equipment / and manpower for any reason whatsoever.

xxvi) The equipments which are brought to the site shall not be removed from

the project without permission in writing of General Manager (P).

2. FINAL DRESSING OF BENCHES FLOOR AND FACES

Final dressing of the bench floors and bench faces shall be done by the bidder as per the scope of work and the drawings (plate no-3) provided for bench configuration. All over-hangs and loose rocks shall be dressed down and floors be cleaned up. All haul roads and access roads should be in good condition for further vehicular movement.

3. QUALITY OF LIGNITE AND SAMPLE COLLECTON

a. Seam wise composite samples of lignite shall be drawn jointly from the mine faces for analysis, well in advance of actual excavation. The samples so analyzed shall be used for organizing the lignite excavation program, so as to maintain the required dispatch quality of lignite. In addition, random grab sampling for lignite, loaded into the trucks/dumpers shall be jointly sampled, in appropriate batch sizes, before dispatches.

b. In case the grab samples drawn from trucks are found to have CV less than

the CV estimated by sampling as described above, it will attract for penalty at the rate of 1.5 times the loss incurred or likely to be incurred by GMDC.

c. For the purpose of assessment of heat value, GMDC will get the samples

analyzed at its own laboratory or CGM laboratory or any other reputed / recognized laboratory. The results obtained form such analysis shall be binding upon the Contractor.

d. The Contractor shall also ensure that no shale or other material is loaded

along with the lignite into the trucks and if such material is noticed, it will arrange for picking out of all such material from the trucks. It should be clearly understood that prime object of loading and transportation of Lignite is to feed it to the power plant. Constancy in quality and quantity on day to day basis in supply of lignite to power plant is to be ensured by successful bidder.


4. SPILLAGE OF THE LIGNITE

The successful bidder(S) shall ensure that the dumpers / hualers should not be overloaded to avoid spillage. If any spillage occurs along the haul road and unloading points the same has to be re-handled and cleaned at its cost.

5. DUMP / STACK YARD MANAGEMENT

1. The overburden / inter burden, after excavation, shall be transported to the

stack yard as directed by the mines Manager or the authorised persons from time to time irrespective of any lead or lift, to the satisfaction of the management, without claiming any extra payment of the same. Dumping shall be carried out in such a sequence so that diversion channel of korawadi river forms as shown in the drawing (plate no-2). For the preparation of diversion channel of Korawadi river, dumping shall be carried out in top priority and as per design shown in plate no-4.

2. The topsoil, lime stone and other economical minerals shall be stacked

separately at the area directed by the Mines Manager. Such material shall be dumped in layers of 10 m height and the slopes as may be stipulated but not exceeding 220, as per the statutory permission. The topsoil shall be re-spread over the stabilized dumps.

3. Dumps shall be formed and maintained in steps with height not more than 10

meters each and with adequate slope to ensure its stability. Dump shall be compacted and leveled by dozers.

4. On dumps, the safety berm should be formed, having height equivalent to

half the wheel diameter of the dumpers. In any event, the berms should not be less than one meter in height.

5. No edge dumping shall be done and contractor shall arrange adequate

numbers of dozers for pushing of the dumped material regularly, leveling and compaction of dumps at all lifts.

6. The contractor shall arrange to cover the shale dumps with the inert soil to

minimize the chances of combustion. 7. Non-operational Dumps will be designated by a berm of at least two meter in

height.

6. VEHICLE PARKING AND STANDING

For safe operation of vehicles in and around the mine, the bidder shall ensure for observation of following rules and any other special instruction given by the Mines Manager


(i) The drivers shall not park or stand vehicles in a position that will endanger other traffic in the mines premises.

(ii) The drivers shall not park or stand vehicles within 30 m of the working

area of mobile equipment or where vehicle can not be observed. (iii) The drivers shall not park or stand vehicles within the area of swing of the

excavation machinery without first obtaining permission from the operator of excavating machine.

(iv) The drivers, before leaving parked vehicles, shall ensure that the vehicle

is secured, that parking brakes have been applied and that all implements have been lowered. If circumstances dictate that a heavy vehicle must be parked facing up or down a slope then the wheels should be choked with stop blocks and steering off center.

7. CONSTRUCTION & MAINTENANCE OF ROADS, FOOTPATHS, ETC

i) The bidder will be responsible for construction and maintenance of haul roads within the mining pit and at the surface up to the dumps & upto main entry point (gate) to lignite loading face and up to Weight Bridge. Separate haul roads, having alignments and specifications approved by the GMDC, shall be constructed to allow un-interrupted movement of trucks for loading of lignite. GMDC reserves full rights to use such roads, without any liability what so ever, for movement of any other traffic.

ii) The bidder shall make arrangements for sprinkling of water on haul roads, parking plots mining faces, dump yards, main entry point (gate) to lignite loading face and up to Weight Bridge, service road and other working places etc., and take adequate precautions for dust suppression.

iii) Wherever, the village roads come under active mining or traffic areas, the bidder shall provide an alternate pathway at a safe distance and away from mining operations and/or post guards in all working shifts to guide the traffic.

8. FITNESS OF HEAVY EARTH MINING & TRANSPORTATION MACHINERY: The successful bidder will be required to deploy heavy earth mining &

transportation machinery which are tested and found fit for roadworthy. The bidder will be required to maintain adequate competent officials / persons for maintenance & examination of machinery. In addition, Engineers or other competent persons of GMDC; individually or as a part of Joint Inspection Team; will also examine and verify fitness of these machinery. The contractor will provide full cooperation and help in carrying out examination and tests. However, during any such test / examination, if any machinery is found unfit, the contractor will forthwith withdraw it for necessary repairs and maintenance and will not put it back in to operation unless it is again examined and certified fit by the GMDC’s Engineer or other competent persons.


9. LIGHTING

i. When, any work is performed at night or where daylight is shut off or obscured, the bidder shall provide at his cost artificial lights, wherever required on high towers, sufficient to permit the work to be carried on properly and to permit thorough inspection by the Mines Manager. The lighting standards shall be as prescribed by DGMS.

ii. The bidder shall be responsible to construct and maintain at his cost

proper and adequate fencing, lighting guarding and taking necessary safety measures for all works under the contract as may be necessary or guided by the Mines Manager. If any tower lights are proved anywhere in the mine by the management, it will be maintained by the successful bidder, but the material, fittings and fixtures for such places will be supplied by the management free of cost.

iii. The power and light connections, wiring, equipment etc. shall be

maintained by the bidder throughout the contract period, till taking over of the physical possession of work site by the GMDC. The power and light connection, wiring, equipment and other installations shall be subject to the inspection and passing by the Mines Manager or other authorised official and the authorities of Central Government under the Electricity Act & Indian Electricity Rules, subject to conditions of electricity supply by the State Electricity Authorities, as applicable.

iv. Any additions and alterations thereto shall be got approved by the bidder

from the Mines Manager and certified from Electrical Inspector from DGMS, required under law.

11. DRAWINGS TO BE SUPPLIED BY THE GMDC.

I. Drawings attached with tender shall be for the general guidance of the bidders to enable them to visualize the type of work contemplated and scope of work involved. The bidders will be deemed to have studied the drawings and formed an idea about the works involved.

II. Any discrepancy between the specifications and the drawings or any error,

omission or ambiguity in the specifications or the drawings, shall not invalidate the contract. The bidder shall immediately on noticing any such discrepancy; error, omission or ambiguity brings the same to the notice of the Mines Manager. Any work done by the bidder even after discovery by him of such discrepancy, error, omission or ambiguity will be at the bidder’s risk and cost.

III. Any work, for which no specification or drawing has been prescribed or

issued by the GMDC, is to be carried out by the bidder in all respects in accordance with the instructions and requirements of the Mines Manager.

IV. The drawings for the work as listed herein are based upon the

interpretation of borehole information as provided by Commissionerate of Geology & Mines, Gujarat and additional drilling carried out by GMDC. There may be some variation between the estimates and the actual conditions. The bidder shall not be relieved of the liability under the contract for any loss sustained by the bidder as a result of any variance between conditions as shown on the drawings and the actual or otherwise. However detail Litho logs of various Bore Hole are given in the tender document.


CHAPTER – VI

TERMS AND CONDITIONS OF THE TENDER

M/s Gujarat Mineral Development Corporation Ltd., (herein after referred to as GMDC) proposes to carry out (i)Overburden/ Inter burden removal and ancillary activities at Lignite project, Panandhro. (ii)Excavation and/or Loading of Lignite, Lime Stone and transportation of same to Akrimota TPS, Chher and Loading and transportation of Ash from ATPS to Panandhro mines. (iii) Excavation and/or Loading and transportation of lignite and limestone from Panandhro lignite mines to Stack Yard KLTPS, Panandhro. of Lakhpat Taluka in Kutch District at the following terms and conditions.

1. EARNEST MONEY DEPOSIT:

(a) A non-interest bearing Earnest Money Deposit of Rs. 1,00,00,000 /- (Rupees One Crore) only shall be paid along with the tender, enclosed with Technical Bid documents in seal cover superscribed “TECHNICAL BID”, in form of Crossed Demand Draft in favour of GMDC Ltd. payable at Ahmedabad from Nationalised Banks only. Any tender submitted without Earnest Money shall be summarily rejected and no claim shall be entertained on such rejected tenders.

(b) The unsuccessful bidders will be refunded the EMD amount by way of

crossed cheque within 15 days of finalisation of the tender.

(c) The EMD of the successful bidders (the Contractor) shall either be adjusted as a part of security deposit, if desired by the contractor or shall be refunded by way of crossed cheque on receipt of security deposit amount as stipulated in clause No. 8.

2. SECURITY DEPOSIT

(a) The successful bidder shall pay security deposit @ 5% of the total contract value in the following manner.

i. 2.5% of the total contract value of the entire four year period in the form

of a Crossed Demand Draft in favour of GMDC payable at Ahmedabad or a Bank Guarantee, from any Nationalised Bank or IDBI, HDFC, ICICI, Axis Banks, in the form and manner acceptable to the corporation for a period of one year before commencement of the contract work which will be extended on an yearly basis till the end of the contract period.

ii. In case of Bank Guarantee, before one months of its expiry, the same

shall have to be renewed for a further period of one year. Similarly, this practice shall have to be followed prior to expiry period every year. However, for the last year, irrespective of contract expiring in any month,


the renewal period of Bank Guarantee shall be made valid till six months after expiry of contract period.

iii. The balance 2.5 % amount will be recovered from contractor’s Running Account Bills by deducting it at a rate of 5% of RA bill amount and built up till the full amount of SD is realised.

b) However, if the amount of the total work done exceeds the total contract

value, deduction against SD will be continued @ 5% of the bill amount, till the currency of the contract period / extended period, to match with the value of excess quantity.

c) It shall be refunded to the Contractor, within a period of three months

after satisfactory completion of the work and removal of equipment, tools tackles, campsite etc, and the due fulfillment of all the terms and conditions of the contract. The Contractor shall obtain “No Dues Certificate” and “ Site Clearance “ certificate to this effect from the General Manager [Project] / Project-in-Charge and shall submit the same to the General Manager [Lignite Project] at HO, who after verification of the fact will arrange for refund of SD.

The contractor will also have to submit “NO DEMAND CERTIFICATE” along with the above mentioned certificate as per the Performa given in the tender document.

d) Security deposit shall not bear any interest under any circumstances. e) The SD deposited by the Contractor will be forfeited if the contractor fails to

i) Mobilise its machinery and manpower to start the work within 20 days of receipt of Letter of Intent by the employer.

ii) Maintain all mine design parameters as enumerated in Chapter-V part-II clause no-8.

f) GMDC will reserve the right to recover the charges or the penalty from

the Security Deposit in the following circumstances-

i. If the contractor or its employees causes any damage or destroy any property belonging to GMDC.

ii. The shortfall amount of all compensations, penalties and other

sums of money payable by the contractor or recoveries to be made under the terms of this contract which is due but not paid by the contractor in full, etc.


3. RUNNING ACCOUNT BILLS:

a) The Bidder shall submit monthly Running account bills for the work executed during the period (a calendar month or a period not less than 30 days) within 7 days of the completion of the period. Running Account Bill will be inclusive of the charges for the Lignite Dispatched in MT, Lime stone Dispatched in MT, Transportation of Lignite, Lime stone & Ash in MT works carried out by the bidder.

(b) Monthly payment for each item/work should be (i) Payment for the item no-1 mentioned in clause no-7.a.1 of

chapter-II (Lignite Dispatched in MT) for monthly running account bill shall be Considered on the cumulative performance basis as per formula given below.

Net amount payable for Monthly Running bill = Cumulative Payment of Lignite Dispatched up to current month – Cumulative Payment of Lignite Dispatched of last month. (ii) Payment for the item no-2 to 7 (mentioned in clause no-7.a. 2 to 7

of chapter-II) for monthly running account bill shall be considered as per actual item/work carried out and rate quoted.

(c) Monthly Running Account Bill shall be submitted to the office of the

General Manager (project) with following documents: i. OB/IB removal work: -Detailed measurement & computation

sheets, plans and cross sections indicating the ground levels and the working levels duly certified by the Mines Surveyor for the OB / IB work carried under, to establish the desired stripping ratio.

ii. Excavation & Loading Of Lignite, Lime stone:- Date and shift wise weighbridge statement duly certified by authorized official, showing numbers of dumpers/trucks loaded by the contractor during the period along with tonnage of lignite & lime stone excavated & loaded, with a summery sheet showing total tonnages of lignite & lime stone excavated & loaded during the R.A Bill


period and summery sheet showing cumulative tonnages of lignite & lime stone excavated & loaded up to the R.A Bill period.

iii. Transportation of Lignite, Lime Stone and Ash: - Detailed Measurement sheets for transportation, weighbridge records showing total tonnages for transportation of Lignite, Lime stone and excavation, Loading & transportation of Ash duly certified by the concerned Engineer at Mines/ Both Power stations sites separately.

iv. Rate of the each item/work may vary particularly for the running bill period if there is any change in the rate of diesel as per formula mention in the clause no- 11.b of chapter-I.

v. Period of R.A. Bill shall be same for all works. iv. Copies of Muster Roll and Payment sheets showing the amount of

PF deducted from salaries of the labour and employees, PF No. of labour and employee, amount of contribution of the contractor.

v. Copy of the challans for the PF amount deposited in RPFC for the previous month, in respect of PF deduction related exclusively to this contract as well as copies of monthly returns i.e. 3, 3A and yearly 6,6A

vi. No Due Certificate and satisfactory work performance report. vii. Check List from Finance Department. viii. Compliance of law under Labour, Mining and Factories Act.

4. ACTUAL QUANTITY OF LIGNITE AT END OF CONTRACT:

i. At the end of contract period, if the actual quantity of lignite available in the proposed working area is more then estimated quantity of lignite (i.e. 144 Lac MT), successful bidder shall be allowed to dispatch the excess quantity of lignite up to 5% of 144 Lac MT (i.e. 7.20 Lac MT). Payment for excess quantity of lignite shall be done as per the formula mentioned in the clause 3.b.i of chapter-VI, In addition to this payment, 10% premium on excess quantity of lignite dispatch (maximum up to 7.20 Lac MT) at the quoted rate of lignite dispatch shall be paid to successful bidder. This will ensure the mineral conservation, but bidder shall also be responsible for maintaining quality of lignite to be supplied to both the power plants, so quality of lignite shall be acceptable to both power plants.

ii. At the end of contract period, if the actual quantity of lignite available in

the proposed working area is less then estimated quantity of lignite (i.e. 144 Lac MT), Payment shall be done as per the formula mentioned in the clause 3.b.i of chapter-VI,

iii. At the end of contract period, if the actual quantity of lignite available and

OB/IB carried out in the proposed working area varies from the estimated quantity of both lignite and OB/IB, the payment shall be done as per the formula mentioned in the clause 3.b.i of chapter-VI,


5. MODE OF PAYMENT: The Running Account bills, submitted at the office of General Manager (Project)

will be processed there considering following deductions. a) Income tax as per provision of Income Tax Act, and other Taxes (and

surcharges) applicable in force from time to time b) Security Deposit @ 2.5% of the gross amount of the RA bill as per clause

No.2,

c) Cost of any other services provided / material supplied plus 10% Service charge, if any, by the Corporation,

d) Penalty leviable as per clause No.8., e) Other deductions, if any.

An ad-hoc payment @ 80% of the net payable amount arrived after considering these deduction, will be paid by office of the G.M. [Project], within 7 days of submission of the bill along with its details.

The bill shall then be sent to GMDC’s HO at Ahmedabad for verification auditing and approval. Balance 20% payable amount of Running account bills shall become payable by Project only within one week of the receipt of the approved bill from HO. [within one and a half month of the first receipt of the RA bill at the Project.]

6. MINIMUM LIGNITE STOCK

Minimum stocks of lignite about ONE month consumption of both power plants shall be maintain at each power plants sites. The stock lignite at the designated place at the power plant shall be calculated on the basis of weighment record of dumpers/trucks received from both weighbridges at mines and power plant.

7. LOCAL FACILITIES / LOCAL CONDITIONS

a) The GMDC do not undertake and agree to provide any facilities to the successful Bidder at the work site.

b) I) A single point Three Phase Electricity supply (with metering

arrangements) may be made available by GMDC at Bidder’s camp / workshop, if located within the mining lease area and/or the land acquired by the GMDC. Further distribution of power will have to be arranged by Bidder at its own risk and cost. Power consumed will be metered and charged at the prevailing rate of GSECL plus 5% administrative charges. However, the Bidder will be free to make its own independent arrangements. If the Contractor changes the location of its campsite or workshop,


shifting of the supply / metering point will made only if the Contractor agrees to bear the additional cost likely to be incurred.

ii) A single point Three Phase electricity supply will be made by

GMDC at the area of excavation in the mine and dumps for mine lighting. The location may be shifted with the advance of the mining pit, not more than once in a year. Necessary further distribution to ensure required illumination over the area would have to be made by the Bidder at his risk and cost. The bidder shall ensure that all safety devices, as stipulated in the Indian Electricity Rules are provided and are always in operation, while organizing distribution of power. However, power supply for this purpose will be made free of cost.

c) The tools, tackles, machinery, equipment, pump etc. and the manpower required to execute the contract shall be arranged by the Bidder only. The Contractor shall at his own expense, furnish all necessary erection tools, hoists, cranes, derricks cables and slings rigging, skids, welding machines, preheating and stress relieving equipment all associated protective equipment, instruments, appliances, materials and supplies required for unloading handling, transporting, that may be required to accomplish the work under contract unless otherwise provided for. Adequacy of such will be subject to final determination of GMDC.

d) The Contractor shall bear and pay all charges on all construction tools and

equipment furnished by him. 8. STATUTORY OBLIGATIONS:

a) The removal of Overburden/ earth excavation shall have to be done by the selected bidder by preparing benches, from top to bottom, as per provisions of the Mines Act/Rules/Regulations and orders made there under & in force from time to time, by deploying mechanical equipment viz. Hydraulic excavators / shovels, dumpers, Dozers etc.

b) The Bidder shall be responsible for arranging requisite manpower, its

training and medical examination and shall also fulfill the provisions of Mining and Labour laws, PF Act and Rules, Contract Labour Laws, The workmen compensation Act etc., pertaining to employment of labour and other statutes in force from time to time.

c) The selected Bidder will be required to obtain License from the A.L.C.

Adipur for the required strength of labour, before commencement of work at site and the same shall be maintained updated and valid throughout the currency of the contract.

d) If any amount becomes payable by GMDC as a result of any claim or

application in terms of the provisions or non compliance of provision of the any Acts and the Rules and Regulations, By-laws or the Orders made there under, applicable from time to time, such amounts shall be


recoverable from the bidder for which GMDC will not be responsible for any compensation.

e) The selected Bidder shall also indemnify the GMDC against any claims, compensations, damages, loss, penalty etc. for breach and / or non-fulfillment of the prevailing Rules and Regulations and other statutory provisions in force from time to time and applicable to the work during the currency of contract.

f) The contractor will provide air-conditioners in the operators’ cabin at his

cost and risk. Any failure will be dealt with as per the clause 6(d) above. 9. LAWS, REGULATIONS AND PERMITS AND RULES MADE THERE UNDER: The Contractor shall comply with all applicable laws, ordinances, approved

standards, rules and regulations, and shall procure all necessary municipal and governmental permits, licenses and inspection and shall pay all fees and charges in connection with the items covered by the contract and/or purchase order. The Contractor shall save GMDC harmless as a result of any in factions thereof.

The following are some of the major Government of India Acts and Regulations

concerning approvals of new plants and machinery: (a) The Indian Explosives Act of 1884 (4 of 1884) and Amendments and Rules

(Amended upto date) (b) The Indian Factories Act of 1948 (63 to 1948) and Amendments and Rules

(Amended upto date) (c) The Mines Act, 1952, its rules and regulations. (d) The Workmen Compensation Act. (e) The Payment of Wages Act. (f) Payment of Bonus Act. (g) Contract Labour Regulations& Abolition Act 1970. (h) Interstate Migrant Workmen (Regulations) Act. 10. NOTICE: Written notice shall be deemed to have been duly served if delivered to the

individual or to Contractor or to the Signing Authority of the corporation from whom it is intended, or if delivered at or sent by mail, telegraph or cable, to the last business address known to him who gives the notice.


11. BANKRUPTCY ETC.

(a) If the Contractor commits an act of Bankruptcy or goes into liquidation except for construction purposes, or if its business is carried on by a receiver, such receiver, liquidator or any person in whom the contract may become vested shall forthwith give notice thereof in writing to GMDC and shall for 15 days, during which he shall take all reasonable steps to prevent stoppage of performance of the contract, have the option of carrying out the contract subject to his or their providing such guarantees as may be required by GMDC but not exceeding the value of the work for the time being remaining unexecuted.

(b) In the event of stoppage of performance under the contract, the period of

option under this clause shall be fourteen days only, provided that should the above option not be exercised, GMDC may terminate the contract by notice in writing to the Contractor. The power and provision so reserved to GMDC on taking of the work out of the Contractor’s hands shall apply as far as they may be when the contract is so terminated.

12. CANVASSING NOT PERMITTED:

Tenderer should not canvass their offer personally or otherwise by approaching the Chairman or the Member of GMDC. If any tenderer wants to make any representation regarding his offer, he should write to the General Manager (P, R&D) with copies to the Chairman and Members, if he desires, but personal and oral representation are not permitted. If, in spite of the above clear instructions, any tenderer is found to canvass his offer or against his competitor’s offer through personal approach to the Chairman or the members of GMDC, his offer will be rejected without assigning any reason and the firm even be black listed.

13. TERMINATION OF CONTRACT:

If at any time during the currency of this contract, if any breach occurs due to the fault of the Contractor, GMDC shall be at liberty to terminate this contract without assigning any reasons, whatsoever, for such termination and any losses and/or damages occurring due to such termination shall be borne by the Contractor.

14. ARBITRATION

“All questions, disputes, differences, whatsoever, which may at any time arise between the parties to this contract in connection with the contract or any matter arising out of or in relation thereto, shall be referred to Arbitration as per the provisions of Arbitration and Reconciliation Act,. 1996 and the venue of arbitration proceedings shall be at Ahmedabad.


15. INSURANCE:

(a) The Contractor shall make suitable insurance arrangements to cover the equipment to be provided under this contract. Suitable storage-cum-erection insurance will insure the works against destruction, loss by theft, or damage, in transit or otherwise, or by fire, flood under exposure to the weather or through riot, civil commotion, for the full value thereof until take over.

(b) Contractor shall provide and maintain until the works under the contract are

completed and accepted by GMDC, insurance coverage as specified hereunder.

(i) Workmen’s Compensation and Road Vehicle Third Party Insurance (ii) Third Party Liability and Property Damage Insurance for amount

specified by GMDC. Such insurance shall be affected with an Indian insurer and in terms

acceptable to GMDC. Contractor when requested by GMDC shall produce receipts for current premium thereunder. If the Contractor fails to effects such insurance, GMDC may effect and keep such insurance and deduct the cost thereof from moneys due to contractor or recover same as a debit from the Contractor.

(c ) Contractor shall not commence any work at site until insurance as

specified has been effected.

16. TRAVELING, LIVING AND OTHER EXPENSES : If the Contractor is required to perform complete works, the Contract price shall include all salaries, and wages, all traveling time and expenses, boarding and lodging allowance and medical expenses of all personnel furnished by the Contractor and all payments which the Contractor may have to make in relation to the work, to the labourers and other personnel employed. Further the contract price shall include all taxes and liability in respect of workmen’s Compensation Act, Employee State Insurance Act and Employees Provident Fund Act, as specified in clause 24 herein.

17. MEASUREMENTS

OB/IB removal work: - Measurements of OB / IB work shall be made using Total Survey Stations and / or Digital auto levels. The field readings shall be directly transferred to computer software for computation of volumes and preparation of plans and sections. Datamine or any other suitable software shall be used for this purpose, Measurement of OB / IB work carried out to establish the desired stripping ratio An authorized representative of the bidder shall remain present at the time of field measurement and computation work and will also certify the same.


The measurement and the computations provided by the Management shall be final and binding to the bidder.

Excavation and/or Loading Of Lignite, Lime stone: - Date and shift wise weighbridge statement duly certified by authorized official, showing numbers of dumpers/trucks loaded by the contractor during the period along with tonnage of lignite & Lime stone excavated & loaded, with a summery sheet showing total tonnages of lignite & Lime stone excavated & loaded during the R.A Bill period and summery sheet showing cumulative tonnages of lignite & lime stone excavated & loaded up to the R.A Bill period.

Transportation of Lignite, Lime Stone and Ash: - Detailed measurement Sheets for transportation, weighbridge records showing total tonnages for transportation of Lignite, Lime stone and excavation, Loading & Transportation of Ash duly certified by the concerned Engineer at Mines/ Both

Power stations sites separately.

18. LIQUIDATED DAMAGES (L.D.)

a) If the Contractor fails to commence the work within 20 days of issue of the letter of Intent, as required under Chapter- II, clause No. 7 & 8, a penalty @ Rs. 15000/- per day shall be leviable, for a maximum period of 20 days. If the contractor fails to start work even after 20 days, the GMDC will be free to forfeit the EMD and take action stipulated under Clause No. 9. The liquidated damages will be shall be recovered from the concerned monthly RA Bill.

b) The obligation to strictly comply with the specified monthly quantity

indicated by the project office is fundamental requirement and obligation of the bidder.

c) The GMDC reserves right to terminate the contract and get the balance work completed at the cost and risk of the bidder if cumulative short fall is found more than 20% for three consecutive months/ RA bill period.

d) LD at the rate of 5% of prevailing basic selling price shall also be leviable every month on any shortfall in the quantities of lignite dispatched against monthly-targeted quantity of lignite, for the reasons not attributed to GMDC. Shortfall in the targeted quantity shall be reviewed on cumulative target basis at the end of each year so that the bidder can recoup and recover the shortfall of the year and the excess LD recovered will be refunded. However, shortfall or excess quantity for the year will not have any bearing with the succeeding year.


e) In case of failure of monsoon or a poor monsoon, the contractor shall be

at liberty to cover up the backlog of lignite exposure work, if any and also to carry out extra lignite production during such monsoon period.

f) If due to any reasons attributable to GMDC or not attributed to the

Contractor, like inadequate booking of dispatches etc., no liquidated damages will be levied. Such quantities shall be set off against annual shortfall, if any, as compensation to the contractor.

Monthly target will be reduced as and when demand of power plants

varies from the schedule target for the calculation of liquidated damages only on the submission of certificates from the Mines Manager/ Power plant engineer. Similarly any stoppage of work for any reason not attributed to the contractor no LD will be levied.

Monthly target will be reduced proportionately for the calculation of

liquidated damages only on the submission of certificates from the Mines Manager for the actual rainy days and its after-effect during which no lignite dispatches could be made by the Contractor due to rainy/ slippery day during monsoon and other period, However bidder has to maintained minimum stock of lignite at both power plants.

However, all such shortfalls shall not reduce the annual target, which the contractor will be required to achieve by increasing the lignite dispatches in subsequent period of that particular year. Under any such circumstances GMDC shall not be liable to pay any compensation to the contractor.

g) In case of any shortfall for meeting the minimum requirement on monthly target basis for the transportation of Lignite, Lime stone and Ash at ATPS, Chher and KLTPS, Panandhro, the penalty shall be applied by the Owner as indicated below :-

5% Shortfall of monthly target - NIL

5% to 10% Shortfall of monthly target - 1 % of Contractual Value on monthly basis

10% to 20% Shortfall of monthly target - 2 % of the Contractual Value on monthly basis

20% Shortfall & Beyond of monthly target - 5 % of the Contractual Value on monthly basis

GMDC shall have the right to reduce the target within 7 days notice period.

The contractual value means the value of the contract computed on yearly basis of each item/work separately.

19. NO COMPENSATION FOR LAPSED QUANTITY ON TRANSPORTATION OF

LIGNITE, LIMESTONER AND ASH SHALL BE GIVEN.


20. NON FULFILMENT OF TERMS AND CONDITION OF THE CONTRACT.

a) If the Contractor fails to carry out the work as per terms and conditions of the contract to the satisfaction of the GMDC, GMDC shall be entitled to forfeit the security deposit paid by the Contractor. This however, shall not absolve the Contractor from his obligation to fulfill the contract. In such event, the GMDC shall have a right to complete and / or to get the work completed at the cost & risk of the Contractor and the Contractor shall be responsible to pay such cost incurred by the GMDC to complete the work and / or to get the work completed.

b) Likewise, if the Contractor does not fulfil the terms and conditions of the

contract and does not carry out the work up to the entire satisfaction of GMDC, GMDC has the right to forthwith terminate the contract at its sole discretion, without assigning any reason, Under such events, the GMDC shall be entitled to forfeit the security deposit paid by the Contractor and the GMDC shall have a right to complete the work and / or to get the work completed at the risk and cost of the Contractor.

c) For any reasons, if it is required, the GMDC reserves right to cancel,

terminate, amend and / or alter the contract and / or bifurcate and / or reduce the contract work at any time without giving any notice or reason to the Contractor and without incurring any responsibility. For such cases, Contractor shall have to take away his labour, tools, tackles, machinery, equipment etc. and shall leave the site at once or shall have to carry out the instructions of the GMDC.

21. ACCIDENT ETC. AND RESPONCIBILITIES OF CONTRACTOR a) The entire responsibility on account of any accidents, damage or

personal injury which may occurred to any of the contractor’s vehicles/ equipments or his/its employees or any out side party shall be exclusively that of the contractor and no claim whatsoever shall be entertain by the GMDC on this account. The contactor shall keep the GMDC indemnified from all the such consequence.

b) In the event of any breakdown or accident during the course of any operation, the contractor shall notify the facts to the Mine Manger, Engineer-In-charge or his otherwise officer immediately of such incidence and shall simultaneously make adequate remedial arrangements on his/its own cost and risk and as per the instruction of the Engineer-in-charge/Mine Manager.

c) The contractor shall pay all climes, damages and compensation with cost arising out of or resulting there from to the third party(s) and in case the GMDC would be required to face any proceedings all to pay any amount on the aforesaid account, it shall be deemed to have been discharge on behalf of the contractor, the same amount shall be recovered from the contractor bill or dues pending towards GMDC.


22. GENERAL CONDITONS

a) As per the provision of mines V.T. Rules, all workers proposed to be employed by the Contractor, will have to be trained before employment at recognised / approved VT Centre.

b) The appointment/ authorization of all officials and competent persons viz.

Second class Manager, Engineer, Overmen/Foremen, Mining Sirdars/Mates. Operators, Drivers, Spotters, Electrician, Mechanics etc. shall be issued with intimation to and through the Mines Manager of GMDC.

c) Medical examination of all persons to be employed by the Contractor in the

mine will have to be conducted and it shall be arranged through GMDC’S own Medical Officer or a Doctor on its approved panel.

d) All the equipment proposed to be used in the mines shall be physically

examined by GMDC’s Engineers for verifying its use-worthiness in the mines.

e) All the persons of the Contractor engaged inside the mining area must wear

Helmet and Shoes. As and when required other personal protective wears shall also be provided to them.

f) The contractor shall take adequate statutorily prescribed insurance cover

for all men and machinery engaged by him/it for performance of the work at site. Any insurance claim brought against the Company by an individual or by customers or by any such other persons who suffered damage due to negligence of the contractor or his sub-contractor or his employees / Agent, the same shall be settled by the contractor at his cost.

g) The Contractor has to ensure supervision of the work through duly qualified

and competent persons and also has to make sure that a responsible Manager/ Engineer is full time available on work site to whom GMDC can issue the instruction and who can fulfill such instructions.

h) Contractor shall appoint statutorily qualified persons. i) The Contractor shall not change the constitution of the company/ firm

during the currency of the contract. j) All the staff members of the Contractor shall carry Photo Identity Card

while on duty.

k) Contractor shall have to work in three shifts and by three different relays. The time of commencement of work and of the end of the work for each relay will be in accordance with the timings of GMDC’s own workings. Duration of each shift will be Eight hours, with atleast half-an hour rest interval in between. There will be no work on weekly days of rest and on paid/public holidays.


l) All the equipment to be deployed by the Contractor must be maintained in proper working order and be fitted with all the required safety devices enforced by DGMS under Mines Act e.g. Audio Visual Alarms, fire extinguisher etc.

m) For any dispute arising out of this Work Order or interpretation of any

terms thereof, the decision of the Committee consisting of concerned Project Head (currently G.M.[LP] at H.O., concerned Head of the Project, and the concerned Divisional Head at HO with the matter under dispute, subject to concurrence of MD GMDC, shall be final and binding upon the tenderer.

n) In case of any Central/State Government directives regarding mining

operation / and execution of work related thereto, the same shall have to be strictly adhered to and binding upon the tenderer for implementation, for which GMDC will not be responsible for any compensation.

o) The contractor shall abide by the provision of the Motor Vehicle Act for all

his tyre mounted machinery. Any consequences arising out of non-compliance of said Provisions will be at the tendered sole risk and cost, for which GMDC will not be responsible for any compensation.

23. APPLIATION FOR COMPLETION CERTIFICATE

When the contractor fulfills all its obligations under the contract to the satisfaction of General Manger (P) and subject to terms and conditions of the contractor, it shall be eligible to apply for completion certificate. The General Manger (P) shall formally issue completion certificate, after verifying from the completion documents and satisfying himself that the work has been completed in accordance with all the provisions of this contract and instructions issued to the contractor by the GMDC and DGMS from time to time. The contractor, after obtaining the completion certificate is eligible to present the final bill for the works executed by him/it under the contract.

24. COMPLETION CERTIFICATE With in completion of the work in all respects as defined in the contractor document, the contractor shall be required to obtain from the General Manager (P) such completion certificates as to the clearing of the areas on the downhill side of site of all rubbish, dirt, rock overburden materials, structures etc.

i. If the contactor fail to comply with the requirement of this clause on or before the date fixed for the completion of the work, the General Manger (P) may at the expenses of the contractor carry out such work and the contractor shall forth with pay the amount of all such expenses so incurred and shall have no claim in respect of any such work.

ii. For purpose of this clause the following documents are required by the GMDC subject to the conditions that General Manger (P) for his satisfaction.


a. Certificate of the total quantity of OB/IB, Lignite & Lime stone dispatched, Transportation and unload of Lignite, Lime stone and Ash.

b. A certificate to the effect that no outstanding claim/payments are due to the persons employed by the contractor or his sub-contractor, if permitted by GMDC including the Statutory payments, which have fallen due.

c. A no claim, no dues certificate. d. Proof of depositing P.F.

25. FINAL PAYMENT AND RELEASE

Immediately on completion of the work, the contractor shall submit his final bill indicating the gross and net amount payable. On receipt of this, the GMDC shall verify the same, determining the total value of the work done of the contract and after adjusting all the sums already paid to him/it and/due to the company on any account and such further sums as the GMDC is already authorized or required to reserve or retain as per the terms of the contract or otherwise, make over to the contract as his/its final payment.

i. All prior certificates, quantities, claims etc. up on which running account payments may have been made, shall be subject to adjustment in the Final Certificate/ payment.

ii. Final payment including the security deposit, if any, will be released to the contractor only on furnishing the completion certificate by him/it within one month.

26. DISPUTES & LEGAL JURISDICTION

Matter relating to any dispute or difference arising out of this tender and subsequent contract award based on the bid shall be subject to the exclusive jurisdiction of Ahmedabad court only.

27. PROVISION FOR CANCELLATION:

At any time after the execution of the Contract, GMDC shall have the absolute right to cancel the entire Contract upon payment to the Contractor for all expenses which the Contractor has incurred or become liable for prior to date of notice of cancellation provided however that the total payment so made shall not exceed the Contract Price. If the Contractor shall become insolvent or shall be adjudged bankrupt or shall make any assignment for the benefit of his creditor or if a receiver of his property shall be appointed, then in any such event GMDC may without prejudice to any other right or remedy, terminate the Contract and may enter upon the premises and take possession of all materials, tools and appliances thereon and finish the work by whatever method he may deem expedient. In case of such discontinuance of the Contractor, he shall not be entitled to receive any further payment until the work to be performed thereunder shall be


wholly complete, at which time if the unpaid balance of the amount to be paid under the Agreement shall exceed the expenses incurred by GMDC in finishing the work, the difference shall be unpaid by the Contractor shall pay the difference to GMDC.

28. FORCE MAJEURE

Force majeure is here in defined as natural phenomena such as floods, draughts, cyclone, earthquakes and epidemics, declaration of war, accidents etc. In such conditions of force majeure both the parties can claim force majeure but they are obliged to inform the either party within 10 days in writing of the date of commencing and again ending of the force majeure. Under the circumstances of force majeure stated above, the contract terms of quantity and period shall be extended by period equivalent to the loss of time due to force majeure. The decision regarding the occurrence of force majeure to be considered shall be taken jointly by Contractor & GMDC.

Period of such time loss due to force majeure will be considered for reducing the monthly target for calculating the liquidated damages for the respective month in which such force majeure has occurred.
