8. Formation(s) to be nroduced and estimates: All coal seams and associatedstrata below the Tiller seam of coal all as more particularly described in the annexed proposedorder. The estimated total production from subject unit is 125 to 550 MMCF. The estimatedamount of reserves from the subject drilling unit is 125 to 550 MMCF. These figures concerningestimated production and the amount of reserves are, however, estimates only that are not basedupon actual production and should not be relied upon for any purpose. It should not be assumedthat final production before plugging and abandonment will equal estimated reserves.
Estimate of allowable costs: $657,024.00 (Well R(-I) $317,581.00 & R(-1A)$339,443.00) Exhibit C which estimates/reports the costs associated with two fracwells. To the extent additional wells may be required by mine plans in theBuchanan No. I Mine, the costs of any such additional wells as may be permittedby the Division of Gas and Oil, in accordance with the provisions of tj45.1-361.20.C.,Code of Virginia, will not be allocated for frac well production to the
subject unit by the Operator.

This matter came before the Court on the Plaintiffs'or Summary Judgment,
whereupon the Court received the papers submitted by the parties and heard oral argument of
counsel on February 23, 2011. By letter dated May 2, 2011, the Court indicated its ruling,
granting Plaintiffs'otion. Defendant filed a Motion to Reconsider on May 18, 2011, The
issue presented by the Plaintiffs'omplaint and its Motion for Summary Judgement is
whether the Plaintiff oil and gas owners or the defendant coal owner owns the coalbed
methane ("CBM")underlying a certain tract of land in Buchanan County containing 250.22
acres, and generally depicted on the attached Exhibit 1. For good cause shown and for the
reasons stated in the Court's letter of May 2, 2011, which is incorporated by reference as

Exhibit 2, the Court finds that there are no material facts in dispute which would prevent a
ruling as a matter of law in this case, and, accordingly, hereby FINDS AND ORDERS as
follows:
1. Because there are no issues of material fact in dispute regarding the ownership
of the CBM at issue, the Court grants Plaintiffs'otion for Summary Judgment, finding that
the Plaintiffs own the rights to the CBM in that certain tract of land consisting of 250.22
acres, conveyed to Pobst and Combs as Tract 30 in the deed of December 4, 1937,of which
the coal, metals and timber were conveyed as Tract 30 to Levisa by the 1937 Deed and
subsequently conveyed by Levisa to Garden Realty Corporation as Tract 2 in the Garden
Realty Deed. This finding resolves all dispute as to the conflict of ownership of CBM within
such tract and particularly within the portions o'f the units designated under the Oakwood
Field Rules as O(-I), O(-2), P(-1), P(-2), P(-3), Q(-1), Q(-2), R(-I) and R(-2), the "Conflict
Units", that contain portions of such tract.
2. The Court ORDERS that the Plaintiffs shall receive their proportionate share
of royalties associated with gas (including CBM) production from the 250.22 acre tract,
including those now in escrow (including present and future conflicts between Plaintiffs and
Garden Realty Corporation as to the Conflict Units); and that CNX Gas Company, LLC, the
operator of the gas wells in these Conflict Units, is required within thirty days of notification
of this Court's decision to file with the Virginia Gas and Oil Board a petition to disburse from
escrow account to Plaintiffs all principal and accrued interest associated with the gas
(including CBM) produced from or attributed to the 250.22 acre tract at issue. To the extent
that CNX Gas Company, LLC has not escrowed royalties associated with Plaintiffs'nterests

in these Conflict Units but has instead otherwise paid them or placed them in some other
suspense account, CNX Gas Company, LLC is ordered to pay such amounts to Plaintiffs
within thirty days of receipt of this Order.
3. The Motion to Reconsider by Garden Realty Corporation is denied for the
reasons stated in this Court's letter of October 20, 2011, which is incorporated by reference as
Exhibit 3. The issues raised in such motion relate largely to a claim of trespass which is not
presented by Plaintiffs'otion or by any counterclaim by Defendant. Objections to CBM
wells by coal owners are governed by Va. Code 5 45.1-361.1,et seq., and the procedures and
regulations promulgated thereunder. The validity of any objection by the coal owner to well
permits or pooling orders does not alter the determination of ownership as between identified
conflicting claimants.
4. The Court retains jurisdiction over this matter until Plaintiffs'ave received all
escrowed, suspended, or unpaid but earned royalties as ordered herein.
5. The Clerk is directed to forward attested copies of this Order to all counsel of
record.

I. Garden Realty objects to g 2 of the Order which directs the distribution of royalties now
escrowed with the Virginia Gas and Oil Board prior to the date on which the Defendant is
entitled to file a notice of appeal with the Virginia Supreme Court.
2. Garden Realty objects to the Order*s conclusion that the Pobst - Levisa Coal and Levisa
Coal - Garden Realty deeds which contained inconsistent grants and were executed by
the same individuals who were or controlled the grantors in both deeds were found not to
create an ambiguity.
3. Garden Realty objects to the Order's conclusion that the grantors under the Pobst - Levisa
Coal deed retained the coalbed methane (CBM) when they deeded the coal and others
substances to Levisa Coal.
4. Garden Realty objects to the Order's conclusion that the grantors under the Pobst-
Levisa Coal and Levisa Coal —Garden Realty deeds, who were shown to be sophisticated
lawyers and businessmen in their era, intentionally retained CBM under their deed to
. Levisa Coal when the CBM was known to be a hazard and liability.
5. Garden Realty objects to the Order's conclusion that the grantors under the Pobst-

authorize another person, CNX Gas which operates the CBM wells at issue in the case, to
fracture Garden Realty's coal seam without establishing the legal source of that right.

Judgment.
L Facts
The current dispute is the result of the extraction of CBM from a 250.22-acre tractof land (Subject Property). The Defendant in this case owns the coal estate. ThePlaintiffs in this case assert that they are the owners of all oil and gas located in or uponthe Subject Property. Prior to this action, the coal estate of the Subject Property wassevered and conveyed to the Defendant by deed.
Pursuant to separate agreements with the Plaintiffs and the Defendant, CNX Gas,LLC is extracting CBM &om the Subject Property. As part of this proces, CNX Gas hasphysically stimulated the coal seam by a method known as factoring. Fracturing of thecoal seam results in CBM collecting within gas wells. CNX Gas has declared that thereare conflicting ownership claims to the CBM located under the Subject Property, andtherefore, to the gas royalties generated by the wells. These royalties have beendeposited into an escrow account, in accordance with Virginia law, until the ownershipissue is resolved.
A. The Deeds
There are three consecutive severance deeds, all involving the Subject Property,that are pertinent to the present case. First, a deed executed on December 4, 1937(Prater-Pobst Deed), in which the Prater Land Company conveyed certain property rightsto F H. Combs and JL Claude Pobst. (Ex. C to Compl.). Second, a deed executed onDecember 28, 1937(Pobst-Levisa Deed), in which H. Claude Pobst, Mary Alice Pobst,F.H. Combs, and Harriet R. Combs conveyed certain pmperty rights to Levisa CoalCorporation. (Ex.D to Compl.). Third, a deed executed on January 8, 1941 (Levisa-Garden Deed), in which Levisa Coal conveyed certain property rights to the Defendant.
(Ex.E to Compl.). An analysis of the explicit language contained within these threeseverance deeds is necessary to determine the ultimate outcome of this case.
The language of the Prater-Pobst Deed grants and conveys to F.H. Combs and H.Claude Pobst, "all of the coal, oil, and gas as well as all such other minerals, metal and
timber as the party of the first part may own or be entitled to in or upon the landshereinafter identified." (Ex. C to Compl.). The Prater-Pobst Deed subsequently identifiesthe Subject Property. Id.
The language of the Pobst-Levisa Deed grants and conveys to Levisa Coal, "all ofthe coal, metals, and timbers, together with all rights, pfivileges and easements incidentthereto, in, or under the following described parcels of land...." (Ex. D to Compl.). ThePobst-Levisa Deed subsequently describes the Subject Property. Id.

The language of Deed C grants and conveys to the Defendant, "all of the coal,metals, and timber and other substances snd all rights, privileges and easements... on orunder" the Subject Property. (Ex. E to Compl.).
In sum, the Prater-Pobst Deed explicitly conveys the rights to coal, oil, gas,minerals, metals, and timber in or upon the Subject Property. The Pobst-Levisa Deedexplicitly conveys the rights to coal, metals, and timber in or under the Subject Property.The Levisa-Garden Deed explicitly conveys the rights to coal, metals, and timber andother substances on or under the Subject Property.
Accordingly, when the Pobst-Levisa Deed was executed, it did not include therights to oil, gas, or minerals, as the Prater-Pobst Deed had explicitly included. Indeed,the Pobst-Levisa Deed contains a narrower conveyance than the Prater-Pobst Deed.
B. The Pobst and Combs Transfers
By deed dated April 23, 1947, H. Claude Pobst and Mary Alice Pobst conveyed"all of the oil and gas in, on and under" their undivided one-half interest in the SubjectProperty to their children, John W. Pobst, Nancy S.Ellis and W. Kent Pobst. (Ex. F toCompl.). The Plaintiffs, Richard K. Pobst, Nancy C. Pobst, John W. Pobst, Jr., VirginiaLee Linwick, and Meredith Ellis Jennings are the heirs and successors of the children ofH. Claude Pobst and Mary Alice Pobst.
F.H. Combs died in 1956, leaving two descendents, C.H. Combs and HelenCombs Johnson. The will of F.H. Combs is recorded in the Clerk's ofhce of the CircuitCourt of Buchanan County at Will Book 2, Page 554. C.H. Combs and Helen CombsJohnson each inherited a one-half interest ofF.H. Combs one.half interest in the SubjectProperty. The Plaintillh, Caml C. Irvin, Ma'itha E. Combs, Frederick Harmon Combs H
Testamentary Trust, Ke'lly Combs Necessary., Trustee, and Fairview Limited Partnershipare the heirs and successors of the children of F.H. Comb and Harriet R. Combs.
Accordingly, each Plaintiff asserts the fbllowing ownership interest in the gas andoil rights of the Subject Property:

This ownership ratio of tbe gas and oil rights of the Subject Property is not indispute. (Def.'s Answer 14-15).
II. Applicable Law
A. Harrison-Wyatt
In Harnson-Wyatt v Ratltff, 267 Va. 549 S.E.2d 234 (2004), the Supreme Court ofVirginia heard an appeal of a Buchanan County Circuit Court ruling involving a similarset of facts as those in the present case. In that case, Ratliff and others ovmed the surfaceand all minerals located upon and within the relevant property, except the coal. Id. at550. Through a series 'of severance deeds, Harrison-Wyatt, LLC became the eventualowner of the coal estate. Id. The issue in Harrison- Wyatt was whether title to the CBMpassed with the severance of the coal estate. Id. Harrison-Wyatt contended that theowner of the coal estate was also the owner of the CBM. Id. The surface owners filedfor declaratory judgment asking the Court to determine the owner of the CBM. Id. TbeCircuit Court entered judgment in favor of the surface owner and the Supreme Court ofVirginia affirmed. Id. at 557.
In deciding Harrison-Wyatt, the Circuit Court examined the language of theconcerned severance deeds and the definition of coal at the relevant time period. Id. at553. From this examination, the Circuit Court determined that CBM is not a chemicalconstituent of coal and is a severable estate. Id. Accordingly, the Circuit Courtdetermined that, "the grant of coal rights does not include rights to CBM absent anexpress grant of coalbed methane, natural gas, or minerals in general." Id. Therefore, inthe event that a grantor executes a severance deed conveying the coal estate to a grantee,the grantor retains the CBM absent an express grant of CBM, natural gas, or minerals ingeneraL
B. Virginia Code tj 45.1-361.21:1.
Subsequent to the Supreme Court of Virginia's decision in Harnson-Wyatt, theVirginia Legislature enacted Virginia Code $ 45.1-361,21:1.This portion of the Codeserves to codify the decision of Harrison-Wyatt and states, in part, "a conveyance,reservation, or exception of coal shall not be deemed to include coalbed methane gas...."Va. Code Ann. ti 45.1-361.21:1.
HI. Discussion
A. PlamtifPs Argument
In resolving the ultimate issue of this case, the Plaintiffs would have the courtadopt tbe following reasoning: (I) the Pobst-Levisa Deed did not make an express grant

Whiteseil, Esq.5/2/2011Page 5 of 7of coalbed methane, natural gas, or minerals in general; (2) without such an expressgrant, the rights to CBM did not pass to Levisa Coal through the execution of the Pobst-Levisa Deed; {3)therefore, Levisa Coal could not subsequently convey the CBM to theDefendant in the Levisa-Garden Deed; and (4) consequently, the named heirs andsuccessors of H. Claude Pobst and F.H. Combs own the CBM.
B. Defendant's Argument
The Defendant objects to this line of reasoning on two grounds.
First, the Defendant proposes that Harrison- Wyatt does not result in the inflexiblerule that a grant of coal rights does not include rights to CBIvl absent express language inthe conveyance. Rather, the Defendant views Harrison-Wyatt as a guide for Courts toexamine what has been conveyed in a deed. Specifically, the Defendant notes that in theCircuit Court's Letter Opinion, when interpreting the terms of the severance deedsspecific to Harrison- Wyatt, it stated, "the Court is left with no alternative but to examinethe terms used in light of the common understandings, along with other facts andcircumstances, during that time period.*'Op. at 5) In light of this statement, theDefendant argues that it was the intent of the parties to include a conveyance of the CBMupon the execution of the Levisa-Garden Deed.
In support of this, the Defendant points to the words "other substances" found inthe Levisa-Garden Deed. {Ex.E to Compl.). In oral argument, Counsel for theDefendant asserted that the term "other substances" includes CBM. In his written brief,Counsel for Defendant presents several well-conceived reasons as to why "othersubstances*'as intended to include CBM.
However, this argument cannot overcome fact that a grantor cannot convey whattbe grantor does not own. The Supreme Court of Virginia has held, when construing theterms of a deed:
where the language in the deed... is clear, unambiguous, andexplicit... a court called upon to construe such a deed should look nofurther than the four corners of the instrument under review.Furthermore, if the language is explicit and the intention is therebyfiee fiom doubt, such intention is controlling, if not contrary to law orto public policy, and auxiliary rules of construction should not bcused.
Irby v Roberts, 256 Va. 324, 329 (1998).

The Pobst-Levisa Deed, which was executed in 1937,does not contain an express
grant of coalbed methane, natural gas, or minerals in general. (Ex. D to Compl.)Furthermore, this Court finds that the language used in Pobst-Levisa Deed is clear,
unambiguous, and explicit. As is such, Levisa Coal did not obtain the rights to.the CBMfrom H. Claude Pobst, F.H. Combs, Mary Alice Pobst, and Harriet R Combs.
Consequently, it was impossible for Levisa Coal to subsequently convey those rights tothe Defendant in the Levisa-Garden Deed.
In addition, the Defendant argues that if the Court were to rule in favor of thePlaintiffs, it would be permitting a trespass upon the Defendant's coal seam. This Courtrejects this argument as it did in Harrison-Wyatt. As previously stated:
the surface owner need not trespass on the coal estate to retrieve theCBM because the Court holds that the surface owners'ight to theCBM only extends to that which has separated from the coal. TheCourt does not hold that the surface owners have the right to free thecoal in order to retrieve the CBM...Once the coal is removed, thesurface owners retain the ownership of the resulting void and havefull rights to retrieve the CBM left behind, as well as the rights toprofit f'rom CBM captured during the venting process.
(Op. at 7-8).
IV. Conclusion
Rule I:11of the Supreme Court ofVirginia promulgates the standard forsummary judgment. In part, Rule I:11states, "it must appear from the pleadings, an
order made at a pretrial conference, or an admission in the proceedings, or after the court
has sustained a motion to strike the evidence, that the movant is entitled to judgment.'* ACourt may not grant summary judgment if any material fact is genuiriely in dispute,
Carrrile v Richmond ¹wspapers, 196 Va. I (1954). Furthermore, all reasonable
inferences must be drawn in favor on the non-moving party. Andrews v Ring, 266 Va.311 (2003).
The language of the Pobst-Levisa Deed is clear and unambiguous. It does notcontain an express grant of the gas estate to Levisa Coal. Rather, the Pobst-Levisa Deed
conveys to Levisa Coal, "all the coal, metals, and timber," (Ex. D to Compl.). Stated
earlier, CBM is not conveyed with the coal estate absent express language. Harrison-
Wyatt, 267 Va. at 553. Therefore, H. Claude Pobst, F.H. Combs, Mary Alice Pobst, and
Harriet R. Combs retained ownership of the CBM when they executed the severance deed
to Levisa CoaL As Levisa Coal did not acquire the rights to the CBM in 1937, it was

Levisa-Garden Deed.
There is no genuine issue of material fact before the Court at this time. The soleissue presently before the Court is the application of law to the language of the relevantseverance deeds. As such, after drawing all reasonable inferences in favor of theDefendant, it appears to this Court that the Plaintiff is entitled to summary judgment.The Plaintiffs, in accordance with the interest ratio stated above, are the owners of theCBM located in or upon the Subject Property.
Mr. Sexton is directed to prepare an Order reflecting the findings of this Courtand to forward the same to Mr. Whitesell and Mr. Gardner for endorsement and then tothe Court for entry.

L Facts and Procedural History
On August 19, 2008, the Plaintiffs filed a Complaint for Declaratory Judgment
pursuant to Va. Code Ann. tj 8.01-184.In the Complaint, the Plaintiffs seek thedetermination of ownership over Coalbed Methane Gas (CBM) located within a certaintract of property in Buchanan County, Virginia (Subject Property). On November 29,2010, the Plaintiffs filed a Motion for Summary Judgment. On March 2, 2011 the Courtheld a hearing on the Motion for Summary Judgment and heard Counsel's oralarguments. On May 2, 2011, the Court issued a letter opinion outlining a ruling thatgranted the Plaintiffs'otion for Summary Judgment and directed Counsel for thePlaintiffs to prepare and present an order refiecting the findings of the Court. Before suchan order was presented to the Court, the Defendant filed this Motion for Reconsiderationon May 19, 2011.
In the May 2, 2011 letter opinion, the Court concluded that no genuine issue ofmaterial fact existed as to tbe issue of ownership over the CBM located within theSubject Property and granted the Plaintiffs'otion for Summary Judgment. In arriving atthis conclusion, the Court's main focus was upon the application of relevant law to thelanguage of three sequential deeds involving the Subject Property. The Court determinedfrom the language of the deeds that the Plaintiffs owned the CBM located within theSubject Property.
II. Motion to Reconsider
In Harrison-Wyatt v, Ratltff, 267 Va. 549 (Va. 2004), the Supreme Court ofVirginia stated, "the grant of coal rights does not include rights to CBM absent an expressgrant of coalbed methane, natural gas, or minerals in general." This rule was latercodified by Va. Code Ann. tj 45.1-361.21:1and states, in part, "aconveyance,reservation, or exception of coal shall not be deemed to include coalbed methane gas...."
In the Motion to Reconsider, the Defendant asserts that the Court misapprehends
the precedent set forth in Harrison- Wyatt and broadens the scope of the Supreme Court
of Virginia's decision by: (1) deciding the ownership of the CBM as a matter of law; and
(2) allowing Plaintiffs to trespass on the Defendant's property rights.
First, the Court disagrees that it should reconsider the May 2, 2011 letter opinion
ruling based upon the fact that it decided ownership as a matter of law. Va. Sup. Ct, R.3:20 provides the standard for granting Summary Judgment and allows for such a ruling
only when there is no genuine dispute concerning any material fact. The relevant deeds in
this matter are clear and final on the issue of ownership over the CBM located within theSubject Property. The Plaintiffs own the CBM. Because there is no genuine disputeconcerning the issue of ownership in this declaratory judgment proceeding, summaryjudgment is appropriate.

Second, the Court disagrees that it should reconsider its decision based upon theDefendant's claim that the Court is permitting a trespass on the Defendant's propertyrights. The Defendant vigorously contends that by awarding the Plaintiffs ownership ofthe CBM, the Court is allowing the Plaintiffs to invade the coal seam, property of theDefendant, and is in effect permitting a trespass. The Court's ruling in this matter isconfined to the sole issue of ownership over the CBM located within the SubjectProperty. Any issue of trespass in this matter, while possibly meritorious, is collateral tothe issue of ownership. The law in Virginia is settled on the issue of CBM ownershipwhen there is a conveyance, reservation, or exception of coal. Again, Va. Code Ann. tj
45.1-361.21:Istates, in part, "a conveyance, reservation, or exception of coal shall not bedeemed to include coalbed methane gas...."After applying this rule of law to the relevantdeeds, it is patent that the plaintiffs own the CBM located within the Subject property.
III, Conclusion
It is unequivocally clear from the relevant deeds that the Defendant neverreceived an express grant of coalbed methane, natural gas, or minerals in general in theSubject Property. The Defendant did receive an interest in the coal located within theSubject Property. Consequently, the Plaintiffs own the CBM located in the SubjectProperty. The Complaint for Declaratory Judgment filed in this case seeks to have theCourt determine the ownership of CBM located within the Subject Property. The Courthas determined that the Plaintiffs're the owners of the CBM located within the SubjectProperty. Consequently, the Defendant Garden Realty Corporation's Motion andMemorandum for Reconsideration is denied.
Mr. Sexton is directed to circulate the prepared Order refiecting the findings ofthis Court's letter opinion dated May 2, 2011 to Mr. Whitesell and Mr. Gardner forendorsement and then to the Court for entry.
