The Lqtin Americon Slotes represented of the Ministeriol Meeting convened toestoblish the Lotin Americon Economic System.

WHEREAS:

There is o need to estoblish a permonent system of intro+egionol economic qnd sociolcooperotion, of consulfotion ond coordinotion of the posiiions of Lotin Americo ininternotionol bodies os well os before third countries ond groups of countries;

The present dynomics of inlernotionol relotions ond socio-economic fields olso moke itnecessory thot oll initiotives ond efforfs for coordinoiion omong Lotin Americon countriesbe converted into o permonent system which for fhe firsl time willinclude oll Stotes of theregion ond be responsible for oll ogreements ond principles which up to now hove beenjointly odopted by oll countries of Lotin Americo ond which will ensure theirimplementotion through concerted octions;

This cooperotion must be reolized in the spirit of the Declorotion ond the Progromme ofAction on the Estoblishment of o New Internqtionol Economic Order ond of the Chorterof Economic Rights ond Duties of Stotes, ond in monner consistent with the commitmentsfor integrotion which the mojority of Lotin Americon countries hove ossumed;

It is imperotive to promote greoter unity omong Lotin Americon couniries in order toensure concerted oction in the field of intro+egionol economic ond sociol cooperotion,to increose the borgoining power of the region ond to ensure thot Lotin Americooccupies its rightful position in the internotionolcommunity;

The oction of o permonenl syslem of intro-regionol, coordinotion, consultotion ondcooperotion of Lotin Americo should be corried out on the bosis of the principles ofequolity, sovereignty, independence of Stotes, solidority, non-intervention in internoloffoirs, reciprocol benefits, non-discriminotion, ond full respect for the sociol ondeconomic systems freely chosen by Stotes;

There is o need lo strengthen ond complement the vorious Lotin Americon integrotionprocesses through the joint promotion of specific development progrommes ondprojects;

Consequently, it is odvisoble ond oppropriote to estoblish o regionol body io ochievethese ends, ond In the Ponomo Meeting held from July 3l to August 2,1?75, o consensuswos reoched to estoblish the Lotin Americon Economic System.

CHAPIER IESTABTISHMENT AND PURPOSE

ARIICTE IThe Lotin Americon Economic System, hereinofter referred to os SELA, is estoblished by fhesignotories, with the membership, power, ond functions specified in this Convenlion.

ARIICTE 2SELA is o permonent regionol body for consultotion, coordinotion, cooperolion ond jointeconomic ond sociol promotion, with its own internotionol juridicol personolity. lt iscomposed of sovereign Lolin Americon Stotes.

ARTICTE 3The fundomentol purposes of SELA ore:

o) To promole intro-regionol cooperofion in order to occelerote the economic ondsociol development of its members;

b) To provide o permonent system of consultofion ond coordinotion for the odoption ofcommon positions ond strotegies on economic ond sociol mqfters in internotionol bodiesond forums os well os before third countries ond groups of countries.

ARTICIE 4The octivities of SELA sholl be bqsed on the principles of equolity, sovereignfy ondindependence of Stotes; on solidority, non-inlervention in infernql qffoirs, with duerespect for the differences in politicol, economic ond sociolsystems, Likewise, the octionsof SELA sholl duly respect fhe chorocteristics inherent to lhe vorious regionol ond sub-regionol integrotion processes os well os their bosic mechonisms ond juridicol structure,

ARIICTE 5The objectives of SELA ore:

l. To promote regionol cooperotion, with o view to ottoining self-sustqined, independentond integrol development, porticulorly through octions designed to:

o) Encouroge the optimum use of nqturol, humon, technicol ond finonciol resourcesof the region, by creoting ond fostering Lotin Americon multinotionol enterprises. Theseenterprises could be estoblished with stote, quosi-stote, privote or mixed copitol whosenotionol chorocler is guoronieed by the respective Member Siot4s ond whose octivitiesore subject fo their jurisdiction ond supervision;

b) Stimulote sotisfoctory levels of production ond supply of ogriculturol products,energy, ond other commodities, with emphosis on the specific supply with o view toestoblishing o Lotin Americon policy in this oreo;

d) Design ond strengthen mechonisms ond forms of ossociotion which will enobleMembers Stotes to obtoin odequote prices, ensure sloble morkeis for ihe export of theircommodities ond monufocfured goods ond increose their borgoining power, withoutprejudice to the supporl necessory to the systems qnd mechonisms of coordinotion ondprotection of row moteriol prices to which the countries of the oreo moy olreody belong;

e) lmprove the borgoining power for the ocquisition ond utilizolion of copitol goodsond technology;

f) Encouroge the chonneling of finonciol resources toword projects ondprogrommes which stimulote the development of the countries of the region;

g) Foster cooperotion in Lotin Americo for the creqtion, development, odoptotionond exchonge of technology ond scienfific informofion, os well os the optimum use onddevelopment of humon, educotionol, scientific ond culturol resources;

h) Study ond propose meosures which will ensure thot the octivities of ironsnotionqlenterprises comply with the developmenl objectives of the region ond with the notionolinterests of the Member Stotes, ond to exchonge informotion on the octivilies of thoseenterprises;

i) Promote the developmenf ond coordinotion of tronsportotion ondcommunicotion, porticulorly within the region;

j) Promote cooperotion omong the member countries in the oreo of tourism;

k) Encouroge cooperotion for the protection, conservotion ond improvemeni of theenvironment of the environment;

l) Support oll efforts to qssist those countries which for emergency situoiions of oneconomic noture, os well os those resulting from noturol disosters;

m) Support ony other meosures relqted lo the foregoing, which moy contribute tothe ochievement of the economic, sociol ond culturoldevelopment of the region.

2. To support the integrofion processes of the region ond encouroge coordinotionomong them, or with Member Stotes of SELA, porticulorly with respecl to those octivitiesoimed of promoting greoter hormonizotion ond convergence, duly respecling thecommitments mode within the fromework of such processes.

3. To promote the formulotion ond implementotion of economic ond sociol progrommesond projects of interest to the Member Sioles.

4. To oct os o mechqnism for consultqtion ond coordinotion within Lotín Americon forthe purpose of formulotion common positions ond strofegies on economic ond sociolmotters before third countries, groups of countries ond in internotionol orgonizotions ondforums.

CHAPTER IIIMEMBERSHIP

Article óSovereign Lotin Americon Stotes which sign ond rotify the presenf Convention sholl bemembers of SELA.

Article 7The present Convention ís open to occession by oll other sovereign Lotin Americon Stoteswhich did not originolly sign it. To this end, they sholldeposit the oppropriote instrument ofoccession with the Government of Venezuelo. The Convention sholl enter into force forthe occeding Stote, thirty doys ofter the oppropriote instrument is deposited.

CHAPTER IVORGANIZATIONAL STRUCTU RE

Arlicle 8The orgons of SELA ore:

L The Lotin Americon Council2. The Action Committees, ond3. The Permonent Secretoriot

Article IThe Lotin Americon Council is lhe supreme orgon of SELA ond shqll be composed of onerepresentotive from eoch Member Stote. lt sholl normolly meet ol the heodquorters ofthe Permonent Secretoriot.

Article l0Eoch Member Stote hos the right to one vote.

Article I IThe Lotin Americon Council sholl hold on onnuol regulor session, of the ministeriol level,ond moy hold speciol sessions of minisieriol or non-mínisteriol level whenever it is sodecided by o regulor session or requested by of leost one-third of the Member Stotes.

The Council, by consensus, moy chonge the proportion mentioned in the precedingporogroph.

Article l4The Lotin Americon Council sholl elect o Chqirmon, two Vice-Choirmen ond oneRopporteur of eoch session.

Article l5The Lotin Americon Council hos the following functions:

i. To esloblish the generol policies of SELA.

ii. To elecl ond remove the Permqnent Secretory ond the Deputy Permonent Secretory.

iii. To odopt its Rules of Procedure os well os those of the other permonent bodies ofSELA.

iv. To consider ond opprove, os the cose moy be, the Annuol Reporf submitted by ihePermonent Secretoriot.

v. To opprove the budget ond finonciolstotements of SELA, ond to fix the quotos of theMember Stotes.

vi, To consider ond opprove fhe Work Progromme of SELA.

vii. To consider the reports of the Action Committees.

viii. To decide on the interprelqlion of this Convention.

ix. To opprove omendments to this Convention proposed by Member Stotes.

x. To evoluote, direct, ond opprove the octivities of the orgons of SELA.

xi. To opprove the common positions ond strotegies of the Member Stotes with respectfo economic ond sociol moiters, in internotionql ond regionol orgonizotions ond forums,ond before third countries or groups of countries.

xii. To consider proposols ond reports submitted by the Permonenl Secretoriot onmotters within its competence.

xiii, To decide on the holding of speciol sessions.

xiv. To designole the venue of its sessions whenever they ore nol held of theheodquorters of the Permonent Secreforiot.

xv. To opprove operotionol ogreements entered into by the Permonent Secretory,pursuont to fhe provisions of Article 31, sub-porogroph 8.

Article lóThe functions set forth in sub-porogrophs I I to l7 of the preceding Artícle moy beperformed by o speciol meeting of the non-ministeriol levelwhenever ogreed to by theMember Stotes.

Article l7The Lotin Americon Council sholl odopt its decisions:

i. By consensus, in the cose of the functions set forth in sub-porogrophs l, 8, g ond I I oforticle 15 of this Convention ond

ii. By mojority of two-thirds of the Member present, or by on obsolute mojorify of theMembers Stotes, whichever is greoter, in the cose of the functions wei forth in theremoining sub-porogrophs of Article 15. With respect to ony issue orising for decisionunder Article 15, sub-porogroph 17, if o member stote informs the Council thot itconsiders the issue to be one of fundomentol importonce which hos implicotions for itsown notionol interest, the decision on thot issue sholl be by consensus.

Artlcle l8The specific ogreements qnd projects deoling with regionol cooperotion sholl be bindingonly on those countries porticipoting therein,

Article l9The Lotin Americqn Council sholl not toke decisions odversely offecting notionol policiesof the Member Stotes.

2. The Actlon Commitlees

Article 20Action Committees composed of representotives of the Member Stotes concerned shollbe estqblished to corry ouf specific studies, progrommes ond projecls ond to preporeond odopt joint negotioting positions of inferest to more thon two Member Stotes.

Article 2lThe Committees moy be estoblished by decision of the Council or by decision of theStotes concerned, which sholl so notify the Secretoriof ond the lotter shqll inform theother Member Stotes. The Committees sholl be of o temporory noture ond sholl ceqse lofunction upon completion of iheir specified fosks. They will be open to porticipotion by ollMember Siotes. The Permonenl Secretoriot moy propose the Council to estoblish ActionCommittees

Article 22Finoncing of the Action Committees sholl be the responsibility of the Member Stoiesporticipofing therein.

The functions of theSecreloriqt sholl be performed insofor os possible by on officiol of the permonentSecretoriot with o view to supporting the work ond conir¡buting to the coordinqtion offhe Aciion Committees. These sholl of qll time keep the Permonent Secretoriot informedof the progress ond results of their work.

Article 24Complionce with the objectives reloting to regionol cooperotion through the ActionCommittees sholl be binding only on those Member Siotes porticipoting therein.

Article 25Activities of the Action Committees operoting within the generol objectives of SELA shollnot discriminote ogoinst or creote conflicts detrimentolto other Member Stotes of SELA.

Arlicle 26Action Committees shollsubmit onnuol reports of their octivities for considerqtion by theLotin Americon Council. When required, the Member Stotes moy request thot thePermonent Secretoriot provide them with informotion on ihe octivities of the ActionCommittees.

3. The Permqnenl Secrelorlot

Arlicle 27The Permonent Secretoriot is the technicql odministrotive orgon of SELA, withHeodquorters in Corocos, Republic of Venezuelo.

Artlcle 28The Secretoriot sholl be under the direction of o Permonent Secretory. He sholl beresponsible for the technicol ond odministrotive personnel necessory for theperformonce of the functions of the Permonent Secretoriot.

The Permonent Secretory sholl be the legol representotive of the Permonenl Secreforiotond in specific coses os determined by the Lotin Americon Council, he sholl oci os legolrepresentotive of SELA. The Permonent Secretory sholl be elected for o four-yeor term. Hemoy only be re-elected once, but not for consecutive terms. He moy not be reploced byo person of the some notionolity. The foregoing olso opplies to the election of fhe DeputyPermonent Secretory, who connot be of the some notionolity os the PermonentSecretory.

Article 29The Permonent Secretory sholl be o citizen of one of lhe Member Stqtes ond shollporticipote with voice but without vote in the sessions of the Lotin Americon Council.

Article 30The Permonent Secretory sholl be responsible to the Lotin Americon Council for theproper performonce of ihe functions of the Permonent Secretoriot. ln the performonceof his or her duties, the Permonent Secretqry qnd the personnel of the Secretoriot shollnoi seek or receive instructions from ony government, or notionol or internotionol body.

Article 3lThe funciions of the Permonent secretoriot sholl be os follows:

i. To perform the functions ossigned to it by the Lotin Americqn Council ond, whenoppropriote, implement its decisions.

¡¡. To encouroge ond corry out preliminory studies ond toke the meosures necessory toidentify ond promoie projects of interest to fwo or more Member Stotes. Whenever suchoctions hove budgetory implicotions, their implementofion sholl be subject to theovoilobility of funds.

¡¡¡. To focilitote the octivities of the Action Committees ond contribufe to theircoordinotion, including the provision of ossistonce for corrying out fhe oppropriotestudies.

iv' To propose to the Council progrommes ond projects of common interest ond tosuggest woys in which they moy be conied out, including meeting of experts ond othermeqsures which moy better contribute to the ottoinment of the objectives of SELA.

v. To prepore ond submit for considerotion by Member Stotes the droft ogendo forsessions of the Council ond to prepore ond distribute ollrelqied documents.

vi. To prepore the droft budget ond work progrommes to be submitted to the Councilfor its opprovol.

vii. To submit the finonciol stotements of SELA for considerotion by lhe Councit, ot itsregulor session.

viii. To promote ond conclude, subject to the opprovol of the Council, onongementswith internotionol orgonizotions ond ogencies, notionol ogencies of Member Stotes ondthird countries, to corry out studies, progrommes ond projects, especiolly those of oregionolnoture.

ix. To formolly convene lhe session qnd meeting of the orgons of sELA.

x. To receive the conkibutions of the Member Stotes, to odminister the resources ond toexecute the budget of SELA.

xi. To prepore the onnuol report on its ocfivilies for considerolion by the Council of itsregulor session; ond to coordinote the submission of the onnuol reports of the ActionCommittees, without prejudice to the reports they moy submit direclly to the Council.

xii. To recruit ond hire the iechnicol ond odminisfrotive personnel of the Secretoriot.

CHAPTER VRATIFICATION AND ENIRY INTO FORCE

Article 32Eoch signotory Stote sholl rotify the Convention in occordonce with its lqws. Theinstruments of rotificotion shqll be deposited with the Government of Venezuelq, whichsholl notify the Government of signotory ond occeding Stotes of the dote of deposii.

t 3Article 33This convention sholl enter into force for ihe rotifying Stotes when qn obsolute mojority ofthe signotory Stotes hos deposited their respective inslruments of rotificotion; ond for theothgr signotory Stotes, from ihe dote of deposit of their respeciive instruments ofrotificotion in the order in which they were deposited.

Article 34Amendments to this Convention proposed by ony Member Stote sholl be opproved bythe Lotin Americon Council, The omendments sholl enter into force for the rotifying Stoteiwhen two-thirds of the Member Stotes hove deposited their respective instiuments ofrotificolion.

Article 35This Convention sholl remoin in force indefinitely. lt moy be denounced by ony of theMember Stotes by written notificotion oddressed to the Government of Venezuelo,which sholl forword such notificqtion without deloy to the other Member Stotes. Afterninety (90) doys hove elopsed from the dofe on which the Government of the hostcounlry receives such notificotion, this Convention sholl ceose to be binding on thedenouncing Stote. The denouncing Member Stote shqll fulfill oll obligotions undertokenprior to ifs notificotion of withdrowol, notwithstonding the foct thot such obligotions moyexfend beyond the effective dote of withdrowol.

CHAPTER VIGENERAT PROVISIONS

Article 3óThe Member Stotes of SELA sholl defroy the cost of its operotion. The Council, uponopproving the onnuol budget, sholl estoblish the quotos of the Members in occordoncewith the formulo ogreed upon.

Article 37SELA, its orgons, stoff members of the Permonent Secretoriot ond governmentrepresentotives sholl enjoy, in the tenitory of eoch Member Stote, such legol stoius,privileges ond immunities os ore necessory for the exercise of their functions. To this end,oppropriote ogreements sholl be entered into with the Government of Venezuelo ondother Members Stotes.

Arlicle 38The officiol longuoges of sELA sholl be: English, French, Porluguese ond sponish.

Article 39This Convention sholl remoin open for signoture for o period of thirty (30) doys fromOctober 17,1975.

Article 40This Convention sholl be registered with the Secretoriol of the United Notions by theGovernment of Venezuelo.
