3TO CLUB INTERVAL GOLD AND THE WORLD OF VACATION OWNERSHIP

Through Interval International, you can deposit your week for points and use your

points to travel to another resort within a global network of exciting destinations.

Resorts are available during every season, and offer a wide range of accommo-

dation sizes and amenities.

Fixed-week owners can relinquish their week for an allotment of Club Interval Gold

Points. Floating-week owners must first contact their home resort to secure a reser-

vation and then relinquish that week to Interval for their allotment of points.

Once you have received your Club Interval Gold Points, you can use them for full-

week (seven-night) vacations, for a ShortStay Exchange, or toward cruise, golf, or

spa exchanges through Interval Options. Interval International exchange fees apply to

all transactions. Please note: All points will expire two years from the check-in date of

the relinquished week.

For the ultimate in vacation flexibility, Club Interval Gold also gives you the ability to

exchange your week using Interval International’s traditional exchange methods,

without converting it to points. In either case, you will be afforded up to a three-year

window to make the vacation exchange you desire. Simply deposit your week with

Interval up to one year before it is available. Exchange in weeks or exchange in

points. The choice is yours!

If you’re seeking a vacation week that is not available when you first search online or

call, you may place a request, and let the system perform an ongoing search. You will

be required to pay the applicable exchange fee in advance and have a minimum of

three options (combinations of dates and/or resorts) for your request. You will be noti-

fied by email, phone, or the postal service once your request has been confirmed.

The sooner you deposit your week, the longer you have to use the points allotted. What’s more, the earlier you

deposit, the more points you will likely receive! (Interval will verify the week you are depositing and give you an

allocation of points.) You will have the flexibility of up to a three-year travel window — exchange anytime from

one year before to two years after the first day of your home resort week. And if your resort participates in the

Early Deposit program, you can deposit up to

two years in advance of your week for a four-

year travel window. Travel dates may be

Making a Club Interval Gold exchange is easy. Just follow these simple steps:

● When placing a request, be sure to select a minimum of three different resorts and at

least one time period, one resort and three time periods, or two resorts and two time

Many resorts have more small units than large ones, and this little tip can go a long way

(“II”), to purchasers ofVacation Interests at II Member Resorts that participate inthe Club Interval Gold program. Some benefits of ClubInterval Gold are administered by Worldwide Vacation &Travel, Inc., d/b/a Interval Travel (“WVT”). The programsand benefits of Club Interval Gold are currently providedby II, WVT, and the third-party service providersdescribed below in the Section entitled Providers of theClub Interval Gold Leisure Benefits, all of whom shall becollectively referred to herein as the “Providers.”

Terms, Conditions, and Rescission RightsThese terms, II’s Terms and Conditions of IndividualMembership and Exchange, II’s Privacy Policy, any state-specific rescission right described below as applicable toyou, as well as the terms and conditions specifically appli-cable to the products and services purchased by you, arehereinafter collectively referred to as the “Terms.” Youshould carefully note and read these Terms as they formyour membership agreement with II as to Club IntervalGold. Eligibility to Participate, and Enrollment in ClubInterval GoldTo be eligible to participate in Club Interval Gold, a personmust own or purchase an “Eligible” Vacation Interest. AVacation Interest is deemed “Eligible” if it is a Fixed Timeor Floating Time unit week, not otherwise evidenced bypoints, and II and the developer or association of theapplicable Member Resort have agreed as to such unitweek’s participation in the Club Interval Gold program.

The Club Interval Gold program provides the benefits ofmembership in Interval Gold®, including participation inShortStay ExchangeSM and Interval Options®, plus partic-ipation in a points-based exchange service that allows itsmembers to deposit their traditional Home Resortaccommodations with II in exchange for “Club IntervalGold Points,” the symbolic currency utilized to value themember’s Home Resort accommodations and theaccommodations requested by the member from theExchange Program as well as other alternate accommo-dations requested through the Interval Options program.Club Interval Gold Points may also be referred to hereinas “Points.”

Once an owner of a Vacation Interest is enrolled inClub Interval Gold, the owner’s membership with IIbecomes a Club Interval Gold membership, mean-ing that all Vacation Interests owned by suchperson, both Eligible Vacation Interests and otherVacation Interests, shall be included in such mem-bership account, although only Eligible VacationInterests will be allowed to be deposited inexchange for Club Interval Gold Points. Where anowner has an existing Individual Membership andInterval Gold membership for which such ownerhas remitted membership fees directly to II, at thetime of his or her purchase of an Eligible Vacation

Interest, the remaining value of such fees will betaken into consideration in determining the appro-priate term of Club Interval Gold membership. Insuch instances, the expiration date of the ClubInterval Gold membership may differ from that of the owner’s previously existing IndividualMembership and Interval Gold membership, but themember will have received the benefit of the priormembership fees paid. Notwithstanding the foregoing,where a member owns a Vacation Interest at a MemberResort participating in a corporate membership program,as well as an Eligible Vacation Interest, said member mustmaintain his or her Club Interval Gold membership sepa-rate and distinct from his or her participation in thecorporate membership program.

With respect to Eligible Vacation Interests, upon theirdeposit with II and the member’s election to convert theaccommodations to Points, the Club Interval Gold mem-ber will receive an allotment of Points and will have theopportunity to participate in points-based exchange. As itrelates to all other Vacation Interests owned by suchmember, as well as any deposits of Eligible VacationInterest which the member chooses not to convert toPoints, the member will continue to participate in theExchange Program by exchanging on a weeks-basis.

Deposit of Accommodations and Points ValuesThe number of Points that will be allotted to a memberbased on his or her deposit of a Unit Week and electionto convert it to Points shall be determined based on theClub Interval Gold Points Value chart, which is estab-lished by II, from time to time, at its sole discretion, uponpublication on II’s website, IntervalWorld.com. The actualnumber of Points that will be allotted and placed in themember’s Club Interval Gold Points account is depend-ent upon multiple factors, such as the availability of andthe demand for the relinquished accommodations asexpressed by the Travel Demand Index (TDI) Value desig-nation applicable to the relinquished unit week’sgeographic area; the resort recognition tier of the relin-quished accommodations; unit-specific attributes suchas the size of the unit, private sleeping capacity, andkitchen facilities; as well as the amount of time in advanceof the first date of occupancy the accommodations arerelinquished to II. The current Club Interval Gold PointsValue chart included in the membership kit is subject tomodification by II from time to time. The Club IntervalGold Points Value chart also represents the requirednumber of Points necessary to secure the Confirrmation

of accommodations in one-week increments. ForConfirmations of shorter stays of two to six days availablethrough ShortStay Exchange, the required number ofPoints will be based upon the size of the unit, day of theweek, and length of the stay.

The Club Interval Gold Points provided based on eachdeposit of Home Resort accommodations have an expi-ration date of two years from the first date of thedeposited accommodation’s occupancy.

Points-Based ExchangeAll points-based exchanges must be made through thefollowing Club Interval Gold number: 866.763.7570, oronline at IntervalWorld.com.

Club Interval Gold Points are not charged or deemed useduntil an exchange has been confirmed. However, a mem-ber may not utilize the same Points for more than oneexchange request at the same time. For a Confirmationto be issued, the Points required will be based onthe exchange accommodations being requested inaccordance with the above-referenced Club IntervalGold Points Value chart. Once a Confirmation hasbeen issued, the Club Interval Gold member will bedeemed to have used the number of Points applica-ble to such request, and such Points will bededucted from the member’s Points account andthey will no longer be available to that member,unless the Confirmation is cancelled in accordance withII’s Exchange Cancellation Policy for Points-BasedExchange described below. Where a given exchangerequest is not confirmed, no Points will be subtracted fromthe Club Interval Gold member’s account.

Cancellation of Points-Based Club Interval GoldConfirmationsThe only circumstances under which a Club Interval Goldmember using the exchange program may lose the use of their Points without being provided HostAccommodations are if such member: (i) fails to submit avalid exchange request prior to the expiration of suchPoints; (ii) requests accommodations that are not avail-able and fails to accept any alternate locations and/ortime periods offered prior to the expiration of the Points;(iii) cancels or loses the use of a Confirmation, at any time,due to the threatened or actual damage or destruction ofthe Host Accommodations; or (iv) where the use of theaccommodations associated with the Eligible VacationInterest on which such Points were issued is lost or

impaired due to circumstances beyond II’s control. Under II’s Exchange Cancellation Policy for Points-

Based Club Interval Gold Exchanges, a Club Interval Goldmember is entitled to cancel a Confirmation by notifying IIof his or her desire to cancel such Confirmation within thefirst 24 hours after the exchange request has been con-firmed. In such instance, the Club Interval Gold Pointsutilized for the Confirmation are restored to the member’saccount and any exchange fee paid that is associatedwith the cancelled Confirmation is refunded. In all otherinstances, when a Club Interval Gold member notifies II ofhis or her desire to cancel a Confirmation one day ormore prior to the first date of occupancy of the HostAccommodations being canceled, the member willreceive a percentage of Club Interval Gold Points utilizedfor the Confirmation refunded, as follows, although noportion of any exchange fee paid that is associated withthe cancelled Confirmation will be refunded:

(i) When a Club Interval Gold member notifies II of hisor her desire to cancel the Confirmation 120 days ormore prior to the first date of occupancy of his or herHost Accommodations, the Club Interval Gold memberwill receive a refund of 100% of the Club Interval GoldPoints utilized.

(ii) When a Club Interval Gold member notifies II ofhis or her desire to cancel the Confirmation from 119days to 60 days or more prior to the first date of occu-pancy of his or her Host Accommodations, the ClubInterval Gold member will receive a refund of 75% of thepoints utilized.

(iii) When the Club Interval Gold member notifies II ofhis or her desire to cancel the Confirmation from 59 daysto 30 days prior to the first date of occupancy of his orher Host Accommodations, the Club Interval Gold mem-ber will receive a refund of 50% of the points utilized.

(iv) When the Club Interval Gold member notifies II ofhis or her desire to cancel the Confirmation from 29 daysto one day prior to the first date of occupancy of his orher Host Accommodations, the Club Interval Gold mem-ber will receive a refund of 25% of the points utilized.

Providers of the Club Interval Gold Leisure BenefitsClub Interval Gold’s Hotel, Dining, and Leisure Discountsprogram is provided by Entertainment Publications, LLC,1414 E. Maple Road, Troy, Michigan 48084. The VIPConciergeSM service is provided by VIPdesk.com, Inc., 324North Fairfax Street, Alexandria, Virginia 22314. The com-plimentary Hertz #1 Club Gold® membership is provided byThe Hertz Corporation, 225 Brae Boulevard, Park Ridge,New Jersey 07656. The Golf Access® international

Your con-tinued participation in Club Interval Gold following thedate of the posting will indicate your acceptance of anysuch changes. If any modification is unacceptable to you,your only recourse is to notify us that you wish to cancelyour membership.

Limitation of Liability of the ProvidersII, WVT, and certain of the Providers act as distributorsonly and, as such, do not assume responsibility for anydamage, expense, or inconvenience or for the loss, injury,or damage to or of any person or property from or relatedto the use of any product or service in transit to or fromany resort, hotel, motel, movie theater, or restaurant fromany cause whatsoever. Further, the Providers do notassume any responsibility for any participating hotel,restaurant, or other individual or entity providing goods orservices in the program.

The Providers shall have no liability to you as a seller ofany products or services including, without limitation, anyliability for any defective product, or any liability for thoseproducts or services supplied by participating merchants,vendors, and/or suppliers. No warranty expressed orimplied, including any warranty of merchantability or fit-ness for a particular purpose, is made by the Providerswith respect to: any products ordered; any informationprovided or delivered; and/or any services availablethrough participating merchants, vendors, or suppliers. AProvider’s liability to you in any event is limited to theamount that you have paid to the Provider for your mem-bership, product, or service, and a Provider shall in noevent be liable for consequential or incidental damages.

II, WVT, and the other Providers shall not have any liabilityfor any errors, omissions, or misrepresentations regardinginformation, rates, or tour itineraries provided by resorts,cruise lines, airlines, tour operators, or other providersthereof. The Providers arrange travel accommodationsand render other services in connection therewith, as anintermediary or an agent for the individual desiring suchtravel accommodations, upon the express condition andagreement that the Providers shall not be liable for anyinjury, loss, damage, accident, delay, irregularity, incon-venience, or expenses arising from strikes, war, weather,quarantines, sickness, government restrictions or regula-tions, or from any act or omission of any individual, firm,or corporation furnishing accommodations, rental cars,transportation, or any other service in connection there-with, or for any additional cost or expense due todisruption or change of advertised schedules, rates, orservices, delays, cancellations, mechanical breakdown,strikes, war, terrorist acts, acts of God, or for any othercause beyond their control. Payment in full for such serv-ices shall be deemed to constitute an acceptance of thislimitation of liability.

Neither WVT nor II is involved in the sale of real estate,and nothing in these terms is a solicitation or an offer topurchase real estate. Some resorts to which you may beconfirmed may have ongoing sales of full or partial owner-ship of real estate or other vacation ownership interests,and neither you nor your guests are required to partici-pate in any such sales presentations.

Interval OptionsExcept where indicated to the contrary herein, all Termsand Conditions of Individual Membership and Exchangeshall apply to your use of these services through theInterval Options program.

An exchange transaction fee shall be paid at the time ofplacing the exchange request. A supplemental fee, whichvaries according to the vacation selected and Points relin-quished, will be charged at the time of confirmation. Forcruise exchanges, the supplemental fee will be based onmany factors, including the cruise line selected, itinerary,length of the cruise, season and travel dates, and cabinand deck choices. For golf and spa exchanges, the sup-plemental fee will be based on factors that include thefacility/location selected, length of vacation package,season and travel dates, and package components/ser-vices selected. The number of Points to be appliedtoward an Interval Options Exchange will be derived fromthe Club Interval Gold Points Value chart and will initiallyrange from 15,000 to 150,000 points, but is subject tomodification by II from time to time. All supplemental feesare based on double occupancy and do not include portcharges for cruises, governmental fees, taxes, transfers,or other surcharges, including, but not limited to, energysurcharges levied by some resorts. Third/fourth guestssharing the same cabin/room are additional. Single sup-plements are an additional fee.

Incidental services, such as spa treatments, ground trans-portation, golf rounds, etc. that are included in the packageprice will be specified on confirmation. Other such servicesavailable may be at an additional charge. Use of signaturegolf courses may also require additional fees.

Promotional or discount coupons may not be appliedtoward cruises or vacation packages booked throughInterval Options. Interval Options exchange confirma-tions may not be sold, bartered, or exchanged for otherconsideration. However, Interval Options exchange con-firmations obtained may be assigned by purchasing aGuest Certificate.

All Interval Options exchange requests shall be subjectto such reasonable procedures as Interval may specifyfrom time to time. All requests will be confirmed on aspace-available basis; no guarantee is given that anyspecific request will be confirmed. Cruises will be madeavailable through major cruise providers. Golf and spavacation packages will be made available through golfand spa tour operators or individual properties. IntervalOptions is limited to certain decks, cabins, and availabil-ities, and certain other restrictions apply. During peaktravel and holiday weeks, cruise, golf, and spa opportu-nities will be limited and additional surcharges including,but not limited to, energy surcharges and minimum-stayrequirements may apply. Certain blackout dates mayapply and rates may vary by season.
