Annex-7POWER SUPPLY AGREEMENT FOR SUPPLY OF LOW TENSION ELECTRICAL ENERGY

An Agreement made this day of (date) of (month)two thousand and __ between the --------------------ELECTRICITYSUPPLYCOMPANYLTD,a bodyconstituted by the Government of Karnataka (hereinafter called the 'LICENSEE'whichexpression,wherever the context so admits shall include its successorsand assigns)of the onepart;

AND

_______ (herein after called as the 'CONSUMER'which expression, wherever thecontext so admits shall include its successor,successorsin businessand assigns,heirs,executorsand administrators)of the other part.

Whereasat the request of the Consumer, the Licenseehasagreed to supply to the Consumerelectricity for the purpose of in hisher/it's premisesat

____________________________________________________________________ forbonafide purpose within the premises.

1. DEFINITIONS:In thisAgreement, unlessthe context otherwise requires:

a. "Act" shallmean the Electricity Act, 2003or such other enactment governing thesupply and useof electrical energy asmay be in force from time to time.

b. "Conditions of Supply" shall mean the "Conditions of Supply of Electricity ofDistribution Licensee in the State of Karnataka" approved by the KarnatakaElectricityRegulatoryCommissionand asamended from time to time.

c. "Commission"means the Karnataka ElectricityRegulatoryCommission.d. "Street" includes any way, road, lane, square, court, alley, passage or open

space, whether a thoroughfare or not, over which the public have a right of way,and also the roadway and footway over any public bridge or causeway;

2. CONDITIONS OF SUPPLY:a. The Licensee shall supply electrical energy to the aforesaid premises of theConsumer from its distributing main for the purpose at low tension as specified in the"Conditions of Supply" under classification of supply and the Consumer shall take fromthe Licensee, electricity required for the purpose herein above recited at the singlepoint of supply up to a maximum extent of __ KW/ HP,being the load sanctioned.The energy so supplied shall be utilized within the premisesmentioned hereto, for thebonafide useof the Consumer.

b. Electrical energy supplied to the premisesshall not be utilized by the Consumer inany manner prejudicial to the Licensee and all usage must be according to suchmethod or methods approved by the Licensee.Theuse of power must be confined tosuch places as shall have been previouslyapproved in writing by the Licensee. In caseprejudicial use of power is detected, the Consumer shall pay penal charges inaccordance with the provisionsof the "Conditions of Supply" as in force from time totime. Besides,for dishonestabstraction / use/ consumption of electricity or interferencewith the metering equipment or accessories, the Consumer shall also be liable forprosecution under the Act and any other law for the time being in force, and theinstallation shallbe liable for disconnection.

c. The Consumer shall permit the Licensee, free of cost, to erect posts, distributionlines, structures, equipments, cables and other apparatus necessary for the supply ofelectrical energy under this Agreement over the land belonging to, or in the possessionof, the Consumer.

d. The Consumer agrees to take supply under any conditions of restrictions of loadand time that may be fixed by the Licensee from time to time and to pay fixed chargesunder this Agreement in full notwithstanding such restrictions.

e. The supply is liable to be restricted, staggered or cut off altogether, as the casemay be, if the power position or any other emergency warrants such a course ofaction. The Licensee reserves the right to periodical shutdown, as and when required,for the purposes of routine maintenance after giving reasonable intimation to theConsumer.

f. Fromthe date of commencement of supply as defined in the "Conditions of Supply"until termination of agreement, the Consumershallmake payment to the Licenseeforthe electricity supplied during the prescribed billing period at the rates specified in theLicensee's tariff from time to time and applicable to the class of power supplyirrespectiveof the installationbeing in serviceor under disconnection.

g. Subject to the provisionsof the Act, the "Conditionsof Supply" and any other lawfor the time being in force, the supply under thisAgreement isvalid initiallyfor a periodof two yearsfrom the date of commencement of supplyand shallstand automaticallyrenewed from year to year thereafter, until terminated by either of the parties.However, in case of TEMPORARYPOWERSUPPLY,the period of agreement shallbe fora period of days/weeks/months which period may beextended by the Licenseeat the request of the Consumer.The power supply shall bedisconnected after the expiration of the stipulated period unless a requisition isreceived for extension of the period, and such further deposit as may be demandedby the Licenseeispaid by the Consumerbefore the expirydate.

h.Without prejudice to the rights and liabilities of the parties in respect of any matterantecedent to termination, either party to this Agreement may terminate thisAgreement by giving three monthspriornotice inwriting.

i. The Licenseeshall not be liable to pay any damages or compensation in connectionwith lossof life or property arising,occurring or resultingfrom the useof power.

j. The industrial / I.P.Set Consumershall obtain written permissionfrom the Licenseeforany changes to be made in the equipment, machinery or motors installed by him atthe time of servicingthough hissanctioned load does not exceed due to suchchange.

k.ln case of street light installations,the maintenance of lamps and fixturesshall becarried out by the Consumerhimself/herself/itself.

I. Where the Consumer is required to obtain a license or permit or 'No objectioncertificate' for running hisIndustrial/commercial concern or lift irrigation scheme andthe Licenseor permit is suspended or cancelled, or the validity of the 'No objectioncertificate' issuedby the competent authority to lift water has expired, the Licenseeshallhave the right to discontinue power supplyduring the period when the Licenseorpermit iscancelled or suspended or the validity of the No Objection Certificate issuedby the competent authority hasexpired,

METERS:Theenergy supplied shallbe measuredand registeredby a meter or metersin or uponthe said premisesto be provided, fixed and kept in proper order by the Licensee.Theprocedure for billingwhen the meter isnot provided or is faulty shall be regulatedasper the relevant provisionsof the Act and the "Conditionsof Supply".

4. SECURITYDEPOSIT:

The Consumer, on a request made by the Licensee in this regard, shall renew orreplenish all security deposits in the event of the same becoming exhausted orinsufficient.

5. TARIFFAND PAYMENT OF ELECTRICITYCHARGES:

Fromthe date thisAgreement comes into force, the Consumershallbe bound by, andshall pay the Licensee,fixed charges, energy charges, and additional security depositin accordance with the tariffs approved by the Commissionand the "Conditions ofSupply" of the Licenseefrom time to time for the appropriate classof Consumers. TheConsumer shall pay the Licensee the tax on electricity charges as determined by theGovernment of Karnataka from time to time. In case even after disconnection, if thedues remain unpaid, then the Licensee shall be entitled to take recourse to theprovisionsstipulated in the "Conditions of Supply" and other laws for the time being inforce to recover the arrears.

6. DISCONNECTION FOR ARREARSAND RECONNECCTION:In case the Consumerfailsto pay the charges due for the electricity supplied within thedue date, the Licenseeshallbe entitled to cut off the supply after giving due notice asprovided in the Act and "Conditions of Supply" and power supply shallbe restoredonlyon payment of all arrears including interest and reconnection charges as stipulatedfrom time to time in the "Conditions of Supply".

7. CONTINUITY OF POWERSUPPLY:

The Licensee shall take all reasonable precautions to ensure continuity of supply ofpower to the Consumer at the point of commencement of supply. However, theLicenseeshall not be liable to the Consumer for any lossdue to the interruption in thesupply of power by reason of damage to the equipment of the Licenseeduring war,mutiny, riot, strike or by earth-quake, hurricane tempest or any accident or causesbeyond the control of the Licensee.

8. ENTRYINTO CONSUMER'S PREMISES:TheLicenseeshallhave access to the premisesof the Consumerat all reasonable timeswithout notice for meter reading, inspection, testing and / or for any other purposeincidental to, or connected with the proper maintenance of supply.

TheLicenseeshallhave access to the premisesat any time for inspection, if there isanyreason to suspect breach of the provision of this Agreement, the Act and the"Conditions of Supply".

If the Consumer, hisagent, employees or anyone else purporting to act on hisbehalfattempts to obstruct or impede the Licenseeor its employees or authorized person inthis regard, the Licensee shall be entitled to immediately cut off power supply. TheConsumershall also be liable to pay such penalty asmay be imposed by the Licenseein thisregard.

9. ASSIGNMENTS OR TRANSFER OF THE BENEFIT OF THIS AGREEMENT BY THE CONSUMER:The Consumer shall not, without the previous consent in writing of the Licensee, assign,transfer or part with the benefit of this Agreement and shall not in any manner partwith, or create any partial I separate interest in it.

10. APPLICATION OF THEPROVISIONS OF THEACT AND THE"CONDITIONS OF SUPPLY":

In all matters not herein specifically provided for, the provisions of the Act, the"Conditions of Supply" and other laws for the time being in force shall apply.

11. SAVING CLAUSE:Nothing contained in thisAgreement or any amendment thereof shall restrict any rightsand obligations, which the Licensee or the Consumer has derived under any legislationrelating to supply and consumption of electricity enacted during the period of thisAgreement.

Whereas the land / premisesdetailed hereunder, belongs to Sri/Smt.. and I am onlylessee / tenant / occupier of the said land / premiseswhere I have applied for the electricityconnection to the said land / premises and I am not able to obtain the consent of Sri /Smt.. but produced the proof of occupancy, ie valid power of attorney/ latest rent paid receipt / registered lease deed.

Thereto I, in consideration of the grant of electricity connection to me on the conditions ofsupply for which I have executed the Agreement, further agree to indemnify and keep harmlessthe Licenseefrom all damages and claims,whatsoever, including costs of suit, original petitionsand all manner of legal or other proceedings that the Licenseemay incur or likely to incur onaccount of any action or threat by or at the instance of the owner of the said land / premises(whether such owner be the said Sri/ Smt or any other). I also further agreethat such loss,damages and any other claim resulting out of the electricity connection beinggiven to me without the consent of the owner of the land / premisesare also recoverable fromme and my properties under the provisionsof the Revenue Recovery Act, in force at the time ofsuch recovery, or by such other proceedings as the Licenseemay deem fit to initiate.

I hold myselfanswerable to costsof such recoveries and proceedings also.
