1.0 Jharkhand Government MSME Tool Room & Training Centre (JGMSMETR), Ranchi

hereinafter referred to as "Purchaser", invites sealed bids from eligible Domestic Bidders for

Supply, installation & configuration of Engineering as detailed in Technical Specification FOR

Jharkhand Government MSME Tool Room, Ranchi.

We have pleasure in enclosing the following tender documents for the above work and would

invite you to submit your best binding offers:

i) Terms & Conditions of the Contract (To be returned - Annexure-A

along with the tender duly signed on each page)

ii) No deviation Certificate - Annexure- B

2.0 Submission of Tender

The tender shall be submitted in two parts, viz. (i) Techno-commercial Part (Original

plus one copy) and (ii) Price Part (Original plus one copy) separately in sealed

envelope superscribing the tender no., date & due date of submission of offer on the

respective envelopes.

2.1 The 1st sealed envelope duly marked as “Cost of Tender & EMD Part” should contain the

following documents:

i) Cost of Tender Document.

ii) EMD.

2.2 The 2nd Sealed envelop duly marked as “Techno-commercial Part” should contain the

following documents:

i) Documents as indicated under Eligibility Criteria

ii) Commercial terms & conditions iii) Printed Brochures/Technical Specifications

2.2 The 3rd sealed envelope, duly marked as ‘Price Bid’ should contain Price Part only.

The 4th sealed envelope should contain the 1st 2nd and the 3rd sealed envelopes.

All the three envelopes should contain the name/address/seal of the bidder and the tender

number. The bid should be addressed to “Mr. M. K. Gupta, Principal, JGMSMETR,

Ranchi.”

2.3 The sealed envelope should be dropped in the office of Jharkhand Government MSME

Tool Room and Training Centre (JGMSMETR), Tatisilwai, Ranchi. These will be

opened as per schedule in the presence of bidders or their authorized representatives.

2.4 The bid must remain valid for 120 days from the date of bid opening of the Techno-

commercial Part. A bid valid for shorter period shall be summarily rejected.

2.5 Insertion, post-script, addition and alteration shall not be recognized unless confirmed by

tenderer’s signature and stamp.

2.6 Incomplete tender (not submitted as per requirement of JGMSMETR as indicated in the

‘Invitation to Tender’) is likely to be rejected.

3.0 Opening of Bids by Purchaser

3.1 The purchaser shall open bids in the presence of bidders or their authorized representatives

who chose to attend, on the specified date & time. The bidder’s representatives, who are

present, shall sign in an attendance register. Authority letter to this effect shall be submitted

by the bidders before they are allowed to participate in bid opening. During techno-

commercial bid opening, only names of bidders, EMD, cost of tender shall be declared at the

time of opening.

3.2 A maximum of two representatives of any bidder shall be authorized and permitted to attend

the bid opening.

3.3 During price bid opening, the techno-commercially acceptable bidder’s names, bid

prices, modifications, bid withdrawals and such other details as the purchaser, at its discretion,

may consider appropriate will be announced at the time of opening.

3.4 The date fixed for opening of bids, if subsequently declared as holiday by JGMSMETR, the

revised date of schedule will be notified. However, in absence of such notification, the bids

will be opened on next working day, time and venue remaining unaltered.

3.5 The Bids will be opened in two stages i.e. the techno-commercial bid on the date of

tender opening given in NIT and the price bids (price schedule) at a later date after

evaluation of the techno-commercial bids. The date of opening of price bid will be

communicated to the techno- commercially acceptable tenderers.

3.6 Any query or grievance by a tenderer received upto one day before the due date of price

opening shall be addressed t o Mr. M. K. Gupta, Principal, JGMSMETR, Ranchi who

may at his discretion extend the due date of opening of price and thus revised date shall be

intimated later on. Query or grievance received after due date of opening of price bid with

respect to above shall not be entertained.

4.0 Eligibility Criteria

The tenderer who fulfills the following criteria are eligible to quote:

4.1 Technical Eligibility:

The bidder should have successfully executed minimum two (2) work orders for

Engineering Software in last three (3) years from the date of posting of NIT.

Copy of work order and installation certificate for each order (as TE Annexure 1) to be

submitted as documentary evidence.

Bidder to submit the following documents along with the bid: -

i) Income Tax Clearance certificate.

ii) VAT Clearance certificate.

iii) CST Clearance certificate.

iv) Service Tax Clearance certificate.

5.0 SCOPE OF WORK

5.1 The scope of work shall include Supply, installation & configuration of Engineering software

latest version as detailed in Technical Specification FOR Jharkhand Government MSME Tool

Room, Ranchi.

5.2 The tenderer shall carefully check the specification and shall satisfy himself regarding

the technical requirement and completeness of the engineering Software.

6.0 PRICE

6.1 The tenderer shall quote price for the item indicated in Price Schedule enclosed herewith.

Price quoted shall be firm and binding and shall not be subject to any variation whatsoever

on any account till supply, installation & configuration of Software. Bidder to note that their

price should be quoted for supply and installation & commissioning both. Tenderer has to

quote for the total scope of work as per Technical specification.

6.2 Price will be evaluated considering all taxes & duties quoted by the tenderer.

7.0 TAXES & DUTIES

7.1 Except as otherwise specifically provided in the Contract, the Contractor shall bear and pay all

taxes, duties, levies and charges assessed on the contractor, its sub-contractors or their employees by

Municipal, State or Central Government Authorities.

However, subject to stipulations of the Contract, the payment of duties, taxes, levies, etc., will be

reimbursed (on actual) against documentary evidence to be produced by the Contractor, subject to a

ceiling indicated in price schedule(s) of the Contract. In no case the reimbursement towards duties

and taxes, etc., shall exceed the amount indicated in price schedule(s) of the Contract towards duties,

taxes, levies, etc. except on account of statutory variation in Taxes & Duties and / or imposition of

new taxes and duties.

All taxes & duties payable outside India in respect of performance of the Contract shall be borne &

paid by the contractor. The Purchaser shall have no liability whatsoever on this account.

7.2 The Income Tax which JGMSMETR may be required to deduct under Income Tax Act, 1961, shall

be deducted at source as per statute and the same shall be paid to Income Tax Authorities on

account of contractor. JGMSMETR shall provide the contractor a certificate for such deduction of

tax. Contractor shall indicate their Permanent Account No. with the relevant Income Tax Authority

for this purpose to JGMSMETR.

8.0 TERMS OF PAYMENT

Subject to any deduction which JGMSMETR may be authorized to make under the contract,

the contract price shall be payable as indicated i n Annexure-A.

9.0 COMPLETION DATE

Time of completion is the essence of the contract. Contractor shall complete entire work as per

the scope of work in accordance with the Time Schedule indicated in this Invitation to Tender.

Time of completion shall be firm and binding.

10.0 LIQUIDATED DAMAGES

Liquidated Damages shall be applicable as per Annexure-A.

11.0 PERIOD OF VALIDITY OF TENDER

Unless otherwise specified, the Contractor shall keep his tender valid initially for a period

of 120 (one hundred twenty) days from the date of bid opening of the Techno- commercial

Part.

12.0 Consortium of Bidders are not allowed for this package.

13.0 EARNEST MONEY DEPOSIT

The Tender must be accompanied b y Earnest Money Deposit (EMD) in the form of a

BG (as per Annexure-C)/ Demand Draft drawn in favor of “Jharkhand Government Mini

Tool Room & Training Centre (JGMSMETR)” payable at Ranchi from an Indian

Scheduled Commercial or Nationalized Bank., for Rs 15,000/- (Rupees Fifteen thousand

only) for each software. The Earnest Money shall be kept deposited upto a period of one

month beyond the validity of the tender. The earnest money will not earn any interest. If

the tenderer after submitting his tender resiles from his offer or modifies the terms and

conditions thereof in a manner not acceptable to JGMSMETR, the Earnest Money

Deposit shall be liable to be forfeited/enforced. Tenders not accompanied by Earnest Money

Deposit shall be liable for rejection.

On acceptance of the tender (but not earlier than the expiry date of validity of Tender),

the Earnest Money will be returned to the unsuccessful tenderers.

Should an Invitation to Tender be withdrawn or cancelled by JGMSMETR, which it shall

have the right to do at any time, the Earnest Money Deposit will be returned to the tenderers.

Central PSUs/ Central Government undertakings and firms registered with SSI / NSIC and

holding valid registration certificates are exempted from submission of the Earnest Money

Deposit.

14.0 COST OF THE TENDER DOCUMENT

14.1 The prospective tenderers are requested to purchase the complete set of tender documents

including all relevant drawings from the office of JGMSMETR, Tatisilwai, Ranchi by

submitting the Non – refundable fee of Rs. 1000/- (Rupees One thousand only)

towards Cost of tender document, in favor of “Jharkhand Government Mini Tool Room

& Training Centre (JGMSMETR)” payable at Ranchi for the purpose of preparation &

submission of their tender.

14.2 The tenderer can also download the “Tender Documents” from the website-

www,jgmsmetr.com . In case the tenderer downloads the tender documents from

JGMSMETR’s website as above, Tenderer shall submit non-refundable fee towards cost of

the Tender Document, along with their offer, as required as per tender conditions.

14.3 The Non refundable fee towards cost of Tender documents shall be in the form of Cash or

Demand Draft from an Indian Scheduled Commercial or Nationalized Bank, drawn in favor of

“Jharkhand Government MSME Tool Room (JGMSMETR)” payable at Ranchi.

14.4 Firms registered with SSI / NSIC and holding valid registration certificates are exempted

from submission of the Cost of Tender.

Annexure-A

General Terms & Conditions of the Contract

01. Scope of Work

The scope of work includes Supply, installation & configuration of Engineering software latest

version as detailed in Technical Specification on FOR Jharkhand Government MSME Tool

Room, Ranchi.

02. Total Price

Total Price for the scope of work enumerated above shall be as per Price Schedule

Format enclosed at Annexure-F. The Total Price includes supply, installation, configuration,

commissioning of Software including all taxes, duties, levies, freight, insurance etc at FOR

Jharkhand Government MSME Tool Room, Ranchi. Total Price shall remain firm and binding

till completion of supply, installation & configuration and shall not be subject to any variation

whatsoever on any account.

3.0. General

3.1 The software supplied shall be legal version complete with manuals, software license and

original CD media and any other hardware.

3.2 It shall be responsibility of the vendor to ensure that necessary updated information is made

available along with free periodicals for the Software wherever applicable.

3.3 Operation and Maintenance Manuals of software and their Installation Guides shall be

supplied by the vendor free of cost.

3.4 The software shall perform the functions as claimed in the documentation provided, when

operated on the designated hardware and operating system.

3.5 The vendor shall provide free onsite support for familiarization and solution to any

system related problems during warranty period.

3.6 The vendor shall provide free upgrade of software with media and manuals and install the

same free of cost at site during warranty period.

3.7 Vendor shall provide warranty support for one year from date of acceptance to cover

technical support as mentioned and all upgrades/update.

3.8 Site visits to JGMSMETR, Ranchi shall always be at vendor’s cost.

3.9 Purchase order and all matters arising out of or relating to this order shall be governed by and

interpreted in accordance with the laws of India.

3.10 Contractor shall be held liable for any damages, direct or indirect, incidental or

consequential arising from the use of their supplied software programs.

4.0 Warranty

4.1 The software supplied by vendor shall be covered under warranty against defects for a period

of 12 (Twelve) months from the date of acceptance of software. Warranty shall include

technical support including upgradation if any with media and manual.

5.0 Time Schedule

Time schedule for completion of supply, installation & configuration of the Software at

JGMSMETR, Ranchi shall be 6 weeks from date of date of order.

In the event the supplied software is not conforming to the ordering specification, the

software so supplied will be rejected without paying any price/ compensation. The decision of

JGMSMETR in this regard will be final.

6.0 Acceptance

For acceptance of the software, the vendor shall demonstrate the full functionality of the

software as claimed in the technical brochures/manuals/Web sites etc., if necessary.

7.0 Payment Terms

The terms of payment shall be as follows:

a) 90% payment after complete supply, installation & configuration of the Software at

JGMSMETR, Ranchi against submission of invoice, challan, inspection/acceptance

certificate of User Department of JGMSMETR.

b) Balance 10% payment against submission of Performance Bank Guarantee (as per

Annexure- D) equivalent to 10% of the Total price and completion of 2nd phase training

period.

The Performance Bank Guarantee is to be kept valid till the end of the warranty

period.

8.0 TAXES & DUTIES

8.1 Except as otherwise specifically provided in the order, the contractor shall bear and pay all taxes,

duties, levies as charges for the subject work by the contractor.

8.2 RECOVERY OF INCOME TAX

Any Indian Income Tax which JGMSMETR may be required to deduct by law/statute, shall be

deducted at the source under Chapter XVII B and the same shall be paid to the Income Tax

Authorities on account of the contractor. JGMSMETR shall provide the contractor a certificate

for such deduction of Tax. The contractor shall indicate their Permanent Account Number

with the relevant Income Tax Authority to JGMSMETR. Contractor shall maintain Books of

Account and shall get the accounts audited as required under the relevant Act.

9.0 Liquidated Damages

Time and date stipulated in the Contract for completion of delivery of software shall be

deemed to be the most important aspect of the Contract. The contractor shall complete the

entire work in accordance with the schedule stipulated in the purchase order. If, however, the

contractor fails in due performance of this contract to complete the work in accordance with the

time schedule or within such extended time schedule as may be further granted, the contractor

shall be liable to pay as agreed liquidated damages, and not by way of penalty, a sum of

0.5% of the Total price per week or part thereof and such liquidated damages shall be

limited to a maximum ceiling of 5% of the Total price. In case the reasons for delay are not

attributable to the contractor, then the LD clause shall not be applicable for such delay.

10.0 FINALISATION OF ORDER

While JGMSMETR will endeavor to finalize the tender at the earliest, it reserves the right to

delay finalization of the tender, if necessary, without assigning any reasons for the same. During

finalization of the tender, JGMSMETR is not bound to accept lowest or any tender or to assign

reasons whatsoever for non-acceptance.

JGMSMETR reserves the right to cancel the tender without assigning any reasons for the same.

However, in such an eventuality, JGMSMETR shall return the Earnest Money deposit and Cost

of tender document to all the bidders after cancellation of the tender.

The JGMSMETR reserves the right to reject all or any bid without assigning any reason.

11.0 NEGLIGENCE, DEFAULT AND RISK PURCHASE

11.1 If the contractor fails to execute the contract with due diligence or expedition or shall refuse or

neglect to comply with any order given in writing by JGMSMETR under the Contract,

JGMSMETR may give notice in writing to the contractor to make good the failure, neglect or

contravention within such time as may be deemed reasonable and in default of the compliance

with the said notice, JGMSMETR without prejudice to its rights under the Contract, may

rescind or cancel the contract holding the contractor liable for the damages that JGMSMETR

may sustain in this regard.

Should the contractor fail to comply with such notice within a reasonable period from the

date of serving thereof, JGMSMETR shall have the option and shall be at liberty to take the

supply, installation & configuration work wholly or in part out of the contractor’s scope and

may get the same executed by alternate agency at contractor’s risk and cost. This shall be

without prejudice to JGMSMETR’s rights under other clauses of this Contract.

12.0 SUSPENSION AND TERMINATION

JGMSMETR may at any time temporarily stop the supply under the Contract or any part thereof

by serving notice in writing to the contractor. Supply so suspended shall be resumed by the

contractor on receipt of instructions from JGMSMETR in writing. JGMSMETR will not be

liable to the contractor for any damage or loss caused by such period of suspension of supply.

JGMSMETR will be at liberty to terminate the Contract without prejudicing its right and

affecting the obligations of the contractor by giving 15 days notice in writing in the following

events:

(a) If the contractor fails to comply with the provision/provisions of the Contract.

(b) If the contractor is involved in any action involving moral turpitude.

13.0 ARBITRATION

13.1 All disputes or differences, whatsoever, arising between the parties out of or in relation to the

construction, meaning and operation or effect of this contract or breach thereof shall be settled

amicably. If, however, the parties are not able to resolve them amicably, the same shall be

settled by arbitration in accordance with the Rules of Arbitration of the Indian Council of

Arbitration and the Conciliation & Arbitration Act 1996 and the award in pursuance thereof

shall be binding on the parties.

13.2 The venue of arbitration proceeding shall be Ranchi.

13.3 Work under this Contract shall be continued by the contractor during the arbitration

proceedings, unless otherwise directed in writing by JGMSMETR or unless matter is such that

the work can not possibly be continued until the decision of the arbitrator is obtained.

3. Notwithstanding anything contained in the foregoing, our liability under this Guarantee shall be

JGMSMETR or ourselves but shall ensure to JGMSMETR’s benefit and be enforceable against

7. Notwithstanding any thing contained hereinabove unless a demand or claim under this Guarantee

is made on us in writing within six months from the date of expiry of this Guarantee we shall be

discharged from all liabilities under this Guarantee thereafter.

8. We have power to issue this Guarantee under our Memorandum and Articles of Association and

the undersigned, who is executing this Guarantee has the necessary power to do so under a duly

executed Power of Attorney granted to him by the Bank.

contractor requested us to provide the guarantee to fulfill contractual obligation, we

demur or reference to the contractor if the Contractor failed to perform all or any of their

obligation under the said contract. The decision of the Purchaser/JGMSMETR duly

or claims arisen and demanded from or otherwise notified to us in writing before the expiry of six

months for the said date which will be enforceable against us notwithstanding that the same is or

Subject to the maximum limit of our liability as aforesaid the guarantee will cover all your claims

or claims against the contractor from time to time arising out of or in relation to said contract & in

respect of which your claims in writing is lodged on us before expiry of 6 months from the date of

expiry of this guarantee.

Notwithstanding any thing contained hereinabove our liability under this guarantee is restricted to

Rs. ............................. and this guarantee shall remain in force until .............................. unless a

written claim is lodged on us for payment under this guarantee within six months of the guarantee

i.e. on or before ........... all your rights under this guarantee shall be forfeited and we shall be

forbear to enforce any of the terms and conditions relating to the said contract and we shall not be

released from our liabilities under this guarantee by reason of any such variation or extension

being granted to said contractor or for any forbearance and/or commission on the part of the

Purchaser or any indulgence by the Purchaser to the said contractor or by any other matter

whatsoever which under the law relating to the sureties would, but for this provision have the

effect of so releasing us from our liability under this guarantee.

be affected by the liquidation or winding up, dissolution or change in the constitution of the said

contractor.

1.0 Introduction

Jharkhand Government MSME Tools Room (JGMSMETR), a Jharkhand

government undertaking, having its Head Office at Tatisilwai, near Ranchi Capital

of Jharkhand, invites bid from OEM/implementer of national repute, for supply and

installation of software as listed in this TS. Tender specific authorisation from OEM

to be submitted with tender in case OEM not bidding directly.

2.0 Scope of work

The scope of work of the successful bidder shall include, but not limited to the

following:

1. The bidder shall supply, install & configure engineering software as listed in this

TS, clause no. 5.1

2. The bidder shall supply Three years free upgrades for the software mentioned in

clause no. 5.1, if any.

3. All the software shall be compatible with Windows 7/Windows 8 32/64bit

versions The media CD/DVD for the engineering software shall also be supplied.

4. The bidder shall provide training to purchaser’s personnel as per training clause

no. 11

All the software licenses for engineering softwares shall be registered in the name

of:
