Terms and Conditions of Sale

The following terms and conditions (“Terms and Conditions”) apply to orders accepted and to orders shipped by LE CREUSET OF AMERICA, INC., (“Le Creuset”) between January 1, 2008, and December 31, 2008. Terms and Conditions are subject to change by Le Creuset at anytime without prior notice.

Unless other terms and conditions are expressly agreed to by Le Creuset in writing bearing the handwritten signature of a duly-authorized officer of Le Creuset (“Supplemental Terms”), the following provisions apply:

General

· All offers and orders are subject to acceptance by Le Creuset at its Early Branch, South Carolina office.

· Each contract for the sale of Le Creuset goods or services shall take effect only when entered into and accepted by the Company in, and shall be deemed a contract formed in, Early Branch, South Carolina.

· The Terms and Conditions set forth herein and any Supplemental Terms cannot be altered, modified, amended or changed in any regard. These Terms and Conditions and any Supplemental Terms collectively constitute the complete, final, and exclusive agreement between Le Creuset and the purchaser of Le Creuset goods or services relating to such purchase, replaces and supersedes all prior undertakings and agreements, written and oral, relating to such purchase, and apply with respect to the prices and quantities agreed to by Le Creuset. The purchaser of Le Creuset goods or services undertakes such purchase without reliance on any promise or representation other than those expressly contained in these Terms and Conditions or any Supplemental Terms.

· Unless expressly confirmed in Supplemental Terms, all other terms and conditions that are not the Terms and Conditions set forth herein (regardless of whether such other terms and conditions are consistent, inconsistent, additional or supplemental) presented by an offer, order, or other undertaking or record relating to the purchase of any goods or services of Le Creuset are rejected by Le Creuset, are not part of any contract between any purchaser (direct or indirect) of goods or services of Le Creuset and are replaced with and superseded by these Terms and Conditions, regardless of whether Le Creuset ships or provides goods or services, accepts any payment, or takes any other action (all of which activities are and will be undertaken in reliance upon the understanding and agreement that the Terms and Conditions are the sole and exclusive provisions of the agreement between such purchaser and Le Creuset except as and only to the extent expressly confirmed in Supplemental Terms).

· By shipping goods or providing services, Le Creuset confirms the terms and conditions of sale by re-offering the goods or services to

the purchaser on these Terms and Conditions and any Supplemental Terms, and by accepting the shipment or provision of such goods or services the purchaser thereof accepts these Terms and Conditions and such Supplemental Terms in full and without modification (and rejects or withdraws any other terms or conditions that purchaser may have furnished, regardless of whether such other terms and conditions are consistent, inconsistent, additional or supplemental with or to Terms and Conditions and the Supplemental Terms).

Cancellations

· A 72 hour notice prior to the ship date is required to cancel any order. Without the required cancellation notice, a 20% restocking fee may be charged.

Price and Financing Terms

· Net 30 days from date of invoices upon credit approval.

· Finance charges of 1.5% per month (18% annually) on unpaid, past due balance.

· Any published, distributed, or posted prices for products and services offered by Le Creuset are intended solely to facilitate offers to purchase such products and services, and are subject to change at any time without prior notice.

· All retail prices are suggested.

Minimum Orders

· A minimum order of $750 to one location is required for prepaid freight.

· If accepted, orders under $750 are subject to actual shipping charges plus $7.50 handling charge.

· An opening order for a new account is subject to a $1500 minimum.

· Customized case packs are subject to a 2% handling fee which may be added to the customer’s invoice or invoiced separately.

Shipment

· All merchandise will be shipped to the purchaser F.O.B. (Free On Board) the dock at Le Creuset’s warehouse facility, with the title and risk of loss or damages to the merchandise passing to the purchaser upon commencement of loading onto the initial vehicle used to transport the merchandise from such facility.

· Le Creuset assumes no liability for damage or breakage after putting the merchandise into the possession of the carrier, or for any delay in shipment or transit of merchandise.

· All shipments will be by surface transportation.

· For destinations within the 48 continental U.S. states (e.g., excluding Alaska, Hawaii, Puerto Rico and other U.S. possessions and territories), Le Creuset will prepay the freight charge as a component of the price of the merchandise subject to minimum order requirements being met.

· Purchaser agrees that it will not, directly or indirectly, export any products sold by Le Creuset to any destination outside the U.S. or sell any such product to a person that purchaser has a reason to know will export or transport such products to a destination outside of the U.S. Le Creuset reserves the right to refuse any order, including (without limitation) any order that it suspects will be exported outside the U.S.

· Prepaid Freight charges include delivery to Buyer’s dock only. Shipments requiring Special Handling/Delivery incur additional freight charges which may be passed on to the customer. Example reasons for additional charges are as follows: Segregate and Count, Detention Fee, Metro Charge, Drop Container, Liftgate, Shipper Unload, Inside

Delivery, Delivery Appointment. To cover these additional charges, a minimum of $50.00 and/or the actual additional freight charges may be added to the customers merchandise invoice or invoiced separately.

· Le Creuset will ship to physical addresses only; no P.O. boxes or APO addresses. Orders received to P.O. box or APO box will be cancelled.

Claims

· Le Creuset is not responsible for merchandise lost or damaged in transit. For merchandise lost or damaged in transit, the consignee must file the freight claims directly with the delivering carrier.

· All claims for shortage or damage of merchandise not resulting from transit must be delivered to Le Creuset within 20 days of the delivery of the applicable shipment by the carrier. The consignee must retain for 90 days from Le Creuset’s receipt of the claim, and permit Le Creuset to inspect and verify at its convenience: (i) all damaged merchandise and (ii) all packaging containing damaged merchandise or that should have contained merchandise alleged to be short, along with the other merchandise contained in such packaging. Any merchandise delivered in lieu of short merchandise must be identified to Le Creuset in the shortage claim and returned to Le Creuset as it directs.

· Any claims for nonconforming merchandise or services must be delivered to Le Creuset within 45 days of the delivery of such merchandise or services to the purchaser from Le Creuset and must specify in detail the nature of the nonconformity. The consignee must retain for 90 days from Le Creuset’s receipt of the claim, and permit Le Creuset to inspect and verify at its convenience, any nonconforming merchandise and related materials such as packaging and labeling. All nonconforming merchandise for which Le Creuset has approved a claim must be retained until returned or destroyed as directed by Le Creuset.

· Any claims for mispricing or other invoicing or billing errors must be delivered to Le Creuset within 45 days of the applicable invoicing or billing, and must include full and complete documentation of the alleged error.

· For 120 days following its receipt of a claim, in Le Creuset’s exclusive discretion and as the purchaser’s sole and exclusive remedy, Le Creuset shall have the right to cure any matter alleged by the claim.

· Each claim must be reviewed for accuracy and certified by an employee of the purchaser with authority to bind the purchaser in connection with the matter set forth therein.

· No offsets against any amounts due Le Creuset shall be made or allowed with respect to any claim.

· Unless and only to the extent otherwise provided in Supplemental Terms, this “Claims” section (i) sets forth the entire and exclusive POST-AUDIT POLICY with respect to the sale of any merchandise or service by Le Creuset and any promotional incentives offered by Le Creuset, and the entire agreement of the parties with respect to claims available to the purchaser, and (ii) all claims are subject to the Warranty Disclaimer section set forth below.

· Le Creuset’s liability for any claim is subject to and conditioned on strict compliance with these Terms and Conditions, and any claims not in strict compliance therewith are expressly and irrevocably waived and released by the purchaser and its successors and assigns.

Returns

· Le Creuset will not accept returned merchandise unless it approves the return in advance.

· Returns must be shipped freight prepaid to Le Creuset as it directs.

Packaging of returns must clearly display the return authorization number as instructed and issued by Le Creuset at the time of approving the return.

· Returns of resaleable (as determined exclusively by Le Creuset) merchandise are subject to a 20% restocking charge. Resaleable returns should be in factory fresh cartons, free of any price marks.

· All returns will be credited at the lowest price if a reference to the related invoice is not provided.

Promotions

· Le Creuset’s provision or allowance of any advertising or other similar support, special concessions, or special pricing to purchaser will be made in reliance upon purchaser’s undertaking that it will allow promotional pricing only with respect to Le Creuset approved promotional functions.

Warranty Disclaimer

· EXCEPT FOR THE WRITTEN LIMITED WARRANTY ACCOMPANYING A LE CREUSET OR SCREWPULL PRODUCT AND PROVIDED BY LE CREUSET TO THE ULTIMATE RETAIL PURCHASER OF SUCH PRODUCT, ANY AND ALL OTHER WARRANTIES AND REPRESENTATIONS ARE EXPRESSLY DISCLAIMED, WHETHER WRITTEN OR ORAL, STATUTORY OR COMMON LAW, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, ANY WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE OR USE, ANY WARRANTY OF NON-INFRINGEMENT AND TITLE, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

· IN NO EVENT SHALL LE CREUSET OF AMERICA, INC. BE LIABLE FOR ANY BODILY INJURY, PROPERTY DAMAGE, LOST ADVERTISING, LOST REVENUE, LOST PROFITS, REPLACEMENT GOODS, OR INCREASED EXPENSE OF OPERATIONS, OR OTHER COSTS, CHARGES, FINES, PENALTIES, OR LIQUIDATED DAMAGES OR INCIDENTAL, PUNITIVE, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE FORSEEABILITY THEREOF, WHETHER UNDER THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCTS LIABILITY, OR OTHERWISE.

Use of Marks, Logos, and Other Items

· As a material inducement to Le Creuset’s willingness to supply products under these Terms and Conditions, the purchaser agrees by ordering any products that it will not display, use or include (or authorize the display, use or inclusion of) any mark or logo of Le Creuset (including, without limitation, “Screwpull” and “Le Creuset”) or any likeness, drawing, picture, or depiction of any of Le Creuset’s products (including, without limitation, the products or other embodiments of Le Creuset’s trade dress) in or on any advertisement, display, circular, document or sign by, in, through or on any medium or in any manner, (including, without limitation, on or through the Internet, and “Worldwide Web Site” or other electronic or digital communication network, through radio or television broadcast, and/or in any print medium), without in each specific case, Le Creuset’s prior written permission.
