2. FATOS

2. BACKGROUND

O NSC promoverá o marketing e exportação de

Produtos do Mar da Noruega. O NSC é o detentor e

proprietário da(s) “Marca(s)” e do Material de

Marketing.

A Licenciada é produtora, importadora ou

exportadora de Produtos do Mar da Noruega e deseja

usar a(s) Marca(s) e/ou o “Material de Marketing”,

com relação à sua produção, distribuição, marketing

e/ou venda de Produtos do Mar da Noruega.

NSC shall promote marketing and export of

Norwegian Seafood. NSC is the owner and proprietor

of the Trade Mark(s) and the Marketing Material.

The Licensee is a producer, importer or exporter of

Norwegian Seafood who wishes to use the Trade

Mark(s) and/or the Marketing Material in connection

with its production, distribution, marketing and/or

sale of Norwegian Seafood products.

O NSC poderá conceder a outras entidades licença de

uso da(s) Marca(s) segundo termos que poderão

diferir dos termos estabelecidos neste Contrato.

NSC may grant other entities license to use the Trade

Mark(s) under terms which may differ from those set

forth in this Agreement.

O NSC concordou em conceder à Licenciada uma

licença de uso da(s) Marca(s) segundo os termos e

condições estabelecidos neste Contrato.

O Contrato abrange o uso da(s) Marca(s) para

Produtos e rótulos que tenham sido aprovados pelo

NSC.

NSC has agreed to grant the Licensee a license to use

the Trade Mark(s) on the terms and conditions set out

in this Agreement.

The Agreement covers the use of the Trade Mark(s)

for Products and labels which has been approved by

NSC.

3. DEFINIÇÕES

3. DEFINITIONS

Neste Contrato, as expressões a seguir terão os

seguintes significados:

In this Agreement the following expressions shall have

“Contrato” significa este Contrato, incluindo

os Anexos relacionados na Cláusula 1.

"Agreement" means this Agreement

"Approval Certificates" means one or more

certificates issued by the relevant national

authority which allows the Licensee to

produce or import seafood

“Produtos do Mar da Noruega” significa

produtos do mar originários de peixes ou

outros produtos do mar, conforme definição

contida no art. 1 da Lei de Exportação de

Peixes norueguesa no 9, de 27 de abril de

1990, e que naturalmente habitam o mar

ou águas doces da Noruega e são

capturados ou criados em conformidade

com regulamentos setoriais noruegueses e

são desembarcados em território terrestre

norueguês.

"Norwegian Seafood" means seafood which

originates from fish or other marine

products as defined in art. 1 of the

Norwegian Fish Export Act No 9 of 27 April

1990 and which naturally inhabits the

seawaters or freshwaters of Norway and is

caught or farmed in compliance with

Norwegian sectorial regulations and landed

on Norwegian land territory.

“Produtos” significa os produtos aprovados

"Trade Mark(s)" means the trademark

applications and trademark registrations as

set out in Exhibit 3, referred to separately or

jointly, as the case may be.

“Marketing” significa a produção,

distribuição, marketing e/ou a venda de

Produtos.

"Marketing" means production, distribution,

marketing and/or sale of Products.

“Material de Marketing” significa materiais

usados no Marketing dos Produtos do Mar

da Noruega, elaborados pelo NSC ou em

seu nome e que podem ser periodicamente

colocados à disposição da Licenciada.

"Marketing Material" means materials used

for the Marketing of Norwegian Seafood

which is made by or on behalf of NSC and

which may be made available to the

Licensee from time to time.

“Território” significa a República Federativa

do Brasil, doravante por vezes designada

“Brasil”.

"Territory" means the Federative Republic of

Brazil (In Portuguese: "República Federativa

do Brasil"), hereinafter sometimes "Brazil".

4. GARANTIAS DA LICENCIADA

harmless NSC of and from all and any

claims from any third party arising out of or

in connection with the Products or

Mark(s) or Marketing Materials, including in

conjunction with the use of the Licensee's

own trademark.

5. MANUTENÇÃO DA(S) MARCA(S) PELO NSC

5. NSC'S MAINTENANCE OF THE TRADE

MARK(S)

5.1 O NSC pagará quaisquer taxas de

renovação referentes a Marca(s)

registrada(s), quando aplicável, para manter

o registro, quando a manutenção do registro

6.1 O NSC concede à Licenciada licença não-

exclusiva, gratuita, intransferível, não

sublicenciável e não passível de cessão de

uso da(s) Marca(s) e do Material de

Marketing em associação com Produtos,

que tiverem sido aprovados pelo NSC,

observados os termos e condições

estabelecidos neste Contrato e

exclusivamente com relação ao Marketing

pela Licenciada dos Produtos no Território

pelo prazo deste Contrato.

Qualquer valor comercial (goodwill) da(s)

Marca(s) que exista tanto anteriormente,

como durante esta Licença, é de

propriedade do NSC. A Licenciada atribui

qualquer valor comercial (goodwill) que

sobrevenha na constância da licença ao

NSC, como e quando ocorrer.

6.1 NSC grants the Licensee a non-exclusive,

royalty-free, non-transferable, non-

assignable, non-sublicensable license to use

the Trade Mark(s) and the Marketing

Material in association with Products, which

have been approved by NSC, subject to the

terms and conditions set out in this

Agreement and solely in connection with the

Licensee's Marketing of the Products in the

Territory for the duration of this Agreement.

Any goodwill in the Trade Mark(s) existing

either prior to or arising during the term of

this license is owned by NSC. Licensee

assigns any goodwill arising during the term

of the license to NSC as and when it arises.

6.2 Periodicamente, o NSC poderá fornecer

Seafood is the main ingredient, and cannot

be used on, or in connection with, any of the

following:

(a) produtos que não sejam

pelo consumidor comum;

(a) products that, are not perceived as

a seafood product by the average

consumer;

(b) produtos nos quais o uso da

Marca e/ou Material de Marketing

induziria a erro os consumidores;

(b) products where the use of the

Trade Mark and/or Marketing

Material would mislead

consumers;

(c) produtos que também contenham

e/ou estejam misturados com

produtos do mar de outras origens

territoriais que não seja a

Noruega, ou que, de outro modo,

não cumpra a definição de

Produtos do Mar da Noruega,

conforme aqui estabelecido

(c) products which also contain and/or

are mixed with seafood from other

territorial origins than Norway, or

which otherwise does not comply

with the definition of Norwegian

Seafood as set out herein;

(d) produtos não destinados ao

consumo humano;

(d) products not intended for human

consumption;

(e) aditivos e complementos

alimentares;

(e) additives and food supplements;

(f) produtos que contenham teores

não desprezíveis de outra proteína

animal, como frango, carne suína

ou bovina ou sejam objeto de

marketing como se fossem tais

produtos;

(f) products containing non-negligible

volumes of other animal protein

such as chicken, pork or beef or

are marketed as such products;

(g) produtos nos quais o uso da

Marca e/ou Material de Marketing,

a critério exclusivo do NSC,

colocaria em risco a distintividade

e o valor comercial (goodwill) da

Marca, do NSC ou a reputação de

Produtos do Mar da Noruega; ou

(g) products where the use of the

Trade Mark and/or Marketing

Material, in NSC's sole discretion,

would jeopardise the

distinctiveness and goodwill of the

Trade Mark, NSC or the reputation

of Norwegian Seafood; or

outra marca de seu(s) cliente(s) não

poderá(ão) ser elaboradas, ou conter

palavras ou outros elementos, de maneira

que possam ser confundida(s) com a(s)

Marca(s) ou de qualquer forma levar o

consumidor ou outros a acreditar que eles

são relacionados aos produtos do NSC ou

que o NSC e a Licenciada são de qualquer

forma parceiros, empreendedores conjuntos

ou empresas afiliadas. A marca de

propriedade da Licenciada e/ou qualquer

outra marca de seu(s) cliente(s) deverá ser

acompanhada por descrição do produto (por

exemplo, “Salmão norueguês” ou similar). A

descrição do produto deverá ser exibida

claramente no produto/embalagem. O NSC

poderá, atendendo solicitação pela

Licenciada ou por iniciativa própria, fornecer

orientação adicional com relação ao devido

próprio uso da(s) Marca(s) em contextos

específicos, caso em que a Licenciada

seguirá as instruções ou recomendações

fornecidas pelo NSC.

6.4 The Trade Mark(s) used on the Products

shall only be used together with the

Licensee's own trade mark and/or any trade

mark of their customer(s), and the Trade

Mark(s) may not form a dominant part. The

Licensee's own trade mark(s) and/or any

trade mark of their customer(s) may not be

designed in a manner or contain words or

other elements which may be confused with

the Trade Mark(s) or in any way misleading

consumer or others into believing that these

are related to products of NSC or that NSC

and Licensee are in any way partners, joint

ventures or affiliated companies. The

Licensee's own trade mark and/or any trade

mark of their customer(s) must be

accompanied by a product description (e.g.

"Norwegian Salmon" or similar). The product

description must be clearly displayed on the

product/packaging. NSC may, upon request

by the Licensee or on its own initiative,

provide further guidance regarding the

proper use of the Trade Mark(s) in specific

contexts, in which case the Licensee shall

follow the instructions or suggestions

provided by NSC.

6.5 A Licenciada não terá direito de usar a(s)

Marca(s) com relação a quaisquer outros

produtos que não sejam nos Produtos.

6.5 The Licensee shall have no right to use the

Trade Mark(s) in connection with any other

products than on the Products.

may only be used by Licensee on/in

connection with Products which are

imported or bought from companies which

are registered exporters of Norwegian

Seafood and which may furnish export

declarations and/or Norwegian catch

certificates.

material, NSC has the right to ask for

samples for approval. NSC shall have full

discretion to accept or deny any proposed

product packaging or other use of the Trade

Mark(s) and shall bear no liability for any

delay or denial of such proposed product

packaging or use of the Trade Mark(s).

6.9 A Licenciada reconhece que a(s) Marca(s),

no todo ou em parte, são pedidos

apresentados perante o Instituto Nacional

da Propriedade Industrial - “INPI” e que o

NSC não garante que quaisquer de tal(is)

Marca(s) será(ão) registrada(s) pelo INPI. A

Licenciada declara e garante estar

plenamente inteirada e ter pleno

conhecimento do status da(s) Marca(s)

perante o INPI no Brasil.

6.9 The Licensee acknowledges that the Trade

Mark(s) or some of them are applications

filed before the Brazilian Patent and

Trademark Office (Instituto Nacional da

Propriedade Industrial – “INPI”) and that

NSC does not warrant that any such Trade

Mark(s) will be registered by the INPI.

Licensee represents and warrants to be fully

aware and have total knowledge of the

status of the Trade Mark(s) with the INPI in

Brazil.

7. INSTRUÇÕES DE RASTREAMENTO E

AUDITORIAS

7. TRACKING INSTRUCTIONS, REPORTING AND

AUDITS

7.1 Com o fim de impedir que produtos do mar

que não forem Produtos do Mar da Noruega

sejam rotulados ou objeto de marketing

com a(s) Marca(s), a Licenciada deverá

utilizar um sistema de acompanhamento

que possibilite controlar todos os produtos

rotulados com Marca(s) ou de qualquer

outra forma objeto de marketing com

Marca(s), de forma que se possa rastrear e

documentar que os produtos vendidos sob

a(s) Marca(s) são originários dos Produtos

do Mar da Noruega e, de dessa forma, estão

sujeitos a uma Licença nos termos do

presente Contrato.

7.1 In order to prevent that seafood

which is not Norwegian Seafood is

labelled or marketed with the Trade

Mark(s), the Licensee shall use a

tracking system which enables

control of all products labelled with

Trade Mark(s) or in any other way

marketed with Trade Mark(s), which

can trace and document that the

products sold under the Trade

Mark(s) origin from Norwegian

Seafood, and otherwise are subject

to a License under this Agreement.

7.2 O sistema de rastreamento da Licenciada

deve ser documentado, confiável e

verificável. O referido sistema deverá ser

checado e auditado por uma auditoria

externa indicada pelo NSC.

7.2 The Licensee's tracking system shall be

documented, reliable and verifiable. It may

be checked and audited by a third party

auditor appointed by the NSC.

7.3 Todos os produtos e frutos do mar vendidos

ou marcados com a Marca(s) devem ser

tratados de tal forma que o verdadeiro lugar

de origem de cada componente e/ou

ingrediente possa ser rastreado durante

toda a fase de fabricação e processamento

até as mercadorias finalizadas e/ou os

que permitem o rastreamento do verdadeiro

local de origem dos componentes utilizados

em qualquer produto e/ou fruto do mar

rotulado com a Marca,

- em todos os momentos, assegura que a

matéria-prima comprada como Produtos do

Mar da Noruega seja acompanhada de um

certificado de captura norueguês, quando

aplicável, que pode ser fornecido em

qualquer momento mediante pedido

expresso do NSC e/ou do auditor externo,

- em todos os momentos, possui sistemas e

controles para garantir que a produção e

fabricação de um produto com a Marca seja

claramente separada e não misturada com

outros processos de fabricação para

outro(s) tipo(s) de produto(s),

- em todos os momentos, é capaz de rastrear

e documentar todo o manuseio, alteração,

processamento, divisão ou segmentação

dos Produtos do Mar da Noruega, que é

elaborado dentro do controle e atividades

da Licenciada, desde o recebimento da

matéria-prima até a expedição de qualquer

produto ou fruto do mar, e

- mantém sempre registros que permitem o

cálculo do valor e volume de produtos de

Produtos do Mar da Noruega recebidos e o

valor e volume posteriormente vendidos

com uma Marca ou despachados

posteriormente.

Se a Licenciada empregar terceiros ou

subcontratados durante o manuseio dos

Produtos do Mar da Noruega, a Licenciada

deve garantir que esse terceiro irá cumprir

este Contrato.

7.4 In particular, and notwithstanding the

generality of the above, the Licensee must

be able to verify that it:

- has a legitimate tracking system enabling

the tracing of true place of origin of

components used in any product and/or

seafood labelled with the Trade Mark,

- at all times ensures that raw material

purchased as Norwegian Seafood is

accompanied by a Norwegian catch

certificate, where applicable, which may be

furnished at any given time upon express

request by NSC and/or the third party

auditor,

- at all times has systems and controls to

ensure that the production and

manufacturing of a product bearing a Trade

Mark is clearly separated and not mixed

with any other manufacturing processes for

other type(s) of product(s),

- at all times is able to trace and document all

handling, alteration, processing, dividing or

segmentation of Norwegian Seafood which

is done within the Licensee's control and

activities, from receipt of the raw material to

dispatch of any product or seafood, and

- at all times keeps records allowing the

calculation of value and volume of

Norwegian Seafood received and the value

and volume later sold with a Trade Mark or

later dispatched.

If the Licensee employs any third parties or

subcontractors during handling of the

Norwegian Seafood, Licensee shall ensure

that this third party will comply with this

Agreement.

7.5 A Licenciada deve, regularmente, no mínimo

uma vez por ano, reportar o NSC sobre o

uso pela Licenciada da(s) Marca(s). Os

relatórios da Licenciada devem estar em

Licenciada (calculado em quilogramas) e os

volumes vendidos com uma Marca ou

posteriormente despachados pela

Licenciada.

In addition to the regular reports, NSC may

request to:

- examine samples of Products available on

the market without notification,

- carry out inspections of the Licensee's use

of the Trade Mark(s), and Marketing

Material without notification,

- have access to information from and access

to relevant data bases, files or records in

addition to other data as well as statistics

available or which may be produced,

provided such request(s) are reasonable,

assuming that due attention will be paid to

the protection of the Licensee's confidential

information, and that the request(s) are

restricted to information strictly relating to

the Licensee’s performance of this

Agreement, and

- ask for information regarding the volume of

Norwegian Seafood received by the

Licensee (calculated in kilograms) and

volumes sold with a Trade Mark or later

dispatched by the Licensee.

NSC's sole discretion, that the Licensee is

not in compliance with requirements under

this Agreement, NSC may at any time

request a separate third party audit.

9. MARKETING NÃO-CONFORME

9. NON-COMPLIANT MARKETING

9.1 Caso o NSC, a seu critério exclusivo,

determine que a(s) Marca(s) são usada(s)

de maneira enganosa ou de qualquer outro

modo de forma abusiva incompatível com

este Contrato ou com a imagem ou

reputação do NSC ou dos Produtos do Mar

da Noruega, esse fato será considerado

violação relevante do Contrato. Ademais, o

NSC pode requerer indenização por

quaisquer perdas (econômicas e não-

econômicas).

9.1 Should NSC, in its sole discretion, determine

that the Trade Mark(s) are used in a manner

that is misleading or in any other way in an

abusive manner inconsistent with this

Agreement or the image or reputation of

NSC or Norwegian Seafood, this will be

deemed a material breach of the

Agreement. Further, NSC may demand

compensation for all losses (both economic

and non-economic).

9.2 Caso seja verificado o descumprimento

deste Contrato após auditoria de terceiros, o

NSC exigirá compensação por todos os

custos incorridos em conexão com a

reembolsar estes custos.

10. VIOLAÇÃO OU USO NÃO AUTORIZADO POR

TERCEIROS

10. INFRINGEMENT OR UNAUTHORISED USE BY

THIRD PARTIES

10.1 Na hipótese de a Licenciada tomar

conhecimento de qualquer violação por

terceiro da propriedade intelectual do NSC,

incluindo uso não autorizado da(s) Marca(s)

ou do Material de Marketing, notificará

prontamente o NSC de forma que o NSC

possa tomar medida de execução contra o

terceiro. A Licenciada cooperará

plenamente com o NSC em qualquer

10.1 In the event that the Licensee becomes

aware of any infringement of NSC's

intellectual property by a third party,

including unauthorised use of the Trade

Mark(s) or the Marketing Material, it shall

promptly notify NSC so that NSC may take

enforcement action against that third party.

Licensee shall cooperate fully with NSC in

any actions NSC may take to enforce and

protect its intellectual property rights.

prorrogação do Contrato pelo período de 3

(três) anos subsequentes.

11.1 This Agreement shall enter into force upon

the last date of signature of this Agreement,

and shall expire at the date of 3 years

thereafter. The Parties may agree in writing

to extend the Agreement for subsequent 3

year periods.

11.2 Durante qualquer período em que vigorar o

Contrato, ambas as Partes podem rescindir

o Contrato por conveniência a qualquer

momento durante o prazo do Contrato,

dando à outra Parte pelo menos 90

(noventa) dias antes da notificação por

11.2 During any current Agreement period, both

Parties may terminate the Agreement for

convenience at any time during the term of

the Agreement by giving the other Party at

7, 8, 9 ou 10, (iii) os Certificados de

Aprovação da Licenciada forem revogados,

expirarem, forem rescindidos ou ocorrerem

eventos similares, (iv) as Marcas registradas

forem revogadas ou consideradas inválidas

ou (v) a Licenciada estiver cometendo

violação relevante deste Contrato.

11.3 This Agreement and the license hereunder

to all Trade Marks and Marketing Material

terminates with immediate effect in the

event that (i) the Licensee enters into

liquidation, becomes insolvent or

discontinues its general course of business,

(ii) the Licensee is in breach of any of its

obligations set out in clause 4, 6, 7, 8 or 9,

(iii) the Licensee's Approval Certificates are

revoked, expired, terminated or similar, (iv)

registered Trade Mark is being revoked or

held invalid or (v) the Licensee is in material

breach of this Agreement.

11.4 Quando da rescisão ou expiração deste

or expiry may be marketed and sold in the

Territory for a period of maximum 30 days

after termination or expiry, and any such

sale or Marketing shall be in compliance

with this Agreement.

Cláusula 11.5 supra, a Licenciada neste ato

reconhece e concorda que a

responsabilidade do NSC com relação a

este Contrato será limitada às perdas e

danos porventura incorridos pela Licenciada

como consequência direta da violação deste

Contrato pelo NSC. Ademais, a

responsabilidade total do NSC com relação

a este Contrato não excederá os valores das

taxas oficiais pagas pelo NSC para obtenção

do registro da(s) Marca(s) no Brasil.

11.6 For clarification purposes, without prejudice

to Section 11.5 above, Licensee hereby

acknowledges and agrees that NSC’s

liability in connection with this Agreement

shall be limited to damages Licensee may

suffer as a direct result of NSC’s breach of

this Agreement. Also, NSC’s total liability in

connection with this Agreement shall not

exceed the amounts of the official fees paid

by NSC to obtain registration of the Trade

Mark(s) in Brazil.

12. INEXISTÊNCIA DE PARCEIRA OU

REPRESENTAÇÃO

12. NO PARTNERSHIP OR AGENCY

12.1 Nenhuma das disposições deste Contrato

tem por finalidade criar parceria,

empreendimento conjunto ou relação

jurídica de qualquer tipo que imporia

responsabilidade a uma Parte pelas ações

ou omissões da outra Parte.

12.1 Nothing in this Agreement is intended to

create a partnership, joint venture or legal

relationship of any kind that would impose

liability upon one Party for the acts or

omissions of the other Party.

13. SOLUÇÃO DE DISPUTAS E LEI APLICÁVEL

13. DISPUTE RESOLUTION AND GOVERNING

LAW

13.1 Este Contrato e qualquer matéria dele

decorrente ou a ele relativa serão regidos e

interpretados em conformidade com a lei

norueguesa.

13.1 This Agreement and any matter arising from

or in connection with it shall be governed by

and construed in accordance with

Norwegian law.

13.2 Qualquer disputa, controvérsia ou

reclamação, decorrente ou em conexão com

este Contrato, deverá tentar ser resolvida

amigavelmente. Se não for possível

alcançar uma solução amigável em até 30

(trinta) dias a partir do pedido de uma das

Partes de realizar uma negociação para

solucionar a disputa, controvérsia ou

reclamação, essa disputa, controvérsia ou

reclamação, será então resolvida pelo

Instituto de Arbitragem da Câmara de

Comércio de Estocolmo, de acordo com o

Regulamento de Arbitragem do Instituto de

Arbitragem da Câmara de Comércio de

Estocolmo. Os procedimentos de arbitragem

terão lugar em Estocolmo, na Suécia. O

13.2 Any dispute, controversy or claim arising out

of or in connection with this Agreement shall

first be sought to be settled amicably. If an

amicable solution is not reached within 30

days of a request by either Party to enter

into negotiations to resolve the dispute,

controversy or claim, then such dispute,

controversy or claim shall be finally settled

by the Arbitration Institute of the Stockholm

Chamber of Commerce in accordance with

the Arbitration Rules of the Arbitration

Institute of the Stockholm Chamber of

Commerce. The seat of the arbitration shall

be Stockholm, Sweden. The arbitral tribunal

shall be composed of three arbitrators. The

arbitration shall be conducted in the English
