10. Presentation of Financial Statements & AuditorsReportKevin Moore introduced Phil Dirks, from the accounting firmof Hawkings Epp Dumont LLP.

Phil Dirks presented the financial statements and asked forquestions.

Member asked why the service charges are higher than lastyear. Russ Morrow responded that River City Credit Union

has to pay more to the service provider.

Member asked for an explanation on notes/schedule and itwas agreed to add page numbers to the references for specific schedules.

Member asked where the credit union stands in the firstquarter. Russ Morrow responded we are trending downward on impairment. Member asked why there was achange in patronage in 2014. Russ Morrow responded itwas due to a change in capital requirement. Member askedhow many members have quit the credit union. Russ Morrow responded that membership is tracked and we areat a 95% retention rate.

Legislation states it must be members on thecommittee, but not specified if it can be staff as they aremembers. The government accepted our bylaws.

However, this notification is intended to keepRiver City members abreast of significant changes to thecredit union. There will be minimal impact on existing RiverCity members. The main benefit will be extending the bondto include employees of Alberta Health Services.

Report to the Membership from the President and the Chief Executive Officer

Welcome to the 13th Annual General Meeting of River City Credit Union (RCCU). On behalf of the Board of Directors andmanagement, it is our pleasure to present the 2016 Annual Report for River City Credit Union.

We extend a special welcome to our new members from the University Hospitals Staff Credit Union. We are pleased to report the amalgamation between RCCU and University Hospitals Staff Credit Union went extremely well. Together we willcontinue our tradition as an organization focused on serving our credit union members and the community.

In 2016, we achieved a solid level of operational success. Delinquent and impaired loans have been very low and stable with a delinquency rate at 0.32% and impairment at 0.08% to end the year. RCCU’s financial performance remained steadydespite the challenge of low interest rates. RCCU posted a net income before taxes of $115,174 down from $130,073 lastyear, largely as a result of the low interest rates. Our operational audits compare RCCU to other Alberta credit unions of similar size. We are pleased to report that RCCU is doing very well relative to its peers.

As a cooperative, RCCU is committed to share with its members. We are pleased to announce that due to a solid financialyear, RCCU paid out a dividend of 6¢ per share for the 2016 fiscal year, with 3¢ per share paid out in cash and 3¢ as sharesfor a total dividend of $37,390.

RCCU continues to pursue innovative solutions to improve our product line and the member experience. In 2016, RCCUmade a number of significant technology advancements. The website was completely redesigned with a new contemporarylook, more functionality (including a suite of calculators), and integrated marketing messages. A mobile app, called River CityAnywhere, is now available, with the Deposit Anywhere feature, which enable members to deposit cheques remotely simplyby taking a picture of a cheque. We upgraded our loan application system which enables loans to be approved electronicallyand for our loans officers to login in and complete a loan application anywhere they may be. Lastly, we launched a Facebookpage (Facebook.com/RiverCityCU), which we encourage you to find and to like.

RCCU continues to foster our core value of being a community focused organization. In 2016 RCCU continued to support anumber of worthy community causes. RCCU regularly participated in collecting donations for the food bank and filled severalboxes this year. Additionally, RCCU matched almost $2,000 in member donations to the Edmonton Transit Donate A Ridecampaign. Lastly, for the second year, RCCU supported young entrepreneurs through our Youth Entrepreneur Program,where we provide up to $500 to a child or grandchild of a bond member to start a summer business.

In closing, we thank the management and staff for their commitment and professional and personal service they provide toour members. We thank all the directors on the board who selflessly provide innumerable volunteer hours of service for thebenefit of our credit union. Their governance and oversight are a big reason why the RCCU was able to succeed this year.Lastly, we thank all our faithful members for their support and generosity in making the RCCU a great community minded or-ganization. Together, we have done so much good in 2016. We look forward to the challenges 2017 will bring. Together wewill make the lives of our members and community even better.

On behalf of the Nominating Committee (Susan Hughes, Brenda Waluk and Brent Trombley), I am pleased to present the following report.

There is some complexity to this year’s report. On November 1, 2016, River City Credit Union and University Hospitals StaffCredit Union amalgamated. Part of the amalgamation agreement modified the bylaws to increase the board size to 14 positions, with a stipulation that the board must be reduced to 12 positions by the March 2018 AGM. The agreement alsostipulated that three positions on the combined board be designated for University Hospitals Staff Credit Union board members.

This year, we have four positions of the River City board up for reelection.

The following four Board members are up for election for this Annual General Meeting:

Mike L’Heureux EpcorLeo Tang Member at LargeRob Kuziw City of EdmontonTroy Shewchuk City of Edmonton

Each of these individual’s declaration of interest has been reviewed against the current bylaw and requirements which mustbe met to be considered for election. Each candidate has extensive experience on the board and has met the required criteriaas per the bylaws.

Should any additional candidates express interest in running for election to the Board by the March 2, 2017, deadline, theywill be announced at the Annual General Meeting assuming they meet the required criteria as per the bylaws.

To the Members of River City Credit Union Ltd.:

Management has the responsibility for preparing the accompanying financial statements and ensuring that all information inthe annual report is consistent with these statements. This responsibility includes selecting appropriate accounting principlesand making objective judgments and estimates in accordance with International Financial Reporting Standards and the requirements of the Credit Union Act.

In discharging its responsibility for the integrity and fairness of the financial statements, as well as for the accounting systemsfrom which they are derived, management maintains the necessary systems of internal controls designed to provide assurance that transactions are authorized, assets are safeguarded and proper records are maintained.

The ultimate responsibility to members for the financial statements lies with the Board of Directors. The board appoints anAudit and Finance Committee to review the financial statements with management, in detail, and to report to the board prior to its approval to publish the financial statements.

The board appoints external auditors to audit the financial statements and to meet with both the Audit and Finance Committee and management to review their findings. The external auditors report directly to the members. The external auditors have full and free access to the Audit and Finance Committee to discuss their audit, as well as their findings concerning the integrity of the credit union’s financial reporting and the adequacy of its systems of internal controls.

The Audit and Finance Committee (AFC) consists of five directors appointed by the board and is a requirement of AlbertaCredit Union Act. Legislation outlines some specific functions that this committee must undertake and the Credit Union Actdesignates the committee membership terms and conditions. The five directors for the fiscal year ending October 31, 2016,were Leo Tang (chair), Joe Di Natale, Sandi Giesler, Edwin Ryl, and Troy Shewchuk.

In 2016 we contracted the services of the Credit Union Central of Alberta, Audit Department to perform our internal audits.Hawkings Epp Dumont was chosen to perform our year end audit. The committee received the reports and is satisfied withrecommendations received. Our management team strives to incorporate the recommendations into our operations.

Internal audits continue to be stronger than the average for River City’s peer group.

As financial reporting continues to be more complex, the AFC needs to make sure that the financial statements are understandable and transparent. The AFC provides oversight to the reporting of the financial results and accounting and reporting practices.

Changes in capital thresholds were introduced by the provincial regulator in 2013 with an aggressive three year rollout of increasingly higher capital requirements. Our capital has grown steadily to meet these requirements. At October 31, 2016,River City was just shy of the increased capital thresholds. However, with the amalgamation of University Hospitals StaffCredit Union on November 1, 2016, River City achieved the regulator’s capital threshold. Our capital has grown from $3.9 million at the beginning of 2013 to $4.7 million as at October 2016 when combined with the capital from the University Hospitals Staff Credit Union.

The Audit & Finance Committee would like to thank the board, staff, management and the auditors for their assistance and recommendations through this past year.
