The European Business Register (EBR, www.ebr.org):
Started its operations in 1992 with a pilot project for accessing data of the BRs of four Member States
Now a technical platform among the BRs of 14 European countries

Cross-border and cross-domain interoperability is a clear requirement for BRs to be effective in Europe’s multinational, multilingual, multicultural environment
To be effective, each BR needs to be able to interact with all other European BRs
Collaboration among BRs to access each other’s data has been established since the early ‘90s through EBR, but

Directive 2003/58/EC, amending the 1st Company Law Directive: provisions on electronic filing of companies’ data in the Company Registers, and electronic signatures. From 2007 Business Registers must permit electronic filing and retrieval (already applied in several countries); a fundamental technical prerequisite for BRITE to work in cross border data/documents exchange.
1st Company Law Directive: protection of shareholders and third parties’ rights. BRITE addresses this requirement allowing full traceability of the companies that transfer their registered offices abroad.

Council Regulation (EC) 2157/2001 on the Statute for a European Company (SE), art. 8: possibility for a SE to transfer its registered office to another Member State without the need to wind up the company or to create a new legal person.

BRITE will allow inter-register dialogue and cross-border procedures integration.

2003 EC Communication on "The Role of eGovernment for Europe's Future": "Pan-European services can give a substantial impetus to the Internal Market and its associated freedoms, as well as to European Citizenship, provided that there is inclusion of the needs of cross-border users, co-operation of Member States’ administrations, the provision of interoperable infrastructures, and provision of specific public services at the European level" - BRITE fully committed on this.
BRITE addresses the priorities of the area eGovernment of the Action Plan eEurope 2005 (An information society for all): interactive public services, interoperability of e-Gov services, secure communications between public services, pan-European e-Government services.

EU policies (5) Company Law SLIM Working Group final
recommendations to the EC about the simplification of the 1st and 2nd directives: to develop more effective techniques of disclosure and achieve further simplification, with specific reference to cross-border establishment. BRITE will provide the essential infrastructure for the implementation of the required interoperable network, and encourage further legislative developments.
The recommendations to the EC of the 3rd eEurope eGovernment subgroup meeting ("Modern and Innovative Public Administrations in the 2010 horizon", known as CoBrA recommendations, Amsterdam, Sept. 2004) address the issue of cross-border company registration as an example of commitment to concrete agenda for pan-European services, interoperability, identification and authentication.

BRITE Service Case 3 Support for eProcurement Take-up contributes to recent "Action plan for the implementation of the legal framework for electronic public procurement" that reduces the regulatory burden for businesses and contributes to the achievement of greater efficiency of public procurement and competitiveness in EU.
Service Case 4 Support for Cross-Domain Interoperability contributes to EU efforts against money laundering and financial crime, for transparency of the financial market and for the prudential supervision of financial institutions, all among current priorities of DG Internal Market.

Communication from the Commission on a simplified business environment for companies in the areas of company law, accounting and auditing, Brussels, 10.7.2007, COM(2007) 394 final:
"The existence of electronic registers all over Europe makes it possible for registers to communicate with each other. The BRITE project aims at allowing European citizens and companies to reap the full benefits of this technology. The Commission will continue to encourage this work in order to pave the way for a future review of the Eleventh Directive that would allow reducing the administrative burdens related to the establishment of a branch in another Member State".

Besides adopting the most important technical standards (data transmission, security...), BRITE has the opportunity to influence developments in relevant emerging areas esp. for knowledge representation:
Data standardisation:
Several BRITE partners key players in the development of data representation standards, such as crXML (Commerce Registers XML, www.crxml.org). Work continuing in BRITE with the prospect of arriving at a pan-European standard.
Process standardisation:
BRITE is interested in the debate and has the potential to make significant impact. E.g. standardisation of process execution or choreography via web services (BPEL (Business Process Execution Language) and W3C Web Service Choreography).

SemanticGov: Providing Integrated Public Services to Citizens at the National and Pan-European level with the use of Emerging Semantic Web Technologies (FP6-2004-IST-4): building the infrastructure (software, models, services, etc.) for offering of semantic web services by public administration (PA). Main goals:
achieving interoperability amongst PA agencies both within a country as well as amongst countries
easing the discovery of PA services by its customers

AIDA - Advanced Interactive Digital Administrations. Demonstrate the feasibility of using edocuments, defined as machine readable data structures, for authentic and legal electronic documents. Relevance to electronic forms aspects of BRITE.
COSPA - Consortium for Open Source in the Public Administration. Use of various OSS solutions, which tests and measures the benefits in public administrations in terms of office-level productivity and financial indicators. Reference for OSS issues in eGovernment projects.
DECOR - Delivery of Context-sensitive Organisational Knowledge. Attempts to develop integrated methods and tools for active, context-sensitive and self-adaptive delivery and organisational knowledge at the process level. Knowledge processing reference.
EBR-ON - European Business Register - Open Network. EBR-ON aims to upgrade the technical infrastructure (Core technology) of the existing European Business Register; to release new user services; to setup a different marketing strategy; to enlarge the network as to include new Countries. Clear and direct relevance to BRITE.

eEPOCH - eEurope Smart Card Charter proof of concept and holistic solution. Will demonstrate a scalable pan-European environment for legally binding and secure internet based e-transactions using national electronic ID cards in the domain of local and cross-border e-Goverment application services. Security and authentication issues, crossborder issues relevant to BRITE.
EGOV - An integrated Platform for Realising Online One-Stop Government. One-stop government refers to the integration of public services from a citizen’s point of view. BRITE consortium partners are active in this project.
E-POWER - European Programme for an Ontology based Work Environment for Regulations and legislation. Developed method and supporting tools to translate legislation and other regulations into executable (formal) specifications. Strong relevance to ontology-related work in BRITE.
EUCLID - European initiative for a Citizen digital ID solution. EUCLID aims at supporting the collaborative action initiated in the eEurope Smart Card Charter Trailblazer 1 (TB1) Public Identity. Relevance to issues in BRITE concerning security, etc.

FLOSSPOLS - Free/libre and open source software: policy support. Study on the emergence, use and development methods of eGovernment Open Source Solutions and their gender implications on the research community. Reference project for open source in eGovernment.
ICTE-PAN - Methodologies and Tools for Building Intelligent Collaboration and Transaction Environments in Public Administration Networks. Aims to develop innovative methodology for modelling PA operations and tools for transforming these models into design specifications for e-Government environments automating and simulating complex bureaucratic processes. Relevant to BP modelling issues in BRITE.
INTELCITIES - Intelligent cities. Open source interoperable platform for cross-border public services to exchange data. Clear relevance to cross-border interoperability issues in BRITE.
KIWI - Building Innovative Knowledge Management Infrastructures Within European Public Administrations. Aimes at developing innovative knowledge management infrastructures able to transform PAs at any level inside Europe into knowledge driven and dynamically adaptive learning organisations and empower public employees to be fully knowledge workers. ONTOGOV - Ontology-enabled e-gov service configuration. Methodology and software for a flexible re-design of the PA's online services. Strong relevance to ontology related issues in BRITE.
QUALEG - Quality of Service and Legitimacy in eGovernment. Aims at enabling Local Governments to manage their policies in a transparent and trustable way. Includes activities of introducing semantics in web services and workflows at local level. Ontology-based support for multilingual eGov applications. Clear relevance to similar activities in BRITE.
TERREGOV - Impact of eGovernment on territorial government services. Technology to enable automatic access to complementary services from different administrations in order to get the complete service at once. Particularly relevant to the issue in BRITE of how to define complete service workflows spanning several institutions.

1. Transfer of Registered Office: enabling cross-border interoperability of BRs throughout Europe to implement recent and forthcoming legislation. Will be implemented in Sweden, Norway, and Ireland.
2. Enforcement and Simplification of the 11th Directive: enabling coordinated enforcement of cross-border branch-related legislation and implementation of initiatives for the simplification of legislation. Will be implemented in Ireland, Italy, and Sweden.
3. Support for eProcurement Take-up: enabling BRs to interoperate with entities in other domains to facilitate the implementation of an important priority of the Lisbon Action Plan. Will be implemented in Italy, Spain, and Sweden.
4. Support for Cross-Domain Interoperability: enabling BRs to interoperate with governmental and non-governmental entities. Will be implemented in Spain, Italy, and Ireland.

Objective: Enabling cross-border interoperability among BRs throughout Europe when it comes to Transfer of Registered Office and Cross-border merger, providing services to:
Business Registers: Semantic and technical interoperability to enable faster and more efficient interaction among BRs
Other stakeholders (creditors, shareholders): will benefit from improved transparency and traceability
Public authorities, supervisory authorities: will benefit from service when seeking certain information on a company (history, business activity, ...)
Companies’ management, administration: service contributes to reducing administrative burden

SC1: Transfer of Registered Office (2)
Use cases with highest priority as an example:
1. Enabling the new BR to get information as described in Art. 8.8 of SE-Statute: confirming that all formalities necessary for the transfer of registered office have been completed
2. Enabling the new BR to become aware of relevant events on the old BR (e.g. Procedures for winding up, liquidation, insolvency or suspension of payments, or other) related to the SE that wants to transfer its registered office (SE-Statute, Art. 8.15)
3. Enabling the new BR to notify the old BR in compliance with Art. 8.11 of the SE-Statute about the registration of a transfer of registered office
4. Allowing the public to link through the search to the old BR of a SE or new BR of a SE
5. Enabling any register to integrate all these facilities into a process such as the registration of the transfer of registered office/deletion of a SE
6. Enabling the new BR to allow the SE that asks for the transfer to retrieve automatically from the old BR all the necessary documentation

SC2: Enforcement and Simplification of the 11th Directive
Objective: Implement prototype service supporting the enforcement and simplification of the 11th Directive on the registration of branches (89/666/EC, 1989).
Involves the enabling of cross-border communication between BRs such that any significant change in the status of a company in its home BR is automatically communicated to host BR.
The Working Group on Simpler Legislation for the Internal Market's (SLIM) recommendations (1999) presented too difficult a challenge to BRs and supervisory authorities:
Thus far the Commission has not felt it possible to bring forward proposals for amendment.
In particular, the Working Group suggested the implementation of a home state”principle: no additional filing requirements in the host state in case of crossborder establishments within the EU.
SC 2 aims at implementing automated semantic-enabled support for this SLIM recommendation
In addition: dealing with issues of translation; issues of certificate authentication.
