TERMS AND CONDITIONS- All program rules apply only to this specifi c program and are valid for signed

contracts received by Time Warner Cable Business Class (TWCBC)/NaviSite from December 21, 2015, through March 31, 2016.

- All questions, disputes, claims, etc., must be submitted to TWCBC/NaviSite.- Participants must be authorized agents of TWCBC/NaviSite through the end of the

program period and at the time of award distribution. If a participant ceases to be an authorized agent of TWCBC/NaviSite prior to the time of award distribution, his/her eligibility is immediately terminated and TWCBC/NaviSite has no obligation to that participant.

- A participant cannot earn program awards until a signed contract is received and accepted by the TWCBC/NaviSite Order Management Team.

- Awards will be paid within two months following service installation. Participants agree that TWCBC/NaviSite and its agents shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind due in whole or in part, directly or indirectly, to participation in the program

or any program-related activity or from a participant’s acceptance, receipt, possession and/or use or misuse of any award.

- TWCBC/NaviSite reserves the right to modify, extend, suspend or terminate the program if it determines, in its sole discretion, that the program is technically impaired or corrupted or that fraud, technical problems, failures or malfunctions, or other causes beyond TWCBC/NaviSite’s control have destroyed, severely undermined or to any degree impaired the integrity, administration, security and/or feasibility of the program as contemplated herein. In the event that TWCBC/NaviSite must cancel the program as contemplated herein, TWCBC/NaviSite shall post notice on the Partner Portal and will not be liable for any further awards to any participant to any extent whatsoever.

- Maximum award of $20,000 per customer account sold.- Certain restrictions may apply.

ELIGIBILITY- Participants must be authorized sales agents.

PRODUCTS & TERMS- Eligible products include Offi ce 365 Business Essentials, Business Premium,

Enterprise E1 and Enterprise E3.- Multiyear contract required. (minimum 2-year contract).- Awards will be based on new sales opportunities only. No contract renewals

or upgrades.- The program reward is based on the monthly recurring charge (MRC) of all

qualifying opportunities.- Partners must register their opportunities using their NaviSite Partner

Opportunity Registration Form (PORF). - All sales must be registered before the end of the program period to qualify.- Orders canceled prior to the contract expiration may result in award

readjustments.
