MacDermid Signs Merger Agreement Met-Pro Corp. Receives $800,000 Order

MacDermid Inc., a specialty chemical manufacturer, has signed a definitive merger agreement under which Daniel H. Leever, its Chairman and CEO, and invest- ment funds managed by Court Square Capital Partners and Weston Presidio will acquire MacDermid in a transaction valued at more than $1.3 billion, including the assumption or repayment of approxi- mately $30 million of debt. Joseph Silvestri, managing partner of Court Square Capital Partners, is a director of MacDermid and is involved in the merger.

Under the terms of the agreement, MacDermid stockholders will receive $35 in cash for each share of MacDermid common stock they hold. The purchase price represents a premium of approximately 21% over $28.82, the closing price on Sept. 1, 2006, the last trad- ing day before the Investor Group made its proposal to acquire MacDermid, and approximately 28% over the 30-day average closing price leading up to that date. The transaction is expected to be completed in the first half of 2007, subject to receipt of MacDermid stock- holder approval and regulatory approvals, as well as satisfaction of other customary closing conditions.

Raymond J. De Hont, chairman and CEO of Met- Pro Corporation, announced tha t the company's International Division, in cooperation with its Flex- Kleen Division, in Itasca, Ill., has received an order to supply a total of eight Flex-Kleen high-pressure dust collectors for use in a petrochemical facility located in Saudi Arabia. The total value of this order is in excess of $800,000. The equipment is expected to ship in the second quarter of the company's next fiscal year. The high-pressure dust collectors will be used to recover valuable polypropylene product.

The new order is from a new customer, a multi- national South Korean-based engineering operation. Met-Pro's Flex-Kleen Division was selected to pro- vide this equipment based on its extensive experi- ence in high-pressure product recovery applications within the petrochemical industry and specifically with polypropylene recovery.

"This order reinforces Flex-Kleen's reputation as a supplier of choice for field-proven solutions for com- plex high-pressure product recovery applications," De Hont said.
