Do you really know how your stock is valued? This workshop, taught by instructors who teach NIRI's highly rated finance seminar series, will help you appreciate the key drivers of value and see how excellent communications can help support your company's valuation. We cover commonly used discounted cash flow models as well as valuation using a range of multiples - all in a way that is easy to understand, even if you are not a finance specialist.

Taking real company examples, we will look at the mechanics of a valuation model. You will appreciate where the inputs come from and why analysts ask the questions they do. Participants will take an active role in a simulated activist campaign that is based on an actual proxy contest, during a fight. Breaking the group into small teams, experienced practitioners will guide the groups through five distinct, but sequential phases, which will include the initial activist contact, investor relations reaction, CEO and Board engagement, public disclosure and proxy fight.

Presented with the facts of the business case, the teams will be challenged to build their own strategy. The workshop culminates in a debate over the likely outcome and alternative scenarios.

Participants will leave this highly interactive workshop with an ability to leverage internal and external experts for an activist campaign, understanding the best ways to protect management's credibility and corporate reputation, and the tools to build a preemptive, offensive activist strategy.

The five workshop scenarios will include the initial approach, IR engagement, management/board engagement, public disclosure, and a proxy fight.

Transparency in financial reporting is of paramount importance, but it hasn't necessarily translated into the guidance practices of U.S. public companies. Recently, U.S. public companies have increasingly discontinued or substantially pared back their quarterly and annual earnings guidance practices. Among those firms offering guidance, there has been a shift toward general guidelines rather than specific targets. Public companies must be prepared to deal with crisis events of all kinds, and in today's fast-moving media landscape, an effective communications strategy out of the gate is imperative to success. Every crisis is unique, but guidelines for communications stay constant. The workshop will begin with a panel discussion on best practices in crisis management leveraging IROs' experience. Following the panel, participants will be broken up into small teams to address crisis scenarios for a fictitious company: 1) unexpected death of CEO without a succession plan in place; 2) regulatory investigation and 3) facility disaster.

This workshop-based session will put IRO's on the spot to make critical decisions on how to handle various crises. As each scenario evolves, participants will be served an outline of facts and posed questions they must address. How to respond to the crisis? When to respond? Through what vehicles -- press release or statement? Should the company hold a conference call? What constituencies are key? What are the next steps?
