VENETIAN FALLS HOMEOWNERS ASSOCIATION, INC. NOTICE OF ANNUAL MEETING TO ALL MEMBERS: On Wednesday, March 25, 2015 at 7:00 p.m. at the Clubhouse, 2001 Batello Drive, Venice, Florida 34292 the Annual Membership Meeting of the Association will be held for the Election of Four (4) Directors. CANDIDATES FOR THE BOARD: Pursuant to a prior notice, only four (4) candidates submitted their intent to be a candidate form for the available four (4) positions on the Board. If there are no nominations from the floor at the meeting, these candidates will be appointed by acclamation. In accordance with Florida Statute 720.306(1), twenty-five percent (25%) of all Association members (a “quorum”) must be present, in person or by proxy, (per our Governing Documents), at the meeting in order for the business to be conducted. It is therefore VERY IMPORTANT that you either attend this meeting or provide a proxy (enclosed for your use) and a voting certificate, if needed (enclosed for your use) and a ballot (enclosed for your use). Please note the following information regarding PROXIES: A proxy is for the purpose of establishing a quorum and appointing another person to vote for you as you specifically direct in the event you are unable to attend the meeting. If you appoint a proxy and then decide you are able to attend the meeting, you may withdraw your proxy when you register at the meeting. Please note the following information about VOTING CERTIFICATES: A voting certificate is for the purpose of establishing who is authorized to vote for a unit owned by more than one (1) person or a corporation. A voting certificate is not needed if only one person owns the unit. A voting certificate must be signed by all of the owners of the unit. PLEASE NOTE: Per Venetian Falls’ legal counsel, our documents do not require a secret ballot process. Therefore, your ballot may be included in the same envelope as your proxy and voting certificate form. Contained in this package is one (1) proxy form, one (1) ballot form, one (1) voting certificate, if necessary, and one (1) blue envelope to place all the forms in. Again, please be sure to either attend the Annual Membership Meeting or submit your ballot and proxy and voting certificate, if necessary. NOTICE OF ANNUAL MEETING

TO ALL MEMBERS:

On Wednesday, March 25, 2015 at 7:00 p.m. at the Clubhouse, 2001 Batello Drive, Venice, Florida 34292 the Annual Membership Meeting of the Association will be held for the Election of Four (4) Directors.

Please find below the nominees for the Board of Directors of Venetian Falls Homeowners Association, Inc. There are four (4) official openings on the Board. The blank lines are for any write -in candidates that must also be nominated from the floor the night of the meeting. You may vote for four (4) candidates or less. However, if you check more than four (4) candidates your vote will not be counted. Only one (1) ballot per lot will be permitted.

Voting Instructions for Election of Four (4) Directors:

1. The enclosed ballot lists all candidates who are qualified to run for the Board. There will be four (4) directors elected. Please vote forno more than four (4) Directors by marking the ballot with an “X” on the line next to the candidate’s name.

2. The ballot envelope must be placed and sealed in the blue envelope addressed to the Secretary of the Association. You may eithermail your ballot envelope or hand deliver to the Venetian Falls Office.

3. You MUST fill in the homeowner and unit information on the outside of the envelope addressed to the Secretary of the Association(back of envelope at flap) and have all owners sign his/her name(s).

4. The ballot must be received by the Secretary of the Association no later than March 25, 2015, by the appointed time of the AnnualMeeting.

5. If you intend to attend the Annual Membership Meeting, you may cast your ballot at the meeting. PLEASE BRING YOURELECTION MATERIALS WITH YOU WHEN ATTENDING THE MEETING. Additional ballots will be available at the meeting, if you have misplaced your original materials.

(iv) Lot owned by Bill and Mary Rose, husband and wife. Voting certificate required designating either Bill or Mary as the Voting Representative (NOT A THIRD PARTY).
