    ThefollowingconditionsshallapplytoallContractsenteredintoby,oronbehalfof,OmegaRedGroupLtdorits

    TradingDivisions(hereinaftercalledtheCompany)forthesupplyofGoods.

    1. Interpretations

    1.1 IntheseCond itions:

    BuyermeansthepersonwhoacceptsaquotationfromtheSellerforthesaleoftheGoodsorwhoseorderfortheGoodsisacceptedbytheSeller.

    GoodsmeanstheGoods(includinganyinstalmentoftheGoodsoranycomponentparts)whichtheSelleristosupplyinaccordancewiththeseConditions.

    SellermeansOmegaRedGroupLtd.

    Conditionsmeansthestandardtermsandconditionsofsalesetoutinthisdocumentand(unlessthecontextotherwiserequires)includesanyspecialtermsandconditions

    agreedinwritingbetweentheBuyerandtheSeller.

    ContractmeansthecontractforthepurchaseandsaleoftheGoods.

    Writingincludesemail,facsimiletransmissionandanyothercomparablemeansofcommunication.

    1.2 AnyreferenceintheseConditionstoanyprovisionofastatuteshallbeconstruedasareferencetothatprovisionasamended,re-enactedorextendedattherelevanttime.

    1.3 TheheadingsintheseConditionsareforconvenienceonlyandshallnotaffecttheirinterpretation.

    2. Basis of the Sale2.1 TheSellershallsellandtheBuyershallpurchasetheGoodsinaccordancewithanywrittenquotationoftheSellerwhichisacceptedbytheBuyer,oranywrittenorderofthe

    BuyerwhichisacceptedbytheSeller,subjectineithercasetotheseConditions,whichshallgoverntheContracttotheexclusionofanyothertermsandconditionssubjectto

    whichanysuchquotationisacceptedorpurportedtobeaccepted,oranysuchorderismadeorpurportedtobemade,bytheBuyer.

    2.2 NovariationtotheseConditionsshallbebindingunlessagreedinWritingbetweentheauthorisedrepresentativesoftheBuyerandtheSeller.

    2.3 TheSellersemployeesoragentsarenotauthorisedtomakeanyrepresentationsconcerningtheGoodsunlessconrmedbytheSellerinWriting.InenteringintotheContractthe

    Buyeracknowledgesthatitdoesnotrelyon,andwaivesanyclaimforbreachof,anysuchrepresentationswhicharenotsoconrmed.

    2.4 AnyadviceorrecommendationgivenbytheSeller(oritsemployeesoragents)totheBuyer(oritsemployeesoragents)astothestorage,applicationoruseoftheGoodswhich

    isnotconrmedinWritingbytheSellerisfollowedoracteduponentirelyattheBuyersownrisk,andaccordinglytheSellershallnotbeliableforanysuchadviceor

    recommendationwhich isnotsoconrmed.

    2.5 Anytypographical,clericalorothererrororomissioninanysalesliterature,quotation,pricelist,acceptanceofoffer,invoiceorotherdocumentorinformationissuedbytheSeller

    shallbesubjecttocorrectionwithoutanyliabilityonthepartoftheSeller.Exceptasotherwiseexpresslyprovided,nothinginthisContractshallconferorpurporttoconferonany

    thirdpartyanybenetorrighttoenforceanytermofthisContract.

    3. Orders and Specications

    3.1 NoordersubmittedbytheBuyershallbedeemedtobeacceptedbytheSellerunlessanduntilconrmedinWritingbytheSellersauthorisedrepresentative.

    3.2 TheBuyershallberesponsibletotheSellerforensuringtheaccuracyofthetermsofanyorder(includinganyapplicablespecication)submittedbytheBuyer,andforgivingthe SelleranynecessaryinformationrelatingtotheGoodswithinsufcienttimetoenabletheSellertoperformtheContractinaccordancewithitsterms.

    3.3 Thequantity,quality,descriptionandanyspecicationfortheGoodsshallbeassetoutintheSellersquotation(ifacceptedbytheBuyer)ortheBuyersorder(ifacceptedbythe

    Seller).

    3.4 IftheGoodsaretobemanufacturedoranyprocessistobeappliedtotheGoodsbytheSellerinaccordancewiththespecicationsubmittedbytheBuyer,theBuyershall

    indemnifytheSelleragainstallloss,damages,costsandexpensesawardedagainstorincurredbytheSellerinconnectionwithorpaidoragreedtobepaidbytheSellerin

    settlementofanyclaimforinfringementofanypatent,copyright,design,trademarkorotherindustrialorintellectualpropertyrightsofanyotherpersonwhichresultsfromthe

    Seller s useoftheBuyer s spec ication.

    3.5 TheSellerreservestherighttomakeanychangesinthespecicationoftheGoodswhicharerequiredtoconrmwithanyapplicablestatutoryorECrequirements,orwherethe

    GoodsaretobesuppliedtotheSellersspecications,whichdonotmateriallyaffecttheirqualityorperformance.

    3.6 NoorderwhichhasbeenacceptedbytheSellermaybecancelledbytheBuyerexceptwiththeagreementinWritingoftheSellerandontermsthattheBuyershallindemnifythe

    Sellerinfullagainstallloss(includinglossofprot),costs(includingthecostofalllabourandmaterials),damages,chargesandexpensesincurredbytheSellerasaresultof

    cancellation.

    4. Price of the Goods

    4.1 ThepriceoftheGoodsshallbeSellersquotedpriceor,wherenopricehasbeenquoted(oraquotedpriceisnolongervalid),thepricelistedintheSellerspublishedpricelist

    currentatthedateofacceptanceoftheorder.WheretheGoodsaresuppliedforexportfromtheUnitedKingdom,theSellerspublishedexportpricelistshallapply.Allprices

    quotedarevalidfor30daysonlyoruntilearlieracceptancebytheBuyer,afterwhichtimetheymaybealteredbytheSellerwithoutgivingnoticetotheBuyer.

    4.2 TheSellerreservestheright,bygivingnoticetotheBuyeratanytimebeforedelivery,toincreasethepriceoftheGoodstoreectanyincreaseinthecosttotheSellerwhichis

    duetoanyfactorbeyondthecontroloftheSeller(suchas,withoutlimitation,anyforeignexchangeuctuation,currencyregulation,alterationofduties,signicantincreaseinthe

    costoflabour,materialsorothercostsofmanufacture),anychangeindeliverydates,quantitiesorspecicationsfortheGoodswhichisrequestedbytheBuyer,oranydelaycaused

    byaninstructionoftheBuyerorfailureoftheBuyertogivetheSelleradequateinformationorinstruction.

    4.3 ExceptasotherwisestatedunderthetermsofanyquotationorinanypricelistoftheSeller,andunlessotherwiseagreedinWritingbetweentheBuyerandtheSeller,allprices

    aregivenbytheSelleronanexworksbasis,andwheretheSelleragreestodelivertheGoodsotherwisethanattheSellerspremises,theBuyershallbeliabletopaytheSellers

    chargesfort ransport,packag ingand insurance .

    4.4 Thepriceisexclusiveofanyapplicablevalueaddedtax,whichtheBuyershallbeadditionallyliabletopaytotheSeller.

    4.5 ThecostofpalletsandreturnablecontainerswillbechargedtotheBuyerinadditiontothepriceoftheGoods,butfullcreditwillbegiventotheBuyerprovidedtheyare

    returnedundamagedtotheSel lerbeforetheduepaymentdate.

    5. Terms of Payment

    5.1 SubjecttoanyspecialtermsagreedinWritingbetweentheBuyerandtheSellertheSellershallbeentitledtoinvoicetheBuyerforthepriceoftheGoodsonoratanytimeafter deliveryoftheGoods,unlesstheGoodsaretobecollectedbytheBuyerortheBuyerwrongfullyfailstotakedeliveryoftheGoods,inwhicheventtheSellershallbeentitledto

    invoicetheBuyerforthepriceatanytimeaftertheSellerhasnotiedtheBuyerthattheGoodsarereadyforcollectionor(asthecasemaybe)theSellerhastendereddeliveryof

    theGoods.

    5.2 TheBuyershallpaythepriceoftheGoods(lessanydiscounttowhichtheBuyerisentitled,butwithoutanyotherdeduction)within30daysofthedateoftheSellersinvoice,and

    theSellershallbeentitledtorecovertheprice,notwithstandingthatdeliverymaynothavetakenplaceandthepropertyintheGoodshasnotpassedtotheBuyer.Thetimeof

    paymentofthepriceshallbeoftheessenceoftheContract.Receiptsforpaymentswillbeissuedonlyuponrequest.

    5.3 IftheBuyerfailstomakepaymentontheduedatethen,withoutprejudicetoanyotherrightorremedyavailabletotheSeller,theSellershallbeentitledto:-

    5.3.1 CanceltheContractorsuspendanyfurtherdeliveriestotheBuyer.

    5.3.2 AppropriateanypaymentmadebytheBuyertosuchoftheGoods(ortheGoodssuppliedunderanyothercontractbetweentheBuyerandtheSeller)astheSellermaythinkt

    (notwithstandinganypurportedappropriationbytheBuyer);and

    5.3.3 ChargetheBuyerinterest(bothbeforeandafteranyjudgment)ontheamountunpaidattherateof5percentumperannumaboveBankofEnglandbaseratefromtimetotime,

    untilpaymentinfullismade(apartofamonthbeingtreatedasafullmonthforthepurposeofcalculatinginterest).

    6. Delivery

    6.1 DeliveryofGoodsshallbemadebytheBuyercollectingtheGoodsattheSellerspremisesatanytimeaftertheSellerhasnotiedtheBuyerthattheGoodsarereadyfor

    collection,orifsomeotherplaceofdeliveryisagreedbytheSeller,bytheSellerdeliveringtheGoodstothatplace.

    6.2 AnydatesquotedfordeliveryoftheGoodsareapproximateonlyandtheSellershallnotbeliableforanydelayindeliveryoftheGoodshowsoevercaused.Timefordeliveryshall

    notbeoftheessenceunlesspreviouslyagreedbytheSellerinWriting.TheGoodsmaybedeliveredbytheSellerinadvanceofthequoteddeliverydateupongivingreasonable

    noticetotheBuyer.

    6.3 WheretheGoodsaretobedeliveredininstalments,eachdeliveryshallconstituteaseparateContractandfailurebytheSellertodeliveranyoneormoreoftheinstalmentsin

    accordancewiththeseConditionsoranyclaimbytheBuyerinrespectofanyoneormoreinstalmentsshallnotentitletheBuyertotreattheContractasawholerepudiated.

    6.4 IftheSellerfailstodelivertheGoodsforanyreasonotherthananycausebeyondtheSellersreasonablecontrolorbyreasonoftheBuyersfault,andtheSellerisaccordinglyliable

    totheBuyer,theSellersliabilityshallbelimitedtotheexcess(ifany)ofthecosttotheBuyer(inthecheapestavailablemarket)ofsimilarGoodstoreplacethosenotdelivered

    overthepriceoftheGoods.

    6.5 IftheBuyerfailstotakedeliveryoftheGoodsorfailstogivetheSelleradequatedeliveryinstructionsatthetimestatedfordelivery(otherwisethanbyreasonofanycause

    beyondtheBuyersreasonablecontrolorbyreasonoftheSellersfault)then,withoutprejudicetoanyotherrightorremedyavailabletotheSellertheSellermay:-

    6.5.1 StoretheGoodsuntilactualdeliveryandchargetheBuyerforthereasonablecostsincludinginsuranceandstorage);or

    6.5.2 SelltheGoodsatthebestpricereadilyobtainableand(afterdeductingallreasonablestorageandsellingexpenses)accounttotheBuyerfortheexcessoverthepriceunderthe

    ContractorchargetheBuyerforanyshortfallbelowthepriceundertheContract.

    7. Risk and Property7.1 RiskofdamagetoorlossoftheGoodsshallpasstotheBuyer:-

    7.1.1 InthecaseoftheGoodstobedeliveredattheSellerspremises,atthetimewhentheSellernotiestheBuyerthattheGoodsareavailableforcollection;or

    7.1.2 InthecaseofGoodstobedeliveredotherwisethanattheSellerspremises,atthetimeofdeliveryor,iftheBuyerwrongfullyfailstotakedeliveryoftheGoods,thetimewhenthe

    Sellerhastendereddel ivery oftheGoods.

    7.2 NotwithstandingdeliveryandthepassingofriskintheGoods,oranyotherprovisionoftheseConditions,thepropertyintheGoodsshallnotpasstotheBuyeruntiltheSellerhas

    receivedincashorclearedfundspaymentinfullofthepriceoftheGoodsandallotherGoodsagreedtobesoldbytheSellertotheBuyerforwhichpaymentisthendue.

    7.3 UntilsuchtimeasthepropertyintheGoodspassestotheBuyer,theBuyershallholdtheGoodsastheSellersduciaryagentandbailee,andshallkeeptheGoodsseparatefrom

    thoseoftheBuyerandthirdpartiesandproperlystored,protectedandinsuredandidentiedastheSellersproperty.UntilthattimetheBuyershallbeentitledtore-selloruse

    theGoodsintheordinarycourseofitsbusiness,butshallaccounttotheSellerfortheproceedsofsaleorotherwiseoftheGoods,whethertangibleorintangible,including

    insuranceproceeds,andshallkeepallsuchproceedsseparatefromanymoniesorpropertyoftheBuyerandthirdpartiesand,inthecaseoftangibleproceeds,properlystored,

    protectedandinsured.

    7.4 UntilsuchtimeasthepropertyintheGoodspassestotheBuyer(andprovidedthattheGoodsarestillinexistenceandhavenotbeenre-sold)theSellershallbeentitledat

    anytimetorequiretheBuyertodeliveruptheGoodstotheSellerand,iftheBuyerfailstodosoforthwith,toenteruponanypremisesoftheBuyeroranythirdpartywherethe

    Goodsare storedandrepossesstheGoods.

    7.5 TheBuyershallnotbeentitledtopledge,orinanywaychargebywayofsecurityforanyindebtedness,anyoftheGoodswhichremainthepropertyoftheSeller,butiftheBuyer

    doesso,alImoniesowingbytheBuyertotheSellershall(withoutprejudicetoanyotherrightorremedyoftheSeller)forthwithbecomedueandpayable.

    8. Warranties and Liability

    8.1 SubjecttotheconditionssetoutbelowtheSellerwarrantsthattheGoodswillcorrespondwiththeirspecicationatthetimeofdeliveryandwillbefreefromdefectsinmaterial

    andworkmanshipforaperiodof12monthsfromthedateoftheirinitialuseor12monthsfromdelivery,whicheverisrsttoexpire.

    8.2 TheabovewarrantyisgivenbytheSellersubjecttothefollowingconditions:

    8.2.1 TheSellershallbeundernoliabilityinrespectofanydefectintheGoodsarisingfromanydrawing,designorspecicationsuppliedbytheBuyer;

    8.2.2 TheSellershallbeundernoliabilityinrespectofanydefectarisingfromfairwearandtear,willfuldamage,negligence,abnormalworkingconditions,failuretofollowtheSellers

    instructions(whetheroralorinwriting),misuseoralterationorrepairoftheGoodswithouttheSellersapproval;

    8.2.3 TheSellershallbeundernoliabilityundertheabovewarranty(oranyotherwarranty,conditionorguarantee)ifthetotalpricefortheGoodshasnotbeenpaidbytheduedate

    forpayment;

    8.2.4 Theabovewarrantydoesnotextendtoparts,materialsorequipmentnotmanufacturedbytheSeller,inrespectofwhichtheBuyershallonlybeentitledtothebenetofanysuch

    warrantyorguaranteeasisgivenbythemanufacturertotheSeller;

    8.3 SubjectasexpresslyprovidedintheseConditions,andexceptwheretheGoodsaresoldtoapersondealingasaconsumer(withinthemeaningoftheUnfairContractTermsAct

    1977),allwarranties,conditionsorothertermsimpliedbystatuteorcommonlawareexcludedtothefullestextentpermittedbylaw;

    8.4 WheretheGoodsaresoldunderaconsumertransaction(asdenedbytheConsumerTransactions(RestrictionsonStatements)Order1976)thestatutoryrightsoftheBuyer

    arcnotaffectedby theseConditions;

    8.5 ExceptinrespectofdeathorpersonalinjurycausedbytheSellersnegligence,theSellershallnotbeliabletotheBuyerbyreasonofanyrepresentation,oranyimpliedwarranty,

    conditionorotherterm,oranydutyatcommonlaw,orundertheexpresstermsoftheContract,foranyconsequentialordamage(whetherforlossofprotorotherwise), costs,expensesorotherclaimsforconsequentialcompensationwhatsoever(andwhethercausedbythenegligenceoftheSeller,itsemployeesoragentsorotherwise)whicharise

    outoforinconnectionwiththesupplyoftheGoodsortheiruseorresalebytheBuyer,exceptasexpresslyprovidedintheseConditions;

    8.6 TheSellerShallnotbeliabletotheBuyerorbedeemedtobeinbreachoftheContractbyreasonofanydelayinperforming,oranyfailuretoperform,anyoftheSellers

    obligationsinrelationtotheGoods,ifthedelayorfailurewasduetoanycausebeyondtheSellersreasonablecontrol.Withoutprejudicetothegeneralityoftheforegoing,the

    followingshallberegardedascausedbeyondtheSellersreasonablecontrol:-

    8.6.1 ActofGod,explosion,ood,tempest,reoraccident;

    8.6.2 Warorthreatofwar,sabotage,insurrection,civildisturbanceorrequisition;

    8.6.3 Acts,restrictions,regulations,bye-laws,prohibitionsormeasuresofanykindonthepartofanygovernmental,parliamentaryorlocalauthority;

    8.6.4 Importorexportregulationsorembargoes;

    8.6.5 Strikes,lock-outsorotherindustrialactionsortradedisputes(whetherinvolvingemployeesoftheSellerorofathirdparty):

    8.6.6 Difcultiesinobtainingrawmaterials,labour,fuel,partsormachinery;powerfailureorbreakdowninmachinery;

    8.6.7 Powerfailureorbreakdowninmachinery.

    9. Indemnity

    9.1 IfanyclaimismadeagainsttheBuyerthattheGoodsinfringeorthattheiruseorresaleinfringesthepatent,copyright,design,trademarkorotherindustrialorintellectualproperty

    rightsofanyotherperson,theSellershallindemnifytheBuyeragainstallloss,damages,costsandexpensesawardedagainstorincurredbytheBuyerinconnectionwiththeclaim,

    orpaidoragreedtobepaidbytheBuyerinsettlementoftheclaim,providedthat::-

    9.1.1 TheSellerisgivenfullcontrolofanyproceedingsornegotiationsinconnectionwithanysuchclaim;

    9.1.2 TheBuyershallgivetheSellerallreasonableassistanceforthepurposesofanysuchproceedingsornegotiations;

    9.1.3 Exceptpursuanttoanalaward,theBuyershallnotpayoracceptanysuchclaim,orcompromiseanysuchproceedingswithouttheconsentoftheSeller(whichshallnotbe

    unreasonablywithheld);

    9.1.4 TheBuyershalldonothingwhichwouldormightvitiateanypolicyofinsuranceorinsurancecoverwhichtheBuyermayhaveinrelationtosuchinfringement,andthisindemnity

    shallnotapplytotheextentthattheBuyerrecoversanysumsunderanysuchpolicyorcover(whichtheBuyershalluseitsbestendeavourstodo);

    9.1.5 TheSellershallbeentitledtothebenetof,andtheBuyershallaccordinglyaccounttotheSellerfor,alldamagesandcosts(ifany)awardedinfavouroftheBuyerwhichare

    payableby,oragreedwiththeconsentoftheBuyer(whichconsentshallnotbeunreasonablywithheld)tobepaidby,anyotherpartyinrespectofanysuchclaim;and

    9.1.6 WithoutprejudicetoanydutyoftheBuyeratcommonlaw,theSellershallbeentitledtorequiretheBuyertotakesuchstepsastheSellermayreasonablyrequiretomitigateor

    reduceanysuchloss,damages,costsorexpensesforwhichtheSellerisliabletoindemnifytheBuyerunderthisclause.

    10. Insolvency of Buyer

    10.1 Thisclauseappl iesi f: -

    10.1.1 TheBuyermakesanyvoluntaryarrangementwithitscreditorsorbecomessubjecttoanAdministrationorderor(beinganindividualorrm)becomesbankruptor(beinga Company)goesintoliquidation(otherwisethanforthepurposesofamalgamationorreconstruction);or

    10.1.2 Anencumbrancertakespossessionof,orareceiveroradministratorisappointedto,anyofthepropertyoftheBuyer;or

    10.1.3 TheBuyerceases,orthreatenstocease,tocarryonbusiness;or

    10.1.4 TheSellerreasonablyapprehendsthatanyoftheeventsmentionedaboveisabouttooccurinrelationtotheBuyerandnotiestheBuyeraccordingly.

    10.2 Ifthisclauseappliesthen,withoutprejudicetoanyotherrightorremedyavailabletotheSeller,theSellershallbeentitledtocanceltheContractorsuspendanyfurtherdeliveries

    undertheContractwithoutanyliabilitytotheBuyer,andiftheGoodshavebeendeliveredbutnotpaidforthepriceshallbecomeimmediatelydueandpayablenotwithstanding

    anypreviousagreementorarrangementstothecontrary.

    11. Export Terms

    11.1 IntheseConditionsIncotermsmeanstheinternationalrulesfortheinterpretationoftradetermsoftheInternationalChamberofCommerceasinforceatthedatewhenthe

    Contractismade.Unlessthecontextotherwiserequires,anytermorexpressionwhichisdenedorgivenaparticularmeaningbytheprovisionsofIncotermsshallhavethesame

    meaningintheseConditions,butifthereisanyconictbetweentheprovisionsofIncotermsandtheseConditionsthelattershallprevail.

    11.2 WheretheGoodsaresuppliedforexportfromtheUnitedKingdom,theprovisionsofthisclause11shall(subjecttoanyspecialtermsagreedinWritingbetweentheBuyerand

    theSeller)applynotwithstandinganyotherprovisionoftheseConditions.

    11.3 TheBuyershallberesponsibleforcomplyingwithanylegislationorregulationsgoverningtheimportationoftheGoodsintothecountryofdestinationandforthepaymentofany

    dutiesthereon.11.4 UnlessotherwiseagreedinWritingbetweentheBuyerandtheSeller,theGoodsshallbedeliveredfobtheairorseaportofshipmentandtheSellershallbeundernoobligationto

    givenoticeunderSection32(3)oftheSaleofGoodsAct1979.

    11.5 TheBuyershallberesponsibleforarrangingfortestingandinspectionoftheGoodsattheSellerspremisesbeforeshipment,orinrespectofanydamageduringtransit.

    11.6 PaymentofallamountsduetotheSellershallbemadebyirrevocableletterofcreditopenedbytheBuyerinfavouroftheSellerandconrmedbyaBankintheUnitedKingdom

    acceptabletotheSelleror,iftheSellerhasagreedinWritingonorbeforeacceptanceoftheBuyersordertowaivethisrequirement,byacceptancebytheBuyeranddeliveryto

    theSellerofabillofexchangedrawnontheBuyerpayable60daysaftersighttotheorderoftheSelleratsuchbranchofTheNationalWestminsterBankplcinEnglandasmaybe

    speciedinthebillofexchange.

    11.7 TheBuyerundertakesnottooffertheGoodsforresaleortoselltheGoodstoanypersoniftheBuyerknowsorhasreasontobelievethatthatpersonintendstoresellthe

    Goods.

    12. General

    12.1 AnynoticerequiredorpermittedtobegivenbyeitherpartytotheotherundertheseConditionsshallbeinWritingaddressedtotheotherpartyatitsregisteredofceor
