    ANNEXURE-I TERMS & CONDITIONS

    1 Sealed tenders shall be submitted in the two prescribed forms i.e., Technical Bid form and Financial Bid form separately in two separate boxes ie., Box-I for Technical Bid and Box-II for financial bid kept in the office of Forest Utilisation Officer, Andhra Pradesh, Hyderabad before the 1.00 PM on 10.03.2015_

    2 a) Sealed Tenders will not be received/accepted after the prescribed time and date as prescribed above i.e., 1.00 PM on_10.03.2015_.

    b) Downloaded tenders received through online from website will be accepted subject to production of cost of tender schedule Rs.1125/- in the form of DD/BC infavour of FUO,AP,Hyderaba payable at Hyderabad , along with Technical Bid .

    3 Eligibility Criteria : TECHNICAL BID: The tenderers should enclose the following documents attested by Gazetted Officer with the technical bid form sealed tender.

    a) Certificate of Registration Number under Shops & Establishment Act, 1988 under United Andhra Pradesh.

    b) Certificate of Registration Number under Contract Labour (Regulation & Abolition) Act, 1970 and Rules 1971 by Deputy Commissioner/ Assistant Commissioner of Labour

    c) Tenderers having registration for EPF,ESI & Service Tax only to participate.

    d) Certificate Registration Number of EPF certified by EPF department

    e) Certificate of Registration Number of ESI by ESI department f) Certificate of Service Tax Registration g) PAN Card Number h) Whether the tenderer is a Registered Partnership Firm /

    individual or HUF / Company incorporated under Companies Act 1956. Evidence of Proof certified by the Gazetted Officer should be enclosed. In case of partnership firm, a copy of Deed of Parnership with the list of parnters and in case of Company, a copy of Memorandum of Understanding and articles of association should be enclosed.

    i) Income Tax Returns filed in the last three assessment years 2012-13, 2013-14 & 2014-15.

    j) Documentary Proof of complying EPF,ESI & Service Tax to the concerned departments in the last three years.

    k) Documentary Proof of Turnover of the tenderer for the last three years ie., from 2012-13 to 2014-15 by way of Profit & Loss Statement issued by Chartered accountant

    l) Experience Certificate for the last three years attested by Gazetted in supply of manpower in each year to Government Department or Public Sector Departments of United Andhra Pradesh. For this purpose, Copies of Labour licences issued to the tenderer in supply of man power for various department should be enclosed for verification purpose along with copies of work orders of concerned departments forwhich manpower supplied by Tenderer.

    m) The Tenderer must have placed atleast 25 Number of Data Processing Officers/ Data Entry Operators/Drivers/Attenders/Office Assistants etc., in Government Departments in each year during last three years. All necessary work orders should be enclosed and should be get attested by a Gazetted officer.

    n) EMD for Rs.2.00 lakh in the form of Demand Draft in favour of Forest Utilisation Officer, Andhra Pradesh, Hyderabad should be enclosed. Exemption of EMD will not be considered in any circumstances.

    The technical bid form will summarily rejected if any of the above documents attested by Gazetted Officer are not enclosed.

    4 The tenderer should invariably sign all the pages of the tender schedule along with terms and conditions in token of his acceptance of all terms and conditions

    5 The page wise signed copy of the tender schedule along with terms and conditions should be enclosed with the signed technical bid form. In the event of non-enclosure of such page wise signed copies or in the case of enclosed unsigned copies, the technical bid will be rejected.

    6 The forms for Technical Bid and Financial Bid should be furnished separately along with enclosures in sealed covers super scribing on the cover TECHNICAL BID, FINANCIAL BID.In case specific superscription is not made, such covers will not be opened and the same stand rejected.

    7 The received sealed tenders will be finalised in two steps as follows; Step-1: The Box-I consisting of sealed tenders of Technical bid forms will be opened first by the committee members in the presence of tenderers whoever are present. The committee will scrutinise the qualified technical bids and finalise the qualified technical bids. Step-2 :The Box-II consisting of sealed tenders of Financial Bid forms will be opened subsequently by the committee members in the presence of tenderers who ever are present. Only the sealed covers of financial bids corresponding to the qualified technical bids will be opened and finalise the successful tenderer.

    8 Tenders received without EMD or insufficient EMD will summarily be rejected

    9 EMD will not carry any interest 10 EMD of the successful tenderer will be adjusted against the security deposit. 11 EMD of the unsuccessful tenderer will be refunded to them after finalization

    of the tender process 12 No conditional tender will be accepted. 13 Tenders namely viz., technical bids and financial bids will be opened by the

    Committee or by any person authorized to do so in the presence of a committee appointed for this purpose by the Prl. Chief Conservator of Forests, Andhra Pradesh.

    14 If the date of tender opening happens to be a general holiday or local holiday the same will be carried out on the next working day. The Forest Utilisation Officer may also postpone the date of opening of tenders and any such action shall be displayed on the notice board in the office of Forest Utilisation Officer, Andhra Pradesh, Hyderabad.

    15 Tender shall remain valid for (120) days after the date of closure. The department reserves the right to extend, in exceptional circumstances, the validity of tenders for a further period to be notified by the Forest Utilisation Officer and in that case the validity of the tenders shall stand extended accordingly.

    16 Tenders shall not be withdrawn by the tenderer during the said period of validity. If a tender is withdrawn during the said period, the EMD and Security Deposit of the concerned tenderer will be forfeited without any further notice.

    17 The Committee reserves the right to reject all or any of the tenders received without assigning any reason whatsoever. No appeal lies against the rejected tenders.

    NORMS FOR FINANCIAL BID: 18 The tenders should follow the following instructions while quoting

    Tenderer commission (Agency Commission) the Financial Bid. a) Tenderer Commission (Agency Commission) shall be calculated only on

    the wage bill amount including all other statutory recoveries i.e., EPF (13.61%)& ESI (4.75%) of Employer share and Service Tax (12.36%) in addition to his commission to services provided for deployment of outsourced staff. Tender commission quoted on the basis other than percentage basis shall be summarily rejected. The % Tender Commission should be indicated as follows; % of Tenderer (Agency) Commission:

    b) As per GO Circular MemoNo.8999-A/319A2/SMPC/2007, dt.21.4.2007, it is the responsibility of the Tenderer to bear out of its commission, the Employers Contribution towards Provident Fund, ESI & Service Tax etc. The tenderer (agency) has to quote its commission keeping all these payments in view and no additional amount other than the above will be given to successful tenderer (agency).

    c) In case of tie in Financial Bid, the agency having provided higher number of man power to Government Departments in United Andhra Pradesh and also having higher average turnover in the previous three years as mentioned in the technical bid will be given preference.

    d) Tenderer (Agency) Commission towards his services below 0% will not be accepted.

    e) Man power supplied to different private agencies will not be considered.

    NORMS FOR ENTERING INTO AGREEMENT: 19 The successful tenderer shall deposit Security Deposit of amount

    Rs.5,00,000/- (Rupees Five lakhs only) within (7) days from the date of finalization of the tenders by way of Demand Draft / Banker cheque in favour of Forest Utilisation Officer, Andhra Pradesh, Hyderabad. Further security deposit Rs.10,00,000/- (Rupees Ten Lakhs only) should be paid in the form of Bank Guarantee in the name of Forest Utilisation Officer for the agreement period along with Security deposit before entering into the agreement. The security deposit along with the further security deposit will be returned to the successful tnderer on application within (2) months after making final payments or at the expiry of the agreement period whichever is later.

    20 The EMD to be paid by the Successful Tenderer is based on the minimum number of candidates in each category. (i) The EMD (1% of ECV) can be adjustable against the security deposit&

    FSD (7.5% of TCV) of the successful bidder. (ii) The Security Deposit from the bidder will be obtained for the contract

    period. (iii) The Security Deposit will be obtained from the successful tenderer

    based on the number of candidates actually required in each category during the contract period and the deposit will be kept until the expiry of his agreement on successful completion.

    21 The successful Tenderer shall enter into an agreement for supply of the

    manpower for a minimum period of (12) months i.e. 01/04/2015 to 31/03/2016 from the date of commencement of agreement. The Forest Department reserves the right to renew the contract for a further period of 12 months or a portion of it on the present terms and conditions and prices subject to the satisfaction of the committee. The agreement shall be between successful tenderer and the Forest Department.

    22 The successful tenderer should enter into an agreement with the Forest Utilization Officer, Andhra Pradesh, Hyderabad to provide services as per the manpower requirement in the following categories on the terms and conditions mentioned therein. The successful tenderer shall continue the persons rendering service at present in various categories where ever possible. The candidates to be provided under various categories should have the qualifications as shown in the Annexure-B. The required number of persons mentioned below are tentative only. It may increase or decrease depending up on actual requirement. The Successful tenderer is bound to accept such modification in requirement for supply of outsourced persons as demanded by Forest Utilisation Officer, AP, Hyderabad.

    will be informed at the time of entering into agreement. The successful tenderer is bound accept

    the same and supply the outsourced staff as demanded by FUO,AP,Hyderabad.

    23 The successful tenderer shall deploy required number of personnel and to provide the said services and immediately communicate their names, residential address, age, etc., within (10) days from the date of their deployment or any change about it from time to time. The personnel rendering services at present shall be considered before considering other candidates.

    24 The orders issued by the Government in G.O.Ms.Mo.3, Finance (SMPC-II) Department, dated 12/01/2011 and amendments if any communicated by FUO,AP,Hyderabad should be adhered to and complied with by the successful Tenderer while making payment of remuneration.

    25 The Successful Tenderer has to pay Remuneration to the outsourcing persons as fixed by the Government in full duly deducting Employee Contribution towards EPF, ESI & Profession Tax. The successful tenderer should produce a remittance certificate towards EPF and ESI Contributions at the time of submitting bill for the following month. Any excess deductions made by the Successful tenderer in violation of the Government instructions shall result in stringent action including termination duly protecting the interest of outsourcing persons.

    26 The successful tenderer has to withdraw the services of the staff on report by the Forest Utilization Officer, Andhra Pradesh, Hyderabad in case of services of such staff, whose services, are not satisfactory and or not upto the mark. The successful tenderer has to replace such persons as informed by the Forest Utilization Officer, Andhra Pradesh, Hyderabad immediately.

    27 Bonus: Though the Outsourcing agencies shall have to register as per the provisions of Contract Labour (Regulation and adoption) Act. 1970, the outsourced personnel engaged in Government Departments are not eligible for Bonus.

    28 The Manpower should be supplied anywhere in the State Andhra Pradesh if the office of Prl. Chief Conservator of Forest is relocated from Hyderabad to any other place as per the orders of the Government. Man power also should be supplied in all offices at all locations if the o/o Prl. Chief Conservator of Forests is relocated to more than one location.

    29 No wage/remuneration will be paid to any staff for the days of absence from duty.

    30 The agreement can be terminated by the Forest Utilization Officer, Andhra Pradesh, Hyderabad at any time by giving one month notice without assigning any reason.

    31 The successful tenderer shall not be allowed to transfer, assign, pledge or subcontract fully or partially , its rights and liabilities transfer or assign the agreement to any other party or organization by whatever name be called.

    32 The tenderer is bound by the details furnished by him/her to the Forest Department while submitting the tender or at subsequent stage. In case, any such document furnished by him/her is found to be false at any stage, it would be deemed to be a breach of terms of agreement making him/her liable for legal action beside termination of agreement.

    Black List: 33 The persons deployed by the successful tenderer shall be under the overall

    control and supervision of the Successful Tenderer and the Successful Tenderer shall be liable for payment of their wages etc. and all other dues within the stipulated time. If any compliant is received later in non-payment of EPF,ESI and Service Tax to the Government Departments or less remuneration to Outsourced employees, the difference of such amount will be deducted from Security Deposit and remitted to concerned Government Departments and outsourced employees and the contract shall be cancelled and the successful tenderer against whom such complaints on verification are found true will be Black listed by the Committee.     34 In case, the Successful Tenderer is not interested to continue the agreement subject to the condition that the successful tenderer shall give a representation to the Forest Department before three months. If the successful tenderer does not give the requisite representation as mentioned above, then his security deposit shall be forfeited and Demand Draft shall

    be en-cashed in proportion to the period falling short of the specified intimation period and successful tenderer will be Black listed and Second lowest tenderer will be given opportunity to enter into agreement.

    Other Conditions:- 35 The Successful Tenderer shall pay basic monthly wages and remit the

    statutory charges (EPF/ESI) provided by the Principal Employer into the individuals accounts of all his employees and he should give the remittance slips to the individuals along with the pay of next month without fail. In the event of minimum wages exceeding the basic wages, already being paid then the Successful Tenderer shall pay wages to his employees at the rate of minimum wages as fixed by the Regional Provident Commissioner from time to time. The Successful Tenderer shall provide full information in respect of the wages etc., paid by him to his employees deployed in conformity with the provisions of the Contract Labour (Regulation and Abolition) Act, 1970 and Rules. Wages for different categories of Manpower if increase the same will be effected.

    36 The Successful Tenderer shall furnish details of disbursement of salary of previous month to the Principal Employer / Forest Utilization Officer, Andhra Pradesh, Hyderabad along with the monthly bill. This obligation is imposed on the Successful Tenderer to ensure that the Successful Tenderer is fulfilling his commitments towards his employees so deployed under the various labour laws. The Successful Tenderer shall comply with or cause to be complied with the Contractors LabourRegulations made by the FOREST DEPARTMENT from time to time in regard to payments of wages, wage period deduction from wages, recovery of wages not paid and deductions un-authorizedly made. He will maintain attendance registers, individuals ledger / wage book, wage slip, publications of scale of wages and terms of employment.

    37 As most of the outsourcing persons will be working as personal assistance to the officers - it is important that the individual appointed should be able to discharge duties in close association with the concerned officer. The Successful Tenderer should take all requirements of the officer concerned into consideration and appoint a suitable person as desired by the concerned officer. He may also consider the candidates presently working for such placement before considering new candidates.

    38 The instructions issued by Government of Andhra Pradesh vide GO Rt.No.4459, Finance (SMPC) Dept, dt.27.12.2006, GO Rt.No.815, GA(Ser-A) Dept,dt.13.2.2007, Circular Memo No.8999-A/319/A2/SMPC/2007, dt.21.4.2007 & GO Rt.No.4271,Finance (SMPC) Dept, dt.1.11.2008 should be abide by the Successful Tenderer.

    39 The Principal Employer / Forest Utilization Officer, Andhra Pradesh, Hyderabad or any other Officer(s) so authorized by him shall be at liberty to carry out any surprise check on the working of the persons so deployed by the outsourcing agency in order to ensure that he required number of persons are deployed and that they are attending to their duties satisfactorily.

    40 For the purpose of proper identification of the employees deployed at various places, the successful tenderer shall issue them identity cards at his own

    cost and his employees are duty bound to display the identity cards during duty hours. The persons rendering service at present in various categories shall have to be considered first by the successful tenderer before selecting any other candidate for providing persons. A distinct coloured APRON shall be supplied to all the outsourced employees for state identification

    41 On taking over the responsibility of providing said services, the Successful Tenderer shall formulate the mechanism and monthly duty assignment chart for circulation in all the areas of the deployment in FOREST DEPARTMENT for approval of the Principal Employer/ Forest Utilization Officer, Andhra Pradesh, Hyderabad. He will keep on reviewing his arrangements from time to time and take additional measures, if any, for further streamlining the said arrangements. He will further ensure that no person is deployed on double duty except in urgent circumstances. The successful tendeerer as well as the staff deployed on duty shall, however, be duty bound to carry out the directions/ instructions given to him in this regard by the Principal Employer/ Forest Utilization Officer, Andhra Pradesh, Hyderabad to do so in this regard from time to time. Any dereliction from such obligation shall be considered as breach of the terms of this contract.

    42 The Successful Tenderer should confirm to the provisions of various Central/ State Act(s) or the Regulations on the subject as well as terms and conditions of the agreement. He will be liable for the deduction of TDS as Income Tax as per provision of the Income Tax Act, 1961 or as applicable from time to time. Apart from this, the successful tenderer shall also pay Service Tax at the rates as applicable from time to time.

    43 The successful tenderer should take all reasonable precautions to prevent any unlawful act or disorderly conduct of his employees so deployed for the preservation of peace and protection of persons and property of the FOREST DEPARTMENT

    44 In case any of the persons deployed by the Successful Tenderer does not come upto the mark or does not perform duties satisfactorily or indulges in any unlawful act or misconduct, the successful tenderer shall take suitable action against such employee on the direction of the Principal Employer/ Forest Utilization Officer, Andhra Pradesh, Hyderabad or any other officer so authorized by him in this regard. The successful tenderer is fully responsible for the acts of omissions / commissions done by the persons deployed by him which may results in damage or loss to the Forest Department.

    45 In case of any complaint/ defect pointed out by the FOREST DEPARTMENT authorities, the Successful Tenderer shall immediately replace the person so deployed and the loss amount will be recovered from the Successful Tenderer. The Successful Tenderer also is responsible for the property damaged / stolen by any person employed by him and he should take adequate precautions in this regard to screen the persons before deploying them

    46 In case of any deficiency in the service by personnel so deployed on contract basis or in the case of disobedience by the staff so deployed on duty, the Principal Employer/ Forest Utilization Officer, Andhra Pradesh, Hyderabad or any officer authorized by him shall be at liberty to impose penalty as may be deemed fit upto a maximum of Rs.500/- for each such occasion after

    giving him an opportunity of being heard in person. The decision of the Principal Employer/ Forest Utilization Officer, Andhra Pradesh, Hyderabad shall be final and binding on the successful tenderer.

    47 The successful tenderer shall replace immediately its outsourced persons deployed who are found unacceptable to the Forest Utilisation Officer because of security risk, incompetence, conflict of interest, improper conduct etc., up on receiving notice from the Forest Utilisation Officer, Andhra Pradesh, Hyderabad.

    48 Whenever a candidate is required to be replaced the Successful Tenderer shall take the approval of the Forest Utilization Officer before replacing the candidate and also get the approval of Forest Utilization Officer regarding the suitability of the candidate replacing. Provided that during the notice period for termination of the agreement, in the situation contemplated above, the successful tenderer shall keep on discharging his duties as before till the expiry of notice period

    49 For all intents and purpose, the successful tenderer shall be Employer within the meaning of different labour legislation in respect of oursourced staff so deployed in O/o Prl. Chief Conservator of Forests. There is no Master and Servant or Employer and Employees relationship between the outsourced employees successful tenderer and this department and further the said persons of the successful tenderer shall not claim any employment, engagement or absorption in this Department in future.

    50 The Successful tenderer shall be solely responsible for redressal of grievances/resolution of disputes relating persons deployed by him to Forest Department. The Forest Department will in no way, be responsible for settlement of such issues whatsoever.

    51 The successful tenderer on his part and through its own resources shall ensure that the goods, materials and equipments etc., supplied to the persons deployed to this department for discharge of duties assigned to them are not damaged in the process of carrying out the services undertaken by it and shall be responsible for act of commission and omission on the part of its staff and its employees. Etc. If this department suffers any loss or damage on account of negligence, default or theft on the part of the persons deployed by the successful tenderer, then the successful tenderer shall be liable to reimburse o this department for the same. The successful tenderer shall keep this department fully indemnified against any such loss or damage.

    52 The Forest Department is not responsible for any damage, losses claims, financial or other injury, to any person deployed by the successful tenderer in the course of performing functions/duties or for payment towards any compensation.

    53 The persons deployed by the successful tenderer shall not divulge or disclose to any person any details of office operation process, technical know-how, security arrangements, administrative/organizational matters as all are confidential / secret in nature.

    54 The persons deployed should be polite, cordial,positive and efficient while handling the assigned work and their actions shall promote goodwill and enhance the image of this department. The successful tenderer shall be responsible for any act of indiscipline on the part of persons deployed by him.

    55 The successful Tenderer shall abide by the terms and conditions as already

    stipulated. However, the Committee reserves the right to include exclude/modify the terms and conditions at any point of time i.e., before or after execution of the agreement with successful tenderer

    56 The Committee or the person authorized by it Reserves right to add, modify and delete any conditions in the agreement and the successful tenderer is bound by such action.

    57 In all matters of doubts and disputes, the decision of the Committee shall be final and binding on all the parties and no appeal lies with anyone else.

    It is certified that I have read all the 1 to 57Terms and Conditions at (Page No.1 to 9) & Annexure-A (at

    Page No.10)& Annexure-B (at Page No.11) which are supplied with the Tender schedule : Terms and Conditions and agreed with all Terms and Conditions and also agreed to participate in the tenders for supply of man power to the O/o Prl. Chief Conservator of Forests, Andhra Pradesh, Hyderabad. The terms and conditions of the tender schedule are agreed and signed by me.
