Terms used herein shall be deemed to be defined as such for the purposes of (1) the “General Termsand Conditions” set forth in the Base Prospectus for the issuance of Medium Term Notes and InflationLinked Notes dated 28 June 2013 of ING Bank N.V., ING Bank N.V., Sydney Branch and ING AmericasIssuance B.V., as supplemented from time to time, (the “Level 1 Programme Prospectus”), and (2) the“Terms and Conditions of Index Linked Notes” set forth in the Base Prospectus for the issuance of IndexLinked Notes of ING Bank N.V. and ING Americas Issuance B.V. dated 5 July 2013, as supplemented fromtime to time, (the “Index Linked Note Base Prospectus” and together with the Level 1 ProgrammeProspectus, the “Prospectus”) which constitutes a base prospectus for the purposes of the ProspectusDirective (Directive 2003/71/EC), as amended from time to time (the “Prospectus Directive”). Thisdocument constitutes the Final Terms applicable to the issue of Notes described herein for the purposes ofArticle 5.4 of the Prospectus Directive (as implemented by the Dutch Financial Supervision Act (Wet op hetfinancieel toezicht) and its implementing regulations) and must be read in conjunction with suchProspectus. 9 GENERAL

Offers of the Notes are conditional on their issue. As between theAuthorised Offerors and their customers, offers of the Notes arefurther subject to conditions as may be agreed between them and/oras specified in the arrangements in place between them.

A prospective Noteholder should contact the Authorised Offerors inthe applicable Public Offer Jurisdiction prior to the end of the OfferPeriod. A prospective Noteholder will subscribe for the Notes inaccordance with the arrangements existing between such AuthorisedOfferor and its customers relating to the subscription of securitiesgenerally. Noteholders will not be required to enter into anycontractual arrangements directly with the Issuer in connection withthe subscription of the Notes.

The results of operations of the Global Issuer are affected bydemographics and by a variety of market conditions, including economiccycles, banking industry cycles and fluctuations in stock markets, interestand foreign exchange rates.In 2012, the external environment continued to have an impact on theGlobal Issuer as the euro sovereign debt crisis in the Eurozone maintaineda challenging economic and financial market environment for a major partof the year. This led to international capital and money markets notfunctioning in the manner they would in more normal circumstances. Thishad repercussions (for the Global Issuer, its industry and the broadereconomy) especially in Europe where funding for governments andfinancial institutions continues to be difficult in certain markets.
The operations of the Global Issuer are exposed to fluctuations in equitymarkets. The Global Issuer maintains an internationally diversified andmainly client-related trading portfolio. Accordingly, market downturns arelikely to lead to declines in securities trading and brokerage activitieswhich it executes for customers and therefore to a decline in relatedcommissions and trading results. In addition to this, the Global Issuer alsomaintains equity investments in its own non-trading books. Fluctuations inequity markets may affect the value of these investments.
The operations of the Global Issuer are exposed to fluctuations in interestrates. The Global Issuer’s management of interest rate sensitivity affectsthe results of its operations. Interest rate sensitivity refers to therelationship between changes in market interest rates on the one hand andfuture interest earnings and economic value of its underlying bankingportfolios on the other hand. Both the composition of the Global Issuer’sassets and liabilities and the fact that interest rate changes may affectclient behaviour in a different way than assumed in the Global Issuer’sinternal models may result in a mismatch which causes the banking longerterm operations’ net interest income and trading results to be affected bychanges in interest rates.
The Global Issuer is exposed to fluctuations in exchange rates. The GlobalIssuer’s management of exchange rate sensitivity affects the results of itsoperations through the trading activities for its own account and becauseING Bank prepares and publishes its consolidated financial statements ineuros. Because a substantial portion of the Global Issuer’s income andexpenses is denominated in currencies other than euros, fluctuations in theexchange rates used to translate foreign currencies into euros will impactits reported results of operations and cash flows from year to year. Les résultats d’exploitation de l’Émetteur Global sont affectés par la
démographie et par une variété de conditions de marché, y compris les cycles économiques, les cycles de l’industrie bancaire et par les fluctuations des
marchés boursiers, des taux d’intérêts et des taux de change.
En 2012, l’environnement extérieur a continué à influencer l’Émetteur Global
puisque la crise de la dette souveraine euro dans la zone euro a maintenu un environnement de marché financier et économique difficile pendant la majeure
partie de l’année. Cela a conduit à ce que les capitaux internationaux et les
marchés monétaires n’ont pas fonctionné de la manière dont ils auraient fonctionné dans des circonstances plus normales. Cela a eu des répercussions
(pour l’Émetteur Global, son secteur et l’économie en général) en particulier en Europe, où le financement pour les gouvernements et les institutions
financières continue d’être difficile dans certains marchés.
Les opérations de l’Émetteur Global sont exposées aux fluctuations des marchés d’actions. L’Émetteur Global maintient un portefeuille de négociation
principalement lié aux clients et diversifié internationalement. En conséquence, les replis du marché sont susceptibles de conduire des activités
de négoce de titres et les activités de courtage que l’Émetteur Global exécute pour les clients et, par conséquent, à une baisse des commissions liées et des
résultats de négoce. En outre, l’Émetteur Global maintient également des
investissements en actions dans son propre portefeuille d’opérations autres que de négociation. Les fluctuations des marchés d’actions peuvent influencer
la valeur de ces investissements.
Les opérations de l’Émetteur Global sont exposées aux fluctuations des taux
d’intérêt. La gestion par l’Émetteur Global de la sensibilité aux taux d’intérêt influence son résultat d’exploitation. La sensibilité aux taux d’intérêt fait
référence à la relation entre les variations de taux d’intérêt du marché d’une
part et les revenus d’intérêts futurs et la valeur économique de ses portefeuilles bancaires sous-jacents, d’autre part. Tant la composition des
actifs et du passif de l’Émetteur Global que le fait que les variations de taux d’intérêt peuvent influencer le comportement des clients d’une manière
différente que celle supposée dans les modèles internes de l’Émetteur Global,
peuvent entraîner un déséquilibre qui aboutit à la situation où les revenus nets d’intérêts des opérations bancaires à plus long terme et les résultats
commerciaux sont affectés par les changements de taux d’intérêt.
L’Émetteur Global est exposé aux fluctuations des taux de change. La gestion
par l’Émetteur Global de la sensibilité aux taux de change influence les résultats d’exploitation en raison des activités de négociation pour compte
propre et parce que l’Émetteur Global prépare et publie ses comptes
consolidés en euros. Étant donné qu’une partie significative des revenus et des dépenses de l’Émetteur Global est libellée en devises autres que l’euro, les
fluctuations des taux de change utilisés pour convertir les devises étrangères en euros auront un impact sur les résultats d’exploitation rapportés et les flux
de trésorerie d’année en année. Cette exposition est atténuée par le fait que les résultats réalisés en devises autres que l’euro sont convertis en euros par une
couverture mensuelle.

A Een “Openbare Aanbieding” van Notes is een aanbod van Notes (anders dan op grond van Artikel 3(2) van de Prospectusrichtlijn) in
België tijdens de hierna beschreven Aanbiedingsperiode. De personen aan wie de Wereldwijde Emittent de toestemming geeft in
overeenstemming met de voorgaande voorzieningen zijn de “Bevoegde Aanbieders” voor dit Openbaar Aanbod.
Openbaar Aanbod: de hierboven vermelde toestemming van de
Wereldwijde Emittent geldt voor Openbare Aanbiedingen van Notes
tijdens de periode van 15 juli 2013 tot 21 augustus 2013 (de “Aanbiedingsperiode”).
Voorwaarden voor toestemming: De voorwaarden voor de
toestemming van de Wereldwijde Emittent (naast de hierboven vermelde voorwaarden) zijn van die aard dat de toestemming (a) enkel
geldig is met betrekking tot de relevante Tranche van Notes, (b) enkel geldig is tijdens de Aanbiedingsperiode, en (c) enkel betrekking heeft
op het gebruik van het Basisprospectus om Openbare Aanbiedingen te doen voor de betrokken Tranche van Notes in België.
Een belegger die de intentie heeft om Notes te kopen of Notes koopt
in het kader van een Openbare Aanbieding van een andere Bevoegde
Aanbieder dan de Wereldwijde Emittent, zal dit doen, en aanbiedingen en verkopen van dergelijke Notes aan een belegger door deze
Bevoegde Aanbieder zullen worden uitgevoerd, in overeenstemming met de voorwaarden en andere regelingen die bestaan tussen deze
Bevoegde Aanbieder en deze belegger, met inbegrip van prijs-, allocatie-, kosten- en vereffeningsregelingen.

De bedrijfsresultaten van de Wereldwijde Emittent worden beïnvloed door
demografische ontwikkelingen en door diverse marktomstandigheden, waaronder economische cycli, cycli in de bankensector en schommelingen
in aandelenmarkten, rentevoeten en wisselkoersen.
In 2012 bleef de externe omgeving een impact hebben op de Wereldwijde Emittent, omdat de heersende schuldencrisis in de Eurozone tijdens een
groot deel van het jaar een moeilijke omgeving bleef voor de economische en financiële markt. Dit heeft ertoe geleid dat de internationale kapitaal-
en geldmarkten niet functioneren zoals ze dat in normale omstandigheden
zouden doen. Dit had gevolgen (voor de Wereldwijde Emittent, zijn sector en de bredere economie), vooral in Europa, waar fondsen voor overheden
en financiële instellingen op bepaalde markten moeilijkheden blijven ondervinden.
De operaties van de Wereldwijde Emittent worden blootgesteld aan
schommelingen op de aandelenmarkten. De Wereldwijde Emittent beheert
een internationaal gediversifieerde portefeuille die vooral gericht is op klantgebonden trading. Daarom zullen tegenslagen op de markt naar alle
waarschijnlijkheid zorgen voor een minder intensieve effectenhandel en geringere Dealer-activiteiten van de Wereldwijde Emittent voor zijn
cliënten, met als gevolg een afname van de handelsresultaten en een
daling van de bijhorende commissies. Bovendien behoudt de Wereldwijde Emittent ook aandelenbeleggingen in zijn eigen niet-tradingrekeningen.
Fluctuaties in de aandelenmarkten kunnen van invloed zijn op de waarde van deze beleggingen.
De activiteiten van de Wereldwijde Emittent zijn blootgesteld aan
schommelingen in rentevoeten. Het beleid van de Wereldwijde Emittent
met betrekking tot de schommelende rentemarkten heeft een invloed op de resultaten van zijn operaties. Onder rentegevoeligheid wordt verstaan de
relatie tussen veranderingen in de marktrentes enerzijds en toekomstige rente-inkomsten en de economische waarde van de onderliggende
bankportefeuilles anderzijds. Zowel de samenstelling van de activa en
passiva van de Wereldwijde Emittent als het feit dat de rentevoeten schommelen, kunnen het gedrag van de cliënt anders beïnvloeden dan in
de interne modellen van de Wereldwijde Emittent waardoor de netto-inkomsten en de handelsresultaten van de operaties van de bank op
langere termijn beïnvloed kunnen worden door schommelingen in de rentevoeten.
De Wereldwijde Emittent is blootgesteld aan schommelingen fluctuaties in
Element Titel
de wisselkoersen. Het beleid van de Wereldwijde Emittent met betrekking
tot de schommelende wisselkoersen heeft een invloed op de resultaten van
zijn operaties, deels via handelsactiviteiten voor eigen rekening, maar ook omdat ING Bank zijn geconsolideerde financiële staten in euro opstelt en
publiceert. Omdat een groot deel van het inkomen en de uitgaven van de substantieel gedeelte van de inkomsten en kosten van de Wereldwijde
Emittent in andere munten dan de euro wordt uitgedrukt, zullen schommelingen in de wisselkoersen die gebruikt worden om vreemde
munten om te zetten in euro, een invloed hebben op de resultaten van
operaties en cashflow zoals die van jaar tot jaar worden gerapporteerd. Deze blootstelling wordt beperkt door het feit dat in andere valuta's dan de
euro gerealiseerde resultaten worden omgerekend in euro's door middel van maandelijkse afdekking.

De Wereldwijde Emittent heeft een senior schuldrating van Standard &
Poor’s Credit Market Services Europe Limited (“Standard & Poor’s”),
Moody’s Investors Services Ltd. (“Moody’s”) en Fitch France S.A.S. (“Fitch”), waarvan de details te vinden zijn in het desbetreffende
registratiedocument. Standard & Poor’s, Moody’s en Fitch zijn gevestigd in de Europese Unie en zijn geregistreerd onder Verordening (EG) nr.
1060/2009 van het Europese Parlement en de Raad van 16 september 2009
inzake ratingbureaus, als van tijd tot tijd gewijzigd (de “CRA-verordening”).
De in het kader van het Programma uit te geven Tranches van Notes
kunnen wel of niet een rating hebben. Wanneer een Tranche van Notes een rating krijgt, zal deze rating niet noodzakelijkerwijs dezelfde zijn als de
rating(s) die aan de Wereldwijde Emittent, het Programma of de in het kader van het Programma reeds uitgegeven Notes is (zijn) toegekend.
De rating van een effect is geen aanbeveling om dat effect te kopen, te
verkopen of te houden en kan te allen tijde onderhevig zijn aan opschorting, verlaging of intrekking door het ratingbureau dat de rating
toekent.

De Notes zijn rechtstreekse, onvoorwaardelijke, niet-achtergestelde, niet-gewaarborgde verplichtingen van de Wereldwijde Emittent en zullen pari
passu gerangschikt zijn ten opzichte van elkaar en (behoudens bepaalde schulden die wettelijk voorrang hebben) ten opzichte van alle andere niet-
gewaarborgde verplichtingen (anders dan achtergestelde verplichtingen, in
voorkomend geval) die de Wereldwijde Emittent van tijd tot tijd heeft uitstaan.
Belastingen
De Notes zullen geen enkele bepaling bevatten die de Wereldwijde
Emittent verplicht om, in het kader van een rente en aflossing op de
hoofdsom, te betalen bedragen aan te vullen tot de brutobedragen in geval van belastinginhouding of –aftrek in het kader van of op grond van in enig
rechtsgebied geheven belasting.
De Wereldwijde Emittent kan er ook voor kiezen, indien hij zou worden
verplicht om ter gelegenheid van de volgende betaling in verband met de Notes belasting met betrekking tot de Notes in te houden of te betalen, om
de Notes af te lossen.

Negatieve zekerheid
De voorwaarden van de Notes bevatten geen bepaling inzake een
negatieve zekerheid.
Gebeurtenissen van verzuim
De voorwaarden van de Notes bevatten, onder andere, de volgende
gevallen van verzuim (“Gebeurtenissen van Verzuim”):
(i) het verzuim inzake de betaling van rente of aflossing op de hoofdsom met betrekking tot de Notes houdt langer dan 30 dagen
aan; of
(ii) de Wereldwijde Emittent komt een van zijn andere verplichtingen in
het kader van de Notes niet na en deze niet-nakoming duurt voort
gedurende een termijn van 60 dagen na de kennisgeving van een ingebrekestelling aan de Wereldwijde Emittent; of
(iii) de Wereldwijde Emittent wordt failliet verklaard of komt in
surseance van betaling te verkeren ; of
(iv) er wordt een verklaring ingediend met betrekking tot de Wereldwijde
Emittent waarin een noodregeling krachtens hoofdstuk 3, afdeling
3.5.5.1 van de Nederlandse Wet op het financieel toezicht wordt aangevraagd; of
(v) er is een bevel opgesteld of er is een uitvoerbaar besluit goedgekeurd
houdende de vereffening of ontbinding van de Wereldwijde Emittent,
tenzij dit gebeurt in het kader van een fusie, consolidatie of andere vorm van samensmelting met een andere vennootschap, en de
voorwaarden voor deze fusie, consolidatie of combinatie (A) tot gevolg hebben dat de hieruit ontstane of anderszins overlevende
vennootschap alle verplichtingen die door de Wereldwijde Emittent met betrekking tot de Notes zijn aangegaan op zich nemen of (B)
vooraf zijn goedgekeurd via een Buitengewoon Besluit van de
houders van de Notes.
Vergaderingen en schriftelijke besluiten
De voorwaarden van de Notes bevatten bepalingen inzake het
bijeenroepen van vergaderingen van houders van de Notes om te beraadslagen over aangelegenheden die in algemene zin van invloed zijn
op hun belangen. Deze bepalingen staan omschreven meerderheden toe om besluiten te nemen die verbindend zijn voor alle houders, met inbegrip
van houders die niet aanwezig waren bij en geen stem hebben uitgebracht
tijdens de desbetreffende vergadering en houders die tegen het meerderheidsbesluit hebben gestemd. Ook kan actie worden ondernomen
door middel van schriftelijke besluiten.
Toepasselijk recht
Op de Notes is het Engelse recht van toepassing en de Notes worden
uitgelegd in overeenstemming met het Engelse recht.

C.16 Het verstrijken of vervaldatum van de effecten
Onder voorbehoud van overeenstemming met toepasselijke wetten, regelgevingen en richtlijnen is de datum van de terugbetaling van de Notes de Vervaldatum.
C.17 Beschrijving van de afwikkelingspro-cedures voor de effecten
De Notes zullen in contanten worden terugbetaald op de Vervaldatum. De Notes zullen geleverd worden op de Uitgiftedatum tegen betaling van de uitgifteprijs van de Notes. Settlement zal variëren naargelang het clearingsysteem en de plaatselijke gebruiken in het rechtsgebied van de belegger. Clearing van de Notes zal plaatsvinden via Euroclear.
C.18 Een beschrijving van hoe de opbrengst op afgeleide effecten plaatsvindt
De waarde van het onderliggende waar de Notes aan gekoppeld zijn, zal een invloed hebben op het bedrag dat wordt betaald op de datum van de terugbetaling.
Uncapped (Partial) Capital Protection Redemption
Het Final Redemption Amount dat betaalbaar is op elke Note wordt
berekend als het product van: (i) het Calculation Amount; (ii) de CA Factor; en (iii) de som van (a) het Protection Level en (b) het product van
de Participation en het hogere tussen (1) 0% en (2) de Prestatie.
De CA Factor is de factor waarmee het Calculation Amount
(“Berekeningsbedrag”) moet worden vermenigvuldigd om uit te komen op het bedrag van de kleinste coupure van de Note zonder enige afronding.
De Prestatie zal worden berekend als het quotiënt van: (i) (a) de Average Index Level min (b) de Strike Level; en (ii) het Initiële Niveau van de
Index, vermenigvuldigd met 100%.
Het Gemiddelde Niveau van de Index (“Average Index Level”) is het
rekenkundige gemiddelde van het niveau van de Index op de Valuation Time voor elke Asian-out Averaging Date en stemt overeen met het
product van (i) het quotiënt van (a) één en (b) het totale aantal Asian-out Averaging Dates; en (ii) de som van het niveau van de Index op de
Valuation Time op elke Asian-out Averaging Date, zoals bepaald door de
Calculation Agent.
De Strike Level vertegenwoordigt het product van (i) de Strike Level Percentage; en (ii) de Initial Index Level. De Initial Index Level is het
niveau van de Index op de Valuation Time op de Strike Date.

Aangezien de Wereldwijde Emittent deel uitmaakt van een bedrijf voor financiële diensten dat Wereldwijd actief is, worden de inkomsten en
verdiensten van de Wereldwijde Emittent beïnvloed door de volatiliteit en
sterkte van de omgeving van de economische, zakelijke en kapitaalmarkten die specifiek zijn voor de geografische streken waar hij
zaken doet. De voortdurende turbulentie en volatiliteit van dergelijke factoren hebben de winstgevendheid en solvbiliteit van de Wereldwijde
Emittent negatief beïnvloed en zullen dat mogelijk blijven doen. De
Wereldwijde Emittent heeft een aantal specifieke factoren geïdentificeerd die zijn zakelijke activiteit en zijn vermogen om verschuldigde bedragen
krachtens de Notes te betalen, negatief zouden kunnen beïnvloeden. Deze factoren zijn onder andere:
negatieve omstandigheden op de kapitaal- en kredietmarkten
het verzuim van een belangrijke marktspeler
onvoorspelbare en/of catastrofale omstandigheden
negatieve wijzigingen of uitbreiding van wetten en/of regels rond financiële diensten
voortdurende turbulentie en volatiliteit op de financiële markten en de
economie in het algemeen
onvermogen om het marktaandeel te verhogen of te handhaven
onvermogen van de tegenpartijen om hun financiële verplichtingen te vervullen

informatie over

De volgende belangrijke risico's kunnen zich voordoen met betrekking tot
de Notes: (a) de waarde van de Notes en de eventuele rente of
terugbetaling van de hoofdsom ten aanzien van de Notes kan worden beïnvloed door, maar niet noodzakelijkerwijs correleren aan, bewegingen
en schommelingen van de marktrente en het niveau van een onderliggende
index of component in een onderliggende index-mand; (b) de Wereldwijde Emittent kan activiteiten aangaan waarbij zich belangenconflicten
voordoen en een negatief effect hebben op de waarde van de Notes; en (c) de timing van wijzigingen in indexniveaus kan een invloed hebben op het
rendement van de Notes.
Daarnaast kunnen de volgende belangrijke risico’s ontstaan, hetgeen een
nadelig effect kan hebben op het rentebedrag en/of het aflossingsbedrag of
het te betalen bedrag met betrekking tot de Notes (indien van toepassing): de Notes zijn in hun hoofdsom niet beschermd.
Bovendien bepalen de voorwaarden van de Notes dat: (a) het
aflossingsbedrag gekoppeld is aan de prestatie van een index
D.6 Risicowaar-
schuwing dat beleggers de
waarde van de volledige
belegging of een
deel ervan kunnen verliezen
Het in de Notes belegde kapitaal staat aan risico’s bloot. Bijgevolg is
het mogelijk dat het bedrag dat een potentiële belegger bij de afkoop van zijn Notes ontvangt kleiner is dan het bedrag dat hij heeft belegd.
Beleggers kunnen tot de volledige waarde van hun belegging verliezen
indien (a) de belegger zijn Notes verkoopt vóór de geplande afkoop, op de secundaire markt, tegen een bedrag dat lager is dan de initiële
aankoopprijs; (b) de Wereldwijde Emittent onderworpen wordt aan een
insolventie- of faillissementsprocedure of een andere onstandigheid die het vermogen van de Wereldwijde Emittent om de krachtens de Notes
verschuldigde bedragen terug te betalen, negatief beïnvloed; (c) de Notes voortijdig worden uitbetaald wegens redenen die buiten de controle van de
Wereldwijde Emittent vallen (zoals een wijziging van de toepasselijke wet of een marktomstandigheid met betrekking tot de onderliggende activa) en
het betaalde of geleverde bedrag kleiner is dan de initiële aankoopprijs;
en/of (d) na bepaalde marktverstoringen aanpassingen of alternatieve waarderingen aan de Notes worden gekoppeld, waardoor het te betalen of
te leveren bedrag beperkt wordt tot bedragen of waarden die lager zijn dan de initiële aankoopprijs; en/of (e) de voorwaarden voor de terugbetaling
niet voorzien in de volledige terugbetaling van de initiële aankoopprijs bij

De netto-opbrengst van elke uitgifte van Notes zal door de Wereldwijde Emittent worden toegepast voor zijn algemene bedrijfsdoeleinden.
E.3 Algemene
voorwaarden van het aanbod
(i) Voorwaarden
waaraan het aanbod
onderhevig is:
De aanbiedingen van de Notes zijn afhankelijk
van hun uitgifte. Zoals tussen de Erkende Aanbieders en hun klanten, zijn aanbiedingen van
de Notes verder onderhevig aan voorwaarden die tussen hen zijn overeengekomen en/of zoals
vastgesteld in de regelingen die tussen hen zijn
opgezet.
(ii) Beschrijving van
de aanvraag-
procedure:
Een potentiële houder van Notes zou de
toepasselijke Erkende Aanbieder in de
toepasselijke rechtsgebieden van de openbare
aanbieding voor het einde van de Aanbiedingsperiode moeten contacteren. Een
potentiële houder van Notes zal op de Notes intekenen in overeenstemming met de
overeenkomsten tussen deze Erkende Aanbieder en zijn klanten met betrekking tot de aanmelding
van effecten in het algemeen. Houders van Notes
zijn niet verplicht om rechtstreeks een contractuele overeenkomst af te sluiten met de
Emittent om in te schrijven op de Notes.
(iii) Beschrijving van
mogelijkheid om inschrijvingen te
verminderen:
Niet van toepassing. De voorwaarden van het
Openbare Aanbod voorzien niet in de vermindering van inschrijvingen.
(iv) Wijze van
terugbetaling van het bedrag dat
teveel betaald werd door de
aanvragers:
Niet van toepassing. De voorwaarden van het
Openbare Aanbod voorzien niet in terugbetalingen voor bedragen die teveel betaald
werden door de aanvragers.
(v) Minimum- en/of Er zijn geen vooraf vastgestelde

Beleggers zullen door de betreffende Erkende
Aanbieder op de hoogte gebracht worden van de toekenning van hun Notes en de
afrekeningsregelingen daarvan. De Notes zullen op de Uitgiftedatum uitgegeven worden tegen
betaling van het netto inschrijvingsgeld aan de Emittent.
(vii) Manier en datum
waarop resultaten
van het aanbod openbaar gemaakt
moeten worden:
Beleggers zullen door de Emittent of een
betreffende Erkende Aanbieder op de hoogte
gebracht worden van hun toekenning van Notes en de afrekeningsregelingen daarvan.
(viii) Procedure voor de
uitoefening van een
voorkeurrecht, de
verhandelbaarheid van inschrijvings-
rechten en de behandeling van
niet-uitgeoefende inschrijvings-
rechten:
Niet van toepassing. De voorwaarden van het
Openbare Aanbod voorzien niet in een procedure voor de uitoefening van een voorkeurrecht of de
verhandelbaarheid van inschrijvingsrechten.
(ix) Procedure voor de
uitoefening van een
voorkeursrecht,
de verhandelbaarheid
van inschrijvingsrecht
en en de
behandeling van niet-uitgeoefende
aanmeldingssrechten::
Aanbiedingen kunnen worden uitgevoerd door
Erkende Aanbieders in alle Rechtsgebieden van Openbare Aanbiedingen, aan gelijk welke
persoon tijdens de Aanbiedingsperiode. In andere
landen van de Europese Economische ruimte, en in alle rechtsgebieden (inclusief de
Rechtsgebieden van Openbare Aanbieding) buiten de Aanbiedingsperiode, zullen
aanbiedingen enkel worden uitgevoerd door de
Emittent ingevolge een vrijstelling onder de Prospectusrichtlijn, zoals geïmplementeerd in
deze landen. Alle aanbiedingen van de Notes zullen worden gedaan in overeenstemming met
alle toepasselijke wetten en regelgevingen.
(x) Wijze van
kennisgeving aan de inschrijvers
van het toegewezen
Een potentiële houder van Notes zal 100 procent
van het bedrag van de hem toegekende Notes ontvangen tijdens de Aanbiedingsperiode.
Potentiële houders van Notes zullen op de hoogte gebracht worden door de toepasselijke Erkende

Aanbieder, in overeenstemming met de
regelingen tussen deze Erkende Aanbieder en de

Met uitzondering van enige vergoedingen die aan de betrokken Dealers
worden betaald, heeft, voor zover de Emittent weet, geen enkele persoon die betrokken is bij de uitgifte van de Notes een materieel belang bij het
aanbod. De Dealers en hun aanverwanten kunnen betrokken zijn, en kunnen
in de toekomst betrokken worden, bij investeringsbankieren en/of commerciële banktransacties met, en kunnen andere diensten leveren aan,
de Emittent en zijn aanverwanten in de gewone gang van zaken
