Group activities of competitors are inherently suspect under the anti-trust laws. Many activities among competitors, however, are both legal and beneficial to

the industry. The best vehicle for enjoying the benefit of permitted agreements among competitors, while avoiding the pitfalls of illegal agreements, is by

belonging to a trade association or professional society which takes its obligations in this regard very seriously. It is the responsibility of each member in the

first instance to avoid raising improper subjects for discussion. This reminder has been prepared to assure that participants at all meetings are aware of

these obligations.

The do’s and don’ts presented below highlight only the basic anti-trust principles. All participants should consult their own counsel in all cases involving

specific situations, interpretation, or advice:

Do…

• Adhere to prepared agendas for all meetings and object any time meeting minutes do not actually reflect the matters, which transpire.

• Understand the purpose and authority of each group in which you participated.

• Consult with the association general counsel on all anti-trust laws; disassociate yourself from any such discussions or activities and leave any

meeting in which they continue.

Don’t…

In fact, or appearance, discuss or exchange information regarding:

• Individual company prices, price changes, price differentials, mark-ups, discounts, allowances, credit terms, etc., or data that are on price, costs,

production, capacity, inventories, sales, etc.

• Industry pricing policies, price levels, price changes, differentials, etc.

• Changes in industry production, capacity or inventories.

• Bids on contracts for particular products; procedures for responding to bid invitations.

• Plans of individual companies concerning the design, production, distribution or marketing of particular products, including proposed territories or

customers.

• Matters relating to actual or potential individual suppliers that might have the effect of excluding them from any market or of influencing the

business conduct of firms toward such suppliers or customers.

• Current or prospective information or guidelines on salary or wage cost data.

• Discuss or exchange information regarding the above matters during social gatherings incidental to any meetings, even in jest.

Small survey –12 plants responding (7 medium, 4 small, 1 large site)

Bringing more contractors back seems to be happening very slowly – some sites did not reduce contract force. Industry/region-wide contract workforce reduced by around 20%-30%.

Will sites do Pre-onboarding testing for the COVID-19 virus?

◦ Yes/No Split, Testing capacity is still limited/unfavorable, Type of testing is undefined, Onsite/offsite is split, Daily and weekly testing is split

Pre-onboarding training is required by most

Additional PPE is required by most plants (OSHA definition may not include face covering)

Most plants require contractors to provide personnel for disinfecting their areas and to monitor social distancing

Social distancing - Busing and vehicle occupancy changes, lunch seating changes, required of all contractor types, half respondents are working split shifts (7/7)

• Hazard recognition, site access requirements.

• Each contractor will need to have a Pandemic plan in place and contractors trained.

• Additional requirements in the contractor safety orientation. Daily discussion and part of the Safe Work Permit before going to work.

• Face shield or masks dependent on work and size of group.

• Face mask where social distancing in not possible

• When social distancing is not possible a face shield (and for now a reusable type air purifying respirator is used for short duration jobs).

• N95 disposable respirators

• If social distancing is not practical, mask will be required.

• Contractors have onsite assembly areas.

• Went to alternate shifts to reduce staff count at single point in time which allowed spacing to maintain social distancing during lunch/breaks

• Split lunch times to limit people in lunch areas.

What other precautionary measures being

planned/taken to return contractors to your site:

◦ We likely will not resume any non-emergent contractor activities

until the state reaches Phase 2 or 3 of the return to work plan.

Evaluation will be made on job by job basis.

◦ Written approval to visit the site, non-essential work from home,

continuous sanitization of common place through misters with

CDC approved virex substitute.

◦ Monitoring temperatures of all workers coming into the facility.

◦ CDC requirements are implemented

Some questions to answer:

If temperature testing - what temperature?

If COVID-19 testing – what method, what frequency?

When requiring masks – is it masks or face covering? Who is responsible to provide? Sourcing is an issue for contractors – even "gators" or "neckies" are difficult to come by. Gloves too.

Social distancing – some consistent practice guidelines for buses, lunch, shifts.

Office buildings and bringing "non-essential" personnel back – still many unknowns to be worked through. From coffee stations to building air flow to shared offices.
