Policy on the Organic World Congress (OWC)/ General Assembly (GA) of IFOAM – Organics International

Purpose & Scope of this Policy
1. Set out the criteria and outline the decision-‐making processes for entering a partnership with IFOAM – Organics International to organize the Organic World Congress / General Assembly of IFOAM – Organics International (OWC/GA).
2. Describe the framework of cooperation of the various partners that jointly organize the OWC. This includes the roles, rights and duties of the partners and the collaboration between the partners.
Introduction
The OWC/GA takes place every three years. The GA of IFOAM – Organics International decides on the location and the host of the OWC/GA three years in advance. In exceptional circumstances, the World Board reserves the right to alter this decision.
The overall objective of the OWC/GA of IFOAM – Organics International is to provide a regular inspiring and thriving platform for organic and likeminded stakeholders that together foster change towards the worldwide adoption of truly sustainable agriculture, value chains and consumption, in line with the principles of organic agriculture.
Other objectives include:
• Enhancing the uptake of organic agriculture and equivalent approaches, certified or non-‐certified; • Making organic agriculture more sustainable and more efficient; • Inspiring overall agriculture to become more sustainable (by integrating organic principles and
methods);
• Knowledge exchange between stakeholders and beyond the movement. Boosting the organic sector and organic scientific research in the host country and region.

Organizational architecture
The organizers of the OWC/GA form a consortium1 and enter an agreement with IFOAM – Organics International (draft in the appendix). Through that, the consortium obtains the exclusive right to implement the event in a particular year. The consortium partners are: oi!events gGmbH2, a local host, as well as a professional conference services provider. The consortium implements the OWC/GA in compliance with this Policy 15 and the agreement with IFOAM – Organics International. It operates in line with the overarching strategies of IFOAM – Organics International; with the organic landmarks; with the OWC/GA general traditions; and with the expectations of the conference participants. The consortium takes over the economic risk/benefit of the events.
The consortium members make an own internal contract and define the partners’ rights, duties and details of collaboration. All contractual agreements of the consortium must be timely and transparently communicated to IFOAM – Organics International and must not contradict this policy and the agreement of the consortium with IFOAM – Organics International. Organics International Event gGmBH leads the consortium and participates with a minimum of 51% and maximum of 70% in the risk/benefit arrangements.
Event Concept
The OWC/GA is a renowned global event that supports the vision and the strategy of IFOAM – Organics International.
The OWC (3 days) includes the three components of Conference, Fair and Festival, with a strong emphasis on the first component. The second and third components may be contracted to a partner (e.g. BIOFACH, a local seed festival etc.). The conference includes various conference tracks and a variety of methodologies (presentations, discussions, posters, open space etc.) in order to ensure adequate interaction and attract various groups (members of the organic movement, scientist, farmers, private sector and government representatives, etc.). Interesting plenary speakers provide the keynotes and the overall conference conclusions. Official ceremonies, social events and special ideas contribute to a distinctive atmosphere.
The event should be inclusive and partnerships with like-‐minded movements/institutions are encouraged. Pre-‐conferences (1-‐2 days) attract specialist groups and provide opportunities to deepen specific topics. Organizers are expected to attract between 1.500 and 3.000 paying participants (for the conference only), with a minimum of 50% national participation.
The GA of IFOAM -‐ Organics International (1-‐2 days) is the highest governing body of the global organic movement. The consortium provides all logistical arrangements for this event, while IFOAM – Organics International is in charge of the agenda and the implementation of the assembly itself. The GA also

includes a so-‐called motion bazaar and social events. About 250 – 400 persons are expected to attend the GA.
The Role of IFOAM – Organics International
IFOAM – Organics International owns the brand of the ‘Organic World Congress’ and enjoys stakeholders´ trust since it is regularly convening the events since 1977. Four years before an event, IFOAM – Organics International calls for proposals of consortiums that are willing to organize the event. IFOAM – Organics International evaluates the proposals and selects the partners in General Assembly votes three years before the event.
The Role of the Local Host
The local host invites participants to the congress and contributes by making available its networks (inside and outside the organic movement), feeding in the local agenda and using its national reputation. It also provides the special atmosphere of the congress in that particular year. It uses the congress to pursue its local, national and international goals. The local host participates in the risk/benefit with a minimum of 10% and a maximum of 39%. The local host must be a Member (with voting rights) of IFOAM – Organics International.
The Role of the Conference Organizer
The conference organizer is in charge of organizing the logistics, including the venue, food, transport, visa facilitation, touristic information, accommodation offers etc. The conference organizer participates in the risk/benefit with minimum 10% and maximum 39%.
The role of oi!events gGmbH
oi!events gGmbH takes on the leadership role within the consortium and coordinates the activities of staff, committees and external service providers. It also manages the event concept and the agenda in dialog with the other event stakeholders. The Director of oi!events gGmbH is also the conference director and in that function accountable to the Congress Steering Committee.
The Congress Steering Committee
The congress steering committee (CSC) consists of five persons. One each from IFOAM – Organics International, the local host, the conference organizer, oi!events gGmbH and an independent person that is commonly chosen. The ED of oi!events gGmbH is the secretary of the CSC, he/she is present at all meetings and reports to the CSC on behalf of all the operational structures of the consortium. The ED is not a CSC voting member. The CSC is chaired by IFOAM – Organics International.

The CSC approves the concepts including the (inter) national marketing/ communications plan, the price schemes, the program, the logistical concept and the Gantt chart. The CSC receives half-‐yearly, updated reports and plans (narrative and financial) for approval and decision-‐making.
Selection of the Bidding Consortium
Every member of IFOAM – Organics International has the right to propose itself as a local host to convene an upcoming OWC and to be proposed consortium partner of oi!events gGmbH. Members interested in being a local host and convene an OWC, will contact oi!events gGmbH for the development of a consortium proposal. The local host proposes a professional conference organizer and leads the proposal development. It presents the proposal to the GA of IFOAM -‐ Organics International on behalf of the consortium. IFOAM – Organics International informs affiliates at least 10 months prior to the GA during which the membership will vote on the host country and proposed consortium. The deadline and guidelines for the proposals are set out in the call for bids.
The bidders present an event concept note including a descriptions of the partners and their qualifications, the event objectives, themes and tracks, event highlights, communication, logistics and budget. The bid also responds to the requirements set out in this Policy 15 and in the bidding guidelines. The concept, including annexes and graphics, has a minimum of four and a maximum of eight A4 pages. Bidders must also submit, together with their application, a signed statement accepting all conditions as outlined in this policy and pledging to implement all conditions upon approval by the GA.
The World Board of IFOAM – Organics International assesses before the General Assembly if the requirements are fulfilled and whether the bid qualifies to be presented to the General Assembly. The abstracts of all qualified proposals (including links to the full proposal and quality assessment reports by IFOAM -‐ Organics International) are published and distributed to Members prior to the General Assembly. The General Assembly decides by single majority vote.3
After the approval of the bid by the General Assembly, the consortium prepares a comprehensive written event concept and a budget to be approved by the World Board of IFOAM – Organics International. This concept is part of the written agreement between IFOAM – Organics International and the consortium, to be signed within six months following the GA decision.
Requirements for the Bidding Consortiums
• Willingness and commitment to organize and host a successful IFOAM – Organics International branded OWC/GA for the organic world in line with policy 15 and the contract with IFOAM – Organics International. This includes commitment to the vision and to the strategy of change of IFOAM – Organics International;
• Capacity to manage finances and risks in the context of the successful organization of an OWC/ GA;

• Capacity for strategic and operational management of the international events for about 1.500 – 3.000 participants, including national and international mobilization, as well as program and message development;
• Readiness to collaborate with and report to a Congress Steering Committee (CSC) that has the oversight, takes binding strategic decisions and provides guidance;
• Capacity and commitment to involve IFOAM – Organics International’s local membership in the planning and implementation of the OWC. This entails inclusive attitudes to actors inside and outside the organic movement;
• Competencies in event communication at all levels, before and during the events (e.g. promotion, management of information flows, creation of an excellent event atmosphere);
• Capacity to organize logistics, including the provision of professional simultaneous interpretation of key events into at least three languages;
• Commitment to a green event, including but not limited to organic foods and beverages (preferably locally sourced); recycling, composting and separation of waste; offsetting the events’ carbon footprint including participants travels and environmentally friendly sourcing;
• Assistance to participants with their logistics (e.g. visa assistance) and sponsorship of the attendance of financially challenged participants.
Financial Agreement with IFOAM – Organics International
• The consortium takes the financial risks and benefits, which are shared according to the provisions of the consortium contract.
• Sponsors recruited by IFOAM – Organics International are treated like any other sponsor. IFOAM – Organics International retains a recruitment fee of 25% of the total sponsorship amount for its services. The remaining 75% are transferred to the OWC budget. Up to five strategic partners of IFOAM – Organics International have the right to be promoted as sponsors without further payments to the consortium.
• IFOAM – Organics International is entitled to retain 5% of all other income generated through sponsorship. Solidarity sponsorship4 for participants from developing countries is exempt from the rule and is dealt with separately.
• IFOAM – Organics International receives a flat fee of 20,000 Euros from the host organization. The flat fee grants the organizer the right to use the IFOAM – Organics International name and logo and the brand “Organic World Congress” in the context of and for the duration of the event. The fee is due no later than three months after signing the contract.
• IFOAM – Organics International is paid an overhead cost of 10% over the total net registration and exhibition fees (net of VAT). The overhead covers IFOAM – Organics International’s efforts to

promote the OWC and mobilize participants. The overhead is due latest 4 months after the OWC/ GA.
• Activities and services beyond participation in the CSC and the standard promotion that IFOAM – Organics International performs on behalf of the OWC based on special agreements are invoiced by IFOAM – Organics International at standard rates.
• IFOAM – Organics International affiliates receive a discount of 20% on registration fees (all categories).
• IFOAM – Organics International staff (up to 10 persons), World Board members (up to 11 persons) and special IFOAM – Organics International guests (up to 30 persons) are exempt from paying registration fees. The host covers travel and in-‐country costs for IFOAM – Organics International staff (up to 10 persons) and the World Board of IFOAM – Organics International. This can be implemented either by a lump sum or by invoicing real costs.
Miscellaneous Regulations
Reporting and ownership: The consortium submits complete activity and financial reports at the latest three months after the event to IFOAM – Organics International. IFOAM – Organics International reserves the right to audit the financial records. It also reserves the right to use the congress preparation materials for future Organic World Congresses. The consortium assures that all papers and presentations are published and are made available to the public in the long term (e.g. via organic e-‐print).
Cancellation: In case the consortium cancels the contract for whatever reason 24 months before the OWC, IFOAM – Organics International will reimburse 50% of the flat fee, in the case of later cancellation, the flat fee will not be reimbursed.
If the congress consortium fails to adhere to this or other relevant policies of IFOAM – Organics International, IFOAM – Organics International reserves the right to cancel the event outright or assume responsibility for the organization of the event. In this case the flat fee will not be reimbursed.

The following agreement has been concluded regarding the …th IFOAM ORGANIC WORLD CONGRESS (OWC) which is titled ‘… AND …th GENERAL ASSEMBLY (GA) 20XX, TOWN, COUNTRY’, hereafter called OWC.
Article 1: Management, administration and production (see IFOAM policy 15)
1.1 Responsibilities
The …th OWC is the exclusive product of IFOAM – Organics International. IFOAM OI and the members of [organizer] will be referred to as the congress organizers on all materials.
Both parties are committed to developing the brand value of the Organic World Congress with excellent planning, communication and implementation of the…th OWC of IFOAM – Organics International.
The parties are responsible for the completion of the tasks and activities as outlined:
1.1.1 [organizer]
• The [organizer] is responsible for the general organization of the …th OWC/ GA of IFOAM – Organics International and is financially liable for the OWC.
• The [organizer] contracts any goods, services or other deliveries for the congress exclusively in its own name and the [organizer] consequently receives all invoices. The [organizer] sets up all business relationships with third parties in its own responsibility.

• [Organizer] actively involves IFOAM – Organics International affiliates and like-‐minded organizations in the host country in the development of the congress including in social and cultural events related to the OWC. [Organizer] develops a comprehensive event concept including an (inter-‐) national marketing/ communications plan, an attractive program, a logistical concept, a Gantt chart and the budget/reporting plan. This concept must be approved by the Congress Steering Committee (CSC) at least 2 years before the event.
• [Organizer] leads the event communication before, during and after the event. IFOAM – Organics International offers support. [Organizer] develops and maintains the congress website based on long term OWC website hosted by IFOAM – Organics International (https://owc.ifoam.bio/). IFOAM – Organics International provides access to [Organizer] staff for making updates and changes to the website.
• [Organizer] manages the logistics of the General Assembly of IFOAM – Organics International, including but not limited to venue, food supply, presentation materials, motion bazaar, and the social evening event that is supported by the bidders of the following OWC/GA.
• [Organizer] develops and maintains the congress website and provides the online congress registration.

1.1.2 IFOAM – Organics International
• IFOAM – Organics International provides assistance and advice for the planning and implementation of the …th OWC of IFOAM – Organics International, for instance related to events planning, speaker recruitment, event moderation and promotion etc. It facilitates outreach to its vast network within and outside of the organic movement.
• IFOAM – Organics International participates in the Congress Steering Committee.
• IFOAM – Organics International plans and implements the program of the General Assembly.
• IFOAM – Organics International participates in the content development, which is coordinated in the CSC. IFOAM – Organics International approves the plenary sessions and keynote speakers.
• IFOAM – Organics International may perform other task assigned by [Organizer] based on special mandates defined according to agreed upon terms of reference and financial compensation.
1.2 Location and Date

1.3 Congress Steering Committee
[Organizer] and IFOAM – Organics International establish a Congress Steering Committee (CSC) for the

..th OWC of IFOAM – Organics International, comprising three representatives of [organizer], one representative from IFOAM – Organics International and an independent representative to be appointed jointly by IFOAM – Organics International and [organizer]. The OWC/GA Conference Director is secretary of the CSC, to which he reports to as far as the OWC/GA is concerned. The CSC is the supervising body of [Organizer]. The CSC takes binding strategic decisions, it approves plans and reports and provides guidance to [Organizer], IFOAM – Organics International and the partners.
The in-‐person and virtual meetings of the CSC shall be convened at regular intervals agreed within the CSC. Accommodation, registration and transportation costs for the CSC members and costs associated with the CSC meetings are included in the OWC budget. A time reimbursement of a minimum of 300 Euros per day for the CSC members is also included in the budget. (Foreseen volume for phone conferences, personal meetings and remote coordination is approximately 15 working days.)
1.3.1 Program Subcommittees
The CSC may build subcommittees to facilitate the management of the conference tracks. The CSC may decide on partnerships with other institutions to manage a track e.g. the scientific track (for example a local organic research institution or TIPI and others).
If required, [organizer] provides a secretary (track coordinator) for each program subcommittee.
[organizer] waives congress registration fees for subcommittee members.
Article 2: Program Content, Proceedings and On-‐site Program Guide, Agenda
2.1 Program Content
[Organizer] is responsible for the overall coordination of all the congress tracks and modules (including pre-‐conferences) of the OWC of IFOAM – Organics International.
The overarching program including all congress modules and the list of keynote speakers for the plenary sessions are approved by the CSC and the IFOAM – Organics International World Board at least 18 months before the event. The detailed program is approved by the CSC, reported to the IFOAM – Organics International World Board and published electronically 180 days before the OWC begins.
The official language of the program is English.
2.2 Abstracts and Proceedings
[Organizer] is responsible for coordinating and ensuring the quality of the content of the abstract and paper submissions for the proceedings. [Organizer] must complete the review process of papers for the proceedings at least 200 days before the beginning of the OWC. Participants shall receive the abstracts and proceedings in electronic form as a component of the registration fee.
The abstracts and proceedings must be published in the Internet for free access on a suitable platform (e.g. Organic Eprints).
Article 3: Congress Registration, Travel, Accommodation, Catering and Waste Management

3.1 Congress Registration
The registration fee covers congress participation, access to exhibitions, program, abstracts, proceedings, congress reception/party (one big evening social event), lunches and coffee breaks.
IFOAM – OI members receive a 20% reduction on the registration fee on all categories.
The congress registration by participants is made through the OWC website, set up and owned by oi!events gGmbH.
The registration fee scheme is approved by the CSC.
A maximum of 10 IFOAM – Organics International staff members, 11 representatives (World Board & ED) and 30 guests of IFOAM – Organics International will have free registration for all congress modules, pre-‐conferences and related events. IFOAM – Organics International will provide the names of its staff, representatives and guests upon request by [organizer] at the latest two months before the start of the OWC.
[Organizer] is entitled to provide free or discounted registrations for [organizer]’s staff, board members and volunteers at the discretion of the [organizer].
Should the need arise, [organizer] can limit the number of congress participants, but not to a number inferior to 2.000. [Organizer] has the responsibility to ensure that no IFOAM – Organics International affiliate is excluded from the OWC if they register before the official deadline.
3.2 Travel
[Organizer] will contribute to transportation costs for IFOAM – Organics International representatives with 10.000 Euros excluding the World Board for which [organizer] covers the costs.
3.3 Accommodation
The participants will be offered a range of accommodation facilities in and around the OWC location, including low budget accommodation. While walking distance to the accommodation is the preferred option, reasonable public transport systems shall be in place for not-‐walking-‐distant accommodation opportunities.
The accommodation costs of the representatives and staff of IFOAM – Organics International, as indicated in § 3.1 will be covered by [organizer] for the full time of all related events, including pre-‐conferences and GA.
3.4 Congress Dinner and Social Events
The registration fee covers one evening event with food and entertainment.
3.5 Catering
[Organizer] uses organic ingredients in meals and coffee breaks.
3.6 Waste Management
[Organizer] separates, recycles and composts the waste produced in association with the OWC. OWC materials production uses the most environmentally and socially friendly means available.
Article 4: Finances, Budget, Profit Sharing and Sponsors

The event concept and budget are part of this contract. They are half yearly updated for the CSC.
4.1 Sponsors
IFOAM – Organics International retains 25% of the revenue it generated from sponsors. It remits the remainder of funds to [Organizer] for use in the congress budget. Solidarity sponsors supporting participation from developing countries are dealt with separately and case by case. IFOAM – Organics International is entitled to retain 5% of the overall income generated through sponsorship. Up to five strategic partners of IFOAM – Organics International have the right to be promoted as sponsors without further payment. These partners are: …
4.2 The General Assembly
The rent of meeting rooms (a plenary hall for about 300 people and some smaller rooms for sub-‐group meetings and the motion bazaar) and related costs (e.g. audio, visual, translation equipment) for the General Assembly is covered by [organizer]. [Organizer] may charge participants a food package fee, which is part of the general fee structure of the OWC/GA events.
The GA food package for the IFOAM – Organics International representatives and staff, as indicated in § 3.1, will be covered by [organizer]. In addition the [organizer] also covers the food packages for the GA officers (eight people: two chairs, two parliamentarians, two minute keepers, two minute referees).
4.3 Cost Compensation for OWC
4.3.1 Flat Fee
IFOAM – Organics International receives a flat fee of 20.000 Euros – net of any taxes. The flat fee grants the organizer the right to use the IFOAM – Organics International name and logo and the brand “Organic World Congress of IFOAM – Organics International”. The flat fee does not compensate for any IFOAM – Organics International staff or World Board work time.
4.3.2 Registration Fee
IFOAM – Organics International receives 10% of total net of VAT registration fees for the OWC including related pre-‐conferences. Accommodation, social events and tours are excluded from this calculation. The overhead covers IFOAM – Organics International’s efforts to promote the OWC among IFOAM – Organics International membership, at IFOAM – Organics International events and all BIOFACH fairs globally, as well as on the IFOAM – Organics International website. It also pays for IFOAM – Organics International’s contribution to the overall program by providing speeches, moderations as well as contacts to keynote speakers. Any extra work-‐time provided by IFOAM – Organics International is compensated for separately.
[Organizer] is responsible for paying taxes according to local requirements.
The cancellation policy is proposed by [organizer] and approved by the CSC.
4.3.3 Exhibition Fee
IFOAM – Organics International receives 10% of the total of exhibition fees, net of VAT. Affiliates of

IFOAM – Organics International get 20% reduction on the exhibition fee. The CSC approves the exhibition fees including the discounts.
4.3.4 Free Exhibition Space
An exhibitor space will be available for IFOAM – Organics International, for the Self-‐organized Structures of IFOAM – Organics International, for IOAS, BIOFACH, OWC partners and [organizer] free of charge if those organizations express interest in having a booth. The bidding organizations for hosting the following OWC may also exhibit free of charge at the GA venue during the GA.
4.4 Surpluses and Financial Risk
The overall financial risk including liabilities is with the [organizer].
The surplus generated by the organization of the OWC shall be assigned according to the [organizer]’s statutes.
4.5 Flat Fee & Overhead Share Payment and Auditing
The flat fee as mentioned under 4.2.1 is paid to IFOAM – Organics International within three months after the signing of this contract.
The overhead costs as mentioned under 4.1 (5% of sponsorship) 4.3.2 (10% of registration), 4.3.3 (10% of exhibition) are paid to IFOAM – Organics International no later than four months after the congress.
The fees for extra IFOAM – Organics International services are due after completion of the service, depending on the separate mandate agreement.
CSC members get their compensation until the start of the congress.
The registration payment management fee (2% of payment and credit card fees) is directly deducted from the transferred amount. So are the 25% of the sponsors obtained by IFOAM – Organics International.
All OWC related bills of must reach IFOAM-‐Organics International not later than one month after the conclusion of the OWC.

Article 5: Event Cancellation
In case [organizer] cancels the contract for whatever reason 24 or more months before the OWC, IFOAM – Organics International will reimburse 50% of the flat fee, In case of later cancellation, the flat fee will not be reimbursed.
If [organizer] fails to adhere to this contract, the OWC policy (#15) or other relevant policies of IFOAM –

Organics International, IFOAM – Organics International reserves the right to cancel the event outright or assume responsibility for the organization of the event. In this case the flat fee will not be reimbursed.
Article 6: Amendments and Supplements
Amendments and supplements to this contract shall only be effective in writing. In the event of one or more terms of this contract being or becoming partially or completely ineffective, the validity of the remainder of the provisions shall be maintained and the parties shall undertake efforts to replace the ineffective clause by another that as closely as possible reflects the original intentions of the parties.
Article 7: Force Majeure
If due performance of this contract by either party is affected in whole or in part by reasons of any event, omission, accident or other matter beyond the reasonable control of such party, such as strikes, lockouts or unforeseen technical difficulties, the respective party shall give prompt notice thereof to the other party and shall be under no liability for any loss, damage, injury or expense suffered by the other party for this reason. Both parties shall use all reasonable efforts and mutually agree how to avoid or overcome the causes affecting performance and the party whose performance is affected by such force majeure shall fulfill all outstanding obligations as soon as possible.
Article 8: Applicable Law, Compensation, Place of Jurisdiction
This contract shall, in all its parts, be subject to German Law. Any dispute arising from this contract shall be litigated before the Courts of Bonn, Germany.
