JUNE 25, 2014Aer review of the minutes of the District’s August 26, 2014 Board meet-

ing, a motion was made by Mr. Mulhearn and seconded by Mr. Gilley to adoptthe minutes as presented and the motion was unanimously approved.

QUARTERLY UPDATE ON THE DISTRICT’S INVESTMENTSWITH BANCORPSOUTH

Ray Osborn, Financial Advisor for BancorpSouth Wealth Management,presented an up-to-date performance report on the District's investmentsmanaged by BancorpSouth and discussed the outlook for the near future.

EXECUTIVE SESSION FOR PURPOSES OF STRATEGIC PLAN-NING, INCLUDING WITH RESPECT TO THE FUTURE OF THEWELLNESS CENTER AND RELATIONS WITH GRMC, GLEN-WOOD RESOLUTION AUTHORITY, INC., AND THE LIVINGWELL FOUNDATION

A motion was made by Mr. Gilley, seconded by Mr. Spencer, and unani-mously approved for the Board of Commissioners to go into executive ses-sion for the purposes of strategic planning, including reviewing the WellnessCenter monthly financial statements.

Mrs. Culp, Executive Director of the Wellness Center, presented the Well-ness Center monthly financial statements and her management report.

Mr. Spencer motioned, Mr. Mulhearn seconded, and the Commissionerspresent approved the motion to go back into public session.

ANNUAL REVIEW AND AMENDMENT OF WELLNESS CEN-TER EMPLOYEE HANDBOOK

Aer discussion regarding amendments to the Wellness Center’s EmployeeHandbook, which were recommended by the District’s attorney, MikeLandry, Mr. Mulhearn offered the following resolution:

WHEREAS, the Board of Commissioners desires to memorialize its poli-cies regarding disabilities, personal email and internet use, and privacy, to clar-ify and memorialize portions of its equal employment policy, and to clarify itspolicies regarding complaint procedures, discipline, and harassment and dis-crimination;

RESOLVED, the Board of Commissioners approves the written revisionsto the Wellness Center Employee Handbook presented to this meeting, andconfirms and ratifies all actions taken consistent therewith to date, and au-thorizes the Executive Director to cause to be prepared a revised WellnessCenter Employee Handbook incorporating such revisions;

RESOLVED, that the Executive Director continues to be authorized tomake such further nonmaterial changes to the Wellness Center EmployeeHandbook as he or she may deem appropriate or desirable from time to time.

Mr. Spencer seconded the motion and the Board unanimously approved.REVIEW OF CURRENT FINANCIALS OF DISTRICT (OTHER

THAN THE WELLNESS CENTER)Mr. Hall presented the monthly financials of the District (other than the

Wellness Center) ending August 31, 2014. ANNUAL REVIEW OF LONG TERM STRATEGIC PLANS OF

THE DISTRICTMr. Hall discussed some possibilities for future consideration regarding the

District’s endeavors and asked that the members give further thought to usesof the newly acquired property next door to the Wellness Center.

REVIEW OF LIVING WELL FOUNDATION’S EXECUTIVECOMMITTEE MINUTES OF SEPTEMBER 19, 2014

Minutes of the Foundation’s September 19, 2014 Board of Directors meet-ing were reviewed.
