the Wellness Center) ending August 31, 2013. ANNUAL REVIEW OF LONG TERM STRATEGIC PLANS OF

THE DISTRICTMr. Hall noted the current expansion of the Wellness Center and

plans to purchase an adjoining lot as ongoing projects. Plans to move anadjacent gas transmission line will be discussed with the proper author-ities.

REVIEW AND RE-APPROVE PURCHASE OF ADJACENTPROPERTY WITH FORMAL LEGAL DESCRIPTION

Upon presentation of a formal legal description for the purchase ofthe adjacent property to the Wellness Center and some clarificationsrelated to Pecuniary Interest in the Agreement or the property, as wellas the authorizing representatives, the following resolution was made byMr. Spencer:

WHEREAS, Hospital Service District No. 1 of the Parish of Oua-chita, State of Louisiana (the "District") desires to purchase the im-movable property, together with all the buildings and improvementsthereon, and all rights, ways, privileges and servitudes appurtenantthereto, located in West Monroe, Louisiana, and more particularly de-scribed on Schedule 1 attached hereto (the "Property");

WHEREAS, the District and Campco of Monroe, Inc., a Louisianacorporation (the "Seller") have negotiated a draft of an agreement topurchase and sell the Property (the "Agreement");

WHEREAS, the Seller is the owner of the Property;WHEREAS, La. R.S.§38:2213(B) defines "Pecuniary Interest" as any

interest in the consideration paid for the land; provided, however, own-ership of five percent or less of the capital stock of a partnership or lim-ited partnership, shall not constitute "pecuniary interest" when theowner of such shares does not participate in any activity pertaining tothe purchase or sale of the land;

WHEREAS, no elected official of the state or any of its political sub-divisions is known by the District to have a Pecuniary Interest in theAgreement or the Property; and

WHEREAS, no appointed official or employee of the District isknown by the District to have a Pecuniary Interest in the Agreement orthe Property;

RESOLVED, that the District is hereby authorized to acquire theProperty from the Seller for the Purchase Price (as that term is definedin the Agreement), which Purchase Price does not exceed the amount ofthe AJ Burns Appraisal prepared by Appraisal Consultants, L.L.C. as ofMay 28, 2013.

FURTHER RESOLVED, that Steven R. Hall, Patrick L. Spencer,Timothy Michael Mulhearn, Randy Gilley, and Jeri Beth Watson, whoare the current Commissioners of the District, are the "Authorized Rep-resentatives" for the purposes of these Resolutions.

FURTHER RESOLVED, that each Authorized Representative is au-thorized and directed to execute and deliver, for and on behalf of theDistrict, the Agreement and such additional agreements, instrumentsand other documents as any Authorized Representative shall determineis necessary or convenient to consummate the acquisition of the Prop-erty, in each case containing such terms and provisions as an Author-ized Representative shall approve, such approval to be conclusivelyevidenced by the execution and delivery thereof by an Authorized Rep-resentative for and on behalf of the District.

FURTHER RESOLVED, recognizing that the District is organizedas a hospital service district under La. R.S. §§ 46:1051 et seq. (the "Hos-pital Service District Statute"), and

that the District is acting pursuant to its authority under the Hospi-tal Service District Statute, including the provisions of La. R.S.§§ 46:1060 and 46:1077, the acquisition of the Property is intendedand shall permit the District to continue to promote and achieve theobjects and purposes of a hospital service district, including those pro-vided in La. R.S. § 46:1052.

FURTHER RESOLVED, that the acquisition of the Property willcontribute to and promote health care in the District and is for a pub-lic purpose.

REVIEW AND APPROVE LIVING WELL FOUNDATION’SINVESTMENT POLICY REVISIONS

After review of the Foundation’s revised investment policy, Mr. Halloffered the following resolution:

WHEREAS, Section 2.B(7) of the Cooperative Endeavor Agreementbetween the District and the Foundation and Section 2.10 of the By-laws of the Foundation provide that the Foundation shall not take cer-tain actions, including any transaction involving $1 million or more,without (i) the approval of the Board of Directors of the Foundationby the affirmative vote of two-thirds of the directors then in office, and(ii) the approval of the Board of Commissioners of the District;

WHEREAS, on September 10, 2013, the Board of Directors of theFoundation approved a set of revisions to its Investment Policy by theaffirmative vote of two-thirds of the directors then in office, which re-visions been presented to this meeting, along with a clean revised ver-sion of the Investment Policy;

RESOLVED, that the revisions to the Investment Policy of the Foun-dation, in the form approved by the Foundation Board of Directors onSeptember 10, 2013 and presented to this meeting, are approved.

RESOLVED, that any further amendments that the Foundation de-sires to make to the Investment Policy to reflect the date of any approval,or to the certification and signature section at the end of the InvestmentPolicy, are approved.

Mr. Gilley seconded the motion. The Board proceeded to a vote, andthe motion passed with the unanimous approval of the Commissionerspresent.

REVIEW OF LIVING WELL FOUNDATION’S BOARD OF DI-RECTORS MINUTES OF SEPTEMBER 10, 2013

Minutes of the Foundation’s Board of Directors meeting of Septem-ber 10, 2013 were reviewed.

AMENDMENT OF AGENDAMr. Spencer moved to take up the following matter not on the

agenda: "Consider Boys & Girls Clubs of Northeast Louisiana HealthyLiving Grant," and stated that the purpose for the addition to the agendais to address a matter not on the agenda that it is in the best interest ofthe District to address immediately. Mr. Gilley seconded the motion.

The Chairman declared an opportunity for public comment on themotion. There were no public comments. The Board proceeded to avote, and the motion passed with the unanimous approval of the Com-missioners present, whereupon the Board took up the matter.

CONSIDER BOYS & GIRLS CLUBS OF NORTHEASTLOUISIANA HEALTHY LIVING GRANT

The District received a request for consideration of a grant for theBoys and Girls Clubs of Northeast Louisiana to promote a new pro-gram to help improve overall health of Club members ages 6-18 by in-creasing their daily physical activity, teaching them good nutrition andhelping them develop healthy relationships. The matter was tabled forfurther discussion at the next meeting.
