Policy and Regulatory Initiatives

• The National Highways Authority of India (NHAI) has extended the bid submission due date for tolloperate-transfer (TOT) Bundle V

from December 23, 2020 to January 18, 2021.

• The total length of the bundles is 159.5 km. Bundle V comprises of Palanpur- RadhanpurSamkhiyali section of NH-27 in Gujarat, which

has been divided into two bundles: TOT Bundle-5 (A1) and TOT Bundle-5 (A-2).

Policy Developments in Light of COVID-19

NHAI extends bid due date for TOT Bundle V

• With the aim to minimise cash transaction at toll plazas, NHAI will soon roll out a Delhi Metro type prepaid touch-and-go card for

commuters. Each card would cost around Rs 50 and can be used only on ‘hybrid’ lanes where payments are made by cash or through

electronic means.

• NHAI’s toll management wing, Indian Highways Management Company Limited (IHMCL), has invited bids for rollout of this system. The

pre-paid card system will be integrated with the toll management systems (TMS) to enable the toll operator to select vehicle class so

that the applicable toll fee can be deducted immediately from the prepaid card on tapping the PoS device.

NHAI to introduce prepaid touch-and-go cards

• The Maharashtra Cabinet has given its nod for a 10% increase in toll on heavy vehicles playing on the 15 state highways. The cabinet,

however, was unanimous in its decision to continue with the relief in toll applicable to light vehicles, including cars, jeeps, state

transport and school buses.

• The cabinet undertook the revision in view of the rising revenue shortfall because of the COVID-19 crisis and the economic slowdown.

Policy and Regulatory Initiatives

• NHAI has entered into a collaboration with two engineering colleges of JIS Group, Narula Institute of Technology and JIS College of Engineering. The partner institutes will study improvement prospects in safety, maintenance, riding comfort, removal of congestion points and usages of new technologies etc. on the adopted stretches and give suitable suggestions to NHAI for consideration.

• NHAI will also support the creation of lab infrastructure in the institute and can also sponsor a relevant research project that helps in using alternative resource material and improve the quality of roads.

Other Key Policy Developments

• MoRTH has signed a memorandum of understanding (MoU) with the Federal Ministry of Climate Action, Environment, Energy, Mobility, Innovation and Technology of the Republic of Austria on technology cooperation in the road infrastructure.

• The MoU aims to create an effective framework for bilateral cooperation in the field of Road Transportation, Road/Highways infrastructure development, management and administration, Road safety and Intelligent Transport Systems between the two countries

New Developments

InvITs

• NHAI has set the ball rolling for private placement of its proposed infrastructure investment trust (InvIT) to fund highway projects. It will soon appoint an international legal counsel as part of the exercise.

• The authority will bundle its highway projects to form a special purpose vehicle (SPV) to be offered to investors under InvIT. The special purpose vehicle (SPV) will then be traded on stock exchanges and returns will be linked to InvIT’s performance in the capital market.

• IRB Infrastructure Trust, the private infrastructure investment trust (InvlT), has successfully closed the second tranche of fund raising by way of rights issue of units amounting to Rs 5.10 billion.

• IRB Infrastructure Developers Limited, being the sponsor and 51 per cent stakeholder, contributed Rs 2.6 billion and GIC affiliates, holding the balance 49 per cent stake, have contributed Rs 2.5 billion.

• This is part of the total commitment of Rs 44 billion by GIC affiliates towards 49 per cent stake in the private InvIT housing nine BOT assets, out of which IRB Infrastructure Trust had already received Rs 37.53 billion from GIC affiliates in February 2020.

Grants/Allocations

• The Telangana government has granted funds worth Rs 1.6 billion for the Siddipet ring road project. • The project involves construction of 76 km ring road connecting Siddipet to Duddeda roads in Telangana.

• The Karnataka government has sanctioned Rs 1.5 billion for the twin cities under the Mahatma Gandhi Vikas Yojna for development of interior roads.

• Meanwhile, for the development of roads in the twin cities, Rs 4 billion have been sanctioned under Central Road Fund (CRF).

New Developments

• Sadbhav Infrastructure Project Limited has received approval from Ahmedabad Urban Development Authority (AUDA) for 100 per cent stake sale in Ahmedabad Ring Road Infrastructure Limited (ARRIL), a wholly owned subsidiary of the company, to Indinfravit Trust and refinancing of existing debts of ARRIL subject to fulfillment of certain conditions.

• The company had signed definitive agreements with lndinfravit on July 1, 2019 to sell 100 per cent stake in nine operational projects for an enterprise value of Rs 66.1 billion (including equity value of Rs 25.5 billion). Sales consideration of Rs 25.5 billion shall split into units (10 per cent units of lndinfravit) and Rs 19 billion in cash. Additional upsides from car revenues from ARRIL, proceeds of awards/claims from the transaction assets will flow to SIPL over and above sale consideration value stated above.

• Reportedly, Welspun Enterprises Limited is in talks with a Canadian pension fund for investment in the company’s road project assets. • The company has nine road projects, with a project cost of over Rs 120 billion. Of these, seven are on the hybrid annuity model (HAM).

It also has an ongoing build-operate-transfer (BOT) project, Rs 21.22 billion the Mukarba Chowk-Panipat in Haryana.

• The Infrastructure Leasing and Financial Services (IL&FS) Group has received legal approval for sale of Jorabat Shillong Expressway Limited (JSEL) to Sekura Roads Limited. Sekura had bid Rs 9.16 billion for the 100 per cent stake in JSEL.

• Besides, the IL&FS Group has also received legal approval to sell the Chenani Nashri Tunnelway Limited (CNTL) to Cube Highways for a total consideration of Rs 39 billion.

• The company will now seek approval from NCLT and NHAI to complete the sale of both projects. The proceeds of the sale will be distributed in accordance with the resolution framework.

• Reportedly, private equity major Actis LLP is in talks to acquire highways infrastructure firm Ashoka Concessions Limited in a potential deal having an enterprise value of around $1.2 billion. EY is running the sale process for the deal having an equity value of around $350 million.

• Ashoka Concessions’ roads portfolio comprises 15 assets, including six operational build, operate, transfer (BOT) toll projects, one operational BOT annuity project and eight under-construction hybrid annuity projects.

• Actis plans to pick up a 100 per cent stake in Ashoka Concessions through Actis Long Life Infrastructure Fund, a yield-based fund.

New Developments

• The Government of India, the Government of Meghalaya and the World Bank have signed a $120 million project to improve and modernise the transport sector of Meghalaya.

• The Meghalaya Integrated Transport Project (MITP) will improve about 300 km of strategic road segments and standalone bridges by using innovative, climate resilient, and nature-based solutions.

• The $120 million loan from the International Bank for Reconstruction and Development (IBRD), has a maturity of 14 years including a grace period of six years.

Loans/Bonds

• The Tamil Nadu government has issued a Government Order (GO) granting in-principle approval to borrow Rs 10 billion from banks for restoration of damaged roads in urban local bodies (ULBs).

• The Commissioner of Municipal Administration had demanded Rs 10 billion, as part of Phase-I, to repair and maintain roads in urban local bodies in Chennai.

• However, state government had granted approval for a value of Rs 10 billion through pooled financing raised as a loan through Tamil Nadu Finance and Infrastructure Development Corporation (TNFIDC) from banks or financial institutions.

Impact of COVID-19 on Project Developers and Competitive Intensity

• Besides boosting investors’ confidence in the hybrid annuity model (HAM) for highway development, the revised model concession agreement (MCA) for HAM projects is likely to have a positive impact on the stake sales and InvITs transactions, according to CARE Ratings.

• Under the revised MCA, the government has allowed transfer of equity stake of a developer in a HAM project after six months of the commercial operations date (COD) from two years earlier.

• Besides, the doubling the number of upfront payment construction support release to 10 instalments from five earlier will lead to an improvement in the working capital cycle by around 15 days for the developers.

• Interest shall be due and payable on the reducing balance of completion cost at an interest rate equal to the average of one-year MCLR of top five scheduled commercial banks plus 1.25 per cent. Earlier, it was linked to the Reserve Bank of India (RBI) bank rate plus 300 basis points. According to CARE Ratings, CARE Ratings the move is expected to improve the average debt service coverage ratio (DSCR) by 6 per cent and project internal rate of return (IRR) by 110 basis points.

• The government’s recent push in the infrastructure sector could lead to more competition and higher bidding for roads projects, according to India Ratings and Research (Ind-Ra).

• The central government has carried out a series of reforms to increase the participation of mid-sized engineering, procurement and construction (EPC) players in the tendering process of construction contracts. The reforms come at a time when several infrastructure companies are holding back on their investments due to the COVID-19 pandemic.

• These measures are likely to intensify competition in roads, bridges & highways and tunnelling projects by way of higher participation from a wider set of bidders.
