I/We are making this Application with the full knowledge that the plans for the building in which the Space applied for will be located.
I/We agree that the allotment of the Space in the project "aUNIPARK" shall become definitive only after the due information of the same by "R.S. RESOURCE MANAGEMENT CONSULTING PVT. LTD." in writing and shall be subject to the terms and conditions stipulated by "R.S. RESOURCE MANAGEMENT CONSULTING PVT. LTD." Herein after called " The company".
In the event of the company accepting my / our application cum Registration to allot a Space, I / we agree to pay all further installments of the sale price and all other amount / dues as stipulated in the payment plan communicated along with this Application ( which may be altered at the time of execution of the Buyers' Agreement) as explained to me by the Company and fully understood and accepted by me/ us
I/we agree to execute all the documents in standard format provided by the Company as and when necessary for the allotment of the Space
in the Project "aUNIPARK" and shall strictly adhere to all the terms and conditions stipulated by the Company from time to time.
The said Space shall be deemed to be allotted to me only after I/we execute the buyers 'Agreement/MOU on the standard format provided by the company ("Buyers Agreement") after carefully understanding, agreeing and undertaking to abide by the terms and conditions laid down there in and all the implications thereof and after understanding my/ our obligations and liabilties and the obligations and liabilities of the company as set forth in the Buyers 'Agreement' .
I/we agree that Buyers' Agreement shall not be binding upon the company until executed by the company.
I/we agree that the registration and subsequent allotment of Space is at the sole discretion of the company and in case the Space is not allotted to me / us for any reason what so ever, I/we shall not raise any objection or claim damages or challenge the same in the court of law and amount deposited here in shall be refundable to me/ us without any interest within 30 (Thirty) days from the date of notice regarding rejection of my our Application.
I/we agree that the allotment shall become final and binding upon the company only after the acceptance by it of the Signed Buyers 'Agreement within a period of 30 (thirty) days from the date of its dispatch by registered post, together with all the annexure, draft tripartite Maintenance Agreement together with the amounts due and payable as set froth in the schedule of payments annexed herewith ("payment plan"). If I/we fail to execute and deliver to R.S. RESOURCE MANAGEMENT CONSULTING PVT. LTD." Then my/ our Application shall be treated as cancelled and an amount equivalent to 20% of the total cost of the Space considered as the earnest money shall stand forfeited without any notice/reminders.
I/we have gone through the above terms and conditions and have understood them and I/ we hereby my/ acceptance thereof.

That I / We am/are making this application after going through and having full knowledge of the following terms & conditions in all materialparticulars as proposed by "R.S. RESOURCE MANAGEMENT CONSULTING PVT. LTD." (hereinafter referred to as 'the Company')
1. That I/We have made this application being fully aware and conversant with the applicable laws, bye laws, statues, notifications, rules and regulations etc.
2. That the present terms and conditions are merely indicative in nature and shall be read and interpreted in addendum and in reference to the stipulations contained in the allotment letter.
3. That I/We am/are satisfied about the interests and rights of the Company apropos the land upon which the construction of the project is proposed and have fully understood all limitations arising thereto and agree that in future there will not be any further investigations/objections by me/us in this regard.
4. That I/We agree to pay the price of the space applied for (and for other incidental and ancillary charges) on the basis of the rate of land on per square feet basis. I/We further undertake to pay the PLC (Preferential Location Charges) on per square feet basis if opted for and other incidental and ancillary charges or levies as applicable.
5. That the price of the space (and the other incidental and ancillary charges) shall be calculated on the basis of built up Area which would include the pro-rata share of the common areas of the project and the proportionate share of other common facilities at categorically and more specifics y provided in the allotment letter.
6. That the price for the space applied for shall be exclusive of the External Development Charges (EDC's) & Infrastructure Development Charges (IDC 's) calculated on pro-rata basis per square feet as applicable rates.
7. That the computation of price of the space applied would for not include recovery of the payments towards Maintenance Charged of any kind for which the Company shall execute for a separate contract ( of Maintenance) with the specialized agency.
8. That the allotment of space in the proposed project herein above shall mature to be definitive only after the due intimation apropos the same in writing by the Company.
9. That the Allotment letter shall be a standard form of a contract and the same shall be executed by me/us with the Company sans any qualifications and counter proposals.
10. That upon acceptance of this proposal/application by the Company, I/We undertake to make all future installments /payments and demands on time as per the chosen payment plan by me/us.
11. That unless otherwise agreed to the contract in writing, the allotment to space would be the sole discretion of the Company and that I would have no claim in upon the company on this score subject to all just exceptions if any.
12. That the Company reserve its rights to reject my/our application at any point of time (with or without assigning any reason what soever) and in the said event I/We shall only be entitled for the interest free registration amount deposited by me within a period of 30 days from the date of the said rejection.
13. That the allotment shall become final and binding on the Company only after the execution of the Allotment letter
14. That in case if for any reason what so ever I/We fail to act upon my/our undertaken promise apropos the payments/installments, the registration amount deposited by me/us would be liable to be forfeited and the application shall ipso facto be deemed to have been rejected without any further notice by the Company.
15. That I/We fully ratify that the Company has all the liberty to carry out and develop the land appurtenant i.e the land failing outside the building area of the project in the manner it feels like and that I/We shall raise no objection or claim on this score in future and shall further do not default in making the agreed payments being prejudiced on this score.
16. The allotment of space shall generally be on 'first come first serve basis' subject to the discretion of the Company in the allotment of Preferential Locations (as per availability) on payment of applicable PLC charges.
17. That the plans and lay-out's of the project are approved by all concern competent authorities and liable to be in such time.
18. That the project and its entire construction is subject to the statutory enactment pertaining to the Greater Noida Industrial Development Authority (GNIDA) as applicable from time to time.

19. That the plans, designs, and specifications are tentative in nature and are amenable to changes, alterations, modifications, revisions, additions, deletions and substitutions at the instance of the Company and may be for the satisfaction of the GNIDA.
20. That I/We shall be liable to re-imburse to the Company on demand all government taxes, charges, payment, penalties, proportionate charges with regard to National/State Highways, transport and power facilities etc whether levied or leviable in future.
21. That I/We agree to pay the stamp duty, registration charges and all other incidental and legal expenses which shall be incurred during the process of effecting a conveyance in my favor by the Company.
22. That I/We fully understand and conscious that time would be of the essence in making the payments as agreed and as demanded by the Company and failure to adhere the same shall render the present application reject and shall further render the deposited amount forfeited without any further notice/legal notice by the Company subject to penalty clauses as contained in the.
23. That I/We shall be eligible to transfer or nominate the allotted space only after a minimum payment of 50% of the total consideration to the Company.
24. That I/We shall be eligible to get the names of my/our nominees substituted only with the prior approval of the Company who may at its sole discretion permit he same on such conditions as it may deem fit and necessarily subject to the payment of transfer charges. Rs.200 per sq.ft if any send charged without further notice by the company.
25. That the provisional allotment of space as well as the allotment thereafter shall purely be subject to -major clause and that Company, in such an event, shall be entitled for a reasonable extension of time in delivery of possession.
26. That the Company reserve its right to transfer the ownership of the project either in whole or in parts to any other entity such as a Partnership Firm, Company (may be incorporated or not), any association or agency by way of sale, disposal or any other novation whatsoever as may be determined by the Company.
27. That in case the use of the project is converted from IT/ITES to Commercial by the Competent Authority then the conversion charges (along - with Company's Administration & Service Charges) shall be proportionately contributed and paid by the respective space holders without any demur & protest .
28. That in case of larger areas or areas where leases are to be carried out, the Company shall have a right of preemption to lease the same to the third parties along-with combined spaces on such terms & conditions as may be deemed fit and proper by the Company from time to time.
29. That for all intents and for the purpose of the Terms & Conditions as set out and as detailed herein, singular would include plural and masculine would include feminine gender too.
30. That all disputes arising out of this application form and the terms and conditions there of, shall mandatorily be subject to the jurisdiction of a sole arbitrator and in the said event the provisions of Arbitration & Conciliation Act 1996 ( as amended up to date) shall apply.
That I/We have clearly and categorically understood and accepted the stipulations herein above and agree to abide by them sans anyqualifications thereto. I further affirm that these stipulations are merely indicative in nature and are not exhaustive and that in the event ofany discrepancies or repugnancies there with, the Builder-Buyer Agreement executed between me/us shall be the proper definitive reference.
