RULE AMENDMENT

The Commission is amending its rules to add to the delegation of authority to the Director of the Division of Investment Management (17 CFR 200.30-5) the authority to grant permanent and, in some cases, temporary relief under Section 9(c) of the Investment Company Act to applicants disqualified by virtue of Section 9(a)(3) of the Act from serving in certain capacities with respect to investment companies. The Commission instituted public proce~dings against Eric Bryen (Bryen), corporatefinancial officer of Great Lakes Equities Co. (GLE) , a Farmington Hills, Michiganbroker-dealer. Bryen is also a pr ac t.Ic Lng attorney. The Order finds that on February22, 1991, Bryen permanently ,v~olat~l andwas enj.Ql._oe4.,frpm and/or aiding abettingviolations of the antifraud and net capital provisions. In connection with the underlying injunctive action, on September 4, 1990, after a trial on the merits, the District Court found that, during 1988 and 1989, Bryen engaged in a scheme to defraud purchasers of the securities of GAT Stables-I, Inc., Contach Industries, Inc. and MSE Cable Systems, Inc. Specifically, the Court found that Bryen caused material misrepresentations to be made concerning: the financial condition, the value of assets, the value of the securities, the risks attendant in trading and the anticipated increase in the price of the securities and caused these securities to be sold at prices which included excessive markups that were as high as 200% or more. Further, the Court found that Bryen operated GLE in violation of the net capital rule. The Order permanently bars Bryen from association with any regulated entity. See,[SEC v. JACK RINGER BARRED

The Chicago Regional Office announced that on March 15, the Commission entered an Order Instituting Proceedings, Making Findings and Imposing Remedial Sanctions againstJack Ringer, formerly an associated person of a registered broker-dealer in New York.

The Order instituted proceedings against Ringer and found that Ringer was convicted on November 8, 1989 of one count of conspiracy, six counts of mail fraud and six counts of securities fraud in connection with the manipulation of the stock of European Auto Classics, Ltd. from 1979 to in or about 1982. The Order permanentlybars Ringer from association with any broker, dealer, municipal securities dealer,investment company or investment adviser. Ringer consented to the entry of the Commission's Order. (ReI. 34-28976)

INVESTMENT COHPANYACT RELEASES

COLONIAL ADVANCED STRATEGIES GOLD TRUST

A conditional order has been issued under Section 6(c) of the Investment Company Act exempting Colonial Advanced Strategies Gold Trust, et al. from Sections 2(a)(32),2 (a) (35), 22(c) and 22 (d) of the Act and Rule 22c-l thereunder to permit the imposition and waiver of a contingent deferred sales load (CDSL) on certain redemptions of shares and to credit CDSL payments upon certain reinvestments. ARKANSAS POWER & LIGHT COMPANY

An order has been issued authorizing three actions by Arkansas Power & Light Company (AP&L), an electric public-utility subsidiary company of Entergy Corporation, a registered holding company. AP&L is authorized to redeem shares of its outstandingpreferred stock, which preferred stock is to be issued under the exemptive provisionsof Rule 52 (New Preferred Stock), in accordance with any of the mandatory or optionalredemption provisions established at the time of the New Preferred Stock's initial issuance. AP&L also may redeem (or purchase in lieu of redemption) outstanding New Preferred Stock, in accordance with the sinking fund provisions established at the time of the New Preferred Stock's initial issuance. Finally, AP&L is authorized to acquire from time to time prior to August 31, 1992, in whole or in part, prior to their respective maturities, certain of AP&L's outstanding securities. PROPOSED RULE CHANGE

The National Association of Securities Dealers filed a proposed rule amendment (SR-NASD-9l-9) under Rule 19b-4 of the Securities Exchange Act to amend Sections l3(a),39(a) and 4l(e) of the NASD Code of Arbitration Procedure. The proposed amendments would eliminate the existing requirement of customer demand or written consent of the parties before application of simplified procedures. Additionally, the amendments would require party service of amended pleadings and require that the name of counsel and the type of security or product in controversy be made additional items for incl~sion in all arbitration awards. The amendments are intended to improve the existing arbitration procedure and to bring it into conformity with current practices.Publication of the proposal is expected in the Federal Register during the week of March 25.
