Action was taken by the Group IV Terrier Clubof Salt Lake for conduct at its September 14,2018 event. Ms. Wilson was charged with inap-propriate public criticism of a judge, not dis-ruptive, but demonstrating a lack of sports-manship. The Staff Event Committee reviewedthe Event Committee’s report and set thepenalty at a reprimand and a $50 fine.(Multiple Breeds)

NOTICEMr. Kirk Loftin (Azle, TX) Action was taken

by the German Shorthaired Pointer Club ofAmerica for conduct at its October 17, 2018trial. Mr. Loftin was charged with inappropri-ate, abusive or foul language. The Staff EventCommittee reviewed the Event Committee’sreport and set the penalty at a reprimand anda $100 fine. (German Shorthaired Pointer,Black and Tan Coonhound)

was taken by the German Shorthaired PointerClub of America for conduct at its October 17,2018 trial. Mr. Juergens was charged with inap-propriate, abusive or foul language and physi-cal contact of an insulting or provokingnature. The Staff Event Committee reviewedthe Event Committee’s report and set thepenalty at a five-year event suspension and a$5000 fine, effective November 5, 2018.(German Shorthaired Pointer, Vizsla)

NOTICEMr. Philip Boyce (Lake Ariel, PA) Action was

taken by the Greater Fredericksburg KennelClub for conduct at its January 12, 2019 event.Mr. Boyce was charged with disruptive behav-ior at an event. PROPOSED AMENDMENT TO THE RULES APPLYINGTO DOG SHOWSCHAPTER 11, Section 12 – Dog Show

Entries, Conditions of Dog Affecting Eligibility The AKC Board has endorsed the following

amendment to CHAPTER 11, Section 12, ofthe Rules Applying to Dog Shows, based on aproposal by the Delegate Dog Show RulesCommittee. This will be voted on at the June11, 2019 Delegates Meeting. CHAPTER 11SECTION 12: Any person acting in the capac-ity of Superintendent (or Show Secretarywhere there is no Superintendent), at a show,or any person residing in the same householdwith the Superintendent or Show Secretaryshall not exhibit, act as agent or handler at theshow, and dogs owned wholly or in part by himor by any person residing in the same house-hold with him shall be ineligible to be enteredat that show. The official veterinarian shall notexhibit, act as agent or handler at the show,and the dogs owned wholly or in part by himshall not be eligible to be entered at that show.A Superintendent, an individual licensed to

superintend events as an employee of theSuperintendent, any other employee of theSuperintendent, or any person residing in thesame household as any of the foregoing, shallnot exhibit or act as agent or handler, at anyshow held thirty days before or after a show

Superintendent, an individual licensed tosuperintend events as an employee of theSuperintendent, any other employee of theSuperintendent, or any person residing in thesame household as any of the foregoing, shallbe ineligible to be entered at any show heldthirty days before or after a show which theSuperintendent has been approved to serviceby The American Kennel Club.For the purpose of this section, the employ-

ees of a Superintendent would include onlythose individuals who represent theSuperintendent or superintending organiza-tion at dog shows.

PROPOSED AMENDMENT TO THE RULES APPLYINGTO DOG SHOWSCHAPTER 11, Section 13 – Dog Show

Entries, Conditions of Dog Affecting Eligibility The AKC Board has endorsed the following

amendment to CHAPTER 11, Section 13, ofthe Rules Applying to Dog Shows, based on aproposal by the Delegate Dog Show RulesCommittee. This will be voted on at the June11, 2019 Delegates Meeting.

CHAPTER 11SECTION 13: No judge or any person resid-ing in the same household with a judge shallexhibit or act as agent or handler at a showat which he/she is officiating as judge and

dogs owned wholly or in part by such judgeor any member of his/her household shallbe ineligible to be entered at such show.Subject to the foregoing, members of ajudge’s immediate family as defined in thissection who no longer reside in the samehousehold may enter or handle a dog at ashow if the judge is not officiating over anycompetition, including a group class or Bestin Show, for which the dog is entered or maybecome eligible.No entry shall be made at any show under a

judge of any dog which said judge or anymember of his/her immediate household orimmediate family has been known to haveowned, handled in the ring more than twice,sold, held under lease or boarded within oneyear prior to the date of the show.For the purposes of this section, the mem-

bers of an immediate family are one’s spouse,domestic partner, parents, grandparents, chil-dren, grandchildren, siblings, mother-in-law,father-in-law, brothers-in-law, sisters-in-law,daughters-in-law, and sons-in-law; adopted,half, and step members are also included inimmediate family. The above will apply to judges of sweepstakes

or futurities held with licensed or membershows exactly as it does to judges of regularcompetition at shows. This provision prohibiting judges or those residing

in the same household from exhibiting on the sameday does not apply to the judge of the Four-to-SixMonth Competition or to Junior Showmanship only

Weighing and Color Determinations whenFactors of Disqualification in Breed Standardsor Eligibility Under Conditions of a Class orDivision of a Class Cancellations of AwardsThe AKC Board has endorsed the following

amendment to CHAPTER 14, Section 8, ofthe Rules Applying to Dog Shows, based on aproposal by the Delegate Dog Show RulesCommittee. This will be voted on at the June11, 2019 Delegates Meeting.

CHAPTER 14SECTION 8: At the request of the owner orhandler of an exhibit, any errors in the catalogand/or judge's book at any show, which arecontrary to the information appearing on theentry form of that dog for that show, shall becorrected in the judge's book by the ShowSecretary or the Superintendent prior to thejudging and in the marked catalog to be sent toThe American Kennel Club. Said dog may com-pete in all classes and for all prizes for which itwas properly entered on the entry form.

PROPOSED AMENDMENT TO THE FIELD TRIALRULES AND STANDARD PROCEDURE FORRETRIEVERSCHAPTER 14, Section 4 – Rules for Re-

triever Field Trials The AKC Board has endorsed the following

amendment to CHAPTER 14, Section 4, of theField Trial Rules and Standard Procedure for Re-trievers based on a proposal by the RetrieverField Trial Advisory Committee. This will bevoted on at the June 11, 2019 Delegates Meeting.

CHAPTER 14SECTION 4: (2nd paragraph)The objective of rotation is to spread the bur-

den or benefit of running early equitablyamong the competing dogs. The Judges shallselect the particular system of rotation to beused, and the system selected shall be publiclyannounced by the Judges and/or Marshal be-fore the commencement of the stake to whichthe rotation will apply. If any dog, by conse-quence of the rotation, is designated to runfirst twice in the same stake, at the same fieldtrial, he should be exempt from that obliga-tion. In such an instance, said dog will bepassed over and the next number in the call-backs shall be first. For example, if #22 hadstarted a previous series and by some chancecame up again to be first on a subsequent se-ries in the same stake, at the same field trial,he would be passed over and the next dog inthe sequence would be first (#23 or the next

Mr. Sprung reported that the Bylaws provideexplanation that no nominations may bemade today from the floor. Nominations,therefore, closed on November 15, 2018.The Delegates were reminded that electionsare in accordance with Robert's Rules ofOrder, which require a majority vote to elect.There were three vacancies for the Class of2023. If more than three candidates receive amajority vote, the three receiving the highestnumber are elected. If less than threecandidates receive a majority of vote, thosereceiving a majority are elected, and theother candidates may remain on the ballot.The Delegates were reminded to vote for nomore than three candidates for the Class of2023.

The election procedure was overseen by theaccounting firm of KPMG. The ballots werescanned and tabulated electronically. Allcandidates were offered the opportunity toobserve the election procedures.

The Chair reported the passing of GwenMcCullagh on January 5 who served asDelegate for Huntington Kennel Club sinceJanuary of 2005. She began showing BassetHounds in 1973 and was avid in the sport aswell as an AKC Judge for over 40 years. Mr.Sprung addressed the Delegates about thepassing of Stanley Saltzman on January 15.He was a Delegate for the San Francisco DogTraining Club and Longshore-SouthportKennel Club with the longest continuousservice of any current Delegate or staffmember. He chaired the AKC Ad HocCommittee on Committees which proposedthe standing rule in 1993 that led to thecreation of the Delegate Committees.Stanley was a member of the BylawsCommittee from 1999 to 2005 and served asan AKC Board member. He was a judge foralmost 50 years. In March 1983, theDelegate Body voted for a landmarkinitiative of theirs by adding to the numberof groups increasing from six to seven withthe addition of herding. Mr. Sprung offered condolences for KittySarvinas on January 11 who was a Delegatefor the Dog Owners' Training Club ofMaryland since March of 1999. A constantvolunteer at the AKC booth for our NationalChampionship along with Gary. Finally, he advised about the passing of

Marlene Steinberg, on January 20 who wasDelegate for Greater Philadelphia DogFanciers Association since October of 2005.

The minutes of the December 14, 2018,Delegates meeting were published in theonline January 2019 Gazette and a completetranscript was posted on the Delegates Portalon AKC's website. If there are nocorrections, the minutes will stand approvedas published. There were no corrections, andthe minutes were adopted as published. Mr. Sprung advised that The Chairman'sreport would be distributed to all Delegatesvia email following the meeting. He notedthat it would also be available on theDelegates Portal.

Mr. Sprung gave the President’s Report asfollows:I am proud to share that 2018 ended inpositive territory throughout theorganization: Litters increased by 5 percentand individual dogs by 4 percent. Thenumber of unique breeders grew by 6percent. Aggregate entries were up morethan 100,000, ending the year at 3,243,265 –

the highest ever in AKC's history. Publicrelations and social media numbers are eachpositive. AKC.org has more than 8 millionunique users monthly, plus increases in AKCMarketplace and Instagram with a recentgain of 10,000. The AKC Facebook page isquickly approaching 4 million followers. Wealso launched a major initiative, AKC.tv,under the direction of Gina, which isavailable on Apple TV, Roku and AmazonFire. Additionally, the mobile app can bedownloaded on the App store and GooglePlay.

On September 17, the date of our founding,we moved into our new office whilesimultaneously building the AKC Museum ofthe Dog and renovating our North Carolinaoperations facility.

2019 has started off successfully as a dreamcome true for AKC and dog people with theopening of your Museum of the Dog. Thanksto AKC's PR department we garnered ravereviews for the museum with over 1,300media placements. I congratulate AKC'sBoard of Directors; this accomplishment isindeed their legacy.

Just 10 days ago (March 2nd), our socialmedia department posted one of our ownagility videos on Facebook. In 10 days, wehave over two and a half million views.

Eleven years ago, after meeting withmembers of The Kennel Club to understandtheir “Discover Dogs” program, my belief wasthat AKC could emulate and also enhance it.I brought the idea back to the States anddeveloped Meet the Breeds. Thanks to ourparent clubs, local specialty clubs, Delegates,Board and staff, last month was our tenthyear of this successful educational outreach. Iwill now share a video with you made byDavid Woo, AKC multi-media specialist,providing a taste of this year'saccomplishments thanks to our Delegatesand other volunteers.

Mr. Sprung recognized Dr. Carmen Battagliaas follows: Carmen has been a dedicated andappreciated member of this Delegate Bodysince 1990 as Delegate of the GermanShepherd Dog Club of America and firstelected to the Board of Directors four yearslater. He served his Parent Club in multiplecapacities, including President. As an AKC Board member, he Chaired andwas on countless committees and liaison tothe Parent Clubs, Bylaws, and HerdingDelegate committees. In 1996, as Presidentof AKC Companion Animal Recovery, nowReunite, he expanded their mission to assistdogs as he traveled the nation doing theright thing when disasters occurred, saving

dogs while bringing relief to owners in need.He remains an active Breeder of Merit andMultiple Group/Best-in-Show judge. A prolific researcher and distinguishedwriter, his articles contribute to the positivefuture of dogs, AKC, our sports andresponsible breeding. He was President ofthe Dog Writers Association of America andinducted into their Hall of Fame. Lastly, we will always cherish his passion as afriend of the Board and staff alike asCarmen’s dedication to the well-being ofdogs has no limit. Dr. Battaglia, please stand.

Mr. Sprung recognized Chairman RonMenaker as follows: We know a special mannamed Ron, quiet, noncommittal, alwayscalm. To start the discussion of ourChairman is to restate the virtue we love inour dogs – that of unconditional loyalty. Hisappreciation and respect for AKC, dogs,clubs, delegates, fanciers and employeeshave no barriers. I really came to know him well while servingas Vice President and being told by both heand David Merriam that as a result of the2003 registration meltdown I wasimmediately being transferred to NorthCarolina as the new COO. What they didn'ttell me was that Ron would be helping in theregistration department for a few months.He went through every single file cabinet,

emptying them of registration forms andchecks. In so doing, he earned the nickname"Pops" from the ladies in the registrationdepartment. I recall during a conversationwhen everyone was seated on the floor,placing the applications into batches, one ofthe ladies said to Ron, "What do you do?" Heresponded, "I'm Chairman of The AmericanKennel Club." The room erupted withlaughter. These dear women were hysterical.What a sense of humor "Pops" had. Howcould this regular guy who treated them thesame way he treated himself, with commoncourtesy and without privilege, beChairman? We began work every day at 7AMand stopped at 7PM, ending with dinnerwhen we met nightly with the consultantswho were rebuilding the registration processto right the sinking ship. Thanks to Ron, wedid. He leads by example. His outspoken supportof ideas advanced by staff resulted inearnings of more than $240 million inalternative revenue, allowing us to monetizeopportunities that were rejected just yearsearlier. However, there is a more important side ofour Chairman: Humanitarian. That entailsmuch more than his generous donations todog-related organizations. Withoutmentioning a single name, the people whoselives he has assisted from a health point ofview are just too many to count. Standinghere I am reminded of a number who were

touched because when you reached out toRon, he reached out to others. Whether itwas the fancier who came to New York for asecond opinion and had to be tracked downat the airport to return to the City becausethe impossible-to-arrange procedure becamepossible; or the show chair whose grandsonwas dying so Ron sent a medivac helicopter;or the Delegate who wanted to bring herdaughter to Manhattan to see a world-renowned specialist, only to be told there wasa three-month wait while her own doctorgave her just weeks to live. She saw thespecialist that very week. I once accompanied someone to the hospitalwhere Ron was Chairman. We arrived at theemergency room’s ambulance entrance andwere met by many caregivers from thePresident of the hospital on down. Later Iasked Dr. Logan, the President, "What wereyou doing out in the snow with a host ofdoctors and nurses in tow?". He said, "Whatdo you think I was doing there, Ron called."Friends, that patient was my mother. I often watched as your Chairman movedmountains to help people in our sport. Whatamazed me is that many of the people hehelped, he had never met. They were familyto some dog person, sometimes one of you,and that was good enough for Ron. The American Kennel Club has been blessedwith some great women and men over thepast 135 years, but in today's world the word"great" is just too commonplace. Every breed

does not have a great one. Each pick of thelitter does not produce the next great showdog. However, this Chairman will beremembered as a great human being whotouched every person. In my opinion, hiscontributions are yet to be fully realized orappreciated. Either philosophically, business-wise or from a visionary point of view, lastevening's museum tour is but one exampleof his great leadership. Certainly, therewould not be an AKC Museum of the Dog inNew York City if there wasn’t a Ron Menaker. Ron, on behalf of the Board and staff, we arethankful for your respect of our combinedefforts to advance AKC, our dogs and clubs.We thank you and will forever be indebtedfor your friendship and leadership. We loveyou, Ron.

Menaker first joined the Delegate Body asthe Delegate for the Bedlington Terrier Clubof America and was appointed to The

American Kennel Club Board of Directorson May 13, 1996, serving until May 10, 1998;And whereas he was reelected for threesuccessive terms commencing on March 14,2000, serving until March 13, 2012; Andwhereas he was reelected on March 11, 2014,serving until March 13, 2018; Whereas hewas again reelected on March 13, 2018,serving a one-year term until March 12,2019; And whereas during his Board tenurehis contributions to The American KennelClub are countless. the Financial Report as follows:Good morning everyone. We thank you allfor assembling here and best of luck to allthe candidates on the ballot this morning, aswell as to all those who have served ourwonderful organization in so manyimmeasurable ways. I'm privileged inproviding you with our unaudited financialresults for the performance report for 2018fiscal year. A non-consolidated summary ofthe AKC operating revenues and expensesthrough December 31, 2018, arecomparatively presented here. We recorded76.8 million in total revenue and 72.6million in total expenses for an operatingincome of just over $4.2 million, incomparison to the full audited 2017 yearwhere we reflected 71.7 million in revenuewith 65.6 million in operating expenses anda full year of 6.1 million in operatingincome. Additionally, please note there werea few unbudgeted adjustments that were notpart of our standard AKC operations in 2018.We reflected a noncash rent expense inorder to fully record our deferred rentthrough December 2018 totalingapproximately $4 million, as well asrelocation and related fixed asset andleasehold write-offs at year end. There wasalso a lease buyout payment of 850,000, aswell as an unrelated business income taxpayment of 350,000. Our next exhibitpresents AKC's core registration volumes andyear-over-year performance. Our litter

volume increased by 5 percent with a totalannual volume of 251,000 in 2018. Our dogregistrations also rose by 4 percent for theyear reaching 581,000. As was presentedduring our meeting in Orlando inDecember, we had a goal to pass themilestones of 250,000 litters and 575,000dogs. We did achieve our goal. We've nowmarked a full five conservative years ofincreasing volumes. We are now at our peakvolumes from nearly a decade ago. Anoverall thanks to the dedicated efforts andpurpose demonstrated throughout ourDelegate Body, our Board of Directors andmanagement staff and each and every vitalarea of the organization. Congratulations,and we strive for more triumphs ahead. Let'sbriefly reflect upon the highlights of oursports and events area for 2018. There werejust shy of 22,000 sanctioned and licensedand member events held throughout theyear. Our total entries of 3.2 million for 2018was an overall increase of over 3 percent incomparison to 2017. Congratulations are inorder to management and staff and allinvolved who worked so hard and arefocused to assist all of our clubs and theirfuture successes in AKC sports and events.Let's drill down into the AKC 2018 operatingstatement where our total revenuesincreased by 7 percent. We'll first assess ourlargest increases to revenue year over year.All registration related revenues correspondto 52 percent of AKC's total revenues.

Registration related services increased by$3.9 million overall. This included the majorcomponents: Litters by 700,000, dogs by 1.5million, pedigrees by 400,000, as well asGood Dog Helpline by just over 200,000. Allother reg related revenue increased by anadditional $1 million. The positives continuein Sports & Events which rose by 1.36 millionoverall, including the specific areas of TrickDog which had an increase of $160,000 andCanine Good Citizen which grew by 400,000,and recording in event service fees whichproduced almost $800,000 in additionalgross revenue. Also, our marketplacerevenues soared by about 200,000, and ouraffiliate royalties grew by more than 300,000year over year. Thanks again to everyoneinvolved with these positive efforts insucceeding to promote the services andprograms of The American Kennel Club.We'll next address analysis of expenses.Beginning at the top of the organization andas a requirement of the AKC Bylaws, we canreport that the total amount of Board ofDirectors related expenses in fiscal 2018 was$333,341. Moving forward we'll next take alook at where AKC's operating expensesescalated in the 2018 year. Our totalexpenses increased by $7 million or 10percent overall. The largest singlecomponent of this increase relates to ourpayroll and benefits. Our full-time equivalentheadcount at December 31 was 350. Payrolland benefits rose by 2.8 million or 8 percent

in total. This is due to a combination offactors, including rising benefit costs,fulfilling open positions during the fiscalyear, along with adding new budgetedpositions and our standard annualperformance-based increases. Ourconsulting costs grew by 1.3 million in 2018which related to a number of new areas andimpactful programs, among which includedour efforts with AKC TV, digital marketing,our research concepts for consumer demandof purebred dogs, our detection dog taskforce team, and upgrading our financialreporting systems. Our cloud and migrationservices fees increased by more than 650,000.As we continue to move our technologystorage to the cloud and increased ourtelecommunications and database securityservices, this imperative increase helped usto achieve our current technology objectiveswhile controlling any future expendituresand hardware maintenance. Our ongoinglibrary digitization project resulted in anadditional outlay of $380,000. Our Educationprograms included an additional $90,000 inexpenditures supporting new software as wellas information presenting summits. Outsideof AKC's operations next we'll take anoverview of our investment performance. In2018 AKC's investment activities reflectedunrealized losses of $6.4 million and aninvestment return of negative 4.76 percent.These results were most predominantly dueto a poorly performing market through late

November and all of December 2018. Nowalthough this negative performance was notwhat we were expecting, we did outperformour benchmark by just about 1.5 percent. Wedo take a long-term focus and vision in ourportfolio's goals and applications. Also, ofnote we are pleased to share that ourportfolio has since successfully reboundedback and beyond into positive territory herein the opening months of 2019. Taking alook at AKC's total assets. We ended the 2018year with $162.7 million in total assets. Thisis within 1 million or less than 1 percentfrom 2017, despite the aforementionedchallenging investment landscape of late2018. Next on the other side of the balancesheet are total liabilities. Total liabilities haveincreased fairly significantly from 73 millionat the end of 2017 to 110 at December 31,2018. There was an increase to the total ofaccounts payable and accrued costs by $5.7million. Next an increase in our capital anddeferred lease liabilities of just over $7.6million which relates to our relocation andnewly leased space at 101 Park Avenue, alongwith our revitalization and renovation of ourRaleigh, North Carolina, operations center.We've incurred a short-term line of credit forconstruction purposes of $22.3 million whichis entirely related to the build-out of 101Park Avenue, including that of the first andthird floor for the AKC Museum of the Dog.It's our expectation to relieve the credit lineas we progress throughout the balance of

2019 and forward to 2020 as well. In review,overall, 2018 was a good year for TheAmerican Kennel Club. We had pivotalsuccessful dealings and transactions thattook place during the year, while wecontinued to move forward with operationsand fulfilling our mission statement. We areexcited about more success in 2019 ahead.Thank you to all for the courtesy andconsiderations this morning. The first vote was on the Charter and Bylawsof The American Kennel Club, Article VIII,Section 1, which would require that theBoard in its appointment of the 5-membernominating committee include threeDelegates that have each been selected by aDelegate Committee in accordance with theproposed new standing rule. Sue Burgess, Delegate for the EnglishSpringer Spaniel Club Field TrialAssociation, spoke as follows:Thank you. I am Sue Burgess, Delegate forthe English Springer Spaniel Club Field TrialAssociation. David Hopkins could not behere at this meeting and he has asked me toread the following message from him. Hesays: Unfortunately, I cannot be at theDelegates meeting due a medical issue, so Icannot speak directly in support of myproposed amendments. He has asked me toread this statement and he has indicated thathe's solely responsible for the content of thestatement, not myself. It is as follows: 1. Thegoal of my proposal is twofold: To strengthenthe process of the formation of thenominating committee each year and toimprove confidence in such process. 2. Theproblem that has arisen, primarily in the lastthree years, in my opinion, is the increasingcriticism to the effect that some recentappointees to our nominating committeeshave had an excessive predisposition in favorof particular candidates, especially favoredby an incumbent director. Whether this is oris not a validity to such criticism is for eachDelegate to decide. The existence of thecriticism, though, is real, possiblydemonstrated in terms of election results in2016 when all nominating committeenominees were defeated. Number three –

and this is the essence of David's statement,in my opinion. 3. There is simplicity to myproposal. In March, the coordinatingcommittee would draw lot by lot three namesof substantial Delegate committees. In Juneeach of the three randomly chosencommittees would select one regularmember of the new nominating committee.That's all. Otherwise, all of our existing rulesand practices for the formation of thenominating committee would remain inplace. The Board would appoint the othertwo regular members, the two alternates andthe chair. 4. The proposed sharing ofresponsibility for forming the nominatingcommittee sharing by the Delegate Body andby the Board is an approach that is notuncommon for not for profits. It is commonin the legal community and it is theapproach used effectively by the SpringerParent Club since 1993. 5. I respectfullysubmit that my proposed reform is a win-win-win one. It should be a win for directors bygreatly reducing the conflict of interest thatexists, a conflict that I used to think, untilthe last three years, had existed primarily ona theoretical plane. It should be a win forcandidates and it would substantially freethem from unfounded criticism. And itshould be a win for the Delegates as myproposed reform ought to strengthenconfidence in the overall nominating andelection process. For the foregoing reasons, Iurge your support for my proposed reform.

Barbara Burns, Delegate for the Rockford-Freeport Illinois Kennel Club, spoke asfollows: Can you explain from the Board'sstandpoint why you are against this proposal?

Carl Holder, Delegate for the BeaumontKennel Club spoke as follows:I don't see how one individual can explainwhy all the members of the Board voted in aparticular manner because each person mayhave a different view as to why they voted inthe manner they did.

Dr. Tom Davies, Vice Chairman andDelegate for the Springfield Kennel Club,spoke as follows:In as much as there was much discussion inthe boardroom and a consensus on the vote,on the opinion, I can attempt, Carl, to offerthe Board's position. The current electionprocess is nine months long. We spend two-thirds of our year potentially electioneering.This proposal will extend it even further, andit was felt by the Board that, if anything, the

whole process should be shortened so thatwe can be about our collective work from theDelegate Body and from the Board ofDirectors.

Susan Sholar, Delegate for the Black RussianTerrier Club of America, spoke as follows:Thank you, Tom. It would seem to me that ifwe're not happy with who the nominatingcommittee pick, we have a tool already inplace. We can support somebody else whoalso wishes to run for the Board. I've beenasked to do that a few times and have beenhappy to do so. I personally see no purposeof this.

Ruth Naun, Delegate for the Border TerrierClub of America, spoke as follows:I stand to speak against this motion, but Iwould like to say that I think it's a veryhealthy sign to look at the question of theprocess for selection of Board – of theprocess to make the selection for the Board.This particular measure does move thethrust of ownership directly to the Delegatesfrom none to three, and I think that in itselfis a rather extreme movement. But I thinkwe live in a country and at a time when it'svery good for an organization as healthy asthe AKC is to look at the process by whichthis Delegate Body moves forward as a groupto make a selection for the Board of theorganization. So, with that much said, I'd liketo take my seat and thank you.

Robert Eisele, Delegate for the SuffolkCounty Kennel Club, spoke as follows:I approach this, as I agree with the previouswoman that mentioned that we have anotheroption of just running from the floor andgetting support. I've always kind of felt thatthe task of running for the Board is anoverwhelming task that nobody is reallygoing to try to take on by themselves. Buthaving the support of a Delegate that'sreappoint and having somebody come forthto a possible nomination is showingconfidence in that person to come forth andrun. So, you're not going to get people thatare all going to try to get a petition. It'salmost like there's a Democrat and aRepublican, you have two-party support, andyou go up. To run for a position like this, youneed some sort of backing ofencouragement. And I think this proposal –and I had no views whatsoever on thisproposal until just now – helps support aprocess of encouraging people to runinstead of trying to come forth to be throughpetition. I'm in support of the proposal.

Gretchen Bernardi, Delegate for theMississippi Valley Kennel Club, spoke asfollows:I’m speaking as chair of the BylawsCommittee because we have a rathertroubled relationship with this particularamendment that some of you may know whatthat timeline was, but I'd like to explain it.

When David first brought this to us, mycommittee – our committee has always feltthat the nominating process neededrepairing in some way. The committeegenerally supports doing away with thenominating committee anyway, becauseanyone can run by petition and it takes otherinfluence out of that process, and we havesupported that and have worked for that, butwe didn't see any support for that in thecommittee – I mean, in the room I guess.And so, we originally approved thisamendment because we thought it was betterthan the system we have now. At the nextmeeting we, in fact, rescinded that approval,and it's kind of complicated why we did it,but it was an overwhelming vote to rescindour approval. Having watched the latestseason of the election process, I ampersonally – and I never voted in thecommittee – but I am personally inclined tovote for this because it does, in my opinion,minimize outside influence in thenominating process. Thank you.

Michael Knight, Delegate for the TexasKennel Club, spoke as follows:I'm the current Chairman of this committee,and I wasn't going to say anything. However,when I got asked to be chair of thiscommittee, I received no phone calls, nopressure from the Board, no one gave meany advice except Gina told me I could callher anytime. Dennis offered that I could call

him. I tried to do it myself. They put five ofus together. We didn't know each other.None of us knew each other. We cametogether as strangers. We left as eitherhopefully friends, at least acquaintances, andwe had five great candidates to choose from.I sit on seven boards in my professional lifeand I have watched in all of these boards, inall these years, I've watched us choose peoplethat are popular instead of people that havethe skill to do the job. It's a history we allsuffer from of putting up our friends insteadof people that the board, whatever boardthat might be, need. This particular year forme, and I cannot speak to the other years ofother chairmen in the room, we had – I'mnervous. Y'all are an intimidating group.Anyway, we had five great candidates. Wecould choose three. We tried to choosepeople that could do the job and had theskill of what the committee needed. TheBoard needed. I felt like we had fivecandidates that all had great skills but, again,we could choose three. We interviewed all ofthem. They all put their best foot forward.They all interviewed well, in our opinion.There was heavy discussion after everyoneleft. It seems like we would almost changeour mind after each person left becauseevery person that came in brought great skillto the table and we saw how we could utilizethem. Again, there were three positions tofill. I think we act as a filter to narrow downthe process of how many people could apply.

I would not vote for this, and I am probablythe least informed of this procedure, but Iwould not vote for it because in my life assitting on other boards, these people in thesepositions do filter down and get to the corepeople that we need. Hopefully we trustthem to find the good people, not beinginfluenced from any outside influence. Wetry to narrow down and choose the people toput forward to you to vote on. Instead ofletting you choose from 50 people, hopefullywe narrow down the best of the best andshorten the process. But again, just toreiterate, there was no pressure on ourcommittee at all except to choose the bestpeople that we could choose from. And weonly chose from the people who putthemselves forward. I just want to say that.

Marcy Zingler, Delegate for the Sun MaidKennel Club of Fresno, spoke as follows:I think that any committee formed to makechoices is going to be subject to the sametransgressions or successes that any othercommittee might be, whether it be the Boardor an individual committee to selectnominees. I have served on a nominatingcommittee. What I think we might want toconsider, rather than voting today, is sometype of layered approach. Many nationalschoose their judges or various other thingsby a layered approach. They allow anyone tobe nominated or to self-nominate,depending on the environment, and then a

Johnny Shoemaker, Delegate for theRedwood Empire Kennel Club, spoke asfollows:I’m past Chairman of the NominatingCommittee and served on a previousNominating Committee. During each time,we were not influenced by the boardmembers at all, which is contrary to what alot of people think. However, I think theprocess in which we go through, and if wehad known a certain thing that we didn'tknow at the time on our nominatingcommittee, that we could nominate morethan the required vacancies on the Board, itwould have helped us eliminate some sort oftension between some of the people whowere not chosen for the Board, because wehad quite a few. We had 12 people comebefore us. And I think it would have helpedus because we had more than just three thatwe thought were very good, we had at leastfive. Or six. So, we could have – perhaps if wehad known at the time that we could havebrought more people forward during thenomination process, it would have helpedour situation, and hopefully maybe we would

not had been the only nominatingcommittee that had no one voted that atleast submitted any one member of theBoard. Thank you.

Gretchen Bernardi, Delegate for theMississippi Valley Kennel Club, spoke asfollows:Again, speaking as Chair of the BylawsCommittee – and Johnny kind of stole mythunder – because I don't think manynominating committees have understood –and it was clarified to us yesterday – that youcan – a nominating committee can nominateas many people as they want as long as theynominate enough to fill the open slots. And Iwas directed to – so this is a sneak preview –to write to the Board to have them be sure totell upcoming nominating committees thatthat is possible for them to actually nominateas many as they choose so long as that spot –as those slots are filled. Thank you.

There was a standing vote where a two-thirdsaffirmative was not met, and the amendmentdid not pass.

The next vote was on the Charter and Bylawsof The American Kennel Club's DelegateStanding Rule on Committees, Section VI,which was to be voted on only if the previousamendment of the Charter and Bylaws wasadopted. As it was not adopted, thisproposed amendment was not voted on.

Ann Cook, Delegate, Siberian Husky Club ofAmerica:Ann issued a fun challenge between theSiberian Husky Club of America and fellowDelegate Anne Bowes representing theLadies’ Dog Club, to see which had moremembers in the Delegate Body. The Ladies’Dog Club reported nine (9). The SiberianHusky Club of America reported a total often (10).

Tom Powers, Board Member and Delegate,Kennel Club of Beverly Hills:Tom provided a program announcement forhis club All-Breed Show which was taped byNBC Sports. He encouraged the Delegates totune in to NBC on Easter Sunday, 1 p.m. inthe East, 10 a.m. in the West.

Kathy Gregory, Delegate, Port ChesterObedience Training Club of New York: Kathy admitted that she was so shocked to beone of the three recipients of the AKCVisionary Awards given out at the Decembermeeting, that she did not get out of her chairto get the award. She thanked the AKC forthe honor and asked for a photo with Mr.Sprung.

Betty Winthers, Delegate, Olympic KennelClub:Betty proudly shared with the Delegate Bodythat this August is her club's 75th anniversaryshow and that they are looking forward tothat celebration. She was also pleased toinform everyone that a Papillon won Best inShow at Crufts. [Applause]

Gail LaBerge, Delegate, Atlanta ObedienceClub:Gail spoke as the Chair of the AKC PACBoard. She advised of exciting news in theupcoming months – and reminded Delegatesto make their monthly donation atakc.org/pac – noting that the money benefits

Don James, Delegate, Leonberger Club ofAmerica:Don congratulated the Leonbergervolunteers for winning Best Booth in Show atthe AKC Meet the Breeds® event duringWestminster in February. He also noted theimportant achievement of the LeonbergerHealth Foundation with a $50,000contribution to the CHF for the study ofhemangiosarcoma.

Pat Laurans, Delegate, German WirehairedPointer Club of America: Pat spoke for AKC Pet Disaster Trailers, withan update. As of March 1, 2019, 410 clubshave participated. $1,916,251 in donationshave been received from clubs andindividuals. $450,000 was funded by AKCReunite. Total funds raised thus far$2,366,251. She acknowledged HarryBooker, Delegate from the PhiladelphiaKennel Club whose club awarded $100,000

to three different organizations. They havefunded $100,000 to the AKC Pet DisasterRelief Fund, $100,000 to Canine HealthFoundation, and $100,000 to Take The Lead.[Applause]

Jan Ritchie Gladstone, Delegate, RichmondDog Fanciers:Jan thanked all the Parent Clubs, DennisSprung, Gina DiNardo and Amy Hamernickfor the wonderful Meet the Breeds® atWestminster event, explaining that greataccolades are deserved for connecting withthe public there in such a substantial way.She spoke as the President of the AmericanFox Terrier Club, that her booth wasfortunate to win for the Terrier group, (andjoked) not quite as fortunate as Mr. James ingoing Best in Show.

Michael Houchard, Delegate, ConyersKennel Club:Michael expressed thanks andcongratulations to the Board and AKC Stafffor the Delegate Museum event the previousevening and remarked that he was impressedwith the institution.

Barbara Gates, Delegate, English SpringerSpaniel Club of Michigan:Barbara announced that in 2019, her Clubwould be celebrating its 85th year, havingbeen incorporated in the state of Michiganin Lansing January 28, 1938. The Club is

Dick Blair, Delegate, Huntingdon ValleyKennel Club:Dick reminded the Delegates he neededmore volunteers to become Delegatementors. He explained that their interests andinvolvement in the dog fancy would bematched with those of new Delegates, bycompleting a form that he had on hand atthe meeting.Delegates were asked to request the formfrom him and return it to him that day.

Anne Bowes, Delegate, Pembroke WelshCorgi Club of America: Anne responded representing Ladies' DogClub, to the earlier challenge by Ann Cookof the Siberian Husky Club of America. Sheadvised that her club performed a recount

with the result of 10 women Delegates withinthe Delegate Body.

The Chair called on the Chair of the TellersCommittee, Kim Johnson, of KPMG whoread the results of the second ballot for theClass of 2023. Ms. Johnson: The total number of votes castwas 342. There was one invalid ballot thatdid count toward the majority, therefore, themajority to elect was 172. The results of theballots were as follows: Karen Burgess 54. Dr.Thomas Davies 140. Steven Hamblin 147.

The Chair announced that no candidatereceived the majority, so the Delegate Bodywould proceed with the next ballot to elect one.

Mr. Obubah: The total number of ballotscast was 307. There were two invalid ballotsthat were counted toward the majority.Therefore, the majority to elect was 155. Theresults of the ballots were as follows: Dr.Thomas Davies 147. Steven Hamblin 158.

The Chair declared that Steven Hamblin hasbeen duly elected as a member of the Classof 2023.
