Most impor-tantly, I'd like to thank each and every one ofyou for participating with us in this new waytoday. I'm also grateful to those DelegateCommittees who have hosted their meetingsvirtually as well. Changes like these aren't easy, but we all know that the key to success is oftenthe ability to adapt. We've all been grieving theloss of so many events, which has affected eachof us in many different ways. It has deprived usof the joy of participating in our sports. It’smeant significant loss of income for clubs, handlers, vendors, judges, and others whohave supported our mission through theirwork. These are indeed very trying times. We

will get through this, united as we are, for thesake of our dogs and our sports. As Jack Welchput it, we will "face reality as it is, not as it wasor as we wish it to be." Although events havesuffered tremendously, it is true that "the showmust go on." And it has. Our staff has doneincredible work throughout this ordeal, mostof it behind the scenes and unsung in order tokeep the home fires burning. As peoplearound the country have brought puppies anddogs into their lives at rates we have not seenin quite some time, our registration depart-ment has been there to serve and welcomethem into our ranks. Breeders who have beenfortunate to welcome litters during the pan-demic have also benefited from uninterruptedAKC services. Our communications and mar-keting teams have risen to the occasion in edu-cating the public about responsible dog own-ership during challenging times. PublicEducation has been delivering top-qualitywebinars for our judges to continue honingtheir knowledge and skills while everybody issidelined. Club Development and the Eventsdepartment have been hard at work duringthis crisis helping our clubs to manage cancel-lations and postponements. They have workedwith other departments collaboratively, forg-ing a path to normalcy with new proceduresfor our 26 sports. We have offered Pet Pals,Rally, Trick Dog, Act 1 Agility online and evena virtual dog show, to bring back a taste ofwhat we have been missing for so long. Ourstaff has been agile and creative, because cir-

cumstances have necessitated flexibility. In thewords of John F. Kennedy, "We would like tolive as we once lived, but history will not per-mit it." You'll hear more from Dennis about allof these recent achievements and more. I willadd that your Board has been very active dur-ing this time as well. We have met three times, virtually, appointed three ad hoc committeesand elected a new Chief Financial Officer, TedPhillips. Our thoughts have been with you andyour club members every step of the way. Before I turn the virtual podium over toDennis, I would like to say, speaking for theBoard of Directors, we do have reason to havehope for better days ahead. These areunprecedented times. There is a sea changegoing on in our country right now, and somewould say we are at a turning point in history.I will leave you with a thought from someonewho lived under unimaginable circumstancesand had much to teach the generations thatfollowed, and that was Anne Frank: "How won-derful it is that nobody need wait a singlemoment before starting to improve theworld." Let’s keep working together construc-tively. We'll get through this, and we'll meetagain, with our dogs by our sides. Thank youvery much and thank you for your time. Besafe.

Mr. Carota: Good morning, fellow Delegates. In an effort to serve the Delegate Body betterand provide a high level of transparency, Dr.Tom Davies, Chairman of the Board, appointed three ad hoc committees in theareas of Communications, the JudgingApproval Process, and Sample Bylaws. TheAKC Chairman of the Board and I, as ViceChairman, will sit as ex officio members ofeach Committee. The Board CommunicationsCommittee will consist of Karolynne McAteer,Ann Wallin and Steven Hamblin. The goalsfor communications committee are to insti-tute a protocol for Board communication tothe Delegate Body and the fancy in general inan appropriate and timely manner, and in par-ticular, to avoid haphazard and inaccurate dis-semination of such information. It will alsocommunicate in an open and transparentfashion, so that the entire AKC constituencyhas the same information, at the same time, and in a reliable and easily understandableformat. Additionally, the AKC Board ofDirectors has appointed two committees tostudy and make recommendations. TheCommittees are: The Committee to addressthe Judging Approval process. This is a recon-stitution of the previous committee. It willmonitor and review the Board's current policyon judging approval and determine wheremodification may be warranted. The commit-tee will consist of Red Tatro, Tim Thomas,Bob Ennis from American Dog Show Judges, and Sam McDonald from Dog Judges

Association of America. The Committee toaddress the AKC Sample Bylaws for Clubs. This committee will examine and make rec-ommendations to modernize the current AKC"Sample Constitution and Bylaws" documentand the process for making changes to aClub's existing document. The committee willconsist of Lisa Cecin, AKC Director of ClubRelations (Chair), Rita Biddle, Carl Holder,Gretchen Bernardi, and Heather McManus. Our goal with these committees is to continueto move AKC forward with thoughtful leader-ship and combined experience from theBoard, AKC Staff and our constituency. Eachcommittee will help improve and grow theAKC. We are here to serve you and better ourcherished sports. Thank you and stay well. Ilook forward to when we can all be togetheragain. Thank you.

Mr. Sprung: Thank you, Dominic. Next on theagenda is the President's Report. An eternityin our life of dogs has gone by since we lastmet at the annual meeting just 111 days ago.Under the direction of the Chair and ViceChair, the Board met three times rather thantwice. Within days of the Delegate meeting onMarch 10th, it became obvious that our sportsand corporate life must change. Clubs werepostponing or cancelling events not of theirchoosing but because of federal and statemandates. Our clubs want to hold their eventsencompassing 26 enjoyable sports; however, state fairgrounds, county parks, et cetera are

closed to us. Both the Event Programs andClub Development areas, aided by numerousother employees in Events, assist clubs daily. As the pandemic increased, so did cancella-tions. We are at over 11,370, equaling 50 per-cent of our annual total. From early March, inspectors could not attend to their kennel vis-its and representatives in the field for our mul-tiple sports had no events to attend. I made several decisions for the short- andlong-term future of AKC, many painful, someheartbreaking, while simultaneously bearingin mind that I am responsible to keep eachdepartment open to serve you, our diversecore constituency. This was with the support ofthe Executive Committee. We closed theNorth Carolina office on March 13th exceptfor approximately 25 staff performing essen-tial duties daily. We waited until April and laidoff personnel who could not do their jobs dueto cancellations, travel restrictions, or a reduc-tion in certain work areas. The New Yorkoffice closed on March 18th. Both offices areopen. As COVID-19’s devastating effects tookover our nation and the economy collapsed, management reviewed every department’sgoals and expectations, researching opportu-nities for new or enhanced revenue and simul-taneously looking at each line item for costcontainment. My initial approach as reportedto the Board on April 6th was to manage thecorporation without a loss over the followingfour months, although there was some doubtthat possibility could be achieved with declines

being apparent everywhere businesses turned.Nevertheless, a dedicated and creativeExecutive Committee and Management groupis accomplishing that. On April 3rd, I began a call to action for dailymanagement meetings to ensure cross-depart-ment communication, collaboration, andleadership so that efforts of government rela-tions, branding, public relations, advertising, and sponsorships were maintained. Duringthis time, we also dedicated ourselves to thesuccess of new initiatives, such as Virtual Rally,Trick Dog videos, Virtual Pup Pals, as well asPuppy Visor, Virtual Act 1 Agility,Conformation and last week launched VirtualWater Dog. AKC.org and social media visitsgrew as did Judges' Education with 60 breedwebinars and 17,653 live attendees.Marketplace is up. Registration saw significantincreases across each offering – the best indecades. Management has met each dayexcept when the Board was in session andonce out of respect for Easter Sunday. Thesedaily meetings have taught us that the firstseven days of the week are always the hardest. Imust publicly thank Gina, Mark, Doug, Keith,LB, Tim, Torraine, Ron, Seth, Peter, and ournew CFO, Ted Phillips, Chairman Tom Davies,Vice Chair Dominic Palleschi Carota, as well asan engaged Board of Directors and ChairmanEmeritus. Delegates, please remember we arehere to assist each of you and your clubs. Weunderstand this difficult and frustrating timeeveryone is experiencing. Now more than

ever, dog people must be united. We have ashared responsibility to be protective of oneanother, our lifestyles and beloved dogs. Besure to tell your membership that Staff in eachand every department are available for them.In the midst of uncertainty, be certain ourenjoyable events will once again be held.Thank you.

It is my pleasure to introduce TheodorePhillips, who began as our CFO last month. He is a seasoned CPA with 32 years of experi-ence and possesses significant background inTechnology and Cyber Security for not-for-profit organizations. Ted will present theFinancial Report.

Mr. Phillips: Thank you, Dennis, and goodmorning to all Delegates. I'm very pleased tobe part of the American Kennel Club. Thismorning, I'm also pleased to present to you arevised and refreshed report for key financialreports. You'll see key performance indicatorsand financial results as we go through thispresentation. For the five months ended May31, 2020, we're pleased to present very positivenews about our litter and dog registrations. This slide provides a monthly view of litter reg-istrations for the five months ended May 31,2020, with comparisons to the same period in2019. As you can see, litter registrationstotaled almost 115,000, which is seven percenthigher than the same period in 2019. Notably, the month of May 2020, litter registrations

were five percent better than the prior year. And our registration staff reports this was thebest May since 2009. Turning to our dog regis-tration statistics, please note that year to dateregistrations totaled over 291,000, which is 12percent higher than the same period in 2019.Like our litter registrations, May 2020 was anoutstanding month and the best since 2007.We thank our breeders, the entire delegatebody, the Board of Directors, management, and staff for this achievement. As we have allexperienced, 2020 has been a year on hold.AKC is not immune and has felt the impact ofcancelled events and fewer entries. As of May31, 2020, year to date, entries and events werelower than the same period in the prior yearby 49 percent and 55 percent respectively. Weare hopeful that each day in 2020 as we go for-ward, we will see a return to many wonderfulAKC sanctioned, licensed, and member eventsthat are our hallmark. Next, we will review thefinancial operating results for revenues, expenses, and net operating income as of May31, 2020, comparing these results to the sameperiod in 2019. The columns presented hereare three data points. We have revenues inblue, expenses in gray, and net operatingincome in green. When comparing the year todate results at the end of May 2020, we seetotal revenues are five percent higher, reflect-ing increases across all revenue lines exceptevents. Total expenses are 1.4 percent lower asa result of the cost containment measuresimplemented by management. As you heard

from Dennis, these were implemented due tothe pandemic, as we expected lower levels ofbusiness activity and anticipated the need for alower operating cost structure. Finally, thegreen columns on this slide report net operat-ing income as of May 31, 2020, of 4.6 millionas compared to 2.6 million in 2019. On thenext two slides, we will dive into the variousrevenue and expense lines that contributed tothese variances. Our revenue lines present thetotal change in revenue by category. Thecolumns in blue are increases in revenue andthe orange column represents a decrease. As Isaid earlier, we are pleased to report that thetotal revenues from registrations of litters, dogs, pedigrees, and other enrollment feestotal $2.5 million higher than the same periodin 2019 with dog registrations leading thisgroup at 1.5 million. Additional revenueincreases totaling 1.5 million come fromadmissions to events like Meet the Breeds thatoccurred at the Javits Center in New York inJanuary of 2020 and merchandise sales bothfrom e-commerce and traditional fulfillmentmethods. As mentioned earlier, when report-ing on events, year-to-date revenues as of May31, 2020, are lower than the same period for2019 by $2.3 million. And again, this is due tocancellations. The expense slide presents vari-ances compared the five months ended 2020against 2019. And again, for orientation, bluecolumns are areas where we spent more in theperiod ending May 31, 2020, than we did inthe prior period of 2019. We see that the total

of travel, marketing, professional fees, andstaff costs are lower than the prior year by 1.4million. Areas where we reported expensesgreater than 2019 are grants to our affiliatesand others. For 2020, the majority of theincreases are grants to the Museum of theDog. Fulfillment increased slightly due toincreased registrations, but overall, on a com-parative period basis, we spent less on opera-tions in the five months ended May 31, 2020,than we did in 2019. For the investment’s per-formance and analysis slide, we begin withsome brief comments from our investmentadvisor. The month of May saw a slow andgradual reopening of many parts of the U.S.and global economies. Markets rallied on opti-mistic economic recovery news as well aspromising headlines related to a shortenedtimeline for COVID-19 vaccine. What I'd liketo present here are two charts. One is a piechart, which shows the asset allocation ofinvestments, and a chart with performancedata for the current period extending to oneand three-year trailing 12 months. The piechart shows that AKC's investments arebroadly diversified to manage market risk, andthe other chart presents the investment per-formance for the five months ended May 31,2020, reporting that the portfolio perform-ance was a loss of 3.3 percent versus thebenchmark, also a loss of 3.57. So, we outper-formed the benchmark by 27 basis points. And given this type of market, this is prettygood performance. Finally, we present the bal-

ance sheet. Notable changes between theperiod ended May 31, 2020, and 2019 are onthe line’s investments and debt and capitalleases. The overall decrease in 2020 is due torelieving debt in a period when investmentvalues were much higher due to financial mar-kets functioning in a pre-COVID-19 condition.I want to thank you for your time today. Weappreciate your dedication to the AKC andlook forward to serving you. I'm available toanswer any questions at your convenience.Thank you.Mr. Sprung: Thank you, Ted. Ms. DiNardo: This amendment to RulesApplying to Dog Shows Chapter 2, Section 10– Making Application to Hold a Dog Show, generalizes the language of the section byremoving the reference to a form and delet-ing the phrase whether the futurity or sweep-stakes will be open to nonmembers. Theamendment also provides flexibility so thatany future modification to the application pro-cedures will not require further amendmentto the rule.

The Chair now calls on the ExecutiveSecretary to read the proposed amendment toRules Applying to Dog Shows Chapter 16,Section 6 – Championships.

Ms. DiNardo: This amendment to RulesApplying to Dog Shows Chapter 16, Section 6– Championships, assigns the same logic toGrand Championship points asChampionship points at independent special-ties with inter-variety competition as definedin Chapter 16, Section 3. It also inserts lan-guage into the section explaining that at anindependent specialty show for breeds dividedinto recognized varieties and offering a Best ofBreed competition, the dog awarded Best ofBreed would receive the highest number ofGrand Championship points awarded in anyvariety at the specialty show. The dog awardedBest of Opposite Sex would receive the high-est number of Grand Championship pointsawarded in its sex in any variety at the specialtyshow.

Delegates were given the opportunity to sub-mit questions prior to this Zoom Meeting. We received a question from Lorraine Ebdon,Delegate from Ventura County Dog FanciersAssociation. The question reads: "Will the AKC have a pol-

icy concerning COVID-19 and require thewearing of masks for judges/exhibitors, or willthey defer to the state requirements? If so,would a face shield instead of a mask beacceptable?"

The Chair calls on Doug Ljungren, ExecutiveVice President of Sports & Events to respondto this inquiry.

Mr. Ljungren: Since the local situation variesacross the nation, AKC's policy is that club-holding events must be in compliance withlocal guidelines. In addition, clubs may attheir option require all participants to wear aface covering. This must be clearly communi-cated in the premium and signage at theevent. Unless specified otherwise by govern-ment ordinances, face shields are an accept-able alternative to a mask.

Mr. Sprung: Thank you, Doug.

There being no further business to comebefore the Delegate Meeting, on behalf ofyour Board of Directors and Staff, wishing youthe best of health – and also to your lovedones and families and dogs, the meeting isadjourned. Thank you and be well.
