ThisUserAgreement(this“Agreement”)isacontractbetweenyou(“you”or“User”)UpworkGlobalInc.(“Upwork,”“we,”or“us”)andouraffiliatesUpworkEscrowInc.(“UpworkEscrow”)and,totheextentexpresslystated,ElanceLimited("ElanceLtd.").Youmustread,agreeto,andacceptallofthetermsandconditionscontainedinthisAgreementtobeaUserofourwebsitelocatedatwww.upwork.comoranypartoftherestoftheSite(definedintheSiteTermsofUse)ortheSiteServices(definedintheSiteTermsofUse).

ThisAgreementincludesandherebyincorporatesbyreferencethefollowingimportantagreements,astheymaybeineffectandmodifiedfromtimetotime:SiteTermsofUse;FeeandACHAuthorizationAgreement;CookiePolicy;PrivacyPolicy;MarkUseGuidelines;FreelancerMembershipAgreement;ProprietaryRightsInfringementReportingProcedures;UpworkAppSoftwareLicenseAgreement;APITermsofUse;andtheescrowinstructionsasapplicabletoanyServiceContractyouenterintowithanotherUser,specificallytheHourly,Bonus,andExpensePaymentAgreementwithEscrowInstructions;andFixed-PriceEscrowInstructions.ThisAgreementalsoincorporates,foranyUserusingtheUpworkDirectContractService,UpworkDirectContractTermsandDirectContractEscrowInstructions.Theseagreementsarecollectively,withthisAgreement,calledthe“TermsofService”.

Subjecttotheconditionssetforthherein,Upworkmay,initssolediscretion,amendthisAgreementandanyoftheotheragreementsthatcomprisetheTermsofServiceatanytimebypostingarevisedversionontheSite.UpworkwillprovidereasonableadvancenoticeofanyamendmentthatincludesaSubstantialChange(definedbelow),bypostingtheupdatedTermsofServiceontheSite,providingnoticeontheSite,and/orsendingyounoticebyemail.IftheSubstantialChangeincludesanincreasetoFeeschargedbyUpwork,Upworkwillprovideatleast30days’advancenoticeofthechange,butmaynotprovideanyadvancenoticeforchangesresultinginareductioninFeesoranytemporaryorpromotionalFeechange.AnyrevisionstotheTermsofServicewilltakeeffectonthenotedeffectivedate(each,asapplicable,the“EffectiveDate”).

1.UPWORKACCOUNTSSection1discusseswhatyoumustagreetobeforeusingtheSiteorSiteServicesandthedifferenttypesofaccountsthat

canbecreatedontheSite,asdetailedbelow.

1.1REGISTRATIONANDACCEPTANCEByregisteringforanaccounttousetheSiteorSiteServices(an“Account”),byusingtheSiteorSiteServicesaftertheEffectiveDateifyouhadanAccountontheEffectiveDate,orbyclickingtoaccepttheTermsofServicewhenpromptedontheSite,youagreetoabidebythisAgreementandtheotherTermsofService.

ToaccessandusecertainportionsoftheSiteandtheSiteServices,youmustregisterforanAccount.SubjecttotheSiteTermsofUse,certainportionsoftheSiteareavailabletoSiteVisitors,includingthoseportionsbeforeyourAccountregistrationisaccepted.UpworkreservestherighttodeclinearegistrationtojoinUpworkortoaddanAccountofanytype(i.e.,asaClientorFreelancer),foranylawfulreason,includingsupplyanddemand,costtomaintaindata,orotherbusinessconsiderations.

IfyoucreateanAccountasanemployeeoragentonbehalfofacompany,yourepresentandwarrantthatyouareauthorizedtoenterintobindingcontracts,includingtheTermsofService,onbehalfofyourselfandthecompany.YourprivacyisimportanttoUpworkandyourinformationwillbehandledinaccordancewithourPrivacyPolicy,whichispartoftheTermsofService,andapplicablelaw.

1.2ACCOUNTELIGIBILITYUpworkofferstheSiteandSiteServicesforyourbusinesspurposesonlyandnotforpersonal,household,orconsumeruse.ToregisterforanAccountorusetheSiteandSiteServices,youmust,andherebyrepresentthatyou:(a)areanemployeeoragentofandauthorizedtoactforandbindanindependentbusiness(whetheritbeasaself-employedindividual/soleproprietororasacorporation,limitedliabilitycompany,orotherentity);(b)willusetheSiteandSiteServicesforbusinesspurposesonly;(c)willcomplywithanylicensing,registration,orotherrequirementswithrespecttoyourbusiness,orthebusinessforwhichyouareacting,andtheprovisionofFreelancerServices;and(d)areeitheralegalentityoranindividualwhois18yearsorolder(orhaveotherwisereachedtheageofmajorityinthejurisdictioninwhichyouconductbusiness)ineachcasewhocanformlegallybindingcontracts.

1.3ACCOUNTPROFILEToregisterforanAccounttojointheSite,youmustcompleteaUserprofile(“Profile”),whichyouconsenttobeshowntootherUsersand,unlessyouchangeyourprivacysettings,tobeshowntothepublic.Youagreetoprovidetrue,accurate,andcompleteinformationonyourProfileandallregistrationandotherformsyouaccessontheSiteorprovidetousandtoupdateyourinformationtomaintainitstruthfulness,accuracy,andcompleteness.Youagreenottoprovideanyfalseormisleadinginformationaboutyouridentityorlocation,yourbusiness,yourskills,ortheservicesyourbusinessprovidesandtocorrectanysuchinformationthatisorbecomesfalseormisleading.

1.4ACCOUNTTYPESAsdescribedinthisSection,thereareanumberofdifferentAccounttypes.OnceyouregisterforoneAccounttype,youcanaddtheotherAccounttypesunderthesameusernameandpassword.Forexample,ifyoualreadyhaveaFreelancerAccount(definedbelow),youcanaddaClientAccount(definedbelow)asaseparateaccounttypeinsettingswithoutre-registering.YouagreenottohaveorregisterformorethanoneAccountwithoutexpresswrittenpermissionfromus.WereservetherighttorevoketheprivilegesoftheAccountoraccesstooruseoftheSiteorSiteServices,andthoseofanyandalllinkedAccountswithoutwarningif,inoursolediscretion,falseormisleadinginformationhasbeenprovidedincreating,marketing,ormaintainingyourProfileorAccount.

1.4.1CLIENTACCOUNTYoucanregisterforanAccountoraddanAccounttypetousetheSiteandSiteServicesasaClient(a“ClientAccount”).EachUserunderaClientAccount(“TeamMember”)canbegivendifferentpermissionstoactonbehalfoftheClientAccount.

1.4.2FREELANCER,AGENCY,ANDAGENCYMEMBERACCOUNTFreelancer:YoucanregisterforanAccountoraddanAccounttypetousetheSiteandSiteServicesasaFreelancer(a“FreelancerAccount”).

AgencyandAgencyMember:AspecifictypeofFreelancerAccountyoucanaddisan“AgencyAccount”,theownerofwhichisreferredtoasan“Agency”.AnAgencyAccountallowspermissionstobegrantedtoUsersundertheAgencyAccountwhichcanbegivendifferentpermissionstoactonbehalfoftheAgency(each,an“AgencyMember”).

YouacknowledgeandagreethattheAgencyissolelyresponsible,andassumesallliability,for:(a)theclassificationofyourAgencyMembersasemployeesorindependentcontractors;and(b)payingyourAgencyMembersinaccordancewithapplicablelawforworkperformedonbehalfoftheAgencyforProjects.Youfurtheracknowledgeandagreethat(i)theAgencymaydeterminetheProfilevisibilityandpricing/rateinformationofanyofitsAgencyMembers;and(ii)AgencyMembers’ProfilesmaydisplayworkhistorythatincludesworkdoneundertheAgencyAccount,includingaftertheAgencyMemberisnolongeranAgencyMember.

1.5ACCOUNTPERMISSIONSYouagreenottorequestorallowanotherpersontocreateanAccountonyourbehalf,foryouruse,orforyourbenefit,exceptthatanauthorizedemployeeoragentmaycreateanAccountonbehalfofyourbusiness.BygrantingotherUserspermissionsunderyourAccount,includingasaTeamMemberorAgencyMember,yourepresentandwarrantthat:(a)theUserisauthorizedtoactonyourbehalf;and(b)youarefullyresponsibleandliablefortheUser’sactsandomissions,includingforobligationsandliabilitiesrelatingtomakingpaymentsandenteringintoServiceContractsandtheTermsofService.IfanysuchUserviolatestheTermsofService,itmayaffectyourabilitytousetheSiteandSiteServices.UponclosureofanAccount,UpworkmaycloseanyorallrelatedAccounts.

1.6IDENTITYANDLOCATIONVERIFICATIONWhenyouregisterforanAccountandfromtimetotimethereafter,yourAccountwillbesubjecttoverification,including,butnotlimitedto,validationagainstthird-partydatabasesortheverificationofoneormoreofficialgovernmentorlegaldocumentsthatconfirmyouridentity,yourlocation,andyourabilitytoactonbehalfofyourbusinessonUpwork.YouauthorizeUpwork,directlyorthroughthirdparties,tomakeanyinquiriesnecessarytovalidateyouridentity,yourlocation,andconfirmyourownershipofyouremailaddressorfinancialaccounts,subjecttoapplicablelaw.Whenrequested,youmusttimelyprovideuswithcompleteinformationaboutyourselfandyourbusiness,whichincludes,butisnotlimitedto,providingofficialgovernmentorlegaldocuments.DuringverificationsomeAccountfeaturesmaybetemporarilylimited.Whenaverificationissuccessfullycompleted,Accountfeatureswillberestored.

1.7USERNAMESANDPASSWORDSEachpersonwhousestheSitemustregisterfortheirownAccount.WhenyouregisterforanAccount,youwillbeaskedtochooseausernameandpasswordfortheAccount.Youareentirelyresponsibleforsafeguardingandmaintainingtheconfidentialityofyourusernameandpassword.Youagreenottoshareyourusernameorpasswordwithanyperson,and,

ifyouarealegalentitywhoisnotanaturalperson,toonlyshareyourusernameandpasswordwithapersonwhoisauthorizedtouseyourAccount.YouauthorizeUpworktoassumethatanypersonusingtheSitewithyourusernameandpassword,eitherisyouorisauthorizedtoactforyou.YouagreetonotifyusimmediatelyifyoususpectorbecomeawareofanyunauthorizeduseofyourAccountoranyunauthorizedaccesstothepasswordforanyAccount.YoufurtheragreenottousetheAccountorloginwiththeusernameandpasswordofanotherUseroftheSiteif(a)youarenotauthorizedtousebothor(b)theusewouldviolatetheTermsofService.

2.PURPOSEOFUPWORKSection2discusseswhatUpworkdoesanddoesnotdowhenprovidingtheSiteandSiteServicesandsomeofyourresponsibilitieswhenusingtheSitetofindorenterintoaServiceContractwithaFreelancerorClient,asdetailedbelow.

TheSiteisamarketplacewhereClientsandFreelancerscanidentifyeachotherandadvertise,buy,andsellFreelancerServicesonline.SubjecttotheTermsofService,UpworkprovidestheSiteServicestoUsers,includinghostingandmaintainingtheSite,facilitatingtheformationofServiceContracts,andassistingUsersinresolvingdisputeswhichmayariseinconnectionwiththoseServiceContracts.WhenaUserentersaServiceContract,theUserusestheSitetoinvoiceandpayanyamountsowedundertheServiceContract.

2.1RELATIONSHIPWITHUPWORKUpworkmerelymakestheSiteandSiteServicesavailabletoenableFreelancersandClientstofindandtransactdirectlywitheachother.UpworkdoesnotintroduceFreelancerstoClients,selectProjectsforFreelancers,orselectFreelancersforClients.ThroughtheSiteandSiteServices,FreelancersmaybenotifiedofClientsthatmaybeseekingtheservicestheyoffer,andClientsmaybenotifiedofFreelancersthatmayoffertheservicestheyseek;atalltimes,however,UsersareresponsibleforevaluatinganddeterminingthesuitabilityofanyProject,ClientorFreelancerontheirown.IfUsersdecidetoenterintoaServiceContract,theServiceContractisdirectlybetweentheUsersandUpworkisnotapartytothatServiceContract.

Youacknowledge,agree,andunderstandthatUpworkisnotapartytotherelationshiporanydealingsbetweenClientandFreelancer.Withoutlimitation,Usersaresolelyresponsiblefor:(a)ensuringtheaccuracyandlegalityofanyUserContent;(b)determiningthesuitabilityofotherUsersforaServiceContract(suchasanyinterviews,vetting,backgroundchecks,orsimilaractions);(c)negotiating,agreeingto,andexecutinganytermsorconditionsofServiceContracts;(d)performingFreelancerServices;and/or(e)payingforFreelancerServices.Youfurtheracknowledge,agree,andunderstandthatyouaresolelyresponsibleforassessingwhethertoenterintoaServiceContractwithanotherUserandforverifyinganyinformationaboutanotherUser,includingCompositeInformation(definedbelow).UpworkdoesnotmakeanyrepresentationsaboutorguaranteethetruthoraccuracyofanyFreelancer’sorClient’slistingsorotherUserContentontheSite;doesnotverifyanyfeedbackorinformationprovidedbyUsersaboutFreelancersorClients;anddoesnotperformbackgroundchecksonorguaranteetheworkofFreelancersorClients.Youacknowledge,agree,andunderstandthatUpworkdoesnot,inanyway,supervise,direct,control,orevaluateFreelancersortheirworkandisnotresponsibleforanyProject,ProjecttermsorWorkProduct.Upworkmakesnorepresentationsaboutanddoesnotguarantee,andyouagreenottoholdUpworkresponsiblefor,thequality,safety,orlegalityofFreelancerServices;thequalifications,background,oridentitiesofUsers;theabilityofFreelancerstodeliverFreelancerServices;theabilityofClientstopayforFreelancerServices;UserContentandstatementsorpostsmadebyUsers;ortheabilityorwillingnessofaClientorFreelancertoactuallycompleteatransaction.WhileUpworkmayprovidecertainbadgesonFreelancerorClientprofiles,suchbadgesarenotaguaranteeorwarrantyofqualityorabilityorwillingnessofthebadgedFreelancerorClienttocompleteaServiceContractandisnotaguaranteeofanykind,including,thequalityofFreelancerServicesorClientProject.

Youalsoacknowledge,agree,andunderstandthatFreelancersaresolelyresponsiblefordetermining,andhavethesolerighttodetermine,whichProjectstoaccept;thetime,place,manner,andmeansofprovidinganyFreelancerServices;thetypeofservicestheyprovide;andthepricetheychargefortheirservicesorhowthatpricingisdeterminedorset.Youfurtheracknowledge,agree,andunderstandthat:(i)youarenotanemployeeofUpwork,andyouarenoteligibleforanyoftherightsorbenefitsofemployment(includingunemploymentand/orworkerscompensationinsurance);(ii)Upworkwillnothaveanyliabilityorobligations,includingunderorrelatedtoServiceContractsand/orFreelancerServicesforanyactsoromissionsbyyouorotherUsers;(iii)Upworkdoesnot,inanyway,supervise,direct,orcontrolanyFreelancerorFreelancerServices;doesnotimposequalitystandardsoradeadlineforcompletionofanyFreelancerServices;anddoesnotdictatetheperformance,methodsorprocessFreelancerusestoperformservices;(iv)FreelancerisfreetodeterminewhenandiftoperformFreelancerServices,includingthedaysworkedandtimeperiodsofwork,andUpworkdoesnotsetorhaveanycontroloverFreelancer’spricing,workhours,workschedules,orworklocation,norisUpworkinvolvedinanyotherwayindeterminingthenatureandamountofanycompensationthatmaybechargedbyorpaidtoFreelancerforaProject;(v)FreelancerwillbepaidatsuchtimesandamountsasagreedwithaClientinagivenServiceContract,andUpworkdoesnot,inanyway,provideorguaranteeFreelanceraregularsalaryoranyminimum,regularpayment;(vi)UpworkdoesnotprovideFreelancerswithtrainingoranyequipment,labor,tools,ormaterialsrelatedtoanyServiceContract;(vii)UpworkdoesnotprovidethepremisesatwhichFreelancerswillperformthework;(viii)unlessotherwiseagreedwiththeirClient,FreelancersmayusesubcontractorsoremployeestoperformFreelancerServicesbydelegatingworkonfixed-pricecontractsorbyagreeingwiththeirClientstohavehourlycontractsforFreelancer’ssubcontractor(s)oremployee(s);and(ix)UpworkdoesnotprovideshippingservicesforanyphysicalWorkProduct.IfaFreelancerusessubcontractorsoremployees,FreelancerfurtheragreesandacknowledgesthatthisSectionappliestoUpwork’srelationship,ifany,withFreelancer’ssubcontractorsandemployeesaswellandFreelancerissolelyresponsibleforFreelancer’ssubcontractorsandemployees.

Withoutlimitingtheforegoingparagraph,ifyouareanAgencyorAgencyMember,youexpresslyacknowledge,agree,andunderstandthat:(1)theAgencyissolelyresponsibleforpayingitsAgencyMembersforworkperformedonbehalfoftheAgencyandthatsuchpaymentswillnotbemadethroughtheSite;(2)UpworkisnotapartytoanyagreementbetweentheAgencyanditsAgencyMembersanddoesnothaveanyliabilityorobligationsunderorrelatedtoanysuchagreement,eveniftheAgencyorAgencyMemberdefaults;(3)neitherAgenciesnorAgencyMembersareemployeesoragentsofUpwork;(4)Upworkdoesnot,inanyway,supervise,direct,orcontroltheAgencyorAgencyMembers;(5)UpworkdoesnotsetAgencies’orAgencyMembers’contracttermsamongstthemselvesorwithClients(includingdeterminingwhetherthecontractwillbehourlyorfixedprice),fees,pricing,workhours,workschedules,orlocationofwork;(6)UpworkdoesnotprovideAgenciesorAgencyMemberswithtrainingoranyequipment,labor,tools,ormaterialsneededforanyServiceContract;(7)UpworkdoesnotprovidethepremisesatwhichtheAgencyorAgencyMemberswillperformthework;and(8)Upworkmakesnorepresentationsastothereliability,capability,orqualificationsofanyAgencyorAgencyMemberortheabilityorwillingnessofanyAgencytomakepaymentstoorfulfillanyotherobligationstoAgencyMembers,andUpworkdisclaimsanyandallliabilityrelatingthereto.

NothinginthisAgreementisintendedtoprohibitordiscourage(norshouldbeconstruedasprohibitingordiscouraging)anyUserfromengaginginanyotherbusinessactivitiesorprovidinganyservicesthroughanyotherchannelstheychoose,provided,ifapplicable,UserscomplywiththeOptOutprovisionsdescribedinSection7.Usersarefreeatalltimestoengageinsuchotherbusinessactivitiesandservicesandareencouragedtodoso.

2.2TAXESANDBENEFITSFreelanceracknowledgesandagreesthatFreelancerissolelyresponsible(a)foralltaxliabilityassociatedwithpaymentsreceivedfromFreelancer’sClientsandthroughUpwork,andthatUpworkwillnotwithholdanytaxesfrompaymentstoFreelancer;(b)toobtainanyliability,health,workers’compensation,disability,unemployment,orotherinsuranceneeded,

desired,orrequiredbylaw,andthatFreelancerisnotcoveredbyoreligibleforanyinsurancefromUpwork;(c)fordeterminingwhetherFreelancerisrequiredbyapplicablelawtoissueanyparticularinvoicesfortheFreelancerFeesandforissuinganyinvoicessorequired;(d)fordeterminingwhetherFreelancerisrequiredbyapplicablelawtoremittotheappropriateauthoritiesanyvalueaddedtaxoranyothertaxesorsimilarchargesapplicabletotheFreelancerFeesandremittinganysuchtaxesorchargestotheappropriateauthorities,asappropriate;and(e)ifoutsideoftheUnitedStates,fordeterminingifUpworkisrequiredbyapplicablelawtowithholdanyamountoftheFreelancerFeesandfornotifyingUpworkofanysuchrequirementandindemnifyingUpworkforanyrequirementtopayanywithholdingamounttotheappropriateauthorities(includingpenaltiesandinterest).IntheeventofanauditofUpwork,FreelanceragreestopromptlycooperatewithUpworkandprovidecopiesofFreelancer’staxreturnsandotherdocumentsasmaybereasonablyrequestedforpurposesofsuchaudit,includingbutnotlimitedtorecordsshowingFreelancerisengaginginanindependentbusinessasrepresentedtoUpwork.

2.3MARKETPLACEFEEDBACKANDUSERCONTENTYouherebyacknowledgeandagreethatUserspublishandrequestUpworktopublishontheirbehalfinformationontheSiteabouttheUser,suchasfeedback,compositefeedback,geographicallocation,orverificationofidentityorcredentials.However,suchinformationisbasedsolelyonunverifieddatathatFreelancersorClientsvoluntarilysubmittoUpworkanddoesnotconstituteandwillnotbeconstruedasanintroduction,endorsement,orrecommendationbyUpwork;UpworkprovidessuchinformationsolelyfortheconvenienceofUsers.

YouacknowledgeandagreethatUserfeedbackbenefitsthemarketplace,allUsers,andtheefficiencyoftheSiteandyouspecificallyrequestthatUpworkpostcompositeorcompiledfeedbackaboutUsers,includingyourself,onUserProfilesandelsewhereontheSite.Youacknowledgeandagreethatfeedbackresultsforyou,includingyourJobSuccessScore,whereverreferenced,andotherUserContenthighlightedbyUpworkontheSiteorotherwise(“CompositeInformation”),ifany,mayincludeUsercomments,Userratings,indicatorsofUsersatisfaction,andotherfeedbackleftexclusivelybyotherUsers.YoufurtheracknowledgeandagreethatUpworkwillmakeCompositeInformationavailabletootherUsers,includingcompositeorcompiledfeedback.UpworkprovidesitsfeedbacksystemasameansthroughwhichUserscansharetheiropinionsofotherUserspublicly,andUpworkdoesnotmonitor,influence,contributetoorcensortheseopinions.YouacknowledgeandagreethatpostedcompositeorcompiledfeedbackandanyotherCompositeInformationrelatesonlytothebusinessadvertisedintheProfileandnottoanyindividualperson.YouagreenottousetheCompositeInformationtomakeanyemployment,credit,creditvaluation,underwriting,orothersimilardecisionaboutanyotherUser.

UpworkdoesnotgenerallyinvestigateanyremarkspostedbyUsersorotherUserContentforaccuracyorreliabilityanddoesnotguaranteethatUserContentisaccurate.YouaresolelyresponsibleforyourUserContent,includingtheaccuracyofanyUserContent,andaresolelyresponsibleforanylegalactionthatmaybeinstitutedbyotherUsersorthirdpartiesasaresultoforinconnectionwithyourUserContent.UpworkisnotlegallyresponsibleforanyfeedbackorcommentspostedormadeavailableontheSitebyanyUsersorthirdparties,evenifthatinformationisdefamatoryorotherwiselegallyactionable.InordertoprotecttheintegrityofthefeedbacksystemandprotectUsersfromabuse,Upworkreservestheright(butisundernoobligation)toremovepostedfeedbackorinformationthat,inUpwork’ssolejudgment,violatestheTermsofServiceornegativelyaffectsourmarketplace,diminishestheintegrityofthefeedbacksystemorotherwiseisinconsistentwiththebusinessinterestsofUpwork.YouacknowledgeandagreethatyouwillnotifyUpworkofanyerrororinaccuratestatementinyourfeedbackresults,includingtheCompositeInformation,andthatifyoudonotdoso,Upworkmayrelyontheaccuracyofsuchinformation.

3.CONTRACTUALRELATIONSHIPBETWEENCLIENTANDFREELANCER

Section3discussestherelationshipyoumaydecidetoenterintowithanotherUser,includingServiceContractsbetweenUsers,asdetailedbelow.

3.1SERVICECONTRACTSIfaClientandFreelancerdecidetoenterintoaServiceContract,theServiceContractisacontractualrelationshipdirectlybetweentheClientandFreelancer.ClientandFreelancerhavecompletediscretionbothwithregardtowhethertoenterintoaServiceContractwitheachotherandwithregardtothetermsofanyServiceContract.Youacknowledge,agree,andunderstandthatUpworkisnotapartytoanyServiceContract,thattheformationofaServiceContractbetweenUserswillnot,underanycircumstance,createanemploymentorotherservicerelationshipbetweenUpworkandanyUserorapartnershiporjointventurebetweenUpworkandanyUser.

WithrespecttoanyServiceContract,ClientsandFreelancersmayenterintoanywrittenagreementsthattheydeemappropriate(e.g.,confidentialityagreements,inventionassignmentagreements,assignmentofrights,etc.)providedthatanysuchagreementsdonotconflictwith,narrow,orexpandUpwork’srightsandobligationsundertheTermsofService,includingthisAgreementandtheapplicableEscrowInstructions.ThepartiestoaServiceContractcan,ifthepartiesprefer,agreetotheOptionalServiceContractTermsinwholeorinpart,inadditiontoorinsteadofothersuchagreements.OnlytotheextentthattheyhavenotenteredintoanotheragreementortermswithrespecttoaServiceContract,thepartiestoaServiceContractagreethattheOptionalServiceContractTermsapplytotheirServiceContract.

TheOptionalServiceContractTermsareprovidedasasampleonlyandmaynotbeappropriateforalljurisdictionsorallcontracts.Usersareresponsibleforcomplyingwithanylocalrequirements,includingapplicablelaws,rules,andregulations.UpworkdoesnotassumeanyresponsibilityforanyconsequenceofusingtheOptionalServiceContractTerms.TheOptionalServiceContractTermsarenotintendedtoanddonot(a)constitutelegaladvice,(b)createanattorney-clientrelationship,or(c)constituteadvertisingorasolicitationofanytype.Eachsituationishighlyfact-specificandrequirementsvarybysituationandjurisdictionandthereforeanypartyshouldseeklegaladvicefromalicensedattorneyintherelevantjurisdictions.UpworkexpresslydisclaimsanyandallliabilitywithrespecttoactionsoromissionsbasedontheOptionalServiceContractTerms.

PleaserefertotheUpworkPayrollAgreementforServiceContractsusingUpworkPayroll.

3.2DISPUTESAMONGUSERSFordisputesarisingbetweenClientsandFreelancers,youagreetoabidebythedisputeprocessthatisexplainedintheEscrowInstructionsthatapplytoyourparticularServiceContract.Ifthedisputeprocessdoesnotresolveyourdispute,youmaypursueyourdisputeindependently,butyouacknowledgeandagreethatUpworkwillnotandisnotobligatedtoprovideanydisputeassistancebeyondwhatisprovidedintheEscrowInstructions.

IfFreelancerorClientintendstoobtainanorderfromanyarbitratororanycourtthatmightdirectUpwork,UpworkEscrow,orourAffiliatestotakeorrefrainfromtakinganyactionwithrespecttoanEscrowAccount,thatpartywill(a)giveusatleastfivebusinessdays’priornoticeofthehearing;(b)includeinanysuchorderaprovisionthat,asapreconditiontoobligationaffectingUpworkorUpworkEscrow,webepaidinfullforanyamountstowhichwewouldotherwisebeentitled;and(c)includeinanysuchorderaprovisionthat,asapreconditiontoanyobligationaffectingUpworkorUpworkEscrow,Upworkbepaidforthereasonablevalueoftheservicestoberenderedpursuanttosuchorder.

3.3CONFIDENTIALINFORMATIONUsersmayagreetoanytermstheydeemappropriatewithrespecttoconfidentiality,includingthosesetforthintheOptionalServiceContractTerms.IfandtotheextentthattheUsersdonotarticulateanydifferentagreementwithregard

toconfidentiality,thentheyagreethatthisSection3.3(ConfidentialInformation)applies.

TotheextentaUserprovidesConfidentialInformationtoanotherUser,therecipientwillprotectthesecrecyofthediscloser’sConfidentialInformationwiththesamedegreeofcareasitusestoprotectitsownConfidentialInformation,butinnoeventwithlessthanduecare.OnaUser’swrittenrequest,thepartythatreceivedConfidentialInformationwillpromptlydestroyorreturnthedisclosingparty’sConfidentialInformationandanycopiesthereofcontainedinoronitspremises,systems,oranyotherequipmentotherwiseunderitscontrol.

4.WORKERCLASSIFICATIONANDUPWORKPAYROLLSection4discusseswhatyouagreetoconcerningwhetheraFreelancerisanemployeeorindependentcontractorandwhenyouagreetouseUpworkPayroll,asdetailedbelow.

4.1WORKERCLASSIFICATIONNothinginthisAgreementisintendedtoorshouldbeconstruedtocreateapartnership,jointventure,franchisor/franchiseeoremployer-employeerelationshipbetweenUpworkandaUser.

ClientissolelyresponsibleforandhascompletediscretionwithregardtoselectionofanyFreelancerforanyProject.ClientissolelyresponsibleforandassumesallliabilityfordeterminingwhetherFreelancersshouldbeengagedasindependentcontractorsoremployeesofClientandengagingthemaccordinglyand,ifapplicable,forcomplyingwiththeUKtaxlegislationknownas“IR35”,alsosometimescalledthe“Off-PayrollWorkingRules”(“IR35”),including,withoutlimitation,providingUpworkand/ortheFreelancerwithadesignationoraStatusDeterminationStatement(SDS)requiredunderIR35.AnydesignationprovidedtoUpworkmustbeemailedtolegalnotices@upwork.comandincludeallthedetailsoftheengagement;ClientspecificallyacknowledgesandagreesthatprovidingadesignationtoUpworkthroughanyothermeansisnotsufficienttosatisfyitsobligationsunderthisSection4.1.ClientwarrantsitsdecisionsregardingclassificationarecorrectanditsmannerofengagingFreelancerscomplieswithapplicablelaws,regulations,andrules.Upworkwillhavenoinputinto,orinvolvementin,workerclassificationasbetweenClientandFreelancerandUsersagreethatUpworkhasnoinvolvementinandwillhavenoliabilityarisingfromorrelatingtotheclassificationofaFreelancergenerallyorwithregardtoaparticularProject.

4.2UPWORKPAYROLLSERVICESClientagreestoenrollinUpworkPayrollifitwillreceiveservicesfromaFreelancerundertermsandconditionsthatwouldgiverisetoanemploymentrelationship,including,ifapplicable,iftheFreelancerissubjecttotaxationunderIR35(unlessClientelectsinsteadtopaytheConversionFee(seeSection7)).WhentheClientenrollsinUpworkPayroll,ClientwillengageUpwork’sthird-partystaffingvendor(the“StaffingProvider”),whichisanAgencyonUpwork,throughtheSite.TheStaffingProviderwillhireFreelancerattherequestofClientandFreelanceraccordingtothetermsdescribedontheSiteandotherwiseagreedtobytheStaffingProviderandClientand/orFreelancer,andsubjecttotheUpworkPayrollAgreement.ForallpurposeswithUpworkPayroll,theemployerofFreelancerwillbetheStaffingProviderandnotUpworkunderanycircumstances.

Freelancer,acknowledges,understands,andagreesthatUpworkwillhavenocontrolover,orinvolvementindeterminingorinfluencing,thetermsandconditionsofanyemploymentrelationshipthatmayarisebetweenFreelancerandStaffingProviderorClient,includingtheselectionofanemployee,payrate,workhours,employmentdatesandworkingconditions.FreelancerwillnothaveanycontractontheSiteorcontactwithUpworkregardingsuchemploymentterms.WhereFreelancerandClienthaveenrolledinUpworkPayroll,theSiteisprovidedfor,andUsersagreetousetheSitefor,thesolepurposeofenablingFreelancertocommunicatewiththeStaffingProviderandtheClient.

5.UPWORKFEESSection5describeswhatfeesyouagreetopaytoUpworkinexchangeforUpworkprovidingtheSiteandSiteServicestoyouandwhattaxesUpworkmaycollect,asdetailedbelow.

5.1FEESFORFREELANCERSServiceFees.AssetforthintheFeeandACHAuthorizationAgreementandtheDirectContractTerms,FreelancerswillpayUpworkaservicefeefortheuseoftheSiteServices,includingthecommunication,invoicing,reporting,disputeresolutionandpaymentservices,includingfacilitatingarbitrationservicesandHourlyPaymentProtection,asdescribedintheapplicableEscrowInstructions(the“ServiceFees”).TheServiceFees(tousetheSiteServices)arepaidsolelybyFreelancer.WhenaClientpaysaFreelancerforaProjectorwhenfundsrelatedtoaProjectareotherwisereleasedtoaFreelancerasrequiredbytheapplicableEscrowInstructions(SeeSection6.1),UpworkEscrowwillcredittheFreelancerEscrowAccountforthefullamountpaidorreleasedbytheClient,andthensubtractanddisbursetoUpworktheServiceFee.FreelancerherebyirrevocablyauthorizesandinstructsUpworkEscrowtodeducttheServiceFeefromtheFreelancerEscrowAccountandpayUpworkonFreelancer’sbehalf.IntheeventtheFreelancerchoosestowithdrawfundsinacurrencyotherthanU.S.dollars,theremayalsobeaforeigncurrencyconversionchargeimposedbyUpworkEscroworanaffiliateandtheratemaydifferfromratesthatareineffectonthedateofthepaymentandyoumaybeabletoobtainabetterratefromyourbankorfinancialinstitution.

MembershipFeesandConnects.FreelancersmaysubscribetodifferentlevelsofparticipationandprivilegesontheSitetoaccessadditionalfeaturesandSiteService,bypaymentofsubscriptionmembershipfeesandbypurchasing"Connects"asdescribedinandsubjecttothetermsoftheFreelancerMembershipAgreement.

DisbursementFees.FreelancerswillpayUpworkadisbursementfeeforremittingpaymentstotheirpreferredpaymentmethod(“DisbursementFee”).TheDisbursementFeeispaidtoUpworkinconsiderationofcostsincurredandadministrationofdisbursementsviathedisbursementmethodrequestedbyFreelancerandvariesbydisbursementmethod.TheDisbursementFeeforeachdisbursementmethodislistedunderFeesandSchedulesontheSiteasrevisedfromtimetotime.

InadditiontofeeschargedbyUpwork,yourdisbursementmethodmayalsochargeactivation,maintenance,orotheraccountfees.

5.2CLIENTFEESClientspayUpworkafeeforpaymentprocessingandadministrationrelatedtotheFreelancerFeestheypaytoFreelancerstheyengagethroughtheSite,asdescribedintheFeeandACHAuthorizationAgreement.

ClientsmayalsochoosetopayforapremiummembershipplantoaccessadditionalfeaturesandSiteServices,asdescribedintheFeeandACHAuthorizationAgreement.

ClientsdonotpayfeesiftheyusetheSitesolelyforDirectContracts.

5.3VATANDOTHERTAXESUpworkmayberequiredbyapplicablelawtocollecttaxesorleviesincluding,withoutlimitation,withholdingincometaxorVAT(whilesomecountriesmayrefertoVATusingotherterms,e.g.GST,we’lljustrefertoVAT,GSTandanylocalsalestaxescollectivelyas“VAT”)inthejurisdictionoftheFreelancer(the"Taxes").Insuchinstances,anyamountsUpworkisrequiredtocollectorwithholdforthepaymentofanysuchTaxesshallbecollectedinadditiontothefeesowedtoUpwork

undertheTermsofService.

5.4NOFEEFORINTRODUCINGORFORFINDINGPROJECTSUpworkdoesnotintroduceClientstoFreelancersanddoesnothelpFreelancerssecureProjects.UpworkmerelymakestheSiteandSiteServicesavailabletoenableFreelancerstodosothemselvesandmayfromtimetotimehighlightProjectsthatmaybeofinterest.Therefore,UpworkdoesnotchargeafeewhenaFreelancerfindsasuitableClientorfindsaProject.Inaddition,Upworkdoesnotchargeanyfeeorduesforpostingpublicfeedbackandcompositeorcompiledfeedback,includingCompositeInformation.

6.PAYMENTTERMSANDESCROWSERVICESSection6discussesyouragreementtopayFreelancerServiceFeesonServiceContracts,anddescribeshowUpwork’sEscrowServiceswork,whathappensifaClientdoesn’tpay,andrelatedtopics,asdetailedbelow.

6.1ESCROWSERVICESUpworkEscrowprovidesescrowservicestoUserstodeliver,hold,and/orreceivepaymentforaProject,andtopayfeestoUpwork(“EscrowServices”).UpworkEscrowisaDelawarecorporationandalicensedInternetescrowagentthatholdsCaliforniaDepartmentofBusinessOversightLicenseNo.9635086.TheEscrowServicesareintendedforbusinessuse,andyouagreetousetheEscrowServicesonlyforbusinesspurposesandnotforconsumer,personal,family,orhouseholdpurposes.

6.1.1ESCROWINSTRUCTIONSUpworkEscrowwilluseandreleasefundsdepositedinanEscrowAccountonlyinaccordancewiththisAgreementandtheapplicableEscrowInstructions.YouacknowledgeandagreethatUpworkEscrowactsmerelyasanInternetescrowagent.UpworkEscrowhasfullydeliveredtheEscrowServicestoyouifUpworkEscrowprovidestheEscrowServicesdescribedinthisAgreementandtheapplicableEscrowInstructions.UpworkEscrowisonlyobligatedtoperformthosedutiesexpresslydescribedinthisAgreementandanyapplicableEscrowInstructions.IfyouauthorizeorinstructUpworkEscrowtoreleaseormakeapaymentoffundsfromanEscrowAccountassociatedwithyou,UpworkEscrowmayreleaseorpaythosefundsasinstructedinrelianceonyourauthorization,thisAgreement,andtheapplicableEscrowInstructionsorasrequiredbyapplicablelaw.

Fixed-PriceProjects.IfUserschoosefixed-pricecompensation,thentheUsersagreethattheywillbeboundby,andUpworkEscrowwillfollow,theFixed-PriceEscrowInstructions.

HourlyProjects,BonusPayments,orExpensePayments.IfUserschoosehourlycompensation,and/oriftheClientmakesbonusorexpensepayments,thentheUsersagreethattheywillbeboundby,andUpworkEscrowwillfollow,theHourly,BonusandExpensePaymentAgreementwithEscrowInstructions.

DirectContracts.IfUsersenterintoaDirectContract,thentheUsersagreethattheywillbeboundby,andUpworkEscrowwillfollow,theDirectContractEscrowInstructions.

UpworkPayrollEngagements.IfUsersuseUpworkPayroll(Section4)foraparticularProject,thentheStaffingEmployeeispaiddirectlybytheStaffingProvider.AClientwillbeinvoicedthroughtheSitebytheStaffingProvider,andtheapplicableEscrowInstructionswillapply.However,theClientwillnotbeabletodisputehoursreportedbytheStaffingEmployeeandthereisnowaitingperiodforthedisbursementoffundstotheStaffingEmployee.

6.1.2ESCROWACCOUNTSUpworkEscrowwilluseandreleasefundsdepositedinanEscrowAccountonlyinaccordancewiththisAgreementandtheapplicableEscrowInstructions.DependingonyourneedsandtheapplicableEscrowInstructions,UpworkEscrowwillestablishandmaintainoneofthreedifferenttypesofEscrowAccounts:

(a)ClientEscrowAccount.AfterenteringintoaServiceContract,thefirsttimeaClientmakesapaymentforaProject,UpworkEscrowwillestablishandmaintaina“ClientEscrowAccount”toholdfundsfortheClienttousetomakepaymentsforProjects,toreceiverefundsinconnectionwithProjects,andtomakepaymentstoUpwork.

(b)FreelancerEscrowAccount.AfterenteringintoaServiceContract,thefirsttimeaFreelancerusestheSitetoreceivepaymentforaProject,UpworkEscrowwillestablishandmaintaina“FreelancerEscrowAccount”forFreelancertoreceivepaymentsforProjects,withdrawpayments,makepaymentstoUpworkandissuerefundstoClients.

(c)Fixed-PriceEscrowAccount.WhenyouenterintoaFixed-PriceContract,UpworkEscrowwillestablishandmaintaina“Fixed-PriceEscrowAccount”toreceive,hold,andreleasepaymentspursuanttotheFixed-PriceEscrowInstructionsfortheProjectthatisthesubjectofthatFixed-PriceContract.

(d)DirectContractEscrowAccount.WhenyouenterintoaDirectContract,UpworkEscrowwillestablishandmaintaina“DirectContractEscrowAccount”toreceive,hold,andreleasepaymentspursuanttotheDirectContractEscrowInstructionsfortheProjectthatisthesubjectofthatDirectContract.

YouherebyauthorizeandinstructUpworkEscrowtoactasescrowagentinconnectionwiththeEscrowAccountsandthepayment,holding,andreceiptoffundsforeachProjectandotherspecifiedpurposesinaccordancewiththeTermsofServiceandtheapplicableEscrowInstructions.ClientandFreelancermayaccesscurrentinformationregardingthestatusofanEscrowAccountontheSite.

6.1.3FREELANCERAPPOINTMENTOFUPWORKESCROWANDSUBSIDIARIESASAGENTIfyouareaFreelancerandyourequestpaymentrelatedtoanHourlyContractorthereleaseoffundsfromaFixed-PriceEscrowAccount,youherebyappointUpworkEscrowanditswholly-ownedsubsidiaries,asyouragenttoobtainfundsonyourbehalfandcreditthemtoyourFreelancerEscrowAccountasapplicable.BecauseUpworkEscrowisFreelancer’sagent,Freelancermust,andherebydoes,fullydischargeandcreditFreelancer’sClientforallpaymentsandreleasesthatUpworkEscrowreceivesonFreelancer’sbehalffromoronbehalfofsuchClient.

6.1.4TITLETOFUNDSUpwork,UpworkEscrowandourAffiliatesarenotbanks.UpworkEscrowdepositsandmaintainsallEscrowAccountfundsinanescrowtrustaccountatabankinsuredbytheFederalDepositInsuranceCorporationandapprovedtoreceive,hold,anddeliverescrowfundsunderapplicablelawsandregulations.TheescrowtrustaccountisseparatefromtheoperatingaccountsofUpworkandeachofourAffiliates.UpworkEscrowwillnotvoluntarilymakefundsdepositedintheescrowtrustaccountavailabletoitscreditors,orthecreditorsofitsAffiliates,intheeventofabankruptcy,orforanyotherpurpose.AsprovidedinUnitedStatesBankruptcyCode,§541(d),UpworkEscrowholdsonlylegaltitleto,andnotanyequitableinterestin,theescrowtrustaccountandanyfundsdepositedtherein.ThisAgreementissupplementarytotheServiceContractandtoanyotheragreementbetweenClientandFreelancerconcerningtheProject,asprovidedin11UnitedStatesBankruptcyCode,§365(n).

6.1.5NOINTEREST

YouagreethatyouwillnotreceiveinterestorotherearningsonthefundsheldinyourEscrowAccount.Upwork,UpworkEscrow,orourAffiliatesmaychargeordeductfees,mayreceiveareductioninfeesorexpensescharged,andmayreceiveothercompensationinconnectionwiththeservicestheyprovideasprovidedinSection5andtheFeeandACHAuthorizationAgreement.

6.1.6ESCROWAGENTDUTIESWeundertaketoperformonlysuchdutiesasareexpresslysetforthinthisAgreement,theapplicableEscrowInstructions,andtheotherTermsofService,andnootherdutieswillbeimplied.Wehavenoliabilityunder,andnodutytoinquireasto,theprovisionsofanyagreement,otherthantheTermsofService,includingthisAgreementandtheapplicableEscrowInstructions.WewillbeundernodutytoinquireaboutorinvestigateanyagreementorcommunicationbetweenClientandFreelancer,evenifpostedtotheSite.Wehavetherighttorelyupon,andwillnotbeliableforactingorrefrainingfromactingupon,anywrittennotice,instruction,orrequestfurnishedtousbyClientorFreelancerinaccordancewiththisAgreementortheapplicableEscrowInstructions,ifwereasonablybelievethatsuchnotice,instruction,orrequestisgenuineandthatitissignedorpresentedbytheproperpartyorparties.Wehavenodutytoinquireaboutorinvestigatethevalidity,accuracy,orcontentofanysuchnotice,instruction,orrequest.WehavenodutytosolicitanypaymentsorreleasesthatmaybeduetoorfromanyEscrowAccount.WemayexecuteanyofourpowersandperformanyofourdutiesunderthisAgreementandtheapplicableEscrowInstructionsdirectlyorthroughagentsorattorneys(andwillbeliableonlyforthecarefulselectionofanysuchagentorattorney)andmayconsultwithcounsel,accountants,andotherskilledpersonstobeselectedandretainedbyus.Totheextentpermittedbyapplicablelaw,wewillnotbeliableforanythingdone,suffered,oromittedingoodfaithbyusinaccordancewiththeadviceoropinionofanysuchcounsel,accountants,orotherskilledpersons.Ifweareuncertainastoourdutiesorrightshereunderorreceiveinstructions,claims,ordemandsfromanypartyheretothat,inouropinion,conflictwithanyoftheprovisionsofthisAgreementortheapplicableEscrowInstructions,wewillbeentitledtorefrainfromtakinganyaction,andoursoleobligationwillbetokeepsafelyallpropertyheldintheEscrowAccountuntilwearedirectedotherwiseinwritingbyClientandFreelancerorbyafinalorderorjudgmentofanarbitratororcourtofcompetentjurisdiction.

6.1.7ESCROWAGENTRIGHTWehavetheright,inoursolediscretion,butnottheobligation,toinstitutearbitrationor,ifnoarbitrationprovisionapplies,otherlegalproceedings,includingdepositingfundsheldintheEscrowAccountwithacourtofcompetentjurisdiction,andtoresolveanydisputebetweenClientandFreelancerrelatedtotheEscrowAccount.AnyprovisionofthisAgreementandtheapplicableEscrowInstructionstothecontrarynotwithstandingandregardlesswhetherweareidentifiedasapartyininterestinanydispute,arbitration,orotherlegalproceeding,nothinghereinwillbeconstruedtolimitourlegalandequitablerights,including,butnotlimitedto,depositingfundsheldintheEscrowAccountwithacourtofcompetentjurisdiction.AnycorporationorassociationintowhichUpworkEscrowmaybemergedorconvertedorwithwhichUpworkEscrowmaybeconsolidated,oranycorporationorassociationtowhichallorsubstantiallyalltheescrowbusinessofUpworkEscrowmaybetransferredwillsucceedtoalltherightsandobligationsofUpworkEscrowasescrowholderandescrowagentunderthisAgreementandtheapplicableEscrowInstructionswithoutfurtheracttotheextentpermittedbyapplicablelaw.

6.2CLIENTPAYMENTSONSERVICECONTRACTSHourlyContracts.FreelancerwillinvoiceClientforFreelancerFeesonaweeklybasisthroughUpwork,andClientwillpayinvoicesconsistentwiththeHourlyEscrowInstructions.WhenClientapprovesanHourlyInvoiceforanHourlyContract,ClientautomaticallyandirrevocablyauthorizesandinstructsUpworkoritsAffiliate,UpworkEscroworElanceLtd.,tochargeClient’sPaymentMethodfortheFreelancerFees.

Fixed-PriceContracts.ClientbecomesobligatedtopayapplicableamountsintotheEscrowAccountimmediatelyuponsendingaFixed-PriceContractoffer(forthefullamountorforthefirstmilestone,ifmilestonesareused)oruponactivatinganyadditionalmilestone.WhenClientauthorizesthepaymentoftheFreelancerFeesforaFixed-PriceContractontheSite,ClientautomaticallyandirrevocablyauthorizesandinstructsUpworkoritsAffiliates,UpworkEscroworElanceLtd.,tochargeClient’sPaymentMethodfortheFreelancerFees.

ClientacknowledgesandagreesthatforbothHourlyContractsandFixed-PriceContracts,failurebyClienttodeclineordisputeanHourlyInvoiceorrequestforpaymentisanauthorizationandinstructiontoreleasepayment,asdescribedmorefullyintheapplicableEscrowInstructions.

6.3DISBURSEMENTSTOFREELANCERSONSERVICECONTRACTSUndertherelevantEscrowInstructions,UpworkEscrowdisbursesfundsthatareavailableintheapplicableFreelancerEscrowAccountandpayabletoaFreelanceruponFreelancer’srequest.AFreelancercanrequestdisbursementofavailablefundsanytimeonaone-timebasisorbysettingupanautomaticdisbursementschedule.IfFreelancerdoesnotrequestadisbursement,Upworkwillautomaticallydisburseavailablefundsnomorethan90daysaftertheFreelancerFeesarereleasedtotheFreelancerEscrowAccount,unlesstheamountintheEscrowAccountislessthantheMinimumThreshold.ForpurposesoftheTermsofService,a“MinimumThreshold”iseither(a)$100forFreelancerswithintheUnitedStates,or(b)$1,000forFreelancersoutsidetheUnitedStates.WhenthefundsintheFreelancerEscrowAccountarebelowtheMinimumThreshold,theautomaticdisbursementscheduleispausedandtheavailableandpayablefundsarereleasedontheearlierof:(i)Freelancer’srequest;(ii)onthefirstscheduledautomaticdisbursementoccurringaftertheamountexceedstheMinimumThreshold;or(iii)180daysafterthefundsareavailableintheFreelancerEscrowAccount.

HourlyContracts.FreelancerFeesbecomeavailabletoFreelancersfollowingtheexpirationofthedisputeperiodandthefive-daysecurityperiod.

Fixed-PriceContracts.FreelancerFeesbecomeavailabletoFreelancersfollowingtheexpirationofthefive-daysecurityperiodafterthefundsarereleasedasprovidedintheapplicableEscrowInstructions.ThesecurityperiodbeginsafterClientacceptsandapprovesworksubmittedbyFreelancer.

NotwithstandinganyotherprovisionoftheTermsofServiceortheEscrowInstructions,UpworkEscrow,initssolediscretionandexceptasprohibitedbyapplicablelaw,mayrefusetoprocess,mayholdthedisbursementoftheFreelancerFeesoranyotheramountsandoffsetamountsowedtous,ortakesuchotheractionswithrespecttotheEscrowAccountaswedeemappropriateinoursolediscretionif:(a)werequireadditionalinformation,suchasFreelancer’staxinformation,government-issuedidentificationorotherproofofidentity,address,ordateofbirth;(b)wehavereasontobelievetheFreelancerFeesmaybesubjecttodisputeorchargeback;(c)wesuspectaUserhascommittedorattemptedtocommitfraudorotherillicitactsonorthroughtheSite;(d)webelievetherearereasonablegroundsforinsecuritywithrespecttotheperformanceofobligationsunderthisAgreementorotherTermsofService;or(e)wedeemitnecessaryinconnectionwithanyinvestigationorrequiredbyapplicablelaw.If,afterinvestigation,wedeterminethattheholdonthedisbursementoftheFreelancerFeesisnolongernecessary,UpworkEscrowwillreleasesuchholdassoonaspracticable.

Inaddition,notwithstandinganyotherprovisionoftheTermsofServiceortheEscrowInstructionsandtotheextentpermittedbyapplicablelaw,wereservetherighttoseekreimbursementfromyou,andyouwillreimburseus,ifwe:(i)suspectfraudorcriminalactivityassociatedwithyourpayment,withdrawal,orProject;(ii)discovererroneousorduplicatetransactions;or(iii)havesuppliedourservicesinaccordancewiththisAgreementyetwereceiveanychargebackfromthePaymentMethodusedbyyou,orusedbyyourClientifyouareaFreelancer,despiteourprovisionoftheSiteServicesinaccordancewiththisAgreement.Youagreethatwehavetherighttoobtainsuchreimbursementbyinstructing

UpworkEscrowto(andUpworkEscrowwillhavetherightto)chargetheapplicableEscrowAccount,andanyotheraccountsyouholdwithus,offsettinganyamountsdeterminedtobeowing,deductingamountsfromfuturepaymentsorwithdrawals,chargingyourPaymentMethod,orobtainingreimbursementfromyoubyanyotherlawfulmeans.Ifweareunabletoobtainsuchreimbursement,wemay,inadditiontoanyotherremediesavailableunderapplicablelaw,temporarilyorpermanentlyrevokeyouraccesstotheSiteandSiteServicesandcloseyourAccount.

6.4NON-PAYMENTIfClientisin“default”,meaningtheClientfailstopaytheFreelancerFeesoranyotheramountswhendueundertheTermsofService,orawrittenagreementforpaymenttermsincorporatingtheTermsofService(signedbyanauthorizedrepresentativeofUpwork),UpworkwillbeentitledtotheremediesdescribedinthisSection6.4inadditiontosuchotherremediesthatmaybeavailableunderapplicablelaworinsuchwrittenagreement.Fortheavoidanceofdoubt,Clientwillbedeemedtobeindefaultontheearliestoccurrenceofanyofthefollowing:(a)ClientfailstopaytheFreelancerFeeswhendue;(b)Clientfailstopayabalancethatisdueortobring,withinareasonableperiodoftimebutnomorethan30daysafteraccrualofthecharge,anaccountcurrentafteracreditordebitcardisdeclinedorexpires;(c)ClientfailstopayaninvoiceissuedtotheClientbyUpworkwithinthetimeperiodagreedor,ifnoperiodisagreed,within30days;(d)ClientinitiatesachargebackwithabankorotherfinancialinstitutionresultinginachargemadebyUpworkforFreelancerFeesorsuchotheramountduebeingreversedtotheClient;or(e)Clienttakesotheractionsorfailstotakeanyactionthatresultsinanegativeorpast-duebalanceontheClient’saccount.

IfClientisindefault,wemay,withoutnotice,temporarilyorpermanentlycloseClient’sAccountandrevokeClient’saccesstotheSiteandSiteServices,includingClient’sauthoritytousetheSitetoprocessanyadditionalpayments,enterintoServiceContracts,orobtainanyadditionalFreelancerServicesfromotherUsersthroughtheSite.However,ClientwillremainresponsibleforanyamountsthataccrueonanyopenProjectsatthetimealimitationisputontheClient’sAccountasaresultofthedefault.Withoutlimitingotheravailableremedies,ClientmustpayUpworkupondemandforanyamountsowed,plusinterestontheoutstandingamountatthelesserofoneandone-halfpercent(1.5%)permonthorthemaximuminterestallowedbyapplicablelaw,plusattorneys’feesandothercostsofcollectiontotheextentpermittedbyapplicablelaw.

Atourdiscretionandtotheextentpermittedbyapplicablelaw,UpworkoritsAffiliates,UpworkEscroworElanceLtd.,may,withoutnotice,chargealloraportionofanyamountthatisowedonanyAccounttoUpworkorasFreelancerFeesorotherwisetoanyPaymentMethodonfileontheClient’sAccount;setoffamountsdueagainstotheramountsreceivedfromClientorheldbyforClientbyUpwork,UpworkEscroworanotherAffiliate;makeappropriatereportstocreditreportingagenciesandlawenforcementauthorities;andcooperatewithcreditreportingagenciesandlawenforcementauthoritiesinanyinvestigationorprosecution.

UpworkdoesnotguaranteethatClientisabletopayorwillpayFreelancerFeesandUpworkisnotliableforFreelancerFeesifClientisindefault.FreelancermayusethedisputeprocessasdescribedintheapplicableEscrowInstructionsinordertorecoverfundsfromClientintheeventofadefaultormaypursuesuchotherremediesagainstClientasFreelancerchooses.IfUpworkrecoversfundsfromaClientindefaultpursuanttothisSection6.4,UpworkwilldisburseanyportionattributabletoFreelancerFeestotheapplicableFreelancertotheextentnotalreadypaidbyClientorcreditedbyUpworkthroughanyPaymentProtectionprogram.

6.5NORETURNOFFUNDSANDNOCHARGEBACKSClientacknowledgesandagreesthatUpworkoritsAffiliates,UpworkEscroworElanceLtd.,willchargeordebitClient’sdesignatedPaymentMethodfortheFreelancerFeesincurredasdescribedintheapplicableEscrowInstructionsandtheFeeandACHAuthorizationAgreementandthatonceUpworkoritsAffiliates,UpworkEscroworElanceLtd.,chargesor

debitstheClient’sdesignatedPaymentMethodfortheFreelancerFees,thechargeordebitisnon-refundable,exceptasotherwiserequiredbyapplicablelaw.ClientalsoacknowledgesandagreesthattheTermsofServiceprovideadisputeresolutionprocessasawayforClientresolvedisputes.Totheextentpermittedbyapplicablelaw,Clientthereforeagreesnottoaskitscreditcardcompany,bank,orotherPaymentMethodprovidertochargebackanyFreelancerFeesorotherfeeschargedpursuanttotheTermsofServiceforanyreason.AchargebackinbreachoftheforegoingobligationisamaterialbreachoftheTermsofService.IfClientinitiatesachargebackinviolationofthisAgreement,ClientagreesthatUpworkoritsAffiliates,UpworkEscroworElanceLtd.,maydisputeorappealthechargebackandinstitutecollectionactionagainstClientandtakesuchotheractionitdeemsappropriate.

6.6PAYMENTMETHODSInordertousecertainSiteServices,ClientmustprovideaccountinformationforatleastonevalidPaymentMethod.

ClientherebyauthorizesUpwork,UpworkEscrow,andElanceLtd.,asapplicable,toruncreditcardauthorizationsonallcreditcardsprovidedbyClient,tostorecreditcardandbankingorotherfinancialdetailsasClient’smethodofpaymentconsistentwithourPrivacyPolicy,andtochargeClient’screditcard(oranyotherPaymentMethod)fortheFreelancerFeesandanyotheramountsowedundertheTermsofService.TotheextentpermittedbyapplicablelawandsubjecttoourPrivacyPolicy,youacknowledgeandagreethatwemayusecertainthird-partyvendorsandserviceproviderstoprocesspaymentsandmanageyourPaymentMethodinformation.

ByprovidingPaymentMethodinformationthroughtheSiteandauthorizingpaymentswiththePaymentMethod,Clientrepresents,warrants,andcovenantsthat:(a)Clientislegallyauthorizedtoprovidesuchinformation;(b)ClientislegallyauthorizedtomakepaymentsusingthePaymentMethod(s);(c)ifClientisanemployeeoragentofacompanyorpersonthatownsthePaymentMethod,thatClientisauthorizedbythecompanyorpersontousethePaymentMethodtomakepaymentsonUpwork;and(d)suchactionsdonotviolatethetermsandconditionsapplicabletoClient’suseofsuchPaymentMethod(s)orapplicablelaw.

WhenClientauthorizesapaymentusingaPaymentMethodviatheSite,ClientrepresentsandwarrantsthattherearesufficientfundsorcreditavailabletocompletethepaymentusingthedesignatedPaymentMethod.TotheextentthatanyamountsowedunderthisAgreementortheotherTermsofServicecannotbecollectedfromClient’sPaymentMethod(s),Clientissolelyresponsibleforpayingsuchamountsbyothermeans.

UpworkisnotliabletoanyUserifUpworkdoesnotcompleteatransactionasaresultofanylimitbyapplicablelaworyourfinancialinstitution,orifafinancialinstitutionfailstohonoranycreditordebittoorfromanaccountassociatedwithsuchPaymentMethod.UpworkwillmakecommerciallyreasonableeffortstoworkwithanysuchaffectedUserstoresolvesuchtransactionsinamannerconsistentwiththisAgreementandanyapplicableEscrowInstructions.

6.7U.S.DOLLARSANDFOREIGNCURRENCYCONVERSIONTheSiteandtheSiteServicesoperateinU.S.Dollars.IfaUser'sPaymentMethodisdenominatedinacurrencyotherthanU.S.DollarsandrequirescurrencyconversiontomakeorreceivepaymentsinU.S.Dollars,theSitemaydisplayforeigncurrencyconversionratesthatUpwork,UpworkEscrow,orourAffiliatescurrentlymakeavailabletoconvertsupportedforeigncurrenciestoU.S.Dollars.Theseforeigncurrencyconversionratesadjustregularlybasedonmarketconditions.PleasenotethatthewholesalecurrencyconversionratesatwhichweorourAffiliatesobtainforeigncurrencywillusuallybedifferentthantheforeigncurrencyconversionratesofferedontheSite.EachUser,atitssolediscretionandrisk,mayauthorizethecharge,debit,orcreditofitsPaymentMethodinasupportedforeigncurrencyandtheconversionofthepaymenttoU.S.DollarsattheforeigncurrencyconversionratedisplayedontheSite.AlistofsupportedforeigncurrenciesisavailableontheSite.IfforeigncurrencyconversionisrequiredtomakeapaymentinU.S.DollarsandUpworkoritsAffiliate,UpworkEscroworElanceLtd.,asapplicable,doesnotsupporttheforeigncurrencyortheUser

doesnotauthorizetheconversionofsuchpaymentattheforeigncurrencyconversionratedisplayedontheSite,UpworkEscroworoneofourAffiliateswillcharge,debit,orcredittheUser'sPaymentMethodinU.S.DollarsandtheUser'sPaymentMethodproviderwillconvertthepaymentataforeigncurrencyconversionrateselectedbytheUser'sPaymentMethodprovider.TheUser'sPaymentMethodprovidermayalsochargefeesdirectlytothePaymentMethodevenwhennocurrencyconversionisinvolved.TheUser'sauthorizationofapaymentusingaforeigncurrencyconversionratedisplayedontheSiteisattheUser'ssolerisk.Upwork,UpworkEscrow,ElanceLtd.,andourAffiliatesarenotresponsibleforcurrencyfluctuationsthatoccurwhenbillingorcreditingaPaymentMethoddenominatedinacurrencyotherthanU.S.Dollars.Upwork,UpworkEscrow,ElanceLtd.,andourAffiliatesarenotresponsibleforcurrencyfluctuationsthatoccurwhenreceivingorsendingpaymentstoandfromtheEscrowAccount.

7.NON-CIRCUMVENTIONSection7discussesyouragreementtomakeandreceivepaymentsonlythroughUpworkfortwoyearsfromthedateyoufirstidentifyormeetyourClientorFreelancerontheSite,unlessyoupayaConversionFee;violatingthisSection7isaseriousbreachandyourAccountmaybepermanentlysuspendedforviolations,asdetailedbelow.

7.1MAKINGPAYMENTSTHROUGHUPWORKYouacknowledgeandagreethatasubstantialportionofthecompensationUpworkreceivesformakingtheSiteavailabletoyouiscollectedthroughtheServiceFeedescribedinSection5.1andthatinexchangeasubstantialvaluetoyouistherelationshipsyoumakewithotherUserswhenyouidentifyorareidentifiedbyanotherpersonthroughtheSiteorSiteServices(the“UpworkRelationship”).UpworkonlyreceivestheServiceFeewhenaClientandaFreelancerpayandreceivepaymentthroughtheSite.Therefore,exceptassetoutinSection7.2,for24monthsfromthestartofanUpworkRelationship(the“Non-CircumventionPeriod”),youagreetousetheSiteasyourexclusivemethodtorequest,make,andreceiveallpaymentsforworkdirectlyorindirectlywiththatpersonorarisingoutofyourrelationshipwiththatpersonandnottocircumventthePaymentMethodsofferedontheSiteunlessyoupayafeetotaketherelationshipoffoftheSite(the“ConversionFee”).Fortheavoidanceofdoubt,ifyou,orthebusinessyourepresent,didnotidentifyandwerenotidentifiedbyanotherpersonthroughtheSite,suchasifyouandanotherUserworkedtogetherbeforemeetingontheSite,thentheNon-CircumventionPerioddoesnotapply.IfyouusetheSiteasanemployee,agent,orrepresentativeofanotherbusiness,thentheNon-CircumventionPeriodappliestoyouandotheremployees,agents,orrepresentativesofthebusinessoritssuccessorwhenactinginthatcapacitywithrespecttotheotherUser.

Bywayofillustrationandnotinlimitationoftheforegoing,youagreenotto:

•OfferorsolicitoracceptanyofferorsolicitationfrompartiesidentifiedthroughtheSitetocontract,hire,invoice,pay,orreceivepaymentinanymannerotherthanthroughtheSite.

•InvoiceorreportontheSiteorinaConversionFeerequestaninvoiceorpaymentamountlowerthanthatactuallyagreed,made,orreceivedbetweenUsers.

•ReferaUseryouidentifiedontheSitetoathird-partywhoisnotaUseroftheSiteforpurposesofmakingorreceivingpaymentsotherthanthroughtheSite.

YouagreetonotifyUpworkimmediatelyifapersonsuggeststoyoumakingorreceivingpaymentsotherthanthroughtheSiteinviolationofthisSection7orifyoureceiveunsolicitedcontactoutsideoftheSite.Ifyouareawareofabreachorpotentialbreachofthisnon-circumventionagreement,pleasesubmitaconfidentialreporttoUpworkhere.

YouacknowledgeandagreethataviolationofanyprovisioninthisSection7.1isamaterialbreachoftheTermsofService.YourAccountmaybepermanentlysuspendedandchargedtheConversionFee(definedabove)ifyouviolate

thisSection7.1.IfyourefusetoacceptanynewversionoftheTermsofServiceorelectnottocomplywithcertainconditionsofusingtheSite,suchasminimumratessupportedontheSite,andthereforechoosetoceaseusingtheSite,youmaypaytheConversionFeeforeachotherUseryouwishtocontinueworkingwithonwhatevertermsyouagreeafteryouceaseusingtheSite.

7.2COMMUNICATINGTHROUGHTHESITE;NOTSHARINGCONTACTDETAILSTheprovisionsofthisSection7.2applytoanyinteractionbetweenUserswheretheClienthasaBasicorPlusAccount.TheprovisionsofthisSection7.2donotapplytoanyinteractionbetweenUserswheretheClientisanEnterpriseClient.ForpurposesoftheTermsofService,“EnterpriseClient”meansaClient,includingalegacyEnterpriseclientoranUpworkBusinessClient,thathasthefollowing“Enterprise”badgedisplayedonitsjobpostorsearchtile:

ForUserssubjecttothisSection7.2,UsersagreetousethecommunicationservicesavailableontheSitetocommunicatewithotherUserspriortoenteringintoaServiceContract.YouagreethatpriortoenteringintoaServiceContract,you(a)willuseUpworkasthesolemannertocommunicatewithotherUsers;(b)willnotprovideyourMeansofDirectContact(definedbelow)toanyotherUseroranotherpersonthatyouidentifiedorwereidentifiedbythroughtheSite;(c)willnotuseMeansofDirectContactofanotherusertoattempttoortocommunicatewith,solicit,contact,orfindthecontactinformationofaUseroutsideofUpwork;(d)willnotaskfor,provide,orattempttoidentifythroughpublicmeansthecontactinformationofanotherUser;and(e)youwillnotincludeanyMeansofDirectContact(definedbelow)ormeansbywhichyourcontactinformationcouldbediscoveredinanyprofile,proposal,jobposting,invitation,orpre-hirecommunicationthroughtheSite’scommunicationsservices(includingineachcaseinanyattachedfile),exceptasotherwiseprovidedontheSite.

ForpurposesoftheTermsofService“MeansofDirectContact”meansanyinformationthatwouldallowanotherpersontocontactyoudirectly,including,withoutlimitation,phonenumber,emailaddress,physicaladdress,alinktoacontactformorformrequestingcontactinformation,anylinktoanapplicantmanagementsystemormeanstosubmitaproposalorapplicationoutsideoftheSite,oranyinformationthatwouldenableausertocontactyouonsocialmediaorotherwebsiteorplatformorapplicationthatincludesacommunicationstool,suchasSkype,Slack,Wechat,orFacebook.Fortheavoidanceofdoubt,informationisaMeansofDirectContactifitwouldenableanotherusertoidentifyanyoftheinformationabovethroughothersources,suchasgoingtoawebsitethatincludedanemailaddressoridentifyingyouonsocialmedia,suchasthroughFacebookorLinkedIn.

YouagreethattheConversionFeeis12%oftheestimatedearningsoveratwelve(12)monthperiod,whichiscalculated

bytakingtheHourlyRate(definedbelow)andmultiplyingitby2,080.“HourlyRate”meansthehighestof(a)thehighesthourlyratechargedbytheFreelanceronanyServiceContract,ifany;(b)thehighesthourlyrateproposedbytheFreelancerinanyproposal,ifany;or(c)thehourlyrateintheFreelancer’sprofile.

TheConversionFeemaybecalculateddifferentlyforUpworkRelationshipswhentheClientisanEnterpriseClientiftheEnterpriseClientcontractwithUpworkprovidesfordifferentterms.

Userswilleach(a)createandmaintainrecordstodocumentsatisfactionoftheirrespectiveobligationsunderthisAgreement,including,withoutlimitation,theirrespectivepaymentobligationsandcompliancewithtaxandemploymentlaws,and(b)providecopiesofsuchrecordstoUpworkuponrequest.NothinginthissubsectionrequiresorwillbeconstruedasrequiringUpworktosuperviseormonitoraUser’scompliancewiththisAgreement,theotherTermsofService,oraServiceContract.Youaresolelyresponsibleforcreation,storage,andbackupofyourbusinessrecords.ThisAgreementandanyregistrationfororsubsequentuseoftheSitewillnotbeconstruedascreatinganyresponsibilityonUpwork’sparttostore,backup,retain,orgrantaccesstoanyinformationordataforanyperiod.

Upworkisnotliable,andyouagreenottoholdusresponsible,foranydamagesorlossesarisingoutoforinconnectionwiththeTermsofService,including,butnotlimitedto:

youruseoforyourinabilitytouseourSiteorSiteServices;

delaysordisruptionsinourSiteorSiteServices;

virusesorothermalicioussoftwareobtainedbyaccessing,orlinkingto,ourSiteorSiteServices;

glitches,bugs,errors,orinaccuraciesofanykindinourSiteorSiteServices;

damagetoyourhardwaredevicefromtheuseoftheSiteorSiteServices;

thecontent,actions,orinactionsofthirdparties’useoftheSiteorSiteServices;

asuspensionorotheractiontakenwithrespecttoyourAccount;

yourrelianceonthequality,accuracy,orreliabilityofjobpostings,Profiles,ratings,recommendations,andfeedback(includingtheircontent,order,anddisplay),CompositeInformation,ormetricsfoundon,usedon,ormadeavailablethroughtheSite;and

yourneedtomodifypractices,content,orbehaviororyourlossoforinabilitytodobusiness,asaresultofchangestotheTermsofService.

InadditiontotherecognitionthatUpworkisnotapartytoanycontractbetweenUsers,youherebyreleaseUpwork,ourAffiliates,andourrespectiveofficers,directors,agents,subsidiaries,jointventures,employeesandserviceprovidersfrom

claims,demands,anddamages(actualandconsequential)ofeverykindandnature,knownandunknown,arisingoutoforinanywayconnectedwithanydisputeyouhavewithanotherUser,whetheritbeatlaworinequitythatexistasofthetimeyouenterintothisagreement.Thisreleaseincludes,forexampleandwithoutlimitation,anydisputesregardingtheperformance,functions,andqualityoftheFreelancerServicesprovidedtoClientbyaFreelancerandrequestsforrefundsbasedupondisputes.ProceduresregardingthehandlingofcertaindisputesbetweenUsersarediscussedintheEscrowInstructions.

TOTHEEXTENTAPPLICABLE,YOUHEREBYWAIVETHEPROTECTIONSOFCALIFORNIACIVILCODE§1542(ANDANYANALOGOUSLAWINANYOTHERAPPLICABLEJURISDICTION)WHICHSAYS:“AGENERALRELEASEDOESNOTEXTENDTOCLAIMSTHATTHECREDITORORRELEASINGPARTYDOESNOTKNOWORSUSPECTTOEXISTINHISORHERFAVORATTHETIMEOFEXECUTINGTHERELEASEANDTHAT,IFKNOWNBYHIMORHER,WOULDHAVEMATERIALLYAFFECTEDHISORHERSETTLEMENTWITHTHEDEBTORORRELEASEDPARTY.”

12.INDEMNIFICATIONSection12discussesyouragreementtopayforanycostsorlosseswehaveasaresultofaclaimbroughtagainstusrelatedtoyouruseoftheSiteorSiteServicesoryourillegalorharmfulconduct,asdetailedbelow.

Youwillindemnify,defend,andholdharmlessUpwork,ourAffiliates,andourrespectivedirectors,officers,employees,representatives,andagents(eachan“IndemnifiedParty”)forallIndemnifiedClaims(definedbelow)andIndemnifiedLiabilities(definedbelow)relatingtoorarisingoutof:(a)theuseoftheSiteandtheSiteServicesbyyouoryouragents,includinganypaymentobligationsordefault(describedinSection6.4(Non-Payment))incurredthroughuseoftheSiteServices;(b)anyWorkProductorUserContentdeveloped,provided,orotherwiserelatedtoyouruseoftheSiteServices;(c)anyServiceContractenteredintobyyouoryouragents,including,butnotlimitedto,theclassificationofaFreelancerasanindependentcontractorornon-compliancewithIR35includingforthefailuretoprovideUpworkwithadesignationincludingaccurateinformationontheapplicabilityofIR35;theclassificationofUpworkasanemployerorjointemployerofFreelancer;anyemployment-relatedclaims,suchasthoserelatingtoemploymenttermination,employmentdiscrimination,harassment,orretaliation;andanyclaimsforunpaidwagesorothercompensation,overtimepay,sickleave,holidayorvacationpay,retirementbenefits,worker’scompensationbenefits,unemploymentbenefits,oranyotheremployeebenefits;(d)failuretocomplywiththeTermsofServicebyyouoryouragents;(e)failuretocomplywithapplicablelawbyyouoryouragents;(f)negligence,willfulmisconduct,orfraudbyyouoryouragents;and(g)defamation,libel,violationofprivacyrights,unfaircompetition,orinfringementofIntellectualPropertyRightsorallegationsthereoftotheextentcausedbyyouoryouragents.ForpurposesofthisSection12,youragentsincludesanypersonwhohasapparentauthoritytoaccessoruseyouraccountdemonstratedbyusingyourusernameandpassword.

“IndemnifiedClaim”meansanyandallclaims,damages,liabilities,costs,losses,andexpenses(includingreasonableattorneys’feesandallrelatedcostsandexpenses)arisingfromorrelatingtoanyclaim,suit,proceeding,demand,oractionbroughtbyyouorathirdpartyorotherUseragainstanIndemnifiedParty.

“IndemnifiedLiability”meansanyandallclaims,damages,liabilities,costs,losses,andexpenses(includingreasonableattorneys’feesandallrelatedcostsandexpenses)arisingfromorrelatingtoanyclaim,suit,proceeding,demand,oractionbroughtbyanIndemnifiedPartyagainstyouorathirdpartyorotherUser.

13.AGREEMENTTERMANDTERMINATION

Section13discussesyourandUpwork’sagreementaboutwhenandhowlongthisAgreementwilllast,whenandhoweitheryouorUpworkcanendthisAgreement,andwhathappensifeitherofusendstheAgreement,asdetailedbelow.

13.1TERMINATIONUnlessbothyouandUpworkexpresslyagreeotherwiseinwriting,eitherofusmayterminatethisAgreementinoursolediscretion,atanytime,withoutexplanation,uponwrittennoticetotheother,whichwillresultintheterminationoftheotherTermsofServiceaswell,exceptasotherwiseprovidedherein.Youmayprovidewrittennoticetolegalnotices@upwork.com.IntheeventyouproperlyterminatethisAgreement,yourrighttousetheSiteandSiteServicesisautomaticallyrevoked,andyourAccountwillbeclosed.UpworkisnotapartytoanyServiceContractbetweenUsers.Consequently,UserunderstandsandacknowledgesthatterminationofthisAgreement(orattempttoterminatethisAgreement)doesnotterminateorotherwiseimpactanyServiceContractorProjectenteredintobetweenUsers.IfyouattempttoterminatethisAgreementwhilehavingoneormoreopenProjects,youagree(a)youherebyinstructUpworktocloseanyopencontracts;(b)youwillcontinuetobeboundbythisAgreementandtheotherTermsofServiceuntilallsuchProjectshaveclosedontheSite;(c)UpworkwillcontinuetoperformthoseSiteServicesnecessarytocompleteanyopenProjectorrelatedtransactionbetweenyouandanotherUser;and(d)youwillcontinuetobeobligatedtopayanyamountsaccruedbutunpaidasofthedateofterminationorasoftheclosureofanyopenServiceContracts,whicheverislater,toUpworkforanySiteServicesorsuchotheramountsowedundertheTermsofServiceandtoanyFreelancersforanyFreelancerServices.

WithoutlimitingUpwork’sotherrightsorremedies,wemay,butarenotobligatedto,temporarilyorindefinitelyrevokeorlimitaccesstotheSiteorSiteServices,denyyourregistration,orpermanentlyrevokeyouraccesstotheSiteandrefusetoprovideanyorallSiteServicestoyouif:(i)youbreachtheletterorspiritofanytermsandconditionsofthisAgreementoranyotherprovisionsoftheTermsofService;(ii)wesuspectorbecomeawarethatyouhaveprovidedfalseormisleadinginformationtous;(iii)webelieve,inoursolediscretion,thatyouractionsmaycauselegalliabilityforyou,ourUsers,orUpworkorourAffiliates;maybecontrarytotheinterestsoftheSiteortheUsercommunity;ormayinvolveillicitorillegalactivity;or(iv)wearerequiredtobylaw,legalprocess,orlawenforcement.IfyourAccountistemporarilyorpermanentlyclosed,youmaynotusetheSiteunderthesameAccountoradifferentAccountorre-registerunderanewAccountwithoutUpwork’spriorwrittenconsent.IfyouattempttousetheSiteunderadifferentAccount,wereservetherighttoreclaimavailablefundsinthatAccountand/oruseanavailablePaymentMethodtopayforanyamountsowedbyyoutotheextentpermittedbyapplicablelaw.

Youacknowledgeandagreethatthevalue,reputation,andgoodwilloftheSitedependontransparencyofUser’sAccountstatustoallUsers,includingbothyourselfandotherUserswhohaveenteredintoServiceContractswithyou.Youthereforeagreeasfollows:IFUPWORKDECIDESTOTEMPORARILYORPERMANENTLYCLOSEYOURACCOUNT,UPWORKHASTHERIGHTWHEREALLOWEDBYLAWBUTNOTTHEOBLIGATIONTO:(A)NOTIFYOTHERUSERSTHATHAVEENTEREDINTOSERVICECONTRACTSWITHYOUTOINFORMTHEMOFYOURCLOSEDACCOUNTSTATUS,(B)PROVIDETHOSEUSERSWITHASUMMARYOFTHEREASONSFORYOURACCOUNTCLOSURE.YOUAGREETHATUPWORKWILLHAVENOLIABILITYARISINGFROMORRELATINGTOANYNOTICETHATITMAYPROVIDETOANYUSERREGARDINGCLOSEDACCOUNTSTATUSORTHEREASON(S)FORTHECLOSURE.

13.2ACCOUNTDATAONCLOSUREExceptasotherwiserequiredbylaw,ifyourAccountisclosedforanyreason,youwillnolongerhaveaccesstodata,messages,files,orothermaterialyoukeepontheSiteandanyclosureofyourAccountmayinvolvedeletionofanycontentstoredinyourAccountforwhichUpworkwillhavenoliabilitywhatsoever.Upwork,initssolediscretionandaspermittedorrequiredbylaw,mayretainsomeorallofyourAccountinformation.

13.3SURVIVALAfterthisAgreementterminates,thetermsofthisAgreementandtheotherTermsofServicethatexpresslyorbytheirnaturecontemplateperformanceafterthisAgreementterminatesorexpireswillsurviveandcontinueinfullforceandeffect.Forexample,theprovisionsrequiringarbitration,permittingaudits,protectingintellectualproperty,requiringnon-circumvention,indemnification,paymentoffees,reimbursementandsettingforthlimitationsofliabilityeach,bytheirnature,contemplateperformanceorobservanceafterthisAgreementterminates.WithoutlimitinganyotherprovisionsoftheTermsofService,theterminationofthisAgreementforanyreasonwillnotreleaseyouorUpworkfromanyobligationsincurredpriortoterminationofthisAgreementorthatthereaftermayaccrueinrespectofanyactoromissionpriortosuchtermination.

14.DISPUTESBETWEENYOUANDUPWORKSection14discussesyouragreementwithUpworkandouragreementwithyouabouthowwewillresolveanydisputes,includingthatwewillbothfirsttrytoresolveanydisputeinformallyand,ifyouareintheUnitedStates,thatwebothagreetousearbitrationinsteadofgoingtocourtorusingajuryifwecan’tresolvethedisputeinformally,asdetailedbelow.

14.1DISPUTEPROCESS,ARBITRATION,ANDSCOPEIfadisputearisesbetweenyouandUpworkorourAffiliates,ourgoalistoresolvethedisputequicklyandcost-effectively.Accordingly,unlessyouoptoutasprovidedinSection14.4.4below,you,Upwork,andourAffiliatesagreetoresolveanyclaim,dispute,orcontroversythatarisesoutoforrelatestothisAgreement,theotherTermsofService,yourrelationshipwithUpwork(includingwithoutlimitationanyclaimedemploymentwithUpworkoroneofourAffiliatesorsuccessors),theterminationofyourrelationshipwithUpwork,ortheSiteServices(each,a“Claim”)inaccordancewiththisSection14(sometimesreferredtoasthe“ArbitrationProvision”).

ClaimscoveredbythisArbitrationProvisioninclude,butarenotlimitedto,allclaims,disputes,orcontroversiesarisingoutoforrelatingtothisAgreement,theSite,SiteServices,theTermsofService,anyServiceContract,escrowpaymentsoragreements,anypaymentsormoniesyouclaimareduetoyoufromUpworkorourAffiliatesorsuccessors,tradesecrets,unfaircompetition,falseadvertising,consumerprotection,privacy,compensation,classification,minimumwage,seating,expensereimbursement,overtime,breaksandrestperiods,termination,discrimination,retaliationorharassmentandclaimsarisingundertheDefendTradeSecretsActof2016,CivilRightsActof1964,RehabilitationAct,CivilRightsActsof1866and1871,CivilRightsActof1991,thePregnancyDiscriminationAct,AmericansWithDisabilitiesAct,AgeDiscriminationinEmploymentAct,FamilyMedicalLeaveAct,FairLaborStandardsAct,EmployeeRetirementIncomeSecurityAct(exceptforclaimsforemployeebenefitsunderanybenefitplansponsoredbytheCompanyand(a)coveredbytheEmployeeRetirementIncomeSecurityActof1974or(b)fundedbyinsurance),AffordableCareAct,GeneticInformationNon-DiscriminationAct,UniformedServicesEmploymentandReemploymentRightsAct,WorkerAdjustmentandRetrainingNotificationAct,OlderWorkersBenefitsProtectionActof1990,OccupationalSafetyandHealthAct,ConsolidatedOmnibusBudgetReconciliationActof1985,FalseClaimsAct,statestatutesorregulationsaddressingthesameorsimilarsubjectmatters,andallotherfederalorstatelegalclaimsarisingoutoforrelatingtoyourrelationshipwithUpworkortheterminationofthatrelationship.

DisputesbetweenthepartiesthatmaynotbesubjecttopredisputearbitrationagreementasprovidedbytheDodd-FrankWallStreetReformandConsumerProtectionAct(PublicLaw111-203)orasprovidedbyanActofCongressorlawful,enforceableExecutiveOrder,areexcludedfromthecoverageofthisAgreement.

14.2CHOICEOFLAW

TheSiteTermsofUse,theotherTermsofService,andanyClaimwillbegovernedbyandconstruedinaccordancewiththelawsoftheStateofDelaware,withoutregardtoitsconflictoflawprovisionsandexcludingtheUnitedNationsConventiononContractsfortheInternationalSaleofGoods(CISG);provided,however,thatanyClaimsmadebyanyFreelancerlocatedwithintheUnitedStateswillbegovernedbythelawofthestateinwhichsuchFreelancerresides.However,notwithstandingtheforegoingsentence,thisArbitrationProvisionisgovernedbytheFederalArbitrationAct(9U.S.C.§§1etseq.).

14.3INFORMALDISPUTERESOLUTIONBeforeservingademandforarbitrationofaClaim,youandUpworkagreetofirstnotifyeachotheroftheClaim.YouagreetonotifyUpworkoftheClaimatAttn:Legal,655MontgomerySTSTE490,DPT17022,SanFrancisco,CA94111-2676orbyemailtolegalnotices@upwork.com,andUpworkagreestoprovidetoyouanoticeatyouremailaddressonfile(ineachcase,a“Notice”).YouandUpworkthenwillseekinformalvoluntaryresolutionoftheClaim.AnyNoticemustincludepertinentaccountinformation,abriefdescriptionoftheClaim,andcontactinformation,sothatyouorUpwork,asapplicable,mayevaluatetheClaimandattempttoinformallyresolvetheClaim.BothyouandUpworkwillhave60daysfromthedateofthereceiptoftheNoticetoinformallyresolvetheotherparty’sClaim,which,ifsuccessful,willavoidtheneedforfurtheraction.

IntheunlikelyeventthepartiesareunabletoresolveaClaimwithin60daysofthereceiptoftheapplicableNotice,you,Upwork,andourAffiliatesagreetoresolvetheClaimbyfinalandbindingarbitrationbeforeanarbitratorfromJAMS,insteadofacourtorjury.JAMSmaybecontactedatwww.jamsadr.com.

14.4.1.SCOPEOFARBITRATIONAGREEMENTANDCONDUCTOFARBITRATIONThisArbitrationProvisionappliestoanyClaim(definedabove)thepartiesmayhaveandsurvivesafteryourrelationshipwithUpworkends.ClaimscoveredbythisArbitrationProvisioninclude,butarenotlimitedto,allclaims,disputesorcontroversiesarisingoutoforrelatingtothisAgreement,theTermsofServiceandtheUpworkPayrollAgreement.ThisArbitrationProvisionisintendedtoapplytotheresolutionofdisputesthatotherwisewouldberesolvedinacourtoflaworbeforeaforumotherthanarbitration.IfforanyreasonJAMSwillnotadministerthearbitration,eitherpartymayapplytoacourtofcompetentjurisdictionwithauthorityoverthelocationwherethearbitrationwillbeconductedforappointmentofaneutralarbitrator.

Exceptasotherwiseprovidedherein,arbitrationwillbeconductedinSantaClaraCounty,CaliforniainaccordancewiththeJAMSComprehensiveArbitrationRulesandProcedures’OptionalExpeditedArbitrationProceduresthenineffect.ArbitrationofdisputesbroughtbyaUserthatallegeaviolationofaconsumerprotectionstatutealsowillbesubjecttotheJAMSConsumerArbitrationMinimumStandards,andsucharbitrationswillbeconductedinthesamestateandwithin25milesofwheretheUserislocated.ClaimsbyFreelancersthatallegeemploymentorworkerclassificationdisputesorwillbeconductedinthestateandwithin25milesofwhereFreelancerislocatedinaccordancewiththeJAMSEmploymentArbitrationRulesandProceduresthenineffect.TheapplicableJAMSarbitrationrulesmaybefoundatwww.jamsadr.comorbysearchingonlinefor“JAMSComprehensiveArbitrationRulesandProcedures,”“JAMSEmploymentArbitrationRules,”or“JAMSConsumerArbitrationMinimumStandards.”Anydisputeregardingtheapplicabilityofaparticularsetof

JAMSrulesshallberesolvedexclusivelybythearbitrator.Anypartywillhavetherighttoappearatthearbitrationbytelephoneand/orvideoratherthaninperson.

YouandUpworkwillfollowtheapplicableJAMSruleswithrespecttoarbitrationfees.InanyarbitrationundertheJAMSEmploymentArbitrationRulesandProcedures,theFreelancerwillpayJAMSarbitrationfeesonlytotheextentthosefeesarenogreaterthanthefilingorinitialappearancefeesapplicabletocourtactionsinthejurisdictionwherethearbitrationwillbeconducted,withUpworktomakeupthedifference,ifany.InanyarbitrationundertheJAMSComprehensiveArbitrationRulesandProcedures’OptionalExpeditedArbitrationProceduresthenineffectinwhichaUsermakesaclaimunderaconsumerprotectionstatute,theUserwillpayJAMSarbitrationfeesonlytotheextentthosefeesarenogreaterthanthefilingorinitialappearancefeesapplicabletocourtactionsinthejurisdictionwherethearbitrationwillbeconducted,or$250.00,whicheverisless,withUpworktomakeupthedifference,ifany.Thearbitratormustfollowapplicablelawandmayawardonlythoseremediesthatwouldhaveappliedhadthematterbeenheardincourt.Judgmentmaybeenteredonthearbitrator’sdecisioninanycourthavingjurisdiction.

ThisArbitrationProvisiondoesnotapplytolitigationbetweenUpworkandyouthatisorwasalreadypendinginastateorfederalcourtorarbitrationbeforetheexpirationoftheopt-outperiodsetforthinSection14.4.4,below.NotwithstandinganyotherprovisionofthisAgreement,noamendmenttothisArbitrationProvisionwillapplytoanymatterpendinginanarbitrationproceedingbroughtunderthisSection14unlessallpartiestothatarbitrationconsentinwritingtothatamendment.

ThisArbitrationProvisionalsodoesnotapplytoclaimsforworkerscompensation,statedisabilityinsuranceorunemploymentinsurancebenefits.

NothinginthisArbitrationProvisionpreventsyoufrommakingareporttoorfilingaclaimorchargewithagovernmentagency,includingwithoutlimitationtheEqualEmploymentOpportunityCommission,U.S.DepartmentofLabor,U.S.SecuritiesandExchangeCommission,NationalLaborRelationsBoard,orOfficeofFederalContractCompliancePrograms.NothinginthisArbitrationProvisionpreventstheinvestigationbyagovernmentagencyofanyreport,claimorchargeotherwisecoveredbythisArbitrationProvision.ThisArbitrationProvisionalsodoesnotpreventfederaladministrativeagenciesfromadjudicatingclaimsandawardingremediesbasedonthoseclaims,eveniftheclaimswouldotherwisebecoveredbythisArbitrationProvision.NothinginthisArbitrationProvisionpreventsorexcusesapartyfromsatisfyinganyconditionsprecedentand/orexhaustingadministrativeremediesunderapplicablelawbeforebringingaclaiminarbitration.Upworkwillnotretaliateagainstyouforfilingaclaimwithanadministrativeagencyorforexercisingrights(individuallyorinconcertwithothers)underSection7oftheNationalLaborRelationsAct.

14.4.2.INTERPRETATIONANDENFORCEMENTOFTHISARBITRATIONPROVISIONThisArbitrationProvisionisthefullandcompleteagreementrelatingtotheformalresolutionofClaims.ExceptasotherwiseprovidedinthisArbitrationProvision,thisArbitrationProvisioncovers,andthearbitratorshallhaveexclusivejurisdictiontodecide,alldisputesarisingoutoforrelatingtotheinterpretation,enforcement,orapplicationofthisArbitrationProvision,includingtheenforceability,revocability,scope,orvalidityoftheArbitrationProvisionoranyportionoftheArbitrationProvision.Allsuchmattersshallbedecidedbyanarbitratorandnotbyacourt.Thepartiesexpresslyagreethatthearbitratorandnotacourtwilldecideanyquestionofwhetherthepartiesagreedtoarbitrate,includingbutnotlimitedtoanyclaimthatallorpartofthisArbitrationProvision,thisAgreement,oranyotherpartoftheTermsofServiceisvoidorvoidable.

IntheeventanyportionofthisArbitrationProvisionisdeemedunenforceable,theremainderofthisArbitrationProvisionwillbeenforceable.IfanyportionoftheClassActionWaiverinSection14.4.3,below,ofthisArbitrationProvisionisdeemedtobeunenforceable,youandUpworkagreethatthisArbitrationProvisionwillbeenforcedtothefullestextent

permittedbylaw.

14.4.3.CLASSANDCOLLECTIVEWAIVERPrivateattorneygeneralrepresentativeactionsundertheCaliforniaLaborCodearenotarbitrable,notwithinthescopeofthisArbitrationProvisionandmaybemaintainedinacourtoflaw.However,thisArbitrationProvisionaffectsyourabilitytoparticipateinclassorcollectiveactions.BothyouandUpworkagreetobringanydisputeinarbitrationonanindividualbasisonly,andnotonaclassorcollectivebasisonbehalfofothers.Therewillbenorightorauthorityforanydisputetobebrought,heardorarbitratedasaclassorcollectiveaction,orasamemberinanysuchclassorcollectiveproceeding(“ClassActionWaiver”).NotwithstandinganyotherprovisionofthisAgreementortheJAMSrules,disputesregardingtheenforceability,revocability,scope,orvalidityorbreachoftheClassActionWaivermayberesolvedonlybyacivilcourtofcompetentjurisdictionandnotbyanarbitrator.Inanycaseinwhich(1)thedisputeisfiledasaclassorcollectiveactionand(2)thereisafinaljudicialdeterminationthatallorpartoftheClassActionWaiverisunenforceable,theclassorcollectiveactiontothatextentmustbelitigatedinacivilcourtofcompetentjurisdiction,buttheportionoftheClassActionWaiverthatisenforceableshallbeenforcedinarbitration.YouandUpworkagreethatyouwillnotberetaliatedagainst,disciplinedorthreatenedwithdisciplineasaresultofyourfilingorparticipatinginaclassorcollectiveactioninanyforum.However,UpworkmaylawfullyseekenforcementofthisArbitrationProvisionandtheClassActionWaiverundertheFederalArbitrationActandseekdismissalofsuchclassorcollectiveactionsorclaims.

14.4.4.RIGHTTOOPTOUTOFTHEARBITRATIONPROVISIONYoumayoptoutoftheArbitrationProvisioncontainedinthisSection14bynotifyingUpworkinwritingwithin30daysofthedateyoufirstregisteredfortheSite.Tooptout,youmustsendawrittennotificationtoUpworkatAttn:Legal,655MontgomerySTSTE490,DPT17022,SanFrancisco,CA94111-2676thatincludes(a)yourAccountusername,(b)yourname,(c)youraddress,(d)yourtelephonenumber,(e)youremailaddress,and(f)astatementindicatingthatyouwishtooptoutoftheArbitrationProvision.Alternatively,youmaysendthiswrittennotificationtolegalnotices@upwork.com.OptingoutofthisArbitrationProvisionwillnotaffectanyothertermsofthisAgreement.

IfyoudonotoptoutasprovidedinthisSection14.4.4,continuingyourrelationshipwithUpworkconstitutesmutualacceptanceofthetermsofthisArbitrationProvisionbyyouandUpwork.YouhavetherighttoconsultwithcounselofyourchoiceconcerningthisAgreementandtheArbitrationProvision.

14.4.5.EnforcementofthisArbitrationProvision.

ThisArbitrationProvisionreplacesallprioragreementsregardingthearbitrationofdisputesandisthefullandcompleteagreementrelatingtotheformalresolutionofdisputescoveredbythisArbitrationProvision.IntheeventanyportionofthisArbitrationProvisionisdeemedunenforceable,theremainderofthisArbitrationProvisionwillbeenforceable.IfanyportionoftheClassActionWaiverinSection14.4.3,above,isdeemedtobeunenforceable,youandUpworkagreethatthisArbitrationProvisionwillbeenforcedtothefullestextentpermittedbylaw.

15.GENERALSection15discussesadditionaltermsoftheagreementbetweenyouandUpwork,includingthattheTermsofServicecontainourfullagreement,howtheagreementwillbeinterpretedandapplied,andyouragreementnottoaccesstheSitefromcertainlocations,asdetailedbelow.

15.1ENTIREAGREEMENT

ThisAgreement,togetherwiththeotherTermsofService,setsforththeentireagreementandunderstandingbetweenyouandUpworkrelatingtothesubjectmatterhereofandthereofandcancelsandsupersedesanypriororcontemporaneousdiscussions,agreements,representations,warranties,andothercommunicationsbetweenyouandus,writtenororal,totheextenttheyrelateinanywaytothesubjectmatterhereofandthereof.ThesectionheadingsintheTermsofServiceareincludedforeaseofreferenceonlyandhavenobindingeffect.EventhoughUpworkdraftedtheTermsofService,yourepresentthatyouhadampletimetoreviewanddecidewhethertoagreetotheTermsofService.IfanambiguityorquestionofintentorinterpretationoftheTermsofServicearises,nopresumptionorburdenofproofwillarisefavoringordisfavoringyouorUpworkbecauseoftheauthorshipofanyprovisionoftheTermsofService.

15.2MODIFICATIONS;WAIVERNomodificationoramendmenttotheTermsofServicewillbebindinguponUpworkunlesstheyareagreedinawritteninstrumentsignedbyadulyauthorizedrepresentativeofUpworkorpostedontheSitebyUpwork.EmailwillnotconstituteawritteninstrumentascontemplatedbythisSection15.2.Ourfailuretoactwithrespecttoabreachbyyouorothersdoesnotwaiveourrighttoactwithrespecttosubsequentorsimilarbreaches.WedonotguaranteewewilltakeactionagainstallbreachesofthisUserAgreement.

15.3ASSIGNABILITYUsermaynotassigntheTermsofService,oranyofitsrightsorobligationshereunder,withoutUpwork’spriorwrittenconsentintheformofawritteninstrumentsignedbyadulyauthorizedrepresentativeofUpwork.UpworkmayfreelyassignthisAgreementandtheotherTermsofServicewithoutUser’sconsent.Anyattemptedassignmentortransferinviolationofthissubsectionwillbenullandvoid.Subjecttotheforegoingrestrictions,theTermsofServicearebindinguponandwillinuretothebenefitofthesuccessors,heirs,andpermittedassignsoftheparties.

15.4SEVERABILITY;INTERPRETATIONIfandtotheextentanyprovisionofthisAgreementortheotherTermsofServiceisheldillegal,invalid,orunenforceableinwholeorinpartunderapplicablelaw,suchprovisionorsuchportionthereofwillbeineffectiveastothejurisdictioninwhichitisillegal,invalid,orunenforceabletotheextentofitsillegality,invalidity,orunenforceabilityandwillbedeemedmodifiedtotheextentnecessarytoconformtoapplicablelawsoastogivethemaximumeffecttotheintentoftheparties.Theillegality,invalidity,orunenforceabilityofsuchprovisioninthatjurisdictionwillnotinanywayaffectthelegality,validity,orenforceabilityofsuchprovisioninanyotherjurisdictionorofanyotherprovisioninanyjurisdiction.

15.5FORCEMAJEUREThepartiestothisAgreementwillnotberesponsibleforthefailuretoperform,oranydelayinperformanceof,anyobligationhereunderforareasonableperiodduetolabordisturbances,accidents,fires,floods,telecommunicationsorInternetfailures,strikes,wars,riots,rebellions,blockades,actsofgovernment,governmentalrequirementsandregulationsorrestrictionsimposedbylaworanyotherconditionsbeyondthereasonablecontrolofsuchparty.

15.6PREVAILINGLANGUAGEANDLOCATIONTheEnglishlanguageversionoftheTermsofServicewillbecontrollinginallrespectsandwillprevailincaseofanyinconsistencieswithtranslatedversions,ifany.TheSiteiscontrolledandoperatedfromourfacilitiesintheUnitedStates.

15.7ACCESSOFTHESITEOUTSIDETHEUNITEDSTATES

UpworkmakesnorepresentationsthattheSiteisappropriateoravailableforuseoutsideoftheUnitedStates.ThosewhoaccessorusetheSitefromotherjurisdictionsdosoattheirownriskandareentirelyresponsibleforcompliancewithallapplicableforeign,UnitedStates,state,andlocallawsandregulations,including,butnotlimitedto,exportandimportregulations,includingtheExportAdministrationRegulationsmaintainedbytheUnitedStatesDepartmentofCommerceandthesanctionsprogramsmaintainedbytheDepartmentoftheTreasuryOfficeofForeignAssetsControl.Youmustnotdirectlyorindirectlysell,export,re-export,transfer,divert,orotherwisedisposeofanysoftwareorservicetoanyenduserwithoutobtaininganyandallrequiredauthorizationsfromtheappropriategovernmentauthorities.YoualsowarrantthatyouarenotprohibitedfromreceivingU.S.originproducts,includingservicesorsoftware.

InordertoaccessorusetheSiteorSiteServices,youmustandherebyrepresentthatyouarenot:(a)acitizenorresidentofageographicareainwhichaccesstooruseoftheSiteorSiteServicesisprohibitedbyapplicablelaw,decree,regulation,treaty,oradministrativeact;(b)acitizenorresidentof,orlocatedin,ageographicareathatissubjecttoU.S.orothersovereigncountrysanctionsorembargoes;or(c)anindividual,oranindividualemployedbyorassociatedwithanentity,identifiedontheU.S.DepartmentofCommerceDeniedPersonsorEntityList,theU.S.DepartmentofTreasurySpeciallyDesignatedNationalsorBlockedPersonsLists,ortheU.S.DepartmentofStateDebarredPartiesListorotherwiseineligibletoreceiveitemssubjecttoU.S.exportcontrollawsandregulationsorothereconomicsanctionrulesofanysovereignnation.Youagreethatifyourcountryofresidenceorothercircumstanceschangesuchthattheaboverepresentationsarenolongeraccurate,thatyouwillimmediatelyceaseusingtheSiteandSiteServicesandyourlicensetousetheSiteorSiteServiceswillbeimmediatelyrevoked.

15.8CONSENTTOUSEELECTRONICRECORDSInconnectionwiththeSiteTermsofUse,youmaybeentitledtoreceive,orwemayotherwiseprovide,certainrecordsfromUpworkorourAffiliates,suchascontracts,notices,andcommunications,inwriting.TofacilitateyouruseoftheSiteandtheSiteServices,yougiveuspermissiontoprovidetheserecordstoyouelectronicallyinsteadofinpaperform.

16.DEFINITIONSSection16givesyousomedefinitionsofcapitalizedtermsthatappearintheTermsofServicebutothercapitalizedtermsaredefinedabove,whichyoucantellbecausethetermisputinquotationmarksandboldfont.

CapitalizedtermsnotdefinedbeloworabovehavethemeaningsdescribedintheSiteTermsofUseorelsewhereintheTermsofService.

“Client”meansanyauthorizedUserutilizingtheSiteorSiteServices,includingDirectContractServices,toseekand/orobtainFreelancerServices,includingfromanotherUser.

“ConfidentialInformation”meansanymaterialorinformationprovidedto,orcreatedby,aUsertoevaluateaProjectorthesuitabilityofanotherUserfortheProject,regardlessofwhethertheinformationisintangible,electronic,verbal,graphic,visual,orotherform.ConfidentialInformationdoesnotincludematerialorinformationthat:(a)isgenerallyknownbythirdpartiesasaresultofnoactoromissionofFreelancerorClient;(b)waslawfullyreceivedbyUserwithoutrestrictionfromathirdpartyhavingtherighttodisseminatetheinformation;(c)wasalreadyknownbyUserpriortoreceivingitfromtheotherpartyandwasnotreceivedfromathirdpartyinbreachofthatthirdparty’sobligationsofconfidentiality;or(d)wasindependentlydevelopedbyUserwithoutuseofanotherperson’sConfidentialInformation.

“EscrowAccount”meansClientEscrowAccount,FreelancerEscrowAccount,orFixed-PriceEscrowAccount.

“EscrowInstructions”meanstheFixed-PriceEscrowInstructionsortheHourly,Bonus,andExpensePaymentAgreementwithEscrowInstructions.

“Fixed-PriceContract”meansaServiceContractforwhichClientischargedafixedfeeagreedbetweenaClientandaFreelancer,priortothecommencementofaServiceContract,forthecompletionofallFreelancerServicescontractedbyClientforsuchServiceContract.

“Freelancer”meansanyauthorizedUserutilizingtheSiteorSiteServices,includingDirectContractServices,toadvertiseorprovideFreelancerServicestoClients,includingFreelancerAccountsthatareAgencyAccountsor,ifapplicable,AgencyMembers.AFreelancerisacustomerofUpworkwithrespecttouseoftheSiteandSiteServices.

“FreelancerFees”means:(a)foranHourlyContract,theamountreflectedintheHourlyInvoice(thenumberofhoursinvoicedbyFreelancer,multipliedbythehourlyratechargedbyFreelancer);(b)foraFixed-PriceContract,thefixedfeeagreedbetweenaClientandaFreelancer;and(c)anybonusesorotherpaymentsmadebyaClienttoaFreelancer.

“FreelancerServices”meansallservicesperformedforordeliveredtoClientsbyFreelancers.

“HourlyContract”meansaServiceContractforwhichClientischargedbasedonthehourlyratechargedbyFreelancer.

“HourlyInvoice”meansthereportofhoursinvoicedforastatedperiodbyaFreelancerforFreelancerServicesperformedforaClient.

Theterm“including”asusedhereinmeansincludingwithoutlimitation.

“IntellectualPropertyRights”meansallpatentrights,copyrightrights,maskworkrights,moralrights,rightsofpublicity,trademark,tradedressandservicemarkrights,goodwill,tradesecretrightsandotherintellectualpropertyrightsasmaynowexistorhereaftercomeintoexistence,andallapplicationsthereforeandregistrations,renewalsandextensionsthereof,ineachcase,underthelawsofanystate,country,territoryorotherjurisdiction.

“PaymentMethod”meansavalidcreditcardissuedbyabankacceptabletoUpwork,abankaccountlinkedtoyourAccount,aPayPalaccount,adebitcard,orsuchothermethodofpaymentasUpworkmayacceptfromtimetotimeinoursolediscretion.

“Project”meansanengagementforFreelancerServicesthataFreelancerprovidestoaClientunderaServiceContractontheSite.

“StaffingEmployee”meansaFreelancerenrolledinUpworkPayroll,acceptedforemploymentbyaStaffingProvider,andassignedbytheStaffingProvidertoprovideFreelancerServicestooneormoreClient(s).

“ServiceContract”means,asapplicable,(a)thecontractualprovisionsbetweenaClientandaFreelancergoverningtheFreelancerServicestobeperformedbyaFreelancerforClientforaProject;(b)aDirectContractasdefinedintheUpworkDirectContractTerms;or(c)ifyouuseUpworkPayroll,thecontractualprovisionsbetweenFreelancerandtheStaffingProviderfortheprovisionofservicestoClient,ifany.

“SubstantialChange”meansachangetothetermsoftheTermsofServicethatreducesyourrightsorincreasesyourresponsibilities.

“UpworkApp”meanstheonlineplatformaccessedusingUpwork’sdownloadedapplicationorothersoftwarethatenablestimetrackingandinvoicing,chat,andscreenshotsharingwithotherUsers.

“UserContent”meansanycomments,remarks,data,feedback,content,text,photographs,images,video,music,orothercontentorinformationthatyouoranySiteVisitororUserposttoanypartoftheSiteorprovidetoUpwork,includingsuchcontentorinformationthatispostedasaresultofquestions.

“WorkProduct”meansanytangibleorintangibleresultsordeliverablesthatFreelanceragreestocreatefor,oractuallydeliversto,ClientasaresultofperformingtheFreelancerServices,including,butnotlimitedto,configurations,computer

programs,orotherinformation,orcustomizedhardware,andanyintellectualpropertydevelopedinconnectiontherewith.
