2016 UniGroup Learning Conference in St. Louis
1. A Certificate of Insurance conforming to the requirements set forth in the Learning Conference Exhibitor
Agreement must be submitted along with the Exhibitor Attendee and Hotel Registration form and payment in order to complete the exhibit registration process. The Certificate should name United Van Lines, Mayflower Transit, UniGroup and Marriott St. Louis Grand Hotel as additional insured.
2. Exhibit space will be reserved on a first-come, first-serve basis in locations that make the best business
sense. Premier placement will be given to exhibitors sponsoring at the Diamond level. Platinum level sponsors receive premier placement after Diamond level. Gold level sponsors receive premier placement after Platinum level. Booth assignment will be confirmed only after full payment of all fees and required documentation are received.
3. All exhibiting attendees are required to book rooms within UniGroup’s room block at Marriott St. Louis
Grand Hotel for a minimum of three nights. 4. All lodging and exhibit space must be reserved through UniGroup. 5. It is recommended that all packages sent to the UPS store at the Marriott Grand Hotel be received 48
hours before the event set-up for ease of delivery. All packages should also include a full return address including the shipper’s name. On property, packages will be delivered to booths by convention services at setup time. Please be able to present your shipping information listed below and your tracking number if needed.

Badge name changes will not be accommodated past Feb. 27, 2016. 9. The sponsorship fees cover booth space and sponsorship recognition. It does not cover attendee
registration (with the exception of registrations included in Diamond, Platinum or Gold level), lodging, personal expenses or shipping of materials to/from the resort property.
10. Audio-visual expenses are the sole responsibility of the exhibitor. The exhibitor must make equipment
requests and billing arrangements directly with the hotel. The link to the Marriott’s audio-visual form is included in the accompanying email for your convenience.
11. Exhibits may be tabletop or free-standing. 12. Transportation, set-up and teardown of exhibits will be the sole responsibility of the exhibitor. 13. Exhibitors may not interfere with neighboring exhibits. Bright or flashing lights, loud noises or displays that
obstruct the view are prohibited. Exhibits and Exhibitors are expected to be professional in appearance and Exhibitors shall conduct themselves in a professional manner. Exhibitors who fail to abide by these standards, in UniGroup’s discretion, may be asked to leave, and no refunds will be provided. Exhibitors wishing to receive guidance regarding these standards should contact Jim Rockwell (636-349-2894) or Frank Impellizzeri (636-349-3811) prior to the event.

14. Exhibits may be open only during the hours specified on the official convention schedule. Security will be
provided during the hours the exhibit area is closed. 15. Each exhibiting company must have at least one representative at the exhibit booth at all times during
official exhibit hours. 16. Exhibits may not be taken down earlier than the final time indicated on the convention schedule. Failure to
follow this rule may result in exclusion from future UniGroup conferences and/or conventions. 17. Cancellation, no-show and change policies:
Any cancellations must be received prior to Friday, Feb. 12, 2016. After this date, no refunds will be provided, as UniGroup will have expended substantial funds and efforts in preparing the event and exhibit space, and will not have time nor opportunity to locate replacement exhibitors.
A no-show will also result in no refund being provided, for the reason stated above. No-show guests of the Marriott will also be assessed one night hotel room and tax.

Terms and Conditions
1. Exhibitor has read, understands, and agrees to abide by the General Information sheet that states the rules for exhibiting at the UniGroup Learning Conference, the exhibit information materials and all exhibit regulations, instructions, and conditions in the attachments hereto, all of which are incorporated herein.
4. Nothing herein will be construed to create a partnership, joint venture, agency or employment relationship between Exhibitor, on the one hand, and United Van Lines, Mayflower Transit, UniGroup, or their agents or affiliates, on the other hand.
2. Exhibit space will be assigned to exhibitors based on sponsorship level and in the order in which applications are received at the sole business discretion of UniGroup. Applications must be accompanied by full payment and documentation, as specified in the exhibit information materials, plus any applicable convention registration fees. In addition, Exhibitor is responsible to pay all fees outlined in the exhibitor information materials, a portion of which will be contributed to the Exhibitors’ Attendance Prizes, which will be awarded during the General Business Sessions. Exhibitor understands and agrees that information from this form will be used for special convention promotions. 3. United Van Lines, Mayflower Transit, UniGroup, and their employees, agents and affiliates (the “UniGroup Parties”) assume no liability for loss, damage, or injury arising or resulting from the furnishing of exhibit space, and Exhibitor agrees to defend, indemnify, and hold harmless the UniGroup Parties from and against any and all claims, demands, or causes of action arising or resulting from or during the furnishing of such exhibit space.
5. During the term of this Agreement and through the end of the Learning Conference, Exhibitor will maintain in effect with a company or companies rated A- or higher by AM Best: (a) worker’s compensation and employer’s liability insurance that complies with applicable law, and provides appropriate coverage for the services to be performed by the UniGroup parties: and (b) comprehensive general liability insurance, including contractual liability, with coverage limits that are at least equal to $1,000,000 per occurrence for property damage or personal injury. Exhibitor will provide UniGroup a certificate of insurance that reflects United Van Lines, Mayflower Transit, UniGroup and any other parties listed on the General Information sheet as an additional insured. Exhibitor will notify UniGroup within three (3) business days of any notice of cancellation or threatened cancellation by the insurance carrier of any required insurance. 6. As requested by Hotel, the following will apply: “The Exhibitor assumes the entire responsibility and liability for losses, damages, and claims arising out of Exhibitor’s activities at the Hotel premises and will indemnify, defend, and hold harmless the Hotel, its owner, and its management company, as well as their respective agents, servants, and employees from any and all such losses, damages and claims.” Exhibitor further agrees to abide by all policies, rules and procedures of the Hotel or the event administrator during the event.

HOTEL RESERVATIONS AND RATES
All conference events will be in the Marriott St. Louis Grand, except for general sessions which will be held at the Ferrara Theatre in America’s Convention Center across the street from the hotel. Hotel reservations are on a first-come, first-serve basis. Requests for specific room types are subject to availability and are not guaranteed until arrival. Attendees will be required to present a credit card at check-in for settlement of hotel charges and personal expenses. All room reservations are guaranteed for late arrival by UniGroup. All guest room rates are subject to applicable state and local taxes (currently 17.92 percent). Amenities include discounted guest room wireless Internet ($1 per room per day) and complimentary fitness center access. The hotel is 100 percent non-smoking. On-site self-parking is available for $2/hour or $20/day and valet parking is available for $28/day. Please note that self or valet parking does not accommodate large SUV’s and other oversize vehicles. Please see the registration form for a list of available room options and rates, which range from $155 to $185.
HOTEL CANCELLATIONS, CHANGES AND NO-SHOW FEES
All hotel reservation changes and cancellations must be received by Friday, Feb. 12. No-show guests of the Marriott St. Louis Grand will be assessed one night’s hotel room charge and tax.

EVENT FEES
The following fees are in effect for the 2016 Learning Conference:
Standard Conference Registration Fee: Until Jan. 29, the registration fee is $595 per person (except for included registrations indicated on the Sponsorship Levels sheet). This fee includes official programs, access to select breakouts, social events and specified meal functions.
Cancellation Fee: All registration cancellations must be received prior to close of business on Friday, Feb. 12. If you do not cancel by this date, a $100 cancellation fee will be charged to the credit card on file.
No-show Fee: A full conference registration fee ($595) will be charged to the credit card on file if you fail to attend the conference and provide no notice prior to close of business on Friday, Feb. 26.
