1. Set goals for the home party with the host or hostess. Goals can include the number of people he or she wantsto invite, how much he or she wants to earn in product and how much product needs to be sold to get the freeproducts or discounts.2. Encourage outside orders. Outside orders are orders received by people unable to attend the show. Provideyour host or hostess with extra catalogs and order forms. Collect these orders when he or she is ready to close outthe show.3. Provide the host or hostess with invitations. To increase guest numbers at the party, you might want to include,on the invitation, that door prizes will be given and the guest will receive a gift if he or she brings a friend.Encourage the host or hostess to follow up with invitees a few days prior to the party.4. Dress for success. Smile and stand up straight. You want to appear as confident and friendly as possible sopotential customers will feel comfortable around you and trust what you say about the products.5. Create customer packets. Before the party, get an estimate from your host or hostess on how many people willbe attending. Put together more customer packets than the number planning on attending. The customer packetshould be a twin pocket portfolio with a catalog, order form, pen, and business card in the pockets of the folder.Have one sitting on each chair before the guests arrive.6. Introduce yourself. At the beginning of the party, tell the guests your name and some interesting informationabout you, such as where you were born and how you got started with the product line you are selling. After the party is over and the guests have gonehome, offer to help the host or hostess clean up any dishes or trash remaining from the party. Set a date to follow up with the host or hostess and collectany additional orders and go over his or her benefits and what he or she wants to order.

Active – If an ISR (Independent Sales Rep) does not generate at least $100 in personal commissionable sales in any rolling two (2)month time period (current month plus the previous month), the ISR will still be considered active but his or her downline willmove upward to the ISR’s immediate upline. The personal commissionable sales from the ISR’s enrollment month may counttowards the ISR’s requirement of $100 however if the ISR does not have any personal commissionable sales in the enrollmentmonth, that month is not counted towards thetwo (2) month cycle. After an ISR loses his/her downline for not meeting the salesquota, the ISR may continue to obtain new recruits to begin building a new team.Active Frontline Recruit – Active ISRs who are on the first level of another ISR in a commission period.Breakaway – When an ISR is promoted to a Director title, they “breakaway” from their sponsor’s team. The Breakaway Director’sTeam Volume is no longer included in their sponsor’s team volume in the subsequent month after the breakaway.Accumulated Personal Volume (APV) – The total of all personal volume credited to an ISR since recruitment into the business.Commission Period – Each calendar month is considered a commission period unless otherwise stated by the company.Commissionable Sales – All products on which commissions and bonuses are paid. Starter kits, hostess gifts, and free items arenot commissionable products.Commissionable Volume – The amount of volume in a commission period at which Level bonuses, Team bonuses and GenerationBonuses are paid. Commission volume is calculated on the qualifying volume less the personal commission of 35% paid to the ISR.Compression – The method by which a vacancy in a downline is left by a ISR whose ISR agreement has been canceled is filled. Thesame is true for generations. Compression is always an upward compression to fill a vacancy in the line.Director – This is the breakaway position earned by an ISR after meeting the $800 APV and the following in a commissionableperiod, $400 in personal volume, $7,500 in team volume and 4 qualified recruits.Downline – All ISR’s below a particular ISR is considered their downline (irrespective of titles)Frontline – All ISR’s in the first level of a ISR’s downline either through sponsorship or through compression.Generations – When an ISR breaks away from an ISR who is a Director title or higher. The breakaway ISR and his/her team isconsidered a Generation. For example, Jenny sponsors Mary who breaks away, Mary is now Jenny’s 1�� generation breakaway.Generation Bonus – This bonus is paid to a Paid As Rank Title Silver Director or higher on the commissionable volume of adownline Director’s (or higher) team volume. This bonus is paid on the 1��, 2ⁿ�, and 3�� Generation Director (depending on the title of the Director receiving the Bonus).Group- An ISR’s total downline irrespective of pay levels or generations.Group Volume/Total Downline Volume – The qualifying volume from all orders placed within an ISR’s entire downline in acommissionable period. This includes the ISR’s personal volume.Ineligible – An ISR is considered ineligible for a particular bonus on a specific order if the ISR does not meet the Title, level, and/orgeneration requirements of that particular bonus in a commissionable period.ISR – Is an Independent Sales Rep that represents The Omnipotent Group product line.Leg – Each personally sponsored or compressed frontline ISR and all their downline organization. (Line Sponsorship)Level – The layers of ISR’s in a particular ISR’s downline leg.Level Bonus – A bonus paid to an ISR with Paid As Rank Title Junior Mentor or higher in a commissionable period on thecommissionable volume of ISR’s who are at least level 1, 2, 3, or 4 in their downline. The number of levels an ISR is paid on isdetermined by their Paid As Rank Title. This bonus is paid even if one of the ISR’s in level 1-4 is promoted to Director. Thesponsor relationship stays in place for the level bonus even though the Director’s volume is no longer in the upline’s Team.Paid As Rank Title – The title for which an ISR is qualified in a commission period. The Paid as Rank Title may be the same as orlower than the ISR’s actual title. All ISR’s are paid based on their Paid As Rank unless otherwise specified.Personal Commission – The commission paid to the ISR which is calculated by multiplying their personal sales volume by either30% or 35%.Personal Volume – The total of all qualified sales credited to an ISR in a commissionable period.Qualified Frontline Recruit – Any ISR on the first level of another ISR who is not a Director or higher who sells or purchases $100in personal volume within a two month commissionable period. A breakaway Director may technically be on the frontline ofanother ISR but for the purposes of counting the number of Qualified Frontline Recruits in the compensation plan, Directors donot count.Qualifying Volume – The amount of commissionable products from a sales order contributing to qualification for personalvolume, team volume and group volume in a commissionable period.Recruiter – An ISR who personally enrolls another ISR. The Recruiter is also to help, mentor and assist all ISR’s that they recruit.Sponsor – An ISR who is listed as their immediate upline. The Sponsor of an ISR may be different than the ISR that recruitedthem; usually due to compression.Team – An ISR and their downline up to the first breakaway Director in any leg. The first breakaway in each leg, along with theirdownline, is not considered part of an ISR’s Team.Team Bonus – A percentage paid on the commissionable volume of each downline ISR in the team of a Paid As Rank Title Directoror higher. This bonus is paid in addition to the Level Bonus. In addition, the Director’s personal commissionable volume isincluded in the Team Bonus.Team Volume – The qualifying volume from all orders placed by the ISR in the team of a Director during a commissionable period.This includes the Director’s personal volume.Title – The highest rank an ISR has earned.Upline – This term refers to the ISR or ISR’s above an ISR in their sponsorship lines. It is the line of sponsors that links anyparticular ISR to the company.

The purpose of this agreement is to establish a business relationship between TheOmnipotent Group (“the Company”) and Independent Sales Reps (“Members”) byobserving the mutual understanding of rules in selling the goods of the company. Allmatters regarding the member administration of the company shall follow theseTerms and Conditions. These rules and regulations shall be applicable to all members.Anyone can register as a Member regardless of age, sex, education, race, religion, orstatus.However, a person listed below shall be restricted from registration:

1. A person restricted to join in Network marketing in accordance with UnitedStates laws and regulations.

2. Officers and Employees of the Company and its subsidiaries3. A person who is under 18 years old

Failure to observe the restriction by the registrant, the Company may cancel themembership immediately and shall have no obligation whatsoever.Registration Process

1. All members must use their legal name in registration.2. New members must fill out the required documents to the company.3. Member must certify that all of the information provided is complete and

correct, including the information of sponsoring member.4. New members are required to purchase a “start-up” kit in order to be

considered an active recruit/member/sales rep.The registration is subject to approval by the company. After the company thoroughlyreviews the information and documents provided by the registrant and an initial orderis placed and paid for in full, the process of the membership will be completed. TheCompany reserves the right to review this information for any duration after theregistration process has been completed. Membership will begin as of the date of theapproval registration.Refund PolicyAny product that is purchased is guaranteed by the company for 30 days after thedate of receipt by the ISR. A full refund will be issued if the product is “faulty” or“flawed” due to a manufacturing error. No refund will be issued for product that ismisused or broken by the consumer or member.Buy-Back PolicyThe company will buy back any product purchased by a Member if the Member nolonger elects to continue his/her membership. This product must be in new conditionand in its original packaging. All returned product must have been purchased within30 days in order to receive a full refund (less any commissions paid out to theMember or up-line Members). The initial start-up kit is excluded from the Buy-BackPolicy.

In order to establish a respectful business culture and to ensure fair and honest business activities amongmembers, The Omnipotent Group, hereafter stated as the “Company”, sets forth this Code of Ethics, and herebyrequest all members to follow through accordingly. All Members are subject to compliance of the Code of Ethics.This is an inevitable process to prevent any unwanted disadvantages, and to encourage long-term growth ofbusiness based on mutual trust between members. Hence, there will be strict enforcement of penalty in violationof the following Code of Ethics, depending on severity of action.(1) False/ Illegal/ Duplicate Registration, registering a person without his/her consent, registering falseinformation, or duplicate registration of one person and/or spouses being registered together, is against theCompany’s membership registration rules. Memberships will be terminated immediately upon confirmation.(2) False/ Exaggerated Advertisement- It is forbidden to mislead other people by providing false or exaggeratedinformation about the Company. Members shall not mislead anyone with false information regarding Companyproducts, marketing plan, or financial rewards. i.e. Any representations other than the official informationprovided by the Company including but not limited to: Omnipotent Marketing Plan, Product Quality, Price, etc.(3) Personal Websites and Promotional Material Regulation; It is forbidden to sell Omnipotent products throughpersonal websites (bidding sites, blog, homepage, café, etc) and/or Internet shopping malls and other portalsites. It is also illegal to use the Company Logo and/or Name on personal websites or business tools/materialswithout the Company’s consent.(4) Voluntary Product Purchase Regulation Members are prohibited from forcing their down-lines or consumersto purchase products, any sort of monetary/materialistic dealings for the purpose of membership registration orwithdrawal, and unreasonable purchasing or unwanted selling of products for reasons other than personal use.(5) Inducing Line Changes- The Company strictly prohibits recruiting between lines, abnormal change of Sponsorsand/or affiliated Centers, and any other personal connection based dealings which destroy mutual trust betweenmembers.(6) Monetary and Product Exchange- The Company strictly prohibits monetary or product dealings betweenmembers which cause illicit use of credit cards or financial dealings. Members shall not enter into transactionsthat are unauthorized.(7) Maintenance of Members’ Dignity Unethical behavior of Omnipotent members, such as personal issuesbetween members, violence, reckless slandering and defaming other members that damage their character areforbidden.(8) Luring Other Businesses - It is strictly forbidden to recommend other network marketing businesses, advertiseor sell the products to existing Omnipotent members. If the member is a Director or higher status then themembership will immediately be terminated upon confirmation of such actions.(9) Protection of Personal Information Members must thoroughly protect the personal information of consumersand/or keep confidential their information collected through Omnipotent business, and may not use, copy, store,or disclose it without the individual’s consent.(10) Obeying Laws and Regulations - Omnipotent members must fully understand and follow the relevant lawsconcerning their business, as well as the Company regulations. Rules and regulations will be in accordance withinthe jurisdiction provided by the respective Company.The above Code of Ethics must be obeyed in order to protect the members’ business and for long-term growth ofall parties involved. The Company has the right to impose penalties on any member in violation of theseregulations, such as suspension or termination of membership, depending on severity of violation. In addition, allconnection with the Company will cease upon termination of membership, and terminated member may notcontinue practice of business as a member of the Company.

Member agrees to:Promote and sell Omnipotent products to consumers and not to sell or display these products in retail sales orservice establishments.Maintain the highest standards of integrity, honesty and responsibility in dealing with the Company, consumersand other members.Present Omnipotent products in a truthful and sincere manner and keep the company unharmed from damagesresulting from misrepresentations by Members.Protect the Omnipotent trademarks and trade name and obtain the Company’s written permission prior to use inany advertising (including but not limited to, the Internet, literatures other than Company-published, logos,pictures, and other marketing promotional devices.Member understands that display or sale of Omnipotent products in public, retail or service establishments ofany kind is inconsistent with the terms of this Agreement.All orders submitted to the company shall be accompanied by a credit card charge, cashier’s check, or moneyorder made payable to the order of “The Omnipotent Group” for the full amount due. Member understands thatall orders are subject to acceptance by the Company and the terms of this Agreement.Member is not a joint venture with, or franchisee, partner, agent or employee of the Company. Member has nopower or authority to incur any debt, obligation or liability on behalf of the Company.Member, as a self-employed independent sales rep, will be operating his/her own business, making individualdecisions, buying and selling products available through The Omnipotent Group in his/her own account. Thecompany shall bear no legal responsibility for the actions taken by Members. Furthermore, both partiesacknowledge that the Member is not an employee of the Company and will not be treated as an employee withrespect to his/her Agreement for Federal, State or Local Tax purposes, or otherwise. Member will be responsiblefor payment of any self-employment and other income taxes.Member will receive commission totals reflecting the amount of income paid during the calendar year by theCompany. It will be Member’s sole responsibility to account for such income on his/her individual income taxreturns.The company may change suggested retail prices, discounts, commissions, transportation charges, contest rulesand active status requirements at any time. The company will give members at least fifteen (15) days’ priornotice of:

a) Any changes to contest rules and active status requirements.b) Changes to suggested retail prices and shipping charges.c) Changes in standard discount and commission schedules.

Written notice may be given by posting notice on the Company’s Website.

The Member may terminate the Agreement at any time and for any reason, and Company may terminatewithout prior notice and with immediate effect as a result of breach of any of the provisions herein. Indetermining what actions to take in the event of breach of the Agreement, the Company may consider withoutlimitation the nature and severity of the breach. If you do not agree with action taken by the company, you maysubmit your dispute to appeal the decision with supporting evidence.Member agrees to submit any dispute he/she may have to binding arbitration. The arbitration award shall befinal and binding and judgment may be entered upon it by any court of competent jurisdiction. The United StatesArbitration Act shall govern the interpretation and enforcement of the arbitration rules and arbitrationproceedings.
