The following questions and answers are designed to provide an understanding of Victory Ranch Club and the membership opportunities available to first-time purchasers of a home or home site in Victory Ranch & Conservancy. As these questions and answers are only a summary, you should read the Membership Plan for Victory Ranch Club (“Membership Plan”) and the Rules and Regulations for Victory Ranch Club (“Club Rules”) prior to purchasing a membership.
Q: WHAT IS VICTORY RANCH CLUB?
Victory Ranch Club (“Club”), located in Kamas, Wasatch County, Utah, is a non-equity, “right to use” membership club, operated by Victory Ranch Club, LLC (“Club Operator”). Membership in the Club consists of a revocable license to use designated Club Facilities (defined below).
Q: WHAT FACILITIES WILL BE AVAILABLE FOR USE BY CLUB MEMBERS?
The Club Facilities currently include the following:• An 18-hole par 72 Rees Jones signature golf course and practice facilities, including a driving range, chipping area,
putting green, and clubhouse;
• Freestone Lodge, which includes dining, bar and lounge, locker rooms, sales office, and a game room;
• Backcountry yurts and camping (“Backcountry Camping”) facilities;
• Access to approximately four miles of private lands fronting both banks of the Upper Provo River providing Member fishing access (“River Fishing”) and fishing ponds (“Ponds”);
• Access to the Jordanelle Reservoir, for water activities including kayaking, stand-up paddle boarding, and fishing;
• Access to hiking, biking and snowshoeing on backcountry trails (“Backcountry Trail System”).
• The above facilities are referred to collectively as the “Club Facilities.” Additional Club Facilities may be constructed in the future, subject to the limitations set forth in the Membership Plan and that certain Agreement for Transfer of Assets (“Transfer Agreement”). In addition to the Club Facilities, Victory Ranch Club sponsors and provides access to various Member events according to the Member’s category of membership.
Q: WHAT TYPES OF MEMBERSHIP OPPORTUNITIES ARE BEING OFFERED TO FIRST-TIME
HOME OR HOME SITE PURCHASERS IN VICTORY RANCH & CONSERVANCY?
The Club presently has the following categories of memberships offered for sale to first-time home or home site purchas-ers in Victory Ranch & Conservancy–Community, Shared Community, Ranch Resident, and Shared Ranch Resident.

• Community Memberships. A Community Membership is provided automatically to each purchaser of a home or home site in Victory Ranch & Conservancy in accordance with the Declaration of Recreational Covenant for Victory Ranch (“Recreational Covenant”), recorded in the Wasatch County, Utah, land records. A Community Membership entitles the Member and their Immediate Family Members (defined below) to three non-transferable golf tee times per year (each tee time may include up to four players) on a space available basis and the right to use other designated Club Facilities on a limited basis during operating hours and subject to the Club Rules.
• Shared Community Memberships. A Shared Community Membership offers the benefits of a Community Membership and is available, in the Club Operator’s discretion, to any person having a shared ownership interest in a home or home site in Victory Ranch & Conservancy.
• Ranch Resident Memberships. A Ranch Resident Membership is available, in the Club Operator’s discretion, to the owner of a home or home site in Victory Ranch & Conservancy. Ranch Resident Members and their Extended Family Members are entitled to use, subject to the Club Rules, all of the Club Facilities and have Preferred Access to golf, River Fishing, the Ponds, Backcountry Camping, and the Freestone Lodge.
• Shared Ranch Resident Memberships. A Shared Ranch Resident Membership is available to, in addition to the Ranch Resident Member for the home or home site, and in the Club Operator’s discretion, up to three additional owners of the same home or home site in Victory Ranch & Conservancy. Shared Ranch Resident Members and their Extended Family Members are entitled to use, subject to the Club Rules, all of the Club Facilities and have Preferred Access to golf, River Fishing, the Ponds, Backcountry Camping, and the Freestone Lodge.
• Please note, the Club Operator also currently offers, pursuant to the terms of the Membership Plan, Charter Resident Memberships, Local Memberships and National Memberships to non-first-time purchasers of homes or home sites in Victory Ranch & Conservancy, and the Club Operator may offer additional memberships, including Invitational Memberships, Honorary Memberships, Cabin Memberships, and Sports/Social Memberships to such persons and under such terms and conditions as the Club Operator deems appropriate. Invitational and Honorary Memberships, if offered, shall be recallable in the Club Operator’s discretion.
Q: WHAT ARE THE PRIVILEGES OF A MEMBERSHIP?
Each person who acquires a membership will be entitled to the level of use of the Club Facilities which is permitted under the Member’s membership category. The different levels of access to Club Facilities are “Preferred Access,”
“Access,” and “Limited Access.” “Preferred Access” represents the greatest priority access; “Limited Access” represents the least priority access; and “Access” represents priority between “Preferred” and “Limited Access.” Such terms are more particularly defined in the Club Rules.
Q: HOW DO I BECOME A MEMBER?
All candidates for membership must complete and submit a Candidate Profile in a form provided by the Club Operator. The Club Operator will review the information provided, make such inquiry, as it deems appropriate, and then make a determination as to whether to extend an invitation to membership. If a membership in the desired classification is available and you are invited to become a Member, you will be notified and will have a limited period of time to submit a signed Membership Agreement along with a check for the required Membership Fee.
Q: WHEN SHOULD I APPLY FOR CLUB MEMBERSHIP?
If you are purchasing a home or home site in Victory Ranch & Conservancy, you should begin the membership applica-tion process as soon as you sign a purchase contract in order to maximize your ability to obtain a membership at the earliest opportunity. If you do not request consideration for membership prior to closing the purchase of your home or home site, you may have limited opportunities to acquire a membership at a later date.

Q: WILL MEMBERS OF MY FAMILY BE ENTITLED TO USE THE CLUB FACILITIES?
Yes. Depending upon your membership category, your membership entitles either your “Immediate Family Members” or your “Extended Family Members” to use the Club Facilities. “Immediate Family Members” include the Member’s spouse or Domestic Partner, and the children of the Member and the Member’s spouse or Domestic Partner who are under the age of 29. “Extended Family Members” include the Member’s spouse or the Member’s Domestic Partner, the children of all ages of the Member, the Member’s spouse, and the Member’s Domestic Partner, parents, grandparents, and grandchildren of the Member, the Member’s spouse, and the Member’s Domestic Partner, and the spouses or Domestic Partners of such children, parents, grandparents, and grandchildren. A “Domestic Partner” is an individual living together in the same household with an unmarried Member as a part of a family unit and who is designated by the Member as an Immediate Family Member by written agreement with the Club Operator. References above to the Member shall be deemed to refer to the Designated Individual of a Member which is a partnership, corporation, limited liability company, trust, or other entity form.
Q: WILL MY GUESTS BE ABLE TO USE THE CLUB FACILITIES?
You may invite guests to use the Club Facilities if permitted in accordance with the use privileges of your membership classification and in accordance with the Membership Plan and the Club Rules relating to guests. You will be charged applicable guest fees as established by the Club Operator from time to time and will be responsible for all guest charges, unless otherwise paid by the guest at the time the charge is incurred. Access to the Club Facilities by accompanied and unaccompanied guests may be more restrictive than the host Member’s access, but not less restrictive. Restrictions may differ for accompanied and unaccompanied guests and for various Club Facilities. The Member sponsoring a guest shall at all times be responsible for the guest’s conduct.
Q: WHAT HAPPENS TO MY MEMBERSHIP IF I SELL MY HOME OR HOME SITE IN VICTORY
RANCH & CONSERVANCY?
If a Community Member, Shared Community Member, Ranch Resident Member, or Shared Ranch Resident Member ceases to own a home or home site in Victory Ranch & Conservancy, the Member shall be deemed to have resigned the membership effective on the date of transfer of title. If the purchaser or transferee of such home or home site requests consideration for membership prior to taking title to the home or home site, the transferee is invited and approved for membership by the Club Operator, and the transferee pays the Membership Fee in effect as of the date of executing the Membership Agreement, then the transferring Member may arrange for the Club Operator to reissue a resigned membership to the transferee without regard to any waiting list requirement, subject to the payment of any transfer fee that the Club Operator may establish.
If a Ranch Resident Member or Shared Ranch Resident Member sells his or her home or home site in Victory Ranch & Conservancy and the transferor Member wished to remain a Member of the Club, then the transferor Member’s membership shall be deemed to be resigned and, in the Club Operator’s discretion, the transferor Member may be issued a Local or National Membership or other membership for which he or she is eligible, subject to availability.
