We are also able to offer a bespoke service on certain products to include special colours (matched to Pantone® or RAL® references) as well as personalised branding.

Prices, Minimum Orders and Carriage Charges

These Terms and Conditions apply to the contract between the customer (Customer) and us to the exclusion of any other terms that the Customer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing. No variation of these Terms and Conditions shall be effective unless it is in writing and signed by us.

The Customer’s order constitutes an offer by the Customer to purchase the goods set out in the order in accordance with these Terms and Conditions. The Customer is responsible for ensuring that the terms of its order are complete and accurate.

The Customer’s order shall only be deemed to be accepted when we issue a written acceptance of the Order, at which point a contract shall come into existence and such contract shall constitute the entire agreement between the parties.

If an item is out of stock we do offer to hold the item on back order, however, we may offer an alternative or ask the Customer to re-order the product. We reserve the right to cancel any back orders. The Customer may cancel back orders at any time prior to despatch by contacting us by email at [email protected] or by phone on 01993 847334.

All damaged goods or discrepancies must be notified in writing/email within 48 hours of receipt of goods to: [email protected]

It is the Customer’s responsibility to thoroughly check the goods within a reasonable time scale. The sales office will advise whether to return the faulty merchandise or to dispose of it. Please advise when contacting the office whether you consider the items saleable at a discount.

All first orders are pro forma, with the option to apply for a credit account. Pro forma invoices may be paid for by card, cheque or bacs.

Account holders - payment is required within 30 days from date of invoice, orders may be held if payment is not received within this time.

If payments are consistently overdue then we reserve the right to withdraw credit terms without notice.

The risk in the Goods shall pass to the Customer on completion of delivery.

Title to the goods shall not pass Customer until:

• We receive payment in full (in cash or cleared funds) for the goods and any other goods that we have supplied to the Customer in respect of which payment has become due, in which case title to the goods shall pass at the time of payment of all such sums; or

Prices are correct at time of printing the catalogue. We reserve the right to change prices at any time. Please check the website for the most up to date price and stock information.

Our minimum order is £250.00 (ex VAT). Our minimum carriage paid order is £450.00 (ex VAT) to UK Mainland only. Carriage will be charged at the following rates:

8% of orders between £250 and £450Free on orders over £450 to UK Mainland only

Please note, we only charge carriage for the items despatched - so any back orders sent from an order originally under carriage paid will still be charged carriage. Furniture and very large items may be subject to a carriage surcharge.

Northern & Southern Ireland, Channel Islands and Overseas - Carriage is payable on all orders and will be advised prior to dispatch. Alternatively, the Customer may wish to arrange for the collection of the goods with their own shipper.

We deliver worldwide, please get in contact for international terms and carriage charges.

• If earlier, the Customer resells the goods, in which case title to the goods shall pass to the Customer immediately before such resale.

The Customer may resell or use the goods in the ordinary course of its business (but not otherwise) before we receive payment for the goods. However, if the Customer resells the goods before that time it does so as principal and not as our agent.

If before title to the goods passes to the Customer the Customer:

• becomes insolvent or bankrupt; or• goes into liquidation, receivership or

administration; or• is wound up or enters into a composition or

arrangement with its creditors; or• ceases or threatens to cease to carry on

business; or• we reasonably believe that any of the

events mentioned above is about to occur in relation to the Customer and notify the Customer accordingly,

then, without limiting any other right or remedy we may have:

• the Customer’s right to resell the goods or use them in the ordinary course of its business ceases immediately; and

we may at any time:

• require the Customer to deliver up all the Goods in its possession which have not been resold, or irrevocably incorporated into another product; and

• if the Customer fails to do so promptly, enter any premises of the Customer or of any third party where the goods are stored in order to recover them.

The Customer acknowledges and agrees that all rights in the “Garden Trading” and “The Garden Trading Company” names (Trade Names) shall remain with us, and that the Customer has and will acquire no right in them [except for the right to use the Trade Names to describe the goods for resale to the Customer’s customers].

The Customer shall not purchase search engine (such as Google AdWords) or other pay per click keywords, or domain names that use “Garden Trading” or “The Garden Trading Company” and/or variations and misspellings thereof.

These Terms and Conditions shall be governed by, and construed in accordance with the law of England and Wales and the parties submit to the exclusive jurisdiction of the courts of England and Wales.
