12. Operations and Management of the Business
12.1 Computer Hardware and Software The Management shall use such point-of-sale equipment, EPOS data processing equipment, computer hardware, dedicated telephone and power lines, high speed Internet connections, modems, printers and other computer-related equipment, with such software, as WOW Fashion specifies in the Manual or otherwise, at the Management’s expense. WOW Fashion may require that the Management modify, replace or upgrade part or all of such equipment and software from time to time, at the Management’s expense. The Management shall keep all such equipment in good working order. The Management shall purchase and use any software programmes, manuals and other materials, and modifications thereto, proprietary to WOW Fashion.
12. 2 Customer Information
Subject to any restrictions imposed by applicable law, the Management shall collect and provide such information on its customers as WOW Fashion directors may reasonably request.
12. 3 Maximum Operation
The Management shall maintain sufficient inventories, adequately staff each shift with qualified employees and continuously operate the Business at its maximum capacity and efficiency seven days per week, 10:30am to 10:00pm, or such other minimum number of days and hours set forth in the Manual or as WOW Fashion otherwise prescribes in writing (subject to the requirements of local laws and licensing requirements). The Management shall promptly discharge all its financial and other obligations relating to the Business.
12. 4 Customer Complaints
The Management shall attempt to immediately resolve any customer complaints regarding the Business and the provision of the Services. When any customer complaints cannot be immediately resolved, the Management shall use its best endeavours to resolve the customer complaints as soon as practical. In the event of a customer complaint not being resolved by the Management within 7 days of the Management first becoming aware of the complaint, then the Management shall immediately notify WOW Fashion directors of such complaint. WOW Fashion directors may, without the Management’s consent, resolve any complaints which it becomes aware of and
charge the Management an amount sufficient to cover WOW Fashion director’s reasonable costs and expenses in resolving the customer complaints.
12.5 Management
The Business shall at all-time are under the on-site supervision of the Operating Principal or a manager or leader who has completed the MIT programme.
12. 6 Personnel
The management shall employ only suitable persons of good character and reputation who act in a competent and courteous manner and who comply with the dress, personal appearance and hygiene standards set out in the Manual.
12. 7 Accounting Records
We shall use a computerised data management system that meets general specifications to record all sales in the Business and in particular the Gross Sales. The management shall keep complete and accurate books, records and accounts pertaining to the Business as more specifically set forth in the Manual. The management shall keep its books and records using Generally Accepted Accounting Principles (GAAP) or generally accepted international accounting principles. The management shall preserve all of its books, records and tax returns for at least seven (7) years after the later of preparation or filing.
Management will maintain financial statements, reports, records, copies of contracts and agreements, reports and documents related to any litigation, information, and other information data related to the Business as agreed.
Management shall ensure that each and every financial report is prepared and submitted at the company sole expense, in the English language, and using all financial information in the currency used at the Business.
12. 8 staffing of the business Business willBe responsible for ensuring that adequate staff levels are maintained at all times and in particular not less than the minimum number of suitably qualified persons specified in the Manual is available at the Premises during Opening Hours.
