MODEL3RESERVATIONAGREEMENTThisModel3ReservationAgreementbetweenyouandTeslaMotors,Inc.(weorus),isforyourreservationtoplaceaModel3orderwithus.AsModel3entersproduction,wewillcontactyoutoformallyplaceyourorder.

1.ReservationByenteringintothisModel3ReservationAgreementyouaremakingareservationtoplaceaModel3orderwithus.ThisAgreementdoesnotconstitutethesaleofanyvehicle.

2.NatureofAgreement;Non-BindingReservationPaymentTheReservationPaymentisfullyrefundableatanytime(forexample,ifyouchoosetocancelorabandonyourreservation,orifwedeclinetomaintain you as a reservation holder). This Agreement does notconstituteanagreementforthesaleofaModel3anddoesnotlockinpricing,aproductionslot,oranestimateddeliverydate.Youareundernoobligation topurchase aModel 3 fromus, andweareundernoobligationtosellyouavehicle.Ifandwhenwenotifyyouthatitistimeto place your order forModel 3 and youwish to proceedwith thepurchaseofaModel3,suchsaleandpurchasewillbegovernedbyaseparateandlegallybindingPurchaseAgreementbetweenyouandanauthorizedTesladealer(Tesla).

3.EffectiveDate;ReservationProcessThis Agreement becomes effective when we receive both your: (1)validly executed Agreement and (2) Reservation Payment in theamountandformstatedinthePaymentInstructionsprovidedtoyouduring the reservationprocess. Youmayexecute thisAgreementbyeither:(i)acknowledgingandacceptingthisAgreementonlineor;(ii)submitting a signed Agreement to a Tesla representative. You maymake your Reservation Payment by the means described in thePayment Instructions. Once thisAgreementbecomeseffective, youwill be placed on the Model 3 reservations list and will receivecommunicationsabouttheModel3program.

4.OrderProcessThis Agreement is not for the sale of a vehicle. When the start ofproductionforyourreservationnears,wewillaskyoutoconfigureyouroptionsandtoprovidefulldetailsofthelegalpurchaseroftheModel3. Tesla will create an order for your Model 3 containing theinformationprovidedbyyou,andaPurchaseAgreementindicatingtheestimatedpurchasepriceofyourModel3,takingintoaccountthebasepriceof themodelandanyoptions includedor thatyouselect,plusestimates of any applicable taxes, duties, transport and deliverycharges,andanyotherapplicablefees.TeslawillthensubmittoyoutheorderandthePurchaseAgreementforyourreview.Ifyouwishtoproceed and purchase the Model 3, you must sign and return thePurchase Agreement together with any required order payments.Production of your Model 3 will then commence and your orderpaymentunderthePurchaseAgreementwillbecomenon-refundable(totheextentpermittedbyapplicablelaw).AtthetimeyouenterintothePurchaseAgreement,youmay,atyoursoleoption,notifyusthatyouwouldliketotakeyourReservationPaymentandapplyittowardyourorderpayment.Theseproceduresmaybesubjecttochange.

5.PurchasePriceBasevehicleandoptionpricingmaynotbeavailableatthetimeofyourreservation and, if pricing is available, it is subject to change untilagreeduponinanexecutedPurchaseAgreement.

6.DeferralandNon-TransferabilityIfyoudonotwishtoenterintoaPurchaseAgreementatthetimethatyouarecontactedbyTesla,youhavetheoptiontorelinquishyourreservation sequence position and defer to a later position to bedetermined by us (only one deferral is permitted). If you do notcommunicateyourdecisiontouswithinten(10)daysofnotificationto place your order, you will automatically be granted your onedeferralandwewilldeferyourreservationposition.ThisAgreementisnottransferableorassignabletoanotherpartywithoutthepriorwrittenapprovalofaTeslaauthorizedrepresentative.

7.PriorityWe will establish your reservation sequence position in our solediscretion.Wemaydeclinereservationstoavoidover-subscriptionoraswedeemappropriateinoursolediscretion.Ifyourreservationisdeclinedorwedecidetocancelyourreservation,youwillbenotifiedandyourReservationPaymentwillberefunded.

8.YourDetailsFromtimetotimewewillaskyoutoprovideinformationsothatwecanperformourobligationsunderthisAgreement.Wewillmaintainyour personal information in accordance with our Privacy Policy,whichisavailableathttps://www.teslamotors.com/about/legal.

9.LimitationofLiabilityTo themaximumextent permitted by applicable law,wemake nowarrantyofanykindinconnectionwiththisAgreementoritssubjectmatter.Undernocircumstanceswillwebeheldliableforanydirect,indirectorconsequentiallossordamage,includinganyandall(a)lossofopportunity(includinglossofcontractorrighttoofferortender);(b)lostopportunitycost;(c)lossofbusiness;(d)reductionordamagetogoodwill;(e)damagetonameorreputation;(f)lossorcorruptionofdata,andregardlessofwhetheranyorallofthesecircumstancesareconsideredtobeindirectorconsequential lossesordamage, incontract, tort (including negligence), under any statute or law orotherwisearisingoutofourbreachofthisAgreement,evenifwehavebeenadvisedofthepossibilityofoccurrenceswhichwouldormightleadtosuchlossordamages.IfweareheldliableforanydamagesrelatedtoyourreservationorthisAgreement,yoursoleandexclusiveremedywillbelimitedtoreimbursementoftheReservationPaymentpaidtoandheldbyus.

10.AcknowledgmentsYouunderstandthatTeslamaynothavecompletedthedevelopmentof Model 3 or begun manufacturingModel 3 at the time of yourreservation.Youalsoacknowledgethat, ifyoupurchaseaModel3,theModel3maynotbedelivered toyouuntil theendof2017orlater.YoualsoagreethatwewillnotholdyourReservationPaymentseparately or in an escrow or trust fund or pay any interest onReservationPayments.

11.GoverningLawandJurisdictionThisAgreement isgovernedbythelawsoftheStateofFlorida,U.S.A.withoutregardtoitsconflictoflawsprovisions.TheEnglishversionofthisAgreementshallgoverntotheextentnotprohibitedbylawinyourjurisdiction.
