2018 Board of Directors ElectionDUCA’s Board of Directors is made up of nine like-minded people who are committed to the credit union’s success. They are elected by DUCA Members, which means that they are your voice in how DUCA is governed. Their role falls primarily to overall long-term strategy, ensuring that we’re always doing what’s right for our Members, employees and communities.

We are pleased to present seven candidates who have been nominated by the Membership to run for a position on DUCA’s Board of Directors. Members can cast their vote online, by mail or at any DUCA branch.

DUCA has three board positions to fill this coming year.

Assessing the Candidates

Driven by a responsibility to both its Members and various regulating bodies such as DICO (Deposit Insurance Corporation of Ontario), DUCA continues to focus on enhancing its board and governance processes by recommending specific candidates to the Membership based on filling the Board’s skill gaps in the areas of business/strategic decision making, marketing, audit, lending and finance. Candidates are also assessed on the basis of alignment to DUCA’s values, demonstrated leadership and commitment to a team-based approach. The board therefore recommends Anthony Niessen, Tom Vandeloo, and Michelle Wassenaar. You are encouraged to support these candidates in filling the board positions.

Additional Voting Information

All ballots must be received by the Chair of Election no later than March 12, 2018. Only Members in good standing, aged 16 years or older before January 1, 2018 are eligible to vote. If in the event you send in both a paper ballot and an electronic vote, the vote received first will be the one counted. Counting of ballots is done by an approved, independent third party unrelated to the credit union.

How to VoteDUCA Financial Services Credit Union is owned by its Members. As a Member, you have an important role in choosing the Board of Directors. By casting your vote you are exercising your right as a Member. It’s one of the benefits of Membership at DUCA.

Voting Online

The online voting process allows a voter to go to any computer with Internet access to cast their vote. The entire process takes less than 5 minutes! You can access the elections link from www.duca.com. The login page will ask for your ballot number and the unique PIN you will have received before Feb 12, 2018. Once the correct information has been entered, you will be taken to the elections page where you can review biographies, photos and vote for your preferred candidates. Before the final vote is cast, you will be shown a review page. From this page you can go back and edit your selection, or submit your final vote.

Voting by Mail

If you choose to vote using the paper ballot, please read the instructions carefully before completing your ballot. It is important that you vote for exactly three candidates. If you vote for any more or less candidates, your ballot will be disqualified. You will receive your PIN and ballot before February 12, 2018 If you require a replacement ballot, they are available at any DUCA branch. Please note you get one vote per Membership account, even if it is a joint account.

Voting In-Branch

Ballots and ballot boxes are available at all DUCA branches. In order to complete a ballot in-branch you will need to have your ballot number and unique voting PIN. Completed ballots should be placed in the provided ballot box in a sealed envelope.

Important Dates

February 12, 2018

Voting opens online and in-branch

March 12, 2018

All ballots must be received by the Chair of Election no later than 11:59 p.m.

Online voting closes at 11:59 p.m.

April 17, 2018

Successful candidates are announced at DUCA’s Annual General Meeting.

Gary Burkett

I am a semi-retired Human Resources Executive. My 46 years working career included three blue chip companies: FedEx, Bell and Molson. During the last 20 years I have served on seven commercial Boards (e.g. Board Chair Oakville Hydro) and six volunteer advisory Boards (e.g. Career Edge) as well as two government agencies (i.e. Halton Regional Police Services and the Workplace Safety and Insurance Appeals Tribunal). I have lived and worked In Quebec, Saskatchewan,

Alberta and Ontario. I have enjoyed 46 years of marriage. We have four adult children and three grandchildren. I am confident I can make a difference for the-benefit of DUCA members given the breadth and depth of my commercial business acumen, Board governance skills together with my leadership strengths of listening, transparency, integrity, planning and evidence based decision-making. I would appreciate your support in the upcoming election.

Wendy Akkerman

Wendy grew up in the Netherlands where she obtained her Master of Business Administration degree in 1992. Wendy started her career as a Business Analyst with a major IT player. She climbed the ladder to Sales Large Accounts and International Business Manager, leading the Pan European Call Center and related outsourcing projects. She gained significant experience in data analysis, project management, reward structures,

and customer relations. In 2001, Wendy followed her passion and became a Real Estate Manager. In 2003, she immigrated to Canada, where she published a daily newsletter for real estate investors and businesses.

Wendy is a mom of three and enjoys playing tennis. She has been a DUCA Member since 2004 and is eager to leverage her expertise for the benefit of Members.

2018 Board of Directors Candidates

Ted Endean

I am an award-winning marketing professional and active investor with an MBA from Ivey (Western) with over 20 years experience working for a wide range of organizations including financial, charitable, educational, and media companies including CBC & BellMedia. I am a member of the Institute of Corporate Directors and an accredited investor. From my first mortgage to RESP planning for my children, I have a lifetime of experience with DUCA and before me my father was also a loyal

member. I have experienced some of the best banking services one could imagine at DUCA but I have also seen areas where improvements can be made. I would like to give back to the community and offer my candidacy for the DUCA Board of Directors because I believe my unique blend of education and professional experience will bring a complimentary skill-set that will strengthen the board and add real value for members.

Anthony Niessen — Recommended by the Board

Anthony’s work experience includes 26 years as CEO of a major credit union, as well as trust, investment banking, equipment leasing, charitable leadership and most recently, industrial employment staffing across Canada through his own company as President.

Mr. Niessen currently Chairs both the Board’s Governance Committee the Commercial Credit Committee and is a member of the Audit Committee.

He was elected to serve on the CUMIS Insurance Company, was a Director for the Credit Union Executive Society (Ontario Council), the Business Education Council and the Ontario Credit Union Charitable Foundation.

Mr. Niessen comes from a Dutch heritage. He resides in Burlington with his wife Joanne. He is devoted to his family, is a high energy executive and provides a lifetime of experience to DUCA Financial.

Tom Vandeloo — Recommended by the Board

Tom Vandeloo is recognized as a trusted advisor to business executives across Canada. Tom is currently a Director at DUCA, having been elected in 2015. He currently serves as Chair of the Board having taken on that role in 2016, and has previously served as the Chair of the Risk and Governance Committees. Tom will continue to bring his broad business experience to DUCA’s Board of Directors and will serve in whatever capacity is best for the credit union and its Members.

As Partner at PricewaterhouseCoopers (“PwC”), Tom has worked with more than one hundred companies in nearly every sector of the Canadian economy over his career. He has over twenty-five years of consulting experience in business integration & separation, cost optimization, business performance improvement, procurement & strategic sourcing, and supply chain services.

Tom lives in Richmond Hill with his wife Kelly and their three children Michelle, Neil, and Katie.

Michelle Wassenaar — Recommended by the Board

As a child, my dad, Sy Wassenaar, quoted Robert Browning - “one’s reach should exceed one’s grasp, or what’s a heaven for?” (thoughtfully replacing the word “man’s” with the word “one’s” for his daughters). He never told me to become a lawyer or serve DUCA, as he and his law partner, Willem Meyer, did with a combined forty years of legal counsel to DUCA, but I became a lawyer (after obtaining a Masters degree in Clinical Biochemistry) and now I seek to serve DUCA.

I know how to run a business through ownership in law firms since 1998.

With strong analytical abilities and valuable intellectual property law knowledge I’m a trusted advisor to clients, such as, DuPont – my firm files all of their Canadian trademarks.

DUCA has solid values and I would like to help DUCA to do more, be more and achieve more, as it does for its members.

Haris Zulqarnain

I am a young, ambitious Canadian immigrant whose family has been banking at DUCA for over 15 years. I have worked in and around the finance industry for the past 12 years and understand the role of banking and its relationship with real estate investments, FinTech, and small and medium enterprises. I have strong expertise in developing growth strategies for organizations of all shapes and sizes.

I have a business degree from a top ranked business school and I have attended law school in New York. I am a partner at a leading management consulting firm, Treadstone Management Partners. I have advised financial institutions globally on a wide range of strategic and organizational initiatives. I would be happy to bring my experience to the Board of DUCA.
