SEVERANCE AGREEMENT This Severance Agreement (“Agreement”) is entered into this ___ day of June, 2018,

between Susan Mueller (“Employee”) and the City of Cologne (“Employer”).

RECITALS

A. Employee voluntary terminated her employment with Employer effective June

12, 2018.

B. Employee and Employer desire to resolve all of Employee’s and Employer’s

potential claims against each other.

C. Attached as Exhibit “A” is an accompanying Release of Claims (“Release”)

which is incorporated herein by reference and made part of this Agreement as

if fully set forth herein.

D. Attached as Exhibit “B” is a letter of reference that Employer agrees to

execute as additional consideration for Employee entering into this Agreement

after the effective date of this Agreement.

E. Employee acknowledges that the consideration the Employer is providing to

her to execute this Agreement and the accompanying Release is consideration

that she is otherwise not entitled to receive from the Employer.

F. Employee acknowledges that she has been paid out by the City prior to

executing this Agreement all accrued, but unused, compensatory time off,

holiday, sick time, and vacation time.

AGREEMENT

For the consideration described below, the adequacy of which the parties

acknowledge, the parties agree as follows:

1. Release by Employee. At the same time that Employee executes this

Agreement, Employee shall execute the Release that is attached as Exhibit A (the

“Release”).

2. Severance Benefits. As consideration for Employee executing this

Agreement, subject to the conditions set forth in this Agreement, Employer agrees to pay

Employee a lump sum payment in the amount of $8,694.40, minus normal and customary

withholdings, within 5 calendar days of the effective date of this Agreement.

3. Continuation of Health Insurance/Other City Benefits. Employee and her

family members shall receive health insurance coverage under the normal City customary

paid arrangements of the City through Employee’s separation date of June 12, 2018, after

which date Employee and her family members may elect continuation coverage through the

Consolidated Omnibus Reconciliation Act (“COBRA”). Should Employee and/or

Employee’s family members elect COBRA, the City shall agree to remit payment for

Employee’s COBRA costs for up to two months, or up through the end of August, whichever

is later, and 50% of the COBRA costs for Employee’s spouse for up to two months, or up

through the end of August, whichever is later, after which time all COBRA costs shall be

borne solely by Employee for Employee’s COBRA coverage costs and Employee’s spouse’s

COBRA coverage costs.

4. Return of Employer Property. Employee represents and warrants that she

does not have any property belonging to Employer in her possession, custody, or control.

5. Consideration and Rescission. The periods described in the Release during

which Employee may consider whether to sign or may rescind the Release, and the

procedures stated in the Release for accepting or rescinding the Release, also apply to this

Agreement. The Release and this Agreement must be accepted or rescinded together.

Rescission of one of these documents will be deemed a rescission of both.

6. Non-Admission. Nothing in this Agreement or the Release (Exhibit A) is

intended to be, nor will it be deemed to be, an admission by Employer or Employee that

either party has violated any law or that either party has engaged in any wrongdoing.

7. Entire Agreement. This Agreement, the Release (Exhibit A), and the Letter

of Reference (Exhibit B), supersedes all prior oral and written agreements, representations,

and promises between the parties. This Agreement, the Release (Exhibit A), and the Letter

of Reference (Exhibit B) constitutes the entire agreement between the parties with respect to

Employee’s employment with Employer and the voluntary separation of that employment.

8. Voluntary and Knowing Action. The parties acknowledge that they

understand the terms of this Agreement and that they are voluntarily entering into this

Agreement. The parties intend to be legally bound. Employee represents that she is legally

able and entitled to enter into this Agreement and to receive the payments described in

paragraph 2 above. Employer represents that it is legally able to enter into this Agreement

and able to make the payments described above in paragraph 2.

9. 21-Day Period to Consider Agreement. Employee understands that,

pursuant to the Age Discrimination in Employment Act, she has 21 days to consider this

Agreement and seek the advice of her attorney and/or financial advisor. Employee

understands that if she signs this Agreement and Release prior to the expiration of the 21-day

period, that she is voluntarily waiving her right to consider the Agreement and Release for 21

days.

10. Mutual Non-Disparagement. Employee agrees not to make or communicate

disparaging remarks of any sort, whether oral, written, or otherwise, about the City’s

employees or council members to any other individual, entity, or third party. The current

city administrator and council members agree to not make or communicate disparaging

remarks of any sort, whether oral, written, or otherwise about Employee to any third party,

provided that this covenant does not prohibit Employer, including its city administrator and

council members, for complying with the Employer’s obligations under the Minnesota

Government Data Practices Act. Employer’s obligation to comply with the Minnesota

Government Data Practices Act is exempt from the covenants contained in this provision.

Both parties agree that if asked about this matter, they may indicate that the matter has been

resolved.

11. Minnesota Law Applies. The terms of this Agreement and the Release

(Exhibit A) will be governed by the laws of the State of Minnesota and shall be construed

and enforced thereunder.

12. Binding Upon Heirs and Successors. This Agreement and the Release

(Exhibit A) shall be binding upon and shall inure to the benefit of Employee and Employer

and their respective heirs, administrators, representatives, executors, successors and assigns.

13. Recitals. The recitals and Exhibits A and B referenced at the beginning of

this Agreement are incorporated herein by reference as if fully set forth herein.

14. Effective Date of this Agreement and Release. This Agreement and the

attached Release (Exhibit A) shall not become effective and enforceable until all of the

following conditions are met: 1) the Employee signs the Agreement and the Release (Exhibit

A), within the time period described in this Agreement; and 2) the revocation periods of

seven (7) and fifteen (15) days expire without any attempt by the Employee to rescind.

15. References. Employer agrees, as additional consideration for Employee

entering into this Agreement, to provide the attached letter of reference marked as Exhibit B

to this Agreement within five (5) days after the expiration of the revocation periods.

16. Reasons for Agreement. Pursuant to Minn. Stat. § 13.43, subd. 2(a)(6), the

Employer states that the reason it is entering into this Agreement is to amicably separate the

employment relationship with Employee, and provide her with certain benefits in light of her

resignation from employment.

17. Headings. The headings in this Agreement are for reference purposes only

and shall not in any way affect the meaning or interpretation of this Agreement.

Exhibit A

EXHIBIT “A” RELEASE BY SUSAN MUELLER

1. Definitions. I intend all words used in this Release to have their plain meanings in

ordinary English. Specific terms that I use in this Release have the following meanings:

A. I, me, and my include both me and anyone who has or obtains any legal rights

or claims through me.

B. City means the City of Cologne; the present and past administrators, clerks,

council members, elected officials, attorneys, and employees of the City of

Cologne; the present and past fiduciaries of any employee benefit plan

sponsored or maintained by the City of Cologne (other than multiemployer

plans); and anyone who acted on behalf of the City of Cologne or on

instructions from the City of Cologne.

C. Agreement means the Severance Agreement between the City and me that I

am executing on the same date on which I execute this Release.

D. My Claims mean all of my rights that I now have to any relief of any kind

from the City, including without limitation:

i. all claims arising out of or relating to my employment with the City in

any capacity including, but not limited to, my employment with the

City as City Clerk;

ii. all claims arising out of or relating to the statements, actions, or

omissions of the City;

iii. all claims for any alleged unlawful discrimination, harassment,

retaliation or reprisal, or any alleged unlawful practices arising under

Civil Rights Act of 1964, MINN. STAT. § 13.01, et. seq. and 13D.01 et.

seq., the Open Meeting Laws, the Federal Constitution of the United

States, Minnesota’s State Constitution, the Americans with Disabilities

Act, the Americans with Disabilities Act Amendments Act, 42 U.S.C. §

1981, the Age Discrimination in Employment Act, The Older Worker’s

Benefits Protection Act, the Government Data Practices Act, the

Employee Retirement Income Security Act, the Equal Pay Act, the

City’s Personnel Policies and ordinances, the Worker Adjustment and

Retraining Notification Act, the Minnesota Human Rights Act, the Fair

Credit Reporting Act, the Fair Labor Standards Act, the Veterans’

Preference Act, the Uniform Services Employment and Reemployment

Rights Act, Minnesota State Wage and Hour Laws, the Family and

Medical Leave Act, Loudermill hearing rights, any rights pursuant to

Garrity v. State of New Jersey, 385 U.S. 493 (1967), Public Employee

Labor Relations Act, Genetic Nondiscrimination Act, any rights under

MINN. STAT. § 465.722, and workers’ compensation non-interference

or non-retaliation statutes (such as MINN. STAT. § 176.82);

iv. all claims for alleged wrongful discharge; breach of contract, breach of

implied contract; failure to keep any promise; breach of a covenant of

good faith and fair dealing; breach of fiduciary duty; estoppel; my

activities, if any, as a “whistleblower”; defamation; negligent and

intentional infliction of emotional distress; fraud; misrepresentation;

hostile work environment; negligence; harassment; retaliation or

reprisal; constructive discharge; assault; battery; false imprisonment;

invasion of privacy; interference with contractual or business

relationships; any other wrongful employment practices; and violation

of any other principle of common law;

v. all claims for compensation of any kind, including payout of accrued,

but unused, vacation, sick time, paid-time off, and compensatory time

off;

vi. all claims for back pay, front pay, reinstatement, other equitable relief,

compensatory damages, damages for alleged personal injury, liquidated

damages, and punitive damages;

vii. all claims related to any illness, injury, or other health-related concerns

allegedly arising out of environmental conditions in the workplace;

and

viii. all claims for attorney’s fees, costs, and interest.

However, My Claims do not include any claims that the law does not allow to

be waived or any claims that may arise after the date on which I sign this

Release.

2. Agreement to Release My Claims. I will receive consideration from the City as set

forth in the Severance Agreement if I sign and do not rescind this Release as provided below

and provided that I meet the other conditions as specified in the Severance Agreement,

including execution of the Severance Agreement. I understand and acknowledge that the

addition to anything of value that I would be entitled to receive from the City if I did not sign

this Release or if I rescinded this Release. In exchange for that consideration, I give up all of

My Claims. I will not bring any lawsuits against the City or make any demands against the

City for compensation or damages relating to My Claims. The consideration that I am

receiving is a fair compromise for the release of My Claims.

3. Additional Agreements and Understandings. Even though the City will provide

consideration for me to settle and release My Claims, the City does not admit that it is

responsible or legally obligated to me. In fact, the City denies that it is responsible or legally

obligated to me for My Claims, denies that it engaged in any unlawful or improper conduct

towards me, and denies that it treated me unfairly.

4. My Right to Rescind this Release. I understand that I may rescind (that is, cancel)

this Release and accompanying Severance Agreement with respect to claims arising under

the Minnesota Human Rights Act within 15 calendar days of signing it, and with respect to

claims arising under the Age Discrimination in Employment Act and the Older Worker’s

Benefits Protection Act within seven (7) calendar days of signing it. This Release and

accompanying Severance Agreement will not become effective or enforceable unless and

until the rescission period has expired without my exercising my rights to rescind and all of

the conditions have been met as set forth in provision 13 of the Severance Agreement.

5. Procedure for Accepting or Rescinding the Release. To accept this Release, I must

deliver this signed Release and the attached Severance Agreement to the City at the address

indicated below. To rescind my acceptance, I must deliver a written, signed statement that I

rescind my acceptance to the City by hand or by mail within the rescission period set forth

Release, I have not relied on any statements or explanations made by the City except as

specifically set forth in the Severance Agreement. I am voluntarily releasing My Claims

RESOLUTION APPROVING AN ADMINISTRATIVE AMENDMENT TO THE TAX INCREMENT FINANCING PLAN FOR TAX

INCREMENT FINANCING DISTRICT NO. 2-1

A. WHEREAS, the City of Cologne, Minnesota (the "City") has heretofore established Tax Increment Financing District No. 2-1 (the "TIF District"), within Municipal Development District No. 2 and has adopted a Tax Increment Financing Plan for the TIF District (the "TIF Plan"); and there is a proposal to administratively amend the TIF Plan for the TIF District under the provisions of Minnesota Statutes, Sections 469.174 to 469.1794, as amended, and Sections 469.124 to 469.133, as amended (the "Act"); and

B. WHEREAS, an administrative amendment to the TIF Plan for the TIF District has been prepared for the TIF District to revise the listing of the parcels and the legal description of the boundary of the TIF District (the "Administrative Amendment"). During the process of creating the TIF District the five individual parcels that were included within the TIF District were combined into a single parcel under the Parcel ID Number 400500622 with a single legal description. Therefore, the purpose of the Administrative Amendment is to amend the TIF Plan to reflect the newly combined parcel, the Administrative Amendment does not materially impact the original estimates and will not increase the overall size of the District nor the overall size of the budget. The Administrative Amendment makes no other modification to the TIF District.

NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Cologne, as follows:

1. The City finds, determines and declares that with respect to the Administrative Amendment:

Dear Mr. Dickson: This letter is in response to your request to evaluate the options surrounding how to finance and fund potential upcoming street and utility reconstruction projects.

Introduction: Street and utility reconstruction project planning is recommended for cities of all sizes to determine the current condition of the city’s infrastructure and to plan for the appropriate maintenance or replacement for that infrastructure. A city’s infrastructure is their most valuable asset. Selecting the proper pavement and utility replacement procedure at the appropriate time is essential to maximizing infrastructure life and making the best use of the city’s limited funds. The following graph shows a typical bituminous pavement life cycle. As you can see on the graph, as the pavement deteriorates over its life cycle, the cost of the maintenance treatment to renew the pavement increases dramatically.

If not addressed, street and infrastructure conditions will become a liability to the city and its residents by negatively impacting overall city quality of life, perception of the city to outside entities contemplating investment in the city, and property values. The general goal of infrastructure management is to prolong the useful life of the city streets and utilities to their maximum through applying timely maintenance measures financed and funded at adequate levels.

Need: The City of Cologne has a well-maintained street and utility system. However, the vast majority of the infrastructure in the older, “grid” part of town is greater than 50 years old. Generally speaking, the asphalt-cement content of the bituminous in these streets is at the end of its life and will result in streets that crack and break up at a much faster rate. Therefore, seal coating and overlay operations become less effective over time. Additionally, the sanitary sewer, watermain, and storm sewer facilities contain many defects and are difficult to maintain. In many cases, the storm sewer is undersize or non-existent and the water system needs to be extended or looped. Determining what work needs to be done is the easy part. The hard part is financing and funding the necessary projects. Cost estimates were completed in 2017 to replace the streets, storm sewer, and watermain in the older portion of town. The total estimated project cost for this work was approximately $5 million. These estimates did not include sanitary sewer replacement costs as it was assumed these mains would be lined as separate projects. These estimates also did not include storm sewer treatment costs. Reconstruction projects used to be exempt from Carver County Water Management Organization (CCWMO) stormwater treatment requirements. However, with the recent update to the CCWMO rules, stormwater treatment would now be required.

Financing & Funding: There are multiple options available to the City of Cologne to pay for potential street and utility reconstruction projects. The most common of these options are listed below. Please note that the majority of these can be combined together and that further discussions with the City’s Financial Consultant should occur once a project has been identified and a project scope has been determined.

Chapter 429 Improvement Bond Chapter 429 Bonds allow for a city to assess a portion of the improvements to benefitting property owners. The main requirement for this to occur is that you follow the process as outlined in the State Statute and that you assess a minimum of 20% of the total project cost.

• Pros = Able to assess properties that are not taxed, able to reduce the city’s portion of the project cost, not subject to debt limits (better for on-going improvement plans).

• Cons = Subject to appeals by property owners, detailed process and legal requirements, requires a 4/5’s City Council vote.

This approach is the most common for small cities. If this approach is preferred, the City should formally adopt an assessment policy in conjunction with or prior to completing a Feasibility Study for a project.

Chapter 475 Street Reconstruction Bond Chapter 475 Bonds allow for a city to finance street improvements without having to assess for a minimum of 20% of the total project cost.

• Pros = Less detailed process that requires only 1 Pubic Hearing.

• Cons = Subject to a reverse referendum, subject to debt limits.

If this approach is preferred, the City should complete and adopt a 5-Year Street Reconstruction Plan prior to completing the first project.

Other Bonds There are other bonding options that are typically used in combination with the previously options discussed. These include a Chapter 444 Utility Revenue Bond, Chapter 469 Tax Abatement Bond, Chapter 115 Sanitary Sewer Revenue Bond, etc.

MN Public Facilities Authority (PFA) Bond Similarly to the current Water Treatment Facility project, financing through the PFA may be possible for street and utility work. However, a determination would need to be made by the MN Department of Health (MDH) as to what percent of the project is eligible for financing. This number is usually dependent on the amount of watermain work and is typically 50% or less of the total project cost.

• Pros = Lower interest rates than traditional loans.

• Cons = Additional costs to complete PFA requirements and to comply with wage rates and other construction contract requirements. Project needs to be scored and rank high enough to be eligible.

If this approach is preferred, the City should identify a project and submit an application to the PFA and the MDH. This application is due in early May each year.

Funding Options Funding for the planned street and utility work will need to occur from the various City revenue sources (property tax revenues and utility fund revenues). Outside funding sources may also be available depending on the project size, scope, and location. These funding sources include, but are not limited to, the following:

• Special Assessments

• Carver County o Highway Department o Water Management Organization / Soil & Water Conservation District

• MN Department of Transportation

• MN Department of Natural Resources

• Grant Funds

Summary: Developing a plan to address the City’s failing infrastructure would improve the efficiency of the decision making process, insure consistency of decisions made within the city, and ensure adequacy and fairness of funding. Recommended next steps can be completed pertaining to project scoping, budget analysis, funding/financing options, assessment policy or Street Reconstruction Plan creation, capital improvement planning, etc. Work on these planning/preliminary items should begin this summer if the City Council’s desire is to complete a project in 2019. Dear Mr. Dickson: 2018 Sanitary Sewer CIPP Project:

At the February 5, 2018 City Council meeting the Council authorized the design and bidding of the year 2 CIPP project. The attached figure shows this project area which is located in the northeastern portion of the old part of town. The previous televising and evaluation data has been reviewed and an updated cost estimated has been completed. The total estimated project cost to complete the year 2 project is $80,000. Design and bidding of the project will be completed this summer to allow for fall or early winter construction. Manhole Evaluation Project:

Also discussed at the February 5, 2018 City Council meeting was the need to evaluate all of the sewer manholes located in Sanitary District 1 (the old portion of town). This project was authorized by the Council and has been completed. Attached is a table showing the findings of all of the manholes. The manhole numbers used are reflected on the attached figure as well. In general, the manholes are in fair shape, but a few items should be addressed in the near future. These manholes were given a “Priority Level 1” and a summary of these manholes is below:

MEMORANDUM

TO: Mayor Matt Lein & City Council Members FROM: Jesse Dickson, City Administrator SUBJECT: City Credit Cards DATE: 6/15/2018

Background:

The City of Cologne currently has a single credit card that is checked out when necessary. All receipts are kept and verified within the statement that is received from Visa each month. However, recent fraudulent activity on the account has caused Staff to suggest that the City rethink how the credit card system works in the office.

Staff is recommending that all employees be issued a credit card with their name on it so that specific purchases or activity will be more easily tracked. All the cards would still be part of the same account and each monthly statement would reflect all of the transactions.

The amount of times credit cards are used is somewhat minimal as the City is generally invoiced. Most of the use of the City card is for smaller things or for immediate needs for maintenance. Staff would recommend that if the City Council approves the issuance of individual cards, an agreement will be signed by each employee that states the allowable uses of the credit card. The current Personnel Policy Handbook already has a credit card portion, but this would further put the burden of responsibility on the user.

Staff also requests that the City Council provide direction on the limit that can be spent on an individual transaction before approval of the City Administrator is required.
